SUBJECT: APPROVAL OF AMENDMENT NO. 1 TO COOPERATIVE AGREEMENT NO. C-
6-0799 BETWEEN THE ORANGE COUNTY TRANSPORTATION AUTHORITY
AND THE CITY OF TUSTIN FOR CITY-INITIATED TRANSIT EXTENSIONS TO
METROLINK (THE "GO LOCAL STEP 1" PROGRAM)
SUMMARY
Amendment No.1 to Cooperative Agreement No. C-6-0799 provides an extension to the term of the
agreement between the Orange County Transportation Authority (OCTA) and the City of Tustin for
the "GO LOCAL Step 1" Program, and establishes a new deadline for receipt of proposals for "GO
LOCAL Step 1 ".
RECOMMENDATION
It is recommended that the City Council approve Amendment No. 1 to Cooperative Agreement No.
C-6-0799 with the Orange County Transportation Authority for City-Initiated Transit Extensions to
Metrolink (the "GO LOCAL Step 1" Program), and authorize the Mayor and City Clerk to execute the
document on behalf of the City.
FISCAL IMPACT
Under the "GO LOCAL Step 1" Program, the OCTA has provided a grant in the amount of $100,000
to the City of Tustin to study transit extensions to the Tustin Metrolink Station. No matching funds
were required.
BACKGROUND
In order to address future Metrolink service expansion, the Orange County Transportation Authority
(OCTA) has developed a program known as "GO LOCAL", which provides for the study of city-
initiated transit extensions to Metrolink train stations. "GO LOCAL Step 1" provides grant money for
cities to study transit needs and develop visions for enhancing access to the Metrolink system.
The "GO LOCAL Step 1" Program allocates up to $3.4 million for cities to develop a local transit
vision and conduct initial planning. Each Orange County city is eligible to receive a $100,000 grant
once it executes a cooperative agreement with the OCTA. The OCTA staff is now developing a
screening process to evaluate Step One Final Reports for future Step 2 funds. "GO LOCAL Step 2"
funding, makes $25.4 million available on a competitive basis to further develop the most promising
projects fixed guide way and mixed flow (bus/shuttle) projects.

DISCUSSION
On December 4, 2006 the Tustin City Council approved Cooperative Agreement No. C-6-0799 for
"GO LOCAL Step 1" and on February 26, 2007 the OCTA Board of Directors executed the
agreement. Under the "GO LOCAL Step 1" program, Tustin is identifying transit. needs and possible
service routes between the Tustin Metrolink station and origins and destinations within Tustin. If the
Tustin study reveals a demand for transit connections to specific areas outside the city, this
information will be included in the final report in hopes of collaborating with adjacent cities for
competitive funds under Step 2.
Under the terms of the Cooperative Agreement, the City of Tustin has acted as the lead agency for
"GO LOCAL Step 1" and submitted a progress report to OCTA on October 31, 2007. A final report
was to be submitted by December 31, 2007, which is the termination date of the agreement.
Tustin's final report has now been drafted and will be submitted to the City Council in the near future.
However, some cities were not forthcoming with applications for the GO LOCAL Step 1 program until
just recently, so the OCTA approved extending the deadline for the final report until June 30, 2008.
Therefore, amendments to the cooperative agreements have been issued to all cities that have
partnered with the OCTA under the "GO LOCAL Step 1" Program to extend the termination date of
the agreements to June 30, 2008.
Accordingly, Amendment No. 1 to Cooperative Agreement No. C-6-0799 between the City of Tustin
and the OCTA provides an extension of the term of the cooperative agreement to June 30, 2008. It
has been reviewed and approved as to form by the City Attorney and is now ready for approval by
the Tustin City Council.

COOPERATIVE AGREEMENT NO. C-6-0799
BETWEEN
ORANGE COUNTY TRANSPORTATION AUTHORITY
AND
CITY OF TUSTIN
THIS AMENDMENT NO. 1 is effective as of this _ day of , 2008, by and
between the Orange County Transportation Authority, (hereinafter referred to as "AUTHORITY") and
the City of Tustin, (hereinafter referred to as "CITY").
WITNESSETH:
WHEREAS, by Cooperative Agreement No. C-6-0799 dated February 26, 2007, AUTHORITY
and CITY entered into a cooperative agreement to work as partners to develop acommunity-based
transit vision that increases use of Metrolink by Tustin residents, visitors and/or employees; and
WHEREAS, both parties agree to extend the term of the cooperative agreement and establish a
deadline for receipt of proposals for GO LOCAL Step One at no increase in the maximum cumulative
payment obligation; and
WHEREAS, AUTHORITY's Board of Directors has reviewed and approved the. issuance of this
Amendment on November 26, 2007;
NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY and CITY that
Agreement No. C-6-0799 is hereby amended in the following particulars only:
1. Add Exhibit D which is ident~ed in this Amendment No. 1, as Attachment A.
2. Amend ARTICLE 4. RESPONSIBILITIES OF CITY, Page 5 of 13, to add the following:
"H. Commencement of Work -CITY shall commence Step One no later than March
1, 2008. "

3. Amend ARTICLE 9. ADDITIONAL PROVISIONS, Page 7 of 13, paragraph A. to delete
"December 31, 2007" as the term of the cooperative agreement and in lieu thereof insert "June 30,
2008".
The balance of said Agreement remains unchanged.
Upon execution, this Amendment No. 1 shall be made effective on January 1, 2008.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to
Cooperative Agreement No. C-6-0799 to be executed on the effective date above written.
