SUBJECT: MISCELLANEOUS FURNITURE AND FURNISHINGS PURCHASES FOR
TUSTIN LIBRARY PROJECT
SUMMARY
City Council approval is requested to authorize purchase of certain furniture for the Tustin
Library through the California Multiple Award Schedules (CMAS) and authorization for the
advertisement of bids for other remaining miscellaneous furniture purchases for the project
RECOMMENDATION
It is recommended that the City Council:
1. Adopt Resolution No. 08-58 authorizing participation in the CMAS for certain eligible
furniture products for the Tustin Library Project.
2. Authorize the advertisement of bids for the miscellaneous furniture for the Tustin Library
Project.
FISCAL IMPACT
The fiscal impact associated with the purchase of furnishings for the Tustin Library project is
currently included in the adopted construction budget for CIP Project 1045 in an amount of
approximately $931,470 which includes any contingencies. As part of this budget, the County
will be purchasing their own vendor products in an amount not to exceed $357,498, the City
proposes to purchase under a State CMAS process approximately $250,000 of furniture, leaving
allocation of approximately $363,972 for the purchase of other miscellaneous furniture. At this
time, no additional appropriations are required. Any subsequent fiscal impacts will be identified
based on actual quoted prices and will be identified prior to award of contract for miscellaneous
furniture.
BACKGROUND/DISCUSSION
As the City Council is aware, the new Tustin Library is currently under construction with final
completion of all phases of the project expected in September 2009. In conjunction with the
new construction, it was determined that there is a need for the purchase of new furniture.

This need is based on the inventory of current furniture, the condition of the furniture,
adaptability to the new layout and ability to be renovated. The cost for the purchase of new
furniture was included in the budget for the entire project.
The Architect for the project, Field Paoli, and its interior designer have helped staff evaluate
furniture systems and worked on developing a specification list and coordinated design and
color for all fabrics and materials. A final space plan and specification listing has been prepared
and all functions in the library have been evaluated with areas developed to enhance efficiency
while maximizing the use of floor space. In an effort to evaluate the best produced lines of
furniture available, a committee comprised of the City's special library consultant (Linda
Deemer), County library staff, an interior designer and representatives from the architect tested
a number of specific furniture samples and studied a host of materials, furnishings and fabrics.
An extensive evaluation of the best manufacturers products utilized in libraries was evaluated
based on the structural construction, quality of the materials, life expectancy, installation and
warranty information. Based upon this review, specific manufacturer products and
specifications were prepared. While a substantial amount of the product can be cost efficiently
purchased through the State CMAS process, there are a number of additional manufacturers
needed for other products not made by manufacturers participating in the CMAS program, such
as chairs, tables, lounge seating and other minor miscellaneous furniture.
Under provisions of Section 1624 b of the Tustin City Code, exceptions or deviations from the
City's competitive bidding procedures can be authorized by resolution of the City Council when
purchases of supplies and equipment can be acquired more efficiently and less expensively on
behalf of the City through either the State CMAS process or the County of Orange Cooperative
Purchasing Program. Under the State CMAS process the discounts that the City can expect to
receive from several manufacturers and vendors (including Agati) would be substantially higher
than that which the City could obtain outside of the normal bid process.
In addition to the manufacturers participating in the State CMAS program, certain furniture
items (chairs, tables, lounge seating) were selected from a number of miscellaneous additional
manufacturers and vendors who are not participants in the state CMAS program. These items
need to be publicly bid under the standard bid process and City Council approval is requested at
this time to advertise for bids on these items. The bid documents and specifications for these
items are attached for City Council approval (Attachment A).

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
TUSTIN, CALIFORNIA, AUTHORIZING PARTICIPATION IN
THE STATE OF CALIFORNIA MULTIPLE AWARD
SCHEDULE (CMAS) PURCHASING PROGRAM FOR
PURCHASE OF MISCELLANEOUS FURNITURE AND
FURNISHINGS FOR THE NEW TUSTIN
The City Council of the City of Tustin does hereby resolve as follows:
I. The City Council finds and determines:
A. Under provisions of Section 1624 b. of the Tustin City Code, and ordinance
related to financial and purchasing procedures, exceptions and deviations from the
City's competitive bidding procedures can be authorized by resolution of the City
Council when purchases of supplies and equipment can be acquired more efficiently
and cheaply on behalf of the City through the County of Orange Cooperative
Purchasing Program or the State of California CMAS;
B. The City has need of purchasing certain furniture in connection with the new
Tustin Library.
C. Under either the County or Orange Cooperative Purchasing Program or State
CMAS program, a discount will be extended to the City as a public agency for purchase
of certain furniture items with
II. The City Council hereby authorizes the City's participation in the County of Orange
Cooperative Purchasing Program or State CMAS program for purposes of acquiring a
number of miscellaneous furniture items for needs of the new Tustin Library, subject to
final approval of cost estimates by the Assistant City Manager

NOTICE INVITING BIDS
Tustin Library Miscellaneous Furniture and Furnishings
Notice is hereby given that SEALED PROPOSALS will be received at the office of the City
Clerk, Tustin City Hall, 300 Centennial Way, Tustin, California 92780 until 2:00 P.M. on the
3rd day of October, 2008 at which time they will be publicly opened and read, for the
following:
Tustin Library-Miscellaneous Furniture and Furnishings
(CIP Project 1045)
This work shall consist of providing certain miscellaneous furniture and furnishings for the
Tustin Library Project and includes all labor, materials, tools, equipment and services and
incidentals as required by the furniture specifications and contract documents for the above
project as required to receive, deliver, and install in place all said furniture and furnishings,
including related accessories, at the new Tustin Library which is currently under
construction at 345 East Main Street, Tustin, California in the locations shown on the
project plan and as specified in the project specifications. .
Specifications and proposal forms to be used for bidding on this project are attached and
can be obtained by prospective bidders at the office of the Public Works Department Tustin
City Hall, 300 Centennial Way, Tustin, California, 92780.
Inquiries during the bid period shall be directed in writing to the City of Tustin Contract
Officer Christine Shingleton at the City of Tustin, 300 Centennial Way, Tustin, CA 92780, at
(714) 573-3010, Fax (949) 838-1602 and City's Construction Manager, Deryl Robinson at
Griffin Structures, Inc., 385 Second Street, Laguna Beach, CA 92651, at 949.497.9000 Fax

All bids shall be presented under sealed cover on the proposal forms provided.
Prior to execution of contract, Bidder shall provide City with insurance certificate(s) with
endorsements evidencing insurance coverages prescribed in the contract.
Bidder shall provide to the City within ten (10) working days after the date of notice of award
of contract the aforementioned insurance certificate(s) with endorsements which must meet
the requirements of the specifications and comply with the contract documents. Failure to
comply with this requirement will result in annulment of the award and City will pursue award
to the next qualified responsive bidder. Bidder is advised that insurance requirements are
non-negotiable and City will not consider waiving insurance requirements. There are no
exceptions.
The City of Tustin hereby affirmatively ensures that minority business enterprises will be
afforded full opportunity to submit bids in response to this notice and will not be
discriminated against on the basis of race, color, national origin, ancestry, sex or religion in
any consideration leading to the award of contract.
The City of Tustin reserves the right to reject any or all bids, and/or to waive any informality
on a bid, and to accept any bid or portion thereof. No bidder may withdraw his bid for a
period of ninety (90) days after the date set for the opening thereof. Prior to bid opening
bidder may withdraw his bid. Bids received after the bid opening time and date herein will
be returned to bidder unopened.

SECTION B
INSTRUCTIONS TO BIDDERS
1. RECEIPT OF BIDS. The City ("Agency") will receive sealed bids at Office of the City
Clerk, 300 Centennial Way, until 2:00 P.M., on October 3, 2008, after which time they
will be publicly opened and read. Each bidder shall submit its bid in a sealed envelope
containing items listed in "Bid Contents, Evaluation, Selection and Award," and in the
manner described. Bidder should mark its bid as "Bid for the TUSTIN LIBRARY-
MISCELLANEOUS FURNITURE & FURNISHINGS." Agency will reject all bids received after the
specified time and will return such bids to bidders unopened.
2. DETERMINATION OF APPARENT LOW BIDDER. Apparent low bid will be based solely
on the total amount of all bid items.
3. REQUIRED BID FORM. All bidders must submit bids on "Bid Form." Agency will reject
as non-responsive any bid not submitted on the required form. Bids must be full and
complete. Bidders must complete all bid items and supply all information required by
Bidding Documents and Specifications. Agency reserves the right in its sole discretion
to reject any bid as non-responsive as a result of any error or omission in the bid.
Bidders may not modify the Bid Form or qualify their bids. Bidders must submit clearly
and distinctly written bids. Bidders must clearly make any changes in their bids by
crossing out original entries, entering new entries and initialing new entries. Agency
reserves the right to reject any bid not clearly written.
The Bid Form shall be signed by the bidder's legal representative as indicated on the Bid
Form. If the bid is made by an individual, it shall be signed and his full name and his
address shall be given; if it is made by a partnership, it shall be signed with the co-
partnership name by a member of the firm, who shall sign his own name and provide the
name and address of each member; and if it is by a corporation, the proposal shall show
the name of the corporation and the State under the laws of which the corporation was
chartered. When the bid is signed by the duly authorized officer or officers of the
corporation, it shall be attested by the corporate seal, and the names and titles of the
principal officers of the corporation shall be given. When bid is signed by an agent, other
than the officer or officers of a corporation authorized to sign contracts on its behalf or a
member of a partnership, a "Power of Attorney' must be filed with the Agency prior to
opening bids or shall be submitted with the bid; otherwise, the bid may be rejected as
irregular and unauthorized. Bids submitted as joint ventures must so state and be signed
by each joint venturer and provide that each venturer shall be jointly and severally liable for
any and all of the duties and obligations of bidder assumed under the bid and under any
Contract arising therefrom.
The Agency may award the Contract to the next apparent low bidder if the apparent low
bidder is determined non-responsive or non-responsible, or fails to execute the Contract
and provide the required documents within the required time periods.
4. REQUIRED DOCUMENTS. All bidders must submit with their bids all documents
identified in "Bid Contents, Evaluation, and Selection."

5. OTHER REQUIREMENTS PRIOR TO BIDDING. Submission of bid signifies bidder's
careful examination of Bidding Documents and complete understanding of the nature,
extent and location of work to be performed.
6. ADDENDA. If any person contemplating submitting a bid for the proposed contract is in
doubt as to the true meaning of any part of the Contact Documents, or finds discrepancies
in, or omissions from the plans or specifications; he may submit to the Agency a written
request for an interpretation or correction thereof. The person submitting the request will
be responsible for its prompt delivery at least 7 days prior to the bid opening. Answers to
requests that do not give any single bidder an unfair advantage will be given orally.
Otherwise, interpretation or correction of the proposed documents will be made only by
addendum duly issued, and a copy of such addendum will be mailed, e-mailed, or
delivered to each person receiving a set of such documents.
It is the bidder's responsibility to inquire, prior to submitting the bid, whether the
Agency has issued any Addenda.
The Agency shall not be deemed responsible for any oral clarification nor will it be binding.
Addenda may also be issued to modify the Bidding Documents as deemed advisable by
Agency. Addenda shall be acknowledged in Bid Form by number and shall be part of
the Contract Documents. A complete listing of Addenda may be secured from Agency.
Bidders are primarily and ultimately responsible for ensuring that they have received any
and all Addenda. Pursuant to Public Contract Code Section 4104.5, if the Agency issues
an Addendum later than 72 hours prior to the deadline for submission of bids, and the
Addendum requires material changes, additions or deletions to the description of the work
to be performed or the content, form or manner of submission of bids, the Agency will
extend the deadline for submission of bids by at least 72 hours. Otherwise, the Agency
may determine, in its sole discretion, whether and Addendum requires that the date set for
opening bids be postponed. The announcement of the new date, if any, shall be made by
Addenda.
7. SUBSTITUTIONS. Bidders must base their bids on products and systems specified in
Contract Documents or listed by name in Addenda. Substitutions are subject to provisions
of the General Conditions.
8. BID OPENING. The Agency will stamp bids with date and time upon receipt. Bids will be
opened and read publicly at the time and place indicated in .Paragraph 1 above. Bidders
or their authorized agents may be present. After opening of bids, the Agency will review
all bids for accuracy and reserves the right to waive inconsequential deviations. Upon
completion of review, bid will be ranked by the bid amount and the apparent low bidder will
be determined and notified.
9. BID PROTEST. Any bid protest must be submitted in writing to the Office of the City
Clerk, 300 Centennial Way, Tustin, CA 92780, within 48 hours following the date of bid
opening.
a. The initial protest document must contain a complete statement of the basis for the
protest.

b. The protest must refer to the specific portion of the bid that forms the basis for the
protest.
c. The protest must include the name, address and telephone number of the person
representing the protesting party.
d. The protest must include all relevant, supporting documentation with the protest at the
time of the filing.
The party filing the protest must concurrently transmit a copy of the initial protest
document and any attached documentation to all other parties with a direct financial
interest that may be adversely affected by the outcome of the protest. Such parties shall
include all other bidders who appear to have a reasonable prospect of receiving an award
depending upon the outcome of the protest.
The procedure and time limits set forth in this paragraph are mandatory and are bidder's
sole and exclusive remedy in the event of a bid protest. Bidder's failure to comply with
these procedures shall constitute a waiver of any right to further pursue the bid protest,
including filing a Government Code Claim or legal proceedings. A bidder may not rely on
a protest submitted by another bidder, but must timely pursue its own protest.
10. FAILURE TO EXECUTE AND DELIVER DOCUMENTS. If bidder to whom Contract is
awarded shall for fourteen (14) days after such award fail or neglect to execute and
deliver all required Contract Documents and file all required insurance certificates and
other documents, Agency may, in its sole discretion, award the contract to the best
apparent low bidder.
11. SCHEDULE. The contract shall be completed finally and in its entirety by March 28,
2009. Agency expressly reserves the right to modify the date for the Commencement of
Work under the Contract to independently perform and complete work related to the
Project, without limitation. Agency accepts no responsibility to Bidder for any delays
attributed to its need to complete independent work at the Site.
12. DISQUALIFICATION OF BIDDERS; INTEREST IN MORE THAN ONE BID. No bidder
shall be allowed to make, submit or be interested in more than one bid. However, a
person, firm, corporation or other entity that has submitted a sub proposal to a bidder, or
that has quoted prices of materials to a bidder, is not thereby disqualified from submitting
a sub proposal or quoting prices to other bidders submitting a bid to the Agency.

SECTION C
BID CONTENTS, EVALUATION, AND SELECTION
1. This document summarizes the required bid contents and Agency's procedures for
opening and evaluating bids for an award of:

2. CONTENTS OF BID. Bid shall include:
a. Document 00400- Bid Form.
b. Bid Security supplied in accordance with Document 00200, "Instructions to Bidders."
c. Document 00435- Principals Interested in this Bid.
3. DETERMINATION OF APPARENT LOW BIDDER. Apparent low bid will be based solely
on the total amount of all bid items.
4. BID EVALUATION. Agency may reject any or all bids and waive any informalities or
minor irregularities in the bids, or inconsequential deviation from bid requirements.
Agency also reserves the right, in its discretion, to reject any or all bids and to re-bid the
Project without cause.

The undersigned bidder proposes and agrees, if this bid is accepted; to enter into an
agreement with the City of Tustin ("Agency') in the form included in the Contract
Documents, Document 00520, "Agreement," to perform and furnish all work as specified
or indicated in the Contract Documents for the Contract Sum and within the Contract Time
indicated in this bid and in accordance with all other terms and conditions of Contract
Documents.
2. Bidder accepts all of the terms and conditions of the Contract Documents and the
Invitation to bid and Instructions to bidders, including without limitation, those dealing with
the disposition of Bid Security. Bidder will sign and submit the Agreement with other
documents required by Document 00700, "General Conditions, "Part 3, within fourteen
(14) calendar days after receipt of Agency's Notice of Award.
3. In submitting this bid, bidder represents:
(a) Bidder has examined copies of all of the Contract Documents and of the following
Addenda (receipt of all of which is hereby acknowledged).
(b) Bidder has visited the Site and performed all tasks, research, investigation, reviews,
examinations, analysis, and given notices, regarding the Project and the Site, as set
forth in Document 00520, "Agreement," Article 5.
4. Based on the foregoing, bidder proposes and agrees to fully perform the work within the
time stated and in accordance with the Contract Documents for the following sum of
money listed in the following Bid Schedule:

this bid shall remain open and shall not be withdrawn for a period of ninety (90) calendar
days from the date prescribed for its opening.

WHEREAS, the Agency by its action on the day of awarded to Bidder
the follOWing COntraCt: TUSTIN LIBRARY- MISCELLANEOUS FURNITURE 8~ FURNISHINGS.
WHEREAS, Bidder has obtained, and delivers concurrently herewith evidence of insurance
coverage as required by the Contract.
NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth, Bidder and
Agency agree as follows:
Article 1. Work
1.1 Bidder shall complete all Work specified in the Contract Documents, in accord with the
Specifications, and all other terms and conditions of the Contract Documents. Bidder shall
perform all Work under the Contract Documents in a skillful and workmanlike manner, and
consistent with the standards generally recognized as being employed by professionals in the
same discipline in the State of California. Bidder represents and maintains that it is skilled in
the professional calling necessary to perform the Work. Bidder warrants that all employees
and subcontractors shall have sufficient skill and experience to perform the Work assigned to
them. Finally, Bidder further represents that it, its employees and subcontractors have all
licenses, permits, qualifications and approvals of whatever nature that are legally required to
perform the Work, and that such licenses and approvals shall be maintained throughout the
term of this Contract.
Article 2. Project Manager
2.1 Agency has designated Christine Shingleton, the Assistant City Manager, or her designee, to
act for Agency, and assume all duties and responsibilities and have the rights and authorities
assigned to Agency (also referred to as "Project Director" or "Construction Manager") in the
Contract Documents. Agency may change the individual acting for Agency at any time with
notice and without liability to Bidder
Article 3. Contract Time and Liquidated Damages
3.1 Contract Time. Bidder shall commence Work under this Contract on the Site on the date
when Contract Times commence to run as provided in Document 00700, "General
Conditions." Agency reserves the right to modify or alter the Commencement Date of the
work due to the need to complete other Agency provided work at the Site without limitation.
The Work shall be completed finally and in its entirety by April 17, 2009.
3.2 Liquidated Damages. Agency and Bidder recognize that time is of the essence of this
Agreement and that Agency will suffer financial loss such as contract administration expenses
(including project management and consultant expenses), loss of use and rent, if Work is not

completed within the time specified above, plus any extensions thereof allowed in accordance
with the Contract Documents. Consistent with Part 15 of Document 00700, "General
Conditions," Agency and Bidder agree that because of the nature of the Project, it would be
impractical or extremely difficult to fix the amount of actual damages incurred by Agency
because of a delay in completion of the Work. Accordingly, Agency and Bidder agree that as
liquidated damages for delay, Bidder shall pay Agency Two Hundred dollars ($200) for each
calendar day that expires after the time specified herein for Bidder to achieve final completion.
These measures of liquidated damages shall apply cumulatively and except as provided
below, shall be presumed to be the damages suffered by Agency resulting from delay in
completion of the Work.
Liquidated damages for delay shall only cover administrative, overhead, lost revenues and
general loss of public use damages suffered by Agency as a result of delay. Liquidated
damages shall not cover the cost of completion of the Work, damages resulting from defective
work, costs of substitute facilities, or damages suffered by others who then seek to recover
their damages from Agency (for example, delay claims of other Bidders, subcontractors,
tenants, or other third-parties), and defense costs thereof.
Article 4. Contract Price
4.1 Bidder promises and agrees, as its own cost and expense, to furnish to the Agency all labor,
materials, tools, equipment, services and incidental and customary work for the completion of
the Contract ("Work"), for a total of DOLLARS and
CENTS ($ ), as specified in the Bidders submitted Schedule of Bid
Prices/Bid Sheet as Contract Documents submitted by the Bidder in response to the Notice
Inviting Bids. Such amount shall be subject to adjustment in accordance with the applicable
terms of this Contract. All Work shall be subject to, and performed in accordance with the
above referenced documents.
Article 5. Bidder's Representations
In order to induce Agency to enter into this Agreement, Bidder makes the following
representations and warranties:
5.1 Bidder has examined thoroughly and understood the nature and extent of the Contract
Documents, Work, Site, locality, actual conditions, as-built conditions of the Site, and all local
conditions, and federal, state and local laws and regulations that in any manner may affect
cost, progress, performance or furnishing of Work or which relate to any aspect of the means,
methods, techniques, sequences or procedures of construction to be employed by Bidder and
safety precautions and programs incident thereto.
5.2 Bidder has given Agency prompt written notice of all conflicts, errors, ambiguities or
discrepancies that it has discovered in or among the Contract Documents and as-built and
actual conditions and the written resolution thereof through Addenda issued by Agency is
acceptable to Bidder.
5.3 Bidder is duly organized, existing and in good standing under applicable state law, and is duly
qualified to conduct business in the state of California.
5.4 Bidder has duly authorized the execution, delivery and performance of this Agreement, the
other Contract Documents and the Work to be performed herein. The Contract Documents

do not violate or create a default under any instrument, agreement, order or decree binding on
Bidder.
Article 6. Contract Documents
6.1 The Contract Documents for the project shall consist of the Notice Inviting Bids, the
Instruction to Bidders, the Bid, the Plans, General Specifications, including reference
standards and Technical Specifications, and any attachments; together with this Contract
Agreement and all required guarantees, releases, insurance certificates, permits, notices
and affidavits; and also including any and all exhibits, drawings, specifications, addenda or
supplemental agreements clarifying, amending, or extending the work contemplated as may
be required to insure its completion in an acceptable manner. All of the provisions of said
Contract Documents are made a part hereof as though fully set forth herein.
The above documents are an integral part of the Contract Documents. In addition to
signing this Contract, Bidder shall initial this paragraph immediately below acknowledging
that he or she has read, understood and agrees with all of the terms of the Contract
Documents. Bidder shall not disclaim knowledge of the meaning and effect of any term or
provision of the Contract Documents, and agrees to strictly abide by their meaning and
intent. In the event that Bidder fails to initial below, the Agency shall have the right to
declare the Contract unexecuted and to award the Bid to another Bidder.

6.2 There are no Contract Documents other than those described above in this Article 6. The
Contract Documents may only be amended, modified or supplemented as provided in
Document 00700, "General Conditions."
Article 7. Miscellaneous
7.1 It is understood and agreed that in no instance are the persons signing this Agreement for or
on behalf of Agency or acting as an employee or representative of Agency, liable on this
Agreement or any of the Contract Documents, or upon any warranty of authority, or otherwise,
and it is further understood and agreed that liability of the Agency is limited and confined to
such liability as authorized or imposed by the Contract Documents or applicable law.
7.2 Should any part, term or provision of this Agreement or any of the Contract Documents, or
any document required herein or therein to be executed or delivered, be declared invalid,
void or unenforceable, all remaining parts, terms and provisions shall remain in full force
and effect and shall in no way be invalidated, impaired or affected thereby. If the provisions
of any law causing such invalidity, illegality or unenforceability may be waived, they are
hereby waived to the end that this Agreement and the Contract Documents may be deemed
valid and binding agreements, enforceable in accordance with their terms to the greatest
extent permitted by applicable law.
7.3 This Agreement and the Contract Documents shall be deemed to have been entered into with
the City of Tustin, and governed in all respects by California law (excluding choice of law
rules). The exclusive venue for all disputes or litigation hereunder shall be in the County of
Orange. Both parties hereby waive their rights under California Code of Civil Procedure

Section 394 to file a motion to transfer any action or proceeding arising out of this contract for
the construction of the Project.
7.4 The Agency shall provide Bidder with timely notification of the receipt of any third-party claims,
relating to the Contract. The Agency shall recover its reasonable costs incurred in providing
Bidder with notification of the third-party claims.
7.5 Agency agrees to engage and does hereby engage Bidder as an independent Bidder to
furnish all materials and to perform all Work according to the terms and conditions herein
contained for the sum set forth above.
7.6 If either party commences an action against the other party, either legal, administrative or
otherwise, arising out of or in connection with this Contract, the prevailing partying in such
action shall be entitled to have and recover from the losing party reasonable attorneys' fees
and all other costs of such action.
7.7 The parties do for themselves, their heirs, executors, administrators, successors, and assigns
agree to the full performance of all of the provisions contained in this Contract. Bidder may
not either voluntarily or by action of law, assign any obligation assumed by Bidder hereunder
without the prior written consent of the Agency.
7.8 All notices hereunder and communications regarding interpretation of the terms of the
Agreement or changes thereto shall be provided by the mailing thereof by registered or
certified mail, return receipt requested, postage prepaid and addressed as follows:

PART 1. GENERAL
A. DOCUMENTS
Contract Documents are complementary; what is called for by one is as binding as if called
for by all. Contract Documents shall not be construed to create a contractual relationship
of any kind between (1) Architect and Bidder; (2) Agency and/or its representatives and a
subcontractor, sub-sub-Bidder or supplier of any Project labor, materials or equipment; or
(3) between any persons or entities other than Agency and Bidder. Agency shall be
deemed to be an intended third-party beneficiary of each agreement referenced in clause
(2) above, and each such agreement shall so provide. Bidder is fully responsible for
Bidder's own acts and omissions. Bidder is responsible for all acts and omissions of its
subcontractors, suppliers and other persons and organizations performing or furnishing any
of the Work, labor, materials or equipment under a direct or indirect contract with Bidder.
B. EXERCISE OF CONTRACT RESPONSIBILITIES
In exercising its responsibilities and authorities under Contract Documents, Agency does not
assume any duties or responsibilities to any subcontractor or supplier and does not assume
any duty of care to Bidder, Bidder's subcontractors or suppliers.
C. SUBCONTRACTORS
Subcontract agreements must preserve and protect the rights of Agency under Contract
Documents so that subcontracting will not prejudice such rights. To the extent of the work
to be performed by a subcontractor, Bidder must require the subcontractor's written
agreement (1) to be bound to the terms of Contract Documents and (2) to assume vis-a-vis
Bidder all the obligations and responsibilities that Bidder assumes toward Agency under
Contract Documents. Bidder must provide for the assignment of all rights any subcontractor
may have against any manufacturer, supplier, or distributor for breach of warranties and
guarantees relating to the work performed by the subcontractor under Contract Documents.
D. DEFINITIONS, TERMS AND ABBREVIATIONS
1. Whenever the terms Owner, City or Agency are used herein, reference is made to the City
of Tustin.

PART 3. CONTRACT AWARD AND COMMENCEMENT OF THE WORK
A. AWARD OF CONTRACT
1. Apparent low bidder must execute and submit the following documents to Agency by 5
p.m. of the fourteen (14th) calendar day following NOTICE OF AWARD. Apparent low
bidder's failure to submit these documents properly and timely entitles Agency to reject the
bid as non-responsive, foreclose on bid security, and proceed to the next low, responsible,
responsive bidder.
a. Document 00520, "Agreement," executed by bidder. Submit two (2) copies, each
bearing an original signature.
b. Insurance Certificates and Endorsements required by Document 00822, "Insurance."

c. The Guaranty in the form set forth in Document 00630, "Guaranty."
2. Upon request, prior to award, bidders shall provide full-size samples of selected items or
components for Agency's inspection.
3. Agency reserves the right to award to other than the low bidder if it is in Agency's best
interest to do so in order to obtain the best value in terms of design, features,
construction quality, material finish and delivery time.
4. The Agency reserves the right to reject a bid of any bidder who previously failed to
perform properly or complete on time contracts of a similar nature, or to reject the bid of
any bidder who is not in a position to perform such contract satisfactorily.
B. COMMENCEMENT AND SCHEDULING OF WORK/DELIVERY DATES
1. Within fourteen (14) calendar days after receipt of purchase order, the Bidder shall
prepare and submit to the Agency a master schedule or order placements,
acknowledgments, fabrication and delivery and installation schedule, including a
schedule for submission of shop drawings and samples. Failure to submit and adhere
to this schedule may be grounds for termination of the contract.
2. Within twenty-one (21) calendar days after receipt of purchase order, the Bidder shall
prepare and submit any required shop drawings and samples to the Agency for
approval.
3 The anticipated move-in dates to the new Tustin Library Project will be furnished when
known. The approximate delivery date for furniture is expected to be in March 2009,
coordinate with Agency on completion date of Tustin Library Project Construction for
Phase I. Coordinate work with Agency, General Constructor, and manufacturer.
4. Tentatively, the Agency has scheduled the contract to be awarded on October 21, 2008
Notice of Award to be issued on October 22, 2008.
C. WORKING HOURS
1. Delivery and installation hours shall be Monday through Thursday 7:30 to 5:30 P. M. and
Fridays from 8 A.M. to 5 P.M.
PART 4. INSURANCE-- Provisions of Document 00822, "Insurance," shall apply.
PART 5. SCOPE OF WORK, DRAWINGS AND SPECIFICATIONS
A. INTENT
As part of the "Work," Bidder shall provide all labor, materials, equipment, machinery,
tools, facilities, services, employee training and testing, hoisting facilities, shop drawings,
storage, testing, security, transportation, disposal of all containers and shipping materials
and hauling of this trash off-site, the securing of all necessary or required field dimensions,
the cutting or patching of existing materials, notices, permits, documents, reports,
agreements and any other items required or necessary to timely and fully complete Work
described and the results intended by Contract Documents and, in particular, Drawings
and Specifications. Divisions and Sections of Specifications and the identification on any
Drawings shall not control Bidder in dividing Work among Subcontractors or suppliers or
delineating the work to be performed by any specific trade.

2. Bidder shall perform reasonably implied parts of Work as "incidental work" although
absent from Drawings and Specifications. Incidental work includes any work not shown
on Drawings or described in Specifications that is necessary or normally or customarily
required as a part of the Work shown on Drawings or described in Specifications.
Incidental work includes any work necessary or required to make each installation
satisfactory, legally operable, functional, and consistent with the intent of Drawings and
Specifications or the requirements of Contract Documents including required tasks to be
performed under Division 1 of Specifications. Bidder shall perform incidental work
without extra cost to Agency. Incidental work shall be treated as if fully described in
Specifications and shown on Drawings, and the expense of incidental work shall be
include in price bid and Contract Sum.
3. The articles covered by the Work must conform to the Safety Orders of the State of
California, Division of Industrial Safety and American with Disabilities Act (ADA).
4. All furniture and furnishings shall be on non-combustible material, or shall be treated
and maintained in a flame retardant condition by means of a solution or process
approved by the State Fire Marshall. All upholstered items must meet California
Technical Bulletin 117.
5. The Specifications and Drawings pertain to and illustrate the items listed herein. Upon
award of the contract to the successful Bidder, such shop drawings as may be required
shall be submitted to the Agency for approval.
6. Compliance with Specifications: It is imperative that the Agency receive the finest
possible quality. As a result, these performance requirements should be considered a
minimum. All equipment must be equal to or higher than the standard defined. The
Owner shall be the sole judge of equivalency. All Bidders must comply so that the
Owner is assured that all bids are on the exact same basis. Any Bidder found to be in
default of any of these requirements shall be deemed to be non-responsive to the
specifications. An award will not be made to anon-responsive bid. All Bidders must
submit with their bid a statement that their proposal complies with all the requirements
as set forth in these specifications.
7. Specifications and reference to a particular manufacturer are intended to establish the
style of design, constructions, dimensions and level of quality required by the Agency.
If a manufacturer's product is no longer available and bidders are offering other than the
specified item, they shall include with their bid complete descriptive literature,
specification and details of construction for each item identified with item Number from
Furniture List. Bidder shall also show manufacturer and model number noted for each
item on bid form. When items offered deviate in any way from the design,
constructions or dimensions of that specified, such deviation shall be specifically also
identified on the Bid Sheet and on an attached letter. Any substitution since a specified
item is no longer available, may also require samples as specified by the Agency be
submitted or demonstration be made prior to approval. Submit full descriptive data,
including drawings, photographs, finishes and color samples and specifications for any
substituted bid item. Agency shall be the sole judge of product acceptability, and all
decisions of Agency, including rejection or approval of bid substitutions, shall be within
the Agency's total discretion and such decisions shall be final and not disputed. The
Agency shall be the sole judge as to whether a substitute item may be approved.

8. As used herein, "provided" shall be understood to mean provided complete in place, that
is, furnished and installed.
B. INTERPRETATION OF DRAWINGS AND SPECIFICATIONS
Before undertaking each part of Work, Bidder shall carefully study and compare Contract
Documents and check and verify pertinent figures shown in Contract Documents and all
applicable field measurements. Bidder shall be responsible for any errors that might have
been avoided by such comparison. Figures shown on Drawings shall be followed; Bidder shall
not scale drawings for measurements. Bidder shall promptly report to Agency, in writing, any
conflict, error, ambiguity or discrepancy that Bidder may discover. Bidder shall obtain a written
interpretation or clarification from Agency before proceeding with any Work affected thereby.
C. STANDARDS TO APPLY WHERE SPECIFICATIONS ARE NOT FURNISHED
The following general specifications shall apply wherever in the Specifications, or in any
directions given by Agency in accordance with or supplementing Specifications, it is
provided that Bidder shall furnish materials or manufactured articles or shall do work for
which no detailed specifications are shown. Materials or manufactured articles shall be of
the best grade, in quality and workmanship, obtainable in the market from firms of
established good reputation. If an item is no longer in stock, the materials or manufactured
articles shall conform to industry standards for first-class materials or articles of the kind
required, with due consideration of the use to which they are to be put. Work shall conform
to the usual standards or codes for first-class work of the kind required.
D. PRECEDENCE OF DOCUMENTS
Any conflict between Drawings and Specifications will be resolved to produce the
highest quality result as interpreted by the Architect based on the documents and
surrounding conditions.
2. When there is any conflict between a bill or list of materials shown in Contract
Documents and the actual quantities required to complete Work required by Contract
Documents, the actual quantities shall take precedence.
PART 6. CONSTRUCTION BY AGENCY OR BY SEPARATE BIDDERS
A. MUTUAL RESPONSIBILITY
1. Bidder shall afford all other Bidders, utility owners and Agency (if Agency is performing
work with its own forces), proper and safe access to the Site, and reasonable
opportunity for the installation and storage of their materials. Bidder shall ensure that
the execution of its Work properly connects and coordinates with others' work, and shall
cooperate with them to facilitate the progress of the Work.
2. Bidder shall coordinate its Work with the work of other separate Bidders, Agency, and
utility owners.
3. Unless otherwise provided in Contract Documents, Bidder shall do all cutting, fitting and
patching of the Work that may be required to make its several parts come together
properly and integrate with such other work. Bidder shall not endanger any work of
other separate Bidders, Agency or utility owners by cutting, excavating or otherwise
altering their work and will only cut or alter their work with the written consent of Agency
and the others whose work will be affected.

4. To the extent that any part of Bidder's Work is to interface with work performed or
installed by other Bidders or utility owners, Bidder shall inspect and measure the in-
place work. Bidder shall promptly report to Agency, in writing, with a copy to Architect,
any defect in in-place work that will impede or increase the cost of Bidder's interface
unless corrected. Agency will require Bidder responsible for the defective work to make
corrections so as to conform to its contract requirements, or, if the defect is the result of
an error or omission in Contract Documents, issue a Change Order. If Bidder fails to
measure, inspect and/or report to Agency in writing defects that are reasonably
discoverable, Bidder shall bear all costs of accomplishing the interface acceptable to
Agency. This provision shall be included in any and all other contracts or subcontracts
for Work to be performed where such a conflict could exist.
C. AGENCY AUTHORITY OVER COORDINATION
Agency shall have authority over coordination of the activities of Bidder and multiple
Bidders in the site in cases where Agency performs work with its own forces or contracts
with others for the performance of other work on the Project, or utilities perform work on
the Site. Agency may at any time and in its sole discretion, designate a person or entity
other than Agency to have authority over the coordination of the activities of Bidder and
among the various Bidders. Agency's authority with respect to coordination of the
activities of multiple Bidders and utility owners shall not relieve Bidder of its obligation to
other Bidders and utility owners to coordinate its work with other Bidders and utility
owners as specified above. Bidder shall promptly notify Agency in writing when another
Bidder on the Project fails to coordinate its work with the Work of Contract Documents.
2. Bidder shall suspend any part of the Work or carry on the same in such manner if
directed by Agency when such suspension or prosecution is necessary to facilitate the
work of other Bidders or workers on site. No damages or claims by Bidder will be
allowed if the suspension or work change is due in whole or in part to Bidder's failure to
perform its obligation to coordinate its work with other Bidders and utility owners.
Damages or claims will be allowed only to the extent of fault by Agency if the
suspension or work change is due in whole or in part to another Bidder's failure to
coordinate its work with Bidder, other Bidders and utility owners. Agency reserves the
right to back charge Bidder for any damages or claims incurred by other Bidders as a
result of Bidder's failure to perform its obligations to coordinate with other Bidders and
utility owners.
PART 7. AGENCY AUTHORITY
A. AGENCY'S REPRESENTATIVES
Agency's designated authorized representatives are the Assistant City Manager, the
Project Director, and/or City Construction Manager, who shall have authority to act on
behalf of Agency as set forth in Contract Documents. Except as otherwise provided in
these Contract Documents, Agency shall issue all communications to Bidder through the
Project Director and/or Construction Manager and shall issue all communications to
Agency in a written document delivered to Agency. There shall be no communications
between Bidder and Architect or any other personnel perceived to represent the Agency
without the knowledge of the Project Director and/or City Construction Manager. Bidder
shall not take direction from any person except the Project Director and/or City
Construction Manager, and shall be solely responsible for all consequences of his
actions as a result of following directions from persons other than the Engineer.

B. MEANS AND METHODS OF CONSTRUCTION
Subject to those rights specifically reserved in Contract Documents, Agency shall not
supervise, or direct, or have control over, or be responsible for, Bidder's means,
methods, techniques, sequences or procedures of construction, or the safety
precautions and programs incident thereto, or Bidder's failure to comply with laws and
regulations applicable to the furnishing or performance of Work. Agency shall not be
responsible for Bidder's failure to perform or furnish the Work in accordance with
Contract Documents.
PART 8. NOT USED
PART 9. WARRANTIES, GUARANTY AND INSPECTION OF WORK
A. WARRANTY AND GUARANTY
1. Applicable warranties shall commence from the date the completed unit is accepted by
the Agency in operational condition.
2. Bidder further represents and warrants that it is and will be at all times fully qualified and
capable of performing every phase of Work and to complete Work in accordance with
the terms of Contract Documents. Bidder warrants that all work and services shall be
performed in accordance with generally accepted professional standards of good and
sound construction practices and all requirements of Contract Documents. Bidder
warrants that Work, including but not limited to each product, item of materials and
equipment provided and incorporated therein, shall be new, of suitable grade of its
respective kind for its intended use; and free from defects in design, engineering,
materials, construction and workmanship. Bidder warrants that Work shall conform in
all respects with all applicable requirements of federal, state and local laws, applicable
construction codes and standards, licenses, and permits, Drawings and Specifications
and all descriptions set forth therein, and all other requirements of Contract Documents.
3. Bidder represents and warrants that he, his employees and subcontractors, and their
employees shall at all times have and maintain in good standing any and all
certifications and licenses required by applicable federal, state, and other governmental
and agency requirements applicable to the work.
4. In addition to the guarantees by the manufacturer, Bidder shall also guarantee the
furniture to be in accordance with the requirements of the specifications and shall agree,
upon written notice from the Owner, without charge and to the satisfaction of the Owner,
to make such changes, replacements and corrections which may be required to make
good all defects in design or workmanship developing in the furniture under its intended
use with proper care within one (1) year after completion.
5. The entire installation shall be guaranteed for a period of one (1) year against defects in
material or workmanship unless longer time frames are provided by manufacturer's
warranty. This guarantee shall start with the date of acceptance of the installation by
Owner. The Bidder shall make any and all adjustments or repairs necessary to keep the
furniture in satisfactory condition.
6. Extended Guarantees: Any guaranty exceeding one year provided by the supplier or
manufacturer of any products, equipment or materials used in the Project shall be
extended for such term. Bidder expressly agrees to act as co-guarantor of such
equipment and materials and shall supply Agency with all warranty and guarantee

documents relative to products, equipment and materials incorporated in the Project and
guaranteed by their suppliers or manufacturers.
B. INSPECTION OF WORK
1. Bidder shall give Agency timely notice of readiness of Work for all required inspections,
tests or approvals upon delivery and installation, and shall cooperate with inspection and
testing personnel to facilitate required inspections or tests.
2. If Bidder covers any Work, or the work of others, prior to any required inspection, test or
approval without written approval of Agency, Bidder must uncover the Work at Agency's
request. Bidder shall bear the expense of uncovering Work and replacing Work.
3. Inspection of the Work by or on behalf of Agency, or its failure to do so, shall not be
deemed a waiver or approval of any non-conforming aspect of the Work.
C. SAMPLES AND TESTS OF MATERIALS AND WORK
Bidder shall furnish and prepare samples or test specimens at its expense where
required by the Specifications.
D. PROOF OF COMPLIANCE OF CONTRACT PROVISIONS
In order that Agency may determine whether Bidder has complied or is complying with
requirements of Contract Documents not readily enforceable through inspection and
tests of Work and materials, Bidder shall at any time when requested submit to Agency
properly authenticated documents or other satisfactory proofs of compliance with all
applicable requirements.
E. ACCEPTANCE
Inspection by Agency or its authorized agents or representatives, any order or certificate
for the payment of money, any payment, acceptance of the whole or any part of Work by
Agency, any extension of time, any verbal statements on behalf of Agency or its
authorized agents or representatives shall not operate as a waiver or modification of any
provisions of Contract Documents, or of any power reserved to Agency herein or therein or
any right to damages provided in Contract Documents. Any waiver of any breach of
Contract Documents shall not be held to be a waiver of any other subsequent breach.

PART 10. BIDDER'S ORGANIZATION AND EQUIPMENT
A. BIDDER'S LEGAL ADDRESS
1. Address and facsimile number given in bid are hereby designated as Bidder's legal
address and facsimile number. A Bidder may change its legal address and facsimile
number by notice in writing, delivered to Agency, which in conspicuous language advises
Agency of a change in legal address or facsimile number. Delivery to Bidder's legal address
or depositing in any post office or post office box regularly maintained by the United States
Postal Service, in a wrapper with postage affixed, directed to Bidder at legal address, or of
any drawings, notice, letter or other communication, shall be deemed legal and sufficient
service thereof upon Bidder. Facsimile to Bidder's designated facsimile number of any
letter, memorandum, or other communication on standard or legal sized paper, with proof of
facsimile transmission, shall be deemed legal and sufficient service thereof upon Bidder.
PART 11. PROSECUTION AND PROGRESS OF THE WORK
A. SCHEDULES AND EXAMINATIONS OF CONTRACT DOCUMENTS
1. Bidder shall submit schedules and reports, shop drawings and submittals in the
appropriate quantity and within the required time, arrange conferences and meetings
and proceed with the Work in accordance with Contract Documents.
2. No payment shall be due or owing to Bidder until the schedules are submitted to and
accepted by Agency as meeting the requirements of the Contract Documents. Agency's
acceptance of Bidder's schedules will not create any duty of care or impose on Agency
any responsibility for the sequencing, scheduling or progress of Work nor will it interfere
with or relieve Bidder from Bidder's full responsibility therefor.
3. Before commencing any portion of Work, Bidder shall inform Agency in writing as to
time and place at which Bidder wishes to commence Work or deliver products in order
that proper provision for inspection of Work may occur, and to assure measurements
necessary for record and payment. Information shall be given to Agency a reasonable
time in advance so that Agency may make necessary preliminary work without
inconvenience or delay to Bidder.
4. Bidder shall not perform work or deliver products requiring submission of a Shop
Drawing or Sample or other submittal prior to acceptance of the submittal. Any work or
related work performed prior. to said acceptance of the pertinent submittal will be at the
sole expense, responsibility and risk of Bidder.
B. DIMENSIONS AND MEASUREMENTS
1. Bidder shall verify the dimensions shown on Drawings with actual dimensions in a
manner consistent with prudent industry standards and notify the Project Director of any
discrepancies before proceeding with the Work. Bidder shall not willfully construct any
work or deliver products that appear to conflict with the intent of the Contract Documents
or commonly accepted industry standards.
2. No direct payment will be made for Bidder's cost of any Work or delay occasioned by
establishing or checking dimensions or making other measurements, or by inspection,
and no extension of time will be allowed for such delays.

3. The Agency reserves the right to make adjustments in dimensions to accommodate
actual conditions as determined by the Architect. To the extent that these adjustments
do not change the overall scope of the Work or the schedule thereof, Bidder shall have
no grounds for any claims of inconvenience, delay, loss of production, or extra work of
any kind.
PART 12. CLAIMS BY BIDDER
A. GENERAL
Contract Interpretation Disputes: Should it appear to Bidder that Work to be performed
or any of the matters relative to Contract Documents are not satisfactorily detailed or
explained therein, or should any questions arise as to the meaning or intent of Contract
Documents, Bidder shall give written notice to Agency. Bidder shall bear all costs
incurred in giving notice. Agency shall render a determination regarding the issue, and
its decision shall be considered final. Agency shall have the right but not the obligation
to affirm or disaffirm the Architect's interpretation of Drawings or Specifications (if any)
and Agency's decision to affirm or disaffirm shall be final. If Bidder disagrees with
Agency's decision, Bidder's sole and exclusive remedy is to file a claim in accordance
with this Part 12 of these General Conditions. Bidder shall diligently prosecute the
Disputed Work (as defined below) to Final Completion pending resolution of any claim.
2. Work Disputes: Bidder shall give written notice to Agency of any dispute arising under
Contract Documents respecting the true value of any Work performed, the
implementation of Work required by Contract Documents, any Work omitted, any extra
Work that Bidder may be required to perform or time extensions, respecting the size of
any payment to Bidder during the performance of Contract Documents, or of compliance
with Contract Documents procedures. Agency shall render a determination regarding
the issue, and its decision shall be considered final. If Bidder disagrees with Agency's
decision, Bidder's sole and exclusive remedy is to file a claim in accordance with this
Part 12 of these General Conditions. Pending the resolution of any claim, Bidder shall
diligently prosecute the Disputed Work to Final Completion.
3. The claim notice and documentation procedure described in this Part 12 applies to all
claims and disputes arising under Contract Documents, including without limitation any
claim or dispute by any subcontractor or material supplier. All subcontractor and
supplier claims of any type shall be brought only through Bidder as provided in Part 12
of these General Conditions. Under no circumstances shall any subcontractor or
supplier make any direct claim against Agency.
4. "Claim" means a written demand or written assertion by Bidder seeking, as a matter of
right, the payment of money, the adjustment or interpretation of Contract Documents
terms, or other relief arising under or relating to Contract Documents. In order to qualify
as a "claim," the written demand must state that it is a claim submitted under Part 12 of
these General Conditions.
5. A voucher, invoice, payment application, or other routine or authorized form of request
for payment is not a claim under Contract Documents. If such request is disputed as to
liability or amount, then the disputed portion of the submission may be converted to a
claim under Contract Documents by submitting a separate claim in compliance with
claim submission requirements.

6. The provisions of this Part 12 of these General Conditions survive termination or
completion of Contract Documents. Bidder shall bear all costs incurred in the
preparation and submission of a claim.
B. PROCEDURE
1. Should any clarification, determination, action or inaction by Agency, Work, or any other
event, in the opinion of Bidder, exceed the requirements of or not comply with Contract
Documents, or otherwise result in Bidder seeking additional compensation in time or
money for any reason (collectively "Disputed Work"), then Bidder and Agency shall
make good faith attempts to resolve informally any and all such issues, claims and/or
disputes. Before commencing the Disputed Work, or within seven (7) calendar days
after Bidder's first knowledge of the Disputed Work, whichever is earlier, Bidder must file
a written notice and cost proposal for the Disputed Work with Agency stating clearly and
in detail its objection and reasons for contending the Work or interpretation is outside
the requirements of Contract Documents. If a written notice and cost proposal for
Disputed Work is not issued within this time period, or if Bidder proceeds with the
Disputed Work without first having given the notice required by this Paragraph, Bidder
shall waive its rights to further claim on the specific issue.
2. Agency will review Bidder's timely notice and cost proposal for Disputed Work and
provide a decision. If, after receiving the decision, Bidder disagrees with it or still
considers the Work required of it to be outside of the requirements of Contract
Documents, it shall so notify Agency, in writing, within seven (7) calendar days after
receiving the decision, by submitting a notice of potential claim, stating that a formal
claim will be issued. Within thirty (30) calendar days of receiving the decision, Bidder
shall submit its claim in the form specified herein and all arguments, justification, cost or
estimates, schedule analysis, and detailed documentation supporting its position.
Bidder's failure to furnish notification within seven (7) calendar days and all justifying
documentation within thirty (30) calendar days will result in Bidder waiving its right to the
subject claim. If Disputed Work persists longer than thirty (30) days, then Bidder shall,
every thirty (30) days until the Disputed Work ceases, submit to Agency a document
titled "Claim Update" which shall update and quantify all elements of the claim as
completely as possible. Bidder's failure to submit a Claim Update or to quantify costs
every thirty (30) days shall result in waiver of the claim for that thirty (30) day period.
Claims or Claim Updates stating that damages, total damages (direct and indirect)
and/or any time extension will be determined at a later date shall not comply with this
Paragraph and shall result in Bidder waiving its claim(s).
3. Upon receipt of Bidder's formal claim including all arguments, justifications, cost or
estimates, schedule analysis, and documentation supporting its position as previously
stipulated, Agency or its designee will review the issue and render a final determination
4. Claims shall be calculated in the same manner as Change Orders per Section 01250
Modification Procedures. EXCEPT WHERE PROVIDED BY LAW, OR ELSEWHERE
IN THESE CONTRACT DOCUMENTS (IF APPLICABLE), AGENCY SHALL NOT BE
LIABLE FOR SPECIAL OR CONSEQUENTIAL DAMAGES, AND BIDDER SHALL NOT
INCLUDE THEM IN ITS CLAIMS.
C. EXCLUSIVE REMEDY
Bidder's performance of its duties and obligations specified in Part 12 of these General
Conditions and submission of a claim as provided in Part 12 is Bidder's sole and
exclusive remedy for the payment of money, extension of time, the adjustment or
interpretation of Contract Documents terms or other contractual or tort relief arising from

Contract Documents. This exclusive remedy and the limitation of liability (expressed
herein and elsewhere throughout Contract Documents) apply notwithstanding the
completion, termination, suspension, cancellation, breach or rescission of the Work or
Contract Documents, negligence or strict liability by Agency, its representatives,
consultants or agents, or the transfer of Work or the Project to Agency for any reason
whatsoever. Bidder waives all claims of waiver, release, bar, or any other type of
excuse for non-compliance with the claim submission requirements. Compliance with
the notice and claim submission procedures described in Part 12 is a condition
precedent to the right to commence litigation, file a Government Code Claim, or
commence any other legal action. No claim or issues not raised in a timely protest and
timely claim submitted under this Part 12 may be asserted in any Government Code
Claim, subsequent litigation, or legal action. Agency shall not have deemed to waive
any provision under Part 12, if at Agency's sole discretion, a claim is accepted in a
manner not in accordance with Part 12.
PART 13. LEGAL AND MISCELLANEOUS
A. LAWS AND REGULATIONS
1. Bidder shall keep fully informed of and shall comply with all laws, ordinances,
regulations and orders of any properly constituted authority affecting Contract
Documents, Work and persons connected with Work, and shall protect and indemnify
Agency and its officers, employees, consultants and agents, including the Agency's
Construction Manager (Griffin Structures, Inc.) and Architect (Field Paoli) against any
claim or liability, including attorney's fees, arising from or based on violation of law,
ordinance, regulation or order, whether by Bidder or by Subcontractors, employees or
agents. Authorized persons may at any time enter upon any part of Work to ascertain
compliance of all applicable laws, ordinances, regulations and orders.
2. Whenever Drawings and Specifications require large sizes or higher standards than are
required by any applicable law, ordinance, regulation or order, Drawings and
Specifications shall govern. Whenever Drawings and Specifications require something,
which will violate such laws, ordinances, regulations or orders, then such laws,
ordinances, regulations or orders shall govern.
B. PERMITS AND TAXES
1. Bidder shall procure all permits and licenses, pay all charges and fees, and give all
notices necessary and incident to due and lawful prosecution of Work, unless otherwise
provided herein. Agency will pay applicable permits, except as otherwise provided in
Contract Documents. Bidder shall pay all sales and/or use taxes levied on materials,
supplies, or equipment purchased and used on or incorporated into Work, and all other
taxes properly assessed against equipment or other property used in connection with
Work, without any increase in the Contract Price. Bidder shall make necessary
arrangements with proper authorities having jurisdiction over roads, streets, pipelines,
navigable waterways, railroads and other works in advance of operations, even where
Agency may have already obtained permits for the Work.
C. RESPONSIBILITY OF BIDDER AND INDEMNIFICATION
1. Agency, its Construction Manager (Griffin Structures), its Architect (Field Paoli) and
each of its officers, employees, consultants and agents including, but not limited to, the
Agency Board and each Agency representative, shall not be liable or accountable in any
manner for from and against all claims, loss or damages and expenses including but not

limited to attorney fees arising or resulting from the performance of this work and that may
happen to any part of the Work; loss or damage to materials or other things used or
employed in performing the Work; injury, sickness, disease, or death of any person; or
damage to property resulting from any cause whatsoever, and Bidder releases all of the
foregoing persons and entities from any and all such claims.
2. To the furthest extent permitted by law (including without limitation California Civil Code
Section 2782), Bidder shall assume defense of, and indemnify, and hold harmless
Agency and each of its officers, employees, consultants and agents, including, but not
limited to, the Agency Board each Agency representative, from claims, suits, actions,
losses and liability of every kind, nature and description, including but not limited to
attorney's fees and consultant's fees, directly or indirectly arising out of, connected with
or resulting from performance of the Work, failure to perform the Work, or condition of
the Work which is caused in whole or part by any act or omission of Bidder,
Subcontractors, any one directly or indirectly employed by any of them or any one for
whose acts any of them may be liable, regardless of whether it is caused in part by the
negligence of Agency or by any person or entity required to be indemnified hereunder.
3. With respect to third party claims against Bidder, Bidder waives any and all rights to any
type of express or implied indemnity against Agency and each of its officers, employees,
consultants and agents, including, but not limited to, the Agency Board and each
Agency representative.
4. Approval or purchase of any insurance contracts or policies shall in no way relieve from
liability nor limit the liability of Bidder, its Subcontractors of any tier, or their officers or
agents.
5. To the furthest extent permitted by law (including, without limitation, Civil Code Section
2782), the indemnities, releases of liability and limitations of liability, and limitations of
remedy expressed throughout Contract Documents shall apply even in the event of
breach of contract, negligence (active or passive), fault or strict liability of the party[s]
indemnified, released, or limited in liability, and shall survive the termination, rescission,
breach, or completion of Contract Documents. If Bidder fails to perform any of these
defense or indemnity obligations, Agency may in its discretion back charge Bidder for its
costs and damages resulting therefrom and withhold such sums from progress
payments or other contract monies which may become due.
6. The indemnities in Contract Documents shall not apply to any indemnified party to the
extent of its sole negligence or willful misconduct; nor shall they apply to Agency to the
extent of its active negligence.
D. NOT USED
E. SUSPENSION OF WORK
1. Agency may, without cause, order Bidder in writing to suspend, delay or interrupt Work
in whole or in part for such period of time as Agency may determine. An adjustment
shall be made only for increases in any direct costs to the Bidder or contract time. No
adjustment shall be made to extent: (a) that performance is, was or would have been so
suspended, delayed or interrupted by another cause for which Bidder is responsible; or
(b) that an equitable adjustment is made or denied under another provision of Contract
Documents; or (c) that the suspension of work was the direct or indirect result of
Bidder's failure to perform any of its obligations hereunder. Adjustments made in cost
may have a mutually agreed fixed or percentage fee; if the parties cannot agree, Bidder
may file a claim under Part 12 herein.

F. TERMINATION OF CONTRACT FOR CAUSE
Bidder shall be in default of Contract Documents and Agency may terminate Bidder's
right to proceed under Contract Documents, for cause:
a. Should Bidder make an assignment for the benefit of creditors, admit in writing its
inability to pay its debts as they become due, file a voluntary petition in bankruptcy, be
adjudged a bankrupt or insolvent, be the subject of an involuntary petition in
bankruptcy which is not dismissed within 60 days; file a petition or answer seeking for
itself any reorganization, arrangement, composition, readjustment, liquidation,
dissolution, or similar relief under any present or future statute, law, or regulation, filing
any answer admitting or not contesting the material allegations of a petition filed
against Bidder in any such proceeding, or seek, consent to, or acquiesce in, the
appointment of any trustee, receiver, custodian or liquidator of Bidder or of all or any
substantial part of its properties or if Bidder, its directors or shareholders, take action to
dissolve or liquidate Bidder; or
b. Should Bidder commit a material breach of Contract Documents and not cure such
breach within ten (10) calendar days of the date of notice from Agency to Bidder
demanding such cure; or, if such breach is curable but not curable within such ten (10)
day period, within such period of time as is reasonably necessary to accomplish such
cure. (In order for Bidder to avail itself of a time period in excess of 10 calendar days,
Bidder must provide Agency within the 10 day period with a written plan acceptable to
Agency to cure said breach, and then diligently commence and continue such cure
according to the written plan); or
c. Should Bidder violate or allow (by a Subcontractor or other person or entity for which
Bidder is responsible) a violation of any valid law, statute, regulation, rule, ordinance,
permit, license or order of any governmental agency applicable to the Project or Work
and does not cure (or cause to be cured) such violation within ten (10) days of the date
of the notice from Agency to Bidder demanding such cure; or, if such violation is
curable but not curable within such ten (10) day period, within such period of time as is
reasonably necessary to accomplish such cure. (In order for Bidder to avail itself of a
time period in excess of 10 calendar days, Bidder must provide Agency within the 10
day period with a written plan to cure said violation acceptable to Agency, and then
diligently commence and continue performance of such cure according to the written
plan.); or
d. Should any material representation, warranty, declaration, certification or other
statement (together, "representations") made by Bidder in any Bidding Document or
otherwise to Agency in connection with Bidder's obtaining or performing this Contract
prove to be materially incorrect when made, or should Bidder materially breach any
material agreement made in any Bidding Document.
2. If Agency at any time reasonably believes that Bidder is or may be in default under
Contract Documents, as defined above, Agency may in its sole discretion notify Bidder
of this fact and request written assurances from Bidder of performance of Contract
Documents and a written plan from Bidder to remedy any default under the terms of
Contract Documents which Agency may advise Bidder of in writing. Failure of Bidder to
provide such written assurances of performance and the required written plan, within ten
(10) calendar days of demand, will constitute a material breach of Contract Documents
sufficient to justify termination for cause.

3. In the event of termination by Agency as provided in Paragraph 13. F.1 above for cause,
a. Agency shall compensate Bidder for the value of the Work delivered to Agency upon
termination as determined in accordance with Contract Documents, subject to all rights
of offset and back charges, and provided that Bidder provides Agency with record
documents showing the Work performed up to the date of termination. However,
Agency shall not compensate Bidder for its costs in terminating the Work or any
cancellation charges owed to third parties.
4. In the event a termination for cause is determined to have been made wrongfully or
without cause, then the termination shall be treated as a termination for convenience,
and Bidder shall have no greater rights than it would have had following a termination
for convenience. Any Bidder claim arising out of a termination for cause shall be made
in accord with the provisions of Contract Documents on claims and calculated in
accordance with the provisions of Contract Documents on Change Orders and claims.
No other loss cost, damage, expense or liability may be claimed, requested or recovered
by Bidder.
G. REMEDIES
Subject to Contract Documents provisions regarding Bidder claims, claim review, and
claim resolution, and subject to the limitations therein, the exclusive jurisdiction and
venue for resolving all claims, counter-claims, disputes and other matters in question
between Agency and Bidder arising out of or relating to Contract Documents, any
breach thereof or the Project shall be the applicable court of competent jurisdiction
located in the State of California, County of Orange. All Agency remedies provided in
Contract Documents shall be taken and construed as cumulative and not exclusive; that
is, in addition to each and every other remedy herein provided; and in all instances
Agency shall have any and all other equitable and legal rights and remedies which it
would have according to law.
H. SEVERABILITY
Any provisions or portions thereof of Contract Documents which are prohibited by,
unlawful, or unenforceable under any applicable law of any jurisdiction shall as to such
jurisdiction be ineffective without affecting other provisions or portions thereof in
Contract Documents.
PART 14. MODIFICATIONS OF CONTRACT DOCUMENTS
A. ALTERATIONS, MODIFICATIONS AND FORCE ACCOUNT WORK
No modification or deviation from the Drawings and Specifications shall be permitted
except by written Contract Modification.
2. Agency may, without notice to the sureties, make alterations, deviations, additions to, or
deletions from Contract Documents; increase or decrease the quantity of any item or
portion of the Work; change the Contract Times; delete any item or portion of the Work;
and require extra work. Bidder shall perform such work under applicable provisions of
Contract Documents, unless specifically provided otherwise at the time the change is
ordered.
3. Changes affecting time or price of the Work shall be set forth in a written Change Order
that shall specify: (1) the work performed in connection with the change to be made; (2)
the amount of the adjustment of the Contract price, if any, and the basis for
compensation for the work ordered; and (3) the extent of the adjustment in the Contract

time, if any. A Change Order will not become effective until signed by Agency.
4. Changes not affecting the time or price of the Work, in Agency's discretion, may be set
forth in a written Request for Information executed by Agency or other written form
approved by the Agency. Execution of such an RFI constitutes Bidder's agreement to
make the specified change without change to the Contract Price or the Contract Times.
5. Bidder in accordance with Contract Documents shall diligently carry out all Change
Orders. If changes ordered in design, workmanship or materials are of such a nature as
to increase or decrease the cost of any part of the Work, the price fixed in Contract
Documents shall be increased or decreased by the amount that Bidder and Agency may
agree upon as a reasonable and proper allowance for the cost increase or decrease. If
an agreement cannot be reached, then Agency shall reach a determination, which shall
be final, subject to Bidder's rights under Part 12 of these General Conditions. In all
cases Bidder shall perform the changed Work as directed by Agency subject to Bidder's
rights under Part 12 of these General Conditions. In the event the Agency exercises its
rights to decide disputed issues pertaining to changed Work, as set forth above, then
the resulting Change Order shall be effective when signed by the Agency and
notwithstanding the fact that the Bidder has not signed it.
6. Changes in the Work made pursuant to this Paragraph and extensions of Contract Time
necessary by reason thereof shall not in any way release the guarantees/warranties
given by Bidder pursuant to provisions of Contract Documents.
B. ENTIRE AGREEMENT
Contract Documents and any Contract Modifications shall represent the entire and
integrated agreement between Agency and Bidder regarding the subject matters hereof
and thereof and shall constitute the exclusive statement of the terms of the parties'
agreement. Contract Documents and any Contract Modifications shall supersede any
and all prior negotiations, representations or agreements, written or oral, express or
implied, that relate in any way to the subject matter of Contract Documents or written
modifications. Agency and Bidder represent and agree that, except as otherwise
expressly provided in Contract Documents, they are entering into Contract Documents
and any subsequent written modification in sole reliance upon the information set forth
or referenced in Contract Documents or Contract Modifications and the parties are not
and will not rely on any other information.
C. EFFECT OF WAIVERS
1. Either party's waiver of any breach or failure to enforce any of the terms, covenants,
conditions or other provisions of Contract Documents at any time shall not in any way
affect, limit, modify or waive that party's right thereafter to enforce or compel strict
compliance with every term, covenant, condition or other provision hereof, any course of
dealing or custom of the trade or oral representations notwithstanding.

PART 15. LIQUIDATED DAMAGES
A. LIQUIDATED DAMAGES
1. Time is of the essence. Execution of Contract Documents by Bidder shall constitute
acknowledgement by Bidder that Bidder understands, has ascertained and agrees that
Agency will actually sustain damages in the amount fixed in Contract Documents for
each and every calendar day during which completion of Work required is delayed
beyond the time allowed pursuant to provisions hereof. Bidder and Agency agree that
specified measures of liquidated damages shall be presumed to be the damages
actually sustained by Agency as defined below, and that because of the nature of the
Project, it would be impracticable or extremely difficult to fix the actual damages.
2. Liquidated damages shall be considered not as a penalty but as an agreed monetary
damage sustained by Agency for increased project administration expenses, including
extra inspection, construction management and architectural and engineering expenses
and interest expenses related to the Project and Contract Documents because Bidder
failed to perform and complete Work within time fixed for completion or extensions of
time allowed pursuant to provisions hereof. Liquidated damages shall not be deemed to
include within their scope additional damages arising from defective work, lost revenues,
cost of completion of the work, cost of substitute facilities, or damages suffered by
others or other forms of liability claimed against Agency as a result of delay (e.g., delay
or delay related claims of other Bidders, subcontractors or tenants), and defense costs
thereof; Bidder shall be fully responsible for the actual amount of any such damages it
causes, in addition to the liquidated damages otherwise due Agency.
3. There shall be deducted from any money due or to become due to Bidder subsequent to
time for completion of entire Work and extensions of time allowed pursuant to provisions
hereof, a sum representing then accrued liquidated damages. Should Bidder fall behind
the approved Progress Schedule, Agency reserves the right to deduct liquidated
damages based on its estimated period of late completion.
PART 16. WORKING CONDITIONS
A. PROTECTION OF WORK, PERSONS AND PROPERTY
1. Bidder shall be responsible for all damage to Work, property or structures, and all
injuries to persons, arising from the performance of Contract Documents.
a. Bidder shall comply with all applicable laws and regulations of any public body
having jurisdiction for safety of persons or property or to protect them from damage,
injury or loss; and shall erect and maintain all necessary safeguards for such safety
and protection.
b. Bidder shall remedy all damage, injury or loss to any property caused, directly or
indirectly, in whole or in part, by Bidder, any Subcontractor, supplier, or any other
person or organization directly or indirectly employed by any of them to perform or
furnish any Work or anyone for whose acts any of them may be liable. Bidder's
duties and responsibility for safety and for protection of Work shall continue until
such time as all the Work is completed and Final Acceptance of the Work. Agency
and of its agents do not assume any responsibility for collecting any indemnity from
any person or persons causing damage to Bidder's work.
c. Agency may, at its option, retain such moneys due under Contract Documents as
Agency deems necessary until any and all suits or claims against Bidder for injury to
persons or property shall be settled and Agency receives satisfactory evidence to
that effect.

B. NONDISCRIMINATION
1. Bidder shall not discriminate in the employment of persons upon public works because
of race, religious creed, color, national origin, ancestry, physical disability, mental
disability, medical condition, marital status, sexual preference, or gender of such
persons.

INSURANCE
1. GENERAL INFORMATION
A. Definitions. For the purpose of this Document 00822, the term "Agency" or "Owner" shall
include City of Tustin and Tustin Community Redevelopment Agency, its board, officials,
officers, employees, agents, successors, and assigns, and the terms "personal injury"
and "injury to a person" or similar terms including death resulting therefrom and shall not
be limited to bodily injury.
B. Insurance Requirements. Bidder shall purchase and maintain in full force and effect, at
its sole cost and expense, the insurance required by this Document 00822. Prior to
commencement of any Work under the Contract Documents, and any extension thereof,
and until Final Acceptance of the Work, Bidder, and each and every subcontractor (of
every tier) shall, at its sole cost and expense, purchase and maintain not less than the
minimum insurance coverage and limits of insurance with the endorsements and
deductibles indicated in this Document 00822. Such insurance coverage shall be
maintained with insurers and under forms of policies satisfactory to Owner and
otherwise as described in this Document 00822.
2. INSURANCE
Bidders shall take out and maintain during the life of the contract, commercial general
liability, automobile liability, and worker's compensation insurance.
The amount of the- commercial general liability and automobile insurance shall not be
less than the following: Single limit coverage applying to bodily and personal injury
liability and property damage: $1,000,000.00.
The following insurer endorsements are required if not part of the policy:
a. The City of Tustin and Tustin Community Redevelopment Agency (collectively, the
"Agency"), its elective and appointive boards, officers, agents, contractors, the Agency's
Construction Manager (Griffin Structures, Inc.) and Agency's Architect (Field Paoli) and
employees named as additional insureds in the policy as to the work being performed
under the contract;
b. The coverage is primary and no other insurance carried by the Agency will be called
upon to contribute to a loss under this coverage; The policy covers blanket contractual
liability;
c. The policy limits or liability are provided on an occurrence basis;
d. The policy covers broad form property damage liability;
e. The policy covers personal injury as well as bodily injury liability;
f. The policy covers explosion, collapse, and underground hazards;
g. The policy covers products and completed operations;
h. The policy covers use of non-owner automobiles; and

The coverage shall not be cancelled or terminated unless thirty (30) days written notice
is given to the City of Tustin, or ten (10) days notice of cancellation in the event of non-
payment of premium by Bidder.
Insurers shall be authorized to do business in the State by the Department of Insurance
and shall meet the following qualifications:
A.M. Best's Key Rating of Grade A and Class VII (seven) (if an admitted insurer),
and Grade A- or better and Class X (ten) or better (if offered by a Surplus Lines
Broker), is acceptable. Worker's compensation insurance rated Grade B- or
better and Class VII (seven) or better, or offered by the State Compensation
Fund, is acceptable.
k. The worker's compensation and general liability insurance policies shall contain a waiver
of subrogation in favor of the Agency.
Bidder shall provide to the Agency within ten (10) working days after the date of the
notice of award of the contract evidence of the aforementioned insurance with insurer
endorsements, which must meet the requirements of this Article. An Acord Certificate
will be accepted solely as evidence of the name of the insurers and the amounts of
insurance, and will need to be supplemented with all required policy information and
endorsements as required herein. Failure to comply with these requirements will result
in annulment of the award, forfeiture of the proposal guarantee, and the Agency will
pursue award to the next qualified responsive bidder. Bidder is advised that insurance
requirements are non-negotiable and Agency will not consider waiving insurance
requirements. There are no exceptions.

GENERAL SPECIFICATIONS
SECTION 01100
SUMMARY OF WORK/ SPECIAL CONDITIONS/ INSTALLATIONS
1. WORK COVERED BY CONTRACT DOCUMENTS
A. The scope of this contract includes providing miscellaneous furniture and furnishings,
including the products and all labor, materials, equipment and services required to receive,
deliver, and install all items of furniture and furnishings, clean-up and disposal of trash and
debris after installation and related accessories at locations shown on the plans,
established by the specifications, and as directed by the Project Director and/or
Construction Manager.
B. Bidder's Installation is to include but not be limited to, prepaid transportation and all of
the following:
1) Delivery of all furnishings to final building destination when spaces to receive
them have been completed;
2) Movement to and from staging area;
3) Coordinate installations with requirements of relate work
4) Uncrating, assembling and setting in place;
5) Securing, if required to walls or floor;
6) Upon completion of installation, all debris, trash, excess materials, tools, etc.
resulting from this work shall be removed, and hauled away from off-site, leaving
location clean.
C. Any and all installations shall be in accordance with manufacturer's recommendations,
installation instructions, and approved shop drawings (where necessary) at locations
indicated on Drawings or as otherwise instructed by Agency in writing.
D. The Bidder shall instruct Agency's selected personnel in property maintenance and
operation of any furniture or furnishings.
E. The Bidder shall adjust equipment, furniture and furnishings to operate correctly as
requested by Agency and include systematic examination and adjustment.
F. The Bidder shall provide maximum 8 working hour response time for emergency call
back service during maintenance period and ensure competent personnel handle
maintenance service.
G. The Bidder shall clean all exposed surfaces and touch-up marred finishes or replace
components as necessary to eliminate any evidence of damage or deterioration.
2. BID ITEMS
A. Any bid item may be deleted in total or in part by the Agency prior to or after Award of
Contract and prior to issuance of a purchase order without compensation in any form or
adjustment of other bid items or prices therefor.

B. Bidder is to hold miscellaneous furniture and furnishings unit prices for this project for
three (3) months following delivery should the Agency choose to order additional pieces of
any item.
3. BIDDER'S RESPONSIBILITY
A. Bidder shall verify all critical as-built dimensions at furniture locations in building before
fabrication, and inform Agency of any potential problems.
B. Bidder must verify all model numbers of furniture, equipment and fabric with the
manufacturer and verify all fabric requirements for upholstery with manufacturer of
upholstered item.
C. Bidder shall attend site project meeting to coordinate furniture items with other
participants.
D. Bidder shall coordinate with the Agency and/or building General Bidder all data arrival of
furniture at site and a staging area designation, and verify installation date with
completion schedule of Tustin Library Phase I.
E. It is the responsibility of the bidder to become fully informed as to the nature and extent
of the work required and its relation to any other work in the building. Each Bidder shall
carefully examine the specifications and any drawings which might be made part of the
specifications. Any claims of misunderstanding as to either materials to be supplied or
work to be performed will not receive consideration.
F. The submission of the proposal shall constitute an agreement to all provisions referred
to herein and/or indicated on the accompanying drawings. Any variance from the
specifications must be submitted in writing with the bid. Within these specifications, the
word Bidder refers to the vendor supplying and installing the miscellaneous furniture and
furnishings for this project.
G. It is the Bidder's responsibility to verify all quantities and configurations with the
drawings and written specifications. Upon receipt of the purchase order, Bidder
is responsible for confirming item description with manufacturer's numbers. In
the event there are discrepancies, the Bidder shall so inform the Agency before
production of the order begins.
H. The Bidder shall outline at time of bid the time required to receive the various items from
the manufacturer. Any items on which production or delivery time is critical shall be
brought to the attention of the Agency. If no indication is made, items will be assumed
to be available in time.
I. If established move-in dates cannot be met by specified manufacturer, Bidder shall
discuss with Agency, City's Construction Manager possible solutions or alternatives,
including the possible provision of loaner items at no cost to the Agency.
J. Within one month after issuing a purchase order, Bidder has not received written
acknowledgment from the manufacturers, he must contact same and obtain written
acknowledgment.
K. One month prior to delivery and/or move-in, Bidder must contact the manufacture(s) to
confirm all scheduled shipping and delivery dates.

4. PROJECT COORDINATOR
Successful Bidder shall name one person as project coordinator for the work, who will assume
total responsibility. All telephone calls and correspondence will be directed to or through the
City's coordinator with duplicate information to the Agency and the Architect.
5. ADDITIONAL BIDDER REQUIREMENTS
Successful Bidder who is awarded the contract shall:
A. Place the orders with the manufacturers within an appropriate time frame to guarantee the
required delivery date. Copy of manufacturers' acknowledgments may be required by the
Agency.
B. Furnish to the Agency written guarantees from the manufacturers represented to guarantee
all materials and workmanship for a period of one year after installation unless longer time
frames are provided by the manufacturer's warranties. Said warranties shall be provided with
delivery of an item and prior to payment of Bidder.
6. CONTRACT NUMBERS
All paperwork involved in executing this contract, including suppliers' purchase orders, delivery
confirmation, bills of lading, etc. must list the Owner's purchase order numbers.
7. DAMAGED FURNITURE
In case of merchandise damaged in shipment, Bidder shall be responsible for immediate minor
repairs acceptable to Architect and Agency and replacement of all damaged items with new
merchandise from manufacturer on time for installation due date. If this is not possible, Agency
and Architect must be informed immediately.
8. FILING OF CLAIMS:
Successful Bidder shall be responsible for all claims against manufacturing defects and against
the carrier for all freight and/or drayage damage.
9. INSTALLATION SPECIFICATIONS
A. Installation Superintendent:
Bidder will provide a qualified installation superintendent familiar with the methods of
installing each type of furniture to coordinate the entire installation. This superintendent
shall work in a cooperative manner with all trades on the job and with Agency's and
Architect's representatives.
B. Delivery
1. All articles covered by the contract shall be delivered to the job site and placed as
shown on the furniture plan. Each article delivered shall be tagged as to Item Number
and room designation, or such other designation as will facilitate identification of pieces.
All items delivered will be unpacked or uncrated, assembled and completely served on
a ready-to-use basis. This includes vacuuming or wiping clean, as required. Bidder will
be responsible for disposing of boxes, papers, waste daily and leaving premises clean
and in spotless condition.

2. It shall be the responsibility of Bidder to replace, repair or refinish at his warehouse
and leave it perfect condition any damaged item his carrier delivers to the job site.
C. Use of Premises
Coordinate with General Bidder, Agency and City Construction Manager of the building
for access onto the site. All work shall be accomplished with a constant effort to
eliminate unnecessary obstructions and other annoyances. Do not unreasonably
encumber the premises and adjoining streets with materials, equipments, cars or trucks.
Maintain proper access to areas within the building.
D. Damage to Premises
Bidder shall examine all areas where furnishings are to be installed prior to installation
and shall install temporary protection to keep delivered products clean and avoid
damage. All damage to walls, doors, etc. caused by others must be reported. Upon
completion of installation, Bidder will be charged for the General Contractor's repair of
damaged surfaces directly attributable to the installation.
E. Damage to Furnishings
Any damage to furniture items during installation or shipping shall be repaired as
acceptable to Architect and/or Agency or, if necessary, new items shall be ordered.
Agency must be informed immediately of delivery dates for such replacement items.
F. Protection and Security
After installation, protect items from damage; make repairs to equipment and to building
services damaged as a result of installation. Take security measures to protect stored
and installed items. Bidder shall be responsible for all items provided under the contract
until accepted by the Agency.
G. Clean-up
No accumulation of packaging or crating materials is permitted at the site; remove
debris daily from the site. Upon completion for work within an area ready for inspection,
remove temporary protection. Leave area clean and ready for use.
H. Maintenance Instructions
Bidder shall provide full maintenance instructions to the City for all merchandise
supplied and instruct the users of adjustments, flexibility, use, etc. of their furniture.
Installation Procedures:
1) All furniture shall be set plumb, and installed in place as indicated on drawings.
Install level in accordance with manufacturer's recommendations.
2) Where furniture or components supplied by the Bidder are to be installed by other
parties, Bidder is responsible for the following:
a. To inform or inform the other parties of any special instructions or
recommendations from the manufacturer.

b. To supply accurate measurements of the items or components to other
parties.
c. To coordinate delivery of items or components with other parties.
d. To make any final adjustments necessary.
e. To assure that installation meets all local, state and national codes.

GENERAL SPECIFICATIONS
SECTION 01200
PAYMENT
1.01 DETERMINATION OF QUANTITIES
A. Quantity of work to be paid for under any item for which a unit price is fixed in Contract
Documents shall be the number, as determined by Agency, of units of work satisfactorily
completed in accordance with Contract Documents or as directed by Agency. Unless
otherwise provided, determination of number of units of work so completed will be based,
so far as practicable, on actual measurement or count within prescribed or ordered limits,
and no payment will be made for work done outside of limits. Measurements and
computations will be made by methods as Agency may consider appropriate for class of
work measured. Bidder shall immediately inform Agency of any disputes regarding
quantity measurements and shall immediately supply Agency with any documentation
supporting the disputed measurements.
1.02 SCOPE OF PAYMENT
A. Payment to Bidder at the unit price or other price fixed in the contract for Work as
described above shall be full compensation for completing, in accordance with Contract
Documents, all work required under the item or under Contract Documents, and for all
expense incurred by Bidder for any purpose in connection with the performance and
completion of said work, including all incidental work necessary for completion of the
Work.
B. Unless Contract Documents expressly provide otherwise, the Contract Sum shall be
deemed to include:
1. Any and all costs arising from any unforeseen difficulties, which may be encountered
during, and all risks of any description connected with, prosecution of Work, bid item or
unit price item, respectively, until acceptance by Agency;
2. All expenses incurred due to suspension, or discontinuance of Work, bid item or unit
price item, respectively, as provided in Contract Documents;
3. Escalation to allow for cost increases between time of Contract Award and completion
of Work, bid item or unit price item, respectively.
C. Whenever it is specified herein that Bidder is to do work or furnish materials of any class
for which no price is fixed in Contract Documents, it shall be understood that Bidder is to
do such work or furnish such materials without extra charge or allowance or direct
payment of any sort, and that cost of doing work or furnishing materials is to be included in
price bid, unless it is expressly specified herein, in particular cases, that work or material is
to be paid for as extra work.

D. No payment shall be made for materials or equipment not yet incorporated into the Work.
E. Where Bidder requests payment for materials and equipment not incorporated in the
Work, Bidder must satisfy the following conditions:
The materials and/or equipment shall be delivered and suitably stored at the site or at
another local location agreed to in writing, for example, a mutually acceptable
warehouse;
2. Full title to the materials and/or equipment shall vest in Agency at the time of delivery
to the site, warehouse or other storage location;
3. Bidder shall obtain a negotiable warehouse receipt, endorsed over to Agency for
materials and/or equipment stored in an off-site warehouse. No payment shall be
made until such endorsed receipts are delivered to Agency;
4. Stockpiled materials and/or equipment shalt be available for Agency inspection, but
Agency shall have no obligation to inspect them and its inspection or failure to inspect
shall not relieve Bidder of any obligations under the Contract Documents. Materials
and/or equipment shall be segregated and labeled or tagged to specifically identify
these specific Contract Documents;
5. After delivery of materials and/or equipment, if any inherent or acquired defects are
discovered, defective materials and/or equipment shall be removed and replaced with
suitable materials and/or equipment at Bidder's expense;
6. At its expense, Bidder shall insure the materials and/or equipment against theft, fire,
vandalism, and malicious mischief, as well as any other coverages required under the
Contract Documents;
7. Bidder's application for payment shall be accompanied by a bill of sale, invoice or other
documentation warranting that Agency has received the materials and equipment free
and clear of all liens and evidence that the materials and equipment are covered by
appropriate property insurance and other arrangements to protect Agency's interest
therein, all of which must be satisfactory to Agency. This documentation shall include,
but not be limited to, conditional releases of mechanics' liens and stop notices from all
those providing materials and equipment as to which the application for payment
relates, as well as unconditional releases of the same from the same as to the
previous application for payment for which they have not already been provided.
1.03 BASIS OF PAYMENT
A. Unit Pay Quantities: When estimated quantity for specific portions of Work is listed in
Bid Form, quantity of work to be paid for shall be actual number of units satisfactorily
completed in accordance with Contract Documents.
B. Agency does not expressly, or by implication, agree, warrant, or represent in any
manner, that actual amount of Work will correspond with amount shown or estimated
and reserves right to increase or decrease amount of any class or portion of Work, to
leave out entire Bid Item or Items, or to add work not included in Bid, when in its
judgment such change is in best interest of Agency. No change in Work shall be
considered waiver of any other condition of Contract Documents. No claim shall be
made for anticipated profit, for loss of profit, for damages, or for extra payment
whatever, except as otherwise expressly provided for in Contract Documents, because

of any differences between amount of work actually done and estimated amount as set
forth herein, or for elimination of extra Bid Items.
1.04 FINAL PAYMENT
A. As soon as practicable after all required Work is completed in accordance with Contract
Documents, Agency will pay to Bidder, in manner provided by law the whole contract price
of Work determined in accordance with terms of Contract Documents, less payment for
maintenance after acceptance and sums as may be lawfully retained under any provisions
of Contract Documents or by law.
