APPROVE CONSULTANT SERVICES AGREEMENT FOR PROFESSIONAL
CONSULTING AND ENGINEERING SERVICES FOR TUSTIN LEGACY
Approval is requested of a Consultant Services Agreement (CSA) to provide engineering services
to complete the unfinished design and prepare final plans, specifications and costs estimates for
certain Tustin Legacy Backbone Infrastructure projects. The services are also intended to assist
the City in refinement and revision of the City's Disposition Strategy and Business Plan for what
was the Master Developer Footprint at Tustin Legacy.
RECOMMENDATION
It is recommended that the City Council approve a Consultant Services Agreement (CSA) with RBF
Consulting for the provision of certain design and consulting services, subject to any non-
substantive modifications as may be determined necessary as recommended by the City Attorney
and authorize the City Manager and/or Assistant City Manager to execute the document after close
of escrow with Tustin Legacy Community Partners, LLC (TLCP). As noted under Fiscal Impact,
services would be charged to the applicable CIP project account.
FISCAL IMPACT
The professional consulting services will be compensated on a time and material basis based upon
a signed task order for each task. The engineering services will also be performed on a task order
basis with specific deliverables refined and man-hours adjusted to fit the City's exact project needs
as anticipated in the attached scope of services. There are sufficient funds budgeted and
appropriated in this Fiscal Year 2010-2011 Capital Improvement Program for the completion of the
design of the Tustin Ranch Road Improvement Plans, Armstrong Avenue Improvement Plans, and
Warner Avenue Improvement Plans with MCAS Tustin redevelopment project funds. Design of the
non-capital improvement program facilities and the consulting services will be funded through the
MCAS Tustin RDA Capital Project Account (Fund 555).
DISCUSSION/BACKGROUND
With the recent City Council approval of a Termination and Settlement Agreement between the
City of Tustin, Tustin Public Financing Authority and Tustin Legacy Community Partners, LLC
("TLCP") related to the Disposition and Development Agreement for the Master Developer site, the
City is now desirous of completing design of unfinished plans for certain Tustin Legacy Backbone
Infrastructure projects that TLCP started and never completed. Many of these plans are near
completion. The work tasks for the design of the infrastructure plans will be prioritized and task
work orders will be issued as needed to support anticipated development.

Given their expertise in land use, development and engineering issues, RBF Consulting has also
been asked to support any City effort to refine and revise a subsequent disposition strategy and
business plan for the former master developer footprint at Tustin Legacy. This may include
identifying early implementation opportunities, mid-term opportunities, and longer term
opportunities for development.
The City requested and received a proposal for consulting and engineering services from RBF
Consulting based upon their familiarity and experience with the work required. They were
previously retained by TLCP to prepare and represent their planning efforts and documents, and
their engineering design plans. Due to their vast knowledge of the project and their working
relationships with regulatory agencies and the City they were determined to be the most qualified
to provide the required services at this time. Since most of the engineering design plans are near
completion, procuring their services would benefit the Legacy development progress in time and
money savings and be a more cost efficient approach to completion of engineering plans. Going
out through a solicitation process would result in the City needing to reeducate a new engineering
firm to the complexities of the Tustin Legacy project.

CONSULTANT SERVICES AGREEMENT
This Agreement for Consultant Services (herein "Agreement"), is made and entered
into this day of , 2010, by and between the CITY OF TUSTIN, a
municipal corporation ("City"), and RBF Consulting, a California corporation ("Consultant").
WHEREAS, Consultant is qualified to provide the necessary services and has
agreed to provide such services; and .
WHEREAS, Consultant has submitted to City a Proposal and Scope of Work, dated
July 27, 2010, a copy of which is attached hereto as Exhibit "A", and is by this reference
incorporated herein as though set forth in full hereto (the "proposal and scope of work").
NOW, THEREFORE, in consideration of the premises and mutual agreements
contained herein, City agrees to employ and does hereby employ Consultant and
Consultant agrees to provide consulting services as follows:
1. SERVICES OF CONSULTANT
1.1 Scope of Services. Incompliance with all terms and conditions of this
Agreement, Consultant shall provide those services specfied in the Proposal and Scope
of Work attached hereto as Exhibit "A" and incorporated herein by this reference (the
"services" or the "work"). Consultant warrants that all services shall be performed in a
competent, professional and satisfactory manner in accorclance with all standarcls
prevalent in the industry. In the event of any inconsistency between the terms contained in
Exhibit "A" and the terms set forth in the main body of this Agreement, the terms set forth
in the main body of this Agreement shall govern.
1.2 Compliance with Law. All services rendered hereunder shall be
provided in accordance with all laws, ordinances, resolutions, statutes, rules, and
regulations of the City of Tustin and of any federal, state or local governmental agency of
competent jurisdiction.
1.3 Licenses and Permits. Consultant shall obtain at its sole cost and
expense such licenses, permits and approvals as may be required by law for the
performance of the services required by this Agreement.
1.4 Familiarity with Work. By executing this Contract, Consultant
warrants that Consultant (a) has thoroughly investigated and considered the work to be
performed, (b) has investigated the site of the work and become fully acquainted with the
conditions there existing, (c) has carefully considered how the work should be performed,
and (d) fully understands the facilities, difficulties and restrictions attending performance of
the work under this Agreement.

Should the Consultant discover any latent or unknown conditions materially differing from
those inherent in the work or as represented by the City, Consultant shall immediately
inform City of such fact and shall not proceed with any work except at Consultant's risk
until written instructions are received from the Contract Officer.
1.5 Care of Work. Consultant shall adopt and follow reasonable
procedures and methods during the term of the Agreement to prevent loss or damage to
materials, papers or other components of the work, and shall be responsible for all such
damage until acceptance of the work by City, except such loss or damages as may be
caused by City's own negligence.
1.6 Additional Services. Consultant shall perform services in addition to
those specified in the Proposal when directed to do so in writing by the Contract Officer,
provided that Consultant shall not be required to perform any additional services without
compensation. Any additional compensation not exceeding ten percent (10%) of the
original Contract sum must be approved in writing by the Contract Officer. Any greater
increase must be approved in writing by the City Manager.
1.7 Special Requirements. Any additional terms and conditions of this
Agreement, are set forth in Exhibits "B" and "C" and are incorporated herein by this
reference. In the event of a conflict between the provisions of Exhibit "B" and "C", and any
other provision or provisions of this Agreement including Exhibit "A", the provisions of
Exhibits "B" and "C" shall govern.
2. COMPENSATION
2.1 Comaensation of Consultant. For the services rendered pursuant to
this Agreement, the Consultant shall be compensated and reimbursed only such amount
as are prescribed in Exhibit "C".
2.2 Method of Payment. In any month in which Consultant wishes to
receive payment, Consultant shall no later than the first working day of such month, submit
to City in the form approved by City's Director of Finance, an invoice for services rendered
prior to the date of the invoice. City shall pay Consultant for all expenses stated thereon
which are approved by City consistent with this Agreement, no later than the last working
day of said month.
2.3 Chanqes. In the event any change or changes in the work is
requested by City, the parties hereto shall execute an addendum to this Agreement,
setting forth with particularity all terms of such addendum, including, but not limited to, any
additional Consultant's fees.

Addenda may be entered into:
A. To provide for revisions or modfications to documents or other
work product or work when documents or other work product or work is required by the
enactment or revision of law subsequent to the preparation of any documents, other work
product or work.
B. To provide for additional services not included in this
Agreement or not customarily furnished in accordance with generally accepted practice in
Consultant's profession.
2.4 Payment for Changes. Changes approved pursuant to an Addendum
shall be compensated at the personnel hourly rates prescribed in Exhibit "C" hereto. Note:
Exhibit "C" prohibits billing for travel.
3. PERFORMANCE SCHEDULE
3.1 Time of Essence. Time is of the essence in the performance of this
Agreement.
3.2 Schedule of Performance. All services rendered pursuant to this
Agreement shall be performed within any time periods prescribed in any Schedule of
Performance attached hereto marked Exhibit "D". The extension of any time period
specified in the Exhibit "D" must be approved in writing by the Contract Officer.
3.3 Fonre Maieure. The time for performance of services to be rendered
pursuant to this Agreement may be extended because of any delays due to unforeseeable
causes beyond the control and without the fault or negligence of the Consultant, including,
but not restricted to, acts of God or of a public enemy, acts of the government, fires,
earthquakes, floods, epidemic, quarantine restrictions, riots, strikes, freight embargoes,
and unusually severe weather if the Consultant shall within ten (10) days of the
commencement of such condition notify the Contract Officer who shall thereupon ascertain
the facts and the extent of any necessary delay, and extend the time for performing the
services for the period of the enforced delay when and if in the Contract Officer's judgment
such delay is justified, and the Contrail Officer's determination shall be final and
conclusive upon the parties to this Agreement.
3.4 Term. Unless earlier terminated in accordance with Seilion 7.7 of
this Agreement, this Agreement shall continue in full force and effect until satisfactory
completion of the services but not exceeding one (1) year from the date hereof, unless
extended by mutual written agreement of the parties.

4. COORDINATION OF WORK
4.1 Rearesentative of Consultant. The following Principal of the
Consultant is hereby designated as being the principal and representative of Consultant
authorized to act in its behalf with respect to the work specified herein and make all
decisions in connection therewith:

It is expressly understood that the experience, knowledge, capability and reputation of the
foregoing Principal is a substantial inducement for City to enter into this Agreement.
Therefore, the foregoing Principal shall be responsible during the term of this Agreement
for directing all activities of Consultant and devoting sufficient time to personally supervise
the services hereunder. The foregoing Principal may not be changed by Consultant
without the express written approval of City.
4.2 Contract Officer. The Contract Officers shall be the Assistant City
Manager and Public Works Director unless othervvise designated in writing by the City
Manager. It shall be the Consultant's responsibility to keep Contract Officers fully informed
of the progress of the performance of the. services and Consultant shall refer any decisions
which must be made by City to the Contract Officers. Unless otherwise specified herein,
any approval of City required hereunder shall mean the approval of the Contract Officers.
4.3 Prohibition Against Subcontracting or Assignment. The experience,
knowledge, capability, and reputation of Consultant, its principals, and employees were a
substantial inducement for the City to enter into this Agreement. Therefore, Consultant
shall not contract with any other entity to perform in whole or in part the services required
hereunder without the express written approval of the City. In addition, neither this
Agreement nor any interest herein may be assigned or transferred, voluntarily or by
operation of law, without the prior written approval of City.
4.4 Indeaendent Contractor. Neither the City nor any of its employees
shall have any control over the manner, mode or means by which Consultant, its agents or
employees perform the services required herein, except as otherwise set forth herein.
Consultant shall perform all services required herein as an independent contractor of City
and shall remain at all times as to City a wholly independent contractor with only such
obligations as are consistent .with that role. Consultant shall not at any time or in any
manner represent that it or any of its agents or employees are agents or employees of
City. Consultant shall be solely responsible for compliance with. State and Federal Law
with respect to the wages, hours, benefits, and working conditions of its employees,
including requirement for payroll deductions for taxes. Employees or independent
contractors of Consultant are not City employees.

5. INSURANCE /INDEMNIFICATION
5.1 Insurance.
A. Consultant shall maintain in full force and effect during the
term of these Agreement policies of commercial general liability and automobile liability
insurance (each of which shall include property damage and bodily injury) and each with
limits of at least $1,000,000 combined single limit coverage per occurrence.
B. Consultant shall maintain in full force and effect during the
term of this Agreement a policy of professional liability insurance coverage with limits of at
least $2,000,000 combined single limit coverage per claim or per occurrence. If
Consultant provides claims made professional liability insurance, Consultant shall also
agree in writing either (1) to purchase tail insurance in the' amount required by this
Agreement or to cover claims made within five (5) years of the completion of Consultant's
service under this Agreement, or (2) to maintain professional liability insurance coverage
with the same carrier in the amount required by this Agreement for at least five (5) years
after completion of Consultant's services under this Agreement. Consultant shall also
provide evidence to the City of the purchase of the required tail insurance or continuation
of the professional liability policy by executing a Letter Agreement on Consultant's
lettefiead for of which is included and attached to Exhibit °B-1 ".
C. Consultant shall carry and pay for such workers'
compensation insurance as is required fully protect Consultant and its employees under
California Worker's Compensation Insurance Law. The insurance company shall agree to
waive all rights of subrogation against the City for losses paid under the policy, which
losses arose from the work performed by the named insured.
D. Other applicable insurance requirements are: (1) Name the
City of Tustin, its officials and employees as an additional insured on the commercial,
general and automobile policies. (2) The insurance shall be issued by a company
authorized by the Insurance Department of the State of California and rated Grade A and
Class VII or better (if an admitted carrier) or Grade A- and Class X (if offered by a surplus
line broker), by the latest edition of Best's Key Rating Guide, except that the City will
accept workers' compensation insurance rated Grade B and Class VIII or better, or from
the State Compensation Fund. (3) The Insurance shall not be cancelled, except after thirty
(30) days written prior notice to the City. (4) The commercial general and automobile
liability insurance shall each be primary as respects the City, and any other insurance
maintained by the City shall be in excess of this insurance and not contribute to it.
E. Upon execution of this Agreement, Consultant shall provide to
City certificates of insurance and insurer endorsements evidencing the requined insurance.
Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as
evidence of meeting the requirements of Subsections (1), (3), and (4) of Section 7D above
and the waiver of subrogation requirement in Section C above. If self-insured for worker's

compensation, Consultant shall submit to City a copy of its certfication of self-insurance
issued by the Department of Industrial Relations.
5.2 Indemnification. The Consultant shall defend, indemnify and hold
harmless the City, its officers and employees, from and against any and atl actions, suits,
proceedings, claims, demands, losses, costs, and expenses, including legal costs and
attorneys' fees, for injury to or death of person or persons, for damage to property,
including property owned by City arising from errors and omissions of Consultant, its
officers, employees and agents, and arising out of or related to Consultant's performance
under this Agreement, except for such loss as may be caused by City's sole negligence or
that of its officers or employees.
The Consultant shall also defend, indemnify and hold the City harmless from any claims or
liability for City health and welfare, retirement benefits, or any other benefits of part-time or
fulltime City employment sought by Consultant's officers, employees, or independent
contractors, whether legal action ,administrative proceeding or pursuant to State statue.
6. RECORDS AND REPORTS
6.1 Reports. Consultant shall periodically prepare and submit to. the
Contract Officer such reports concerning the performance of the services required by this
Agreement as the Contract Officer shall require.
6.2 Recorcis. Consultant shall keep such books and recorcJs as shall be
necessary to properly perform the services required by this Agneement and enable the
Contract Officer to evaluate the performance of such services. The Contract Officer shall
have full and free access to such books and records at all reasonable times, including the
right to inspect, copy, audit and make records and transcripts from such records.
6.3 Ownership of Documents. All drawings, specifications, reports,
records, documents and other materials prepared by Consultant in the performance of this
Agreement shall be the property of City and shall be delivered to City upon n~quest of the
Contract Officer or upon the termination of this Agreement, and Consultant shall have no
claim for further employment or additional compensation as a result of the exercise by City
of its full rights or ownership of the documents and materials hereunder. Consultant may
retain copies of such documents for its own use. Consultant shall have an unrestricted
right to use the concepts embodied therein.
6.4 Release of Documents. All drawings, specifications, reports, records,
documents and other materials prepared by Consultant in the performance of services
under this Agreement shall not be released publicly without the prior written approval of
the Contract Officer.

7. ENFORCEMENT OF AGREEMENT
7.1 Califomia Law. This Agreement shall be construed and interpreted
both as to validity and to performance of the parties in accordance with the laws of the
State of Califomia. Legal actions concerning any dispute, claim or matter arising out of or
in relation to this Agreement shall be instituted in the Superior Court of the County of
Orange, State of Califomia, or any other appropriate court in such county, and Consultant
covenants and agrees to submit to the personal jurisdiction of such court in the event of
such action.
7.2 Disputes. In the event of any dispute arising under this Agreement,
the injured party shall notify the injuring party in writing of its contentions by submitting a
claim therefor. The injured party shall continue performing its obligations hereunder so
long as the injuring party cures any default within ninety (90) days after service of the
notice, or if the cure of the defau~ is commenced within thirty (30) days after service of
said notice and is cured within a reasonable time after commencement; provided that if the
default is an immediate danger to the health, safety and general welfare, the City may take
immediate action under Section 7.6 of this Agreement. Compliance with the provisions of
this Section shall be a condition precedent to any legal action, and such compliance shall
not be a waiver of any party's right to take legal action in the event that the dispute is not
cured.
7.3 Waiver. No delay or omission in the exercise of any right or remedy
of anon-defaulting party on any default shall impair such right or remedy or be construed
as a waiver. No consent or approval of City shall be deemed to waive or render
unnecessary City's consent to or approval of any subsequent act of Consultant. Any
waiver by either party of any default must be in writing and shall not be a waiver of any
other default concerning the same or any other provision of this Agreement.
7.4 Rights and Remedies are Cumulative. Except with respect to rights
and remedies expressly declared to be exclusive in this Agreement, the rights and
remedies of the parties are cumulative and the exercise by either party of one or more of
such rights or remedies shall not preclude the exercise by it, at the same or different times,
of any other rights or remedies for the same default or any other default by the other party.
7.5 Legal Action. In addition to any other rights or remedies, either party
may take legal action, in law or in equity, to cure, correct or remedy any default, to recover
damages for any default, to compel specific performance of this Agreement, to obtain
injunctive relief, a declaratory judgment or any other remedy consistent with the purposes
of this Agreement.
7.6 Termination Prior to Expiration of Term. The City reserves the right
to terminate this Agreement at any time, with or without cause, upon thirty (30) days
written notice to Consultant, except that where termination is due to the fault of the
Consultant and constitutes an immediate danger to health, safety and general welfare, the
period of notice shall be such shorter time as may be appropriate. Upon receipt of the

notice of termination, Consultant shall immediately cease all services hereunder except
such as may be specifically approved by the Contract Officer. Consultant shall be entitled
to compensation for all services rendered prior to receipt of the notice of termination and
for any services authorized by the Contract Officer thereafter.
7.7 Termination for Default of Consultant. If termination is due to the
failure of the Consultant to fulfill its obligations under this Agreement, City may take over
the work and prosecute the same to completion by contract or otherwise, and the
Consultant shall be liable to the extent that the total cost for completion of the services
required hereunder exceeds the compensation herein stipulated, provided that the City
shall use reasonable efforts to mitigate damages, and City may withhold any payments to
the Consultant for the purpose of set-off or partial payment of the amounts owed to City.
7.8 Attomevs Fees. If either party commences an action against the
other party arising out of or in connection with this Agreement or it subject matter, the
prevailing party shall be entitled to recover reasonable attorneys' fees and costs of suit
from the losing party.
8. CITY OFFICERS AND EMPLOYEES; NON-DISCRIMINATION
8.1 Non-Liability of City Officers and Employees. No officer or employee
of City shall be personalty liable to the Consultant, or any successor-in-interest, in the
event of any default or breach by the City or for any amount which may become due to the
Consultant or its successor, or for breach of any obligation of the terms of this Agreement.
8.2 Covenant Against Discrimination. Consultant covenants that, by and
for itself, its heirs, executors, assigns, and all persons claiming under or through them, that
there shall be no discrimination or segregation in the performance of or in connection with
this Agreement regarding any person or group of persons on account of race, color, creed,
religion, sex, marital status, national origin, or ancestry. Consultant shall take affirmative
action to insure that applicants and employees are treated without regard to their race,
color, creed, religion, sex, marital status, national origin, or ancestry.
9. MISCELLANEOUS PROVISIONS
9.1 Notice. Any notice, demand, request, consent, approval, or
communication either party desires or is required to give to the other party or any other
person shall be in writing and either served personally or sent by pre-paid, first-class mail
to the address set forth below. Either party may change its address by notifying the other
party of the change of address in writing. Notice shall be deemed communicated forty-
eight (48) hours from the time of mailing if mailed as provided in this Section.

9.2 Integrated Agreement. This Agreement contains all of the
agreements of the parties and cannot be amended or modfied except by written
agreement.
9.3 Amendment. This Agreement may be amended at any time by the
mutual consent of the parties by an instrument in writing.
9.4 Severability. In the event that any one or more of the phrases,
sentences, clauses, paragraphs, or sections contained in this Agreement shall be declared
invalid or unenforceable by valid judgment or decree of a court of competent jurisdiction,
such invalidity or uner~forceability shall not affect any of the remaining phrases, sentences,
clauses, paragraphs, or sections of this Agreement, which shall be interpreted to carry out
the intent of the parties hereunder.
9.5 Con~orate Authority. The persons executing this Agreement on
behalf of the parties hereto warrant that they are duly authorized to execute this
Agreement on behalf of said parties and that by so executing this Agreement the parties
hereto are formally bound to the provisions of this Agreement.

SCOPE OF SERVICES
RBF will provide the following services:
Scone 1 Core Team Meetings and Consultation
RBF's team of planners and engineers would meet on an as-needed basis over a four
to six month period to discuss strategies for the disposition of the Tustin Legacy "Master
Developer' footprint as the property reverts to City ownership.
Anticipated staff for this effort may include the following senior-level staff:

PROPOSAL
ARMSTRONG AVENUE IMPROVEMENT PLANS
SCOPE OF WORK
Armstrong Avenue Improvement plan (Project) is being proposed by the City of Tustin (Client).
The project consists of completing the final Plans, Spec cations, and Estimate (PS&E) design
of Armstrong Avenue from Barranca Parkway to Wamer Avenue within the City of Tustin. The
Armstrong Avenue project is approximately 2,700 feet of new roadway within the Tustin Legacy
Development Master Plan community. It is assumed the Wamer Avenue and Barranca
Parkway intersection improvements will be provided under separate contract, therefore, the
terminus of this project will be at the join of the intersection improvements.
RBF Consulting (Consultant) will perform the scope of work as outlined below in order to
complete the PSSE design. The PS&E design will produce final design plans, specifications
and quantity estimate of Armstrong Avenue to be publicly bid for construction in accordance
with the City of Tustin processing procedure. The final PS&E design package will consist of
street improvement plans, storm drain plans, signing and striping plans, traffic signal
interconnect plans and traffic signal plans. Documents will be consistent with the City of
Tustin's standard plans and spec cations for public works construction.
BASIS OF UNDERSTANDING
Relying upon the knowledge gained by Consultant, our scope of work is based upon the
following understandings:
1. The project will be a public street with the limits described above.
2. The project was previously under design by the Tustin Legacy Community Partnership
(TLCP) and in plan check. The Consultants scope of work is based on the completion
of these plans and that the Client will provide the latest plan check red lines.
3. This scope of work is also based on the fact that TLCP will release to the Client all
AutoCAD files and originals previously created by the Consultant.
4. Consultant's design will only coordinate the design of the natural gas, telephone,
communications and cable television with the utility companies. The utility companies
will provide the design of these "dry' utilities.

due to a more detailed final report for Legacy Park Neighborhood "D°. Includes hydraulic
calculations and excludes hydrology calculations, based on the approved Hydrology and
Hydraulic report. It is assumed the storm drain system has not been constructed.

Consultant shall provide professional landscape architectural design services to update the
planting and irrigation construction documents for the medians for the backbone street.
Consultant will only show the median improvements as part of the construction documents,
which will include a title sheet, median paving details, planting plans, irrigation plans, AB 1881
calculations and drawing requirements, spec cations, and an Opinion of Probable Construction
Costs. (independent set - 7 Sheets). It is assumed that the Landscape Plans will go through
three (3) plan check review submittals to the City of Tustin and the Irvine Ranch Water District.
Task 7 Drv Utility Consult/nsir
Consultant's services include the Southern California Edison (SCE) applicant design for
backbone improvements, including street light design and a two part composite design
consisting of entry features, landscape features, all wet utility locations, electric, telephone, gas
and cable television structure locations, trench path and specifications. Part I will be prepared
during the design development stage and will assist the team in eliminating design conflicts.
The Part 1 composite can also be used to facilitate the bid process. The Part II composite will
reflect all final site designs and will be a valuable plan during the construction phase. Both
composites are submitted to the dry utility engineering staff to facilitate their design
development and speed the turnaround of final designs.

C) Utility Composite Services:
PART 1
• Prepare color utility composite and conflict exhibit depicting wet and dry utility locations
to include: Joint and sole trench path, transformers, handholes, pedestals, street lights,
meter pedestals, irrigation controllers, street crossings, landscape features, and all
other facilities as requested by Client prior to construction.
• Coordinate with client 8 team members to adjust dry utilities as necessary. This
process will assist in reducing landscape, wet ~ dry utility improvement design conflicts.
• Submit composite to telephone, gas and cable television engineering staff to assist in
their design preparation and structure location approvals. Acceptance of our design will
reduce design conflicts and delays by utility staff.
• Specifications and drawings for conduit and substructures to be installed inside
buildings are excluded.
PART 2
• Update conflict composite as wet, dry and landscape features are finalized.

Consultant shall prepare the Final Technical Special Provisions portion of the Construction
Specifications and Contract Documents suitable for public bidding and awarding of the
Contract. Specifications will be prepared in accordance with the City of Tustin approved format.
Comments from the City from prior submittals will be incorporated into the subsequent Special
Provisions submittals. These special provisions will be incorporated into the City's standard
construction document package. The City will provide Consultant with City of Tustin standard
"boiler plate° construction document for use in the preparation of the bid spec cation.
Task 9 Final Construction Quantity and Cost Estimate
Consultant shall prepare the Final Quantity and Cost Estimate for this project. Unit costs will be
based upon the most current cost information for recent similar project in the area compiled by
the Consultant and approved by the City.
Task 10 Acrencv AQarovals/Pennits
Consultant will prepare and endeavor to obtain permits for construction of the improvements.
Submittals to local agencies should include all plans and required backup data for review.
Consultant shall receive written comments from all participating agencies. Consultant will meet
collectively with all participating agencies to resolve outstanding issues relative to agency
comments. Consultant will prepare final dispositions for each review comment for submittal to
the Agencies. Consultant will make revisions to PS&E documents following plan check
submittal and provide final revised quantity take-offs and cost estimates. When revisions have
been made, Consultant will obtain signatures and provide the requested number of stamped
plans to the City. The initial budget for this task is 4 hours. Additional services will be performed,
if required, on an hourly basis for an additional fee.
Task 11 Project Manas~ement and Administration
Consultant will supervise, coordinate, monitor and review design for conformance with City
standards, policies and procedures.

Task 12 Meetins~s
Consultant will attend meetings, prepare agendas and prepare meeting notes for distribution to
the project team members. It is anticipated that meeting notes will be distributed by a-mail and
that a final hard copy version will be provided to the Client for their files. All meetings will be
tracked separately from other items of work. Tasks covered will include agenda preparation,
meeting attendance, meeting minutes and distribution of said items. The initial budget for this
task is 5 hours. Additional services will be performed, if required, on an hourly basis for an

Valencia Avenue (North Loop) Improvement plan (Project) is being proposed by the City of
Tustin (Client). The project consists of completing the final Plans, Specifications, and Estimate
(PSBE) design of Valencia Avenue from Kensington Park Drive to Tustin Ranch Road within the
City of Tustin. The Valencia Avenue project is approximately 600 feet of new roadway within the
Tustin Legacy Development Master Plan community. It is assumed the Tustin Ranch Road
intersection improvements will be provided under separate contract, therefore, the terminus of
this project will be at the join of the intersection improvements.

IRWD design, drafting, policy and procedure manuals. Plans will be submitted as 100% (Final)
plans at a scale of 1" = 40' horizontal and 1" = 4' vertical. Consultant will coordinate with IRWD
and meet with IRWD staff to clarify design issues and standards associated with the design and
plan approval of the recycled water improvement plans.
Any engineering services related to offsite main extensions or other major transmission mains,
pump stations, reservoirs, offsite pressure regulating stations or other major facilities required
by IRWD will be completed under separate contract for an additional fee.
Task 4 Sewer Plans
Consultant will prepare Sewer Improvement Plans per IRWD standards for about 500 LF of 10-
inch pipe in Valencia Avenue.
All sewer improvement plan types will be completed in conformance with the latest design,
drafting, policy and procedure manuals of IRWD. Plans will be submitted as 100% (Final) plans
at a scale of 1" = 40' horizontal and 1" = 4' vertical. Consultant will coordinate with IRWD and
meet with IRWD staff to clarify design issues and standards associated with the design and

PROPOSAL
TUSTIN RANCH ROAD IMPROVEMENT PLANS
SCOPE OF WORK
Tustin Ranch Road Improvement plan (project) is being proposed by the City of Tustin (client).
The project consists of completing the final Plans, Specifications, and Estimate (PSBE) design
of Tustin Ranch Road from blamer Avenue (North) to Walnut Avenue within the City of Tustin.
The project development roadway system will consists of approximately 7,500 feet of new
Tustin Ranch Road and approximately 1,000 feet of a new loop ramp at Edinger Avenue. The
project also contains a bridge overhead spanning 410 feet over Edinger Avenue, the
SCRRA/OCTA railroad, and the Orange County RDMD Santa Fe drainage channel.
RBF Consulting (Consultant) will perform the scope of work as outlined below in order to
complete the PS~E design. The PSBE design will produce final design plans, spec cations
and quantity estimate of Tustin Ranch Road in two (2) separate final P S $E design packages to
be publicly bid for construction in accordance with the City of Tustin procedures. The two (2)
design packages will be separated at Valencia Avenue: Package 1) Tustin Ranch Road design
package from blamer Avenue (North) to Valencia Avenue; and Package 2) Tustin Ranch Road
design package from north of Valencia Avenue to Walnut Avenue. Each final design package
will consist of final street improvement plans, signing and striping plans, traffic signal
interconnect plans and traffic signal plans. In addition, design Package 2) will provide roadway
storm drain design plans, the structural bridge plans over Edinger Avenue and demolition plans
for work within Edinger Avenue. All documents will be consistent with the approving agencies,
and the standard plans and spec cations for public works construction.
Consultant shall perform the scope of work described herein based upon the following:
BASIS OF UNDERSTANDING
Relying upon the knowledge gained by Consultant, our scope of work is based upon the
following understandings:
The project will be a public street with the limits described above.
2. The project was previously under design by the Tustin Legacy Community Partnership
(TLCP) and in plan check. The Consultants scope of work is based on the completion
of these plans and that the Client will provide the latest plan check red lines.
3. This scope of work is also based on the fact that TLCP will release to the Client all
AutoCAD files and originals previously created by the Consultant or Hunsaker ~
Associates for TLCP.
4. Consultant's design will only coordinate the design of the natural gas, telephone,
communications and cable television with the utility companies. The utility companies
will provide the design of these "dry" utilities.

Avenue to Walnut Avenue (independent set - 5 sheets). Assumes very minor corrections
required and ready for mylar submittal. Also assumes Hydrology and Hydraulic report is
approved. Does not account for any outlet mod cations at Valencia Avenue, if rrequired.

Consultant shall complete the Tustin Ranch Road Signing and Striping Plans Package 1 (4
sheets). Assumes minor con-actions required and one resubmittal prior to mylar submittal.

Task 9 Shorins>r and Falsework Design
The latest SCRRA Grade Separation Guidelines dated July 2009 now requires all overhead
structure projects to design and develop shoring and falsework plans. Prior to the July 2009
Guideline, SCRRA did not require shoring and falsework plans to be developed by the bridge
designer.

Two separate temporary shoring designs will be prepared for the construction of Bent 3 and
Bent 4 to retain heights of 16' and 20', respectively. The level of effort is based on a shoring
system that consists of soldier piles with tieback anchors and timber lagging. The shoring
scope of work and design fee may need to be adjusted if a different structure alternative is
selected for final design.
Falsework plans and calculations will be prepared primarily to size the falsework beams that will
span over the tracks and to determine the footprint of the support falsework bents. This is
mainly to determine the temporary horizontal and vertical clearances during construction.
Task 10 Tustin Ranch Road/Warner Avenue (North) Traffic Sis~na/ Plans
Consultant shall complete the Tustin Ranch Road/Wamer Avenue (North) Traffic Signal Plans
(independent set - 4 sheets). Assumes minor corrections and ready for mylar submittal.

Consultant will prepare Domestic Water Improvement Plans per IRWD standards for about
3,600 linear feet (LF) of 12-inch pipe in Tustin Ranch Road.
All domestic water improvement plans will be prepared in accordance with the latest IRWD
design, drafting, policy and procedure manuals. Plans will be submitted as 100% (Final) plans
at a scale of 1" = 40' horizontal and 1" = 4' vertical. Consultant will coordinate with IRWD and
meet with IRWD staff to clarify design issues and standards associated with the design and plan
approval of the domestic water improvement plans.
Any engineering services related to offsite main extensions or other major transmission mains,
pump stations, reservoirs, offsite pressure regulating stations or other major facilities required
by IRWD will be completed under separate contract for an additional fee.

Task 76 Recycled Water Plans
Consultant will prepare Recycled Water Improvement Plans per IRWD standards for about
3,500 LF of 6-inch pipe in Tustin Ranch Road.
All recycled water improvement plan types will be completed in conformance with the latest
IRWD design, drafting, policy and procedure manuals. Plans will be submitted as 100% (Final)
plans at a scale of 1" = 40' horizontal and 1" = 4' vertical. Consultant will coordinate with IRWD
and meet with IRWD staff to clarify design issues and standards associated with the design and
plan approval of the recycled water improvement plans.
Any engineering services related to offsite main extensions or other major transmission mains,
pump stations, reservoirs, offsite pressure regulating stations or other major facilities required
by IRWD will be completed under separate contract for an additional fee.
Task 77 Sewer Plans
Consultant will prepare Sewer Improvement Plans per IRWD standards for about 3,500 LF of
pipe in Tustin Ranch Road.
All sewer improvement plan types will be completed in conformance with the latest design,
drafting, policy and procedure manuals of IRWD. Plans will be submitted as 100% (Final) plans
at a scale of 1" = 40' horizontal and 1" = 4' vertical. Consultant will coordinate with IRWD and
meet with IRWD staff to clarify design issues and standards associated with the design and plan
approval of the sewer improvement plans. .
Any engineering services related to offsite main extensions, pump stations, or other major
facilities required by IRWD will be completed under a separate contract for an additional fee.
Task 78 Landscave Plans
Consultant shall provide professional landscape architectural design services to update the
planting and irrigation construction documents for the medians for the backbone street.
Consultant will only show the median improvements as part of the construction documents,
which will include a title sheet, median paving details, planting plans, irrigation plans, AB 1881
calculations and drawing requirements, spermcations, and an Opinion of Probable Construction
Costs. (independent set - 42 Sheets). The secondary identification monument is excluded from
the scope of work. It is assumed that the Landscape Plans will go through three (3) plan check
review submittals to the City of Tustin and the Irvine Ranch Water District.
Task 79 Drv Utility Consulting
Consultant's services include the Southern California Edison (SCE) applicant design for
backbone improvements, including street light design and a two part composite design
consisting of entry features, landscape features, all wet utility locations, electric, telephone, gas
and cable television structure locations, trench path and specifications. Part I will be prepared
during the design development stage and will assist the team in eliminating design conflicts.
The Part 1 composite can also be used to facilitate the bid process. The Part II composite will
reflect all final site designs and will be a valuable plan during the construction phase. Both
composites are submitted to the dry utility engineering staff to facilitate their design
development and speed the turnaround of final designs.

A) Design Development Services:
• Attend meetings with client and client's consultants as required, not to exceed 15 hours.
• Meet with utility representatives to discuss design schedules and service requirements
of the project.
• Identify points of feed and availability of existing natural gas, electric, telephone & cable
television facilities to properly serve the project.
• Research potential off-site utility bring ups or reinforcement of existing systems
necessary to provide service to the future project areas.
• Submit request and obtain as-built plans 8~ facility maps.
B) Utility Consulting/Coordination Services:
• Submit plans to utilities with all project requirements for the backbone road work.
• Provide service stub for landscape meter pedestals, traffic signals, monumentation
lighting, etc. and include on electrical and telephone designs as applicable.
• Coordinate future planning area stubs with consultants & utility companies.
• Coordinate with consulting team to review all above & below grade utility equipment as
information is obtained.
• Prepare and submit to client astreet-sleeving plan (as required) together with bidding
quantities.
• Review final designs, contracts and easement documents for accuracy and con-ect tariff
application.
• Provide client with final utility designs and contracts, including summary of costs
indicating breakdown of fees and potential refunds.
• Prepare comprehensive bid packages, to include:
• List of utility representatives.
. Quantity take-offs.
• Utility specifications and designs.
• Process telephone joint trench reimbursements as applicable.
C) Utility Composite Services:
PART 1
• Prepare color utility composite and conflict exhibit depicting wet and dry utility locations
to include: Joint and sole trench path, transformers, handholes, pedestals, street lights,
meter pedestals, irrigation controllers, street crossings, landscape features, and all other
facilities as requested by Client prior to construction.
• Coordinate with client & team members to adjust dry utilities as necessary. This
process will assist in reducing landscape, wet & dry utility improvement design conflicts.
• Submit composite to telephone, gas and cable television engineering staff to assist in
their design preparation and structure location approvals. Acceptance of our design will
reduce design conflicts and delays by utility staff.
• Specifications and drawings for conduit and substructures to be installed inside
buildings are excluded.
PART 2
• Update conflict composite as wet, dry and landscape features are finalized.

• Distribute final composite for Client review and construction use.
D) Electrical Design Services:
• Prepare utility base map on AutoCAD 2008 and initiate an electric trench route, conduit
and cable design, utilizing specifications of The Edison Company to include:
. Backbone roads.
.Service to meter pedestals & traffic signals.
.Street light design.
• Submit design for utility approval and obtain final construction drawing.
• Design services include:
.Aesthetic placement of structures.
. Review by client and all team members.
. Correct rule application.
• Completion of design to project schedule.
Task 20 Specifications and Bid Documents
A) Final Technical Special Provisions
Consultant will prepare the Final Technical Special Provisions portion of the
Construction Spec cations and Contract Documents suitable for public bidding and
awarding of the Contract. Specifications will be prepared in accordance with the City of
Tustin approved format. Comments from the City from prior submittals will be
incorporated into the subsequent Special Provisions submittals. These special
provisions will be incorporated into the City's standard construction document package.
The City will provide Consultant with City of Tustin standard "boiler plate" construction
document for use in the preparation of the bid specification.
B) Structure Special Provisions
The Structure Special Provision (SSP) will be updated with the latest SSP sections as
most of the previously prepared special provisions have been either superseded or
rearranged. The Special Provisions for the bridge will be based upon the latest Caltrans
Standard Special Provisions. The updated special provisions will also include new
sections on shoring, excavation and railroad coordination as required by SCRRA, and
retaining walls. This task also updates the marginal estimate and unit prices and
includes new items of work for shoring and retaining walls.
Task 21 Final Construction Quantity and Cost Estimate
Provide engineering services for the preparation of a Final Quantity and Cost Estimate for this
project. Quantities will be prepared for the Preliminary, Intermediate and Final submittals. Unit
costs will be based upon the most current cost information for recent similar project in the area
compiled by the Consultant and approved by the City.

Task 22 As~encv AaarovaUPennits
22.1 Agency Approval/Permits
Consultant will prepare and endeavor to obtain permits required for construction of the
improvements. The Client will reimburse Consultant for all payments of permit fees, advanced
by the Consultant. Submittals to local agencies should include all plans and required backup
data for review. Plans must be submitted to the agencies in a state of completeness to allow
construction from the plans.
Consultant shall receive written comments from all participating agencies. Consultant will meet
collectively with all participating agencies to resolve outstanding issues relative to agency
comments. Consultant will prepare final dispositions for each review comment for submittal to
the Agencies. Consultant will make revisions to PS~E documents following plan check
submittal and provide final revised quantity take-offs and cost estimates. When revisions have
been made, Consultant will obtain signatures and provide the requested number of stamped
plans to the City.

22.2 Railroad Permits/ License/ Agreement Coordination
The project will be evaluated for required railroad permit and license agreement requirements.
Extensive coordination with SCRRA and OCTA is anticipated. In addition, some coordination
with BNSF may be necessary as they do maintain an operating right on the railway. Various
requirements include the following:
• .Roadway Worker and Safety Training for design team members visiting the site
• Right-of--Entry permit for temporary use of railroad property (visual field reviews of
constraints)
• Temporary Construction Easement for work within the railroad Right-of--Way
• Construction and Maintenance Agreement between the City, OCTA, SCRRA and BNSF
• Contractors Right-of-Entry for Bridge Construction (for the granting of entry to the
construction contractor)
• Amended permanent road easement across railroad Right-of-Way
• Amended License Agreement for any relocated utilities
• Right-of-Entry for construction of any relocated utilities
• Califomia Public Utilities Commission Crossing Application (General Order No. 88-B)
Field meeting(s) are anticipated with SCRRA, CPUC, City of Tustin, OCTA, and Consultant to
identify key issues to be addressed in the project design. The initial budget for this task is 125
hours. Additional services will be performed, if required, on an hourly basis for an additional fee.

Task 23 Proiect Mana~ement/Proiect Coordination
Consultant will supervise, coordinate, monitor and review design for conformance with City
standards, policies and procedures.
Consultant will coordinate with Client and appropriate agencies to facilitate project delivery.
Management support shall be provided to facilitate resolution of project design scope and
scheduling.
Consultant will coordinate, monitor and review all subconsultant work as to the conformance
with project design scope, schedule, and deliverables. Consultant will coordinate subconsultant
invoicing, and progress payments. The initial budget for this task is 50 hours. Additional
services will be performed, if required, on an hourly basis for an additional fee.
Task 24 Meetins>rs
Consultant will attend meetings, prepare agendas and prepare meeting notes for distribution to
the project team members. It is anticipated that meeting notes will be distributed by e-mail and
that a final hard copy version will be provided to the Client for their files. All meetings will be
tracked separately from other items of work. Tasks covered will include agenda preparation,
meeting attendance, meeting minutes and distribution of said items. Services for meetings will
be provided on time and materials basis, when budget for meetings is nearing 75% completion,
Consultant will submit a request for additional budget. It is anticipated that each meeting will
have an average of two (2) members of the consultant team participating, specifically the
Project Manager or Project Engineer along with the appropriate discipline lead as to be
consistent with the issues to be discussed. Below is a list of anticipated meetings:
Miscellaneous Agency Meetings -Consultant will attend meetings with jurisdictional agencies
to prepare permit applications, and coordinate work activities.
Railroad/ CPUC coordination Meetings -Consultant wilt attend meetings with the various
reviewing and permitting agencies associated with the grade separation crossing. Meetings will
be scheduled with SCRRA, OCTA, OC RDMD and the City of Tustin to facilitate the application
process, not cation, and establish criteria for a new public highway-rail crossing.
The initial budget for this task is 25 hours. Additional services will be performed, if required, on
an hourly basis for an additional fee.

OPTIONAL TASK:
Task A Retaining Wall at West side of Edins~er Ave underneath bridge
An at-grade two-way access road and driveway is required at the west side of Edinger Ave
underneath the bridge. If grading the south embankment to a steeper slope is not possible, a
new retaining wall will be needed to accommodate the two-way access road underneath the
bridge.
The retaining wall will be a cantilever type with an approximate length of 240 ft and an
approximate height of 10'.

SCOPE ASSUMPTIONS/IXCLUSIONS
General
• The Tustin Ranch Road Improvements Scope and Fee are based on several packages
of documents for bid.
• Assumes no additional design revisions.
• The Client will pay all permit and application fees.
• All Environmental Analysis and Clearances shall be provided by others.
• All Public meetings\ Community Outreach services and corresponding exhibits and
graphic materials shall be provided by others.
• Excludes Tustin Ranch Road/Wamer (South) Traffic Signal Ptans
• Excludes road grading and bioswale grading
• Post Design Services are not included in this scope.
Landscape
• The construction documents were started under a previous contract with TLCP and it is
assumed that the planting and median paving concepts will remain the same, but the
irrigation design will be redone to comply with AB 1881 (Model Water Efficient
Landscape Ordinance).
Structural
• Structural work related to wall design and calculations are not included in this scope of
work. An optional task for a retaining wall design at the bridge, adjacent to perimeter
road along Edinger Avenue has been provided.
Survey
• No Survey services are provided under this scope of work.
Geotechnical
• No Geotechnical services are provided in this scope of work. Consultant will provide
coordination effort with the Client's geotechnical engineer as discussed in other items of
work.
Right-of-Way
• No Right-of--Way services are provided in this scope of work. Consultant will provide
coordination effort with Client's surveyor (in association to Right-of-Way work) as
discussed in other items of work.
• No legal exhibits, easements or legal descriptions are provided in this scope of work
Traffic Analysis /Modeling
• No Traffic Analysis/Modeling services are provided in this scope of work.
Material Testing /Pavement Design
• No Material Testing and Pavement Design services are provided in this swpe of work.

Utilities
The Client will be responsible for the development of all utility relocation agreements,
and/or utility easement acquisition documents, prior right determination, negotiations
with the utility companies for cost responsibility and processing the utility relocation
agreements for signature approval by the utility company.
• Preparation of legal descriptions and exhibits for new or revised utility easements is not
included in this scope of work and may be done as additional services..
• Dry utility plans, other then SCE electrical plans, are excluded from this scope.
SERVICES DURING CONSTRUCTION
• Construction services are not included in this scope.
CLIENT RESPONSIB/UTIES

Wamer Avenue Improvement plan (Project) is being proposed by the City of Tustin (Client).

of Wamer Avenue from Redhill Avenue to Armstrong Avenue within the City of Tustin. The
Wamer Avenue project is approximately 1,700 feet of new roadway within the Tustin Legacy
Development Master Plan community. It is assumed the Wamer Avenue and Redhill Avenue
intersection improvements will be provided under separate contract, therefore, the terminus of
this project will be at the join of the intersection improvements.
RBF Consulting (Consultant) will perform the scope of work as outlined below in order to
complete the PS&E design. The PSBE design will produce final design plans, specifications
and quantity estimate of Wamer Avenue to be publicly bid for construction in accordance with
the City of Tustin procedures. The final P S ~E design package will consist of street
improvement plans, traffic signing and striping plans and traffic signal plans. Documents will be
consistent with the City of Tustin standard plans and specifications for public works
construction.
The following new tasks are included in this Change Order.

calculations and drawing requirements, spec cations, and an Opinion of Probable Construction
Costs. (independent set -13 Sheets). The secondary identification monument is excluded from
the scope of work. It is assumed that the Landscape Plans will go through three (3) plan check
review submittals to the City of Tustin and the Irvine Ranch Water District.
Task 5 Drv Utility Consultins~
Consultant's services include the Southern California Edison (SCE) applicant design for
backbone improvements, including street light design and a two part composite design
consisting of entry features, landscape features, all wet utility locations, electric, telephone, gas
and cable television structure locations, trench path and spec cations. Part I will be prepared
during the design development stage and will assist the team in eliminating design conflicts.
The Part 1 composite can also be used to facilitate the bid process. The Part II composite will
reflect all final site designs and will be a valuable plan during the construction phase. Both
composites are submitted to the dry utility engineering staff to facilitate their design
development and speed the turnaround of final designs.
A) Design Development Services:
• Attend meetings with client and client's consultants as required, not to exceed 15 hours.
• Meet with utility representatives to discuss design schedules and service requirements
of the project.
• Identify points of feed and availability of existing natural gas, electric, telephone & cable

Task 6 Specifications
Consultant shall prepare the Final Technical Special Provisions portion of the Construction
Specifications and Contract Documents suitable for public bidding and awarding of the Contract.
Specifications will be prepared in accordance with the City of Tustin approved format.
Comments from the City from prior submittals will be incorporated into the subsequent Special
Provisions submittals. These special provisions will be incorporated into the City's standard
construction document package. The City will provide Consultant with City of Tustin standard
"boiler plate" construction document for use in the preparation of the bid specification.
Task 7 Final Construction Quantity and Cost Estimate
Consultant shall prepare the Final Quantity and Cost Estimate for this project. Unit costs will be
based upon the most current cost information for recent similar project in the area compiled by
the Consultant and approved by the City.
Task 8 Apencv Aaprovals/Permits
Consultant will prepare and endeavor to obtain permits required for construction of the
improvements. Submittals to local agencies should include all plans and required backup data
for review.
Consultant shall receive written comments from all participating agencies. Consultant will meet
collectively with all participating agencies to resolve outstanding issues relative to agency
comments. Consultant will prepare final dispositions for each- review comment for submittal to
the Agencies. Consultant will make revisions to PS8~E documents following plan check
submittal and provide final revised quantity take-offs and cost estimates. When revisions have
been made, Consultant will obtain signatures and provide the requested number of stamped
plans to the City. The initial budget for this task is 6 hours. Additional services will be performed,
if required, on an hourly basis for an additional fee.
Task 9 Project Manas~ement and Administration
Consultant will supervise, coordinate, monitor and review design for conformance with City
standards, policies and procedures.
Consultant wiU coordinate, monitor and review all subconsultant work as to the conformance
with project design scope, schedule, and deliverables. Consultant will coordinate subconsultant
invoicing, and progress payments. The initial budget for this task is 25 hours. Additional
services will be performed, if required, on an hourly basis for an additional fee.
Task 70 Meetinns
Consultant will attend meetings, prepare agendas and prepare meeting notes for distribution to
the project team members. It is anticipated that meeting notes will be distributed by e-mail and
that a final hard copy version will be provided to the Client for their files. All meetings will be
tracked separately from other items of work. Tasks covered will include agenda preparation,
meeting attendance, meeting minutes and distribution of said items. The initial budget for this
task is 5 hours. Additional services will be performed, if required, on an hourly basis for an
additional fee.

BARRANCA PARKWAY IMPROVEMENT PLANS
SCOPE OF WORK
PROJECT DESCRIPTION
Barranca Parkway Improvement plan (Project) is being proposed by the City of Tustin (Client).
The project consists of completing the final Plans, Specifications and Estimates (PSBE) of
Barranca Parkway from Tustin Ranch Road to Aston Street within the Cities of Tustin and
Irvine. The Barranca Parkway project is approximately 3,000 feet of new roadway widening
adjacent to the Tustin Legacy Development Master Plan community. The improvements will be
concentrated within the westbound lanes. Improvements will consist of widening the westbound
roadway to four through lanes. Expansion of the westbound parkway will be approximately 50'
to allow fora 14' meandering Class I bikeway. The Construction of a box culvert (Barranca
Channel) to replace the existing open channel will also be required. Consultant will coordinate
with the design of the proposed improvements at the intersection of Barranca Parkway and Red
Hill Avenue (City of Irvine project) to determine the appropriate limits of work and design
configuration. It is assumed that the improvements to the intersections of Aston Street,
Armstrong Road and Von Karman/Tustin Ranch Road will consist of providing the ultimate
roadway widths for these "onsite" roadways. No striping of the "onsite" roads will occur within
this project. The improvements beyond the westbound lanes consist of miscellaneous roadway
striping and marking, traffic signal modification, and development of new left tum lanes for the
eastbound traffic. Removal or relocation of the existing Edison power pole facilities is
anticipated at the intersection with Red Hill Avenue. This effort will be coordinated with the City
of Irvine for continuity with the design. The proposed improvements will be based on the traffic
volumes provided by the Austin Foust Traffic Study, dated March 2007, and the current
modified speck plan, dated April 17, 2006.
RBF Consulting (Consultant) will perform the scope of work as outlined below in order to
complete the PS~E design. The PSBE design will produce final design plans, specfications
and quantity estimate of Barranca Parkway to be publicly bid for construction in accordance
with the City of Tustin procedures. The final PS&E design package will consist of street
improvement plans. roadway drainage, traffic signing and striping plans, traffic signal
interconnect plans and traffic signal plans. Documents will be consistent with the approving
agencies, and the standard plans and spec cations for public works construction.
BASIS OF UNDERSTANDING
Relying upon the knowledge gained by Consultant, our scope of work is based upon the
following understandings:
The project will be a public street with the limits described above.
2. The project was previously under design by the Tustin Legacy Community Partnership
(TLCP) and in plan check. The Consultants scope of work is based on the completion
of these plans and that the Client will provide the latest plan check red lines.

3. This scope of work is also based on the fact that TLCP will release to the Client all
AutoCAD files and originals previously created by the Consultant.
4. Consultant's design will only coordinate the design of the natural gas, telephone,
communications and cable television with the utility companies. The utility companies
will provide the design of these "dry" utilities.
Task 7 Utility Research/lnvestiaation And Coordination
Consultant will research and identify existing utility records within the project limits from
available information. Compile information in a matrix format to include dates of notification,
persons/utility noted and responses from utility.
Utilities to be notified will include:

Consultant will request utility information from utility companies within the project limits

companies. Maintain comprehensive project utility correspondence files provided by utility
company.
Task 2 Drainage Analysis
Consultant will prepare a Hydrology and Storm Drain Hydraulics Report for the storm drain
system within the project limit watershed boundary for Bamanca Parkway. The analysis will be
in accordance with the requirements of the City of Tustin and the latest version of the City of
Tustin's Runoff Management Plan (ROMP). The report will be submitted to the City of Tustin
for review and approval along with the completed storm drain design plans. Coordination with
the Barranca Channel Storm Drain, onsite street improvement and grading will occur.
Task 3 Street Improvement Plans
Consultant shall complete the Bamanca Parkway Street Improvement Plans (20 sheets) that
were in design. Plans were never submitted. Plans will be mod~ed to show City of Irvine
proposed Barrar~ca Parkway improvements as existing.

Consultant shall revise the "Technical Basis of Design Report,° prepared for TLCP by RBF
Consulting in 2008. Revisions will include discussions of transitioning to existing improvements,
and related removals. This report will serve as documentation of the final engineering design
and associated technical analysis to support the final Barranca Channel design. The report
shall include the backup data regarding final hydraulics, existing facility data, design criteria,
specific design requirements, design constraints, assumptions, quantity and cost estimate
support, and all engineering calculations or analysis.

RED HILL AVENUE OVERLAY AND MEDIAN IMPROVEMENT PLANS
SCOPE OF WORK
Project Understandin
Red Hill Avenue Median and Overlay Improvement plan (Project) is being proposed by the City of
Tustin (Client). The project consists of completing the final Plans, Specifications, and Estimate
(PSBE) design of Red Hill Avenue, from northeast of Barranca Parkway to the northeast
intersection of Wamer Avenue. The Red. Hill Avenue project is approximately 2,700' of roadway
adjacent to the Tustin Legacy Development Master Plan community. Improvements will be
concentrated within the northbound lanes of Red Hill Avenue. The project will consist of designing
a variable thickness asphaltic overlay to the northbound travel lanes, designing a raised median
approximately 24feet in width and designing the roadway striping and traffic handling in
coordination with the proposed improvements.
Please note that widening of the Red Hill Avenue northbound travel lanes will be designed under
separate contract with Client; this Overlay and Median design proposal assumes the Red Hill
Avenue widening will be designed and constructed prior to construction of this Project or
simultaneously.
The design of the asphaltic overlay will apply to all of the northbound travel lanes within the project
limits. The raised median design including the proposed left-tum pocket configuration and lengths
will be established using the traffic demand calculations specified under the July 2007, Austin
Foust Traffic Report. The raised median will begin at the intersection of Red Hill Avenue and
Barranca Parkway and terminate at the Wamer intersection. Other improvements under this
Project will consist of re-striping the northbound travel lanes. Coordination and review with the City
of Santa Ana will be required to address minor roadway work to the southbound travel lanes on
Red Hill Avenue associated with the new median design.
RBF Consulting (Consultant) will perform the scope of work as outlined below in order to complete
the PS&E design. The PSBE design will produce final design plans, specifications and quantity
estimate of Red Hill Avenue Overlay and Median Design Project to be publicly bid for construction
in accordance with the City of Tustin procedures. The final PS~E design package will consist of
street improvement plans and traffic signing and striping plans. The documents will be consistent
with the approving agencies and the standard plans and specifications for public works
construction.
Storm drain, traffic signal, street lighting, and traffic signal interconnect design work will be provided
under separate contract. Utility relocation will not be provided under this contract.
Task 1 Research. lnvestioation and F/e/d Review
Consultant will research, review, and perform field investigation for the Red Hill Avenue Overlay
and median improvements. Consultant review field survey prepared for TLCP for cxitical existing
features. Upon completion of this Task, Consultant will identify potential constraints upon the
proposed improvements and provide design options. Anticipated tasks include:

Task 2 Utility Research and Coordination
2.1 Utility Research
Consultant will research and identify existing utility records within the project limits from available
information at the City of Tustin and will compile the information to create a base utility file for
reference on the street plans. The dry utility consultant will coordinate and design final dry utility
relocations and mod cations as needed. Consultant will coordinate with them for this task.
2.2 Utility Notifications
Consultant will request utility information from utility companies within the project limits.
Information received will be added to the base utility file for reference on the street plans. Progress
plan sets will be forwarded to utility companies to facilitate their relocations as needed. Prior to
project bidding, the Consultant will assist the Client with the notices to relocate, as needed, by
providing 11x17 copies of the approved plans to utility companies. Information received will be
maintained in a table to track official utility responses. The table will include dates of notification,
persons/utility notified, and project comments.

by the City of Tustin and the Client. The GAD drawings (scale: 1" = 40') will be approximately 35%
complete and depict the base design and limits of work. The roadway dimensions, Right-of--Way
limits, and lane configurations will be identified on the GAD plan view and on typical street sections
for the project. These drawings will be used to establish the vertical and horizontal control for the
final design. Existing constraints and proposed dispositions will be identified in the GAD. This task
will include the preparation of the horizontal and vertical geometry, tie-in limits, right-of-way control,
and the design layout for the proposed roadway improvements.

Task 4 Hydroloc-v / Hydraulics Revort
Consultant will prepare a Hydrology and Storm Drain Hydraulics Report for the storm drain system
within the proposed Red Hill Avenue median watershed boundary. The analysis will be in
accordance with the requirements of the City of Tustin and the Tustin Legacy Runoff Management
Plan (ROMP). The report will be submitted to the City of Tustin for review and approval along with
the completed storm drain design plans for the Red Hill Avenue median.
Task 5 Roadway Desisrn Plans - PSSE
Preparation of final plans will begin upon approval of the Geometric Approval Drawings per the
Preliminary Engineering Phase. The following is a list of sheets anticipated with corresponding

5.4 Typical Cross Sections
Revise typical cross sections to incorporate improvement changes, new construction limits, and
work areas. Typical sections will vary in scale. Consultant will prepare design cross sections which
will show the original ground, roadbed, proposed improvements and grading. Consultant will
coordinate with the City to evaluate pavement removal limits. It is assumed all structural pavement
sections, overlay sections, and milling thickness requirements will be provided by the City of Tustin.
A geotechnical analysis for the roadway design will be provided by the Client, as needed.
5.5 Intersection Grids
Intersection grid details at a scale of 1" = 20' will be provided for the signalized intersections of Red
Hill Avenue at Carnegie Avenue and Red Hill Avenue at Warner Avenue. Grid elevations will be
generated at 20-foot intervals. Elevations points will extend to the limits new construction within
the intersection. This task will show finish surface elevations to provide smooth transitions
between the widened roadway and the existing surfaces.

5.6 Roadway Plans/Profiles
Street plans will show overlay limits, median curb profiles, limits of removals and replacements and
cold planning limits, as well as the requirements for adjustment of manholes and valve covers to
grade. Consultant will coordinate with the City to evaluate pavement removal limits. It is assumed
all structural pavement sections, overlay sections, and milling thickness requirements will be
provided by the Client. A Geotechnical analysis for the roadway design will be provided by the
Client, as needed, for the widening and setback rough grading.
5.7 Design Cross Sections
The topographic survey, prepared for TLCP, will be used to create a surface of the existing
conditions. Cross sections will be taken to evaluate the existing street surface for drainage
patterns. The sections will be used to design the widened street elevations. The sections will not
be a part of the plan package. Typical sections for construction will also be developed from the
design cross sections.
5.8 Storm Drain Plans
Consultant will design and prepare Storm Drain Improvement Plans at a scale of 1°=40' horizontal
and 1 °=4' vertical for the storm drainage systems within Red Hill Overlay and Median project limits.
The system shall join and discharge into the proposed Red Hill Avenue storm drain per the
widening plans. The design for this system will include lateral and catch basin sizing, profiling, and
hydraulic analysis.
Engineering services related to the preparation and design of hydraulic lift stations, filtration
systems, or other major drainage facilities is not include in this scope of work.
Plans will show tabulation of hydrologic data, profile of each drain line, horizontal alignment of
mainline and laterals and provide for reference the location of existing street lighting, water,
sanitary sewer and drainage facilities.
Task 6 Sioninsr and Striy/no Plans Desis~n
The signing and striping plans will be prepared showing the ultimate roadway configuration in
conjunction with the new raised median design. The plans will identify existing signs and striping,
and installation of regulatory, warning, and guide signs, and striping mod cations in relation to the
roadway improvements.
Signing and striping plans will be prepared at 1 ° = 40' scale and in accordance with standards set
forth by the City of Tustin and Caltrans.
Task 7 Slvecifications
Consultant will prepare and revise the technical special provisions section of the construction
specifications suitable for public bidding and awarding. Specifications will be prepared in
accordance with the City of Tustin approved format and will be suitable for public bidding and
award. The special provisions will be submitted to the Client for incorporation into the complete
Specification and Construction Documents. Comments from the City will be incorporated into the
technical section and returned to the Client/City.

Task 8 Final Construction Quantity and Cost Estimate
The Consultant will prepare a final quantity and cost estimate for the construction items included in
the project. Quantities will be prepared for the intermediate and final submittals. Unit costs will be
based upon the most current cost information for similar projects in the area compiled by the
Consultant and approved by the City.
Task 9 Project Management and Coordination
9.1 Project Administration
Consultant will allocate resources, supervise, coordinate, monitor and review design for
conformance with City standards, policies, and procedures.
Consultant will coordinate with Client and appropriate agencies to facilitate project delivery.
Management support shall be provided to facilitate resolution of project design and scheduling.
Coordination with adjacent construction projects will occur to provide accurate join conditions.
9.2 Quality Assurance/Quality Control
The plan will establish the quality assurance and control (QA/QC) procedures that will be used by
the project team members during the project development and design phases of the work.

Project Understand/na
The Detention Basin (Project) is being proposed by the City of Tustin (Client). The project consists
of completing the final Plans, Spec cations, and Estimate (PSBE) design for the Detention Basin in
the Linear Park (Park) located in Neighborhood E of the Tustin Legacy Development Master Plan
community. The project area is located within a portion of Lot H shown on TTM 17144. The
Concept Plans for the Park were being developed by the landscape consultant, EDAW. This
proposal for the preparation of precise grading plans is based on those improvements depicted in
the delta 2 submittal of the Neighbofiood E Linear Park Design Review plan. The Detention Basin
is shown on the Design Review package sheets L-1.01 and will also serve as the limit of work for
the Project (excluding Carnegie Lake).
RBF Consulting (Consultant) will perform the scope of work as outlined below in order to complete
the PSBE design. The PS~E design will produce final design plans, specifications and quantity
estimate of the Detention Basin to be publicly bid for construction in accordance with the City of
Tustin processing procedure. Documents will be consistent with the City of Tustin's standard plans
and specifications for public works construction.
BASIS OF UNDERSTANDING
Relying. upon the knowledge gained by Consultant, our scope of work is based upon the following
understandings:
1. The project will be a public detention basin, with public access, within the limits described
above.
2. The project was previously under design by the Tustin Legacy Community Partnership
(TLCP) and in plan check. The Consultants scope of work is based on the completion of
these plans and that the Client will provide the latest plan check red lines and AutoCAD
files.
3. This scope of work is also based on the fact that TLCP will release to the Client all
AutoCAD files and originals previously created by the Consultant and EDAW.
Task 1 Precise Gradlno Plans
Consultant shall prepare a set of 20-scale Precise Grading Plans that indicate finish surface
elevations for walkways, flaiwork and drainage structures; finish grade and flow line elevations and
those details necessary for the construction of the flatwork and drainage structures. Pedestrian
connections to the project will be those identified in the Design Review package. Security gate
details and locations will be coordinated with the landscape architect. This design scope excludes
the following items; City of Tustin and OCFCD drainage structures located in the basin and
subsurface drainage required by landscaping elements (i.e. inspection tubes or perforated pipes).

interval and that 90% of all well defined horizontal locations tested will be within 1/50th
inch of the plotted scale.
All quality control survey information shall be collected electronically for data processing.

SPECIAL REQUIREMENTS
1. Consultant shall not release to the public or the press information on this project
without prior authorization by Contract Officer.
2. Conflict of Interest and Confidentiality. In order to assure City that Consultant is
not subject to any conflict of interest, Consultant affirms that while Agreement is
in effect, neither Consultant nor any of its offices or employees will accept private
work from or provide services for any company for work at Tustin Legacy.
The intended teen of this agreement is estimated to be a four to six month period
during which Consultant will provide design and support services and assist the
City in developing a disposition and business plan strategy for the master
developer footprint area of MCAS Tustin. The tens is expected to end upon
adoption or acceptance by the City Council of the disposition and business plan
strategy or by the execution of termination clause of this contract Section 7-6
which is hereby amended to allow for the voluntary termination of Agreement by
Consultant.
In addition, Consultant agrees that during the term of Agreement neither
Consultant nor its officers or employees will accept public work from or provide
services to either the County of Orange or the Cities of Irvine or Santa Ana that
relate to legal action on the Tustin Legacy project, unless otherwise noted herein.
Consultant understands and agrees that all work it undertakes for the City of
Tustin shall be considered confidential and shall not be shared by Consultant
with any other party without a written release from the City of Tustin.
In the event of uncertainty about whether a potential conflict of interest exis#s,
Consultant shall advise Contract Officer whose decision shall be final. A list of
known projects acknowledged by City that are not in conflict with the intended
work is attached to this contract as Exhibit "E", "List of RBF Consulting Projects
Subject to Conflict of Interest Waiver".
3. A no-fee business license shall be provided by the City to Consultant.
4. Consultant shall present to the City certificates of insurance and endorsement
forms pursuant to Agreement requirements verifying that the Consultant has the
insurance as required by this agreement.
5. If Contract Officer determines that a product deliverable is unacceptable, either
before or after a draft or final draft is issued, because it does not conform to the

requirements of this agreement, the Consultant shall submit a revised report or
product at Consultant's expense.
6. The Consultant shall review and replace project personnel assigned to project
who do not perform assigned work in a manner satisfactory to Contract Officer.
7. The Consultant has identified the following staff members that will provide
support to the Consultant Team with Mike Burke to be the Consultant Principal,
Margit Allen to be the Consultant lead for Planning Services, and Rick Carrell to
be the Consultant lead for Engineering Services.
As the lead, Ms. Allen shall be available to meet with Contract Officer as required
at designated dates and times to coordinate scope of services required by the
contract, to resolve problems, to discuss progress on scope of work at Contract
Officer's direction and to discuss assumptions developed during task levels.

8. Field investigations. The Consultant shall obtain necessary field data and make
site investigations and studies necessary to the proper accomplishment of the
work required under this contract.
9. No substitution of professional personnel or sub-Consultant shall be made without
the advance written approval of the Contract Officer, after review of the proposed
replacement's experience and quaycations with a written explanation of the
necessity for the change. No increase in the compensation or reimbursable salary
rates will be allowed when personnel or firm substitutions are authorized.
10. Consultant shall remove and replace project personnel or sub-Consultants
assigned to project personnel or sub•Consultants assigned to project who do not
perform assigned duties in a manner satisfactory to the Contract Officer.

2. Exaense Reimbursement
The Consultant's not-to-exceed compensation for services under this Agneement may
include reimbursement for miscellaneous expenses. The City shall reimburse Consultant
for direct expenses such as and including postage, plotting and printing, and express mail
and delivery services subject to the restriction that itemized payment statements shall set
forth in detail all actual reimbursement expenses during the preceding month.
3. Compensation for Additional Services
In the event the City requires services in addition to those described in Exhibit A, said
services must first be approved in writing by the Contract Officer. The Consultant shall be
compensated at the Consultant's standard hourly rates for professional services as shown
in Exhibit C-1, plus reimbursement of expenses or a fixed amount agreed to in writing by
the City and Consultant.
4. Method of Pavment
As a condition precedent to any payment to Consultant under this Agreement, Consultant
shall submit monthly to the City a statement of account which clearly sets forth by dates
the designated items of work, as well as reimbursable expenses, for which the billing is
submitted. The payment request shall identify each task required by the Agreement,
percent of completion, amount of actual reimbursable expenses and requested amount to
be billed against each task. Said billing request shall not exceed the percerrtage of work
effort completed.
5. Timing of Pavment
The City shall review Consultant's monthly statements and pay Consultant for services
rendered and costs incurred hereunder, at the rates and in the amounts provided
hereunder, on a monthly basis in accorclance with the approved monthly statements.

processing fee of 5% will be added to all subconsultant and reimbursable expenses. Reimbursable
expenses include mileage, reprographics and deliveries.
Progress billings will be forwarded to the Client on a monthly basis. These billings will include the
fees earned for the billing period plus all direct costs advanced by consultant. The Client shall
make every reasonable effort to review invoices within fifteen (15) working days from the date of
receipt of the invoices and notify consultant in writing of any particular item that is alleged to be
incorrect.

COMPENSATION
Client agrees to compensate Consultant for such services as follows:
Monthly, on a time and materials billing basis, based upon standard billing all personnel working
on the Project, with a budget as outlined below, plus the direct cost of reimbursable expenses.
This budget amount is for authorization purposes only. Should the total of the monthly billings
reach eighty percent (80%) of the budget amount, Client and Consultant will review the status of
the work to determine the need for an increase in the budget amount, and whether additional
budget authorization to complete the Project is appropriate.
