BIGGS, EXECUTIVE DIRECTOR COMMUNITY REDEVELOPMENT AGENCY FROM: COMMUNITY REDEVELOPMENT AGENCY AND PUBLIC WORKS DEPARTMENT SUBJECT: APPROVAL OF A CONSULTANT SERVICES AGREEMENT FOR THE DESIGN OF THE NEWPORT AVENUE/SR-55 FREEWAY NORTHBOUND RAMP RECONFIGURATION PHASE 1 LANDSCAPE IMPROVEMENTS (CIP NO. 70200) SUMMARY Approval is requested of a Consultant Services Agreement (CSA) to provide design services of a comprehensive Gateway and Landscape Concept Plan that enhances the streetscape within the Newport Avenue/ SR-55 Freeway northbound ramp area including landscape, hardscape, landscape signage, irrigation systems, lighting, and gateway monumentation within the median islands, corner cut out areas, and the Caltrans ramps along Newport Avenue between Edinger Avenue and Valencia Avenue. RECOMMENDATION It is recommended that the Tustin Community Redevelopment Agency approve a Consultant Services Agreement with RBF Consulting for design services of the Newport Avenue/SR-55 Freeway Northbound Ramp Reconfiguration Phase 1 Landscape Improvements, and authorize the Executive Director and/or Assistant Executive Director to execute the contract documents on behalf of the City, subject to any non-substantive modifications as may be deemed necessary by the City Attorney. FISCAL IMPACT The design services will be compensated on a time and material basis based upon a signed task order for each task with a not to exceed contract amount of $125,979.00. There are sufficient funds budgeted and appropriated in this Fiscal Year 2010-2011 Capital Improvement Program (CIP No. 70200) for the completion of the design services of this project. The project is funded by the MCAS Tustin RDA Capital Project Account (Fund 555). DISCUSSION/BACKGROUND The design project will provide a comprehensive gateway plan for the Newport Avenue segment between Edinger Avenue and Valencia Avenue and the Caltrans ramp areas at Edinger Avenue that intersect with Newport Avenue. The project will utilize existing right-of-way areas including medians and corner cut out areas, consistent with general design guidelines and development standards contained within the Pacific Center East Specific Plan. A portion of the design effort will require the completion of a Concept Plan for all rights-of-way and streetscapes for the roadway locations previously described. However, only a portion of the Concept Plan for the medians and Caltrans ramp right-of-way areas will be constructed by the City Consultant Services Agreement Design Services of Landscape Improvements at Newport Ave/SR-55 October 19, 2010 Page 2 as part of CIP No. 70200. The design consultant will be required to complete bid ready construction plans and specifications for only the City's portion of the project. Improvements from the back of curb along adjacent properties will be designed and constructed by subsequent property owners. The property owners will be required to submit plans consistent with the overall Gateway and Landscape Concept Plan. The City solicited and received four proposals for design services for this project from: ima in Newport Beach, RBF Consulting in Irvine, SWA in Laguna Beach, and Land Concern in Santa Ana. Proposals were opened and evaluated by the City's Community Development Department, Public Works Department, and Community Redevelopment Agency. Based upon the evaluation process RBF Consulting ranked first in overall compliance with the proposal requirements. The fee proposals for the top three firms were then opened and the RBF Consulting proposal was the lowest of the group. Therefore, based upon their proposal and fee amount, it is recommended that the Tustin Community Redevelopment Agency approve a Consultant Services Agreement with RBF Consulting for the design of the gateway and landscape improvements at Newport Avenue/SR-55 Freeway ramp areas. Public Works/City Engineer S:\City Council Items\2010 Council Items\Approval of CSA for Design Services for Newport Ave & SR55 Landscape Improvements.doc CONSULTANT SERVICES AGREEMENT FOR NEWPORT AVENUE/SR-55 NORTHBOUND RAMP RECONFIGURATION PHASE LANDSCAPE IMPROVEMENTS (CIP 70200) This Agreement for Consultant Services (herein "Agreement"), is made and entered into this day of 2010, by and between the TUSTIN COMMUNITY REDEVELOPMENT AGENCY, a municipal corporation ("Agency"), and RBF Consulting, a California corporation ("Consultant"). WHEREAS, Agency requires the services of a consultant to furnish the necessary professional consulting services for the Design of Landscape Improvements at Newport Avenue/SR-55, CIP No. 70200, hereinafter referred to as "Project"; and WHEREAS, City of Tustin has prepared a Request for Proposal (RFP) dated July 15, 2010, a copy of which is attached hereto, marked as Exhibit "A" and is by this reference incorporated into this Agreement; and WHEREAS, in response to City of Tustin's RFP, Consultant has submitted to City a proposal dated August 30, 2010, a copy of which is attached hereto marked as Exhibit "B" and is by this reference incorporated into this Agreement; and WHEREAS, Consultant is qualified to provide the necessary services and has agreed to provide such services; and NOW, THEREFORE, in consideration of the premises and mutual agreements contained herein, Agency agrees to employ and does hereby employ Consultant and Consultant agrees to provide consulting services as follows: SERVICES OF CONSULTANT 1.1 Scope of Services. In compliance with all terms and conditions of this Agreement, Consultant shall provide those services specified in the Request for Proposal and Proposal, attached hereto as Exhibit "A" and "B", and incorporated herein by this reference (the "services" or the "work"). Consultant warrants that all services shall be performed in a competent, professional and satisfactory manner in accordance with all standards prevalent in the industry. In the event of any inconsistency between the terms contained in Exhibit "A" and "B" and the terms set forth in the main body of this Agreement, the terms set forth in the main body of this Agreement shall govern. Page 1 1.2 Compliance with Law. ,All services rendered hereunder shall be provided in accordance with all applicable laws, ordinances, resolutions, statutes, rules, and regulations of the City of Tustin and of any federal, state or local governmental agency of competent jurisdiction. 1.3 Licenses and Permits. Consultant shall obtain at its sole cost and expense such licenses, permits and approvals as may be required by law for the performance of the services required by this Agreement. 1.4 Familiarity with Work. By executing this Contract, Consultant warrants that Consultant (a) has thoroughly irrvestigated and considered the work to be performed, (b) has investigated the site of the work and become fully acquainted with the conditions there existing, (c) has carefully considered how the work should be performed, and (d) fully understands the facilities, difficultiE;s and restrictions attending performance of the work under this Agreement. Should the Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by the Agency, Consultant shall immediately inform Agency of such fact and shall not proceed with any work except at Consultant's risk until written instructions are received from the Contract Officer. 1.5 Care of Work. Consultant shall adopt and follow reasonable procedures and methods during the term of the Agreement to prevent loss or damage to materials, papers or other components of the work, and shall be responsible for all such damage until acceptance of the work by Agency, except such loss or damages as may be caused by Agency's own negligence. 1.6 Additional Services. Consultant shall perform services in addition to those specified in the Proposal when directed to do so in writing by the Contract Officer, provided that Consultant shall not be required to perform any additional services without compensation. Any additional compensation not exceeding ten percent (10%) of the original Contract sum must be approved in writing by the Contract Officer. Any greater increase must be approved in writing by the City Manager. 1.7 Special Requirements. Any additional terms and conditions of this Agreement are set forth in Exhibits "C", "D", and "E" and are incorporated herein by this reference. In the event of a conflict between the provisions of Exhibit "C", "D", and "E" and any other provision or provisions of this Agreement including Exhibit "A" and "B", the provisions of Exhibits "C", "D", and "E" shall govern. 2. COMPENSATION 2.1 Compensation of Consultant. For the services rendered pursuant to this Agreement, the Consultant shall be compensated and reimbursed only such amount as are prescribed in Exhibit "C", which shall be a not exceed amount of $125,979. Page 2 2.2 Method of Payment. In any month in which Consultant wishes to receive payment, Consultant shall no later than the first working day of such month, submit to City of Tustin in the form approved by City's Director of Finance, an invoice for services rendered prior to the date of the invoice. Agency shall pay Consultant for all expenses stated thereon which are approved by Agency consistent with this Agreement, no later than the last working day of said month. 2.3 Changes. In the event any change or changes in the work is requested by Agency, the parties hereto shall execute an addendum to this Agreement, setting forth with particularity all terms of such addendum, including, but not limited to, any additional Consultant's fees. Addenda may be entered into: A. To provide for revisions or modifications to documents or other work product or work when documents or other work product or work is required by the enactment or revision of law subsequent to the preparation of any documents, other work product or work. B. To provide for additional services not included in this Agreement or not customarily furnished in accordance with generally accepted practice in Consultant's profession. 2.4 Payment for Changes. Changes approved pursuant to an Addendum shall be compensated at the personnel hourly rates prescribed in Exhibit "C" hereto. Note: Exhibit "C" prohibits billing for travel. 3. PERFORMANCE SCHEDULE 3.1 Time of Essence. Time is of the essence in the performance of this Agreement, subject to adherence to sound professional practice and procedures. 3.2 Schedule of Performance. All services rendered pursuant to this Agreement shall be performed within any time periods prescribed in the attached hereto marked Exhibit "E". The extension of any time period specified in the Exhibit "E" must be approved in writing by the Contract Officer. 3.3 Force Majeure. The time for performance of services to be rendered pursuant to this Agreement may be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of the Consultant, including, but not restricted to, acts of God or of a public enemy, acts of the government, fires, earthquakes, floods, epidemic, quarantine restrictions, riots, strikes, freight embargoes, and unusually severe weather if the Consultant shall within ten (10) days of the commencement of such condition notify the Contract Officer who shall thereupon ascertain Page 3 the facts and the extent of any necessary delay, and extend the time for performing the services for the period of the enforced delay when and if in the Contract Officer's judgment such delay is justified, and the Contract Officer's determination shall be final and conclusive upon the parties to this Agreement. 3.4 Term. Unless earlier terminated in accordance with Section 7.7 of this Agreement, this Agreement shall continue in full force and effect until satisfactory completion of the services but not exceeding one (1) year from the date hereof, unless extended by mutual written agreement of the parties. 4. COORDINATION OF WORK 4.1 Representative of Consultant. The following Principal of the Consultant is hereby designated as being the principal and representative of Consultant authorized to act in its behalf with respect to the work specified herein and make all decisions in connection therewith: John Andrew, Principal-in-Charge Jeremy Franzini, Project Manager It is expressly understood that the experience, knowledge, capability and reputation of the foregoing Principal is a substantial inducement for Agency to enter into this Agreement. Therefore, the foregoing Principal shall be responsible during the term of this Agreement for directing all activities of Consultant and devoting sufficient time to personally supervise the services hereunder. The foregoing Principal may not be changed by Consultant without the express written approval of Agency. 4.2 Contract Officer. The Contract Officers shall be the Assistant City Manager and Public Works Director unless otherwise designated in writing by the City Manager. It shall be the Consultant's responsibility to keep Contract Officers fully informed of the progress of the performance of the services and Consultant shall refer any decisions which must be made by Agency to the Contract Officers. Unless otherwise specified herein, any approval of Agency required hereunder shall mean the approval of the Contract Officers. 4.3 Prohibition Against Subcontracting or Assignment. The experience, knowledge, capability, and reputation of Consultant, its principals, and employees were a substantial inducement for the Agency to enter into this Agreement. Therefore, Consultant shall not contract with any other entity to perform in whole or in part the services required hereunder without the express written approval of the Agency. In addition, neither this Agreement nor any interest herein may be assigned or transferred, voluntarily or by operation of law, without the prior written approval of Agency. Page 4 4.4 Independent Contractor. Neither the Agency nor any of its employees shall have any control over the manner, mode or means by which Consultant, its agents or employees perform the services required herein, except as otherwise set forth herein. Consultant shall perform all services required herein as an independent contractor of Agency and shall remain at all times as to Agency a wholly independent contractor with only such obligations as are consistent with that role. Consultant shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of Agency. Consultant shall be solely responsible for compliance with State and Federal Law with respect to the wages, hours, benefits, and working conditions of its employees, including requirement for payroll deductions for taxes. Employees or independent contractors of Consultant are not Agency employees. 5. INSURANCE /INDEMNIFICATION 5.1 Insurance. A. Consultant shall maintain in full force and effect during the term of these Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same or equivalent carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the Agency of the purchase of the required tail insurance or continuation of the professional liability policy by executing a Letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the Agency for losses paid under the policy, which losses arose from the work performed by the named insured. D. Other applicable insurance requirements are: (1) Name the City of Tustin, Agency, its officials and employees as an additional insured on the commercial, general and automobile policies. (2) The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated Grade A and Class VII or better (if an admitted carrier) or Grade A-and Class X (if offered by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the Page 5 Agency will accept workers' compensation insurance rated Grade B and Class VIII or better, or from the State Compensation Fund. (3) The Insurance shall not be cancelled, except after thirty (30) days written prior notice to the Agency. (4) The commercial general and automobile liability insurance shall each be primary as respects the Agency, and any other insurance maintained by the Agency shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to Agency certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1 ), (3), and (4) of Section 7D above and the waiver of subrogation requirement in Section C above. If self- insured for worker's compensation, Consultant shall submit to Agency a copy of its certification of self-insurance issued by the Department of Industrial Relations. 5.2 Indemnification. The Consultant shall defend, indemnify and hold harmless the City of Tustin, Agency, its officers and employees, from and against any and all actions, suits, proceedings, claims, demands, losses, costs, and expenses, including legal costs and attorneys' fees, for injury to or death of person or persons, for damage to property, including property owned by City of Tustin and Agency arising from errors and omissions of Consultant, its officers, employees and agents, and arising out of or related to Consultant's negligent performance under this Agreement, except for such loss as may be caused by Agency's negligence or that of its officers or employees. The Consultant shall also defend, indemnify and hold the Agency harmless from any claims or liability for Agency health and welfare, retirement benefits, or any other benefits of part-time or fulltime Agency employment sought by Consultant's officers, employees, or independent contractors, whether legal action ,administrative proceeding or pursuant to State statue. 6. RECORDS AND REPORTS 6.1 Reports. Consultant shall periodically prepare and submit to the Contract Officer such reports concerning the performance of the services required by this Agreement as the Contract Officer shall require. 6.2 Records. Consultant shall keep such books and records as shall be necessary to properly perform the services required by this Agreement and enable the Contract Officer to evaluate the performance of such services. The Contract Officer shall have full and free access to such books and records at all reasonable times, including the right to inspect, copy, audit and make records and transcripts from such records. 6.3 Ownership of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant in the performance of this Agreement shall be the property of Agency and shall be delivered to Agency upon request Page 6 of the Contract Officer or upon the termination of this Agreement, and Consultant shall have no claim for further employment or additional compensation as a result of the exercise by Agency of its full rights or ownership of the documents and materials hereunder. Consultant may retain copies of such documents for its own use. Consultant shall have an unrestricted right to use the concepts embodied therein. Use of such documents by Agency for projects not the subject of this agreement shall be at Agency's sole risk without legal liability or exposure to consultant. 6.4 Release of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant in the performance of services under this Agreement shall not be released publicly without the prior written approval of the Contract Officer. 7. ENFORCEMENT OF AGREEMENT 7.1 California Law. This Agreement shall be construed and interpreted both as to validity and to performance of the parties in accordance with the laws of the State of California. Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Orange, State of California, or any other appropriate court in such county, and Consultant covenants and agrees to submit to the personal jurisdiction of such court in the event of such action. 7.2 Disputes. In the event of any dispute arising under this Agreement, the injured party shall notify the injuring party in writing of its contentions by submitting a claim therefore. The injured party shall continue performing its obligations hereunder so long as the injuring party cures any default within ninety (90) days after service of the notice, or if the cure of the default is commenced within thirty (30) days after service of said notice and is cured within a reasonable time after commencement; provided that if the default is an immediate danger to the health, safety and general welfare, the Agency may take immediate action under Section 7.6 of this Agreement. Compliance with the provisions of this Section shall be a condition precedent to any legal action, and such compliance shall not be a waiver of any party's right to take legal action in the event that the dispute is not cured. 7.3 Waiver. No delay or omission in the exercise of any right or remedy of anon-defaulting party on any default shall impair such right or remedy or be construed as a waiver. No consent or approval of Agency shall be deemed to waive or render unnecessary Agency's consent to or approval of any subsequent act of Consultant. Any waiver by either party of any default must be in writing and shall not be a waiver of any other default conceming the same or any other provision of this Agreement. 7.4 Rights and Remedies are Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the parties are cumulative and the exercise by either party of one or more of Page 7 such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party. 7.5 Legal Action. In addition to any other rights or remedies, either party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain injunctive relief, a declaratory judgment or any other remedy consistent with the purposes of this Agreement. 7.6 Termination Prior to Expiration of Term. The Agency reserves the right to terminate this Agreement at any time, with or without cause, upon thirty (30) days written notice to Consultant, except that where termination is due to the fault of the Consultant and constitutes an immediate danger to health, safety and general welfare, the period of notice shall be such shorter time as may be appropriate. Upon receipt of the notice of termination, Consultant shall immediately cease all services hereunder except such as may be specifically approved by the Contract Officer. Consultant shall be entitled to compensation for all services rendered prior to receipt of the notice of termination and for any services authorized by the Contract Officer thereafter. 7.7 Termination for Default of Consultant. If termination is due to the failure of the Consultant to fulfill its obligations under this Agreement, Agency may take over the work and prosecute the same to completion by contract or otherwise, and the Consultant shall be liable to the extent that the total cost for completion of the services required hereunder exceeds the compensation herein stipulated, provided that the Agency shall use reasonable efforts to mitigate damages, and Agency may withhold any payments to the Consultant for the purpose of set-off or partial payment of the amounts owed to Agency. 7.8 Attomeys Fees. If either party commences an action against the other party arising out of or in connection with this Agreement or it subject matter, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs of suit from the losing party. 8. CITY OF TUSTIN, AGENCY OFFICERS, AND EMPLOYEES; NON- DISCRIMINATION 8.1 Non-Liability of City of Tustin, Agency Officers, and Employees. No officer or employee of City of Tustin or Agency shall be personally liable to the Consultant, or any successor-in-interest, in the event of any default or breach by the City of Tustin or Agency for any amount which may become due to the Consultant or its successor, or for breach of any obligation of the terms of this Agreement. 8.2 Covenant Against Discrimination. Consultant covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination or segregation in the performance of or in connection with Page 8 this Agreement regarding any person or group of persons on account of race, color, creed, religion, sex, marital status, national origin, or ancestry. Consultant shall take affirmative action to insure that applicants and employees are treated without regard to their race, color, creed, religion, sex, marital status, national origin, or ancestry. 9. MISCELLANEOUS PROVISIONS 9.1 Notice. Any notice, demand, request, consent, approval, or communication either party desires or is required to give to the other party or any other person shall be in writing and either served personally or sent by pre-paid, first-class mail to the address set forth below. Either party may change its address by notifying the other party of the change of address in writing. Notice shall be deemed communicated forty- eight (48) hours from the time of mailing if mailed as provided in this Section. This Agreement contains all of the agreements of the parties and cannot be amended or modified except by written agreement. 9.3 Amendment. This Agreement may be amended at any time by the mutual consent of the parties by an instrument in writing. 9.4 Severability. In the event that any one or more of the phrases, sentences, clauses, paragraphs, or sections contained in this Agreement shall be declared invalid or unenforceable by valid judgment or decree of a court of competent jurisdiction, such invalidity or unenforceability shall not affect any of the remaining phrases, sentences, clauses, paragraphs, or sections of this Agreement, which shall be interpreted to carry out the intent of the parties hereunder. 9.5 Corporate Authority. The persons executing this Agreement on behalf of the parties hereto warrant that they are duly authorized to execute this Page 9 Agreement on behalf of said parties and that by so executing this Agreement the parties hereto are formally bound to the provisions of this Agreement. PROJECT LOCATION AND DESCRIPTION Page 2 2 2-3 3 4 4-10 10- 12 12- 15 15- 16 16 The project is located between Edinger Avenue on the north, Newport Avenue on the east, Valencia Avenue on the south, and SR-55 on the west. A location map of the project area is attached (Attachment C) for reference. The project area is located within the Pacific Center East Specific Plan (Attachment E) and within the South Central Redevelopment Project Area. A reconfigured street system was completed in 2008 to provide improved access to Newport Avenue, Valencia Avenue, Del Amo Avenue, and Edinger Avenue. Currently Newport Avenue terminates at Edinger Avenue because of an existing railroad crossing. The City is in the process of designing an underpass that will connect to Newport Avenue north of the existing railway line. Completion of this extension is a City priority which is scheduled for construction in the near future (i.e., 2 to 3 years). The properties adjacent to the reconfigured street system are largely unimproved and are owned by the City of Tustin. These adjacent parcels are likely to be sold by the City on a parcel-by-parcel basis for the development of commercial land uses within the next 2 to 7 years depending on market conditions. II. GOALS AND OBJECTIVES The goal is to design a comprehensive gateway plan for the Newport Avenue segment between Edinger Avenue and Valencia Avenue and the Cal Trans off-ramp areas at Edinger which intersect with Newport Avenue using available right-of-way areas including medians and cut-out areas, consistent with general design guidelines and development standards contained in the Pacific Center East Specific Plan. This gateway project is important in establishing the area's character and setting the tone for development on the yet to be CITY OF TUSTIN RFP-Gateway and Landscape Improvements-Newport Avenue Page 3 developed properties adjacent to the new roadway system. Listed below are the major design objectives identified for this Plan. Design Objectives • To prepare a gateway plan that imparts a coordinated design including entry monumentation, hardscape, landscaping, signage, and lighting. • To enhance and maintain view corridors and building prominence within the project area, through use of vertical trees, accent shrubs, and broad plant spacing. • To design an attractive project edge adjacent to SR-55, this will announce the arrival to the area by making a significant statement. • To design entries that will "announce" the area by establishing a unique theme and character for development in the area, to convey the welcoming character of the Tustin community ,and to bring energy and life to the urban experience expected from future development within the Pacific Center East Specific Plan area. • To design a special intersection treatment for Newport Avenue/SR-55 ramps that accents the regional significance of the area and provides identity and direction toward major streets and landmarks (e.g., Tustin Legacy, The District, Tustin Market Place, and Old Town Tustin) in Tustin. • The design should help conserve resources, minimize waste, and provide for efficient use of water through the use of natural drainage and drought tolerant landscaping wherever possible. Recognize that the treatment, particularly of medians will also be within the City's maintenance responsibility, therefore proposed design must be sensitive to maintenance costs. III. PROJECT ASSIGNMENT The Consultant selected will design a comprehensive Gateway/Landscape Plan that enhances the streetscape within the area including landscape, hardscape, signage, irrigation systems, lighting, and gateway monumentation within the appropriate areas such as median islands, corner cut off areas, and within Caltrans ramps on Newport Avenue between Edinger Avenue and Valencia Avenue. A portion of the assignment will require the completion of a Concept Plan for all right-of-way and streetscapes for the roadway locations previously described. The preparation of the Concept Plan is described in this RFP in Section V. Scopes of Work, Task 1. Only a portion of the Concept Plan for the medians and CalTrans ramp right-of-way areas will be constructed by the City as shown on Exhibit F. CITY OF TUSTIN RFP -Gateway and Landscape Improvements- Newport Avenue Page 4 The Consultant, as described in Task 2, will be required to complete bid ready construction plans and specifications for only the City's portion of the project. The construction of improvements will be phased. Medians and certain right-of-way entry treatments will be bid by the City and constructed by the selected contractor in the Initial Construction Phase. Improvements on the back of curb side of properties will be designed and constructed by subsequent property owners. The property owners will require submitting plans consistent with the overall Gateway and Landscape Concept Plan prepared by the selected Consultant. The final deliverable products are as follows: 1. The preparation of an overall Gateway and Landscape Concept Plan for the project area. 2. Bid ready construction plans and specifications that can be used to solicit bids from qualified contractors using the public bidding process in the Initial Construction Phase. IV. SCOPES OF WORK Issuance of Request for Proposals Cut-off date for written questions Proposals due at Tustin City Hall Selection process Contract approval Issuance of Notice to Proceed The proposed Scope of Work, at a minimum, should include and address each of the tasks which follow in sufficient detail to fully understand the proposed products and deliverables, timelines for delivering drafts, coordination meetings with the client, presentations before public bodies, and the relationship of the Consultant-In-Charge to others on the Consultant's team. Although the City has identified a "minimum scope of work", this should not limit proposing Consultants from expanding the scope if necessary to meet the City's goals and objectives as outlined earlier. A. TASK 1 -Gateway Schematic Design or Concept Plan Project Understanding -Prior to preparation of a Concept Plan, consultant shall review and obtain an understanding of the project requirements and review City needs identified for the project, including but not limited, current street and interchange construction plans and field conditions through field investigation, access all on-site and off-site utility needs including identification of alt documented utility configurations and CITY OF TUSTIN RFP-Gateway and Landscape Improvements-Newport Avenue Page 5 impact on the proposed project, review provisions of the Pacific Center East Specific Plan and conduct an initial coordination meeting with City staff to discuss the goals and objectives of the project including the review of tasks associated with the project. Deliverable -The deliverable from this sub-task will include production of a technical memorandum/ with exhibits if necessary, which identify the conclusions of the analysis and identification of key issues. Consultant will identify up to three (3) preliminary design alternatives with respect to a potential landscaping approach to the project and review these with City staff for direction. Based on City direction, the Consultant shall prepare a comprehensive streetscape Concept Plan for the project area delineated in Attachment C. The Concept Plan, at a minimum, should provide the following. 1. A narrative description of the proposed Concept Plan discussing: a. How the City's objectives are being addressed in the proposed Concept Plan and an overview of the proposed Concept Plan that ties the elements of the Plan together. b. Descriptive sections for each element of the Plan. The elements are indicated below in item #2. 2. A Comprehensive Dimensioned streetscape Plan, showing the location of streets, curbs and rights-of-way (with all property lines shown), easements, landscape areas, gateway improvements, dimensional setbacks, slope banks, walkways and sidewalks, walls, and street medians which would at the minimum, meet the minimum level required for the City's Site Plan and Design Review process and any environmental documentation process required for the Project. The elements of the streetscape Plan shall, at a minimum, include: a. Landscape Plan showing the location of plant materials including descriptions of all plants including trees, shrubs, and groundcover. The landscape plan must additionally include sizes of all plant materials and a description of maintenance issues associated with each plant species being proposed as part of the Plan. b. Signage Plan showing the location and appearance of all exterior signs, including dimensions, materials, colors, typography, and illumination, where appropriate. c. Exterior Lighting Plan showing the location and appearance of any proposed exterior lights, including pole height, fixture type, type of light CITY OF TUSTIN RFP-Gateway and Landscape Improvements-Newport Avenue Page 6 source, and color, recognizing that City's desire to conserve energy resources within the public right-of-way. d. Gateway and Hardscape Plans including all vertical improvements such as sidewalks, monuments, walls and fences, showing the location and appearance including height, materials, key details, and color. e. Preliminary Irrigation Plan including the type of system proposed, general location source and pipes, general location of controllers, zones, and valves. f. A general outline of specifications indicating materials and methods of construction. g. A preliminary soil report that indicates any special soil treatment necessary to ensure the success of any planting. Consultant shall prepare a preliminary construction estimate for the project based on the completed Concept Plan phase of plans and drawings. The estimate shall separate median construction from those portions of the project affected by private development (curb side streetscapes). Street sections and renderings illustrating the character of the Plan's major design elements will be required in the preparation of the Concept Plan. As indicated, the Consultant shall evaluate the scope of the project and recommend to the City the most appropriate level of detail required in the improvement plans for Phase I to achieve a complete landscape construction plan that is ready for public bid. Deliverable -Five (5) hard copies of all documents required for Gateway Concept Plan as described above and one electronic/digital version in a format acceptable to the City. The Concept Plans shall be in color. City staff will review the Concept Plan submittals and provide any comments to Consultant to finalize the Concept Plans which Consultant shall be required to provide responses. Upon receiving direction from City staff, Consultant shall proceed to Task 2 for the Initial Construction Phase. B. TASK 2 -Preparation of Public Bid Drawings and Documents 1. Final Plans and Construction Documents. Based on direction on the Concept Plan task, Consultant shall prepare a full set of detailed and fully coordinated Construction Plans and Contract documents, along with all other documentation and specifications required as part of a bid package for median improvements and improvement within the public right-of-way (as the CITY OF TUSTIN RFP-Gateway and Landscape Improvements- Newport Avenue Page 7 City has given Consultant that the City would install) which will not be impacted by future development activity (i.e., Caltrans on and off-ramps to the SR-55 Freeway). The balance of the Concept Plan treatments will be applicable to private development when private development sites are developed in the future. Plans shall be prepared in ink on standard 24" x 36" mylar (4 mil) at a scale of 1 " _ 40'. All plans shall be prepared with a current version of AutoCAD and shall follow the City's guidelines as described in Attachment E. All text documents shall be prepared on electronic files capable of being opened and fully compatible with Microsoft Word Version 2007 and also submitted to City in hard copy of 8 '/s" X 1 1 " pages. Consultant shall also ensure that submittals of all dry and wet utilities have been coordinated for all Improvements. During preparation of full construction plans and documents, Consultant shall issue progress drafts for City review at 60% prior to completion of 100% construction plans and documents. After 60% plan review, Consultant shall prepare complete fully coordinated construction plans and documents and submit them for plan check and approval by the City and other appropriate and required agencies that have oversight/review authority. The Consultant shall revise, correct and resubmit the Construction Plans and Documents to the City and all required agencies until final approval is obtained, at no additional cost to the City. Once plans are approved, the Consultant shall prepare and deliver to the City, one complete reproducible copy of the approved, permitted construction plans and documents to be used by the City for bidding by general contractors. The original reproducible drawings and specifications index sheet shall be stamped by a seal with the Consultant and associated sub-consultant license numbers and/or signed in accordance with the California Business and Professionals Code and also be stamped or signed by all applicable regulating agencies and the City Engineer. Consultant and Consultant's sub-Consultants shall transfer copyrights of drawings and specifications or other documents to the City. City will expressly have the right to use all or a portion of each drawings, specifications, and documents on future projects at the discretion of the City and with no obligation to Consultant or sub- Consultant. City agrees to hold harmless Consultant from any and all claims for damages arising from the use of drawings and/or specifications or other documents by the City for other purposes than design and construction of the project. 2. Specifications The City of Tustin has adopted the Standard Specifications for Public Works Construction ("Green Book") latest edition for construction. The Consultant shall prepare Detailed Technical Specifications for bidding and construction purposes in CITY OF TUSTIN RFP -Gateway and Landscape Improvements -Newport Avenue Page 8 accordance with the standard City format and with the City's standard boiler-plate detailed specifications where applicable, including any City desired bid alternatives as appropriate to assure a competitive construction bid. The Consultant shall also prepare for a detailed listing of Bid Items. 3. Estimates The Consultant shalt calculate quantities and prepare final itemized cost estimates for the various bid items. The City requires unit breakdown of landscaping and construction items. Lump sum items will require City approval, and require sufficient back-up information to justify the estimated cost. 4. Mapping, Documentation and Plan Preparation Requirements For all deliverables, the Consultant shall conditions specified in Attachment E titled 8~ Documentation Requirements". strictly adhere to the requirements and "City of Tustin Mapping, Plan Preparation Deliverables -Complete improvement plans shall be prepared in ink on standard 24" x 36" mylar (4 mil) at a scale of 1" = 40'. All plans shall be prepared with a current version of AutoCAD and shall follow the City's guidelines as described in Attachment E. C. TASK 3 -Optional Task Construction Administration Services Task 3 is not a part of the scope of services but shall be identified as an additional scope of services for which the City has the option to exercise, at its sole discretion, with costs identified for said services as welt. Consultant shall not proceed with this task without an amendment to the Consultant Services Agreement. The intent of this Optional Task is for Consultant to assist City in the following: 1. Consultant shall conduct apre-construction conference and document said conference. 2. Consultant shall monitor and document project's construction progress for quality, cost, and liability control and coordinate with City in: (a) review of payment requests; (b) monitoring of testing consultants reports and work and monitoring necessary quality control of project; and (c) informing City of any issues. 3. Consultant shall monitor construction staking and horizontal and vertical control lines, certifying horizontal and vertical control lines during precise grading and prior to any concrete pours. 4. Consultant shall provide monitoring and documentation of construction progress on a regular basis, confirm conformance with schedules, plans and CITY OF TUSTIN RFP -Gateway and Landscape Improvements -Newport Avenue Page 9 specifications, measure and document construction pay quantities, document significant conversations or situations, etc.. Based on Consultants visits to the site of project, Consultant shall keep City informed through written progress reports and photographs as to progress of work, shall advise City of defects and deficiencies observed in working of contractors, and may recommend that the City reject work as failing to conform to contract documents. 5. Consultant in coordination with the City shall review all samples, material data sheets, equipment "cut" sheets, shop drawings, and other technical documentation submitted by Contractor for approval for conformance with standards prescribed in the Construction Contract documents. 6. Consultant in coordination with the City shall review and provide responses to all Requests for Information (RFI's) and Requests for Clarification (RFC's) submitted by contractor and sub-contractors and shall respond within three (3) working days. Consultant shall maintain a chronological log of all RFI's and RFC's that records the request, the time/date received, the response and the time/date provided back to contractor, and document any and all Bulletins issued. 7. Consultant shall manage the agenda and attend any project construction progress meetings. 8. Consultant in coordination with the City shall review all contractor cost proposals for change orders, submitted supporting documentation, calculations and opinion of probability of construction cost, process change orders and supplemental agreements. All change orders shall also require approval of the City. 9. Consultant shall prepare and submit inspection reports, to also include quality control observations and reporting. 10. Consultant shall recommend through appropriate certificates, the amount owing contractors after review of contractors payment request based on observations of progress of construction and contractor's application for payment. 11. Consultant shall conduct and document periodic wage rate interviews and monitor contractor compliance with all required prevailing wage requirements applicable to the project as a pre-condition to approving any contractor payment requests. 12. Consultant shall make recommendations to City on all claims of the City or contractor and other matters related to execution and progress of work, including interpretation of contract documents. Consultant shall submit a final walk-through and completion submittal criteria and conduct final project walk-through with all participating City and other agencies with jurisdiction, and provide a comprehensive project punch list that identifies any deficiencies and requirements for project completion. Consultant shall certify the satisfactory resolution of all items included in the project punch list before release of retention is recommended. 14. Consultant shall obtain from contractor all close-out documents including operating and maintenance manuals, instructions and warranties; obtain a final inspection certification from Public Works; turnover all project files to City, and prepare a final budget report. VI. PROPOSAL REQUIREMENTS This section is intended to provide guidelines for the proposing Consultant regarding elements that the City will look for and expect to be included in the proposal. A. Content 8~ Format Proposals shall contain no more than twenty (20) typed pages excluding the index, table of contents, tables, charts, and graphic exhibits. The proposal should include at a minimum the following: 1. Scope of Work. 2. Team Organization including an organization diagram and time commitment of key staff. 3. Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract. 4. Resumes of key staff. 5. Schedule of Hourly Rates and fees in a separate sealed envelope. A fixed fee for a not-to-exceed amount for the full range of services being proposed under the Consultant's proposal shall be required. 6. A fixed fee for the optional task shall also be identified. B. Scope of Work The information provided in this section should describe the firm's approach and work program to meet the City's objectives, design concept, technical approach, CITY OF TUSTIN RFP-Gateway and Landscape Improvements-Newport Avenue Page 11 methodology, construction/landscape plans, and specific tasks and activities that will be performed to address the specific issues and work items. C. Team Organization The information provided in this section should describe the organization of the project team including sub-Consultants and key staff. A project manager and an alternate project manager who will be the prime contact and be responsible for coordinating all activities with the City should be included. An organization diagram showing all key team members and illustrating the relationship between the City, the project manager, key staff, and sub-Consultants and a brief description of the role and responsibilities of all key staff and sub-Consultants identified in the team organization also should be included. D. Statement of Qualifications The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. The projects listed should be those that the key staff named for this project had responsibility for performing services. Information shall include: • Names of key staff that participated on named projects and their specific responsibilities. • The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Completion dates (estimated, if not yet completed). • Total costs of the projects. Brief resumes of key personnel who will provide these services demonstrating their qualifications and experience also should be included. Resumes should highlight education, relevant experience, licenses, and specific responsibilities for services described. E. Fee Proposal Compensation for services provided shall be based upon the Consultant's detailed fee proposal to furnish the services detailed in the proposal which shall be a not-to exceed fee for the Basic Scope of Work and a not to exceed fee for the Optional Task. A Fee Proposal shall be submitted in a separate, sealed envelope and marked as "Fee Proposal" along with the names of the projects. CITY OF TUSTIN RFP -Gateway and Landscape Improvements-Newport Avenue Page 12 A work program together with a breakdown of labor hours by employee billing classification together with the cost of non-labor and sub-Consultant services shall be included with the fee proposal. The labor breakdown shall be compiled based upon a listing of work tasks that correlates with the Consultant's defined scope of work for the project proposal. This information will be used by the City staff to evaluate the reasonableness of the fee proposal and may be used in negotiating the final fee amounts for the contract agreement. The fee proposal of the three (3) top ranked Consultants will be opened at the conclusion of the Consultant evaluation and selection process. Fees will not be used to determine the ranking of the Consultants. The Fee Proposals of those Consultants not ranked in the top three (3) will be returned to them unopened upon award of contract to the selected Consultant. The City will negotiate the final fee with the top ranked Consultant. Reimbursable expenses shall not be allowed unless negotiated prior to a contract. Price escalations during the contract term are disfavored and will not be allowed unless negotiated prior to execution of contract. Although no public meetings are anticipated, the fee proposal shall include a unit cost for a public meeting (e.g., $/public meeting) in the event a meeting will be required. Meetings with the client should be taken into consideration as part of the proposal. The Consultant shall prepare progress billings, reflective of the project schedule and the scope of work completed, by line item and description. F. Statement of Offer 8~ Signature The Proposal shall contain a statement that the proposals are a firm offer fora 90 day period for the regular scope of work items and signed by an individual authorized to act on behalf of the firm. To the extent that the City desires, at its sole discretion, to the Optional Task, City would request that the not to exceed fee proposal for the Optional Task be honored through December 201 1. VII. GENERAL REQUIREMENTS A. Insurance Requirements The Consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: CITY OF TUSTIN RFP -Gateway and Landscape Improvements- Newport Avenue Page 13 1. General Liability and Automobile Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. 2. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made" policy is acceptable). If Consultant provides "claims made" coverage, Consultant shall also agree in writing either: a. Purchase Tail Insurance in the amount required by the resulting agreement to cover claims made within five (5) years of completion of Consultant's services under the agreement. b. Maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by the resulting agreement five (5) years after completion of Consultant's services under this agreement. The Consultant shall provide written evidence of either form by executing the attached letter agreement (Attachment B) on Consultant letterhead. 3. Worker's Compensation Coverage - as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the City for losses paid under the policy, which losses arise from the work performed by the named insured. 4. Other applicable insurance requirements are: a. Name the City its officials and employees as additional insured on the general and professional liability policies. b. The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, VII or better (if an admitted carrier) or A-, X (if offered, by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept workers' compensation insurance rated B-VIII or better or from the State Compensation Fund. c. The Insurance shall not be cancelled, except after thirty (30) days written prior notice to the City. d. The commercial general and professional liability insurance shall each be primary as respects the City, and any other insurance maintained by the City shall be in excess of this insurance and not contribute to it. CITY OF TUSTIN RFP -Gateway and Landscape Improvements- Newport Avenue Page 14 Prior to execution of any Agreement, Consultant shall provide to City certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided prior to a Consultant Services Agreement being executed by the City as evidence of meeting the above insurance requirements of Subsections (a), (c), and (d) of Section A-4 above and the waiver of subrogation requirement in Section A-3 above. If self-insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. Consultant shall be required to provide to City a written notice of cancellation of insurance within five (5) days of its receipt of a notice of cancellation from any insurance carrier providing general liability, auto, worker's compensation and professional liability insurance. In addition, Consultant shall be required to instruct its insurance broker to provide the City with written notice of cancellation of any insurance policy(ies) applicable to this Agreement within forty-eight (48) hours of the broker's knowledge of any cancellation by the insurance provider. Deductibles, Self-Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Tustin. The Consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. B. Standard Form of Agreement The Consultant will be required to enter into an agreement with the City based upon the contents of the RFP and the Consultant's proposal. The City's standard form of agreement is included as Attachment A. The Consultant shall carefully review the agreement, and include with the proposal a description of any exceptions requested to the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. C. Disclaimer This RFP does not commit the City to award a contract, or to pay any costs incurred in the preparation of the proposal. The City reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified Consultant, or to cancel this RFP in part or in its entirety. The City may require the selected Consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. Assigned Representatives The City will assign a responsible representative to administer the contract and to assist the Consultant in obtaining information. The Consultant also shall assign a responsible representative (project manager) and an alternate, who will be identified in the proposal. The Consultant's representative will remain in responsible charge of the Consultant's duties from the notice-to-proceed through project completion. If the Consultant's primary representative should be unable to continue with the project, then the alternate representative identified in the proposal shall become the project manager. The City's representative shall first approve any substitution of representatives or sub-Consultants identified in the proposal in writing. The City reserves the right to review and approve/disapprove all key staff and sub-Consultant substitution or removal, and may consider such changes not approved to be a breach of contract. E. City Business License A City business license will be required of the Consultant and any sub-Consultants for services under this agreement. VIII. CONSULTANT EVALUATION AND SELECTION PROCESS The City's Consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system, maximum 100 points, based upon the weighting indicated below: • Approach and work plan to achieve specified city objectives (30 points). • Clarity of proposals (20 points). • Qualifications and experience of the project manager and other key individuals (25 points). • Qualifications and experience of the firm (15 points). • Compliance with proposal requirements (10 points). The City may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the best qualified firm for the desired consulting services. Supposed the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the CITY OF TUSTIN RFP-Gateway and Landscape Improvements-Newport Avenue Page 16 negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. Additional information related to the Consultant selection process will be made available in the future once the City has executed this contract. Please refrain from making any verbal inquires or requests for a formal debriefing related to the subject RFP until the City of Tustin completes the ongoing contract process. IX. ADMINISTRATION SPECIFICATIONS The City of Tustin's Rights to Proposals All proposals, upon submission to the City of Tustin shall become its property for use as deemed appropriate. By submitting a proposal, the offer covenants not to make any claim for or have any right to damages because of any misinterpretation or misunderstanding of the specification, or because of any misinformation or lack of information. The City of Tustin has the following prerogatives with regard to proposals submitted: • To accept or reject any or all proposals. • To correct any arithmetic errors in any or all proposals submitted. • To utilize any or all the ideas from proposals submitted. • To change the proposal's due date upon appropriate notification. • To adopt any or the offeror's entire proposal. • To negotiate modifications to the scope and fee with selected offeror prior to contract award. RBF will work closely with the City to select streetscape elements that are unique to the entire corridor. APPROACH As a result of our site visit, the City's RFP, the Pacific Center East Specific Plan, and our familiarity with the project area and the City of Tustin, the RBF Consulting Team understands that the goal of this project is to provide a comprehensive gateway plan for Newport Avenue between Valencia Avenue and Edinger Avenue and the Caltrans on/off-ramps. The Gateway Plan will provide cohesive guidelines to accompany future redevelopment for the streetscape improvements to create a unique theme for the area, an entrance to the City of Tustin, and a distinct urban experience for the Pacific Center East Specific Plan area. The Caltrans off-ramp makes a new entry point into the City and creates an opportunity to make a significant entry statement to the Specific Plan area. Upon the completion of the future Endinger Avenue underpass, Newport Avenue will become more easily linked to the City of Tustin street network. We also understand that the City only intends to install improvements within the medians and along the Caltrans ramps as part of this project. Improvements from the back of street curb to the right-of-way will be designed and constructed by private property owners. INTERSECTION GATEWAY A strong opening statement is crucial to any speech - it sets the tone and prepares the audience for the message that will follow. The proximity to SR-55 and the Caltrans off-ramp creates an entry point that presents the same opportunity for the City of Tustin; it provides an introduction to the community and smoothly guides the visitor toward key features and amenities found there. The intersection at Newport Avenue and Del Amo Avenue will be a key feature to use to announce the arrival into the City. The treatment of this gateway intersection will set the tone for the specific plan area, but will also be a challenge due to the existing retaining walls and elevation changes at the intersection corners. STREETSCAPE DESIGN FEATURES The Newport Avenue/SR-55 Gateway will create a unique theme for the streetscape that is noticeably distinctive from the surrounding areas. This can be accomplished through the design of the streetscape elements, such as the entry The large (30') landscape setback established on Newport Avenue will provide an opportunity to use the landscape to enhance the entry statement. Additionally, maintaining views to buildings through the selection of vertical trees and screening parking lots and cars through the use of low shrubs or berms can be accomplished in the landscape setback. The irrigation system will be designed to prevent runoff and overspray while also being readily and easily maintainable. RBF works with all affected agencies, which also includes utility companies and other regulatory agencies, to establish design criteria at the outset of a project that will serve as the basis of design. __ EXPERIENCED PROJECT A licensed Landscape Architect with over 13 years of public works experience will lead RBF's project design team as the Proj ct MANAGER SUPPORTED BY Manager and a licensed Landscape Architect with over 26 years of public works experience will contribute his expertise as PERMANENT DESIGN TEAM Principal in Charge and Alternate Project Manager. The Project Manager's role will be to coordinate the project directly with the City's Project Manager, be fully cognizant of the day-to-day technical issues, develop design consensus with City staff and the project design team, oversee the project design team, and be responsible for the overall success of the project. The Principal-In- Charge/Alternate Project Manager will be responsible for ensuring RBF's successful completion of each task as well as ensuring that the City's goals and expectations are being met. Permanent Design Team Discipline Leaders will support the Project Manager. RBF assigns staff to Discipline Leaders (Civil Engineer with over 18 years of experience, Electrical Engineer with 26 years of experience, Construction Manager with 26 years of experience, Signage Designer with 34 years of experience) on a permanent basis rather than on a weekly deadline basis. This is a crucial first step in delivering a high quality project, as quality truly suffers when a project does not maintain staff and leadership continuity. CRITICAL PATH METHOD RBF understands the importance of a project schedule as a key communication tool in the management of a project. There are SCHEDULING several key elements that maximize the effectiveness of a project schedule including: • Information should be easily communicated and understood SCHEDULE • Commitment is obtained from each functional design leader and the project team • Inter-relationship of tasks is shown, including internal QA/QC and agency review periods =~ Easy and flexible to update Office wide correlations of staffing and project commitments are considered Specific critical path items or key critical decisions that affect plan production will be identified on a continual basis to ensure the project schedule is met. RBF will promptly notify the City of any changes in anticipated project progress and will submit an updated detailed Project Schedule to the City. CRITICAL ISSUE RESOLUTION Every project will have issues that require discussion and agreement between the affected parties. RBF works to foster a professional team relationship between all members of the Project Team and their clients. We strive to be technically accurate, objective, and creative in developing consensus on critical project issues. The early identification and resolution of critical issues is imperative to keep a project on track and on schedule. Identification of who is responsible to provide information needed for the decision making process greatly helps in keeping a project moving forward. BUDGET CONTROL It is essential that the RBF Team and the City of Tustin have an understanding of the construction budget early on in the project. Frequent monitoring and early identification of any design changes affecting construction costs will be identified. RBF continually tracks costs of recently constructed public works projects to monitor cost changes in the construction industry. PROGRESS REPORTS RBF will provide monthly progress reports for the duration of the design activities. RBF will submit a Progress Report summarizing all work progress and billings to date. The report will also address potential problems that may delay achieving the project milestones and identify who is responsible to provide information to keep the project moving forward. QUALITY CONTROL Producing high quality work is an extremely important goal for RBF. The RBF Team's Quality Control Program is a continuous ~, ~ process used not just at project milestones, but also on a daily basis as work flows from desk to desk, discipline to discipline, and consultant to client. Our plans will undergo two types of internal reviews: i • On-going Reviews: These occur throughout the project process by the Project Manager and focus on the day-to-day accuracy and coordination with other disciplines. • Formal Reviews: These occur at each of the product submittal stages and will be performed by the discipline department head. ALLOCATE STAFFTO MEET The Project Manager will hold regular in-house project team meetings with design Discipline Leaders to coordinate project DEMAND SCHEDULE interface issues and ensure that a "cause and effect" analysis of design decisions that involve multiple design disciplines is completed. In addition, these meetings are utilized to discuss staffing needs and project schedule and budget status. These in- housemeetings serve as a forum for regular communication within the entire RBF Project Team that fosters development of a cohesive teamwork environment and builds accountability within the Project Team. SCOPE OF WORK Based on our understanding of the project, RBF is proposing a proven, three-phased approach for the development of the Newport Avenue Gateway Improvements. This approach organizes our scope of services into a series of logical steps and milestones. It will allow us to deliver the products desired by the City, develop a high level of consensus throughout the course of the project, resolve design issues early in the process, provide a design that attains all project goals, and meet the City's budget and schedule requirements. The result will be a comprehensive, well thought-out project. Our three-phased approach is as follows: Products: • Color contact prints • Ground control coordinates • Digital topographic map files TASK 1.3: UTILITY RESEARCH, RECORD DRAWINGS REVIEW, SITE INVESTIGATION, AND BASE MAPPING A thorough analysis of the existing conditions is critical prior to preparing the Gateway Master Plan and construction documents. This analysis will familiarize the RBF team with detailed, firsthand knowledge of the site, its potential users, opportunities and constraints, and the City's goals and objectives. PHASE 1.0 -GATEWAY SCHEMATIC DESIGN TASK 1.1: KICK-OFF MEETING The RBF Team will meet with the City Project Manager and City staff to discuss the project, establish communication procedures, set schedule milestones, solidify the City's expectations, and confirm product/task deliverables. The City Project Manager will provide RBF with as-built drawings, public utility information, and other pertinent documents in the City's possession. It is assumed that the City will provide CAD files for both the City's street improvements and the Caltran's ramp improvements with right-of-way locations to be used as the base map for the project and that additional surveying will not be needed. Products: • Finalized Scope of Work • Project schedule • Milestone deliverable list • Meeting minutes summary • Team directory TASK 1.2: AERIAL TOPOGRAPHIC MAP OPTIONAL TASK If the project requires an updated base map for the project area, RBF will provide topographic mapping from aerial photogrammetry. Mapping will meet the requirements in "ASPRS Accuracy Standards for Large Scale Maps", dated March 31, 1993 and will be provided in AutoCAD format including a digital terrain model (DTM). Mapping will be compiled at a scale of 1" = 40' with one-foot interval contours. RBF will provide horizontal and vertical survey control for the aerial targets. RBF will review the pertinent documents provided by the City of Tustin, including the Newport Avenue street improvement plans and the Caltrans ramp plans. RBF will conduct record research as required to update the location of the utilities located within the site. RBF will research available City and County records to determine the location of existing sewer, water, and storm drain improvements in the public streets. RBF will also send written notifications to the various utility companies requesting copies of their facility maps. The list of utility contacts will either come from a City standardized list or one that we will prepare based on current contact data. RBF will keep records of correspondence, both to and from the utility companies, provide copies of the correspondence to the City, and document material obtained. RBF will prepare an AutoCAD base map to locate the utilities within the project limits. The utility owners will be sent the base map to verify the horizontal locations of their facilities. If potential conflicts with utilities arise, RBF will identify the locations and will discuss with the City if pot holing is required to obtain exact locations and depths. Additionally, RBF will perform a field review of the site to verify, observe, and photo-document the existing conditions. Based on approved identity/theme for the signage, three (3) concept designs indicating dimensions, materials, colors, typography, and illumination will be prepared for the following elements: RBF will begin to prepare the CAD base maps to be used throughout the course of the project based on the CAD files provided by the City or through optional Task 1.2. It is critical to prepare the base maps early in the process to ensure that future design development is based on the specific field data and that unexpected site conditions do not occur. Products: • Memorandum that summarizes the technical information obtained, including the material date and source of information • Utility locations shown electronically in CAD • Photograph documentation of the existing field conditions • Base map preparation in CAD TASK 1.4: SIGNAGE DESIGN MEETING The RBF Team will meet with the City Project Manager and City staff to discuss the signage design needs. RBF's subconsultant, Graphic Solutions, Ltd., will develop a sketch pack of project area identities/themes suitable for a variety of signage applications and present the identities/themes to City for review, comment, and selection. The input received from this meeting will be the basis for the schematic design alternatives. Products: • Signage design themes TASK 1.5: SCHEMATIC GATEWAY DESIGN RBF will prepare three (3) distinctly different schematic gateway design alternatives illustrating the Streetscape design based on the site opportunities and constraints, the City's goals and objectives, the City's design standards, and site distance standards. The schematic plans will be at an appropriate scale showing the horizontal layout of the median and street curbs, rights-of-way, landscape easements, median hardscape paving, special intersection treatments, sidewalks, landscape areas, sign locations, decorative street and/or pedestrian lights, trees, shrubs, and groundcovers. Images or renderings of the options for the median hardscape paving, street lights, vertical design features (e.g. walls and fences), and plant materials will be included. The goal of the Streetscape Master Plan is to provide a comprehensive design for the corridor that meets the City's goals and objectives and to provide the framework for all future design decisions. The Gateway Master Plan will include, but not be limited to, the following: A narrative description of the Gateway Master Plan and how it achieves the City's objectives; • Landscape area locations; Plant material selections, including installation sizes and maintenance issues; • Signage types, sizes, materials, and locations; • Design guidelines for private signs (Community Signage and Project Entry/Identification Signs); • Decorative light locations and selections; • Median hardscape materials; • Sidewalk design; Vertical design features (e.g. walls and fences); Special intersection treatment at Newport Avenue and Del Amo Avenue; Preliminary irrigation information, including type of system, locations for water meters, electrical services, sleeves, valves, etc.; An outline of the "Greenbook" technical specifications to be used; A preliminary agricultural suitability soils report for planting (3 locations); A final Opinion of Probable Construction Costs; Typical street cross sections with dimensions ; Images of the final paving selections, signage, street lights, vertical design features, and plant material selections. TASK 2.1: PREPARATION OF CONSTRUCTION DOCUMENTS The construction documents will be submitted to the City for review at 60% and 100% design completion. The plans will be prepared at 1"=20' scale in AutoCAD format using the City's title block. Following each submittal, comments provided by the City will be incorporated into the next construction document submittal. The format of the submittals will be: The 60% and 100% plans submitted full-size on D-size (24"x36") paper (eight sets) The final, approved, signed construction plans submitted on mylar at full-size (one set) for bidding purposes and electronically on a CD in AutoCAD or PDF format Task 2.1.4: Electrical Plans and Details /Electrical Utility Coordination RBF will prepare electrical plans for the Gateway monumentation lighting, Caltrans off-ramp sign lighting, and irrigation controllers electrical connections. The plans will include metered service pedestals, pullboxes, conduit, wiring, connection diagrams, panel schedules, single line diagram, and voltage drop calculations. RBF will coordinate with the electrical utility to provide new electrical services required to accommodate the new sign lighting and irrigation pedestals. RBF will provide the load requirements, site plans, and information necessary for the utility to provide the new electrical services. It is assumed that the City will provide addresses for each of the new metered electrical utility services. Task 2.1.5: Sign Plans and Details Task 2.1.1: Title Sheet RBF will prepare a Title Sheet showing the project name and location, pertinent standards for the Contractor to follow, the basis of survey information, RBF's company and contact information, sheet index, and any other pertinent information as requested by the City. Task 2.1.2: Planting and Median Hardscape Plans and Details RBF will prepare 1"=20' scale planting and median hardscape plans. The plans will indicate the species, quantity, and size of plant material to be used. Plants will be selected based on their suitability to grow in the area, the City's Landscape Standards, ease of maintenance, and size at full-growth. The plans will also indicate the median paving materials as well as dimensions for the median paving. A planting legend, planting details, and hardscape details will be included as part of this task. Task 2.1.3: Irrigation Plans and Details RBF will prepare 1"=20' scale irrigation plans in AutoCAD indicating type of irrigation equipment to be used, such as irrigation controllers, pipe, valves, quick-couplers, dripline, etc. The irrigation design and plans will conform with AB 1881 to show hydrozone information and water use calculations. An irrigation legend, irrigation pressure loss calculations, and irrigation details will be included as part of this task. Graphic Solutions will prepare construction drawings sufficient for fabrication by a qualified sign fabricator, including: Sign Location Plan Message schedule n. When RBF receives comments regarding the construction documents, RBF will prepare a written Response to Comments matrix showing how each comment has been addressed to be provided with each subsequent resubmittal. Product: • Caltrans encroachment permit • Response to Comments matrix • Final signed plans TASK 2.5: PROJECT MANAGEMENT, MEETINGS, AND INVOICING In addition to the meetings described in Tasks 1.0 and 2.0, RBF will attend up to four (4) meetings during the Final Design Phase to coordinate and review design progress with the City. It is anticipated that RBF will meet with the City after the 60% and 100% construction documents submittals. After any meeting with the City, RBF will prepare Meeting Minutes and submit them to the City within five (5) business days. RBF will provide monthly status reports to the City to keep the project on-time and on-budget and will notify the City of any issues that may impact the schedule or budget. Additional meetings can be provided subject to written PHASE 3.0 -CONSTRUCTION ADMINISTRATION SERVICES (OPTIONAL TASK) If requested by the City, RBF will perform the following construction phase services. For the purposes of this scope of work and associated fees, RBF assumes that the construction phase would have aforty-five (45) working day duration and that RBF's Construction Inspector would be on- site for thirty (30) hours per week and the Construction Manager would be on-site for six (6) hours per week. The Construction phase would be divided into the following durations: one (1) week for Pre-Construction, seven (7) weeks for Construction, and one (1) week for Project Close- out. However, the following tasks and construction duration may need to be further discussed and modified between RBF and the City based upon the complexity of the final design shown in the construction documents. The intent of this Optional Task is for RBF to assist the City of Tustin in the following: 1. RBF will conduct apre-construction conference and prepare and submit minutes of the pre-construction conference. 2. RBF will monitor and document project's construction progress for quality, cost, and liability control and coordinate with the City of Tustin in: (a) review of payment requests; (b) monitoring and testing Consultant's reports and work and monitoring necessary quality control of project; and (c) informing City of any issues. 3. RBF will monitor construction staking and horizontal and vertical lines, certifying horizontal and vertical control lines during precise grading and prior to any concrete pours. 4. RBF will provide monitoring and documentation of construction progress on a regular basis, confirm conformance with schedules, plans and specifications, measure and document construction pay quantities, document significant conversations and situations. RBF, in coordination with the City of Tustin, will monitor all RFI's and RFC's submitted by Contractors and will respond within three (3) working days. RBF will maintain a chronological log of all RFI's and RFC's which notes the request, the time and date received, the response and the time and date the response was provided to the Contractor. RBF will document any and all Bulletins issued. RBF will manage the agenda and attend any project construction progress meetings. RBF, in coordination with the City of Tustin, will review all Contractor cost proposals for change orders, including supporting documentation, calculations, and opinion of probability of construction cost. Crown Valley Parkway is designated as a principal arterial on the County Master Plan of Arterial Highways. Recent construction of improvements to the I-5/Crown Valley Parkway interchange and widening of Crown Valley Parkway between the freeway ramps and Puerto Real have provided traffic relief to the major retail/commercial/office districts including the Kaleidoscope development and recently improved Shops at Mission Viejo. However, Crown Valley Parkway will experience increasing traffic volumes with the development of future land uses to the east. RBF assisted the City of Mission Viejo with conceptual design layout plans, analysis of widening alternatives, and final plans, specifications, and estimates for the widening of the roadway to eight lanes and providing dual left turn pockets, right turn pockets, and bus stop turnouts at various locations. Other improvements included utility relocations, median and parkway landscaping and irrigation, grading, storm drain improvements, intersection design detailing, traffic signal modifications, and full stage construction plans. The work also included environmental documentation, field surveys and topography. Additionally, there were associated improvements to Marguerite Parkway north and south of its intersection with Crown Valley Parkway. These improvements included roadway widening and traffic lane transitions for the fully improved intersection. RBF carefully analyzed the grading limits of the adjacent properties as well as suggesting the use of an inexpensive retaining curb for areas requiring minimal earth retention. The combination of maximizing grading and the use of the retaining curb reduced the length of total retaining walls needed for the project by 25%. The project included approximately 630 feet of a 12' wide, raised median in the City of South Gate that connected to the existing raised median in the City of Downey. The intent of the landscape improvements was to create a dramatic entry statement to the City. The median included decorative paving, ornamental landscaping, tree up-lighting, and an entry monument. Trees in tree grates were added in the sidewalks on both sides of Firestone Boulevard. Searl Parkway is the major roadway through and providing access to the Diamond Valley Lake Park Specific Plan area. The Diamond Valley Lake Park Specific Plan area consists of over 538 acres and is located within the East Recreation Area of Diamond Valley Lake. Diamond Valley Lake and the East Recreation Area are the "jewels" of the lake and reservoir system owned and operated by MWD. Searl Parkway is an important and highly visible aesthetic element of the East Recreation Area and as such will emphasize and display MWD's water conservation philosophy, water efficient irrigation technology and features the use of native and California friendly plants. In addition, the design had to consider the interface with a major wildlife corridor, equestrian trailhead, major storm water detention basin, museum and sports park. The design incorporates 40' tall corten steel and stone monument signs, the extensive use of native boulders, cobble and gravels, decomposed granite groundcovers and native trees, shrubs and ground covers. RBF's services included landscape architecture and design, structural engineering, traffic engineering, electrical engineering, storm water pollution and prevention planning and construction administration services. At build out, the East Valley Recreation Area of Diamond Valley Lake will provide for a variety of recreation-related uses including the Southern California Water Education Center, the Western Center for Archaeology and Paleontology, an 85-acre community park and regional aquatic facility, a recreation lake and day use park, camp ground facilities, hiking, biking, walking and equestrian trails and associated improvements. The purpose of the report was to present a technically accurate comparison of alternative alignments for this segment of Culver Drive which is adjacent to the community of Turtle Rock and the University of California, Irvine campus. Two key issues that were addressed as part of the study were noise and visual impacts. New noise measurements and analysis were conducted at representative locations along the project. A visual analysis was also prepared at each of these locations which illustrated existing views and how the alternatives also compared to each other. A Project Study Report (PSR) was prepared that documented the technical studies and compared the design features and costs of the alternative alignments. After completion of the PSR, RBF provided the City of Irvine with a wide range of consulting services for this high profile project, working closely with the City of Irvine, FHWA, and Caltrans. The environmental documentation involved a comprehensive evaluation of three project alignment alternatives to satisfy FHWA's reporting requirements under the National Environmental Policy Act (NEPA) which supported an Environmental Assessment (EA) leading to a Finding of No Significant Impact (FONSI). RBF's efforts enabled the City of Irvine to obligate 4.9 million dollars in federal construction funds for the project. Subsequent to FHWA approval of the environmental document, RBF prepared construction documents for the proposed roadway realignment. The work program included many unique features including design of a subterranean detention facility, meandering Class I Bicycle Trail and Storm Water Quality Swale, detailed acoustical analysis and sound barrier design. The Consultant shall comply with all applicable federal, state and local laws applicable to its activities. 2. The Consultant shall not release to the public or press any information regarding the purpose/scope of services to be accomplished or data specific to the project required under the Agreement without prior authorization of the contract officer. All such information is considered confidential. All inquiries made of Consultant shall be immediately referred to the Contract Officer. 3. Consultant shall present to the Agency certificates of insurance and endorsement forms verifying that the Consultant has the insurance as required by this Agreement. Said form shall be reviewed and approved by the office of the City Attorney. A certificate of insurance form is attached. 4. Consultant shall utilize those professional staff members to perform services as identified in Consultant's proposal. No substitution shall be made without the advance written approval of the Contract Officer. No increase in compensation or reimbursable salary rates will be allowed when personnel or firm substitutions are authorized by the Contract Officer. 5. The Consultant shall review and replace project personnel who do not perform assigned duties in a manner satisfactory to Contract Officer when requested by Contract Officer. 6. Monthly progress reports shall be submitted by Consultant with billing requests. At minimum these reports shall specify the period reported, tasks completed, tasks underway, percent of project completed and strategies to solve any timing delays. 7. Consultant shall be required to meet with the Contract Officer as determined necessary or desirable to discuss elements of the Scope of Work and project's progress. 8. Field Investigation necessary. The Consultant shall obtain all necessary field data and make investigations and studies necessary to properly accomplish the work required under this Agreement. EXHIBIT "D" SCHEDULE OF COMPENSATION AND PERSONNEL HOURLY RATES Compensation As compensation for the Consultant's services under this Agreement, the Agency shall pay the Consultant snot-to-exceed fixed amount of $125,979 which shall include all direct and reimbursable expenses as such expenses shall be limited or restricted pursuant to this Exhibit. 2. All billings for direct expenses shall be supported by hours and billable rates shown and as set forth in Attachment 1 to Exhibit C. Expense Reimbursement 3. The Consultant's not-to-exceed compensation for services under this Agreement may include reimbursement for miscellaneous expenses not to exceed $1,000. The Agency shall reimburse Consultant for direct expenses such as and including postage, telephone charges and duplicating expenses subject to the following restrictions: A. Itemized payment statements shall set forth in detail all actual reimbursement expenses during the preceding month. B. No overhead charges on top of reimbursable expenses shall be authorized. Compensation for Additional Services 4. In the event the Agency requires services in addition to those described in Exhibit A, said services must first be approved in writing by the Contract Officer. The Consultant shall be compensated at the Consultant's standard hourly rates for professional services, plus reimbursement of expenses or a fixed amount agreed to in writing by the Agency and Consultant. Method of Payment 5. As a condition precedent to any payment to Consultant under this Agreement, Consultant shall submit monthly to the Agency a statement of account which clearly sets forth by dates the designated items of work, as well as reimbursable expenses, for which the billing is submitted. The payment request shall identify each task required by the Agreement, percent of completion, amount of actual reimbursable expenses and requested amount to be billed against each task. Timing of Payment 6. The Agency shall review Consultant's monthly statements and pay Consultant for services rendered and costs incurred hereunder, at the rates and in the amounts provided hereunder, on a monthly basis in accordance with the approved monthly statements.
