SUMMARY
In order to maintain eligibility for funding under the Orange County Measure M2 Program the City
of Tustin must adopt a Local Signal Synchronization Plan (LSSP) by December 31, 2010. The
attached LSSP has been prepared in conformance with the Orange County Transportation
Authority's Regional Traffic Signal Synchronization Master Plan.
RECOMMENDATION
It is recommended that the City Council approve the Local Signal Synchronization Plan and adopt
Resolution No. 10-104.
FISCAL IMPACT
Approval and compliance with the Local Signal Synchronization Plan will insure the City's eligibility
for future Measure M2 funding.
DISCUSSION/BACKGROUND
The OCTA has developed the Regional Traffic Signal Synchronization Master Plan, with which the
LSSP must comply. Under the Regional Plan, over 2000 signalized intersections have been
identified to be synchronized in an effort to improve traffic flow and reduce congestion.
In order for the City to maintain eligibility for funding under Measure M2, it must adopt an LSSP by
December 31, 2010. This will also enable the City's local fund match to be reduced by ten (10%)
percent (from a typical 50% match to 40%) for future projects falling under the Regional Capacity
Program. Furthermore, it will make funding for traffic signal and interconnect upgrades possible
under OCTA's synchronization program.
On July 26, 2010 the Board of Directors of the OCTA approved guidelines for local agencies to
follow in the preparation of their LSSP's. Under the plan an agency must identify traffic signal
synchronization routes and prepare a three-year plan which shows available and required funding
for capital construction, operation and maintenance of the traffic signals. At a minimum, the LSSP
must include street routes shown on the OCTA's Regional Traffic Signal Synchronization Master
Plan.

The following street routes are part of the Regional Plan and are required to be included in the City
of Tustin's LSSP under the guidelines established by the OCTA:

The City's traffic signal system currently includes a total of 116 traffic signals, of which 105 traffic
signals are included in the LSSP. The plan must be updated on a three year cycle, with the first
update due on June 30, 2014.

RESOLUTION NO. 10-104
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TUSTIN,
CALIFORNIA CONCERNING THE ADOPTION OF A LOCAL SIGNAL
SYNCHRONIZATION PLAN FOR THE CITY OF TUSTIN
WHEREAS, the Regional Traffic Signal Synchronization Program targets over 2000
signalized intersections across Orange County to maintain traffic signal synchronization,
improve traffic flow, and reduce congestion across jurisdictions; and
WHEREAS, the Orange County Transportation Authority has developed the Regional
Traffic Signal Synchronization Master Plan to identify traffic signal synchronization street routes
and traffic signals within and across jurisdictional boundaries, and defines the means of
implementing the Regional Traffic Signal Synchronization Program; and
WHEREAS, the Regional Traffic Signal Synchronization Program requires that local
agencies adopt a Local Signal Synchronization Plan consistent with the Regional Traffic Signal
Synchronization Master Plan as a key component of local agencies' efforts to synchronize traffic
signals across local agencies' boundaries; and
WHEREAS, the Local Signal Synchronization Plan must be adopted by December 31,
2010 to be eligible to receive Net Revenues as part of Measure M2 and thereafter updated
every three years starting June 30, 2014.
NOW, THEREFORE, BE IT RESOLVED that the City of Tustin does hereby inform the
Orange County Transportation Authority that:
1. The Local Signal Synchronization Plan includes goals that are consistent to
those outlined as part of the Regional Signal Synchronization Master Plan,
including signal synchronization across jurisdictions.
2. The Local Signal Synchronization Plan identifies traffic signal synchronization
street routes, including all elements of the Regional Signal Synchronization
Network located within the City.
3. The Local Signal Synchronization Plan includes the traffic signal inventory for
all traffic signal synchronization street routes.
4. The Local Signal Synchronization Plan includes a three-year plan showing
capital, operations, and maintenance of signal synchronization along the
traffic signal synchronization street routes and traffic signals.
PASSED AND ADOPTED at a regular meeting of the City Council of the City of Tustin
held on the 7th day of December, 2010.

The City of Tustin acknowledges the Measure M2 Regional Traffic Signal
Synchronization Program goals and supports a multi -agency, corridor -based approach
that optimizes traffic signals based on existing traffic patterns. The City supports local
agency responsibility for signal timing and working with neighboring agencies to develop
synchronization timing.
Agreements with neighboring jurisdictions, traffic engineering consultants, and the City
of Tustin's signal operations contractor are attached demonstrating the City's
commitment to multi -agency signal synchronization.

State of California, hereinafter
designated as "COUNTY."
WI TERSSM:
WHSRERS, CITY and COUNTY have various traffic signal and intersection
lighting installations that are partially in area underjuris-
diction of COU Tr and partially in area under jurisdiction of
CITY, and
WH8RMS, CITY and COUITY desire to specify the procedure for equitably
distributing the maintenance costs for said installations, and
WHBRBRS, the provisions of Title 1, Division 7, Chapter 5, Article 1.
of the California Government Code entitled "Joint Powers Agree-
ments" authorize two or more public agencies to jointly
exercise any power common to the contracting parties.

I. This Agreement shall supersede all previous agreements with respect
to maintenance of traffic signals and intersection lighting.
II. Routine maintenance work to be performed will include contracting
for and/or furnishing of, electrical energies and the necessary
repairs or replacements as required to insure a satisfactory ser-
vice. installation of additional facilities is not a maintenance
function under the provisions of this agreement.
III. The maintenance and operational costs for traffic signal and inter-
section lighting installations shall be borne by the parties hereto
and shall be based on the actual maintenance and operational costs
incurred at each installation: CITr's share of said cost at each
installation shall be a sum, bearing the same proportion to the
total cost of maintenance, as the number of legs of highways under
jurisdiction of CITY at the location involved, bears to the total

number of legs of highways at such location. COUNi'r°s share of said
cost at each installation shall be a sum, bearing the same propor-
tion to the total cost of maintenance, as the number of legs of high-
ways under jurisdiction of COUNTY at the location involved, bears
to the total number of legs of highways at such location.
The minimum maintenance cost division at any intersection under the
terms of this agreement shall be based upon one half (1/2) of one
(1) leg of that intersection. A substantial portion of the traveled
way shall lie within the jurisdiction of the agency concerned, whey
ever the above minimum "1/2 leg" division is a part.
For purposes of determining the number of highway legs applicable
to each jurisdiction, the CITY limits shall be as they exist at the
time the maintenance costs are incurred.
VI. The traffic signal and highway lighting installations at which the
cost of maintenance is shared by CITr and COUNTY, along with the
proportion of costs for each agency, are shown on Exhibit "A,"
attached hereto and made a part hereof.
VII. CITr will furnish, service and/or perform such maintenance work as
is specifically delegated to it, and COUNTY will furnish, service
and/or perform the work not otherwise assigned to CITY, all as
shown on Exhibit "A," attached.
VIII. The maintenance responsibilities for all future cooperative instal-
lations shall be borne by the COUWZY unless otherwise provided for
in the cooperative agreement for the installation.
IX.. The agency assuming the maintenance responsibilities in accordance
with Section VI, VII, and VIII above will bill the other involved
agency, as provided for in this Agreetent, and will promptly be re-
imbursed by the billed agency, for the appropriate maintenance costs,
X. Exhibit "A" of this Agreement may be amended as required for future
traffic signal and highway lighting installations upon the mutual
consent of the OOVNTY Road Commissioner and the CITY Mngineer.

XI. in the event an annexation includes a pDrtion of an existing COUNTY
installation, CITY will be responsible for costs as outlined in
Paragraph III. Should all COUNTY legs of highway at a particular
installation be annexed to CITY, then t= shall assume all mainten-
ance responsibilities on the effective date of the annexation to
CITY. CITY shall submit a revised copy of Exhibit "A" for approval
by the COUNTY Road Commissioner within thirty (30) days of the
effective date of said annexation.
XII. it is mutually understood and agreed:
(a) That neither cOum nor any officer or employee thereof shall
be responsible for any damage or liability occurring by reason
of anything done or omitted to be done by CITY under or in
connection with any work, authority or jurisdiction delegated
to CITY under this agreement. it is also understood and agreed
that, pursuant to Government Code Section 895.4, CITY shall
fully indemnify and hold COUNTY harmless from any liability
imposed for injury (as defined by Government Code Section
310.8), occurring by reason of anything done or omitted to be
done by CITY under or in connection with any work, authority or
jurisdiction delegated to CITY under this agreement.
(b) That neither CITr nor any officer or employee thereof shall be
responsible for any damage or liability occurring by reason
of anything done or omitted to be done by COUNTY under or in
connection with any work, authority or jurisdiction not dele-
gated to CITY under this agreement. it is also understood and
agreed that, pursuant to Government Code Section 895.4, e0UNTr
shall fully indemnify and hold CITY harmless from any liability
imposed for injury (as defined by Government Code Section 310.8
occurring by reason of anything done or omitted to be done by
COUNTY under or in connection with any work, authority or
jurisdiction not delegated to CITY under this agreement.

This agreement shall supersede any previous agreement and/or amendments
thereto for sharing State incurred costs in the CITY with the CITY.
ELECTRICAL FACILITIES
Electrical facilities include flashing beacons, traffic signals,
traffic -signal systems, safety lighting and sign lighting on the
State Highway System.
The cost of operating and maintaining flashing beacons, traffic signals,
traffic -signal system, safety lighting, and sign lighting now in place at
the intersection of any state highway route and any city street/road shall
be shared as shown in Exhibit A.
Basis for billing:
It is agreed that monthly billings for flashing beacons,
traffic signals, and traffic -signal systems shall be
based on actual intersection costs which are as follows:

- Labor including overhead assessment
- Other experLses
. Equipment
. Materials
Miscellaneous expenses
o Electrical energy
It is agreed that monthly billings for safety lighting and sign lighting
shall be based on calculated unit casts derived by averaging District -wide
costs each month. Costs are as follows:

o Electrical energy
It is agreed that monthly billings for utility -owned and maintained
lighting will be based on calculated unit costs derived from utility
company billings.
Exhibit A will be amended as necessary by written concurrence of both
parties to reflect changes to the system.
This Agreement shall become effective and shall
remain in full force and effect unti ame r terminated.
The Agreement as above may be amended or terminated at any time upon
mutual consent of the parties thereto. This Agreement may also be
terminated by either party upon thirty (30) days' notice to the other
party.

AGREEMENT
THIS AGREEMENT, made and entered into this�� day ofd 1983 by

"TUSTIN" and the CITY OF SANTA ANA, a municipal corporation, hereinafter
designated as "SANTA ANP.".
WITNESSETH:
WHEREAS, these traffic signal and intersection lighting installations are
partially in area under jurisdiction of TUSTIN, and partially in area .under
jurisdiction of SANTA ANA, and
WHEREAS, TUSTIN shall assume total responsibility for maintenance and
operation of the traffic signal and highway lighting installations located within

WHEREAS, SANTA ANA desires to utilize the services of TUSTIN with respect
to maintenance and operation of said SANTA ANA traffic signal and highway lighting

equitably distributing the maintenance and operational costs for said
installations, and

III. The maintenance costs for traffic signal and intersection lighting
installations shall be borne by the parties hereto and shall be based on the
actual maintenance and operational costs incurred at each installation; TUSTIN'S
share of said cost at each installation shall be a sum, bearing the same
proportion to the total cost of maintenance, as the number of approach lanes under
jurisdiction of TUSTIN at the location involved, bears to the total number of
approach lanes at such location; SANTA ANA'S share of said cost at each
installation shall be a sum, bearing the same proportion to the total cost of
maintenance, as the number of approach lanes under jurisdiction of SANTA ANA at
the location involved, bears to the total number of approach lanes at such
location.
IV. The minimum maintenance cost division at any intersection under the
terms of this agreement shall be based upon one (1) approach lane of that

AGREEMENT
THIS AGREEMENT, made and entered into this 25+' day of f�oA/, 1998, by
and between the CITY OF IRVINE, a municipal corporation ("IRVINE") and the CITY
OF TUSTIN, a municipal corporation ("TUSTIN").
WITNESSETH:
WHEREAS, Irvine and Tustin share certain traffic signal and intersection lighting
installations, as described in Exhibit "A" attached hereto; and
WHEREAS, the parties desire to utilize the services of each other with respect
to maintenance and operation of said traffic signal and highway lighting installations;
and
WHEREAS, IRVINE and TUSTIN desire to specify the procedure for equitably
distributing the maintenance and operational costs for said installations, and
WHEREAS, the provisions of TITLE 1, Division 7, Chapter 5, Article 1, of the
California Government Code entitled "Joint Powers Agreements" authorize two or
more public agencies to jointly exercise any power common to the contracting parties.
NOW, THEREFORE, IT IS AGREED by the parties hereto as follows:
I. This Agreement shall supersede all previous agreements with respect
to maintenance and operation of the traffic signals and intersection
lighting, installations described in Exhibit "A" attached hereto, as
may be amended from time to time.
II. Routine maintenance work to be performed shall include contracting
for and/or furnishing of, electrical energies and the necessary repairs
or replacements as required. Installation of additional facilities shall
not be required by this Agreement. Extraordinary work to be
performed shall include pole knockdowns and power supply
problems, etc.
III. The maintenance and operational costs for traffic signal and
intersection lighting installations shall be apportioned between the
parties based on the number of approach legs within each party's
jurisdiction, as set forth in Exhibit "A". Each party's share of said
costs at each intersection shall be equal to ratio of the number of
approach legs to the intersection. As an example only, if an
intersection has four approach legs, and one of those legs is within
the jurisdiction of Irvine, then Irvine would bear 25% of the total

actual maintenance and operational costs for that intersection, and
Tustin would bear 75%.
IV. For purposes of determining the number of approach legs applicable
to each jurisdiction, the City limits shall be as they exist at the time
the maintenance and operational costs are incurred.
V. The Responsible Agency designated in Exhibit "A" for each
intersection shall assume the entire maintenance and operation
responsibilities for that intersection, and shall periodically bill the
other agency, as provided for in this Agreement, for the appropriate
share of maintenance and operational costs. The billed agency shall
remit payment to the Responsible agency witht�_�<) days after
receipt of an invoice.
VI. Exhibit "A" of this Agreement may be amended as required for future
traffic signal and highway lighting installations upon the mutual
written consent of the Public Works Directors or their designees of
the parties hereto. Maintenance and operation of future traffic signal
and lighting installations not added to this Agreement shall be
provided for in separate cooperative agreements for those
installations.
VII. Either party to this Agreement may terminate this Agreement, with
or without cause, upon sixty (60) days written notice to the other
party.
VIII. It is mutually understood and agreed:
(a) That neither IRVINE nor any officer or employee thereof
shall be responsible for any damage or liability occurring by
reason of anything done or omitted to be done by TUSTIN
under or in connection with any work, authority or
jurisdiction delegated to TUSTIN under this agreement. It
is also understood and agreed that, pursuant to
Government Code Section 895.4, TUSTIN shall fully
indemnify and hold IRVINE harmless from any liability
imposed for injury (as defined by Government Code Section
810.8) occurring by reason of anything done or omitted to
be done by TUSTIN under or in connection with any work,
authority or jurisdiction delegated to TUSTIN under this
agreement.
(b) That neither TUSTIN nor any officer or employee thereof
shall be responsible for any damage or liability occurring by

reason of anything done or omitted to be done by IRVINE
under or in connection with any work, authority or
jurisdiction delegated to IRVINE under this agreement. It is
also understood and agreed that, pursuant to Government
Code Section 895.4, IRVINE shall fully indemnify and hold
TUSTIN harmless from any liability imposed for injury (as
defined by Government Code Section 810.8) occurring by
reason of anything done or omitted to be done by IRVINE
under or in connection with any work, authority or
jurisdiction delegated to IRVINE under this agreement.
IN WITNESS WHEREOF, IRVINE has caused this agreement to be executed by its
Mayor, and attested by its Clerk, and TUSTIN has caused this agreement to be
executed by its Mayor and attested by its Clerk, all thereunto duly authorized by
Minute Order of IRVINE Council and TUSTIN Council.

This agreement, made and concluded, in triplicate, this DOth day of A� , 20'IR
between the City of Tustin, California, hereinafter called City, and Republic Electric
hereinafter called Contractor.
ARTICLE I. Witnesseth, that for and in consideration of the payments and
agreements hereinafter mentioned, to be made and performed by the City, and under
the conditions expressed in the two bonds, bearing date with these presents and
hereunto annexed, the Contractor agreed with City, at his own proper cost and
expense, to do all the work and furnish all the materials necessary to complete in good
workmanlike and substantial manner and to the satisfaction of the City, in accordance
with the specifications entitled:

which said specifications are hereby specifically referred to and by such references
made a part hereof. Said specifications are on file in the office of the Engineer of the
City of Tustin, California.
ARTICLE II. Contractor agrees to receive and accept the following prices as full
compensation for furnishing all materials and for doing all the work contemplated and
embraced in the Agreement; and also for all loss or damage arising out of the nature of
the work aforesaid, or from the action of the elements, or from any unforeseen
difficulties or obstructions which may arise or be encountered in the prosecution of the
work until its acceptance by the City, and for all risks of every description connected
with the work; also for all expenses incurred by or in consequence of the suspension or
discontinuance of work and for well and faithfully completing the work, and the whole
thereof, in the manner and according to the specifications, and the requirements of the
Engineer under them.

ARTICLE III. City hereby promises and agrees with Contractor to employ and
does hereby employ Contractor to provide the materials and to do the work according to
the terms and conditions herein contained and referred to, for the prices aforesaid, and
hereby contracts to pay the same at the time, in the manner and upon the conditions
above set forth; and the said parties for themselves, their heirs, executors,
administrators, successors and assigns do hereby agree to the full performance of the
covenants herein contained.
ARTICLE IV. It is further expressly agreed by and between the parties hereto
that should there be any conflict between the terms of this instrument and the proposal
of Contractor, then this instrument shall control and nothing herein shall be considered
as an acceptance of the said terms of said proposal conflicting herewith.
ARTICLE V.
1. The City of Tustin has obtained from the Director of Industrial Relations the
general prevailing rate of per diem wages and the general prevailing rate for legal
holiday and overtime work in the locality in which the work is to be performed for each
craft or type of work needed to execute this contract and maintains copies thereof in the
office of the Engineer. The Contractor agrees that not less than said prevailing rates
shall be paid to workers employed on this public works contract as required by Labor
Code Sections 1771 and 1774 of the State of California.
2. The Contractor shall, as a penalty to the City of Tustin, forfeit Fifty Dollars
($50.00) for each calendar day or portion thereof for each worker paid (either by
Contractor or any subcontractor of Contractor) less than the prevailing rate as
prescribed in the preceding paragraph for the work provided for in this contract, all in
accordance with Sections 1774 and 1775 of the Labor Code of the State of California. .
3. Section 1773.5 of the Labor Code of the State of California, regarding the
payment of travel and subsistence payments, is applicable to this contract.
4. Section 1777.5 of the Labor Code of the State of California, regarding the
employment of apprentices, is applicable to this contract if the prime contract involves
Thirty Thousand Dollars ($30,000.00) or more, or twenty (20) working days or more and
under such circumstances, Contractor shall be fully responsible to ensure compliance
with all the provisions of Labor Code §1777.5 for all apprenticeable occupations on the
project. A Contractor or subcontractor who violates Section 1777.5 shall forfeit to the
City of Tustin, as a civil penalty, the sum of Fifty Dollars ($50.00) for each calendar day
of noncompliance. Notwithstanding Section 1727 of the Labor Code, upon receipt of a
determination that a civil penalty has been imposed, the City of Tustin shall withhold the
amount of the civil penalty from contract progress payments then due or to become
due. Any funds withheld by the City of Tustin pursuant to this section shall be
deposited in the General Fund of the City of Tustin.
5. The Contractor shall not employ, or allow work to be performed by a
subcontractor who is ineligible to perform work on the project pursuant to Section
1777.1 or 1777.7 of the Labor Code pertaining to debarment by the Labor
Commissioner for violations of the Prevailing Wage Laws.

6. In performance of this contract, not more than eight (8) hours shall constitute a
day's work. The Contractor shall fully conform to Article 3, Chapter 1, Part 7, Division 2
(Sections 1810 et seq.) of the Labor Code of the State of California. Pursuant to the
provisions of Section 1813 of the Labor Code of the State of California, the Contractor
shall, as a penalty to the City of Tustin, forfeit twenty-five Dollars ($25.00) for each
worker employed in the execution of the contract by the Contractor or by any
subcontractor for each calendar day during which such worker is required or permitted
to work more than eight (8) hours in any one calendar day and forty (40) hours in any
one calendar week in violation of the provisions of Article 3 of Chapter 1 of Part 7 of
Division 2 of the Labor Code of the State of California. Contractor shall keep an
accurate record showing the name and actual hours worked each calendar day and
each calendar week by each worker employed by Contractor in connection with the
public work.
7. Contractor agrees to keep accurate payroll records showing the name, address,
social security number, work classification, straight time and overtime hours worked
each day and week and the actual per diem wages paid to each journeyman,
apprentice or worker employed by him in connection with the public work, and agrees to
insist that each of his subcontractors do the same. Contractor further agrees that his
payroll records and those of his subcontractors shall be available to the employee or his
representative, the Division of Labor Standards Enforcement, and the Division of
Apprenticeship Standards, and shall comply with all of the provisions of Labor Code
Section 1776, et seg., in general.
8. Contractor is also aware of the provisions of Section 3700 of the Labor Code
which requires every employer to be insured against liability for Worker's Compensation
or undertake self-insurance in accordance with the provisions of that code and will
comply with such provisions before commencing the performance of the work of this
contract.
ARTICLE VI. In connection with the performance of this contract, the City shall
have the authority to enter the worksite at any time for the purpose of identifying the
existence of conditions, either actual or threatened, that may present a danger or
hazard to any and all employees. The Contractor agrees that the City, in its sole
authority and discretion, may order the immediate abatement of any and all conditions
that may present an actual or threatened danger or hazard to any and all employees at
the worksite.
The Contractor acknowledges the provisions of Section 6400 of the Labor Code, which
requires that employers shall furnish employment and a place of employment that is
safe and healthful for all employees working therein. In the event the City identifies the
existence of any condition that presents an actual or threatened danger or hazard to
any and all employees at the worksite the City is hereby authorized to order the
immediate abatement of that actual or threatened condition pursuant to this section.
The City may also, at its sole authority and discretion, issue an immediate stop work
order to the Contractor to ensure that no employee working at the worksite is exposed
to a dangerous or hazardous condition. Any stop work order issued by the City to the
Contractor in accordance with the provisions of this section shall not give rise to any
claim or cause of action for delay damages by the Contractor or the Contractor's agents
or subcontractors against the City.

ARTICLE VII. The Contractor shall indemnify and save harmless the City of
Tustin and all officers and employees thereof from all claims, suits, or actions of every
name, kind and description, brought for, or on account of, injuries to or death of any
person including, but not limited to, workers and the public, or damage to property
resulting from the construction of the work or by or in consequence of any negligence
regarding the work, use of improper materials or equipment in construction of the work,
neglect or refusal of Contractor to faithfully perform the work and all of Contractor's
obligations under the contract, or by or on account of any act or omission by the
Contractor or his agents or a subcontractor or his agents or a third party during the
progress of the work or at any time before its completion and final acceptance, or which
might arise in connection with the agreed upon work or is caused by or happening in
connection with the progress of said work, or on account of any passive or active
negligent act or omission by the City of Tustin, its officers, employees and agents, save
and except claims arising through the sole and exclusive negligence or sole and
exclusive willful misconduct of the City of Tustin.
The defense and indemnification by Contractor shall include all costs and
expenditures including attorney's fees incurred by the City of Tustin or its employees,
officers or agents with respect to such claim or suit and Contractor will, if requested by
City of Tustin, defend any litigation arising out of such claims at the sole cost and
expense of Contractor.
In addition to any remedy authorized by law, so much of the money due the
Contractor under and by virtue of the contract as shall be considered necessary in the
sole discretion of the City of Tustin may be retained by the City until disposition has
been made of such claims for damages as aforesaid.
ARTICLE VIII. The Contractor shall take out and maintain during the life of the
contract commercial general liability and automobile liability insurance that provides
protection from claims which may arise from operations or performance under this
contract. The amount of insurance shall not be less than the following:
Single limit coverage applying to bodily and personal injury liability and property
damage: $2.000,000.00.
The following endorsements must be indicated on all certificates of insurance:
1. The City of Tustin, its elective and appointive boards, officers, agents and
employees named as additional insureds in the policy as to the work being
performed under the contract;
2. The coverage is primary and no other insurance carried by the City of Tustin
will be called upon to contribute to a loss under this coverage;
3. The policy covers blanket contractual liability;
4. The policy limits or liability are provided on an occurrence basis;
. The policy covers broad form property damage liability;
6. The policy covers personal injury as well as bodily injury liability;
7. The policy covers explosion, collapse and underground hazards;
8. The policy covers products and completed operations;
9. The policy covers use of non -owned automobiles; and
10. The coverage shall not be cancelled or terminated altered unless thirty (30)
days' written notice is first given to the City of Tustin.
11. Insurers shall be authorized to do business in the State by the Department
of Insurance and shall meet the following qualifications:
A.M. Best's Key Rating of Grade A and Class VII (seven) (if an
Admitted Insurer), and Grade A- or better and Class X (ten) or better
(if offered by a Surplus Line Broker), is acceptable. Workers'
compensation insurance rated Grade B- or better and Class VII
(seven) or better, or offered by the State Compensation Fund, is
acceptable.
12. The worker's compensation and employer's liability insurance policies shall
contain a waiver of subrogation in favor of the City.
Contractor shall provide to the City within ten (10) working days after the date of notice
of award of the contract evidence of the aforementioned insurance with insurer
endorsements, which must meet the requirements of this Article. An Acord Certificate
will be accepted solely as evidence of the name of the insurers and the amounts of
insurance. Failure to comply with these requirements will result in annulment of the
award, forfeiture of the proposal guarantee, and the City will pursue award to the next
qualified responsive proposer. Contractor is advised that insurance requirements are
non-negotiable and City will not consider waiving insurance requirements. There are no
exceptions.
ARTICLE IX Upon receipt of a claim or summons and complaint by the City
Clerk relating to this Contract, the City Clerk shall provide written notice within five (5)
working days to the Contractor of the claim or summons or complaint. For purposes of
this section, notice to the Contractor may be via facsimile, messenger or by first class
mail and addressed to:

Nothing herein obligates the City to provide notice of a claim or summons and
complaint that does not clearly identify the Contractor.

ARTICLE X Prior to one hundred fifty (150) calendar days before June 30, 2007,
Contractor shall notify City in writing of its intent to renew the contract for an additional
term of one (1) year to commence on July 1, 2007 and on the same terms and
conditions as prescribed for the mutual term, or upon different terms which Contractor
shall specify in writing. City shall, within thirty (30) days of receipt of such notice, advise
Contractor in writing of its acceptance or rejection of such extension. The same
provisions shall be applicable to each succeeding one (1) year term through June 30,
2011 as prescribed in Section D (Length of Contract).

CONSULTANT SERVICES AGREEMENT
JHIS AGREEMENT FOR CONSULTANT SERVICES, is made and entered into
this/ day of AAE2- 20(, by and between the CITY OF TUSTIN, a municipal
corporation, herea er referred to as "City", and Hartzog & Crabill, Inc., a California
Corporation, hereinafter referred to as "Consultant".
RECITALS
WHEREAS, City requires the services of a consultant to furnish the necessary
engineering services for the on-call traffic engineering services on an as -needed basis
hereinafter referred to as "Project"; and
WHEREAS, in response to City's request, Consultant has submitted to City a
proposal dated October 12, 2006, a copy of which is attached hereto marked as Exhibit
"A" and is by this reference incorporated into this Agreement; and
WHEREAS, Consultant is qualified to provide the necessary services for the
Project and desires to provide said services to City; and
WHEREAS, City desires to retain the services of Consultant for said Project.
NOW, THEREFORE, for the consideration and upon the terms and conditions
hereinafter set forth, the parties agree as follows:
AGREEMENT
Section 1: Scope of Consultant's Services
Consultant shall perform all work necessary to complete in a manner satisfactory
to City, the services set forth in Exhibit "A" in accordance with the terms and conditions of
this Agreement.
Section 2: Order of Precedence
In the event of a conflict between or among any of the documents comprising this
Agreement, the following order of precedence shall govern the provision in question:

Section 3: Time for Completion
The time for completion of the work to be performed by Consultant is an essential
condition of this Agreement. Consultant shall prosecute regularly and diligently the work
of this Agreement according to reasonable schedules established by the City for various
items described and as outlined within Consultant's proposal. Consultant shall not be
accountable for delays in the progress of its work caused by any condition beyond its
control and without the fault or negligence of Consultant.
Section 4: Compensation
A. The compensation to be paid under this Agreement shall be as set forth in Exhibit
"A". Annual compensation is estimated to be $46,200 per year.
B. Consultant shall submit detailed invoices, based upon the actual work performed
accompanied by backup documentation as requested by the City.
C. Progress payments for work completed shall be paid by City as the work
progresses, within thirty (30) days of the date of Consultant's invoice.
D. Consultant shall provide City with a monthly itemization of all work performed, and
the fees accrued thereon, in complete and sufficient detail to fully apprise City
thereof.
Section 5: Independent Contractor
Consultant's relationship to City in the performance of this Agreement is that of an
independent contractor. Consultant's personnel performing services under this
Agreement shall at all times be under Consultant's exclusive direction and control and
shall be employees of Consultant and not employees of City. Consultant shall pay all
wages, salaries and other amounts due its employees in connection with this Agreement
and shall be responsible for all reports and obligations respecting them, such as social
security, income tax withholding, unemployment compensation, worker's compensation
and similar matters.

Section 6: Indemnification
Consultant agrees to indemnify, defend and hold City, its officers, agents,
employees, successors and assigns harmless from any loss, damage, injury, sickness,
death, or other claim made by any person and from all costs, expenses and charges
including attorney's fees caused by or arising out of Consultant's, its officers', agents',
subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or
willful misconduct, or conduct for which the law imposes strict liability on Consultant in the
performance or failure to perform this Agreement.
Section 7: Insurance
A. Consultant shall maintain in full force and effect during the term of this Agreement
policies of commercial general liability and automobile liability insurance (each of
which shall include property damage and bodily injury) and each with limits of at
least $1,000,000 combined single limit coverage per occurrence.
B. Consultant shall maintain in full force and effect during the term of this Agreement
a policy of professional liability insurance coverage with limits of at least
$1,000,000 combined single limit coverage per claim or per occurrence. If
Consultant provides claims made professional liability insurance, Consultant shall
also agree in writing either (1) to purchase tail insurance in the amount required by
this Agreement or to cover claims made within five (5) years of the completion of
Consultant's service under this Agreement, or (2) to maintain professional liability
insurance coverage with the same carrier, or with an equivalent carrier in the
amount required by this Agreement for at least five (5) years after completion of
Consultant's services under this Agreement. Consultant shall also provide
evidence to the City of the purchase of the required tail insurance or continuation
of the professional liability policy by executing the attached Letter Agreement on
Consultant's letterhead.
C. Consultant shall carry and pay for such workers' compensation insurance as is
required to fully protect Consultant and its employees under California Worker's
Compensation Insurance Law. The insurance company shall agree to waive all
rights of subrogation against the City for losses paid under the policy, which losses
arose from the work performed by the named insured.
D. Other applicable insurance requirements are: (1) Name the City, its officials and
employees as additional insured on the commercial general liability and
automobile liability insurance policies. (2) The insurance shall be issued by a
company authorized by the Insurance Department of the State of California and
rated A, VII (seven) or better (if an admitted carrier) or A-, X (ten) or better (if
offered by a surplus line broker), by the latest edition of Best's Key Rating Guide,
except that the City will accept workers' compensation insurance rated B-, VII
(seven) or better, or from the State Compensation fund. (3) The insurance shall

not be cancelled, except after thirty (30) days written prior notice to the City; and
(4) The commercial general liability and automobile liability insurance shall each
be primary as respects the City, and any other insurance maintained by the City
shall be in excess of this insurance and not contribute to it.
E. Upon execution of this Agreement, Consultant shall provide to City certificates of
insurance and insurer endorsements evidencing the required insurance. Insurer
endorsements (or a copy of the policy binder if applicable) shall be provided as
evidence of meeting the requirements of Subsections (1)(3) and (4) of Section 7D
above and the waiver of subrogation requirement in Section 7C above. If self-
insured for worker's compensation, Consultant shall submit to City a copy of its
certification of self-insurance issued by the Department of Industrial Relations.
Section 8: Termination of Agreement
A. City and Consultant shall each have the right to terminate any or all of the services
covered by this Agreement at any time or any reason by giving ten (10) business
days written advance notice to the other party.
B. Upon termination of this Agreement, Consultant shall be paid for services
rendered by the effective date of the termination.
C. Upon termination of this Agreement or completion of the Project, all documents
relating to the Project shall become the sole property of City. Should City
terminate this Agreement pursuant to subparagraph A. of this Section, Consultant
shall within ten (10) business days of receipt of notice of termination, provide City
with all documents within Consultant's possession relating to this Agreement and
the Project, including but not limited to all completed documents and all drafts of
uncompleted documents.
Section 9: Notice
Any notice allowed or required to be given shall be effective upon personal
delivery thereof, or upon depositing thereof in the United States Postal Service, certified
mail, upon receipt requested, postage prepaid, addressed as follows:

Section 10: Miscellaneous Provisions
A. Consultant shall proceed immediately and diligently to perform the services
provided for in this Agreement upon receipt of notice from City to proceed
therewith.
B. No part of this Agreement may be assigned by Consultant without the prior written
approval of City.
C. This Agreement shall extend to and be binding upon and inure to the benefit of
heirs, executors, administrators, successors and assigns of the respective parties
hereto.
D. Consultant shall perform all services required under this Agreement using that
degree of care and skill ordinarily exercised under similar conditions in similar
localities, and shall be responsible for all errors and omissions for services
performed by Consultant under the terms of this Agreement.
E. Consultant certifies that there shall be no discrimination against any employee
who is employed in the work covered by this Agreement, or against any
application of such employment, because of race, religion, color, sex, or national
origin including but not limited to, the following: employment, upgrading, demotion
or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of
pay or other forms of compensation, and selection for training, including
apprenticeship.
F. This Agreement shall be interpreted in accordance with California Law. The
parties agree that the Orange County Superior Court is the exclusive venue for
any lawsuits by either party regarding this Agreement.

Dear Mr. Lutz:
Hartzog & Crabill, Inc. (HCI) is pleased to submit this proposal to provide on-call
traffic engineering services to the City of Tustin. Our services include all tasks
necessary to continuously monitor, troubleshoot and efficiently report repairs on all
traffic signals for the City of Tustin. Additionally, our services include design and
plan -checking of traffic -related plans, such as traffic signal, signal interconnect,
signing and striping, and traffic control.
UNDERSTANDING OF SERVICES REQUESTED
The City of Tustin has identified the need to retain the services of a qualified firm
to provide certain traffic engineering services. It is our understanding that the City
desires and has requested this proposal to formalize these support services to plan -
check and design traffic plans, and continuously manage traffic signal operations
throughout the City.
HCI understands these traffic -engineering services include the preparation, design
and plan -checking of traffic signal plans, signing and striping plans, and traffic
control plans. Having designed and reviewed hundreds of traffic signal and
signing and striping plans, as well as developed and prepared hundreds of traffic
control plans, HCI can provide the expertise required to meet this aspect of the City
of Tustin's traffic -engineering needs.

STATEMENT OF QUALIFICATIONS
HCI is a recognized expert in the field of traffic signal operations including, but not limited to, the
development of traffic signal timing plans, traffic signal coordination systems, communications, and
monitoring. Utilizing the Aries Traffic Management System (Aries) software, HCI is constantly
communicating with and monitoring hundreds of signals daily for many of our client cities, including the
City of Tustin and neighboring cities such as Laguna Hills, Rancho Santa Margarita, and San Juan
Capistrano. Because of this level of expertise, and in conjunction with our familiarity with the City of
Tustin, HCI is uniquely qualified to assist the City's staff to meet any and all matters relating to the City's
traffic signal system. Again, HCI has provided and continues to offer these same services to many of our
client cities throughout Southern California on an "on-going" or "as -needed" basis.
HCI has also designed and provided many traffic signal, street lighting, signing and striping, bikeway and
pedestrian path, and traffic control plans to all our client cities, including the City of Tustin.
Additionally, HCI has prepared and reviewed countless traffic impact analyses regarding signalization
and signing and striping, parking studies, capacity and delay analyses, and engineering and traffic surveys
for speed limits for all our client cities.
SPECIFIC TRAFFIC SIGNAL DESIGN, OPERATIONS & COORDINATION EXPERIENCE:
HCI does have extensive experience in providing monitoring services for traffic signal operations to
many cities in Orange County, as well as other agencies. It should be noted that our president, Mr.
Trammell G. Hartzog, has been specifically retained by these numerous cities to actually operate and
monitor their various traffic signals through computer software management systems in our office. Mr.
Hartzog currently operates and maintains the coordination timing for traffic signals in the Cities of
Cerritos, Chino Hills, Cypress, Glendora, Indio, La Palma, Laguna Hills, Laguna Niguel, Lake Elsinore,
Los Alamitos, Rancho Santa Margarita, San Juan Capistrano, Stanton, Yorba Linda, and Yucaipa.
We have provided a listing below of some of our client agencies where we monitor traffic signal
operations daily, along with their type of controller systems and contact information. We encourage you

Our scope of work, project manager, schedule, and fees to complete these services are as follows:
SCOPE OF WORK
Task I — Setup Communication Services to City Traffic Signals
HCI is very familiar with the City of Tustin's signal system. Hence, HCI has the necessary data from the
City, in order to continue monitoring the City's signal system. HCI has setup the Scheduled Operations
on Aries specifically for Tustin's systems in order to automatically perform a variety of tasks (Task 2).
Task 2 — Monitor and Provide Maintenance Support on City Traffic Signals
HCI will continue to provide Mr. Trammell Hartzog for the monitoring and maintenance support on all
City of Tustin traffic signals. As is the current schedule, Mr. Hartzog provides these services to review
events twice per week for approximately (4) hours each day, or (8) hours per week. Specifically, the
Aries functions and Mr. Hartzog's time spent on these City services include performing the following:
1. The Scheduled Operations will automatically gather and store historical data and real-time
information on all City of Tustin's traffic signals programmed in Aries;
2. This data will be reviewed twice a week to verify all traffic signals are working properly;
3. Any malfunctions logged are immediately reported to the City's designated traffic signal
maintenance contractor, for dispatch;
4. The historical data is also analyzed to identify traffic volumes and patterns to assist in
determining if an adjustment to signal timing is necessary; and,
5. Verify if all signal timing is programmed correctly in each master and controller.

Mr. Hartzog is "on-call" for the City of Tustin all other times during the week and is available to check
on operations from our office.
Task 3 — Provide Traffic Engineering Services on All City Traffic Signals
HCI typically offers the following services to client cities as part of our "on-going" agreement:
1. Assist the City in resolving traffic signal control complaints by speaking by phone/email/in
person with the resident(s)/contact person on their specific request;
2. HCI will coordinate all work associated with the City's traffic signal maintenance contractor
regarding repair calls and provide verification of completed work;
3. Assist the City with any issues with their traffic signal maintenance contractor, (i.e., review of
invoices, change orders, agreements/contracts, bidding documents, etc.); and,
4. Identify traffic signal improvements, such as any new coordinated signal control systems, more
efficient signal phasing, equipment upgrade, and significant timing adjustments).
Task 4 — Provide Signing & Striping and Traffic Control Plans
HCI will prepare, design, and plan -check traffic signal, signing and striping plans, and traffic control
plans, as requested. HCI typically conducts a site survey to verify the existing and proposed conditions
for each type of plan. Specifically, 20 -scale traffic signal and 40 -scale signing and striping plans are
typically prepared for requested projects.
In terms of signing and striping, HCI will detail the installation of new features and the removal of
existing features within the project limits for each project location. Signing/striping features that are
shown on the plans include existing signs, striping and markings that are to remain; existing signs,
striping and markings that are to be removed; and new signs, striping, and markings that are to be
installed. These plans will take into consideration both intersection and roadway geometries and other
factors that will influence the design of the traffic control system for specific project locations. All
plans include both general and construction notes. All plan work is designed in conformance with the
latest edition of the State of California Standard Specifications, Sections 84 and 85, and Standard
Plans, and will be compliant with the City's most current design standards and technical provisions.
In terms of requested traffic control plans, engineered plans will be prepared in adherence to the
recently -adopted California Manual on Uniform Traffic Control Devices (California MUTCD) and all
applicable local and State standards.
Upon approval by the City of all 90% engineering plans, a final 100% set that includes a reproducible
mylar plan sheet and a construction estimate will be submitted.

PROJECT MANAGER
Project Manager - Mr. Trammell Hartzog
Mr. Hartzog will serve as the Project Manager for these services and will be the primary contact between
HCI and the City of Tustin. As Project Manager in charge of this traffic signal monitoring effort, he will
ensure that communication between yourself and HCI occurs at regular intervals. With over (40) years of
experience, he is a recognized expert in the area of traffic signal design and operations. Mr. Hartzog has
designed more than 1,600 traffic signals, numerous interconnect systems, and presently provides signal
operations services to sixteen (16) Southern California cities, including Tustin and neighboring Cities of
Laguna Hills, Rancho Santa Margarita, San Juan Capistrano, and Yorba Linda.
SCHEDULE
Mr. Trammell Hartzog is available and ready to continue these monitoring services, upon receipt of the
City's notice -to -proceed. He will continue the daily tasks described in our Scope of Work on the City of
Tustin's traffic signal system.
PROFESSIONAL FEES
As the City continues to operate their signals with Econolite controllers, HCI proposes to continue our
"on-going" traffic signal system daily monitoring services to the City of Tustin. We will continue our
current schedule of (2) half -days per week at the City of Tustin and will utilize the City's corresponding
Aries Traffic Management System software to provide these traffic signal monitoring services, detailed in
our Scope of Work (Tasks 1-3), to the City which are estimated at $46,200.00 per year.
This annual figure was calculated by estimating Mr. Trammell Hartzog's special City of Tustin rate as a
Principal Engineer working eight (8) hours/week (approximately thirty-five (35) hours/month),
exclusively on the City of Tustin's signal systems. The Supervisor rate of $110.00/hr results in
$3,850. 001month, or $46,200. 001year.
Regarding the preparation and design of traffic signal, signing and striping, and traffic control plans, as
well as plan -checking traffic control plans, these services will be invoiced on a time -and materials basis.
Additional fees, such as attendance at staff meeting(s), or any activities outside our proposed Scope of
Work, will also be invoiced on a time -and -materials basis per our current fee schedule. Invoicing for any
additional work above -and -beyond what is detailed in our Scope of Work may typically include hours for
a Principal and/or Associate Engineer, as well as the Traffic Signal Systems Supervisor, Specialist or
Senior Designer. For your reference, we have attached our current Fee Schedule.

Out of pocket expenses (blueprinting, reproduction, and printing) will be invoiced at cost plus
15%. A 15% fee for administration, coordination and handling will be added to subcontracted
services. Mileage will be invoiced at $0.51 per mile. Scheduled overtime will be performed at
125%. This Schedule of Hourly Rates is effective as of July 1, 2006. Rates may be adjusted
after that date to compensate for increases of inflationary trends as per contract.
