STACK, DIRECTOR OF PUBLIC WORKS SUBJECT: APPROVAL OF AMENDMENT NO. 1 TO CONSULTANT SERVICES AGREEMENT BETWEEN THE CITY AND PACIFIC STATES ENVIRONMENTAL CONTRACTORS, INC. SUMMARY Approval is requested for Amendment No. 1 to a Consultant Services Agreement between the City of Tustin and Pacific States Environmental Contractors, Inc. ("PSEC") for certain environmental assessment services at Tustin Legacy. The Amendment will provide additional environmental services related to infrastructure design requirements for Tustin Ranch Road roadway improvements as well as other technical support. RECOMMENDATION It is recommended that the City Council and Redevelopment Agency: 1. Approve Amendment No. 1 to a Consultant Services Agreement for Tustin Legacy between the City of Tustin and Pacific States Environmental Contractors, Inc., increasing the not to exceed amount by $78,985 to $88,985 (the original agreement, approved November 16, 2010, was for $10,000), and authorize the City Manager and/or the Assistant City Manager to execute the document on behalf of the City of Tustin. 2. Appropriate from un-appropriated funds in the MCAS 2010 Tax Allocation Bond Proceeds Fund (561) $68,685 to the Tustin Ranch Road Extension Project Capital Improvement Program Fund (CIP No. 70100) and $10,300 in un-appropriated funds from the MCAS Tustin Redevelopment Fund (555) to 555-35-00-6010. FISCAL IMPACT The consulting services will be compensated on a time and material basis with a not to exceed additional budget of $78,985. The Scope of Services will require an appropriation Pacific States Environmental Contractors, Inc. Amendment No. 1 to Consultant Services Agreement March 15, 2011 Page 2 from un-appropriated funds in the MCAS 2010 Tax Allocation Bond Proceeds Fund (561) and from un-appropriated funds in the MCAS Tustin Redevelopment Fund (555) to MCAS Tustin Redevelopment account 555-35-00-6010. An itemized list of approved Tustin Legacy agreements for professional consulting services, including pending approvals, is attached for reference. DISCUSSION /BACKGROUND On November 16, 2010, the City Council and Agency approved a Consultant Services Agreement with PSEC to provide environmental support services related to completion of a few of the various environmentally-related tasks at Tustin Legacy previously started by the former master developer, Tustin Legacy Community Partners, LLC ("TLCP") for which California Department of Substance Control approvals were pending. In proceeding with this work, based on input from the environmental insurance underwriter and City's special legal environmental counsel at Tustin Legacy, Kutak Rock, additional technical support for completion of reports related to previously completed TLCP clean-up efforts in Neighborhood E and related to Navy documentation approvals were found necessary. Additional environmental support services from PSEC have also now been determined by design engineers to be necessary related to bid specification language and investigations for the entire proposed Tustin Ranch Road rough graded area, specifically as it relates to those areas impacted by high groundwater and the Navy remediation efforts. Appropriately, staff requested a proposal from PSEC for the necessary additional services. Based upon its familiarity and experience with the work required, its vast knowledge of the project, and its current working relationship with the City, PSEC was determined to be the most qualified to provide the required services at this time. Page 2 2/28/2011 AMENDMENT NO. 1 TO CONSULTANT SERVICES AGREEMENT This AMENDMENT NO. 1 to CONSULTANT SERVICES AGREEMENT ("Amendment No. 1") is made and entered into by and between the CITY OF TUSTIN, a municipal corporation ("City") and Pacific States Environmental Contractors, Inc., a California Corporation ("Consultant"), pursuant to Section 1.6 "Additional Services" and Section 2.3 "Changes", of the Consultant Services Agreement. WHEREAS, City and Consultant entered into a Consultant Services Agreement on November 16, 2010 ("Original Agreement"), to provide consulting services to the City for environmental assessment services at Tustin Legacy, and; WHEREAS, the City requested certain additional environmental assessment services related to bid specification language and investigations for the Tustin Ranch Road roadway improvements and rough grading design work, and technical support for completion of reports related to previously completed clean-up efforts in Neighborhood E and Navy PERF approvals; and WHEREAS, Consultant submitted an authorization request for additional environmental support services dated February 25, 2011, attached hereto as Exhibit «A,,. NOW, THEREFORE, it is agreed that the original Agreement be amended as follows to reflect the modifications requested by Consultant and authorized by the City of Tustin: 1. Services of Consultant Section 1.1 ("Scope of Services"), Exhibit "A" of the original Agreement is hereby amended to add the additional support services dated February 25, 2011, attached hereto and made a part of Exhibit "A." 2. Compensation of Consultant Section 2.1 ("Compensation of Consultant") of the original Agreement is hereby amended to add: "For the services rendered pursuant to this Amendment No. 1, the Consultant shall be compensated and reimbursed in an amount not to exceed $78,985 for additional work described in Exhibit "A", with maximum hourly rates and miscellaneous costs limited to those identified in Exhibit "C-1" of the original Agreement and incorporated therein by this reference." 1 3. PROPOSAL DATE: February 25, 2011 ATTN: Doug Anderson, Development Services Manager City of Tustin 300 Centennial Way Tustin, CA 92780-3715 PROPOSAL DESCRIPTION: CSA Addendum for Environmental Support Tasks at MCAS Tustin Pacific States Environmental Contractors, Inc. (PSEC) is pleased to submit this contract addendum proposal to conduct selected environmental tasks at the former Marine Corps Air Station (MCAS) Tustin. SCOPE OF WORK AND BUDGET The following is a task listing of the scope of services that PSEC will provide to the City of Tustin, atime- and-material, not-to-exceed budget, and schedule for the City's approval. Task 1 -Specifications for Underground Utility Installation Work PSEC will work with Moore Twining to assess background information to provide an updated specification for use in PERF T-012 completion. It is our understanding that the Navy prefers the information provided in the Vestar PERF, Attachment A, Special Provisions for Work in Lease in Furtherance of Conveyance (LIFOC) Areas. We will integrate the information currently contained in the draft PERF T-012, Attachment 2, Technical Specifications, with the previously approved Attachment A to prepare a specification for DON approval. Tasks could include: A. Review of DON groundwater reports to confirm likely contaminants, concentrations, and exposure in subsurface construction along Tustin Ranch Road near Warner Avenue. B. Review available plans and specifications provided by the client identifying the size, location and use of proposed pipelines. C. Prepare a set of specifications for underground utility related work containing at least the following: i. Identification of areas of known soil and/or groundwater contamination ii. Material and gasket design requirements for pipelines iii. Specifications for sand-cement slurry trench backfill material iv. Specifications for application of chemical resistant liners and/or sealants for subsurface structures such as manholes, vaults, box culverts and catch basins v. Minimum requirements for environmental health and safety February 25, 2011 Page 2 of 5 vi. Specifications for slurry cutoff walls, and vii. Specifications for management, transportation, and disposal of contaminated materials. PSEC would prepare a specification document for PERF T-012 use. We will work with our selected subcontractor, Moore Twining, to address the information required for the grading and storm drain task and then apply the same information for the following wet utilities specifications. Following discussions with the City, PSEC would develop recommendations on these topics for the next steps. The estimated budget for this work is atime-and-materials not-to-exceed without authorization cost of $32,385 This budget includes 40 hours of senior PSEC professional time to coordinate and manage the work from the experienced subcontractor that also completed this type of work for the developer of the District. This first component of this task will be completed in 2-3 weeks following City authorization. Task 2: Prepare and Obtain OCSD Special Purpose Discharge Permit During the installation of the deep utilities for Tustin Ranch Road, the general contractor will require groundwater dewatering of the pipeline excavations. The management of the ground water that is generated from dewatering will be discharged into the Irvine Ranch Water District's (IRWD) main trunk/sewer lines near Tustin Ranch Road and Warner Avenue. For this discharge, a Special Purpose Discharge Permit (SPDP) will need to be issued to the City of Tustin from the Orange County Sanitation District (OCSD). The time frame for obtaining this permit is in the range of 45 to 60 days following City authorization. PSEC has experience in preparing the required documentation for OCSD to obtain the permit and will complete the following activities on behalf of the City of Tustin: • Review the current SPDP requirements and contact OCSD's permit engineer regarding the planned discharge for the former Tustin MCAS. Arrange a meeting with OCSD to discuss the planned discharge and the proposed treatment system that will be used to meet the effluent discharge limits. Contact IRWD to confirm acceptance of use of the existing trunk line from Warner and TRR and any restrictions, operational adjustments and charges. • Prepare a "Pre-application Screening" document that will- include: 1. A summary of the alternative discharge measures considered and why discharging into the sewer was chosen, 2. Complete characterization for pollutants of concern that could be in the groundwater -typically EPA Method 624 for Total Toxic Organics (TTO) -this data is available from the Navy's groundwater programs in the area of Hanger Number 2 and Carve-Out 9. Groundwater concentrations from the monitoring programs near the construction site do not exceed the TTO discharge limits. PSEC has included supplemental grab groundwater sampling in the scope of work for Task 3 below that will be used for additional characterization information for the permit. 3. Estimate of the volume and flow rate of the discharge expressed in units of gallons and gallons per minute that will be confirmed by the selected contractor, 4. Location, desired start date and total duration of discharge, and 5. General details of the anticipated pretreatment equipment. PSEC will submit the Pre-application Screening document to OCSD's permit engineer for review and acceptance. Once the pre-application document is approved by the engineer, a SPDP application will be sent to the City of Tustin for approval and signature. PSEC:BD/Tustin/CSA Addendum1 2-11 February 25, 2011 Page 3 of 5 PSEC will complete the application and submit the application along with the required fees (City of Tustin will provide a check for approximately $3,000 to accompany the application) to OCSD for review and approval. This application will include a flow diagram of the proposed treatment system along with digital photos of the completed pretreatment system (e.g., desilting tank or knockout drum, bag filters, granular activated carbon filters, close-up of effluent flow meter face plate and serial number). OCSD will review the application for completeness and request additional information, if needed. Once the application is complete, the SPDP will be issued to the City of Tustin and will be request the permit duration for two years and can be renewed on a bi-annual basis. This step, processing the application, can last up to two months but PSEC has been able to reduce this time frame on other projects by keeping good communications between the engineer and PSEC and by contacting OCSD at the start of the permitting process. The estimated budget for this work is atime-and-materials not-to-exceed without authorization cost of $8,000. This budget includes 60 hours of senior professional time to coordinate and manage the work for the SPDP Application and OCSD approval. The permit will be issued to and managed by the City and the selected contractor will be provided a rider from the City to use this permit for their dewatering system and pay the appropriate fees. Details for the completion of the application such as final flow rates, anticipated treatment requirements provided by the contractor to meet OCSD requirements, and flow meter certification will be given to PSEC to complete the OCSD application process. Task 3: Pothole along Tustin Ranch Road and Collect Groundwater Samples During the pipeline bidding schedule, PSEC will provide a backhoe to install up to five (5) potholes spaced along the planned Tustin Ranch Road route starting near Warner Avenue and moving northward along the route of the road to the surcharge pile south of Edinger Avenue. The depths of the potholes are estimated at 10 feet below ground surface. The task will provide the opportunity to observe depth to groundwater and rate of infiltration into open trenches. Photographs will be taken during the field operations and used in the letter report. The City may consider video taping the work to allow contractors an opportunity to witness on tape the field activities and groundwater response. PSEC has not included this taping cost in our scope of services. While the potholes are open, PSEC will collect a representative soil sample and a grab groundwater sample from each location. For the soil, these samples will be analyzed at a State- certified laboratory for volatile organic compounds (VOCs), select metals, and TPHcc. For the groundwater, these samples will be analyzed at aState-certified laboratory for VOCs, select metals, TDS, TPHcc, nitrates, and BODS. Contact with the Orange County Health Care Agency has shown that no fees will be needed to collect these grab groundwater samples. The open potholes will be staked and caution-taped for safety purposes and left open overnight to assess infiltration and final groundwater elevations. The laboratory analytical results will be available in approximately five business days following sample receipt by the laboratory. This soil information will be used to evaluate for the identification of hazardous and toxic materials during overburden soil management and groundwater information will be used to characterize and scope treatment requirements by the contractors prior to OCSD discharge. The data will be collected in a letter report that will be distributed to the City and then the contractors and also utilized as an attachment to the OCSD permit application. The estimated budget for this work is a time-and-materials not-to-exceed without authorization cost of $9,500. This budget includes 36 hours of senior professional time to coordinate and manage the field excavation work, sample collection, and letter report preparation. PSEC:BD/Tustin/CSA Addenduml 2-11 February 25, 2011 Page 4 of 5 Task 4: Monitoring Well 1005MW01S Abandonment and Relocation A groundwater monitoring well associated with the Navy's plume associated with IRP-5S(a), specifically 1005MW01 S, is located near the intersection of Tustin Ranch Road and Warner Avenue. The Navy recently constructed a new upgradient monitoring well and this well may not be needed for their monitoring or planned remedial actions at this site. If the PERF T-012 is approved and the Navy agrees that this well can be abandoned, PSEC will implement the necessary field program to remove this well from service and provide a new well at a location agreed by the City and the Navy. From Navy reports, the monitoring well 1005MW01 S has a 20-foot screen and the total depth is shown at 27.1-feet below ground surface (bgs). The first task will be the preparation of a well destruction permit for the Orange County Health Care Agency (OCHCA). The permit has owner and location information and a drawing of the well ready for abandonment and is reviewed and signed by either the Navy or the City of Tustin so fees are waived by OCHCA. During existing well abandonment, the casing will either be removed or overdrilled, the drill cuttings will be drummed for appropriate off-site disposal, and the boring will be filled with Portland cement to 10-feet bgs and bentonite chips to surface. For the well installation at a nearby site yet to be determined, a 2-inch diameter schedule 40 PVC well will be installed. The first task will be the preparation of a well permit for the Orange County Health Care Agency (OCHCA). The permit has owner and location information and a drawing of the well ready for installation and is reviewed and signed by either the Navy or the City of Tustin so fees are waived by OCHCA. Then a work plan will be prepared to provide ownership, site information, location, pre-drilling activities, construction plans, surface finishing, and well development information. Pre-drilling will include coordination with Navy and regulatory agency personnel, confirm both the need for the new well and a well completion log of the existing 1005MW01S and nearby wells to ensure screening interval, updating a Health & Safety Plan, and obtaining a Dig Alert permit number. PSEC has planned that the proposed well will be drilled to approximately 27 feet bgs using a 6.25-inch ID, 10.25-inch OD hollow stem auger with 20-feet of 0.020 factory slotted screen allowing screening across the first water bearing zone (WBZ). The well will be developed using a Smeal Model 5T development rig following an appropriate time after installation. At the surface, the well will be constructed with a 3-foot stick-up pipe surrounded by a 10-inch by 6-foot lockable protective casing (monument) cemented in a 2'x2' concrete pad. Due to planned grading activities and surface elevation changes, four bollards will be installed to protect the well. The drill cuttings and decon water will be drummed and characterized for either on-site blending or appropriate off-site disposal. Soil sampling during drilling and well surveying have not been included in this scope. The well abandonment and relocation work will be summarized in a letter report that will be distributed to the City. The report will include: description of well abandonment and well construction procedures, lithologic and construction logs of the boring and the well, well completion diagram and figures, and laboratory results. The estimated budget for this work is atime-and-materials not-to-exceed without authorization cost of $18,800. This budget includes 118 hours of senior professional time to coordinate the City's Orange County Health Care Agency demolition permit, work plan preparation and approval by the City and the Navy, manage the field well destruction, well relocation and installation, development and letter report preparation. Task 5: Import Soil Data Tables As discussions with the City and XL Insurance have proceeded, the need to have the import soil data compiled and included within the Soil Remediation Report has become more necessary. Some of this PSEC:BD/Tustin/CSA Addendum1 2-11 February 25, 2011 Page 5 of 5 stockpiled soil has been used for backfill in Neighborhood E and the data from the individual sites should be collected to document compliance with the DTSC Guidelines. Data tables will be prepared and included in the appendices and referenced in the text along with a presentation of the sampling protocols. The estimated budget for this work is atime-and-materials not-to-exceed without authorization cost of $2,500. This budget includes 20 hours of senior professional time to provide technical expertise and report revisions. Task 6: Technical Support As the planning for the design and construction of Tustin Ranch Road continues under City direction, PSEC staff has been asked to become involved in several technical tasks require input from senior professional staff. These tasks include: 1.) Design Review Meetings, 2.) Project Conference Calls, 3.) Development of Soil Import Criteria and associated discussions and evaluations, and 4.) PERF T-012 document editing and technical evaluation and contribution. The estimated budget for this work is a time- and-materials not-to-exceed without authorization cost of $7,800. This budget includes 60 hours of senior professional time to provide technical expertise and direct project support. COST SUMMARY The estimated total cost for completing the above scope of work is $78,985. Activities and costs will be collected on a specific Task Basis. Charges and fees will be invoiced by Task on a Time and Materials basis, not to exceed the total authorized amount. Vendors, supplies, and subcontractors will be billed at actual cost plus an administrative cost as agreed in a negotiated contract. PSEC will invoice the City of Tustin monthly based on the amount of work completed. Insurance and Payments terms shall be in accordance with the contract.
