STACK, DIRECTOR OF PUBLIC WORKS/CITY ENGINEER SUBJECT: APPROVE CONSULTANT SERVICES AGREEMENTS FOR AS -NEEDED WATER ENGINEERING SERVICES SUMMARY Proposals were requested and received from qualified firms to provide specialized water engineering tasks on an as -needed, on-call basis. Based upon review of the proposals, Consultant Services Agreements with AKM Consulting Engineers and Black & Veatch Corporation are now ready for approval. RECOMMENDATION It is recommended that the City Council approve Consultant Services Agreements with AKM Consulting Engineers, and Black & Veatch Corporation in a not -to -exceed annual amount of $250,000 for each agreement, and authorize the Mayor and City Clerk to execute the Agreements on behalf of the City. FISCAL IMPACT The initial task through this agreement would be to analyze and update the City's water distribution hydraulic model to identify the fire flow deficiencies in the distribution system CIP 60162. Sufficient funds have been budgeted and appropriated in the current Fiscal Year 2010-2011 Public Works Department Operating and Capital Improvement Program Budgets. The total annual cost of the tasks that may be assigned to each Consultant shall not exceed $250,000. DISCUSSION These agreements will provide staff with the ability to quickly mobilize a consultant for various specialized engineering design tasks for various water operations and capital improvement projects. The work covered under these agreements may include, but not be limited to: design of distribution facilities, water treatment and storage facilities, water distribution system hydraulic modeling and planning studies. With these agreements, when any design task is required, staff will initiate a task order to perform the work based upon the availability of the consultants and their price quotes for that particular work. Services will be compensated on a time and material basis based upon a specific scope of service and signed tasked order. Proposals to perform these professional engineering services were solicited through a formal Request for Proposal (RFP) process that also included the posting of the RFP on the City's website. Based on this solicitation, eleven (11) proposals were received. The City's consultant evaluation and selection process is based upon Qualification Based Selection (QBS) for professional services. Utilizing the QBS process, the proposals were ranked based upon their review by City staff, familiarity and experience with the work required, and favorable references. The term for each agreement is for a one (1) year period and may be extended for two (2) additional one (1) year terms at the sole discretion of the City. RECITALS WHEREAS, City requires the services of a consultant to furnish the necessary as needed, on-call Water Engineering Services hereinafter referred to as "Project"; and WHEREAS, City has prepared a Request for Proposal (RFP) dated October 18, 2010, a copy of which is attached hereto, marked as Exhibit "A" and is by this reference incorporated into this Agreement; and WHEREAS, in response to City's RFP, Consultant has submitted to City a proposal dated November 22, 2010, a copy of which is attached hereto marked as Exhibit "B" and is by this reference incorporated into this Agreement; and WHEREAS, Consultant is qualified to provide the necessary services for the Project and desires to provide said services to City; and WHEREAS, City desires to retain the services of Consultant for said Project. NOW, THEREFORE, for the consideration and upon the terms and conditions hereinafter set forth, the parties agree as follows: AGREEMENT Section 1: Scope of Consultant's Services Consultant shall perform all work necessary to complete in a manner satisfactory to City, the services set forth in Exhibit "A" and Exhibit "B" in accordance with the terms and conditions of this Agreement. 1 Consultant hereby agrees and acknowledges that any and all performance pursuant to this Agreement shall be on an "on-call" basis. Any tasking shall be initiated by the City. Further, that execution of this Agreement by the City does not in any way guarantee that any tasking or request for on-call services will be issued to Consultant. Moreover, execution of this Agreement by the City shall not entitle Consultant to any form of payment or compensation from the City without City first having issued tasking or request for services from Consultant. Section 2: Order of Precedence In the event of a conflict between or among any of the documents comprising this Agreement, the following order of precedence shall govern the provision in question: 1. This Agreement 2. City's Request for Proposal (Exhibit "A") 3. Consultant's Proposal (Exhibit "B") Section 3: Time for Completion The time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant shall prosecute regularly and diligently the work of this Agreement according to reasonable schedules established by the City for various items described and as outlined within Consultant's proposal. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Unless earlier terminated as provided elsewhere in this Agreement, this Agreement shall commence upon the effective date of this Agreement and continue in full force and effect for one (1) year after the effective date of the Agreement. This Agreement may be extended for two (2) additional one (1) year terms at the sole discretion of the City, by the city providing notice to the Consultant of such extension thirty (30) days prior to the expiration of the current term. Section 4: Compensation A. The compensation to be paid under this Agreement shall be on a time and material basis as set forth in the Consultant's proposal and with a not -to -exceed cost to be confirmed by the City for individual assignments. Hourly rates paid shall be in accordance with the billing rates as set forth in Exhibit "B". B. Maximum contract amount in any year, for services rendered pursuant to this Agreement shall not exceed two hundred and fifty thousand dollars ($250,000.00). 4 C. Consultant shall submit detailed invoices, based upon the actual work performed accompanied by backup documentation as requested by the City. D. Progress payments for work completed shall be paid by City as the work progresses, within thirty (30) days of the date of Consultant's invoice. E. Consultant shall provide City with a monthly itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. Section 5: Independent Contractor Consultant's relationship to City in the performance of this Agreement is that of an independent contractor. Consultant's personnel performing services under this Agreement shall at all times be under Consultant's exclusive direction and control and shall be employees of Consultant and not employees of City. Consultant shall pay all wages, salaries and other amounts due its employees in connection with this Agreement and shall be responsible for all reports and obligations respecting them, such as social security, income tax withholding, unemployment compensation, worker's compensation and similar matters. Section 6: Indemnification Consultant agrees to indemnify, defend and hold City, its officers, agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by any person and from all costs, expenses and charges including attorney's fees caused by or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or willful misconduct, or conduct for which the law imposes strict liability on Consultant in the performance or failure to perform this Agreement. Section 7: Insurance A. Consultant shall maintain in full force and effect during the term of this Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall 3 also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the City for losses paid under the policy, which losses arose from the work performed by the named insured. D. Other applicable insurance requirements are: (1) Name the City, its officials and employees as additional insured on the commercial general liability and automobile liability insurance policies. (2) The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, VII (seven) or better (if an admitted carrier) or A-, X (ten) or better (if offered by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept workers' compensation insurance rated B-, VII (seven) or better, or from the State Compensation fund. (3) The insurance shall not be cancelled, except after thirty (30) days written prior notice to the City; and (4) The commercial general liability and automobile liability insurance shall each be primary as respects the City, and any other insurance maintained by the City shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to City certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1)(3) and (4) of Section 7D above and the waiver of subrogation requirement in Section 7C above. If self- insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. Section 8: Termination of Agreement A. City and Consultant shall each have the right to terminate any or all of the services covered by this Agreement at any time or any reason by giving ten (10) business days written advance notice to the other party. B. Upon termination of this Agreement, Consultant shall be paid for services rendered by the effective date of the termination. 4 C. Upon termination of this Agreement or completion of the Project, all documents relating to the Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph A. of this Section, Consultant shall within ten (10) business days of receipt of notice of termination, provide City with all documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all completed documents and all drafts of uncompleted documents. Section 9: Notice Any notice allowed or required to be given shall be effective upon personal delivery thereof, or upon depositing thereof in the United States Postal Service, certified mail, upon receipt requested, postage prepaid, addressed as follows: To City: City of Tustin Aftn.: Douglas S. Consultant shall proceed immediately and diligently to perform the services provided for in this Agreement upon receipt of notice from City to proceed therewith. B. No part of this Agreement may be assigned by Consultant without the prior written approval of City. C. This Agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties hereto. D. Consultant shall perform all services required under this Agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. 5 E. Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application of such employment, because of race, religion, color, sex, or national origin including but not limited to, the following: employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of pay or other forms of compensation, and selection for training, including apprenticeship. F. This Agreement shall be interpreted in accordance with California Law. The parties agree that the Orange County Superior Court is the exclusive venue for any lawsuits by either party regarding this Agreement. PROJECT DESCRIPTION The City of Tustin, Public Works Department is requesting proposals from qualified Civil Engineering firms to provide consulting services on an "as -needed" basis for projects to be determined during the term of the contract. The contract will be for a one (1) year term with provisions for two -one year extensions with the total term not exceeding three (3) years. The total fees to consultant for all assignments authorized during each year shall not exceed $250,000. The City's Public Works Department has an annual capital improvement program and an operating budget for water related projects. The Department, from time to time, has the need to retain the services of a consulting civil engineering firm to assist in performing preliminary engineering, studies, and project design. Design will include the preparation of plans, specifications, cost estimates, and contract documents for various kinds of projects included in the budget. Mostly the projects involve water main installation and replacement design. However, the assignments may include any aspect of water storage, treatment and distribution of domestic water. The City is desirous of contracting with a civil engineering firm to be available to perform services on an "as -needed" basis when consulting engineering services are needed. The City will issue Task Orders for each project based upon a scope of services, work schedule, and fee proposal submitted to the City for its review and approval. Any tasking shall be initiated solely by the City. Further, execution of a contract by the City does not in any way guarantee that any tasking or request for on-call services will be issued to any party. Moreover, execution of a contract by the City shall not entitle the other party to any form of payment or compensation from the City without first having issued tasking or request for services from the consultant. SCOPE OF WORK Although the City is attempting to identify the limits and services required, this should not unnecessarily limit the consultant in the development of a scope it believes is necessary to meet the City's goals and objectives. In general, the consultant shall perform civil engineering, including geotechnical and surveying, services on an "as -needed" basis for various projects assigned by the City. The CITY or TUSTIN As --Needed Water Engineering Services - RFP October 2010 Page 3 scope of work for any one project may involve all phases of project development and may include but not be limited to the following: 1. Preliminary Engineering Prepare alternative preliminary layouts, surveying, geotechnical services, hydraulic system modeling and estimates of probable cost for alternatives, and prepare engineering details, and calculations. Present alternatives and provide recommendations and analyses of the advantages of each alternative. 2. Permits Assist the City in obtaining approvals from applicable agencies for environmental, and/or other permits as may be required. 3. Construction Documents Prepare engineering calculations and designs, plans, specifications, cost estimates, and contract bidding documents. The construction documents shall be reviewed by the City at the preliminary engineering, sixty (60%), ninety percent (90%), and final documents stages. The design engineer will be responsible for all required services; which may include utility coordination, geotechnical investigation, survey, traffic plans, etc. The drawings shall be 24 -inch X 36 -inch ink on mylar media. For all deliverables, the consultant shall adhere to the requirements and conditions specified in Attachment C - City of Tustin Mapping, Plan preparation & Document Requirements. 4. Bidding Stage Assist the City in answering bidders' questions, attend pre-bid conferences and job walks, prepare addenda, analyze bids, and recommend award. 5. Construction Stage Attend pre -construction conference. Monitor construction schedule, visit construction site as required for progress and quality of work. Assist the engineer, contractor, and inspector with interpretation of the plans and specifications, analysis of changed conditions, development of corrective action, review of shop drawings and other submittals, and the review and negotiation of change orders. Prepare "as -built" drawings. It is anticipated that the majority of the assigned projects will involve the design and preparation of plans and specifications for the construction of water distribution improvements. PROPOSAL REQUIREMENTS Although the City requires no specific format, this section is intended to provide guidelines to the consultant regarding features that the City will look for and expect to be included in the proposal. 1. Content & Format The City requests that proposals submitted be organized and presented in a neat and logical format and are relevant to these services. Consultant's proposals shall be clear, accurate, and comprehensive. Excessive or irrelevant material will not be favorably received. Proposals shall contain no more than 10 typed pages using a 10 point minimum font size, including transmittal/offer letter and resumes of key people, but excluding Index/Table of Contents, tables, charts, and graphic exhibits. The purpose of these restrictions is to minimize the costs of proposal preparation and to ensure that the response to the RFP is fully relevant to the project. The proposal should include the following: • Transmittal/offer letter. • Page numbering. • Index/Table of Contents. • Approach. • Team Organization including an organization diagram and time commitment of key staff. • Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract. • Brief resumes of key staff. • Schedule of Hourly Rates and fees in a separate sealed envelope. 2. Approach A description of the firm's approach and work program to meet the city's objectives shall be included. It should explain the technical approach, methodology, and specific tasks and activities that will be performed to address the specific issues and work items. 3. Team Organization The purpose of this section is to describe the organization of the project team including subconsultants and key staff. A project manager and an alternaterp oiect manager shall be named who shall be the prime contact and be responsible for coordinating all activities with the City. An organization diagram shall be submitted showing all key team members and illustrating the relationship between the City, the CITY lir TUSTIN As -Needed Water Engineering Services - RFP October 2010 Page 5 project manager, key staff, and subconsultants. There also should be a brief description of the role and responsibilities of all key staff and subconsultants identified in the team organization. 4. Statement of Qualifications The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. The projects listed should be those that the key staff named for this project were responsible for performing. Information shall include: • Names of key staff that participated on named projects and their specific responsibilities. • The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Completion dates (estimated, if not yet completed). • Total costs of the projects. There should be included in the section brief resumes of key personnel who will provide these services demonstrating their qualifications and experience. Resumes should highlight education, relevant experience, licenses, and specific responsibilities for services described. 5. Fee Proposal Compensation for services provided shall be based upon the consultant's detailed fee proposal to furnish the services detailed in their proposal. A Fee Proposal shall be submitted in a separate, sealed envelope and marked as "Fee Proposal" along with the name of the project. A work program together with a breakdown of labor hours by employee billing classification together with the cost of non -labor and subconsultant services shall be included with the fee proposal. The labor breakdown shall be compiled based upon a listing of work tasks that correlates with the consultant's defined scope of work for the project proposal. This information will be used by the City staff to evaluate the reasonableness of the fee proposal and may be used in negotiating the final fee amounts for the contract agreement. The fee proposal of the three top ranked consultants will be opened at the conclusion of the consultant evaluation and selection process. Fees will not be used to determine the ranking of the consultants. The Fee Proposals of those consultants not ranked in the top three will be returned to them unopened upon award of contract to the selected consultant. CITY of TUSTIN As -Needed Water Engineering Services - RFP October 2010 Page 6 The City will negotiate the final fee with the top ranked consultant(s). Reimbursable expenses shall not be allowed unless negotiated prior to a contract. Price escalations during the contract term are disfavored and will not be allowed unless negotiated prior to execution of contract. Although no public meetings are anticipated, the fee proposal shall include a unit cost for a public meeting (e.g., $/public meeting) in the event a meeting (or... additional meetings) will be required. The consultant shall prepare progress billings, reflective of the project schedule and the scope of work completed, by line item and description. 6. Statement of Offer & Signature The Proposal shall contain a statement that the proposals are a firm offer for a 90 - day period and signed by an individual authorized to act on behalf of the firm. V. GENERAL REQUIREMENTS . Insurance Requirements The consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: A. General Liability and Automobile Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. B. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made" policy is acceptable). If consultant provides "claims made" coverage, consultant shall also agree in writing to either: i. Purchase Tail Insurance in the amount required by the resulting agreement to cover claims made within five years of completion of consultant's services under the agreement. ii. Maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by the resulting CITY OF TUSTIN As -Needed Water Engineering Services - RFP October 2010 Page 7 agreement five years after completion of consultant's services under this agreement. The consultant shall provide written evidence of either form by executing the attached letter agreement (Attachment B) on consultant letterhead. C. Worker's Compensation Coverage - State statutory limits. Deductibles, Self -Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Tustin. The consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. The City shall be named as Additional Insured and no policy may be modified or cancelled prior to thirty (30) days written notice. Certificates of insurance and insurer endorsements evidencing the required insurance shall be provided. 2. Standard Form of Agreement The consultant will enter into an agreement with the City based upon the contents of the RFP and the consultant's proposal. The City's standard form of agreement is included as Attachment A. The consultant shall carefully review the agreement, and include with the proposal a description of any exceptions requested to the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. 3. Disclaimer This RFP does not commit the City to award a contract, or to pay any costs incurred in the preparation of the proposal. The City reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified consultant, or to cancel this RFP in part or in its entirety. The City may require the selected consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. 4. Assigned Representatives The City will assign a responsible representative to administer the contract, and to assist the consultant in obtaining information. The consultant also shall assign a responsible representative (project manager) and an alternate, who shall be identified in the proposal. The consultant's representative will remain in responsible charge of the consultant's duties from the notice -to -proceed through project CITY OF TUSTIN As -Needed Water Engineering Services - RFP October 2010 Page 8 completion. If the consultant's primary representative should be unable to continue with the project, then the alternate representative identified in the proposal shall become the project manager. The City's representative shall first approve any substitution of representatives or subconsultants identified in the proposal in writing. The City reserves the right to review and approve/disapprove all key staff and subconsultant substitution or removal, and may consider such changes not approved to be a breach of contract. 5. City Business License A city business license will be required of the consultant and any subconsultants for services under this agreement. VI. CONSULTANT EVALUATION & SELECTION PROCESS The City's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points) based upon the weighting indicated below: 1. Approach and work plan to achieve specified city objectives. (25 points) 2. Qualifications and experience of the project manager and other key individuals. (40 points) 3. Results of reference checks. (15 points) Reference checks will only be conducted for a short list of firms or the top rated firm. 4. Clarity of proposal. (10 points) 5. Compliance with proposal requirements including the 10 page limitation. (10 points) The City may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the one or two best qualified firms for the desired consulting services. Should the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. Please refrain from making any verbal inquires or requests for a formal debriefing related to the subject RFP until the City of Tustin completes the ongoing contract process. The City of Tustin's Rights to Proposals All proposals, upon submission to the City of Tustin shall become its property for use as deemed appropriate. By submitting a proposal, the offerer covenants not to make any claim for or have any right to damages because of any misinterpretation or misunderstanding of the specification, or because of any misinformation or lack of information. The City of Tustin has the following prerogatives with regard to proposals submitted: - to accept or reject any or all proposals; - to correct any arithmetic errors in any or all proposals submitted; - to utilize any or all the ideas from proposals submitted; - to change the proposal's due date upon appropriate notification; - to adopt any or all of an offerer's proposal; and - to negotiate modifications to the scope and fee with selected offerer prior to contract award. RECITALS WHEREAS, City requires the services of a consultant to furnish the necessary [engineering or other] services for the [describe project] hereinafter referred to as "Project'; and WHEREAS, City has prepared a Request for Proposal (RFP) dated , a copy of which is attached hereto, marked as Exhibit "A" and is by this reference incorporated into this Agreement; and WHEREAS, in response to City's RFP, Consultant has submitted to City a proposal dated , a copy of which is attached hereto marked as Exhibit "B" and is by this reference incorporated into this Agreement; and WHEREAS, Consultant is qualified to provide the necessary services for the Project and desires to provide said services to City; and WHEREAS, City desires to retain the services of Consultant for said Project. NOW, THEREFORE, for the consideration and upon the terms and conditions hereinafter set forth, the parties agree as follows: AGREEMENT Section 1: Scope of Consultant's Services Consultant shall perform all work necessary to complete in a manner satisfactory to City, the services set forth in Exhibit "A" and Exhibit "B" in accordance with the terms and conditions of this Agreement. Section 2: Order of Precedence In the event of a conflict between or among any of the documents comprising this Agreement, the following order of precedence shall govern the provision in question: 1. This Agreement 2. City's Request for Proposal (Exhibit "A") 3. Consultant's Proposal (Exhibit "B") Section 3: Time for Completion The time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant shall prosecute regularly and diligently the work of this Agreement according to reasonable schedules established by the City for various items described and as outlined within Consultant's proposal. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Section 4: Compensation A. The compensation to be paid under this Agreement shall be as set forth in Exhibit "B", which shall not exceed a total cost of $ B. Consultant shall submit detailed invoices, based upon the actual work performed accompanied by backup documentation as requested by the City. C. Progress payments for work completed shall be paid by City as the work progresses, within thirty (30) days of the date of Consultant's invoice. D. Consultant shall provide City with a monthly itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. Section 5: Independent Contractor Consultant's relationship to City in the performance of this Agreement is that of an independent contractor. Consultant's personnel performing services under this Agreement shall at all times be under Consultant's exclusive direction and control and shall be employees of Consultant and not employees of City. Consultant shall pay all wages, salaries and other amounts due its employees in connection with this Agreement and shall be responsible for all reports and obligations respecting them, such as social 2 security, income tax withholding, unemployment compensation, worker's compensation and similar matters. Section 6: Indemnification Consultant agrees to indemnify, defend and hold City, its officers, agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by any person and from all costs, expenses and charges including attorney's fees caused by or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or willful misconduct, or conduct for which the law imposes strict liability on Consultant in the performance or failure to perform this Agreement. Section 7: Insurance A. Consultant shall maintain in full force and effect during the term of this Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the City for losses paid under the policy, which losses arose from the work performed by the named insured. D. Other applicable insurance requirements are: (1) Name the City, its officials and employees as additional insured on the commercial general liability and automobile liability insurance policies. (2) The insurance shall be issued by a company authorized by the Insurance Department of the State of California and 3 rated A, VII (seven) or better (if an admitted carrier) or A-, X (ten) or better (if offered by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept workers' compensation insurance rated B-, VII (seven) or better, or from the State Compensation fund. (3) The insurance shall not be cancelled, except after thirty (30) days written prior notice to the City; and (4) The commercial general liability and automobile liability insurance shall each be primary as respects the City, and any other insurance maintained by the City shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to City certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1)(3) and (4) of Section 7D above and the waiver of subrogation requirement in Section 7C above. If self- insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. Section 8: Termination of Agreement A. City and Consultant shall each have the right to terminate any or all of the services covered by this Agreement at any time or any reason by giving ten (10) business days written advance notice to the other party. B. Upon termination of this Agreement, Consultant shall be paid for services rendered by the effective date of the termination. C. Upon termination of this Agreement or completion of the Project, all documents relating to the Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph A. of this Section, Consultant shall within ten (10) business days of receipt of notice of termination, provide City with all documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all completed documents and all drafts of uncompleted documents. Consultant shall perform all services required under this Agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. E. Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application of such employment, because of race, religion, color, sex, or national origin including but not limited to, the following: employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of pay or other forms of compensation, and selection for training, including apprenticeship. F. This Agreement shall be interpreted in accordance with California Law. Holland City Attorney SACSA & RFPICSA - Tail Insurance - Long.doc ATTACHMENT C CITY OF TUSTIN MAPPING, PLAN PREPARATION & DOCUMENTATION REQUIREMENTS CITY OF TUSTIN MAPPING, PLAN PREPARATION, 8c DOCUMENTATION REQUIREMENTS As an integral part of the City of Tustin's Infrastructure Mapping & Engineering system, computer-aided drafting and design (CADD) and geographic information system (GIS) standards have been established to provide a systematic method of transferring and exchanging of data between the City and outside engineers and other consultants. Standards for file format, layering, line types, and other conventions are necessary in order to manage the large amounts of data that comprise the City's digital base map, and allow progressive expansion of the data base into future mapping and GIS applications. Layering and linetype conventions are AutoCAD -based (latest version attached herewith). In order to interchangeably utilize the data contained in the infrastructure mapping system, CADD drawings must be in AutoCAD "DWG" format. Engineers and other consultants are requested to provide data to the City in AutoCAD format (i.e., in compliance with the DWG file format and the City's layering and linetype standards) as their projects are completed and submitted to the City for final acceptance. For projects that span an extended period of time, interim drawing files, in AutoCAD format, may be requested. Although most consulting engineers routinely utilize CADD programs, there may be a few that do not. For this reason, an option may be included to allow the developer to submit manually prepared plans and, in lieu of CADD files, provide a cash deposit to the City to have the drawings converted into digital CADD format (i.e., scanned images are not acceptable). This deposit would cover the cost of computerized data entry of key information shown on the improvement plans. The complexity and costs associated with the CADD conversion would vary with the complexity of the development project. Any excess deposit would be returned to the developer. MAPPING To the extent possible, mapping shall be prepared to engineering accuracy (i.e., to two decimal places) based on available improvement plans, right-of-way maps, parcel maps, and tract maps. When information from different sources appears to conflict, assumptions shall be documented and the City shall be notified in writing. Preliminary CADD drawings may be plotted on reproducible bond paper. Final CADD drawings shall be plotted on 4 mil thick mylar and provided to the City as a deliverable product. -1- (Revised July 18, 2005) Final CADD mapping files may be delivered to the City on a CD. This strong understanding of the City, and its concerns, will ensure a high sensitivity to all project issues during the development of the work. We have prepared the following scope of work to illustrate our approach and work program for a typical water modeling and planning project, and a water facility design project. The actual scope of services offered will be tailored to meet the needs of the City and specific conditions and requirements of each project when assigned. A. PROJECT MANAGEMENT Project Schedule AKM will prepare a work plan and initial schedule with the milestones for the major tasks involved in the project. The schedule will be updated monthly. Meetin-gs AKM Teams will meet with the City staff at least once each month during the Preliminary and Final Engineering Design phases of the Project. We will also meet at regular intervals as determined by the City during the Construction Contract Administration Phase. Appropriate engineering specialty staff or principals, and appropriate subcontractor's representatives will accompany the Project Manager to attend the meetings with the City. AKM will prepare the agenda for each meeting, record the minutes of all meetings and submit a copy of the minutes to the City for its review within five working days after each meeting and prior to distribution. B. WATER MODELING AND MASTER PLANNING WORK PLAN Water modeling and master planning efforts will be conducted in accordance with the following general work plan. A flow chart depicting our approach is included on the following page. Data Collection and Review Under this task, all available information necessary for the development of the system hydraulic model and the preparation of the Master Plan will be obtained. The most current version of the MWH Soft model is InfoWater, which is fully GIS based. The existing model can easily be converted to InfoWater. The model will include all pipes shown on the Atlas Maps and the CAD map, and the fire hydrant locations. Pump stations, wells, treatment facilities, and reservoirs will be incorporated into the model from as built drawings and facility information such as efficiency test results and certified pump curves. Operational controls used by the City will be included in the model. To develop the most accurate model and assess the condition of the system, the City staff will be interviewed on the operation of the system, and tours of the facilities will be conducted. Each water meter will be attached to the model based on Assessor's Parcel Numbers. If this is not available, the meter address will be utilized to link the actual water use data to the model. Water flow, reservoir level, pump on and off times, and pressures throughout the system will be collected over a two week period during high water demands. From this information, diurnal water use patterns for each pressure zone will be developed and attached to the meters. If there are very large water users, special metering may be necessary to characterize their water use. The collected information will also be used to calibrate the model. The model will be calibrated by analyzing the system under the same conditions as the field/SCADA data collection period, and comparing the pressures and reservoir levels predicted by the model to the field data. Any discrepancies will be identified and resolved so that the model accurately reflects the system operation. It is expected that the pressure differences between the field data and model will be within 5 percent or less. System Analysis - Analysis criteria will be prepared and submitted to the City for review. Any comments will be addressed and included in the final criteria to which the water system will be evaluated. Criteria will be developed for source of supply, reservoir capacity, booster pump station and well operation, minimum and maximum pipe velocities, minimum and maximum pressures, unit flow factors, and fire flows. The model will be used to analyze the system with the existing land use under the average day, maximum day, and maximum day plus fire flow conditions to identify any deficiencies and inefficiencies. Mitigation projects will then be formulated, which will form a portion of the Capital Improvement Program. Analysis of the ultimate system will include current specific plans for vacant or redevelopment areas under maximum day and maximum day plus fire conditions. Improvements needed by future development/redevelopment will be identified and included in the Capital Improvement Program. Capital Improvement Program - A Capital Improvement Program (CIP) will be recommended based upon the results of the hydraulic analyses and evaluation of the condition of the system. The program will be submitted to the City for review. Comments will be addressed and a final CIP will be developed. Water Master Plan Report - A comprehensive report documenting the analyses conducted, results, and the recommendations will be prepared. The report will have the following sections at a minimum: 1. This analysis generally includes: determination of fire flows; evaluation of pipe sizing; development of capacity and head requirements for wells and pump stations; water quality analysis; and reservoir turnovers. C. WATER FACILITY DESIGN PRELIMINARY ENGINEERING SERVICES Research and Analyze Existing Conditions - AKM Consulting Engineers will research and obtain plans, reports, studies and other record data from the City, utility companies, and any other agency with existing or proposed facilities or jurisdiction in the project area, and will coordinate with those agencies through completion of work. Surveying for Engineering Design - AKM will provide survey parties to perform field surveying required for the preliminary and final engineering design of the Project. The survey party(ies) shall be under the direction of a Licensed Land Surveyor. AKM will obtain all right-of-way entry permits required for the work. Surveying services will be performed by C&V Consulting, under the direction of Mr. Charlie Priolo, P.E. as a subconsultant to AKM. Potholing - At critical locations and as approved by the City, AKM will perform potholing to determine locations and elevations of existing underground utilities, improvements and related facilities. AKM will obtain all right-of-way entry permits required for potholing. Potholing services will be provided by Saf-R-Dig, under the direction of Mr. Richard Hernandez as a subconsultant to AKM. Geotechnical Services - Geotechnical services will be provided in support of preliminary or final design activities. Soil borings will be conducted as necessary to define conditions and provide design recommendations. Geotechnical investigations are particularly important in areas, where poor soil conditions, high groundwater, and hydrocarbon contamination are suspected. Geotechnical services will be provided by NMG Geotechnical, under the direction of Mr. Karlos Markouizos, R.C.E. as a subconsultant to AKM. Preliminary Design - Our preliminary engineering services will consist of the following: • Investigation of existing facilities. Defining current deficiencies, and identifying potential alternatives for remediation. • Analysis of potential alternatives including: feasibility; constructability analysis; project impacts on surrounding facilities and community; potential negative impacts with recommended mitigation measures; and cost/benefit analysis, including breakeven analysis. • Detailed preliminary design, including drawings, details, and calculations necessary to appropriately define the project so that design challenges, construction costs, and project implementation schedules can be accurately determined. • Determine requirements for obtaining necessary permits from the City, utility companies, resource agencies, and other impacted agencies, as necessary to construct. • Determine construction impacts and develop mitigation measures as appropriate. ■ Preparation of a preliminary design report or memorandum which fully presents all information, and provides recommendations for project implementation. Deliverables - AKM will prepare reports, preliminary plans, and preliminary engineer's estimate in MS Word. The project improvement plans will be drawn to an appropriate scale. Generally, 1"=40' for pipeline or street improvement plans; 1"=5' for site plans; and 1/2"=1' for details. FINAL ENGINEERING DOCUMENTS AND PREPARATION OF CONTRACT DOCUMENTS AKM's Final Engineering Documents will include all engineering required to carry out the concepts agreed upon in the Preliminary Engineering Design Phase. Final Engineering will include detailed engineering calculations, designs, right-of-way determination, construction plans, specifications and special provisions, and engineer's estimates for the Project. The plans, specifications and the cost estimates will be complete and suitable for bidding purposes. Required Permits and Easements - AKM will, on behalf of the City, discuss, review, apply for and obtain any permits and easements required by the appropriate companies and agencies, as directed by the City. We will prepare necessary legal descriptions and maps, in a form approved by the City to process and acquire any necessary easements. We will identify property lines, existing easements and proposed easements, if any are required, of a permanent or temporary nature, for construction of the Project. The City shall acquire any required right-of-way or easement and file them with the County of Orange; however, AKM will prepare any sketches and legal descriptions necessary to effect these transactions. All permit fees shall be borne by the City. Final Design - Based on our investigations and designs, AKM will prepare the construction documents and contract specifications in the City's format. They will include the City's Standard Specifications, contract documents, detailed construction plans, specifications, special provisions and an itemized cost estimate of the proposed work. AKM will prepare all necessary documents, including the following: • Title sheet, location map, vicinity map, and signature blocks applicable to the Project; • General notes sheet with appropriate general excavation, shoring and miscellaneous notes and symbols and abbreviations; • Detailed construction drawings and details of the proposed improvements, including structural and electrical designs; • Construction phasing plans, as needed; and • Applicable City standard plans and specifications and AKM's standard plans as required. Preparation of Traffic Control Plans - AKM will prepare traffic control, signal and/or stripping plans, as necessary, for the proposed work. AKM will submit to the City's Traffic and Transportation Division plans for review and approval. Traffic plans will be prepared by Traffic Control Engineering under the direction of Mr. David Kuan, P.E.. Deliverables - We will prepare contract documents including bid proposals, specifications, special provisions and final engineer's construction cost estimate in MS Word format. All drawings will be provided in electronic format in accord with the City's preference and upon completion of the Project. We will also provide to the City complete plans drawn in ink on Mylar film on the City's approved standard size sheets, with the City's standard title block format. D. BIDDING SERVICES AKM will assist the City in securing construction bids, and will evaluate and make recommendations for award of the construction contract. During the bidding process, we will assist the City in providing clarification for questions, and issuance of addenda as needed for questions that may arise during the bidding process. We will also attend job -walks and the pre-bid meeting, and record the minutes of the meetings. E. CONSTRUCTION PHASE SERVICES Construction Administration and Inspection - AKM will assist the City's Water Services Division in general contract administration for the construction of the Project. The tasks of Contract Administration will include the following: • Provide site visits as required; • Provide office engineering consultation, as required, and coordinate with the City in administration of the construction contract; • Prepare supplementary sketches and details as required to resolve field construction problems that may be encountered; • Negotiate, prepare and process change order(s) and/or extra work order(s) as needed. Construction Staking - If required by the City, AKM will provide field survey party(ies) to perform construction staking for the Project. The survey party(ies) shall be under the direction of a Licensed Land Surveyor. This service would be provided by C+V Consulting, as a subconsultant to AKM. Review of Shop Drawings. Equipment and Material Tests Coordination - AKM will review all construction shop drawings for complete conformance with the contract plans, specifications and documents. AKM will determine and certify to the City that any deviations or substitutions submitted by the Contractor to be equal to or of better quality than specified in the contract documents. We will make our recommendations and review with the City's staff all substitutions and receive the City's concurrence prior to approving any substitution. Our proposals will be based upon two reviews of the shop drawings. Any additional reviews, costs shall be born by the Contractor. AKM will coordinate and assist in verification of intermediate and final operation. Start-up assistance will also be provided as appropriate for the project. F. PREPARATION OF RECORD DRAWINGS AKM will obtain as -built drawings as marked by the inspectors and/or Contractor during the course of construction. This information will be used in preparation of the construction record drawings. We will prepare and submit three (3) copies of the full size prints, the full size reproducible Mylar originals, and the electronic files of the construction record drawings in AutoCAD format. SECTION 3 — TEAM ORGANIZATION In consideration of the requirements for the design of the subject project, AKM Consulting Engineers has assembled a Project Team with extensive experience in the planning, design, and construction support of all aspects of civil engineering services to perform system modeling, studies and project design, including the preparation of plans, specifications, cost estimates and contract documents for various water system projects included in the City's Capital Improvement Program. The project team has extensive experience involving water system modeling, watermain installation and replacement design, and also water storage, booster pumping, and design of water wells. He will monitor methods and procedures of project implementation. His responsibilities will include exploring innovative technical approaches from the beginning of the project and reviewing the work at key milestones to ensure that the work product meets the high standards for technical excellence. Because Mr. Kayiran will be working closely with Project Manager, he has been assigned the responsibility of Alternate Project Manager, acting as Project Manager if Mr. Loague is unavailable. Project Manacier/Water Facilities — Mr. John Loague, P.E. will serve as Project Manager for the work and will be the responsible representative of AKM to the City. In this capacity, Mr. Loague will provide project oversight and management direction. He will ensure that adequate and appropriate resources shall remain available to the project for the entire duration. He will participate in the overall schedule, and project development process and will be available to contribute in all project -related matters. Mr. Loague will serve as the day-to-day contact with the City ensuring that projects run smoothly, on time, and within budget, and coordinate, manage, direct and review the work of support staff, and subconsultants. Subconsultants The AKM Team includes the following specialty subconsultants to complete a technically superior project within the desired schedule. We have worked with these subconsultants on numerous successful projects. • Potholing - Saf-R-Dig specializes in obtaining accurate subsurface utility information for creating utility base maps. The method used is non-destructive, minimally invasive, air/hydro/vacuum process that exposes the utility for visual verification, identification, inspection, measurements and documentation of the data for subsequent creation of the utility base maps. ■ Survey — C&V Consulting, Inc. (CVC) is a corporation whose principals have been providing multi- disciplinary engineering services for over 30 years. Mr. Charlie Priolo, P.E., a Principal with CVC with over 30 years of civil engineering and construction related experience, will oversee surveying for the project. Geotechnical — NMG Geotechnical, under the supervision of Mr. Markouizos, will be overseeing the geotechnical services. Mr. Markouizos has over 25 years of engineering and management experience on numerous residential, commercial, resort, and public works projects in Southern California. His has worked with numerous county and city agencies along with Caltrans, OCTA, and other local utility companies; with considerable experience in field exploration and monitoring, field and laboratory soil testing, grading and earthwork, slope stability analysis, design of shallow and deep foundations, liquefaction and settlement analysis, underground utilities and structural pavement design. ■ Traffic Control — Traffic Control Engineering, under the leadership of David Kuan, P.E., R.T.E., has a substantial track record in preparing Traffic Management Plans and Construction Traffic Control Plans. Its familiarity with local government requirements will be a great asset in assuring a timely and cost effective project. • Hydrogeology - Geoscience Support Services, Inc., established in 1978 as a California Corporation, is a geohydrologic consulting firm specializing in groundwater resource planning, development, management, and protection. Through the use of state-of-the-art tools and analytical techniques, backed by proven scientific methodology and over three decades of experience, GEOSCIENCE continues to maintain its place at the forefront of technology in the area of basin management, groundwater studies, groundwater modeling, and water well design. Further, that execution of this Agreement by the City does not in any way guarantee that any tasking or request for on-call services will be issued to Consultant. Moreover, execution of this Agreement by the City shall not entitle Consultant to any form of payment or compensation from the City without City first having issued tasking or request for services from Consultant. Section 2: Order of Precedence In the event of a conflict between or among any of the documents comprising this Agreement, the following order of precedence shall govern the provision in question: 1. This Agreement 2. City's Request for Proposal (Exhibit "A") 3. Consultant's Proposal (Exhibit "B") Section 3: Time for Completion The time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant shall prosecute regularly and diligently the work of this Agreement according to reasonable schedules established by the City for various items described and as outlined within Consultant's proposal. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Unless earlier terminated as provided elsewhere in this Agreement, this Agreement shall commence upon the effective date of this Agreement and continue in full force and effect for one (1) year after the effective date of the Agreement. This Agreement may be extended for two (2) additional one (1) year terms at the sole discretion of the City, by the city providing notice to the Consultant of such extension thirty (30) days prior to the expiration of the current term. Section 4: Compensation A. The compensation to be paid under this Agreement shall be on a time and material basis as set forth in the Consultant's proposal and with a not -to -exceed cost to be confirmed by the City for individual assignments. Hourly rates paid shall be in accordance with the billing rates as set forth in Exhibit "B". B. Maximum contract amount in any year, for services rendered pursuant to this Agreement shall not exceed two hundred and fifty thousand dollars ($250,000.00). 2 C. Consultant shall submit detailed invoices, based upon the actual work performed accompanied by backup documentation as requested by the City. D. Progress payments for work completed shall be paid by City as the work progresses, within thirty (30) days of the date of Consultant's invoice. E. Consultant shall provide City with a monthly itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. Section 5: Independent Contractor Consultant's relationship to City in the performance of this Agreement is that of an independent contractor. Consultant's personnel performing services under this Agreement shall at all times be under Consultant's exclusive direction and control and shall be employees of Consultant and not employees of City. Consultant shall pay all wages, salaries and other amounts due its employees in connection with this Agreement and shall be responsible for all reports and obligations respecting them, such as social security, income tax withholding, unemployment compensation, worker's compensation and similar matters. Section 6: Indemnification Consultant agrees to indemnify, defend and hold City, its officers, agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by any person and from all costs, expenses and charges including attorney's fees caused by or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or willful misconduct, or conduct for which the law imposes strict liability on Consultant in the performance or failure to perform this Agreement. Section 7: Insurance A. Consultant shall maintain in full force and effect during the term of this Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall 3 also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the City for losses paid under the policy, which losses arose from the work performed by the named insured. D. Other applicable insurance requirements are: (1) Name the City, its officials and employees as additional insured on the commercial general liability and automobile liability insurance policies. (2) The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, VII (seven) or better (if an admitted carrier) or A-, X (ten) or better (if offered by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept workers' compensation insurance rated B-, VII (seven) or better, or from the State Compensation fund. (3) The insurance shall not be cancelled, except after thirty (30) days written prior notice to the City; and (4) The commercial general liability and automobile liability insurance shall each be primary as respects the City, and any other insurance maintained by the City shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to City certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1)(3) and (4) of Section 7D above and the waiver of subrogation requirement in Section 7C above. If self- insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. Section 8: Termination of Agreement A. City and Consultant shall each have the right to terminate any or all of the services covered by this Agreement at any time or any reason by giving ten (10) business days written advance notice to the other party. B. Upon termination of this Agreement, Consultant shall be paid for services rendered by the effective date of the termination. El W C. Upon termination of this Agreement or completion of the Project, all documents relating to the Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph A. of this Section, Consultant shall within ten (10) business days of receipt of notice of termination, provide City with all documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all completed documents and all drafts of uncompleted documents. Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application of such employment, because of race, religion, color, sex, or national origin including but not limited to, the following: employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of pay or other forms of compensation, and selection for training, including apprenticeship. F. This Agreement shall be interpreted in accordance with California Law. PROJECT DESCRIPTION The City of Tustin, Public Works Department is requesting proposals from qualified Civil Engineering firms to provide consulting services on an "as -needed" basis for projects to be determined during the term of the contract. The contract will be for a one (1) year term with provisions for two -one year extensions with the total term not exceeding three (3) years. The total fees to consultant for all assignments authorized during each year shall not exceed $250,000. The City's Public Works Department has an annual capital improvement program and an operating budget for water related projects. The Department, from time to time, has the need to retain the services of a consulting civil engineering firm to assist in performing preliminary engineering, studies, and project design. Design will include the preparation of plans, specifications, cost estimates, and contract documents for various kinds of projects included in the budget. Mostly the projects involve water main installation and replacement design. However, the assignments may include any aspect of water storage, treatment and distribution of domestic water. The City is desirous of contracting with a civil engineering firm to be available to perform services on an "as -needed" basis when consulting engineering services are needed. The City will issue Task Orders for each project based upon a scope of services, work schedule, and fee proposal submitted to the City for its review and approval. Any tasking shall be initiated solely by the City. Further, execution of a contract by the City does not in any way guarantee that any tasking or request for on-call services will be issued to any party. SCOPE OF WORK Although the City is attempting to identify the limits and services required, this should not unnecessarily limit the consultant in the development of a scope it believes is necessary to meet the City's goals and objectives. In general, the consultant shall perform civil engineering, including geotechnical and surveying, services on an "as -needed" basis for various projects assigned by the City. Preliminary Engineering Prepare alternative preliminary layouts, surveying, geotechnical services, hydraulic system modeling and estimates of probable cost for alternatives, and prepare engineering details, and calculations. Present alternatives and provide recommendations and analyses of the advantages of each alternative. 2. Permits Assist the City in obtaining approvals from applicable agencies for environmental, and/or other permits as may be required. 3. Construction Documents Prepare engineering calculations and designs, plans, specifications, cost estimates, and contract bidding documents. The construction documents shall be reviewed by the City at the preliminary engineering, sixty (60%), ninety percent (90%), and final documents stages. The design engineer will be responsible for all required services; which may include utility coordination, geotechnical investigation, survey, traffic plans, etc. The drawings shall be 24 -inch X 36 -inch ink on mylar media. For all deliverables, the consultant shall adhere to the requirements and conditions specified in Attachment C - City of Tustin Mapping, Plan preparation & Document Requirements. 4. Bidding Stage Assist the City in answering bidders' questions, attend pre-bid conferences and job walks, prepare addenda, analyze bids, and recommend award. 5. Construction Stage Attend pre -construction conference. Monitor construction schedule, visit construction site as required for progress and quality of work. Assist the engineer, contractor, and inspector with interpretation of the plans and specifications, analysis of changed conditions, development of corrective action, review of shop drawings and other submittals, and the review and negotiation of change orders. Prepare "as -built" drawings. It is anticipated that the majority of the assigned projects will involve the design and preparation of plans and specifications for the construction of water distribution improvements. PROPOSAL REQUIREMENTS Although the City requires no specific format, this section is intended to provide guidelines to the consultant regarding features that the City will look for and expect to be included in the proposal. 1. Content & Format The City requests that proposals submitted be organized and presented in a neat and logical format and are relevant to these services. Consultant's proposals shall be clear, accurate, and comprehensive. Excessive or irrelevant material will not be favorably received. Proposals shall contain no more than 10 typed pages using a 10 point minimum font size, including transmittal/offer letter and resumes of key people, but excluding Index/Table of Contents, tables, charts, and graphic exhibits. The purpose of these restrictions is to minimize the costs of proposal preparation and to ensure that the response to the RFP is fully relevant to the project. The proposal should include the following: • Transmittal/offer letter. • Page numbering. • Index/Table of Contents. • Approach. • Team Organization including an organization diagram and time commitment of key staff. • Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract. • Brief resumes of key staff. • Schedule of Hourly Rates and fees in a separate sealed envelope. 2. Approach A description of the firm's approach and work program to meet the city's objectives shall be included. It should explain the technical approach, methodology, and specific tasks and activities that will be performed to address the specific issues and work items. 3. Team Organization The purpose of this section is to describe the organization of the project team including subconsultants and key staff. A project manager and an alternate proiect manager shall be named who shall be the prime contact and be responsible for coordinating all activities with the City. There also should be a brief description of the role and responsibilities of all key staff and subconsultants identified in the team organization. 4. Statement of Qualifications The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. The projects listed should be those that the key staff named for this project were responsible for performing. Information shall include: • Names of key staff that participated on named projects and their specific responsibilities. • The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Completion dates (estimated, if not yet completed). • Total costs of the projects. There should be included in the section brief resumes of key personnel who will provide these services demonstrating their qualifications and experience. Resumes should highlight education, relevant experience, licenses, and specific responsibilities for services described. 5. Fee Proposal Compensation for services provided shall be based upon the consultant's detailed fee proposal to furnish the services detailed in their proposal. A Fee Proposal shall be submitted in a separate, sealed envelope and marked as "Fee Proposal" along with the name of the project. A work program together with a breakdown of labor hours by employee billing classification together with the cost of non -labor and subconsultant services shall be included with the fee proposal. The labor breakdown shall be compiled based upon a listing of work tasks that correlates with the consultant's defined scope of work for the project proposal. This information will be used by the City staff to evaluate the reasonableness of the fee proposal and may be used in negotiating the final fee amounts for the contract agreement. The fee proposal of the three top ranked consultants will be opened at the conclusion of the consultant evaluation and selection process. Fees will not be used to determine the ranking of the consultants. The Fee Proposals of those consultants not ranked in the top three will be returned to them unopened upon award of contract to the selected consultant. CITY OF TUSTIN As -Needed Water Engineering Services - RFP October 2010 Page 6 The City will negotiate the final fee with the top ranked consultant(s). Reimbursable expenses shall not be allowed unless negotiated prior to a contract. Price escalations during the contract term are disfavored and will not be allowed unless negotiated prior to execution of contract. Although no public meetings are anticipated, the fee proposal shall include a unit cost for a public meeting (e.g., $/public meeting) in the event a meeting (or ... additional meetings) will be required. The consultant shall prepare progress billings, reflective of the project schedule and the scope of work completed, by line item and description. 6. Statement of Offer & Signature The Proposal shall contain a statement that the proposals are a firm offer for a 90 - day period and signed by an individual authorized to act on behalf of the firm. V. GENERAL REQUIREMENTS . Insurance Requirements The consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: A. General Liability and Automobile Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. B. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made" policy is acceptable). If consultant provides "claims made" coverage, consultant shall also agree in writing to either: i. Purchase Tail Insurance in the amount required by the resulting agreement to cover claims made within five years of completion of consultant's services under the agreement. ii. The consultant shall provide written evidence of either form by executing the attached letter agreement (Attachment B) on consultant letterhead. C. Worker's Compensation Coverage - State statutory limits. Deductibles, Self -Insurance Retentions, or Similar Forms of Coverage Limitations or Modifications, must be declared to and approved by the City of Tustin. The consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. The City shall be named as Additional Insured and no Policy may be modified or cancelled prior to thirty (30) days written notice. Certificates of insurance and insurer endorsements evidencing the required insurance shall be provided. 2. Standard Form of Agreement The consultant will enter into an agreement with the City based upon the contents of the RFP and the consultant's proposal. The City's standard form of agreement is included as Attachment A. The consultant shall carefully review the agreement, and include with the proposal a description of any exceptions requested to the standard contract. If there are no exceptions, a statement to that effect shall be included In the proposal. 3. Disclaimer This RFP does not commit the City to award a contract, or to pay any costs incurred in the preparation of the proposal. The City reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified consultant, or to cancel this RFP in part or in its entirety. The City may require the selected consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. 4. Assigned Representatives The City will assign a responsible representative to administer the contract, and to assist the consultant in obtaining information. The consultant also shall assign a responsible representative (project manager) and an alternate, who shall be identified in the proposal. If the consultant's primary representative should be unable to continue with the project, then the alternate representative identified in the proposal shall become the project manager. The City reserves the right to review and approve/disapprove all key staff and subconsultant substitution or removal, and may consider such changes not approved to be a breach of contract. 5. City Business License A city business license will be required of the consultant and any subconsultants for services under this agreement. VI. CONSULTANT EVALUATION b SELECTION PROCESS The City's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points) based upon the weighting indicated below: 1. Approach and work plan to achieve specified city objectives. (25 points) 2. Qualifications and experience of the project manager and other key individuals. (40 points) 3. Results of reference checks. (15 points) Reference checks will only be conducted for a short list of firms or the top rated firm. 4. Clarity of proposal. (10 points) 5. Compliance with proposal requirements including the 10 page limitation. (10 points) The City may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The City staff will negotiate a contract with the one or two best qualified firms for the desired consulting services. Should the City staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the City staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. Please refrain from making any verbal inquires or requests for a formal debriefing related to the subject RFP until the City of Tustin completes the ongoing contract process. The City of Tustin's Rights to Proposals All proposals, upon submission to the City of Tustin shall become its property for use as deemed appropriate. By submitting a proposal, the offerer covenants not to make any claim for or have any right to damages because of any misinterpretation or misunderstanding of the specification, or because of any misinformation or lack of information. The City of Tustin has the following prerogatives with regard to proposals submitted: - to accept or reject any or all proposals; - to correct any arithmetic errors in any or all proposals submitted; - to utilize any or all the ideas from proposals submitted; - to change the proposal's due date upon appropriate notification; - to adopt any or all of an offerer's proposal; and - to negotiate modifications to the scope and fee with selected offerer prior to contract award. Consultant shall pay all wages, salaries and other amounts due its employees in connection with this Agreement and shall be responsible for all reports and obligations respecting them, such as social 2 security, income tax withholding, unemployment compensation, worker's compensation and similar matters. Section 6: Indemnification Consultant agrees to indemnify, defend and hold City, its officers, agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by any person and from all costs, expenses and charges including attorney's fees caused by or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or willful misconduct, or conduct for which the law imposes strict liability on Consultant in the performance or failure to perform this Agreement. Section 7: Insurance A. Consultant shall maintain in full force and effect during the term of this Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the City for losses paid under the policy, which losses arose from the work performed by the named insured. D. Other applicable insurance requirements are: (1) Name the City, its officials and employees as additional insured on the commercial general liability and automobile liability insurance policies. (2) The insurance shall be issued by a company authorized by the Insurance Department of the State of California and 3 rated A, VII (seven) or better (if an admitted carrier) or A-, X (ten) or better (if offered by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept workers' compensation insurance rated B-, VII (seven) or better, or from the State Compensation fund. (3) The insurance shall not be cancelled, except after thirty (30) days written prior notice to the City; and (4) The commercial general liability and automobile liability insurance shall each be primary as respects the City, and any other insurance maintained by the City shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to City certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1)(3) and (4) of Section 7D above and the waiver of subrogation requirement in Section 7C above. If self- insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. Section 8: Termination of Agreement A. City and Consultant shall each have the right to terminate any or all of the services covered by this Agreement at any time or any reason by giving ten (10) business days written advance notice to the other party. B. Upon termination of this Agreement, Consultant shall be paid for services rendered by the effective date of the termination. C. Upon termination of this Agreement or completion of the Project, all documents relating to the Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph A. of this Section, Consultant shall within ten (10) business days of receipt of notice of termination, provide City with all documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all completed documents and all drafts of uncompleted documents. This Agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties hereto. D. Consultant shall perform all services required under this Agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. E. Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application of such employment, because of race, religion, color, sex, or national origin including but not limited to, the following: employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of pay or other forms of compensation, and selection for training, including apprenticeship. F. This Agreement shall be interpreted in accordance with California Law. Holland City Attorney SACSA & RFPICSA - Tail Insurance - Long.doc ATTACHMENT C CITY OF TUSTIN MAPPING, PLAN PREPARATION & DOCUMENTATION REQUIREMENTS CITY OF TUSTIN MAPPING, PLAN PREPARATION, & DOCUMENTATION REQUIREMENTS As an integral part of the City of Tustin's Infrastructure Mapping & Engineering system, computer-aided drafting and design (CADD) and geographic information system (GIS) standards have been established to provide a systematic method of transferring and exchanging of data between the City and outside engineers and other consultants. Standards for file format, layering, line types, and other conventions are necessary in order to manage the large amounts of data that comprise the City's digital base map, and allow progressive expansion of the data base into future mapping and GIS applications. Layering and linetype conventions are AutoCAD -based (latest version attached herewith). In order to interchangeably utilize the data contained in the infrastructure mapping system, CADD drawings must be in AutoCAD "DWG" format. Engineers and other consultants are requested to provide data to the City in AutoCAD format (i.e., in compliance with the DWG file format and the City's layering and linetype standards) as their projects are completed and submitted to the City for final acceptance. For projects that span an extended period of time, interim drawing files, in AutoCAD format, may be requested. Although most consulting engineers routinely utilize CADD programs, there may be a few that do not. For this reason, an option may be included to allow the developer to submit manually prepared plans and, in lieu of CADD files, provide a cash deposit to the City to have the drawings converted into digital CADD format (i.e., scanned images are not acceptable). This deposit would cover the cost of computerized data entry of key information shown on the improvement plans. The complexity and costs associated with the CADD conversion would vary with the complexity of the development project. Any excess deposit would be returned to the developer. MA -_G To the extent possible, mapping shall be prepared to engineering accuracy (i.e., to two decimal places) based on available improvement plans, right-of-way maps, parcel maps, and tract maps. When information from different sources appears to conflict, assumptions shall be documented and the City shall be notified in writing. Preliminary CADD drawings may be plotted on reproducible bond paper. Final CADD drawings shall be plotted on 4 mil thick mylar and provided to the City as a deliverable product. -1- (Revised July 18, 2005) Final CADD mapping files may be delivered to the City on a CD. Distribution Facilitic: Upon review of upcoming projects in the City's CIP program, it appears that the City has a number of water main replacement projects on the horizon. Further, the City is planning to conduct a modeling effort to identify fire flow requirements in the system. This would be a first step to determining whether there are strategic pipeline replacement projects that would alleviate hydraulic deficiencies in the system. We highlight our team's modeling capabilities on page 5 of this Approach section. We have solved challenges related to dewatering, settlement, corrosion prevention, and cathodic protection to ensure long-term reliable operations of construction facilities. Materials of construction have ranged from PVC, mortar lined and/or tape coated steel, and ductile iron. Diameters have ranged from small (4 to 16 inches) to medium (24 to 78 inches), to very large such as the 33 -foot diameter cement mortar lined/coated steel for the Department of Water Resources on the Delta Habitat Conservation and Conveyance Program. Over the last several years, we have worked closely with Southern California agencies to resolve distribution system issues. In order to respond to a recent Metropolitan emergency request on the Rialto Pipeline, Black & Veatch team completed the design such that the new sectionalizing facilities could be placed into service three months prior to the actual final completion of the facilities construction. This is just one example of our conveyance and piping design experience. Our project team has completed hundreds of miles of distribution pipeline studies and designs and MMI look forward to working with the City for your pipeline replacement needs. Technical Understanding. The design of water pipelines requires specialized experience to evaluate the technical issues including the need for bedding and backfill, joint designs, shipping and handling. B&V has prepared numerous sets of plans, specifications, and details addressing each of these critical design and construction components. We plan on using this proven approach on your as -needed pipeline projects. In addition to open trench installation, B&V is at the top of its class when it comes to trenchless technologies. We've included Dr. Chris Mueller as a trenchless pipelaying expert on our team who has more than 24 years of experience with trenchless technologies such as microtunneling. Microtunneling can be an attractive option when the alignment is through a sensitive or highly -developed community. Such infrastructure are certainly interrelated and planning, rehabilitation and expansion of these facilities are paramount for a well-maintained water system. Some local groundwater supplies are nitrate and TDS- impaired, requiring treatment at the City's 17th Street Desalter (reverse osmosis for nitrate and TDS reduction) and/or the Main Street Plant (RO or IX for nitrate reduction). Groundwater blending is also practiced to maintain a cost-effective balance between water supply and meeting water quality regulations. Our proposed team is very familiar with local groundwater treatment issues and blending strategies, not only between groundwater supplies but also with imported water from Metropolitan. Members of our team have been assisting the Chino Basin Watermaster and the Inland Empire in implementing groundwater management strategies for the past decade. We recently completed planning of the 100,000 acre-foot Dry -Year Yield Project and planing and design of the City of Upland IX Facility. Both of these projects required a comprehensive knowledge of local groundwater contaminant issues and the best available technologies. Our Team also recently completed work on the City of Santa Monica Charnock Groundwater Restoration Project, a design -build project including the use of R0, GAC and pressure filtration for MTBE and VOC removal. Our experience has enabled our team to Tustin Main St. 2.2 ✓ maintain close communication with Sand Canyon 7 ✓ CDPH personnel which allows us to Azusa 4 ✓ Rialto Highlands 5 ✓ streamline coordination during Twin oaks 22 ✓ design. Nacimiento (3 tanks) 2 ✓ Maintaining adequate storage is required not only for meeting current and planned water demands, but also to meet required fire flow demands. The initial planned fire flow modeling work will enable our team to evaluate the City's storage needs. Our Team is also well -versed in planning and design of all types of reservoir construction, including steel, cast -in-place (CIP), and pre -stressed. Our Team prepared the design of several steel tanks for the Fontana Water Company Sandhill WTP, design of a 4 MG pre -stressed tank for Azusa Light & Water, and a 7 MG CIP tank for the Castaic Lake Water Agency. Steel is economical; however, recoating costs should be factored into the present value of the facility. CIP tanks are likely the most costly, but they can be designed to fit into irregularly-shaped lots and can be buried. Pre -stressed reservoirs require minimal maintance and can be buried; however, they are initially more costly than steel tanks. Aesthetic and hydraulic constraints would certainly be considered during any new storage evaluation. Our team is also familiar with strategies for water mixing, both mechanical mixing and alternative inlet/outlet configurations. Seismic considerations should also be reviewed and our team is experienced with design of Flex -Tend couplings and the use of seismic actuators. City of Tustin, California Hydraulic Modeling & Planning Studies B&V's experience with hydraulic modeling makes us ideally suited to meet the City's upcoming modeling needs. B&V together with our subconsultant, ID Modeling, have extensive experience with H20Net, H20Map Water, and InfoWater. Our modeling efforts would be coordinated by our Hydraulic Modeling & Planning Studies Task Leader, James Strayer, who would be supported by our team of master planners, hydraulic modelers, and GIS experts. Based on conversations with City staff, we understand that an initial task would be to analyze the City's H20Net model for fire flow scenarios. Based on our experience, the following represents general steps and potential challenges to consider when employing fire flow testing and global fire flow simulations: 1. Fire Hydrant Testing for Steady State Model Calibration: There are varying levels of steady state calibration, including macro and micro calibration. Micro calibration is recommended to establish a minimum level of confidence to perform subsequent fire flow simulations and involves conducting strategic and coordinated field testing to open (flow) fire hydrants and take residual pressures at neighboring hydrants which will be impacted by the flowing hydrant. By performing these tests throughout the system, the City can benefit from multiple field readings under stressed system conditions with which to calibrate. Results from this type of calibration typically produce the following system findings and benefits: disconnects in the model, partially closed valves, inaccurate PRV settings and controls, out -dated pump curves, inaccurate pump controls, refined c -factors, among others. 2. Fire Flow Simulations for System -wide Deficiency Identification: The above approach to steady state calibration allows the City to perform global fire flow simulations to run the designated fire flow criteria (typically based on fire department land use requirements) for each hydrant -junction. This simulation can be performed repeatedly, and automatically across all junctions, one after the next, until the H20Net software generates an available flow at each hydrant -junction for a residual pressure of 20 psi (or other specified). This enables the model to generate available flow contours based on excess and deficient flows vs. the required fire flow for subsequent CIP development to address deficiencies. Other out-of-pocket direct project expenses (aerial photos, long-distance telephone calls, permits, outside printing services, tests, etc.) are charged at cost plus fifteen percent. Invoices Invoices will be submitted to the Client on a monthly basis, and a final bill will be submitted upon completion of services. Payment is due upon presentation of invoice and is past -due thirty days from invoice date. In the event Client fails to make any payment to Converse when due, Converse may immediately cease work hereunder until said payment, together with a service charge at the rate of eighteen percent per annum (but not exceeding the maximum allowed by law) from the 'due date, has been received. Further, Converse may at its sole option and discretion refuse to perform any further work irrespective of payment from Client in the event Client fails to pay Converse for services when said payments are due. Client shall pay attorneys' fees or other costs incurred in collecting any delinquent amount. Prices are based on the assumption that samples are uncontaminated and do not contain heavy metals, acids, carcinogens and/or volatile organics which can be measured by an organic vapor analyzer or photoionization detector with a concentration greater than 50 parts -per -million (ppm). Quoted testing fees are based on the assumption that no protective clothing will be required to handle samples. If Level D protective clothing will be required during handling of samples (as defined in the Federal CFR Part 1910.120), then a 40% increase in fees presented in this schedule will be applied. Level C protective clothing will be a 60% increase in fees. Converse will not handle samples that require either Level B or Level A protection in our geotechnical laboratories. Contaminated samples will be returned to the client. Uncontaminated samples will be disposed of 30 days after presentation of test results. The client must disclose the source of samples. Samples imported from out of state will be incinerated after testing, in accordance with requirements of the United States Department of Agriculture. Soil samples obtained within the State of California currently designated quarantine areas will also be incinerated in accordance with the requirement of the State of California, Department of Food and Agriculture, Division of Plant Industry, Pest Exclusion. A $5.00 incineration fee will be added to each sample that is required to be incinerated in accordance with State and Federal law. Test results requiring plots will be presented in a publishable format generated from computer programs. Otherwise, raw test numbers will be presented. A minimum laboratory fee of $50.00 will be charged to present and mail test results. Beyond the standard U. S. Mail delivery, specialized transmittal will be charged at additional cost (e.g., Federal Express, UPS, etc.). Geotechnical testing does not include engineering and/or geologic review and analysis. Typical turn -around for geotechnical laboratory testing is two weeks (or roughly ten working days). To expedite test turn -around to five working days, a 50% increase in the fees in this schedule will be applied. Many geotechr:-al tests require at least one week to perform in accordance with the ASTM or other standard specifications. Fees presented in this schedule for relatively undisturbed direct shear, consolidation or expansion pressure tests are based on the assumption that 22 -inch -diameter (2.416 -inch inside diameter) brass ring samples will be provided to the geotechnical laboratory for testing. Remolded specimens will be compacted in standard 2.5 -inch outside diameter brass rings for direct shear, consolidation and expansion pressure tests. All fees presented in this schedule are based on the assumption that the client will deliver samples to our laboratory at no additional cost to Converse. Invoices will be issued monthly and are payable on receipt unless otherwise agreed upon. We have executed the City's Consultant Services Agreement (CSA) for past projects and are prepared to execute a new contract with the City for this project using your standard contract forms. As a matter of identification, the contracting entity for our firm is Black & Veatch Corporation. Black & Veatch has reviewed the City's standard CSA that was included in its RFP packet. Upon review, we are confident we can enter into a Contract with the City and our prior project experience is a testament for this We do, however, request the City's consideration of the following edits to its CSA: RFP Section V.I, third to last line from the end, delete "modified or". Rationale/Issue: Our insurer will not agree to such notification. 2. RFP Section V.I, second to last sentence, add "as regards to General Liability and Automobile Coverage" after "Additional Insured". Rationale/Issue: Only these policies can add an Agency as an additional insured.
