HUSTON, EXECUTIVE DIRECTOR FROM: REDEVELOPMENT AGENCY & PUBLIC WORKS DEPARTMENT SUBJECT: APPROVE CONSULTANT MANAGEMENT SERVICES 70100 & 70206) SERVICES AGREEMENT FOR CONSTRUCTION FOR THE TUSTIN RANCH ROAD PROJECT (CIP SUMMARY Approval of the subject Consultant Services Agreement will provide necessary construction management services for the Tustin Ranch Road Project and also will enable the City to move forward with pre-construction activities including a final constructability review prior to the upcoming bid process for the project. RECOMMENDATION It is recommended that the Board of Directors of the Tustin Redevelopment Agency: 1. Approve the Consultant Services Agreement (CSA) with Parson Transportation Group, Inc. ("Parsons") for Construction Management services for the Tustin Ranch Road Project (CIP No. 70100 & 70206) and authorize the Executive Director or the Assistant Executive Director of the Redevelopment Agency to execute the Agreement on behalf of the City, subject to approval as to form by the City Attorney. 2. Appropriate $1,882,075 from unappropriated funds in the MCAS 2010 Tax Allocation Bond Proceeds Fund (561) to the Tustin Ranch Road Extension Project Capital Improvement Program Fund of which $1,129,245 shall be transferred to the CIP facility covering that portion of the project between Walnut Avenue and Valencia Avenue (CIP No. 70100), and $752,830 shall be transferred to the CIP facility covering that portion of the project between Valencia Avenue and Warner Avenue (CIP No. 70206). FISCAL IMPACT Services under the Consultant Services Agreement will include primary support from Parsons for construction management services as well as construction support services from a number of sub- consultants under Parsons' supervision fora not to exceed total compensation amount of $1,882,075. Current Consultant Agreements for the Tustin Legacy project are attached to this report with the cost of the Parsons Consultant Services Agreement included. DISCUSSION/BACKGROUND The Tustin Ranch Road Project has been in the planning stages for over 30 years. Plans are nearly complete for construction of this vital roadway link. The proposed consultant will provide pre-construction, construction and post construction management services as part of this contract. Construction Management Services for Tustin Ranch Road May 3, 2011 Page 2 The major tasks covered under this CSA are a constructability review, apre-construction survey of the site, construction oversight, inspection, quality assurance, and material testing services. Proposals to provide these services were solicited from eleven (11) qualified construction management firms and six (6) proposals were received. Based upon the proposals and familiarity and experience with the work required, three (3) top ranked firms were selected for an interview. Combined results of the interviews and the proposals were used to select the top ranked firm. It was determined that Parsons is the most qualified to provide the construction management services required for this project. City staff negotiated with Parsons for the desired consulting services and the fee for this work has been deemed fair and reasonable. ~!L `~ ~~~~~ Christine A. WHEREAS, Agency requires the services of an expert consultant to provide construction management and support services for the Tustin Ranch Road project (CIP No. 70100 & 70206) and Consultant has agreed to provide such services; and WHEREAS, Agency has identified a scope of work for said services, a copy of which is attached as Exhibit "A", and is by this reference incorporated herein as though set forth in full hereto (the "Scope of Services"); and WHEREAS, Consultant has submitted to Agency a proposal, dated March 17, 2011, amended in response to Agency questions on April 4, 2011, a copy of which is attached hereto as Exhibit "B", and is by this reference incorporated herein as though set forth in full hereto (the "Proposal"); and WHEREAS, based on experience and reputation, Consultant and its' team are qualified to provide the necessary services and have agreed to provide such services. NOW, THEREFORE, in consideration of the premises and mutual agreements contained herein, Agency agrees to employ and does hereby employ Consultant and Consultant agrees to provide consulting services as follows: 1. SERVICES OF CONSULTANT 1.1 Scope of Services. In compliance with all terms and conditions of this Agreement, Consultant shall provide those services specified in the "Scope of Services" attached hereto as Exhibit "A" and in the Proposal attached hereto as Exhibit "B" incorporated herein by this reference, (collectively, the "services" or the "work"). Consultant warrants that all services shall be performed in a competent, professional and satisfactory manner in accordance with all standards prevalent in the industry. In the event of any inconsistency between the terms contained in Exhibit "A" or Exhibit "B" and the terms set forth in the main body of this Agreement, the terms set forth in the main body of this Agreement shall govern. 1.2 Compliance with Law. All services rendered hereunder shall be provided in accordance with all laws, ordinances, resolutions, statutes, rules, and regulations of the City of Tustin and Tustin Community Redevelopment Agency and of any federal, state or local governmental agency of competent jurisdiction. 1.3 Licenses and Permits. Consultant shall obtain at its sole cost and expense such licenses, permits and approvals as may be required by law for the performance of the services required by this Agreement. 1.4 Familiarity with Work. By executing this Contract, Consultant warrants that Consultant (a) tiffs thoroughly evaluated, investigated and considered the work to be performed, (b) has investigated the site of the work and become acquainted with the visible conditions there existing, (c) has carefully considered how the work should be performed, and (d) fully understands the facilities, difficulties and restrictions attending performance of the work under this Agreement. Should the Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by the Agency, Consultant shall immediately inform Agency of such fact and shall not proceed with any work except at Consultant's risk until written instructions are received from the Contract Officer. 1.5 Care of Work. Consultant shall adopt and follow reasonable procedures and methods during the term of the Agreement to prevent loss or damage to materials, papers or other components of the work, and shall be responsible for all such damage until acceptance of the work by Agency, except such loss or damages as may be caused by Agency's own negligence. 1.6 Additional Services. Consultant shall perform services in addition to those specified in the Proposal when directed to do so in writing by the Contract Officer, provided that Consultant shall not be required to perform any additional services without compensation. Any additional compensation not exceeding ten percent (10%) of the original Contract sum must be approved in writing by the Contract Officer. Any greater increase must be approved in writing by the Executive Director. 1.7 Special Requirements. Any additional terms and conditions of this Agreement, are set forth in Exhibits "C", "D" and "E" and are incorporated herein by this reference. In the event of a conflict between the provisions of Exhibit "A" and "B" and Exhibits "C", "D", and "E", the provisions of Exhibits "C", "D", and "E" shall govern. 2. COMPENSATION 2.1 Compensation of Consultant. For the services rendered pursuant to this Agreement, the Consultant shall be compensated and reimbursed only such amount as are prescribed in Exhibit "D" in an amount not to exceed one million eight hundred and eighty-two thousand and seventy-five Dollars ($_1,882,075). 2.2 Method of Payment. In any month in which Consultant wishes to receive payment, Consultant shall no later than the first working day of such month, submit to Agency in the form approved by Agency's Director of Finance, an invoice for services rendered prior to the date of the invoice. Agency shall pay Consultant for all expenses stated thereon which are approved by Agency consistent with this Agreement, no later than the last working day of said month. 2.3 Changes. In the event any change or changes in the work is requested by Agency, the parties hereto shall execute an addendum to this Agreement, setting forth with particularity all terms of such addendum, including, but not limited to, any additional Consultant's fees. Addenda may be entered into: A. To provide for revisions or modifications to documents or other work product or work when documents or other work product or work is required by the 2 enactment or revision of law subsequent to the preparation of any documents, other work product or work; B. To provide for additional services not included in this Agreement or not customarily furnished in accordance with generally accepted practice in Consultant's profession. 2.4 Payment for Changes. Changes approved pursuant to an Addendum shall be compensated at the personnel hourly rates prescribed in Exhibit "D" hereto. Note: Exhibit "D" prohibits billing for travel. 3. PERFORMANCE SCHEDULE 3.1 Time of Essence. Time is of the essence in the performance of this Agreement. 3.2 Schedule of Performance. All services rendered pursuant to this Agreement shall be performed within any time periods prescribed in any Schedule of Performance attached hereto marked Exhibit "D". The extension of any time period specified in Exhibit "D" must be approved in writing by the Contract Officer. 3.3 Force Majeure. The time for performance of services to be rendered pursuant to this Agreement may be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of the Consultant, including, but not restricted to, acts of God or of a public enemy, acts of the government, fires, earthquakes, floods, epidemic, quarantine restrictions, riots, strikes, freight embargoes, and unusually severe weather if the Consultant shall within ten (10) days of the commencement of such condition notify the Contract Officer who shall thereupon ascertain the facts and the extent of any necessary delay, and extend the time for performing the services for the period of the enforced delay when and if in the Contract Officer's judgment such delay is justified, and the Contract Officer's determination shall be final and conclusive upon the parties to this Agreement. 3.4 Term. Unless earlier terminated in accordance with Section 7.7 of this Agreement, this Agreement shall continue in full force and effect until satisfactory completion of the services but not exceeding twenty-four (24) months from the date hereof, unless extended by mutual written agreement of the parties. 4. COORDINATION OF WORK 4.1 Representative of Consultant. The following Principals of the Consultant is hereby designated as being the principals and representatives of Consultant authorized to act in its behalf with respect to the work specified herein and make all decisions in connection therewith: Timothy Maurier and Jason Majzoub 2201 Dupont Drive, Suite 200 Irvine, Calif. 92612 (949) 333-4500 3 It is expressly understood that the experience, knowledge, capability and reputation of the foregoing Principals is a substantial inducement for Agency to enter into this Agreement. Therefore, the foregoing Principals shall be responsible during the term of this Agreement for directing all activities of Consultant and devoting sufficient time to personally supervise the services hereunder. The foregoing Principals may not be changed by Consultant without the express written approval of Agency. 4.2 Contract Officers. The Contract Officers shall be the Assistant City Manager/Agency's Assistant Executive Director and the Director of Public Works/City Engineer unless otherwise designated in writing by the Executive Director of Agency. It shall be the Consultant's responsibility to Keep the Contract Officers fully informed of the progress of the performance of the services and Consultant shall refer any decisions which must be made by Agency to the Contract Officers. Unless otherwise specified herein, any approval of Agency required hereunder shall mean the approval of the Contract Officers. 4.3 Prohibition Against Subcontracting or Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the Agency to enter into this Agreement. Therefore, Consultant shall not contract with any other entity to perform in whole or in part the services required hereunder without the express written approval of the Agency. In addition, neither this Agreement nor any interest herein may be assigned or transferred, voluntarily or by operation of law, without the prior written approval of Agency. 4.4 Independent Contractor. Neither the Agency nor any of its employees shall have any control over the manner, mode or means by which Consultant, its agents or employees perform the services required herein, except as otherwise set forth herein. Consultant shall perform all services required herein as an independent contractor of Agency and shall remain at all times as to Agency a wholly independent contractor with only such obligations as are consistent with that role. Consultant shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of Agency. Consultant shall be solely responsible for compliance with State and Federal Law with respect to the wages, hours, benefits, and working conditions of its employees, including requirement for payroll deductions for taxes. Employees or independent contractors of Consultant are not Agency employees. 5. INSURANCE /INDEMNIFICATION 5.1 Insurance. A. Consultant shall maintain in full force and effect during the term of these Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of a minimum of $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of a minimum of $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this 4 Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, Qr (2) to maintain professional liability insurance coverage with the same carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the Agency of the purchase of the required tail insur«r~ce or continuation of the professional liability policy by executing the attached letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the Agency for fosses paid under the policy, which losses arose from the work performed by the named insured. D. Other applicable insurance requirements are: (1) name the Agency, its officials and employees as an additional insured on the commercial, general and automobile policies; (2) the insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, Vlf or better (if an admitted carrier) or A-, X (if offered, by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the Agency will accept workers' compensation insurance rated B-VIII or better or from the State Compensation Fund; (3) the Insurance shall not be cancelled, except after thirty (30) days written prior notice to the Agency, unless in the event of non-payment of premium in which case said notice may be ten (10) days; and (4) the commercial, general and automobile liability insurance shall each be primary as respects the Agency, and any other insurance maintained by the Agency shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to Agency certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1), (3) and (4) of Section D above and the waiver of subrogation requirement in Section C above. If self- insured for worker's compensation, Consultant shall submit to Agency a copy of its certification of self-insurance issued by the Department of Industrial Relations. 5.2 Indemnification. The Consultant shall defend, indemnify and hold harmless the Agency, its officers and employees, from and against any and all actions, suits, proceedings, claims, demands, losses, costs, and expenses, including legal costs and attorneys' fees, for injury to or death of person or persons, for damage to property, including property owned by Agency, arising from errors and omissions of Consultant, its officers, employees and agents, to the extent caused by Consultant's performance under this Agreement, except for such loss as may be caused by Agency's sole negligence or that of its officers or employees. The Consultant shall also defend, indemnify and hold the Agency harmless from any claims or liability for Agency health and welfare, retirement benefits, or any other benefits of part-time or fulltime City employment sought by Consultant's officers, employees, or independent contractors, whether legal action ,administrative proceeding or pursuant to State statue. 6. RECORDS AND REPORTS 5 6.1 Reports. Consultant shall periodically prepare and submit ,to the Contract Officer such reports concerning the performance of the services required by this Agreement as the Contract Officer shall require. 6.2 Records. Consultant shall keep such books and records as shall be necessary to properly perform the services required by this Agreement and enable the Contract Officer to evaluate the performance of such services. The Contract Officer shall have full and free access to such books and records at all reasonable times, including the right to inspect, copy, audit and make records and transcripts from such records. 6.3 Ownership of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant in the performance of this Agreement shall be the property of Agency and shall be delivered to Agency upon request of the Contract Officer or upon the termination of this Agreement, and Consultant shall have no claim for further employment or additional compensation as a result of the exercise by Agency of its full rights or ownership of the documents and materials hereunder. Consultant may retain copies of such documents for its own use. Consultant shall have an unrestricted right to use the concepts embodied therein. 6.4 Release of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant in the performance of services under this Agreement shall not be released publicly without the prior written approval of the Contract Officer. 7. ENFORCEMENT OF AGREEMENT 7.1 California Law. This Agreement shall be construed and interpreted both as to validity and to performance of the parties in accordance with the laws of the State of California. Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Orange, State of California, or any other appropriate court in such county, and Consultant covenants and agrees to submit to the personal jurisdiction of such court in the event of such action. 7.2 Disputes. In the event of any dispute arising under this Agreement, the injured party shall notify the injuring party in writing of its contentions by submitting a claim therefor. The injured party shall continue performing its obligations hereunder so long as the injuring party cures any default within ninety (90) days after service of the notice, or if the cure of the default is commenced within thirty (30) days after service of said notice and is cured within a reasonable time after commencement; provided that if the default is an immediate danger to the health, safety and general welfare, the Agency may take immediate action under Section 7.6 of this Agreement. Compliance with the provisions of this Section shall be a condition precedent to any legal action, and such compliance shall not be a waiver of any party's right to take legal action in the event that the dispute is not cured. 7.3 Waiver. No delay or omission in the exercise of any right or remedy of anon-defaulting party on any default shall impair such right or remedy or be construed as a waiver. No consent or approval of Agency shall be deemed to waive or render unnecessary Agency's consent to or approval of any subsequent act of Consultant. Any 6 waiver by either party of any default must be in writing ar~d shall not be a waiver of any other default concerning the same or any other provision of this Agreement. , 7.4 Rights and Remedies are Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the parties are cumulative and the exercise by either party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party. 7.5 Legal Action. In addition to any other rights or remedies, either party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain injunctive relief, a declaratory judgment or any other remedy consistent with the purposes of this Agreement. 7.6 Termination Prior to Expiration of Term. The Agency reserves the right to terminate this Agreement at any time, with or without cause, upon thirty (30) days written notice to Consultant, except that where termination is due to the fault of the Consultant and constitutes an immediate danger to health, safety and general welfare, the period of notice shall be such shorter time as may be appropriate. Upon receipt of the notice of termination, Consultant shall immediately cease all services hereunder except such as may be specifically approved by the Contract Officer. Consultant shall be entitled to compensation for all services rendered prior to receipt of the notice of termination and for any services authorized by the Contract Officer thereafter. 7.7 Termination for Default of Consultant. If termination is due to the failure of the Consultant to fulfill its obligations under this Agreement, Agency may take over the work and prosecute the same to completion by contract or otherwise, and the Consultant shall be liable to the extent that the total cost for completion of the services required hereunder exceeds the compensation herein stipulated, provided that the Agency shall use reasonable efforts to mitigate damages, and Agency may withhold any payments to the Consultant for the purpose of set-off or partial payment of the amounts owed to Agency. 7.8 Attorneys Fees. If either party commences an action against the other party arising out of or in connection with this Agreement or it subject matter, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs of suit from the losing party. 8. AGENCY AND CITY OFFICERS AND EMPLOYEES; NON- DISCRIMINATION 8.1 Non-Liability of City Officers and Employees. No officer or employee of Agency or City shall be personally liable to the Consultant, or any successor-in-interest, in the event of any default or breach by the Agency or for any amount which may become due to the Consultant or its successor, or for breach of any obligation of the terms of this Agreement. 8.2 Covenant Against Discrimination. Consultant covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that 7 there shall be no discrimination or segregation in the performance of or in connection with this Agreement regarding any person or group of persons on account of race, color, greed, religion, sex, marital status, national origin, or ancestry. Consultant shall take affirmative action to insure that applicants and employees are treated without regard to their race, color, creed, religion, sex, marital status, national origin, or ancestry. 9. MISCELLANEOUS PROVISIONS 9.1 Notice. Any notice, demand, request, consent, approval, or communication either party desires or is required to give to the other party or any other person shall be in writing and either served personally or sent by pre-paid, first-class mail to the address set forth below. Either party may change its address by notifying the other party of the change of address in writing. Notice shall be deemed communicated forty- eight (48) hours from the time of mailing if mailed as provided in this Section. This Agreement contains all of the agreements of the parties and cannot be amended or modified except by written agreement. 9.3 Amendment. This Agreement may be amended at any time by the mutual consent of the parties by an instrument in writing. 9.4 Severability. In the event that any one or more of the phrases, sentences, clauses, paragraphs, or sections contained in this Agreement shall be declared invalid or unenforceable by valid judgment or decree of a court of competent jurisdiction, such invalidity or unenforceability shall not affect any of the remaining phrases, sentences, clauses, paragraphs, or sections of this Agreement, which shall be interpreted to carry out the intent of the parties hereunder. s 9.5 Corporate Authority. The persons executing this Agreement on behalf of the parties hereto vYarrant that they are duly authorized to execute this Agreement on behalf of said parties and that by so executing this Agreement the parties hereto are formally bound to the provisions of this Agreement. 9.6 Assignment. The City of Tustin is not a party to this Agreement at the time this Agreement is approved. However, the Agency shall have the right, in its sole discretion, at any time and for any reason, to assign all of its rights and obligations hereunder to the City of Tustin. In the event of such assignment, written notice of such assignment shall be provided to Consultant, and all references herein to Agency shall thereafter refer to the City of Tustin. 9 IN WITNESS WHEREOF, the parties have executed this Agr~;ement as of the dates stated below. The Agency intends to contract with the most qualified firm for construction phase services as outlined in Section IV, Scope of Work. The current construction project was designed as separate plan sets and will be combined into two construction contract documents; an initial phase encompassing grading and storm drain work and a second phase consisting of remaining wet utilities, dry utilities, street improvements, the Edinger overpass bridge, traffic signals, and landscaping. The plans, specifications and estimates are near completion. It is expected that the contract bid advertisement process for the initial phase of construction will begin in May 201 1 with the construction anticipated to start in July 201 1. The bid process for the second phase will begin in approximately August 2011 with that construction anticipated to start in October 201 1. The entire construction period is estimated at 2+ years. The project entails construction management services and construction support services for the project including coordination, as may be necessary, with multiple agencies/entities possibly including the Calif. Dept. of Toxic Substances Control (DTSC), the Regional Water Quality Control Board, (RWQCB), the Southern Calif. Air Quality Management District (SCAQMD), Orange County Transportation Authority (OCTA), The Southern California Regional Rail Authority (SCRRA), Irvine Ranch Water District (IRWD), Orange County Sanitation District (OCSD), the Orange County Flood Control District (OCFCD), and other utility companies. The project is 100`0 locally funded utilizing several funding sources. Since the project in certain locations is adjacent to existing residences and an industrial business park, coordination and communication with local businesses and residences regarding construction delays ar~d closures is a critical concern. Construction Management (CM) services provided by the selected firm are to also include resident engineering and construction inspection services headquartered on the site. The Resident Engineer (RE) and field staff shall be supported with construction check survey and materials testing as a part of the CM team. The Agency is requesting construction services for pre-construction activities through construction close out as detailed within this RFP. We anticipate that the construction management proposal responses shall separately identify the costs of primary construction management services and also any separately needed construction support services (such as engineering and construction inspection, and materials testing services). Construction management services shall not exceed the actual reasonable costs for construction management services, which costs shall not exceed $1,000,000, or 3% of any construction bid amounts, whichever is less. PROJECT DESCRIPTION The Tustin Ranch Road project consists of the construction of Tustin Ranch Road from the intersection with Warner Avenue on the south, north to Walnut Avenue. The project will include rough grading certain pads adjacent to Tustin Ranch Road as well as completing portions of Valencia Avenue from Kensington Avenue to Tustin Ranch Road, Park Avenue from Warner Avenue north to Legacy Road, and Legacy Road from Tustin Ranch Road to Park Avenue. The project includes, but not necessarily limited to, the following improvements: • Clearing, Grubbing, and Vector Control • Demolition of Existing Utilities and Temp. All environmental issues will be addressed in the project plans and specifications. • There are multiple local funding sources some of which are tied to specific improvements and that have specific monitoring and tracking requirements. • There are right of way acquisition agreements in process that contain temporary construction easements and other construction provisions. • Communication with the public and local businesses during construction is a major Agency concern and the Agency shall be responsible for determining direction of any communications. No communications shall not be initiated by the CM unless approved and directed by the Agency. The Tustin Ranch Road Extension Project has been designed in cooperation by two separate civil engineering firms completing separate plan sets. The combined specification and contract documents will be prepared by the Agency. The quantities will be listed in the bid schedules and there will be technical specification sections. Plan sets remain as designed. The selected construction management firm will be required to provide apre-construction review to identify any conflicts and coordination between the projects phasing that is needed as further stated in Section IV, Scope of Work. There are multiple funding sources for the combined project. Funding for the project will largely be from Tustin Community Redevelopment Agency funds, Community Facility District Funds, OCTA GMA funds and as result Prevailing Wage requirements will be applicable and OCTA reporting requirements may also be applicable. The construction manager will be responsible for tracking and in some cases preparing interagency invoices for reimbursement of the appropriate cost to the Agency or the City of Tustin. Ili. Pre-Construction Services 1. Constructability Review -The CM shall perform a "constructability" review of the plans, specifications and estimates provided by each of the design consultants and prepare a report for review, comment, and approval by the Agency prior to submitting comments to the design consultants. The "constructability" review shall include but not be limited to: ® Technical elements of the design • Completeness of the plans and the technical specifications • Compatibility of the plans and the technical specifications • Compatibility of the design packages • Feasibility of the construction staging/phasing 2. Review of Contract Documents -The CM shall review all contract documents for consistency with the required construction work scope. The review shall include but not be limited to the appropriateness of the number of working days allowed, the appropriateness of the amount of liquidated damages and timely coordination with other agencies. 3. Evaluation of Contractors Bid -The CM shall review all bids submitted, prepare a bid summary sheet of all bids, conduct a reference check on the apparent low bidder and provide a recommendation to the Agency for bid award. Additional reference checks on the apparent second and third low bidder may also be required. 4. Pre-Construction Conference -The CM shall schedule, notify appropriate parties, and conduct an initial pre-construction meeting with the Contractor. The CM shall also prepare and distribute pre-construction minutes to attendees and other parries. The pre-construction meeting shall cover, as a minimum, the overall project objectives, responsibilities of key personnel and agencies, schedules, schedule of values (bid breakdown), communication protocol, procedures for handling submittals, correspondence, utility relocations, local agency permit requirements, requests for clarification, progress payments, change orders, liquidated damages, inspection requirements, safety issues, emergency response requirements, as-built drawing protocol, and other pertinent topics. The CM shall provide opportunities to have the Contractor's questions answered. The CM shall collect from the Contractor the submittal items required to be submitted at the pre-construction meeting. B. Construction Services 1. Document Standards: The CM shall prepare project correspondence and other forms of communication in accordance with industry standard docun~~ent control and management procedures. b. Document Trackin Control: The CM shall manage the receipt, logging, control, tracking, and timely processing of project documents, including but not limited to correspondence and project-related communications, technical documents, shop drawings, calculations, RFI's, submittals, manuals, and samples received as part of the construction process, non-compliance work to be completed, and other tracking logs as requested. c. Records: The CM shall maintain records of inspections, reports, and test results received from the Contractor, Design Engineer, manufacturers, and others. 2. Site Conditions and Progress Visual Documentation a. Pre-Construction Documentation: The CM shall review the pre-construction site conditions prior to beginning any construction operation. The CM shall confirm existing conditions within the limits of the work, in adjacent areas, and along access and haul roads. Particular attention shall be given to residences adjacent to the project site. The CM shall compare Contractor's pre- construction site surveys to the site surveys performed under this scope of work and shall note any discrepancies and resolve issues. The CM shall describe in memorandum, submitted prior to the beginning of any construction operation, pre-existing damage identified within the limits of work, in adjacent areas, and along access and haul roads. The CM shall document any damage to public and private improvements incurred during construction operations and meet with owners immediately following discovery of damage to resolve repair requirements and responsibilities. b. Progress and Other Photos: The CM shall maintain a digital photographic library of significant construction activities which shall include new piping and structures, relocated utilities, and connections to existing facilities. The CM shall take aa'ditional photographs to document differing site conditions, change order and claim items, and any special or unique conditions as they arise and incorporate photographs taken by others into the overall photo documentation record of the project. 3. Meetings a. Weekly to Monthly Construction Progress Meetings: The CM shall schedule and conduct construction progress meetings with the Contractor and the Agency. The CM shall identify action items and assign responsibility for the action and date action is to be completed. The CM shall prepare minutes of the meetings and include identified action items and review the meeting minutes with the Contractor and obtain tine Contractor's concurrence with the content. The CM shall distribute the minutes to the attendees within five calendar days of the meeting. b. Other Meetings: The CM shall attend other construction-related meetings as requested by the Agency. 4. Shop Drawing and Submittal Reviews a. Submittal Reviews: The CM shall review each submittal received from the Contractor for conformance with the requirements of the drawings and specifications and check each submittal against the Contractor's schedule for potential impacts. The CM shall coordinate required reviews of submittals with the Design Engineer and the Agency. Submittals of a general nature are to be reviewed and processed by the Design Engineer. The CM shall distribute submittals to appropriate reviewers with dated transmittal letters. b. Submittal Log and Status of Submittals: The CM shall log, track, and monitor shop drawings, calculations, data samples, submittals, and manuals from the Contractor and update the submittal log as items are received and responses given. The CM shall prepare weekly exception reports identifying outstanding submittals and reviews, and review with the Contractor the status of submittals at the weekly construction meeting using the submittal log and the master submittal list. 5. Plan and Specification Interpretation and Control a. Requests for Information (RFI): The CM shall coordinate the RFI log and review and respond to Contractor RFI's. The CM shall make every effort to review and provide appropriate response to RFI's prior to involving the Design Engineer. The CM shall distribute RFI's to appropriate staff and coordinate timely response. The CM shall review answers and prepare formal response to Contractor within five calendar days of receipt of response, or as needed to meet schedule requirements. The CM shall respond to Contractor in writing on questions based on a reasonable review of the drawings and specifications for clarification items and record changes in the record specifications and plans. Requests for Changes in Design: The CM shall review and respond to requests for design revisions by the Contractor. Responses to requests for design revisions require prior written approval from the Agency and the Design Engineer. Revisions in design may take the form of value engineering (VE) and shall require extensive research, evaluation, and recommendation from the Design Engineer. The CM shall provide written recommendations, as required. c. Field Orders: The CM shall initiate and review field orders when a change in the work is needed to maintain the design intent. The CM shall issue the field order to the Contractor and monitor the work for compliance. The CM shall track the issued field orders in a log and record the changes in the record specifications and plans. If required, the CM shall follow-up with a change order to Agency within 14 calendar days of mutual agreement with Contractor on pricing and conditions. No change order work shall be authorized by the CM without Agency approval. d. Substitution Requests: The CM shall coordinate evaluation of "or-equal" or product substitution requests with the Design Engineer, the Agency, vendors, manufacturers, and others and prepare evaluation and recommendation for "or-equal" or product substitution request. e. Record Drawings and Specifications: The CM shall update continually the plans and specifications as the work progresses. The CM shall incorporate modifications and changes from all sources, such as submittals, RFI's, VE, field orders, extra work, and contract change orders and compare the record drawings and specifications with the Contractor's record drawings and specifications monthly. 6. Construction Management Administration and Staffing a. Management: The CM shall oversee, perform, and coordinate construction management services as required by the progress of the work. The CM shall prepare reports, letters, and memoranda; conduct meetings; monitor and track the expiration of insurance requirements and obtain updated certificates from the Contractor (Agency to process through Risk Management); coordinate subconsultants, testing, and specialty services; review daily inspection notes and identify and resolve nonconforming items; notify the Agency of significant problems and discrepancies requiring corrective actions; interpret drawings, specifications, and reference standards; review and analyze the Contractor's monthly construction schedule for accuracy of work completed, reasonableness of forecasted completion, and compliance with contract duration; resolve constructability problems; coordinate connections and operations; prepare contract change orders; review and notify the Contractor of test results; investigate claims; perform and coordinate inspections; review the Contractor's TUS'1'1N C:OM~~lillx'17~~' RFhE~~FLOf'Mt;l~~'i' L~GLN~ Y Tustin Ranch Road Project (CIP No. 70100 & 70206) - Ch,1 RFP February 2011 Page 9 project record drawings periodically; review Contracior progress payments and verify measured quantities; prepare project punch list; and all other duties related to construction management as requested by the Agency. b. Resolution of Da~to-Day Construction Issues: The CM shall oversee resolution of day-to-day construction issues raised by the Contractor and coordinate with the Agency, Design Engineer, and Contractor on technical issues and concerns, as well as interpretation of the design documents. The CM shall interface with the Design Engineer for resolution of technical issues, processing of change order requests or design changes to reflect actual conditions encountered in the field. 7. Progress Payments a. Monthly Review: The CM shall conduct monthly schedule and progress payment meetings with the Contractor and coordinate and update the record drawings at this meeting. The result of the meetings shall be the monthly progress payment estimate and updated baseline schedule. The CM shall coordinate the review of the Contractor's monthly progress payment request with Agency staff and prepare a recommendation stating the proper amount of payment and use the Schedule of Values and actual quantities installed as a basis for the recommendation. b. The CM shall prepare detailed monthly progress reports for Agency staff. 8. Contract Change Order Management a. Identifk and Track Changes: The CM shall identify and track potential changes to the work. Prepare, log, and monitor Contractor or Agency initiated changes to the work, extra work, and contract change orders. b. Requests for Cost Proposals: The CM shall request cost proposals from the Contractor for extra work and negotiate final cost. c. Justification of Extra Work or Change: The CM shall prepare written justification and cost estimates for each extra work or change item. Justification shall include a statement of the extra work or change; background leading to issue; resolution alternatives and resolution recommendation for action by the Agency. d. Prepare Contract Change Orders: The CM shall prepare and submit contract change orders in the Agency's format to the Agency for written approval within seven calendar days of the finalization of negotiations. Identify and Track Claims: The CM shall identify, prepare, log, and monitor Contractor potential claims and report verbal and written claims immediately to the Agency. The CM shall coordinate claims with the Agency's Project Manager, Risk Manager, and City Attorney's Office. b. Resolution Alternative: The CM shall prepare written explanation of each claim with full background of issues, proposed resolution alternatives, and resolutior,~ recommendation for action. c. Negotiate and Resolve Claims: The CM shall assist and support the Agency in resolving claims and disputes, including written responses to Contractor and private parties, giving depositions, assisting with dispute resolution, arbitration and litigation, serving as an expert witness, investigating claims for damages by private sources, design services for replacement of damaged work, and services made necessary by Contractor default. The CM shall also negotiate claims to an agreed conclusion. All depositions, arbitration and litigation participation and expert witness support, if required, shall be a separate, hourly billable amount and not a part of the base service costs requested by this proposal. d. Private Party Claims: The CM shall investigate claims for damages by private parties and respond in writing within two calendar days of receipt of the claim. The CM shall coordinate the written response with the Agency's Project Manager and Risk Manager. 10. Quality Assurance a. Inspection of the Work: The CM shall provide inspections to ensure that materials and workmanship are in compliance with the contract documents. City of Tustin inspectors may augment the inspection process at the Agency's discretion and with a corresponding decrease in the CM inspection budget. The CM shall coordinate delivery, inspect for defects or missing parts, and oversee recording the receipt and storage of equipment. The CM shall inspect construction activities which are identified in the contract documents to be performed at night, weekends, and/or holidays. b. Material Testing and Coordination: The CM shall provide recommendations for scope of material testing services and shall coordinate the work of and be supported by the Agency's geotechnical, paleo/archeo/Native American and environmental consultants. The CM shall schedule sampling, material testing, and laboratory services in accordance with the methods prescribed in current standards of the American Society for Testing and Materials (ASTM). Reports: The CM shall prepare daily reports of the construction activities including weather conditions, Contractor's equipment and manpower, work performed, materials used, site visitors, delays in work and reasons for the delays, safely issues, and deficiencies. Daily oversight and proactive measures shall be provided to ensure compliance with environmental mitigation measures as well as local, state, and federal regulations. The CM shall prepare reports of deviations and non-conformance to specifications and provide responses in accordance with the project specification requirements. d. Revisions to Contractor's Methods: The CM shall discuss appropriate revisions to the methods and procedures used in performing the work. Inspectors may not authorize extra work or approve of work that deviates from the contract documents. Any deviations must be authorized through the RFI process. e. Deviations in the Work: The CM shall advise the Agency's Project Manager and the Contractor of deviations in the work and document any deviations. The CM shall record deviations that are not corrected and immediately deliver a Notice of Non-Compliance to the Contractor. The CM shall perform necessary follow- up to resolve Notices of Non-Compliance and include unresolved Notices of Non-Compliance on substantial completion punch lists. f. Pipeline Shutdowns: The CM shall coordinate necessary pipeline shutdowns with IRWD and/or City Water Services staff, to complete connections to existing facilities. 1 1 . Closeout and Acceptance Services a. Operation Testing Plan: The CM shall develop an operational testing plan in consultation with the Agency, Design Engineer, Contractor, and all appropriate vendors and will coordinate the testing of the equipment and facilities with the Agency and assist Contractor's personnel as required during the startup phase. b. Punch List: The CM shall prepare detailed project punchlists at substantial completion of the project. Upon correction of deficiencies, the CM shall schedule, coordinate, and conduct a final walk-through prior to the acceptance of work with the Agency and other parties. The CM shall provide certification of Contractor's compliance on work items specifically requested by the Agency and verify that work, testing, cleanup, and Contractor demobilization are complete. Final Walk-Through: The CM shall schedule, coordinate, and conduct a final walk-through and project review prior to the acceptance of work with the Agency. d. Recommended Acceptance: The CM shall recommend acceptance of the work in writing in preparation for issuance of the Notice of Completion. e. Closin~c Out Contract: The CM shall take the lead in negotiating and closing out the construction contract. The CM shall prepare the memorandum to the Agency recommending acceptance of the project and filing of the Notice of Completion. f. Final Project Records and Documents: These records must be turned over to the City of Tustin upon completion of the project 12. Post Construction a. Operations and Maintenance Manuals: The CM shall deliver the Operations and Maintenance Manuals and any spare parts and equipment upon acceptance of the project by the Agency. The operations and Maintenance manuals shall include but not be limited to all piping and electrical conduit runs, including wiring diagrams and PIDs sufficient for facilitating the troubleshooting process; technical data concerning corrosion control, mechanical, electrical, and control equipment installed by the Contractor; manufacturer's recommendations concerning equipment maintenance protocols; and data and maintenance instructions regarding special architectural, engineering, or other unique features provided or used in the project construction. The manuals shall be submitted to the Agency for review and approval prior to operating any new equipment and accepting the construction contract work. b. Record Drawings Certification: The CM shall review and certify that the Contractor's project record drawings are complete and accurate and provide the drawings to the Design Engineer. c. Final Payment: The CM shall recommend final payment in the form of release of retention to the Contractor in accordance with contract requirements. The Cf~1 shall verify that the Contractor has made all payments to the subcontractors and vendors and that any stop notices or liens have been released. The CM shall obtain a Conditional Waiver of Lien from the Contractor prior to recommending final payment. 13. Extended Services: The CM shalt provide other miscellaneous specialty services as required during construction. Miscellaneous specialty services, which may be required, include but are not limited to: mechanical, electrical, structural, and civil supplemental engineering design; witness testing; factory inspect-ions; and noise and air quality monitoring services. b. Warranty Period Services: The CM shall provide engineering, technical support, and administrative services during the warranty phase of the project (the one year period after the recording of the Notice of Completion). Services shall include but not be limited to an eleven (1 1) month walk-through of the project/project site to identify items requiring warranty attention and compile warranty information including Contractor's contact information and provide to the City for coordination of all warranty repair work. c. Construction Quality Control Survey Services: The CM shall provide necessary construction field survey to verify the Contractor's survey for the proposed improvements. The CM firm will be required to have a California licensed Land Surveyor as part of the CM team to perform these services. d. Public Relation/Community Outreach: The CM shall assist the Agency, Tustin Legacy project team, project management staff, and any support from the City's Communications Manager in support of any specific activities identified in the Agency's community outreach program where information needs to be provided to residents, businesses, and others impacted by the project. Activities may include periodic construction updates to the Agency for Agency's inclusion on the City website and/or City Scene newsletter; construction alerts to the Agency and project management staff; and resolution of construction-related concerns from affected businesses, residents, and/or the general public. V. PROPOSAL REQUIREMENTS Although the Agency requires no specific format, this section is intended to provide guidelines io the Consultant regarding features that the Agency will look for and expect to be included in the proposal. 1. Content & Format The Agency requests that proposals submitted be organized and presented in a neat and logical format and are relevant to these services. Consultant's proposals shall be clear, accurate, and comprehensive. Excessive or irrelevant material will not be favorably received. The purpose of these restrictions is to minimize the costs of proposal preparation and io ensure that the response to the RFP is fully relevant to the project. The proposal should include the following: • Transmittal/offer letter. • Page numbering. • Index/Table of Contents. • Approach. • Team Organization including an organization diagram and time commitment of key staff. • Statement of Qualifications including descriptions of similar projects by key staff to be assigned during the term of the contract. • Brief resumes of key staff. • Schedule of Hourly Rates and fees in a separate sealed envelope. The Fees shall specifically isolate construction management services from other construction support services identified in this RFP, and any third party costs shall be separately identified. All costs shall include all labor and materials and equipment. Any additional services will be based on future supplemental amendments to the original agreement (litigation and expert witness services, etc.). 2. Approach A description of the firm's approach and work program to meet the city's objectives shall be included. It should explain the technical approach, methodology, and specific tasks and activities that will be performed to address the specific issues and work items. 3. Team Organization The purpose of this section is to describe the organization of the project team including Subconsultants and key staff. A project manager and an alternate project manaczer shall be named who shall be the prime contact and be responsible for coordinating all activities with the Agency. An organization diagram shall be submitted showing all key team members and illustrating the relationship between the Agency, the project manager, key staff, and Subconsultants. There also should be a brief description of the role and responsibilities of all key staff and Subconsultants identified in the team organization. 4. Statement of Qualifications The information provided in this section should describe the qualifications of the firm and key staff in performing projects within the past five years that are similar in scope and size to demonstrate competence to perform these services. Information sr~all include: • Names of key staff that participated on named projects and their specific responsibilities. The client's name, contact person, addresses, and telephone numbers. • A brief description of type and extent of services provided. • Original project schedule vs. actual project completion dates. • Original budget vs. actual costs of the projects including CM cost portion of the work. There should be included in the section brief resumes of key personnel who will provide these services demonstrating their qualifications and experience. Resumes should highlight education, relevant experience, licenses, and specific responsibilities for services described. 5. Fee Proposal Compensation for services provided shall be based upon the Consultant's detailed fee proposal to furnish the services detailed in their proposal. A Fee Proposal shall be submitted in a separate, sealed envelope and marked as "Fee Proposal" along with the name of the project and shall be a fixed, not-to- exceed fee amount. A work program together with a breakdown of labor hours by employee billing classification together with the cost of non-labor and Subconsultant services shall be separately included with the fee proposal isolating identification of construction management services from other construction support services. The labor breakdown shall be compiled based upon a listing of work tasks that correlates with the consultant's defined scope of work for the project proposal. This information will be used by Agency staff to evaluate the reasonableness of the fee proposal and may be used in negotiating the final fee amounts for the contract agreement. The fee proposal of the three top ranked Consultants will be opened at the conclusion of the consultant evaluation and selection process. Fees will not be used to determine the ranking of the Consultants. The Fee Proposals of those Consultants not ranked in the top three will be returned to them unopened upon award of contract to the selected Consultant. The Agency will negotiate the final fee with the top ranked Consultant based on available funding resources as determined by the Agency. The Agency will not fund general overhead above actual costs of Consultant direct costs for oversight of any third-party Subconsultant services. Price escalations during the contract term are disfavored and v~~ill not be considered by the Agency. The Consultant shall prepare progress billings, reflective of the project schedule and the scope of work completed, by line item and description. 6. Statement of Offer & Signature The Proposal shall contain a statement that the proposals are a firm offer fora 90- day period and signed by an individual authorized to act on behalf of the firm. VI. GENERAL REQUIREMENTS ~. Insurance Requirements The consultant shall furnish with the proposal proof of the following minimum insurance coverage. These minimum levels of coverage are required to be maintained for the duration of the project: A. General Liability and Automobile Liability Coverage - $1,000,000 per occurrence for bodily injury and property damage. If Commercial General Liability Insurance or other form with a general limit is used, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. 3. Professional Liability Coverage - $1,000,000 per occurrence (note: A "claims made" policy is acceptable). If Consultant provides "claims made" coverage, consultant shall also agree in writing either: i. Purchase Tail Insurance in the amount required by the resulting agreement to cover claims made within five years of completion of consultant's services under the agreement. ii. Maintain professional liability insurance coverage with the same carrier, or with an equivalent carrier in the amount required by the resulting agreement five years after completion of consultant's services under this agreement. The Consultant shall provide written evidence of either form by executing the attached letter agreement (Attachment B) on Consultant letterhead. Worker's Compensation Coverage - as is required to fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the City for losses paid under the policy, which losses arise from the work performed by the named insured. ~. Other Applicable Insurance Requirements - i. Name the Agency, the City of Tustin, and IRWD, their elective and appointive boards, officers, agents, and employees as additional insured on the general and professional liability policies. ii. The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, VII or better (if an admitted carrier) or A-, X (if offered, by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the City will accept worker's compensation insurance rated B-VII or better or from the State Compensation Fund. iii. The insurance shall not be cancelled or terminated, except after thirty (30) days written prior notice to the Agency. A statement on the Accord form is not acceptable. iv. The commercial general and professional liability insurance shall each be primary as respects the City, Agency, and IRWD and any other insurance maintained by the City, Agency, and IRWD shall be in excess of this insurance and not contribute to it. Prior to execution of any Agreement, Consultant shall provide to Agency certificates of insurance and insurer endorsements signed by an authorized representative of the underwriter and attached to the insurance certificates in addition to the Accord form, evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided prior to a Consultant Services Agreement being executed by the Agency as evidence of meeting the above insurance requirements of Subsections (i), (ii), and (iv) of Section D above and the waiver of subrogation requirement in Section C above. If self- insured for worker's compensation, Consultant shall submit to Agency a copy of its certification of self-insurance issued by the Department of Industrial Relations. Consultant shall be required to provide to Agency a written notice of cancellation of insurance within five (5) days of its receipt of a notice of cancellation from any insurance carrier providing general liability, auto, worker's compensation and professional liability insurance. In addition, Consultant shall be required to instruct its insurance broker to provide the Agency with written notice of cancellation of any insurance policy(ies) applicable to this Agreement within forty-eight (48) hours of the broker's knowledge of any cancellation by the insurance provider. The Consultant is encouraged to contact its insurance carriers during the proposal stage to ensure that the insurance requirements can be met if selected for negotiation of a contract agreement. i. Standard Form of Agreement The Consultant will enter into an agreement with the Agency based upon the contents of this RFP and the Consultant's proposal. The Agency's standard form of agreement is included as Attachment A. The Consultant shall carefully review the agreement, and include with the proposal a description of any exceptions requested to the standard contract. If there are no exceptions, a statement to that effect shall be included in the proposal. 3. Disclaimer This RFP does not commit the Agency to award a contract, or to pay any costs incurred in the preparation of the proposal. The Agency reserves the right to extend the due date for the proposal, to accept or reject any or all proposals received as a result of this request, to negotiate with any qualified consultant, or to cancel this RFP in part or in its entirety. The Agency may require the selected Consultant to participate in negotiations and to submit such technical, fee, or other revisions of their proposals as may result from negotiations. 4. Assigned Representatives The Agency will assign a responsible representative to administer the contract, and to assist the Consultant in obtaining information. The Consultant also shall assign a responsible representative (project manager) and an alternate, who shall be identified in the proposal. The Consultant's representative will remain in responsible charge of the Consultant's duties from the notice-to-proceed through project completion. If the Consultant's primary representative should be unable to continue with the project, then the alternate representative identified in the proposal shall become the project manager. The Agency's representative shall first approve any substitution of representatives or Subconsultants identified in the proposal in writing. The Agency reserves the right to review and approve/disapprove all key staff and Subconsultant substitution or removal, and may consider such changes not approved to be a breach of contract. 5. VII. CONSULTANT EVALUATION & SELECTION PROCESS The Agency's consultant evaluation and selection process is based upon Qualifications Based Selection (QBS) for professional services. The following criteria will be used in evaluating the proposals using a point value system (100 points) based upon the weighting indicated below: 1. Approach and work plan to achieve specified city objectives. (20 points) 2. Qualifications and experience of the project manager and other key individuals. (35 points) 3. Qualifications and experience of the firm. (25 points) 4. Clarity of proposal. (10 points) 5. Compliance with proposal requirements including the 1 5 page limitation. (10 points) The Agency may elect to interview a short list of qualified firms or to interview only the top rated firm based upon the proposals submitted for the project. The Agency staff will negotiate an agreement with the best qualified firm for the desired construction management services. Should the Agency staff be unable to negotiate a satisfactory contract with the firm considered to be the most qualified, negotiations with that firm shall be formally terminated. Negotiations will then be undertaken with the next most qualified firm. Failing accord with the second most qualified firm, the Agency staff will terminate negotiations and continue the negotiation process with the next most qualified firms in order of their evaluation ranking until an agreement is reached and a firm is selected and an agreement is executed. Additional information related to the consultant selection process will be made available in the future once the Agency has executed this contract. Please refrain from making any verbal inquires or requests for a formal debriefing related to the subject RFP until the Agency completes the ongoing contract process. VIII. ADMINISTRATION SPECIFICATIONS A. The Tustin Community Redevelopment Agency's Rights to Proposals All proposals, upon submission to the Agency shall become its property for use as deemed appropriate. The Agency has the following prerogatives with regard io proposals submitted: - to accept or reject any or all proposals; - to correct any arithmetic errors in any or all proposals submitted; - to utilize any or all the ideas from proposals submitted; to change the proposal's due date upon appropriate noiification; - to adopt any or all of an offeror's proposal; and - to negotiate modifications to the scope and fee with selected offeror prior to contract award. WHEREAS, Consultant is qualified to provide the necessary services and has agreed to provide such services; and WHEREAS, Consultant has submitted to Agency a proposal, dated 20 , a copy of which is attached hereto as Exhibit "A", and is by this reference incorporated herein as though set forth in full hereto (the "Proposal"). NOW, THEREFORE, in consideration of the premises and mutual agreements contained herein, Agency agrees to employ and does hereby employ Consultant and Consultant agrees to provide consulting services as follows: 1. SERVICES OF CONSULTANT 1.1 Scope of Services. In compliance with all terms and conditions of this Agreement, Consultant shall provide those services specified in the "Proposal and Scope of Services" attached hereto as Exhibit "A" and incorporated herein by this reference, (the "services" or the "work"). Consultant warrants that all services shall be performed in a competent, professional and satisfactory manner in accordance with all standards prevalent in the industry. In the event of any inconsistency between the terms contained in Exhibit "A" and the terms set forth in the main body of this Agreement, the terms set forth in the main body of this Agreement shall govern. 1.2 Compliance with Law. All services rendered hereunder shall be provided in accordance with all laws, ordinances, resolutions, statutes, rules, and regulations of the City of Tustin and Tustin Community Redevelopment Agency and of any federal, state or local governmental agency of competent jurisdiction. 1.3 Licenses and Permits. Consultant shall obtain at its sole cost and expense such licenses, permits and approvals as may be required by law for the performance of the services required by this Agreement. 1.4 Familiarity with Work. By executing this Contract, Consultant warrants that Consultant (a) has thoroughly investigated and considered the work to be performed, (b) has investigated the site of the work and become fully acquainted with the conditions there existing, (c) has carefully considered how the work should be performed, and (d) fully understands the facilities, difficulties and restrictions attending performance of the work under this Agreement. Should the Consultant discover any latent or unknown conditions materially differing from those inherent in the work or as represented by the Agency, Consultant shall immediately inform Agency of such fact and shall not proceed with any work except at Consultant's risk until written instructions are received from the Contract Officer. 1.5 Care of Work. Consultant shall adopt and follow reasonable procedures and methods during the term of the Agreement to prevent loss or damage to materials, papers or other components of the work, and shall be responsible for all such damage until acceptance of the work by Agency, except such loss or damages as may be caused by Agency's own negligence. 1.6 Additional Services. Consultant shall perform services in addition to those specified in the Proposal when directed to do so in writing by the Contract Officer, provided that Consultant shall not be required to perform any additional services without compensation. Any additional compensation not exceeding ten percent (10%) of the original Contract sum must be approved in writing by the Contract Officer. Any greater increase must be approved in writing by the Executive Director. 1.7 Special Requirements. Any additional terms and conditions of this Agreement, are set forth in Exhibits "B" and "C" and are incorporated herein by this reference. In the event of a conflict between the provisions of Exhibit "B" and "C" and any other provision or provisions of this Agreement including Exhibit A, the provisions of Exhibits "B" and "C" shall govern. 2. COMPENSATION 2.1 Compensation of Consultant. For the services rendered pursuant to this Agreement, the Consultant shall be compensated and reimbursed only such amount as are prescribed in Exhibit C, in an amount not to exceed Dollars ($ ). 2.2 Method of Pavment. In any month in which Consultant wishes to receive payment, Consultant shall no later than the first working day of such month, submit to Agency in the form approved by Agency's Director of Finance, an invoice for services rendered prior to -the date of the invoice. Agency shall pay Consultant for all expenses stated thereon which are approved by Agency consistent with this Agreement, no later than the last working day of said month. 2.3 Changes. In the event any change or changes in the work is requested by Agency, the parties hereto shall execute an addendum to this Agreement, setting forth with particularity all terms of such addendum, including, but not limited to, any additional Consultant's fees. Addenda may be entered into: A. To provide for revisions or modifications to documents or other work product or work when documents or other work product or work is required by the enactment or revision of law subsequent to the preparation of any documents, other work product or work; B. To provide for additional services not included in this Agreement or not customarily furnished in accordance with generally accepted practice in Consultant's profession. 2.4 Pavment for Changes. Changes approved pursuant to an Addendum shall be compensated at the personnel hourly rates prescribed in Exhibit "C" hereto. Note: Exhibit "C" prohibits billing for travel. 2 3. PERFORMANCE SCHEDULE 3.1 Time of Essence. Time is of the essence in the performance of this Agreement. 3.2 Schedule of Performance. All services rendered pursuant to this Agreement shall be performed within any time periods prescribed in any Schedule of Performance attached hereto marked Exhibit "D". The extension of any time period specified in the Exhibit "D" must be approved in writing by the Contract Officer. 3.3 Force Majeure. The time for performance of services to be rendered pursuant to this Agreement may be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of the Consultant, including, but not restricted to, acts of God or of a public enemy, acts of the government, fires, earthquakes, floods, epidemic, quarantine restrictions, riots, strikes, freight embargoes, and unusually severe weather if the Consultant shall within ten (10) days of the commencement of such condition notify the Contract Officer who shall thereupon ascertain the facts and the extent of any necessary delay, and extend the time for performing the services for the period of the enforced delay when and if in the Contract Officer's judgment such delay is justified, and the Contract Officer's determination shall be final and conclusive upon the parties to this Agreement. 3.4 Term. Unless earlier terminated in accordance with Section 7.7 of this Agreement, this Agreement shall continue in full force and effect until satisfactory completion of the services but not exceeding one (1) year from the date hereof, unless extended by mutual written agreement of the parties. 4. COORDINATION OF WORK 4.1 Representative of Consultant. The following Principal of the Consultant is hereby designated as being the principal and representative of Consultant authorized to act in its behalf with respect to the work specified herein and make all decisions in connection therewith: Name Address Phone It is expressly understood that the experience, knowledge, capability and reputation of the foregoing Principal is a substantial inducement for Agency to enter into this Agreement. Therefore, the foregoing Principal shall be responsible during the term of this Agreement for directing all activities of Consultant and devoting sufficient time to personally supervise the services hereunder. The foregoing Principal may not be changed by Consultant without the express written approval of Agency. 4.2 Contract Officer. The Contract Officer shall be the Assistant City Manager of City unless otherwise designated in writing by the Executive Director of Agency. It shall be the Consultant's responsibility to keep the Contract Officer fully informed of the progress of the performance of the services and Consultant shall refer any 3 decisions which must be made by Agency to the Contract Officer. Unless otherwise specified herein, any approval of Agency required hereunder shall mean the approval of the Contract Officer. 4.3 Prohibition Against Subcontracting or Assignment. The experience, knowledge, capability and reputation of Consultant, its principals and employees were a substantial inducement for the Agency to enter into this Agreement. Therefore, Consultant shall not contract with any other entity to perform in whole or in part the services required hereunder without the express written approval of the Agency. In addition, neither this Agreement nor any interest herein may be assigned or transferred, voluntarily or by operation of law, without the prior written approval of Agency. 4.4 Independent Contractor. Neither the Agency nor any of its employees shall have any control over the manner, mode or means by which Consultant, its agents or employees perform the services required herein, except as otherwise set forth herein. Consultant shall perform all services required herein as an independent contractor of Agency and shall remain at all times as to Agency a wholly independent contractor with only such obligations as are consistent with that role. Consultant shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of Agency. Consultant shall be solely responsible for compliance with State and Federal Law with respect to the wages, hours, benefits, and working conditions of its employees, including requirement for payroll deductions for taxes. Employees or independent contractors of Consultant are not Agency employees. 5. INSURANCE /INDEMNIFICATION 5.1 Insurance. A. Consultant shall maintain in full force and effect during the term of these Agreement policies of commercial general liability and automobile liability insurance (each of which shall include property damage and bodily injury) and each with limits of at least $1,000,000 combined single limit coverage per occurrence. B. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the Agency of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. C. Consultant shall carry and pay for such workers' compensation insurance as is required fully protect Consultant and its employees under California Worker's Compensation Insurance Law. The insurance company shall agree to waive all rights of subrogation against the Agency for losses paid under the policy, which losses arose from the work performed by the named insured. 4 D. Other applicable insurance requirements are: (1) Name the Agency, its officials and employees as an additional insured on the commercial, general and automobile policies. (2) The insurance shall be issued by a company authorized by the Insurance Department of the State of California and rated A, VII or better (if an admitted carrier) or A-, X (if offered, by a surplus line broker), by the latest edition of Best's Key Rating Guide, except that the Agency will accept workers' compensation insurance rated B-VIII or better or from the State Compensation Fund. (3) The Insurance shall not be cancelled, except after thirty (30) days written prior notice to the Agency; and (4) The commercial general and automobile liability insurance shall each be primary as respects the Agency, and any other insurance maintained by the Agency shall be in excess of this insurance and not contribute to it. E. Upon execution of this Agreement, Consultant shall provide to Agency certificates of insurance and insurer endorsements evidencing the required insurance. Insurer endorsements (or a copy of the policy binder if applicable) shall be provided as evidence of meeting the requirements of Subsections (1), (3) and (4) of Section D above and the waiver of subrogation requirement in Section C above. If self- insured for worker's compensation, Consultant shall submit to Agency a copy of its certification of self-insurance issued by the Department of Industrial Relations. 5.2 Indemnification. The Consultant shall defend, indemnify and hold harmless the Agency, its officers and employees, from and against any and all actions, . suits, proceedings, claims, demands, losses, costs, and expenses, including legal costs and attorneys' fees, for injury to or death of person or persons, for damage to property, including property owned by Agency, arising from errors and omissions of Consultant, its officers, employees and agents, and arising out of or related to Consultant's performance under this Agreement, except for such loss as may be caused by Agency's sole negligence or that of its officers or employees. The Consultant shall also defend, indemnify and hold the Agency harmless from any claims or liability for Agency health and welfare, retirement benefits, or any other benefits of part-time or fulltime City employment sought by Consultant's officers, employees, or independent contractors, whether legal action ,administrative proceeding or pursuant to State statue. 6. RECORDS AND REPORTS 6.1 Reports. Consultant shall periodically prepare and submit to the Contract Officer such reports concerning the performance of the services required by this Agreement as the Contract Officer shall require. 5 6.2 Records. Consultant shall keep such books and records as shall be necessary to properly perform the services required by this Agreement and enable the Contract Officer to evaluate the performance of such services. The Contract Officer shall have full and free access to such books and records at all reasonable times, including the right to inspect, copy, audit and make records and transcripts from such records. 6.3 Ownership of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant in the performance of this Agreement shall be the property of Agency and shall be delivered to Agency upon request of the Contract Officer or upon the termination of this Agreement, and Consultant shall have no claim for further employment or additional compensation as a result of the exercise by Agency of its full rights or ownership of the documents and materials hereunder. Consultant may retain copies of such documents for its own use. Consultant shall have an unrestricted right to use the concepts embodied therein. 6.4 Release of Documents. All drawings, specifications, reports, records, documents and other materials prepared by Consultant in the performance of services under this Agreement shall not be released publicly without the prior written approval of the Contract Officer. 7. ENFORCEMENT OF AGREEMENT 7.1 California Law. This Agreement shall be construed and interpreted both as to validity and to performance of the parties in accordance with the laws of the State of California. Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Orange, State of California, or any other appropriate court in such county, and Consultant covenants and agrees to submit to the personal jurisdiction of such court in the event of such action. 7.2 Disputes. In the event of any dispute arising under this Agreement, the injured party shall notify the injuring party in writing of its contentions by submitting a claim therefor. The injured party shall continue performing its obligations hereunder so long as the injuring party cures any default within ninety (90) days after service of the notice, or if the cure of the default is commenced within thirty (30) days after service of said notice and is cured within a reasonable time after commencement; provided that if the default is an immediate danger to the health, safety and general welfare, the Agency may take immediate action under Section 7.6 of this Agreement. Compliance with the provisions of this Section shall be a condition precedent to any legal action, and such compliance shall not be a waiver of any party's right to take legal action in the event that the dispute is not cured. 7.3 Waiver. No delay or omission in the exercise of any right or remedy of anon-defaulting party on any default shall impair such right or remedy or be construed as a waiver. No consent or approval of Agency shall be deemed to waive or render unnecessary Agency's consent to or approval of any subsequent act of Consultant. Any waiver by either party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement. 7.4 Rights and Remedies are Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and 6 remedies of the parties are cumulative and the exercise by either party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party. 7.5 Legal Action. In addition to any other rights or remedies, either party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain injunctive relief, a declaratory judgment or any other remedy consistent with the purposes of this Agreement. 7.6 Termination Prior to Expiration of Term. The Agency reserves the right to terminate this Agreement at any time, with or without cause, upon thirty (30) days written notice to Consultant, except that where termination is due to the fault of the Consultant and constitutes an immediate danger to health, safety and general welfare, the period of notice shall be such shorter time as may be appropriate. Upon receipt of the notice of termination, Consultant shall immediately cease all services hereunder except such as may be specifically approved by the Contract Officer. Consultant shall be entitled to compensation for all services rendered prior to receipt of the notice of termination and for any services authorized by the Contract Officer thereafter. 7.7 Termination for Default of Consultant. If termination is due to the failure of the Consultant to fulfill its obligations under this Agreement, Agency may take over the work and prosecute the same to completion by contract or otherwise, and the Consultant shall be liable to the extent that the total cost for completion of the services required hereunder exceeds the compensation herein stipulated, provided that the Agency shall use reasonable efforts to mitigate damages, and Agency may withhold any payments to the Consultant for the purpose of set-off or partial payment of the amounts owed to Agency. 7.8 Attorneys Fees. If either party commences an action against the other party arising out of or in connection with this Agreement or it subject matter, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs of suit from the losing party. 8. AGENCY AND CITY OFFICERS AND EMPLOYEES; NON- DISCRIMINATION 8.1 Non-Liabilit of Ci Officers and Em to ees. No officer or employee of Agency or City shall be personally liable to the Consultant, or any successor-in-interest, in the event of any default or breach by the Agency or for any amount which may become due to the Consultant or its successor, or for breach of any obligation of the terms of this Agreement. 8.2 Covenant Against Discrimination. Consultant covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination or segregation in the performance of or in connection with this Agreement regarding any person or group of persons on account of race, color, creed, religion, sex, marital status, national origin, or ancestry. Consultant shall take affirmative action to insure that applicants and employees are treated without regard to their race, color, creed, religion, sex, marital status, national origin, or ancestry. 7 9. MISCELLANEOUS PROVISIONS 9.1 Notice. Any notice, demand, request, consent, approval, or communication either party desires or is required to give to the other party or any other person shall be in writing and either served personally or sent by pre-paid, first-class mail to the address set forth below. Either party may change its address by notifying the other party of the change of address in writing. Notice shall be deemed communicated forty- eight (48) hours from the time of mailing if mailed as provided in this Section. In the event that any one or more of the phrases, sentences, clauses, paragraphs, or sections contained in this Agreement shall be declared invalid or unenforceable by valid judgment or decree of a court of competent jurisdiction, such invalidity or unenforceability shall not affect any of the remaining phrases, sentences, clauses, paragraphs, or sections of this Agreement, which shall be interpreted to carry out the intent of the parties hereunder. 9.5 Corporate Authority. The persons executing this Agreement on behalf of the parties hereto warrant that they are duly authorized to execute this Agreement on behalf of said parties and that by so executing this Agreement the parties hereto are formally bound to the provisions of this Agreement. The Consultant shall comply with all applicable federal, state and local laws applicable to its activities. 2. The Consultant shall not release to the public or press any information regarding the purpose/scope of services to be accomplished or data specific to the project required under the Agreement without prior authorization of the contract officer. All such information is considered confidential. All inquiries made of Consultant shall be immediately referred to the Contract Officer. 3. Consultant shall present to the Agency certificates of insurance and endorsement forms verifying that the Consultant has the insurance as required by this Agreement. Said form shall be reviewed and approved by the office of the City Attorney. A certificate of insurance form is attached. 4. Consultant shall utilize those professional staff members to perform services as identified in Consultant's proposal. No substitution shall be made without the advance written approval of the Contract Officer. No increase in compensation or reimbursable salary rates will be allowed when personnel or firm substitutions are authorized by the Contract Officer. 5. The Consultant shall review and replace project personnel who do not perform assigned duties in a manner satisfactory to Contract Officer when requested by Contract Officer. 7. Monthly progress reports shall be submitted by Consultant with billing requests. At minimum these reports shall specify the period reported, tasks completed, tasks underway, percent of project completed and strategies to solve any timing delays. 8. Consultant shall be required to meet with the Contract Officer as determined necessary or desirable to discuss elements of the Scope of Work and project's progress. 9. Field Investigation necessary. The Consultant shall obtain all necessary field data and make investigations and studies necessary to properly accomplish the work required under this Agreement. 11 EXHIBIT "C" SCHEDULE OF COMPENSATION and PERSONNEL HOURLY RATES Compensation As compensation for the Consultant's services under this Agreement, the Agency shall pay the Consultant anot-to-exceed fixed amount of Dollars ~$ )~ Expense Reimbursement 2. The Consultant shall be compensated at the Consultant's standard hourly rates for professional services, plus reimbursement of expenses or a fixed amount agreed to in writing by the Agency and Consultant. Method of Payment 4. As a condition precedent to any payment to Consultant under this Agreement, Consultant shall submit monthly to the Agency a statement of account which clearly sets forth by dates the designated items of work, as well as reimbursable expenses, for which the billing is submitted. The payment request shall identify each task required by the Agreement, percent of completion, amount of actual reimbursable expenses and requested amount to be billed against each task. Timing of Payment 5. Standards for file format, layering, line types, and other conventions are necessary in order to manage the large amounts of data that comprise the City's digital base map, and allow progressive expansion of the data base into future mapping and GIS applications. Layering and linetype conventions are AutoCAD-based (latest version attached herewith). In order to interchangeably utilize the data contained in the infrastructure mapping system, CADD drawings must be in AutoCAD "DWG" format. Engineers and other consultants are requested to provide data to the City in AutoCAD format (i.e., in compliance with the DWG file format and the City's layering and linetype standards) as their projects are completed and submitted to the City for final acceptance. For projects that span an extended period of time, interim drawing files, in AutoCAD format, may be requested. Although most consulting engineers routinely utilize CADD programs, there may be a few that do not. For this reason, an option may be included to allow the developer to submit manually prepared plans and, in lieu of CADD files, provide a cash deposit to the City to have the drawings converted into digital CADD format (i.e., scanned images are not acceptable). This deposit would cover the cost of computerized data entry of key information shown on the improvement plans. The complexity and costs associated with the CADD conversion would vary with the complexity of the development project. Any excess deposit would be returned to the developer. MAPPING To the extent possible, mapping shall be prepared to engineering accuracy (i.e., to two decimal places) based on available improvement plans, right-of-way maps, parcel maps, and tract maps. When information from different sources appears to conflict, assumptions shall be documented and the City shall be notified in writing. Preliminary CADD drawings may be plotted on reproducible bond paper. Final CADD drawings shall be plotted on 4 mil thick mylar and provided to the City as a deliverable product. -1- (Revised July 18, 2005) Final CADD mapping files may be delivered to the City on a CD. The overall construction period is expected to be more than two years. We understand that this project has been designed by two separate firms and will be advertized with athree-month gap. The Parsons team will ensure that the performance of the first project will be completed in a timely manner, so as not to impact the second contract. We will also ensure that work performed by one contractor, such as grading, is acceptable to the other without request for additional compensation. We understand that the project is locally funded, using several funding sources, including the Redevelopment Agency, the Community Facility District, and the Orange County Transportation Authority (OCTA) GMA. Labor compliance requirements are applicable, as is OCTA reporting. f~ ~rin~ Nabil Fraywat, in his 30 years of experience, has become very familiar with such funding arrangements and has dealt with a similar situation on the SR-22 project, working for OCTA. His team will customize the construction administration procedures to meet the Agency's needs. In addition to standard procedures, Parsons will prepare a detailed contract compliance matrix to track and ensure that all obligations set forth in the contract documents are met by the contractor. Nabil will be supported by Anh Ly, Ali Chinichian, Polo Ramirez, and Cole Tinsley: a team that brings a wealth of experience and an excellent understanding of the project requirements and has successfully delivered similar projects for local agencies under the same constraints. In addition, Nabil will have access, if needed, to 150 support staff in our Irvine office, located just three miles away from the project. This staff includes bridge and roadway design engineers, water and environmental experts, and many schedulers and construction management professionals. We have established and maintain excellent working relationships with OCTA staff and all local utility agencies involved with this project. This unique experience and our proven approach in administering construction contracts in accordance with local agency policies and procedures will ensure the successful completion of the following tasks on this project: ^ Pre-construction Services ^ Construction Services ^ Post-construction Services • Extended Services/Public Information and Outreach • Industry Standard Services (e.g., document control, change order management, budget and cost control, process progress payments, and claim support) Unique Challenges The Tustin Ranch Road Extension Project presents a series of its own unique challenges that must be anticipated and resolved with the contractors. The Parsons team has asolutions-oriented view and extensive experience managing major roadway improvement projects; therefore, we view these challenges as opportunities. This project appears to have several opportunities for enhancements that will further ensure its successful completion. One of these opportunities is to work closely with the contractor to ensure that sound walls on the project are built in the early stages of construction, as this will minimize noise caused by the project construction for the neighboring residences. Other opportunities are as follows: ?.Coordination with AQuitiple Agencies The project's improvements include the construction of over 3500 feet of sanitary sewer, 4000 feet of domestic water, 8000 feet of reclaimed water, and 6700 feet of storm drain. Construction of these improvements will require close coordination with the Irvine Ranch Water District (IRWD), the Orange County Sanitation District (OCSD), the Santa Ana Regional Water Quality Control Board (RWQCB), and the Orange County Flood Control District (OCFCD). Parsons' personnel have worked closely with all three agencies in constructing numerous water resource projects throughout the county, including the construction oflarge-scale box culvert flood -- P~{J l7C ~ PARSONS APPROACH PROPOSAL • CONSTRUCTION MANAGEMENT SERVICES FOR THE TUSTIN RANCH ROAD PROJECT ru,ri~ control systems for the OCFCD as part of the SR 22 project, reclaimed water and domestic water systems for the IRWD, and extensive sanitary sewer improvements for OCSD. Since groundwater levels are high in this area, groundwater dewatering and associated treatment prior to discharge will be a major component of the construction. Such dewatering must be accomplished in accordance with the regulations set forth by the Regional Water Quality Control Board (RWQCB). Stormwater pollution prevention will also be required in this area, which is a tributary to Reach 1 of the San Diego River. This receiving water body has a total maximum daily load (TMDL) for sediment, requiring special attention to potential sediment discharges during construction and diligence regarding conformance to the project-specific Stormwater pollution prevention plan (SWPPP) to prevent costly RWQCB fines that could occur in the event of such discharges. The Parsons'construction management (CM) team will be supported by Stormwater experts to assist in SWPPP inspections and development. Veronica Seyde, who is a qualified SWPPP practitioner (QSP) and developer (QSD), and who also has been licensed by the State to train inspectors and engineers on the requirements for storm water pollution prevention, will ensure that the SWPPP will be implemented correctly. She also possesses a thorough knowledge of the requirements for groundwater dewatering and has coordinated extensively with the RWQCB on previous projects. Having worked for the IRWD for five years, Veronica has a thorough understanding of the construction requirements related to reclaimed and potable water pipeline construction and cross-connection testing during construction. Additional available support can be found in Richard Bottcher, who possesses unique knowledge of cross-connection testing for reclaimed and potable water, having managed numerous projects in the past involving the retrofitting of potable water systems to reclaimed water systems. Richard brings extensive work experience with the OCFCD and knows the design and construction requirements for storm drain improvements, along with associated storm water treatment best management practices (BMP). Richard will perform constructibilityanalySis for the storm drainage systems while using his experience to keep the OCFCD design and construction requirements in mind. Construction staging of storm drain systems can become complex due to potential diversion requirements during construction, seasonal construction constraints, and groundwater dewatering issues. Richard has more than 28 years of experience in Stormwater system design and construction, which has provided him with an intimate knowledge of these construction staging issues. 2. Navy Coordination/Environmental The Parsons environmental team in Irvine brings a depth ofexperienceworking with the Department ofthe Navy (DON), having completed the Navy's environmental documentation for the Seal Beach Weapon Station to allow the West County Connector at the I-405/SR-22 to begin construction. Additionally, we are currently working with the Navy on the I-405 freeway between SR-73 and the I-605 freeway to address its concerns regarding the proposed widening of I-405, adjacent to the weapon station. The Parsons environmental team has experience working with the military and will manage any environmental issues that arise during construction. 3. Compliance with Multiple Funding Requirements The Parsons team will ensure that all construction is conducted incompliance with all requirements for multiple funding, including prevailing wage and OCTA requirements. We will ensure that specific work is associated with the correct funding in order to provide accurate invoices for reimbursement. Parsons is familiar with all necessary reporting requirements for various funding sources, a result of the large number of projects we have performed in the region. Parsons has established systems in place to ensure that the Agency has no problems with funding reimbursements. The online project control system provides ready access to the data and reports that will give reassurance to the Agency that all funding and project budgets are being met. Providing the reporting requirements will also be coupled with a stringent field program to ensure that all labor compliance requirements are met. 4. Community CoordinationlPublic Relations The contract work is adjacent to private homes and small businesses that will be kept abreast of construction schedulesand potential impactstotraffic ortheenvironment during construction. The Parsons team will implement Agency-desired information messages and project updates. Parsons will keep local residents abreast of construction schedule and potential impacts. ~-..1 rNUe ~ PARSONS APPROACH PROPOSAL • CONSTRUCTION MANAGEMENT SERVICES FOR THE TUSTIN RANCH ROAD PROJECT We recognize that work has gone into the right-of-way acquisition agreements, and we will confirm that the right-of-way agreements are adhered to. It is imperative that temporary construction easements and other construction provisions are not deviated from, especially when adjacent to the residential areas. Good resident and construction interface keeps the project moving. Additional Unique Challenges The structure at Edinger Overpass spans over Edinger Avenue, railroad tracks, and an OCFCD. Each of these three elements represents its own challenges: • Over Edinger, the contractor may propose to place a falsework support between the north and the south traffic on Edinger, instead of spanning three lanes in each direction and the median, which is somewhat excessive for falsework. This may impact the following: ^ Traffic safety with the new falsework support in the middle of Edinger Overpass. ^ Existing drainage in the street median impacted by the new support. • Excavation for the foundation construction at bent #3, falsework at that location, and pile driving at bent #3 will not damage the existing high-risk 30-inch gas line along Edinger. • Bike lane to be maintained. • The railroad tracks will have their own challenges, with policies and procedures to follow when working within the railroad's right-of-way. Parsons'staff is very familiar with these policies and will be working to ensure that the proper construction windows are scheduled, so as not to delay the work. Also, Parsons will ensure that safety requirements for working within the railroad right-of-way are met. • Working within the OCFCDright-of-way will add its own challenges. Parsons will ensure that the contractor is complying with the conditions listed on the permit for this work. working adjacent to existing tracks. • Piles for the Edinger overpass are proposed to be concrete piles driven in the ground. Close attention will be needed in the constructibility review to make sure that we are complying with the noise and vibration requirements of the City of Tustin. • With the high water table, we need to examine these piles before they are ordered to make sure that they are the best choice for the site condition. • We will ensure that all items to be done by others are scheduled in such a way as not to delay the schedule. After the environmental requirements are included in the project plans and specifications, it is important that these requirements are monitored for completion. The Parsons team will make sure that all environmental requirements are completed and documented to demonstrate environmental compliance. This evidence of compliance will ensure that the local funding sources are secure. Safety All Parsons employees start their assignments with a clear understanding of their role in project safety. They are instructed to be the guardians of the safety of the traveling public as their most important duty. With respect to construction site safety, they are to acknowledge the contractor's responsibility for maintaining a safe worksite, and they will never direct the contractor's work; however, they will partner with the contractor on jobsite safety. When it comes to traffic control, there are no acceptable excuses for lapses in public safety or for overtime closures. Our staff will enforce traffic control plans and all applicable traffic control contract documents. Pre-Construction Conference -After the Agency awards a contract to the successful contractor and a notice to proceed has been issued, the Parsons team will arrange apre-construction meeting. The Agency, the contractor, and stakeholders will be invited to attend this meeting. The purpose of the meeting is to discuss the scope of work, project schedule, and how the contractor views the project logistically. A list of the more important items that will be required as part of the record-keeping system include, but are not limited to (1) daily diaries, (2) meeting minutes, (3) correspondences, (4) plan submittals, (S) certificates of compliances and records of material testing, (6) logs for photos, contract change orders, and submittals, (7) project schedules, (8) RFIs, and (9) notices of potential claims (NOPC). The Parsons team will continuously take and log digital photographs of the project to document general progress, as well as items of concern. We will take video in cases where still photos cannot convey the message that we want to document and file. We have established lists of routine agenda items for all regular construction management meetings. Parsons' CM team will review and document the pre-construction site prior to beginning of construction, including any existing damage to private or public property. This will be compared with the contractor's site survey and any discrepancies will be resolved before construction starts. Parsons will maintain a digital photo library that documents daily activities and significant work milestones including differing site conditions, change order and claim items and special and unique events which will be incorporated in the project records. Task 8.3 Meetings The Parsons team will schedule and conduct construction progress meetings with the contractor and Agency on a regular schedule and attend other construction-related meetings, as requested by the Agency. Other jobsite meetings will be scheduled on an as-needed basis to maintain an open line of communication between the Parsons team and the contractor. The meeting will provide the forum to discuss and resolve project issues early on, and thereby help make any construction problem that may arise into a manageable problem. The meetings will include a discussion of the project status, the next items of work, safety issues, and any coordination efforts that may be needed to keep the project moving forward. The resident engineer will chair these meetings, and meeting minutes will be developed to document the results and action items. Task B.4 Shap Drawings and Submittal Reviews The Parsons team will create and maintain a project submittal log to ensure that the contractor's submittals are reviewed in a timely manner and are well within the specified review period. Each contractor submittal will be logged in, reviewed, and tracked through approval. Once reviewed, it will be returned to the contractor as approved, approved with corrections noted in red, or rejected. Rejected submittals will be accompanied by a letter citing the reasons for rejection. Rejected submittals will not constitute a project delay. Some of the submittals anticipated by the Parsons team that will require a response in a timely manner include the following: ^ Shop plans (e.g., bridge prestressing, falsework, shoring, welding quality control) ^ RFIs ^ Traffic control plans ^ Notices of potential claims • Project schedules • Mix designs for concrete and asphalt ^ Request for material inspections ^ SWPPP ^ Critical path method (CPM) schedules thai the SWPPP will be implemented Our standard recommendation is to develop a comprehensive, project-specific submittal checklist with the contractor at the start of the project and use this as a submittal log throughout construction. This engineering strength enables Nabil, as the resident engineer on the project, to reach out for local and technical experts on short notice and for short durations to resolve any project issue, whether construction or design. This allows the Agency and the CM team to provide immediate responses to technical issues, such as RFI, requests for change (RFC), field orders, and substitution requests without reliance on the design consultant and without having to increase the size of the field staff for the purpose of reviewing technical submittals. Reviewing bridge falsework for the Edinger Overpass, for example, will require an independent check of the contractor's falsework plans and calculations, The Parsons team can quickly perform such a review, with the structure staff in Irvine giving the field staff more time to deal with field issues. The CM team will provide daily oversight and coordination of all construction management services and prepare correspondence and all other documents required by contract for compliance. Reviews of the contractor's progress payment requests, schedule updates, and record drawings will be done on a monthly basis. Coordination of technical issues and concerns with the Agency and design engineer will be done as needed. Parsons'varied experience and flexibility of staffing availability creates a unique opportunity to respond to the needs of the project at different phases of work while maintaining control of field operations. Parsons recognizes the availability of the Agency inspectors to augment Parsons' inspection staff. This presents an opportunity to respond to the inspection demand for some activities without the need for overtime. Parsons will develop an inspection matrix to identify bench mark inspection versus full time inspection. Such a matrix will form the basis of coordinating the incorporation of the Agency's inspection staff with Parsons'staff and provide an opportunity to be proactive in responding to construction inspection and material testing needs. Task B.7 Progress Payment Prior to the contractor's pay request submittal, the Parsons team will meet with the contractor to agree on the work items completed and the associated quantities for each item. All pay estimates will be supported with quantity and estimate calculations developed independently from the contractor's estimate and will be kept on file. Payment requests for materials that have not been properly re-eased or that lack the appropriate certificate of compliance will not be approved for payment. This will also apply to work that is deemed unacceptable by the field inspector. The Parsons team will strive to work closely with the contractor to rectify defective work prior to submittal of the next payment request. Overall contract costs will also be tracked and reported in a format acceptable to the Agency. Task 8.8 Contract Chanrte Order Managernen~ The Parsons team's approach to managing change orders centers around consistent open and honest communication with the contractor to ensure that project issues are addressed as early as possible. If an issue does arise that the contractor feels is out of the contract scope, the construction manager will assess the concern promptly and make an initial determination as to whether the contractor's claim has merit. With merit, a contract change order will be provided to the Agency with appropriate backup documentation and recommendation. The Parsons team's approach is to continually work to resolve any project claims prior to completion of the contract in an effort to avoid arbitration or litigation at the end of the project, when memories tend to fade. All of our proposed key staff are well-versed in the most common disputes that arise in the field. Some of the best tools available for dispute avoidance include the constructibility review and partnering; however, when these tools fail to avoid a claim, our field staff knows that their documentation is the best defense. Task B.9 Claims Managemem The Parsons team is experienced in administering change order procedures. We will identify change order issues in advance and will always make recommendations with sound engineering solutions. The Parsons team will identify, log, and monitor potential claims; provide written explanation to the Agency; and provide support in resolving claims and disputes, including private party claims. Task 8.10 Quality Assurance The CM team will provide daily inspections ofthe work, coordinate sampling, material testing and laboratory services, and keep appropriate records for project documentation. Any revisions to construction methods will be resolved through RFI's. Deviations in the work will be documented and resolved before completion of the contract. In addition, laboratory testing of the soil will be done by our subconsultant,Group Delta, to determine its sand equivalence (SE) and compliance with the contract documents. Fine and coarse aggregates used for concrete and asphalt, as well as the mix proportions, will be checked for compliance at the contractor's batch plant. All documentation on all testing will be maintained at the project site by the Parsons team. Parsons recognizes the need for all elements of the project to came together as the project approaches substantial completion. Parsons will develop an operational testing plan in consultation with Agency, design engineer, contractor, and all appropriate vendors to coordinate to testing of equipment and facilities with the Agency and assist the contractor's personnel as required. Parsons will also capture and develop the initial punch list items developed during construction. This list will be addressed as Contractor approaches substantial completion. In addition, Parsons will initiate and develop the formal punch list process by coordinating the final walk-through with the design teams, Agency staff, and stake holders. Addressing the final punch list is a prerequisite to recommending acceptance of the project. Parsons will take the lead in negotiating and closing out the contract. Parsons understands that we can't commit the Agency to any financial commitment during the negotiation. Parsons will make any and all recommendations to the Agency in writing. Final project records will be turned in to the City of Tustin upon completion of the project. Task B. 72 Posi Construction Parsons' CM team will deliver operations and maintenance (0&M) manuals, spare parts, and equipment upon contract acceptance and review and certify contractor's project record drawings to be delivered to the design engineer. Final payment with retention release will be processed in accordance with contract requirements. Conditional Waiver of Lien and verification that all subcontractors have been paid will be provided to the Agency before final payment. Tinsley (Assistant RE) IPARSOIIVS STATEMENT OF QUALIFICATIONS PAGE 10 PROPOSAL • CONSTRUCTION MANAGEMENT SERVICES FOR THE TUSTIN RANCH ROAD SR 125 CONSTRUCTION MANGEMENT The SR 1?5 South project consisted of 12.5 miles of new highway, connecting SP, 54 near the Sweetwater Reservoir to SR 905 in Otay Mesa, near the international border. Parsons was responsible for program management, design reviews, construction management, and inspection. This required considerable coordination with local agencies, utility providers, and property owners. Work was completed in partnership with Caltrans and San Diego association of Governments (SANDAL). The state-of-the-art toll road was developed by apublic-private partnership among Caltrans, SANDAL, and South Bay Expressway, L.P This entire project included 31 bridge structures, including a 0.75-mile-long segmental bridge; six interchanges; 20 miles of drainage systems; environmental permit compliance; right-of-way acquisition; and major utility relocations that were coordinated closely with the local water authorities, SDG&E, and AT&T. Parsons managed projects and tasks within this contract to meet the needs of our client. U5101/KANAN ROAD CONSTRCCTION MANAGEMENT Parsons was hired by the City of Agoura Hills to provide all-inclusive construction management services for the interchange improvement project at US 101 and Kanan Road. The interchange was operating at a failing level of service due to the dual left-turn lanes provided to enter the on-ramps. This project included eliminating the dual left turns and replacing them with loop on-ramps, along with utility relocations, mainline bridge modifications, new retaining wall construction, signal modifications, new striping, and landscape improvements. The project work was within the State's right-of- way, and Parsons ensured compliance with Caltrans construction policies and procedures. Parsons worked closely with the City's design consultant and Caltrans oversight engineers to resolve plan discrepancies and maintain the project schedule and budget. US 101/REYES ADOBE ROAD CONSTRCUTION MANAGEMENT; The City of Agoura Hills is reconstructing the US 101/Reyes Adobe Road interchange to improve safety, increase level of service (LOS), and allow i better access to and from the areas adjacent to the freeway. The City retained Parsons to provide construction management and inspection services for completion of the project. The project consists of bridge widening; roadway improvements; drainage improvements; roadway and sidewalk demolition; utility relocation; curb, gutter, and sidewalk replacement; median and sidewalk planters; landscape and irrigation improvements; and signal, striping, signing, and pavement delineation. All work must be completed in conformance with the Caltrans-approved plans and specification, approved permits, and approved agreements. Field Investigation and inspections are necessary. The Consultant shall obtain all necessary field data and make investigations, studies, and inspections necessary to properly accomplish the work required under this Agreement. 14 EXHIBIT "D" SCHEDULE OF COMPENSATION and PERSONNEL HOURLY RATES Compensation As compensation for the Consultant's services under this Agreement, the Agency shall pay the Consultant up to snot-to-exceed fixed compensation amount of One Million Eight Hundred and Eighty-two Thousand and Seventy-five Dollars ($1,882,075) which shall be for Parsons construction management and support services and additional sub-consultant costs as identified below based on the following tasks and phases of the requested services. The compensation amount for the required Scope of Services is fully loaded and includes all professional services, expenses, insurance, printing, communications, travel, miscellaneous reimbursements, and profit. Any and all special costs for services are included in the not-to exceed compensation identified in this Exhibit "D". Any acceleration of the Schedule of Performance resulting in a reduction in the actual hours spent to meet the requirements of the Scope of Services shall reduce the Consultant's actual final compensation accordingly. Further, if the Tustin Ranch Road Project is delayed for any reason, Consultant shall cease to invoice for the time frame that services are delayed until such time as services are reactivated. Contract Officers will notify the Consultant in writing in such an event in which case the time frame identified in Section 3.4 of the Agreement shall be accordingly extended for the time frame of any period that work by the Consultant is suspended. Compensation for Additional Services 3. In the event the Agency requires services in addition to those described in Exhibit "A", said services must first be approved by the Contract Officers by a written amendment to this Agreement. The Consultant shall be compensated at the Consultant's standard hourly rates for professional services as approved in writing by the Agency, plus reimbursement of expenses or a fixed amount agreed to in writing by the Agency and Consultant. Method of Payment 4. As a condition precedent to any payment to Consultant under this Agreement, Consultant shall submit monthly to the Agency a statement of account which clearly sets forth by dates the designated items of work for which the billing is submitted. The payment request shall identify tasks accomplished and costs during the monthly billing period assigned to each of the task categories shown on Attachment D-1 to this Exhibit "D" as required by the Agreement along with an estimate of the percentage of completion of the entire project. Timing of Payment 5. A written notice to proceed will not be issued until approval and execution of this Agreement and Consultant's compliance with all insurance requirements and City licensing requirements. However, the time schedule for completion of individual tasks is also largely based on yet to be awarded construction contracts for each phase of the Tustin Ranch Road Project. Upon issuance of a Notice to Proceed on the Consultant Services Agreement, the Consultant shall prepare for the Contract Officers' written approval a preliminary written master schedule for individual tasks assigned to Consultant with specific dates identified including the City's desire as identified above to have the total work tasks under the Scope of Services completed within the time frames noted.
