SCHEDULE
SUMMARY
AB 27 and a portion of AB 26 were recently stayed by the California Supreme Court. In
light of a portion of AB 26 being stayed, legal advisors for the California Redevelopment
Association ("CRA") and the City Attorney's office recommend that the City and Tustin
Community Redevelopment Agency ("Agency") adopt a resolution approving the
Enforceable Obligations Payment Schedule, subject to full reservation of rights, to
preserve all rights to make payments and perform enforceable obligations associated
with the Agency's projects by August 29, 2011.
RECOMMENDATION
It is recommended that the City Council and Agency:
1. Adopt the Resolution No. 11-03 of the Tustin Community Redevelopment Agency
Approving and Adopting Enforceable Obligations Payment Schedule ("FOPS") for the
Agency attached as Exhibit A and the FOPS attached as Exhibit 1 thereto;
2. Authorize the Tustin Finance Department to file with the County the required
Statement of Indebtedness by September 30, 2011.
FISCAL IMPACT
There is no direct fiscal impact other than staff time and effort for preparation of the
FOPS. Obligations on the FOPS are already commitments of the Agency. Adoption of
the FOPS will permit the Agency to continue its operations and allow it to meet
enforceable obligations until a further clarification from the California Supreme Court on
its partial stay of AB 26 or its final decisions on AB 26 and AB 27.

Enforceable Obligations Payment Schedule
BACKGROUND
ABx1 26 and ABx1 27, both trailer bills to implement the Califomia State Budget for Fiscal
Year 2011-12, were signed by the Governor on June 29, 2011.
ABx1 26 ("AB 26" or the "Dissolution Bill") will dissolve Redevelopment Agencies ("RDAs")
effective October 1, 2011. Until that time, RDAs are prohibited from taking any new actions
other than payment of existing indebtedness and perFormance of existing contractual
obligations. ABx1 27 ("AB 27 or the "Voluntary Program Bill") provides that,
notwithstanding the Dissolution Bill, any RDA may avoid dissolution by opting into a
Voluntary Program permitting it to continue to operate and function if the City has adopted
an opt-in ordinance by November 1, 2011. The contents of the ordinance were required to
commit the City to making specified substantial annual payments into a Special District
Allocation Fund ("SDAF") and Educational Revenue Augmentation Fund ("ERAF")
established for each county and administered by the county auditor-controller largely to
benefit local school and special districts.
Within 60 days of the Governor's signing of AB 26 and AB 27, cities that had not already
adopted an opt-in ordinance were required to adopt an Enforceable Obligation Payment
Schedule ("FOPS"). The FOPS was required to list all RDA's monetary and contractual
obligations within the definition of "Enforceable Obligation" contained in Section 34167(d)
of AB 26. As you are aware, the City has already adopted its opt-in ordinances (Urgency
Ordinance No. 1404 and permanent Ordinance No. 1405). The City, on August 15, 2011,
also filed an appeal of the Alternative Voluntary Program first year payment of $7.1 million
identified by the California DoF. Based on AB 27, the City staff and the City Attorney
concluded that the Agency was not subject to the requirement to adopt an FOPS.
However, following the City's adoption of the opt-in ordinances, on August 11, 2011, the
California Supreme Court issued a stay (Stay) in the litigation initiated by the California
Redevelopment Association (CRA) (California Redevelopment Association v.
Matosantos (S194861)), which is challenging the constitutionality of the Dissolution Bill
and the Voluntary Program Bill. The Stay was granted on all provisions of the Voluntary
Program Bill, and on all provisions of the Dissolution Bill, except that the request to stay
Division 24, Part 1.8 of the Health and Safety Code (Health & Safety Code, §§ 34161-
34167) was denied. In response, counsel for the CRA communicated to agencies
concern that the wording of the Stay was ambiguous as to the Dissolution Bill, in that
Park 1.8 also includes sections 34168-34169.5. In particular, section 34169 imposes
additional obligations on redevelopment agencies, including the adoption of the FOPS.
On August 17, 2011, the California Supreme Court modified the Stay. First, it clarified
that the exception to the Stay of the Dissolution Bill includes all of Part 1.8, including
section 34169. Second, the Court modified the Stay of Voluntary Program Bill to except

from it Health & Safety Code, § 34194(b){2), which provides the procedure for the
Director of Finance to determine the remittance amount due the county auditor-
controllerfrom those agencies participating in the "Voluntary Alternative Redevelopment
Program."
The effect of the Stay is to preserve the status quo by authorizing redevelopment
agencies to perform under "existing obligations" as defined by Section 34167(d) while
preventing agencies from undertaking new debt or making new commitments, among
other things, pending the Supreme Court's decision on the merits of petitioners' claims
that AB 26 and AB 27 violate the State Constitution and other laws. The August 17
modifications to the Stay have the effect of reviving portions of the previously stayed
statutory scheme that require actions be taken by agencies, cities and the state during
the period before January 15, 2012, by which .time .the Court intends to have rendered
its decision. These required actions include the adoption of the EOPS under the
Dissolution Bill and the determination of the remittance payment amount required by
agencies opting in to the Voluntary Alternative Redevelopment Program under the AB
27.
The Supreme Court has set an expedited briefing schedule to allow it to decide the case
before the first opt-in payments are due on January 15, 2012.
Unfortunately, the stay of AB 26 does not apply to Part 1.8, the section of the bill that
suspends activities of RDAs and creates a number of uncertainties, particularly for
agencies that have already adopted opt-in ordinances. Until CRA is able to receive
clarification from the Court, the suspension applies to all RDAs, regardless of whether they
had already or intended to opt-in under provisions of the Voluntary Program Bill. Under
Part 1.8 of the Dissolution Bill, the suspension of certain redevelopment activities remains
in effect, A redevelopment agency may not, among other things, incur new debt, enter
into contracts or amend or modify existing agreements, adopt or amend redevelopment
plans, act on real estate transactions including transactions involving the Low and
Moderate Income Fund or prepare or have prepared a draft environmental impact report at
this time. According to the Dissolution Bill, this section of the bill is intended to preserve, to
the extent possible, revenues and assets of an agency that are not needed to pay for
enforceable obligations so that agencies take no actions that would further deplete an
agency's funds.
Whether or not a city council has previously adopted an opt-in ordinance under AB 27,
agencies can continue to carry out "Enforceable Obligations". Enforceable Obligations, as
defined in the Dissolution Bill, include obligations such items as bond indentures,
disposition and development agreements, owner participation agreements, exclusive
negotiating agreements, cooperation agreements, legal binding contracts and other
contracts or agreements necessary for the continued administration or operation of the

RDA including, but not limited to, rental of office space, equipment and supplies, and
payroll-related expenses and insurance requirements. According to advice provided by
CRA and with concurrence of the City Attorney's office, enforceable obligations may also
include new contracts necessary to carry. out the Agency's duties under Enforceable
Obligations.
In light of the Supreme Court's Stay and modified Stay, the Agency must adopt an EOPS
by August 29th in order for the Agency to be able to make payments and perform
obligations required by Enforceable Obligations. If an EOPS is not adopted, the
Dissolution Bill appears to prohibit any payments after August 29th, even on Existing
Obligations (except with respect to bonded debt). While the Agency has taken all actions
to adopt the opt-in ordinances, the Agency should not run the risk that payments made
without an FOPS could be challenged in the future. Adoption of the EOPS schedule is
recommended at this time. The Agency has the discretion at a later meeting to amend it if
necessary.
The California DoF will retain responsibility for review of the EOPS and the State
Controller is also still required to review activities of the RDAs to determine whether
unauthorized asset transfers have occurred between agencies or their cities and counties.
A copy of the EOPS must be posted on the City or Agency's web-site, or its location on the
web-site transmitted to the California DoF, the State Controller and County Auditor-
Controller.
The next anticipated scheduling item that the City will need to proceed with after adoption
of a FOPS will be the filing of a Statement of Indebtedness by October 1, 2011. Such a
statement will be an important basis for establishing existing debt for continuing agencies
that will opt-in should AB 27 be upheld. If AB 27 is upheld, new debt not reflected on the
2011 Statement of Indebtedness will be subject to the payment to schools of 80% of their
net share of debt service.
The City Attorney and City Staff recommend the adoption of the attached resolution
approving the EOP Schedule, subject to full reservation of rights under the stay, to
preserve all rights to make payments and perform enforceable obligations associated with
the Agency's projects until the Supreme Court makes further modifications to the stay or
makes its final determination in the underlying litigation action.
Staff also recommends that the City Council. authorize the Tustin Finance Department with
prior review by Agency staff to complete and file the Statement of Indebtedness by
September 30, 2011.

RDA RESOLUTION NO. 11-03
A RESOLUTION OF THE BOARD OF DIRECTORS OF
THE TUSTIN COMMUNITY REDEVELOPMENT AGENCY,
APPROVING AND ADOPTING THE .ENFORCEABLE
OBLIGATION PAYMENT SCHEDULE
THE TUSTIN COMMUNITY REDEVELOPMENT AGENCY DOES HEREBY
RESOLVE AS FOLLOWS:
1. The Tustin Community Redevelopment Agency does hereby find and determine:
A. Pursuant to the California Community Redevelopment Law (Health and
Safety Code Section 33000 et seq.) (the "Redevelopment Law"), the City
Council of the City of Tustin (the "Council") adopted the following redevelopment
plans {collectively the "Redevelopment Plans"):
(1) The Town Center Redevelopment Plan was adopted on November 22, 1976
by Ordinance No. 701 and subsequently amended on September 8, 1981 by
Ordinance No. 855, and subsequently on March 20, 1989 by Ordinance No.
1021; on November 21, 1994 by Ordinance No. 1141, on February 22, 2005
by Ordinance No. 1291; on October 17, 2005 by Ordinance No. 1306, and; on
February 5, 2008 by Ordinance No. 1348.
(2) The South Central Redevelopment Plan was adopted on August 1, 1983 by
Ordinance No. 890, and subsequently amended on August 5, 1985 by
Ordinance No. 939; on November 21, 1994 by Ordinance No. 1142; on
November 1, 1999 by Ordinance No. 1223; on February 22, 2005 by
Ordinance no. 1290; on October 17, 2005 by Ordinance No 1307; on April 3,
2007 by Ordinance No. 1333, and; on February 5, 2008 by Ordinance No.
1349.
B. The MCAS Tustin Redevelopment Project was adopted on June 16, 2003
by Ordinance No. 1276 and subsequently amended on April 3, 2007 by
Ordinance No. 1334.
C. The Community Redevelopment Agency of the City of Tustin
(the "Agency") is responsible for implementing the Redevelopment Plans
pursuant to the Redevelopment Law; and
D. The California Legislature has adopted, and the Governor has signed, ABX1
26 (AB 26} and ABX1 27 (AB 27) into law, and the validity of those statutes have
been challenged by petitioners in California Redevelopment Association v.
Matosa»tos, Case No. 5194861, as violating the State Constitution and other
laws; and

E. On August 11, 2011, the California Supreme Court issued a partial stay
in Case No. S194$61, staying Chapter 6, Statutes 2011, First Extraordinary
Session (Assembly Bill No. 27 X1) in its entirety and staying Chapter 5, Statutes
2011, First Extraordinary Session (Assembly Bill No. 26 X1), except that the
request to stay Division 24, Part 1.8 of the Health and Safety Code (Health &
Safety Code, §§ 34161-34167) was denied; and
F. On August 17, 2011, the California Supreme Court modified its partial stay
in Case No. S194861 by, among other things, staying Chapter 5, Statutes 2011,
First Extraordinary Session (Assembly Bill No. 26 X1), except that the denial of
the request to stay Division 24, Part 1.8 of the Health and Safety Code was
clarified to include Health & Safety Code §§ 34161-34169.5; and
G. Section 34167(d) of Part 1.8 of the Redevelopment Law defines an
"enforceable obligation" for purposes of Part 1.8, and Section 34167(f) of the
Redevelopment Law provides that nothing in Part 1.$ shall be construed to
interfere with the Agency's authority to perform "enforceable obligations" as
defined therein, including making payments due; and
H. Section 34167(h) of the Redevelopment Law provides that the Agency
may not make a payment unless it is listed in an adopted enforceable obligation
payment schedule, other than payments required to meet obligations with
respect to bonded indebtedness; and
I. The Agency has prepared a schedule, which is Exhibit A to this
Resolution, setting forth all of the obligations which the Agency has determined
are enforceable obligations under Section 34167(d) of the Redevelopment Law;
and
J. The Agency does not intend, by adoption of this Resolution, to waive any
constitutional and/or legal rights by virtue of the adoption of this Resolution and,
therefore, reserves all of its rights under Laws to challenge the validity of any or
all provisions of AB 26 and AB 27 in any administrative or judicial proceeding
and/or repeal this resolution, without prejudice to the City's and the Agency's
right to perform and enforce its enforceable obligations; and
K. Under Title 14 of the California Code of Regulations, Section 15061(b)(3),
the approval of the Enforceable Obligation Payment Schedule is exempt from the
requirements of the California Environmental Quality Act ("CEQA"), in that it is
not a project as the adoption of the Enforceable Obligation Payment Schedule
will not have the potential of causing a significant environmental effect and it can
be seen with certainty that there is no possibility that the adoption of the
Enforceable Obligation Payment Schedule will have any significant effect on the
environment; and

L. The Agency Board has reviewed and duly considered the proposed
Enforceable Obligation Payment Schedule, documents, and other written
evidence presented at the meeting.
NOW, THEREFORE, THE TUSTIN COMMUNITY REDEVELOPMENT AGENCY
DOES RESOLVE, DECLARE, DETERMINE AND ORDER AS FOLLOWS:
SECTION 1. The Agency hereby finds and determines that the foregoing recitals
are true and correct.
SECTION 2. The Agency hereby approves and adopts the Enforceable
Obligation Payment Schedule attached as Exhibit A.
SECTION 3. The Agency Board authorizes the Agency's Executive Director or
the Executive Director's designee to:
(1) Post the Enforceable Obligation Payment Schedule on the Agency's and
City's Website.
(2) Designate an Agency representative to whom all questions related to the
Enforceable Obligation Payment Schedule can be directed, which shall be
Assistant City Manager Christine Shingleton.
(3) Transmit the Enforceable Obligation Payment Schedule by mail or electronic
means to the Orange County Auditor-Controller, the State Controller, and the
State Deparkment of Finance.
(4) Take such other actions and execute such other documents as are
appropriate to effectuate the intent of this Resolution and to implement the
Enforceable Obligation Payment Schedule on behalf of the Agency.
SECTION 4. The Secretary of the Agency shall certify the adoption of this
Resolution and thenceforth and thereafter the same shall be in full force and effect.
PASSED AND ADOPTED at a special meeting of the Tustin Community
Redevelopment Agency on the 24th day of August, 2011.
