PARKER, CITY MANAGER Agenda Item 8 Reviewed: City Manager Finance Director fA PATRICIA ESTRELLA, CITY CLERK SERVICES SUPERVISOR LEGISLATIVE REPORT SUMMARY: Staff has prepared the following Legislative Summary for the Council's review: • Summary of last minute action taken by the Governor in reference to the RDA trailer bill AB1484/SB1024 • Redevelopment Clean -up Bills & other Proposed Related Legislation for FY 2011 -2012 RECOMMENDATION: Receive and file. r bfI& ) � \\HII \I111N 111 (. \I II1�Nn'IA 1:1111\ ORANGE COUNTY AB 1484/SB 1024 RDA Trailer Bill Analysis Summary: The dissolution of RDAs and the rise of successor agencies and oversight boards have raised hundreds of questions about implementation and specific issues facing cities across the state. This bill was designed to clean up the problems with AB1X 26 and provide some direction for successor agencies. With final language released late Monday night, legislators and interested parties were given less than 48 hours to read and analyze this extensive and impactful piece of legislation. In its preliminary analysis, the ACC -OC has significant concerns with the trailer bill language. While the language does give successor agencies more clarity and flexibility, a majority of the bill enhances the power of the Department of Finance and increases the workload of successor agencies without increasing administrative caps. This bill has also reduced the involvement of oversight boards, with the DOF now doing a majority of their work. Another concern is a provision that gives the DOF the power to offset against the sales and property tax payments to cities that the DOF concludes have failed to comply with orders to turn over cash or other assets that may be in dispute. The last part of the bill is a tradeoff of sorts, saying that if successor agencies complete all of the payments outlined in the bill, they will be able to have flexibility on real property, loan agreements and bond issues. What follows is a breakdown of how the trailer bill will be good for successor agencies and bad for successor agencies, according to our initial analysis. ACC -OC is providing this information for you so that you can see how this legislation will be implemented and the impacts it will have on Orange County. The ACC -OC will continue to analyze this legislation, work with our partners in Sacramento and take steps to protect Orange County cities. The Good These items are ways this legislation helps successor agencies carry out the mandates of AB1X 26. 1. Administrative costs now exclude the following: a. litigation expenses b. Costs of maintaining assets c. Project specific costs Many successor agencies were paying the above items out of their administrative budget. Now they do not have to be included and the money can be used for other purposes. 2. A reserve may be established when required by specific bonds, or if there is insufficient property tax to pay off the bond payments 3. Enforceable obligations can now include various administrative costs (agreements concerning litigation expenses, costs of maintaining assets prior to their disposition) This was a problem many cities were facing and helps clear the air statutorily. 4. A successor agency may amend its initial EOPS if it has not yet submitted its January — June ROPS. 5. Successor agencies may create enforceable obligations to help with wind -down efforts. In general, these EOs can now include: a. Staff b. Admin Services c. Legal Counsel d. Insurance 6. "Government purpose' assets like libraries and administrative buildings can be transferred to the appropriate jurisdiction. 7. DOF may allow successor agencies to retain property tax that would have been dispersed in order to pay off enforceable obligations. Once the DOF determines the successor agency has enough funds, the taxes will be dispersed. a. Good /bad — DOF gets to determine if successor agencies need the money, but the successor agency now has that option 8. Amounts borrowed from the LMIHF are enforceable obligations. Repayment of those amounts (through property tax) are deemed housing assets that can be used by successor housing entity. 9. Successor housing entity must submit a list of assets to the DOF that is subject to DOF review. If the DOF objects, the assets are returned to successor agency. The Bad These items inhibit successor agencies from carrying out the mandates of AB1X 26. 1. "Finding of Completion' suspending 2 year window for legal action a. Successor agencies should not have to worry about litigation outside the pre - established timeline Oversight Boards given the ability to limit administrative budget ($250,000) a. Successor agencies should not be limited at a time when the DOF will be requiring more work 3. ROPS a. ROPS will now be submitted to county executive officer, county auditor controller and the DOF at the same time. i. Greatly increases the authority of the DOF ii. Diminishes the power or the oversight board b. DOF has until 15 days before property tax distribution to notify successor agencies of their decision on the ROPS c. Further mandates on submission of ROPS. Must be the actual document, not just an approval letter from the oversight board. d. $10,000 PER DAY penalty for late ROPS e. DOF may determine if any amount should be withheld by the auditor - controller for payments on enforceable obligations, if the ROPS is not on time. 4. Oversight board cannot reauthorize enforceable obligations that were deleted or reduced by DOF a. Once again, power of oversight board is diminished 5. No amnesty from Controller "clawback" of real property transfers after Jan 31, 2012 or from Jan 1, 2011 -June 30, 2011 a. Gives the Controller ultimate power in determining what was done for on enforceable obligation or not 6. Oversight board actions are now required to be provided to the DOF by electronic means and in a "matter of the department's choosing" a. Very vague provision that makes o limited staff have more work 7. The DOF will have 40 days (10 prior to this bill) to approve oversight board action that it has requested a review of a. More power to the DOF, less to oversight board 8. DOF may now "eliminate or modify" an item on the ROPS prior to the ROPS approval 9. Successor agencies will be required to employ a licensed accountant (approved by auditor controller) to determine what can be transferred to the various taxing entities. The determination can be done by the auditor controller, with approval by the oversight board. a. More administrative costs, as the Auditor - Controller would likely charge for this service if the successor agency chooses to use their service instead of hiring one individually b. Determinations on assets not being done by those who know them best 10. Successor agencies required to do an review of assets with an extremely short timeline a. Timeline is extremely burdensome... first deadline is October 1, 2012 b. Shortened timeline without any additional administrative cap room 11. "Offset" provision a. Gives the DOF the power to "offset" against the sales and property tax payments to cities that the Department concludes have failed to comply with the Department's orders to turn over cash or other assets that may be in dispute. 12. DOF now has ability to review oversight board decisions on disposition of assets and transfer of housing assets. a. Has up to 60 days to review these actions 13. Auditor - Controller now has ability to review and reject ROPS, even before the ROPS goes to the oversight board for approval. a. DOF has ultimate decision power in terms of what can be deemed enforceable 14. DOF can review and object to oversight board order for successor agency to dispose of real property assets and for successor agency to transfer housing assets. Scratch my back. I'll scratch yours The successor agency will receive a ' finding of completion" from the DOF once the payments in the "if' section are made. The finding of completion gives the successor agency the ability to do the items in the "THEN" section. IF successor agencies make the following payments (determined by audit described in 34179.5): o Unencumbered cash o Amounts transferred to public agencies without enforceable obligations as determined in audit o LMIHF cash as determined in audit THE o Pass - through payments not made in 2011 -12 o Taxing entity distribution for the period January 1, 2012 — January 30, 2012 o Loan agreements: With approval of oversight board AND DOF, loan agreements between the former redevelopment agency and city will be deemed enforceable obligations. LAIF rate. Repayment delayed until 2013 -14 and other restrictions regarding annual payment amounts. 20% of amount transferred to LMIHF. o Bond proceeds: With approval of oversight board AND DOF, successor agencies can use bond proceeds from bonds issued before 12/31/10. o Disposal of real property assets: DOF (not oversight board) approves long -range property management plan submitted by the successor agency. Plan can include transfer of assets to city for development of a project identified in a redevelopment plan. Government purpose assets will be transferred to appropriate government agency. Conclusion: Clearly there are severe problems with this legislation. The DOF, with the legislation as is, would become judge, jury and executioner on all matters of decision making with little time for successor agencies to voice their concerns. Also, the role of oversight boards has become even more vague and unclear. Successor agencies will now have to work twice as hard to comply with increased workloads, shortened timelines and the same — if not less — administrative cost caps. While the above is the ACC -OC's preliminary analysis of the passed trailer bill language, we will continue to review it closely and work with our partners in Sacramento to determine next steps.
