PROFESSIONAL SERVICES AGREEMENT FOR
AVENUE WELL (PROJECT NO. 6130)
DESIGN OF PASADENA
SUMMARY
This action is the approval of a Consultant Services Agreement in the amount of $198,767 with
AKM Consulting Engineers for providing the necessary services for the design of the Pasadena
Avenue Well.
RECOMMENDATION
That the City Council authorize the Mayor and City Clerk, subject to final City Attorney approval,
to execute the attached Professional Services Agreement with AKM Consulting Engineers for
engineering services for the design of the Pasadena Avenue Well.
FISCAL IMPACT
The requested action involves funding of $198,767 from the Water Capital Improvement
Program. There is currently $710,000 budgeted for the initial phases of this project.
BACKGROUND
In October of 1990, Daniel Boyle Engineering, Inc., completed a Water System Storage
Evaluation Study. The Study determined that there were deficiencies in the system in both
quantity of storage and structural condition of existing reservoirs. The recommendations included
new storage and new wells With standby power to enable the use of the groundwater basin as a
part of the City's storage needs. In addition, the cost of the City's water supply is reduced as the
local groundwater is less costly than imported water. The Rights of Way for the proposed well
are in the process of acquisition from Caltrans and are located on the west side of Pasadena
Avenue opposite the end of 2"6 Street. The services to be provided under this agreement include
the preparation of plans and specifications for the well drilling, monitoring and inspection of the
well drilling, preparation of plans and specifications for the wellhead facilities and selective input
and oversight during the construction.
The City's Program Manager has prepared the scope of work and request for proposal for the
engineering services and assisted in the consultant selection.

DISCUSSION
Written proposals were received from four firms to perform the engineering services. They are as
follows:

Black & Veatch
Camp Dresser & McKee
Daniel Boyle Engineering
A selection committee consisting of City staff and the Program Manager determined that, based
on professional qualifications and recent experience with related work, AKM Consulting
Engineers is the most qualified firm to perform the requested work. AKM Consulting Engineers
and their project team, which includes Richard C. Slade & Associates, have 'extensive
experience with the design of municipal water supply wells in Orange County and demonstrated
a significantly better work plan for dealing with the issues that will need to be addressed than did
the other firms. Once it was determined that AKM Consulting Engineers was the most qualified
firm, the final scope of work and fee were negotiated.

CONSULTANT SERVICES AGREEMENT
THIS AGREEMENT FOR CONSULTANT SERVICES, is made and entered into this 6th day of
.December 1999, by and between the CITY OF TUSTIN, a municipal corporation, hereinafter
referred to as "City", and AKM Consulting Engineers, a California corporation, hereinafter
referred, to as "Consultant".
RECITALS
WHEREAS, City requires the services of a consultant to furnish the necessary engineering
services ~or the Design of a New Well at the Pasadena Avenue Site, hereinafter referred to as
· Project, and
WHEREAS, Consultant has submitted to City a proposal dated July 22, 1999, a copy of which is
attached hereto, marked as Exhibit "A', and is by this reference incorporated into this Agreement;
and
WHEREAS, Consultant is qualified to provide the necessary services for the Project and desires
to provide said services; and
WHEREAS, City desires to retain the services of Consultant for said Project.
NOW, THEREFORE, for the consideration and upon the terms and conditions hereinafter set
forth, the parties agree as follows:
AGREEMENT
Section 1: Scope ef Consultant's Services.
Consultant shall perform' all work necessary to complete in a manner satisfactory to City, the
services set forth in the City's Request for Proposal dated June 17, 1999, a copy of which is
attached hereto, marked as Exhibit "B" and is by this reference incorporated into this Agreement.
Consultant shall also perform all the services set forth in Exhibit "A".
Section 2: Order of Precedence.
In the event of a conflict between or among any of the documents comprising this Agreement, the
following order to precedence shall govem the provision in question:
1. This Agreement
2. City's Request for Proposal (Exhibit "B")
3. Consultant's Proposal (Exhibit "A')
Section 3: Time for Completion
The time ~'or completion of the work to be performed by Consultant is an essential condition of.
this Agreement. Consultant shall prosecute regularly and diligently the work of this Agreement
according to reasonable schedules established by the City for various items described and as
outlined'within Consultant's proposal. Consultant shall not be accountable for delaYs in the
progress of its work caused by any condition beyond its control and without the fault or
negligence of Consultant. Delays shall not entitle Consultant to any additional compensation
regardless Of the party responsible for the delay.
Section 4: Compensation.
A.
The compensation to be paid under this Agreement shall be as set forth in Exhibit "A",
to exceed a total cost of $198,767.00

· Consultant shall submit detailed invoices,' based upon the actual work performed
accompanied by backup documentation as requested by the City.

Progress payments for work completed shall be paid by City as the work progresses within
thirty (30) days of the date of Consultant's invoice.
Do
Consultant shall provide City with a monthly itemization of all work performed, and the
fees accrued thereon, in complete and sufficient detail to fully apprise City thereof.
Section 5: Independent Contractor.
Consultant's relationship to City in the performance of this Agreement is that of an
independent contractor. Consultant's personnel performing services under this Agreement shall at
all times be under Consultant's exclusive direction and control and shall be employees of
Consultant and not employees of City. Consultant shall pay all wages, salaries and other amounts
due its employees in connection with this Agreement and shall be responsible for all reports and
obligations respecting them, such as social security, income tax withholding, unemployment
compensation, workers' compensation and similar matters.
Section 6: Indemnification..
Consultant agrees to indemnify, defend and hold City' its officers, agents, employees,
successors and assigns harmless from any loss,, damage, injury, sickness, death, or other claim
made by any person and from all costs, expenses and charges including attorney's fees.caused by
or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts,
negligent errors, or negligent omissions or willful misconduct, or conduct for which the law
imposes strict liability on Consultant in the performance or failure to perform this Agreement.
Section 7: Insurance
Cbnsultant shall maintain in full force and effect during the term of this Agreement policies
of comprehensive general liability, personal injury and automobile liability insurance with
limits of at least $I,000,000 combined single limit coverage per occurrence.

Consultant shall maintain in.full force and effect during the term of this Agreement a
policy of prvfessional liability instance coverage with limits of at least $500,000 combined
single limit coverage per claim or per occurrence. If Consultant provides claims made
professional liability insurance, Consultant shall also agree in writing either (1) to purchase
tail insurance in the amount required by this Agreement or to cover claims made within
five (5) years of the completion of Consultant's service under this Agreement, or (2) to
maintain professional liability insurance coverage with the same carrier in the amount
required by this Agreement for at least five (5) years after completion of Consultant's
services under this Agreement. Consultant shall also provide evidence to the City of the
purchase of the required tail insurance or continuation of the professional liability policy
by executing the attached Letter Agreement on Consultant's letterhead.

Consultant shall carry and pay for such compensation' insurance as is necessary to fully
protect Consultant and its employees under California Worker's Compensation Insurance
and Safety Laws, and shall relieve the City from all responsibility under said laws in
connection with the performance of this Agreement.

All insurance required pursuant to this Section shall be issued by a company admitted in
the State of California and rated A, VII or better by the latest edition of Best's Key Rating
Guide.

Upon execution of this Agreement, Consultant shall provide to City certificates of
insurance on the City's form evidencing the required insurance. If self-insured for worker's
compensation, Consultant shall submit.to City a copy of its certification of self-insurance
issued by the Department of Industrial Relations.
Section 8: Termination of Agreement.
City shall have the right to terminate any or all of the services covered by this Agreement at any
time for any reason by giving written notice to Consultant.
Upon termination of this Agreement, ConSultant shall be paid for services rendered by the
effective date of the termination.
Upon termination of this Agreement or completion of the Project, all documents relating to the
Project shall become the sole property of City. Should City terminate this Agreement pursuant to
subparagraph A. of this Section, Consultant shall, within ten (10) business days of receipt of
notice of termination, provide City with all documents within Consultant's possession relating to
this Agreement and the Project, including but not limited to all completed documents and all
drafts of u. ncompleted documents.
Section 9: Notices
Any notice allowed or required to be given shall be effective upon personal delivery
thereof, or upon depositing thereof in the 'United States Postal Service, certified mail, return
receipt requested, postage prepaid, addressed as follows:

Section 10: Miscellaneous Provisions.

Consultant shall proceed immediately and diligently to perform the services provided for in
this Agreement upon receipt of notice from City to proceed therewith.

No part of this Agreement may be assigned by Consultant without the prior written
approval of City.

This Agreement shall extend to and be binding upon and inure to the benefit of heirs,
executors, administrators, successors and assigns of the respective parties hereto.

Consultant shall perform all services required under this Agreement using that degree of
care and skill ordinarily exercised under similar conditions in similar localities, and shall be
responsible for all errors and omissions for services performed by Consultant under the
terms of this Agreement.

employed in the work covered by this Agreement, or against any application for such
employment, because of race, religion, color, sex or national origin including but not
limited to, the following: employment, upgrading, demotion or transfer, recruitment, or

Dear Mr. Morris:
AKM Consulting Engineers, in association with Richard C. Slade & Associates LLC, is pleased to submit
this proposal to provide professional services for the subject project in response to the City's request
dated June 17, 1999. As requested, the fee scheduled is being submitted under separate cover in a
sealed envelope.
Based upon our review of the scope of work, discussions with the City staff, review of available related
material, our experience with similar work, and our understanding of the importance of this well to the
City, we have assembled a project team with extensive experience and expertise in well drilling,
equipping arid transmission main projects to undertake the project and complete it expeditiously.
The Project Team will be under the overall direction of Mr. Zeki Kayiran, P.E., who will serv.e as the
Project Manager. He will be assisted by Mr. John Loague, P.E., as the Project Engineer. Mr. Richard
C. Slade will oversee the Hydrogeology/Well Drilling/Development portion of the project.
Our proposed Project Team has recently completed similar services for the City of Tustin, South
Montebelio Irrigation District and the Montebello Land and Water Company. Additionally, all project
team members have been responsible for successful completion 'of a number of wellhead facility design
and construction assignments, and will be committed to this project to ensure a quality product that will
be completed on schedule.

AKM Co'nsulting Engineers has a long and distinguished track record in the performance of quality
engineering services, specifically, in the areas of well siting, drilling, testing, equipping and
associated construction support/constructiOn management.
Specific examples of AKM's experience follow. These projects are representative of the types of.
projects that the team members have recently completed. They are directly relevant for
consideration within the content of the proposed project. All projects were performed by the
individuals listed for project assignment and required a level of performance and addressed
technical issues similar to those required for the Pasadena Avenue Well.

prepared plans, specifications and estimates for
the wellhead facilities of a 2000 gpm domestic
water well I~cated in the parking tot of a
commercial development. The work included
siting studies prior to the drilling of the well in
order to determine the best location for future
access and maintenance. The building housing
the well and chlorination facilities was designed
to match the surrounding architectural scheme.

PROJECT NAME: DESIGN WELLHEAD FACILITIES FOR WELL NO. 6
'CLIENT: South Montebeilo Irrigation District .'

AKM Consulting Engineers prepared design reports, plans, specifications, cost estimates, and construction
support services for the construction of wellhead and chlorination facilities for South Montebello Irrigation
District.
The South Montebeilo Irrigation District serves a closed system covering 1.8 square miles within the City of
Montebello corporate boundaries. The system was supplied through a variable speed booster pump station
located in the northeast corner of the District. The supply to the booster pump station consists of three wells
that also pump into two forebay reservoirs. To improve system reliability, the District requested the
construction of tWo new wells. Well No. 6 was constructed near the center of the service area, away from the
booster pump station, to provide up to 2100 gpm of potable water. The facility includes the well pump, valves,
piping and controls; and a 20-pound per day chlorination facility.
AKM'Consulting Engineers' assisted the District in all aspects of planning, design, and construction of the well
from thi~ drilling phase to the equipping of the well.
The scope of work included well site survey and study, preparation of construction documents, and
construction support.
Architecturally, the well house and chlorination buildings matched the District's adjacent office building. An
extensive study of alternative chlorination methods was conducted for the new well. Many systems were
reviewed. An on-site chlorine generation system was determined to be the most appropriate for this
application because of very limited space available. The well is operated with the use of a variable frequency
drive (VFD) to maintain a constant discharge pressure in the District's closed system. The VFD allows the
well to operate at various speeds to match changing demands.
With the addition of the new well, the '
operation of the system changed dramatically
for the better. AKM Consulting Engineers
worked closely with the District to devise a
control strategy integrating all of the District's

NPDES permit for the well's waste cycle, and
a Los Angeles County Public Works Waste

Montebello Land and Water CompAny
The Montebello Land and Water Company (ML&WC) services an area of 1.98 square miles within the City of
Montebello corporate boundaries. The service.population is approximately 14,000 persons with an average
annual water 8emend of 2300 gpm. The entire source of supply is from six wells located along Rio Hondo on
the east side of the service area.
The Well No. 14 project was recommended by AKM as a result of a system evaluation. It provides a more
efficient distribution of water throughout the ML&WC's service area. After a potential well site was identified,
AKM simulated the impact of the well on the distribution system utilizing a hydraulic computer model
developed by AKM. The model confirmed the overall benefits of the proposed well, which included improved
fire protection and more uniform delivery pressures to customers. The model also revealed that improved
distribution of the water was achieved by connec:ing the well at two locations to the distribution system.
AKM· Consulting Eqgineers provided design ~_r~d construction support services for equipping and site
improvi~ments for Well No. 14. AKM reviewed the sieve analyses from the pilot hole and approved the gravel
pack and well screen design. The pump was selected based upon the results of the step-drawdown and long
term aquifer tests. AKM Consulting Engineers prepared plans, specifications, and estimates; bidding
se~ices; and cons~..;ction support services for the wellhead facilities and site improvements.
Because the demands in the zone which the well pumps into Very significantly throughout a day, a variable
frequency drive was used to control pump outlet, and system pressures to a constant 65 psi. It was designed
to be operable in these modes, consistent with the control system for the ~v;L&WC's other six (6) wells.
Manual mode will start the well with output manually controlled by a potentiometer located in the pump control
panel. In "auto," the well wili s;a,"t and automatically modulate its output to maintain a system pressure of 65
psi.
The chlorination system was designed to deliver a maximum dosage of
2 ppm, and is a flow paced system. A gas system was chosen for
uniformity with the existing chlorination facilities and ease of ooeration.
The Fire Department agreed not to require an on site scrubbing system
provided that ML&WC wculd house only one 150 pound cylinder at the
facility.
The complete project included a 350 HP, 3000 gpm VFD operated
deepwell vertical turbine pump and motor; a 10'x10'x12' removable
fiberglass reinforced plastic building to house the pump; 14oinch
discharge piping to Montebello Boulevard; 12-inch and 8-inch piping in
Montebello Boulevard to connections with existing pipes; a 200 SF
chlorine and electrical building; a 150 pound cylinder flow proportioning
chlorination facility with booster pump; landscaping, irrigation and
miscellaneous site work; a 12-inch DIP drain, to a connection with an
existing LACFCD .catch basin at the corner of Madison Avenue; a
telemetry system and remote monitoring panel. AKM also obtained a
building permit, encroachment permit and Los Angeles County Flood
Control District construction permit for the project. AKM prepared
renderings of the facility for the Conditional use pe"mit application.
The architecture Cf :he building matches the nearby office building and the surrounding residential buildings.

AKM obtained the NPDES permit from the Regional Water Quality Control Board and Los Angeles County
permit to discharge aquifer water into the County's drainage system. AKM provided complete construction
support services to the City.

AKM Consulting Engineers prepared plans, specifications and estimates as well as construction support
services for equipping of Well No. 7. The well.was equipped with a 125 HP, 800 gpm pump, and motor.
Discharge piping connects to the existing iron and manganese filtration plant.

This well replaced the nearby Well No. 3 that produced only 300 gpm. Initially: a pilot hole was drilled to 1200
feat. The production well was finished at 850 feet with a 16-inch and 12-inch casing.
AKM also prepared plans, specifications and estimates and provided construction support services for
upgrading of the existing iron and manganese filtration plant to current standards. The gas chlorination facility
at the treatment plant was also upgraded as part of this project.

The City. of Tustin desires to engage the services of a consulting firm experienced in
the design, preparation of plans and specifications and oversight of the drilling of
potable water wells. Tustin will retain the ser.'ices of a qualified consulting firm to
provide design, drilling oversight, and construction phase services for the prepa-arion
of plans and specifications for the drilling, testing and equipping a new production well
at the Pasadena Avenue site,
BACKGROL',,.'ND
City of Tustin has embarked upon a program wherein it will be able to meet its full
· service V"ater demands through the production of ground`.vater from the Orange County
Basin. This new production well will partially replace a portion of the Cit?"s
under,,round water supply 3vhich has been lost due to excessive nitrate concentrations
above drinking water standards. The pilot boring for the `.,.'ell ,,`.'ill is expected to be
drilled to a depth of 1,500 feet. The final design depth will be decided after
examination of the lithology and water quality analyses of samples collected from
various depths. The final b°rehole diameter will be between 28 and 36-inches. The well
will be drilled using reverse-circulation method. The hoped for yield of' the new well is
2,000 gpm. The proposed location of the new ,.,,'ell is on the `.,,'est side of Pasadena
Avenue south of 1" Street. The parcel is a surplus property parcel that the City is in the
process of acquiring from CalTrans and is shown on the attached figure. This facility is
to be constructed as a part of the City's ongoing Water System Capital Improvement
Program.

All services will be 'procured in accordance with existing City of Tustin policies which
require professional firms to be selected on the basis of professional experience,
qualifications and cost. Compensation to be paid under any resulting agreement will be
based on individual tasks 'and progress payments will be made for completed tasks
only.
Proposing firms will be evaluated on demonstrated competence, professional
qualifications, familiarity and experience with providing this type of' service, and the
understanding of the Citv of Tustin's needs, the experience of the Project Manager and
the percentage of his time to be dedicated to the project will be key factors. The method
for maintaining ciose communication with City staff and approach to completing the
project in a timely manner will be of utmost importance.
The selected firm will report directly to the City's Program Manager. ASL Consulting
Eneineers. It is expected that the selected firm will provide tine necessary analysis 'and
m~e recommendations on all technical issues.
Written proposals will be evaluated by a selection cemmittee. Subsequently, selected
firms may be asked to ei:'e a presentation to the committee. Upon selection of the most
qualified firm, a Scope of Work and Fee .~-rangement will be negotiated. If the
selected firm and the City are unable to negotiate a fee arrangement deemed fair and
reasonable, the City will attempt to negctiate an agreement with the hex.: most qualified
firm. and so on until an agreement is reached.

City's philosophy regarding the operation of the proposed project.

Pasadena Avenue site. Information to be obtained shall include the availability of
adequate electrical service feed frOm SCE, availability of telephone service, and the
need for site telemetry cable and control wiring.
TASK2
Preliminary Facility L. ayout and Concept Plan
A. The Consultant is required to prepare Preliminary design concept plans for the
wellhead facilities, disinfectiOn facilities, emergency generator, delivery pipelines,
storm drain pipeline, yard piping, and appurtenant thcilities proposed to be located
at the Pasaden'a Avenue site.
B. Analyze use of various level mechanical and electronic rnonitoring equipment to
report data to the City's SCADA system Any selected instrumentation equipment

budo_et of 12 hours of staff time for minor plan .revisions to the construction
drawin_.s. Four (4) site visits of two hours each should also be budgeted for by the
Consultant. Additional budget should be included for two (2) site visits of four
hours each during project start up activities. Site visits will be requested by the
Program Manager on an as needed basis.

ADDITIONAL RESPONSIBILITIES
Meet periodically with City staff and Program Manager during the design process to
review and discuss progress and coordinate courses of action. Make recommendations
on Site layouts, piping contigurations, pump types and sizes, valves, electrical and
mechanical equipment, etc. It is anticipated ti'mt a maximum of five design meetings
will be required. This does not include the initial project meeting, project submittal
meetings, the pre-bid meeting or the preconstruction meeting.

Consultant shall be responsible for notifying the City in writing of any regulatory
,requirements or conditions for design or construction of the Pasadena Avenue Well
facilities and appurtenances. The requirements shall not include those for which the
City is exempt from by public agency laws. The Prograrn Manager will perform the
coordination with any agencies with jurisdiction over the work involved. The Pro,am
Manager will also authorize any needed permit applications.
ITEMS TO BE SUPPLIED BY THE CITY
The City shall supply/provide the consultant with the following:
A. Riglnts-of-Way information on the proposed site (all of which is in the process of
being acquired).
B. Plans and drawings, as are availaNe and appurtenant to the proposed project.
C. Existing operational records and flow data as are available and appurtenant to the

Your proposal for ti'tis work should include the following intbrmation:
A. Your firm's qualifications for performing this work. including .,,'our related
experience in the preparation of plans and specifications tbr drilling and equipping
of municipal water wells. Provide a brief list of similar types of projects which your
firm has previously performed, including scope, cost and agency for whom
completed, including contact person and phone number.

Identification. titles and qualifications of individuals who will supervise and
perform the necessary services as .discussed in the Scope of Work. The experience
and qua!ifications of the project manager and of other key individuals proposed to
assist in the project will be significant factors in the evaluation process. The
percentage of time that will be dedicated to the project by the project manager and
other key staff should also be provided. The Consultant will assign a responsible
representative and an alternate to perform the assigned tasks. Both ,,,,'ill be identified
in the proposal. The Consultant's representative will remain in responsible charge
of all duties from contract negotiations through project completion. If the primary.
representative is unable to continue with thc project, then the alternate
representative 'will become the primary representative. The City and the Program
Manager must approve any other changes in responsible representative, in advance.
The City '*'ill have the right to reject other proposed changes in personnel, and may
consider any other changes in responsible personnel a breach of contract.
C. An identification of the tasks necessary, to complete the Scope of Work and an
estimate of the time and man hours necessary, to complete each task. Identify the
individuals who will be assigned to each task.
D. A proposed project schedule depicting the time of completion for the project
design. The schedule shall include the number of calendar days required to perform
each task and the total number of calendar days required to complete the entire
project. The schedule should be coordinated with the review dates shown above.
E. The information you expect to be provided by the City.

Fee sch~-dule (submit in a SEPARATE SEALED ENVELOPE) indicating the
proposed cost Ibr completing each task and a resulting "not to exceed" cost of the
project based upon the work hours, hourly rates, and other associated costs. The
proposed cost to complete each task shall include the costs of all administration and
overhead, project site visits, attendance at meetings, and all reproduction costs.
Include a schedule of hourly rates for your firm's employee titles or various
classifications in the sealed envelope.

The Consultant shall be responsible for completing the specified services in accord
with the City's standard "ProfessiOnal Services Agreement". which will be prepared by
the City's i"rogram Manager. Services specified in this agreement shall be taken
directly from this "Request for Proposal" and from the Consultant's proposal.
