EXTENSION OF "SAFE RIDES PROGRAM" CONTRACT
RECOMMENDATION:
Grant an extension of the Facilities Use Agreement to June 28, 1999.

BACKGROUND:
On December 1, 1998, the Boy Scouts of America, Orange County Counsel, entered into a
Facilities Use Agreement with the Police Department. The City Attorney wrote the
agreement commencing December 1, 1998, and ending May 31, 1999. It provided for the use
of a .room in the Police Department on Friday and Saturday evenings to operate as the Boy
Scouts contact and dispatch point for the Safe Prides Program. The program provides pick-up
and transportation by responsible adult volunteers for underage persons who may be
intoxicated.
The tern of the agreement was based on the Boy Scouts anticipated securing of a permanent
facility at St. Joseph's Hospital in the City of Orange prior to the end of this school year. The
Boy Scouts have since learned the agreement with St. Joseph's Hospital will not be in place in
time. This extension will carry them through the end of the current year and will move to St.
Joseph's for the next school year.
During the tern of the agreement to date, the program has operated in confomance with all
requirements of the agreement and has had minimal, acceptable impact on the Department.

BSA agrees that prior to use of City police facilities BSA shall submit
to City proof of public liability and property d~mage insurance,
including automobile liabilit~ coverage, written by an insurance
company acceptable to City in the limits set forth below, naming City
as an additional insured.
Public liability and property damage insurance shall be .reqUired in
the ~mount of not less than one million dollars ($1,000,000) per
occurrence. Automobile liability insurance shall be required covering
owned and non-owned vehicles with a combined single limit of not less
thzn three hundred thousand dollars ($300,000) per occurrence.
BSA further agrees to indemnify, defend, and hold harmless City and
all of its officers, directors, agents, representatives, and employees
(collectively the "Parties") of a_nd from any and all claims, demands,
causes of action, losses, liabilities, damages, costs, and expenses
(including reasonable attorneys' fees) arising from or related to BSA's
use of City facilities while carrying out the Safe Rides Program.
Notwithstanding anything to the contrary and foregoing, nothing in
this subsection sh~l! operate to relieve either party to this indemnity
from any loss, damage, injury, or claim found by a court of competent
jurisdiction to have been caused solely by the gross negligence or
willfifl misconduct of such party. The provisions of this indemnity
shall be binding on BSA o_nd to any successors-m-interest.
City and BSA agree that City may terminate this agreement for any
reason by giving BSA written notice thereof within thirty (30) days of
termination.
When signed by both BSA a_~d City, this letter will constitute a
binding agreement.
