HUSTON, CITY MANAGER PUBLIC WORKS DEPARTMENT/FIELD SERVICES DIVISION PROFESSIONAL SERVICES AGREEMENT-TAIT & ASSOCIATES RECOMMENDATION: The City Council approve a Professional Services Agreement with Tait & Associates for a not to exceed amount of $33,025.00, and authorize the Mayor to execute the agreementl FISCAL IMPACT: The removal and replacement of the fuel storage tanks at the City Maintenance Facility is a project that was approved in the 1997/98 C.I.P. This project has a proposed budget of $300,000, which included both engineering and construction services. The $33,025.00 total for the engineering services is within ~he amomit estimated for the design services. DISCUSSION: Regulations established by the EPA and the State Water Resources Control Board require all underground storage tanks installed prior to 1988 be upgraded, replaced or closed. Federal and State laws require this action take place prior to December 22, 1998, or the tank will be placed out of service. This means that no fuel can be sold to anyone whose tanks do not meet the underground storage tank requirements. The tanks at the City Maintenance Facility were installed prior to 1980 and must be removed and replaced to meet the regulations. Staffsent out a request for proposals in September 1997 to approximately 30 engineering firms. The City received four proposals back. The proposals were evaluated by an internal review committee comprised of representatives from Community Development, Public Works Engineering, and Field Services. The evaluation of these proposals resulted in two firms 0Emcom and Tait & Assoc.) being interviewed. The committee decided' that Tait & Associates was the most qualified firm because of their experience, personnel assigned to this project, and a review of past projects completed with clients that included; OCTA, City of Palm Springs, and LA County MTA. The scope of work for this project includes the preparation of plans and specifications for bidding, obtaining project permits, performing soils testing as required, and providing construction administration and inspection services. The design phase will take approximately 10 weeks, with construction estimated to begin in summer 1998. This will enable the City to have the project completed by the federal mandated deadline of December 22, 1998. Tim D. Serl~t ~_.~ Martin Pasmcha Director of Public Works/City Engineer Manager, Field Services Attachments CONSULTANT SERVICES AGREEMENT THIS AGREEMENT FOR CONSULTANT SERVICES, is made and entered into, by and between the CITY OF TUSTIN, a municipal corporation, 'hereinafter referred to as "City", and Tait & Associates, Inc., a California corporation, hereinafter referred to as "Consultant'.'. RECITALS WHEREAS, City requires the services of a consultant to furnish the necessary engineering services for its Underground Storage Tank Replacement and Upgrade Project, hereinafter referred to as "Project"; and WHEREAS, Consultant has submitted to City a proposal dated October 10, 1997, a copy of which is attached hereto, marked as Exhibit "A" and is by this reference incorporated into this Agreement; and WHEREAS, Consultant is qualified to provide the necessary services for the Project and desires to provide said services; and WHEREAS, City desires to retain the services of Consultant for said Project. NOW, THEREFORE, for the consideration and upon the terms and conditions hereinafter set forth, the parties agree as follows: AGREEMENT Section 1: Scope of Consultant's Services.' Consultant shall perform all work necessary to complete in a manner satisfactory to City, the services set forth in the City's Request for Proposal dated September 15, 1997, a copy of which is attached hereto, marked as Exhibit "B" and is by this reference incorporated into this Agreement. Consultant shall also perform all the services set forth in Exhibit "A". Section 2: Order of Precedence. In the event of a conflict between or among any of the documents comprising this Agreement, the following order to precedence shall govern the provision in question: 1. This Agreement 2. The time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant shall prosecute regularly and diligently the work of this Agreement according to reasonable schedules established by the City for various items described and as outlined within Consultant's proposal..Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Delays shall not entitle Consultant to any additional compensation regardless of the party responsible for the delay. Section 4: Compensation. Ao The compensation to be paid under this Agreement shall be as set forth in Exhibit "A", not to exceed a total cost of $33,025.00. a. Consultant shall submit detailed invoices, based upon the actual work performed accompanied by backup documentation as requested by the City. Co Progress payments for work completed shall be paid by City as the work progresses, within thirty (30) days of the date of Consultant's invoice. Do Consultant shall provide City with a monthly itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. Section 5' Job Site Conditions. Consultant shall assume sole and complete responsibility for job site conditions ,during the course of construction of this Project, including safety of all persons and property and this responsibility shall apply continuously and not be limited to normal working hours. Section 6: Independent Contractor. Consultant's relationship to City in the performance of this Agreement is that of an independent contractor. Consultant's personnel performing services under this Agreement shall at all times be under Consultant's exclusive direction and control and shall be employees of Consultant and not employees of City. Consultant shall pay all wages, salaries and other amounts due its employees in connection with this Agreement and shall be responsible for all reports and obligations respecting them, such as social security, income tax withholding, unemployment compensation, workers' compensation and similar matters. -2- 01112/9~ Adrnin/Co~gro~nd Storage Tanks/Attny ~ Agreemnt.doc Section 7: Indemnification. Consultant agrees to indemnify, defend and hold City, its officers, agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by any person and from all costs, expenses and charges including attorney's fees caused by or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts, errors, or omissions or willful misconduct, or conduct for which the law imposes strict liability on Consultant in the performance or failure to perform this Agreement. Section 8: Insurance. Ao Consultant shall maintain in full force and effect during the term of this Agreement Policies of comprehensive general liability, personal injury and automobile liability insurance with limits of at least $1,000,000 combined single limit coverage per occurrence. Bo Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $500,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover'claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. Co Consultant shall carry and pay for such compensation insuranCe as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety Laws, and shall relieve the City from all responsibility under said laws in connection with the performance of this Agreement. D, All insurance required pursuant to this Section shall be issued by a company admitted in the State of California and rated A, VII or better by the latest edition of Best's Key Rating Guide. Eo Upon execution of this Agreement, Consultant shall provide to City certificates of insurance on the City's form evidencing the required insurance. Ao Bo City shall have the right to terminate any or all of the services covered by this Agreement at any time for any reason by giving written notice to Consultant. Upon termination of this Agreement, Consultant shall be paid fOr services rendered by the effective date of the termination. Co Upon termination of this Agreement or completion of the Project, all documents relating to the Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph A. of this Section, Consultant shall, within ten (10) business days of receipt of notice of termination, provide CitY with all documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all completed documents and all drafts of uncompleted documents. The .following is a description of three projects recently completed by TAIT. AUtoshop TAIT provided complete engineering and design, prepared construction documents and specifications and obtained all permits for a new vehicle fueling facility located at the Automotive Shop. The project consisted of four new USTs, new fueling island with four dispensers, kiosk, and canopy. The project also included an above- ground tank system for emergency generator fuel supply. CITY OF TUSTIN PROFESSIONAL ENGINEERING SERVICES FOR THE REPLACEMENT AND UPGRADE OF UNDERGROUND FUEL STORAGE TANKS Central Jail- Fuel Facility TAIT performed complete engineering and design, prepared construction documents and specifications and obtained all permits for a new vehicle fueling facility at the Los Angeles County Central Jail. The project included three new USTs, tanks, dispensers, island, and canopy. City of Huntington Beach Department of Public Works Contact: Mr. Jim Sankey (714) 536-5522 Study Cost: $23,000 Construction Costs: $1,400,000 Project Manager: Tracy Letzring, PE, REA TAIT was selected by the City of Huntington Beach to provide a detailed study and recommendations to bring various UST facilities throughout the City into compliance with the state and federal UST regulations. The study is comprised of 11 sites throughout the city. The study addressed several specific items, including: the existing UST system currently in place and what modifications will be necessary to comply with the 1998 regulations; cost efficient alternatives to the current systems including removal, upgrade or replacement of systems, consolidation of sites, a "card'lock" system, or some combination of these options; and, written Modification/Cost Comparison Study (M/CCS) with recommendations and alternatives. It would have been easy to recommend that all of the UST systems be replaced, thereby eliminating all of the unknowns associated with modifying existing systems, and providing the highest level of 1/ability mitigation. However, current laws provide for alternative methods of providing this environmental protection. The recommended actions were based on a thorough overview of all existing systems, a strong consideration of the City's operational parameters, and potential of liability. As such, when recommending upgrades to a system, TAIT suggested a level of modification which exceeded the minimums set forth in the regulations. The following factors and issues relating to the design of the fuel facility need to be reviewed with the City of Tustin: · Existing site conditions. · Economics of long-term maintenance and operations. · Accessibility and location of monitoring equipment. · Simplicity of construction. · Construction costs. · Testability of secondary containment. · Water table (soil conditions). · Concrete loading dynamic/static. · Regulatory compliance (present and future). · Tank types. · Utilities (adequate existing electrical supply) Based on our site visits prior to submission of this proposal, we have determined the following to be the general scope of work requirements for this site: · City research to obtain record as-built plans for reference. · Technical site inspection to identify design issues such as existing electrical, optimum tank location, point of connection to existing piping, operation requirements, etc. · Prepare plans, specifications, calculations, and cost estimates. · File for and obtain permits. · Provide construction oversight. · Perform soil testing, sampling and analysis. Project Schedule The Project Schedule shows the length of the engineering and design phase for City of Tustin UST Replacement and Upgrade project. After visiting the site and evaluating the project, TAIT has determined that the construction bid documents for the site should be provided concurrently. ~ c0~ The Project Schedule provides for continuous activity throughout the design phase. Design reviews can be conducted "on board" and at designated milestones while engineering and design proceeds. TAIT's experience with the engineering, design, and construction of fuel facilities has taught us that the delivery of major mechanical and electrical equipment is critical to the timely completion of construction. An option that the City of Tustin may wish to consider is to purchase the equipment during the design phase rather than having the contractor CITY OF TUSTIN PROFESSIONAL ENGINEERING SERVICES FOR THE REPLACEMENT AND UPGRADE OF UNDERGROUND FUEL STORAGE TANKS purchase this equipment. Two advantages could be realized: first, the construction schedule could be dramatically reduced;.second, the City of Tustin could reduce the facilitiy's construction cost by eliminating the contractor's overhead and profit - - typically ten percent. TAIT's approach also considers local agency permits. TAIT plans to involve all local agencies during preliminary engineering to ensure that all state and local requirements are met as they are interpreted by the local jurisdiction. During final engineering TAIT will continue to coordinate with the local agencies, conduct interim reviews and receive comments. A prefinal set of construction documents will be provided to allow local agency review as soon as possible before the final submittal to the City of Tustin. Schedule Control Tracy Letzring, PE, will be responsible for the controls necessary to ensure your project's on- time completion. Scheduling is integral to TAIT's management approach. Mr. Letzring will establish the detailed schedule based upon a Master Schedule. He will also prepare and monitor an integrated system of schedules and reports which guide project activities and apprise him of variances from the schedule. It has always been a primary objective to develop documents of the highest quality. In that vein, procedures and practices have been developed for a system of independent checks that will be implemented in connection with the City of Tustin's assignment. Discipline Review Technical checking and design review activities will be performed by the project manager, Tracy Letzring, PE. Independent Check Independent checking activities will be performed by a separate engineer at TAIT's office who will independently evaluate calculations and designs to ensure their conformity with standards and to determine their accuracy. Technical Audit This review of the construction bid documents will be made to assess the effectiveness of the quality control procedures to determine the need for any adjustment to the program. Project Meetings A kickoff meeting will be held by the project manager upon receipt of the City of Tustin's Notice-to Proceed. This initial meeting, which will foster communication, will be followed by regularly scheduled meetings to keep all members fully apprised of the project's development and status. Meetings between the City of Tustin and TAIT will be held as often as necessary to discuss technical work and management related issues. The proposed project will involve providing contamination abatement, including removal and replacement of underground storage tanks, and site restoration. The City of Tustin has four (4) single .walled underground storage tanks currently in use at the Maintenance Facility, located at 1472 Service Road. Three of the four tanks are for petroleum products, each'with a capacity of · 12,000 gallons. The fourth tank is a 550-gallon tank that is used to collect waste oil generated from vehicle maintenance activities. The tanks are not currently monitored, and reconciliation is performed manually. PROPOSAL REQUIREMENTS The technical proposal shall be limited to twenty (20) pages, including supplemental appendices. The proposal shall contain the following information: A project approach for all work describing how the consultant, proposed sub-consultants plan to accomplish the tasks described in the Scope of Services. Include an estimate of the level of effort (personnel hours) broken down by major task to be utilized, and the various tiffed individuals assigned to each. · A discussion of the proposed project schedule for each phase of the project and what methods your firm will use to maintain the proposed schedule. A brief description of (5) five similar project~ recently performed by your firm. Include in the description the scope, design costs, construction costs, agency for whom work was completed, and title of individual in charge ofthe project. · Identification, resume, and titles of individuals who will supervise and perform the services outlined in this project. Fee schedule (submit in a SEPARATE SEALED ENVELOPE) indicating the proposed cost' of.completing each task. in. the Scope of Services, and a '*Not to Excel" total cost of the project, based upon work hours, hourly rates, and other associated costs. The proposed hourly rates and cost to complete each task shall include the costs of all administration and overhead, project site visits, attendee at meetings, and all reproduction costs. SELECTION CRITERIA The following criteria will be used in evaluating the proposals and selecting the .successful consulting firm. The criteria is not listed in order ofpriori~. · The perfonnance and qualifications of the firm and proposed project team members on similar projects. The proposed project approach and scope of services and the matter of completeness in which they are presented in the proposal. · Timing of the project, ability to commence work immediately and complete project within the proposed timeframe. The City Consultant Selection Committee will do selection. The committee may decide to interview several consultants before making a choice. Upon selection, of a consultant, arrangements for compensation shall be negotiated. If we are able to negotiate a price that the city deems fair and reasonable, the contract will be awarded. If we are not able to negotiate a price deemed fair and reasonable to the City, we will proceed to the next most qualified firm to provide the requested service and seek to negotiate a price with that firm. Upon settlement on a contract price, the Consultant shall then enter into a formal agreement with the City for the services to be rendered. The .City's standard "Professional Service Agreement" form will be used; a copy of which is attached with this Request for Proposals (RFP) as a sample. This agreement also indicates the required insurance requirements that the contractor will need to meet before award of the contract. Upgrading of Underground Storage Tanks Systems Scope of Services 'Soil Testing: The consulting firm shall perform soil testing to determine the degree of soil contamination for report submittal to the City of Tustin, and any other agency which will include, the findings of the soil; sampling, analysis, and recommendations for additional investigation, as warranted. Removal and Replacement of Underground Storage Tanks: The consulting firm shall submit a report discussing the feasibility of replacing the existing underground .storage tanks (UST). This discussion should include a list of available options, and an evaluation of each available option. The report shall also include a list of the activities to be performed by the consultant during removal of the UST's, and project oversight during installation of new storage tanks. The storage tanks, piping systems, fuel dispensers, etc., acquired and installed as a part of this project, shall be in 'conformance with California Underground Storage Tank Regulations;-Title 2-3, Division 3, Chapter 16 California Code of Regulations. The proposed system should take into consideration the fact that the City would like the option to utilize as much of the existing system as possible in the new design, and that which cannot be utilized will need to be scrapped. Monitoring System and Fuel Dispensers: The three fuel tanks 'are currently without an in-ground tank monitoring system. Fuel reconciliation is performed manually on a daily basis along with an annual tank integrity test. They're three existing fuel dispenser pumps and six (6) hoses. The proposal should address the installation of an automated fuel line monitoring system and the upgrade or retrofit of the dispensers, all in accordance with the California Underground Storage tank Regulations. Fueling Alternative: The proposal shall discuss fueling alternatives for fuel stations users during the removal and installation of new tanks. Preparation of Specifications: The consulting firm shall prepare bid item. specifications including bid item descriptions and special provisions in conformance with the City of Tusfin Purchasing Procedures. Cost Estimate and Project Timeframe: The. consultant shall provide a preliminary 'construction cost estimate and timetable as soon as feasible. In addition, the consultant shall provide a final construction cost estimate and timetable, prior to advertisement for construction. Environmental Documents '- The consultant shall prepare the appropriate environmental documentation for the project location and shall post as required by law. This may require a negative declaration, mitigated negative declaration or categorical exemption, depending upon the type and scope of the construction taking place.
