HUSTON, CITY MANAGER PUBLIC WORKS DEPARTMENT/FIELD SERVICES DMSION AWARD OF CONTRACT FOR MAINTENANCE AND REPAIR OF HVAC SYSTEMS AT CITY FACILITIES RECOMMENDATION: That the City Council award a contract to Bart Engineering, Inc. of Santa Fe Springs, CA to perform the annual maintenance for the Heating, Ventilating and Air Conditioning Systems (HVAC) at municipal facilities, subject to final approval of the City Attorney for all insurance and bond submittals. FISCAL IMPACT: The annual cost of the maintenance portion of this contract is bid at $11,076.00, which includes all preventative maintenance services and filters. The City has the option of having this firm perform repairs or choosing another firm. Any repair services performed by Barr Engineering will be billed at the hourly rate established in the contract and materials used to make repairs will be billed at cost plus a percentage markup. Staff has projected the annual cost of this contract to be approximately $33,000.00 per year, based upon the age of the buildings and prior year's repairs. The previous contract had annual expenses of $36,000 per year. Sufficient funds have been appropriated in the 1997/98 budget for the cost ofthis contract. DISCUSSION: The City has contracted with Air-Ex Air Conditioning, Inc. of Pomona, Calif. since 1984 for the maintenance of heating, ventilating, and air conditioning (HVAC) systems at all city buildings. With the remodel of City Hall and the Police Department, and the addition of Columbus-Tustin Gymnasium, Tustin Family Youth Center, and the Tustin Sports Park, the scope of work within this agreement has increased dramatically. Staff advertised for these services in accordance with the public contracts code and received the following four proposals, with the annual costs as follows: Barr Engineering of Santa Fe Springs, CA. F.M. Thomas Air Conditioning, Inc. of Brea, CA Conditioned Air Technicians of Tustin, CA Air Conditioning Company, Inc. of Orange, CA $11,076 $14,352 $35,368 $49,599 The proposal required the firms to provide a bid for the monthly maintenance and filters required on the air conditioning and heating units. The proposal also asked each firm to provide an hourly cost for repairs as well as a mark up on any parts. The city then has the option to utilize the selected firm for any necessary repairs to the system. This contract is different from the prior agreement in that all maintenance and repairs were previously. included in the annual costs. Since the majority of city buildings have HVAC units that are relatively new, the proposed contract will be a more cost-effective means 0fproviding maintenance. Upon evaluating the proposal of Barr Engineering, Inc., interviewing the finns representatives, and speaking with representatives from other municipalities who utilize their services including the cities of Newport Beach, El Monte and Santa Monica, staff recommends the award of the annual contract for maintenance of HVAC systems to Barr Engineering. The annual cost of maintenance services will be $11,076, with an additional $22,000 projected for system repairs and eallouts. The contract period being from January 19, 1997 to June 30, 2000, with the City having the option to extend for additional periods up to June 30, 2004. Tim D. HEATING, VENTILATING, REFRIGERATION AND AIR CONDITIONING SYSTEMS MAINTENANCE AND REPAIR PROGRAM ARTICLE I For and in consideration of the mutual covenants herein contained, Contractor agrees at its own cost and expense to furnish all necessary labor, tools, materials, appliances and equipment, to do all the 'work prescribed herein in a neat, efficient workmanlike manner and furnish 'all the materials described in the specifications and standards necessary to maintain all City heating, ventilating, refrigeration and air conditioning systems maintenance and repair in a clean and orderly condition and to the satisfaction of City in accordance with all of the provisions of the Heating, Ventilating, Refrigeration and Air Conditioning Systems Maintenance and Repair Program Specifications and General Conditions set forth in' Section C of this Agreement. ARTICLE II Contractor agrees to receive and accept the amounts set forth in this agreement as full compensation for furnishing all materials'and performing all work contemplated and specified in this Agreement and for all loss or damage arising out of the work aforesaid, from the action of the elements, or from any unforeseen difficulties or obstructions which may arise or be encOuntered in the prosecution of the work and for all risks of every description connected with the work and for all expenses incurred by or in consequence of the suspension or discontinuance of work and for well and faithfully completing the work, and the whole.thereof, in the manner and according to such specifications and the requirements of City consistent with the specifications. ARTICLE Eli Contractor is independent contractor who is contracted by City to provide the materials and to do the work according to the terms and conditions herein contained and referred to, for the amounts of money prescribed herein, and herebY cOntracts to pay the same at the time, in the manner and upon the conditions set forth herein; the parties for themselves, their heirs, executors, administrators, successors and assigns hereby agree to the full performance of all covenants and agreements herein contained. ADATA/ADM N/CO NTRAL~FS/HVAC/97 Comraet 07/23/97 A-1 ARTICLE IV Contractor hereby agrees to indemnify, defend, save and hold harmless the City and all officers, employees and agents thereof from all claims, suits or actions Of every name, kind and description, brought for, or on account of, injuries to or death of any person including, but not limited to, workmen and the public, or for damage to property resulting from the work performed by Contractor, failed to be performed by Contractor or by or in consequence of any negligence regarding the work, use of improper materials or equipment in performance of its duties prescribed herein or related thereto, or neglect or refusal of Contractor to faithfully perform the work and all of Contractor's obligations under this Agreement, or by or on account of any act or omission by Contractor or its agents or a subcontractor or agents or a third party. The obligation of defense and indemnifica~tion by Contractor shall include all costs and expenditures including attorneys' fees incurred by City or and/or its employees, officers or agents with respect to any such claim or suit and Contractor shall, if requested by City, defend any litigation arising out of such claims at the sole cost and expense of Contractor. In addition to any remedy authorized by law, City may, at its sole discretion, retain so much of money due the Contractor under and by virtue of this agreement, as the City determines necessary until disposition has been made of any claims for damages. ARTICLE V The City of Tustin has obtained from.the Director of Industrial Relations the general prevailing rate of per diem wages and the general prevailing rate for legal holiday and overtime work in the locality in which the work is'to be performed for each craft or type of work needed to execute this contract and maintains copies thereof in the office of.the City Engineer. The Contractor agrees that not less than said prevailing 'rates shall be paid to workers employed on this public works contract as required by Labor Code Sections 1771 and 1774 of the State of California. The Contractor shall, as a penalty to the City of Tustin, forfeit Fifty Dollars ($50.00) for each calendar day or Portion thereof for each worker paid (either by Contractor or any subcontractor of Contractor) less than the prevailing rate as prescribed in the preceding paragraph for the work provided for in this contract, all in accordance with Sections 1774 and 1775 of the Labor Code of the State of California. Section 1773.5 of the Labor Code of the State of California, regarding the payment of travel and subsistence payments, is applicable to this contract. _ Section 1777.5 of the labor Code of the State of California, regarding the employment of apprentices, is applicable to this contract if the prime contract involves Thirty Thousand Dollars ($30,000) or more, or twenty (20) working days or more and under such circumstances, Contractor shall be fully responsible to ensure compliance with all the provisions of Labor Code Section 1777.5 for all apprenticeable occupations on the project. A contractor or subcontractor who violates Section shall forfeit to the City of Tustin, as a civil penalty, the sum of Fifty Dollars ($50.00) for each calendar day of noncompliance. Any funds v, ..aeld by the City of Tustin pursuant to this section shall be deposited in the General Fund of the City of Tustin. In performance of this contract, not more than eight (8) hours shall constitute a day's work. The Contractor shall fully conform to Article 3, Chapterl, Part 7, Division 2 (Sections 1810 et seq.) of the Labor Code of the State of California. Pursuant to the provisions of Section 1813 of the Labor Code of the State of California, The Contractor shall, as a penalty to the City of Tustin, forfeit Twenty-five Dollars ($25.00) for each worker employed in the execution of the contract by the Contractor or by any subcontractor for each calendar day during which such worker is required or permitted to work more than eight (8) hours in any one calendar day and forty (40) hours in any one calendar week in violation of the provisions of Article 3 of Chapter 1 of Part 7 of Division 2 of the Labor Code of the State of California. Contractor shall keep on accurate record showing the name and actual hours worked each calendar day and each calendar week by each worker employed by Contractor in connection with the public work. Contractor agrees to keep accurate payroll records showing the name, address, social security number, work classification straight time and overtime hours worked each day and week and the actual per diem wages with the public work, and agrees to insist that each of his subcontractors do the same. Contractor further agrees that this payroll records and those of his subcontractors shall be available to the employee or his representative, the Division of Labor Standards Enforcement, and the Division. of Apprenticeship Standards, and shall comply with all of the provisions of Labor Code Section 1776, et seq., in general. Contractor is also aware of the provisions of Section 3700 of the Labor Code which requires . every employer to be insured against liability for Worker's compensation or undertake self-insurance in accordance with the provisions of that code and will comply with such provisions before commencing the performance of the work of this contract. ARTICLE VI Contractor shall take out and maintain during the term of this Agreement comprehensive automobile, general liability insurance, and workers compensation insurance that provides protection from claims that may arise from its operation and performance under this contract. The' insurer shall be authorized to do business by the State of California as an admitted insurer in the' State of California and have a Best's Rating of Class A or better and category VII. The amount of insurance shall not be less than the following: Single limit coverage applying to bodily and personal injury liability and property damage: $2,000,000.00. Single limit coverage applying to commercial auto liability for any owned or rented vehicles: $250,000 per person. Single limit coverage applying t° commercial auto liability for any owned' or rented vehicle: $500,000 per property damage. Workers Compensation insurance in amount required by California law covering all of the Contractor's personnel performing work in connection with the Agreement. The policy shall cover blanket contractual liability. The policy limits or liability are provided on an occurrence basis. The policy shall cover broad form property damage liability. The policy shall cover personal injury as well as bodily injury liability. The policy shall cover products and completed operations. The policy shall cover use of non-owned automobiles. The coverage shall not be canceled or materially altered unless thirty (30) days written notice is first given to City. Contractor shall furnish City with satisfactory proof of insurance coverage as required on' the City's form of Certificate of Insurance and otherwise to City's satisfaction. ARTICLE VII This Agreement may be terminated by the City without cause, upon the giving of a written "Notice of Termination" to contractor at least fi~een (i 5) calendar days prior to the termination date specified in said notice. Contractor may terminate the Agreement only for cause, upon the giving of a written ''Notice of Termination"'to City at least thirty (30) calendar days prior to the termination date specified in said notice. .. ASSIGNMENT OF AGREEMENT Contractor shall under no circumstances assign this Agreement or any part of it to another party without the prior express written consent of City. 2. FAILURE TO PERFORM If Contractor neglects to prosecute the work properly or fails to perform any provision of this contract, City, after written notice to Contractor, may without prejudice to any other remedy it may have, make good such deficiencies and may deduct the cost thereof from the payment then or thereafter due Contractor. 3. TERMINATION PRIOR TO EXPIRATION OF TERM City reserves the right to terminate this Agreement at any time, with or without cause, upon fifteen (15) days written notice to Contractor, except that where termination is determined by city to be ' due to the fault of contractor and constitutes an immediate danger to the health, safety and general welfare, the period of notice shall be such shorter time as may be deemed appropriate by City. Upon receipt of the notice of termination, Contractor shall immediately cease all services hereunder except such as may be specifically approved by City. Contractor shall be entitled to compensation for all services properly authorized and rendered prior to receipt of the notice of termination and for any services authorized by City thereafter. 4. TERMINATION FOR DEFAULT OF CONTRACTOR If termination is due to the failure of Contractor to fulfill its obligations under this contract, City may take over the work and perform the work or cause the work to be performed by others selected by City. Contractor shall be liable to City to the extent that the Cost for completion of the services prescribed herein exceeds the compensation prescribed herein to be paid to Contractor. City may withhold any payments to Contractor for the purpose of set-off or partial payment of the amounts owed to City. 5. PERFORMANCE BOND Contractor shall secure the City of.Tustin for the faithful performance of his duties by'means of a Faithful Performance Bond in the amount of $75,000.00 whereby the City of Tustin shall be made beneficiary thereof and all costs and premiums shall be paid by Contractor. Said bonds will be furnished on a year to year basis and shall be issued by a surety company authorized to issue such bonds in the State of California and shall be subject to the approval and acceptance of the City Council and City Attorney. The Faithful Performance Bond will not be released until one year after the expiration of the Agreement. 6. LAWS TO BE OBSERVED Contractor shall keep itself fully informed of all existing and future, state and national laws, and all municipal ordinances, rules and regulations of City which may in any manner affect, or that may affect the work or those engaged or employed in the work, and of all such orders and decrees of bodies or tribunals having any jurisdiction or authority over the same. If any discrepancy or inconsistency is discovered in the specifications or this Agreement in relation to any such law, ordinance, regulation, order or decree, contractor shall forthwith report the same to the Field Services Manager of the City of Tustin in writing. 7. LABOR DISCRIMINATION Attention is directed to the laws which provide that no discrimination shall be made in the employment of persons because of race, color, ethnicity or religion and violation of such laws would subject Contractor to all the penalties prescribed by law. 8. PERMITS AND LICENSES Contractor shall procure all required Federal, State, County and City permits and licenses necessary and incidental to the performance of the contract. A C-20 Contractors Licenses is required of each firm. The Contractor is also required to obtain a City of Tustin Business License prior to the start of the contract. 9. PATENTS Contractor shall assume all responsibilities arising from the use of patented materials, equipment, devices or processes used on or incorporated in the work. 10. PUBLIC CONVENIENCE AND sAFETY Contractor shall conduct its operations to cause the least possible obstruction and inconvenience to the traffic and the general public. 11. RESPONSIBILITY FOR CLAIMS, INJURY AND DAMAGE City, its officers, employees and agents, shall not be answerable or accountable, in any manner, for any loss or damage that may occur to the work or any part thereof, or for any loss or damage to any material or equipment used in performing the work, or for injury, death or damage to any person or persons, either workmen or the public, or for damage' to any property, from any cause whatsoever, during the progress of the work or at any time before final acceptance. Contractor shall save, defend, at its sole cost and expense, indemnify and hold harmless City, its officers, employees and agents from any suits, claims or actions of every name, kind and description brought by any person or persons for or on account of any injuries or damage sustained in or arising from the work or in consequence thereof. City may. retain as much of payments otherwise due Contractor as shall be considered necessary until disposition has been made of any such claim or claims. 12. INDEMNIFICATION Contractor shall'save, defend, at its sole cost and expense,'indemnify and hold harmless City, its officers, employees and agents from and against any and all actions, suits, proceedings, claims, demands, losses, costs and expenses, including legal costs, and attorneys' fees, for injury to or death of person or persons, for damage to property, including property owned by City, and for errors and omissions committed by Contractor, its officers, employees and agents, arising out of or related to Contractor's performance under this Agreement, except for such loss as may be caused by City's sole negligence or that of its officers or employees. ADATA/ADMN/CONTKACTS/HVAC/97 07114/9'/ B-2 13. LENGTH OF CONTRACT This contract shall have a term of thirty-three (33) months from October 1, 1997 through June 30, 2000. Upon City's approval extensions of contract term may be granted up to two (2), two (2) year extensions. If an extension is granted it would begin July 1, 2000 and run until June 30, 2002. The second extension of the contract, if granted, would begin July 1, 2002, and run until June 30, 2004. 14. CONTRACT INCREASE Due to the nature of the equipment and services to be provided the City will allow a maximum of a 3% increase each .fiscal year, in the cost of the contract to accommodate any and all cost ofliving increases. This increase will be allowed at the beginning of each new fiscal year upon receipt of a written request from the Contractor ninety (90) calendar days prior to the end of the current fiscal year. If after ninety (90) days of the beginning of the fiscal year written notification is not received requesting said increase, no increase will be permitted until the following fiscal year when written notification will be required. 15. METHOD OF PAYMENT A~ Contractor will be paid monthly for satisfactory work performed under this Agreement. B. On or about the first of each month the Contractor shall submit an invoice, by facility, with all reports that indicate the monthly service, maintenance logs, filter changes, status reports and scheduling of required services for the preceeding month. 1. This invoice shall be in accOrdance with the contract Price and shall become the basis for payment. 2. This invoice shall be subject to review and approval by the Contract Officer. 3. All submitted invoices, approved by the contract Officer, shall be paid within. 30 days of receipt by the City of Tustin Finance Department. 4. Any charges in the invoice not approved by the Contract Officer shall not. be paid by the City. ADATA/ADlViN/CONTRACTS/HVAC./97 07/'23/97 B-3 SECTION C HEATING, VENTILATING, REFRIGERATION AND AIR CONDITIONING SYSTEMS MAINTENANCE AND REPAIR PROGRAM SCOPE OF WORK A. The City of Tustin requires HVAC preventative and remedial maintenance services for all HVAC and refrigeration systems at each City building location listed in this Agreement. II. CONTRACT SPECIFICATIONS The service contractor will provide the following: Twenty-four (24) hour response to all heating, ventilating, refrigeration and air conditioning maintenance and remedial service requests for all of the City of Tustin public facilities. Contractor must guarantee a maximum of 2 hours response time for emergency and ~a four hour response time for non~ emergency service calls, twenty-four (24) hours a day, seven (7) days a week, including holidays. All preventative, predictive and repair .services required to prevent problems before occurrence per the Equipment Maintenance ProvisiOns and manufacturers suggested services. All items and parts identified as replaced or repaired in the Equipment Maintenance Provision of the specifications, shall be replaced or repaired with components of equal or upgraded quality, including installation at no additional cost. Contractor shall provide service technicians with a minimum of 5 years experience in HVAC service and repair work. Contractor shall have personnel on staff certified by the SCAQMD per Rule 1415 in the auditing of refrigerant systems. Certified auditor number to be provided to the City prior to start of Contract, and maintained during the length of the Contract. Contractor shall be responsible for compliance with all applicable laws and regulations and ensure that proper refrigerant handling practices are utilized to protect the environment, employees, and City'from any resulting liability due to the improper handling, of ozone depleting chemicals (CFCs). Ao BILLING--Contractor shall bill the City 'on'a monthly basis for: 1. Preventative or Monthly Maintenance prOvided on all HVAC, refrigeration, swamp coolers, and exhaust fans as specified in the Equipment Maintenance proVisions. The billing shall correspond to the frequency of preventative maintenance specified for each location by unit serviced. 2. Remedial Maintenance shall be billed per location per repair. All remedial maintenance services invoices shall include building location, type of service, date and time of service, number and type of labor hours, and Contractor's invoices showing actual wholesale price paid for parts billed to City. When the cost of repair parts for a single repair exceeds $100.00, the Contractor shall supply the Building Supervisor with the part price information and a 'not to exceed' estimate of the labor costs and shall obtain written authorization to proceed prior to installation. Ail parts furnished shall be new material and'include a minimum 30-day warranty from date of installation or manufacturer's warranty, Whichever is greater. The Contractor shall certify. all parts costs and markups on invoices. C. The City reserves the right to obtain competitive bids on any new replacement equipment or services o. f substantial cost. D. A separate service ticket shall be written'on each piece of equipment Worked on, with a clear description of work performed; why work was necessary; and any applicable warranty information. Service Ticket shall list model and serial number of serviced equipment. Ail tickets must have the signature ora City employee. .. E. Contractor shall provide emergency service twenty-four (24) hours per day, 365 days per year, at the hourly rate provided in this agreement. The preferred response time for remedial service is two (2) hours. Contractor will be required to respond within four (4) hours after receipt of the service call. III. EQUIPMENT MAINTENANCE PROVISIONS A. The following activities are to be conducted per the interval described for each listed activity. The HVAC provisions will apply to all locations where an air conditioning or AC/Heating unit is utilized as listed in the HVAC location. 1. FILTERS--Contractor shall replace the filters on all City HVAC units on a bimonthly basis. Filter costs shall be included in the monthly maintenance cost for each site. Additional filter replacements shall be performed if requested by the City at a price per unif as indicated on the Contractors bid. The City would encourage the use of a filter service as a subcontractor; to'provide the bimonthly filter change-out. 2.
