APPROVAL OF SPECIFICATIONS AND AUTHORIZATION TO BID 'FOR ItVAC
SERVICES
RECOMMENDATION:
It is recommended that the City Council, at their meeting of July 21,i997, approve the
specifications for Heating, Ventilating, Air Conditioning Systems (I-IVAC) Maintenance and
Repak Programs, and authorize staff.to solicit bids from qualified vendors to provide this service.
FISCAL IMPACT:
The City has been contracting with Air-Ex Air COnditioning Service on a year to year basis since
April of 1984. The current agreement charges $2966/mo. for maintenance and minor repair
service. The specifications presented have a level of periodic maintenance and servicing,
consistent with the manufacturer recommendations. It requires all the bidders to indicate their
hourly repair rate as well as set a percentage of mark-up for all parts used. The FY 1997/98
Operating Budget for the Public Works Department includes a request of $50,000 for this service.
This request is consistent with previous expenditures.

DISCUSSION:
The Field Services Division of Public Works, has been contracting with Air-Ex Air Conditioning
on a year to year basis since April, 1984, to provide monthly maintenance service and repairs as
necessary on the various HVAC Systems located in civic buildings. The attached specifications
provide a more comprehensive'approach to the maintenance of the HVAC systems. It requires
the contractor to provide a monthly rate to perform the various activities specified at each
location. In addition, the bidder is required to provide an hourly rate for repair services along
with a percentage markup over the wholesale price for parts used to make repairs. This will
provide the city with a monthly service consistent with the manufacturers specifications along
with stable pricing for the labor and parts associated with repairs.

SECTION A

MAINTENANCE AND REPAIR PROGRAM
SEPTEMBER 1, 1997 THROUGH JUNE 30, 2000
THIS AGREEMENT is made and entered into in triplicate, this day of , 1997,
between the CITY OF TUSTIN, a municipal corporation (hereinafter called "City"), and
(hereinafter called "Contractor"). The term of this
agreement shall be from September 1, 1997 through June 30, 2000, unless extended by written agreement
executed by each of the parties. -
HEATING, VENTILATING, REFRIGERATION AND AIR CONDITIONING SYSTEMS
MAINTENANCE AND REPAIR PROGRAM
ARTICLE I
For and in consideration of the mutual covenants herein contained, Contractor agrees at its own
cost and expense to furnish all necessary labor, tools, materials, appliances and equipment, to do all the
work prescribed herein in a neat, efficient workmanlike manner and furnish all the materials described in
the specifications and standards necessary to maintain all City heating, ventilating, refrigeration and air
conditioning systems maintenance and repair in a clean and orderly condition and to the satisfaction of
City in accordance with all of the provisions of the Heating, Ventilating, Refrigeration and Air
ConditiOning Systems Maintenance and Repair Program Specifications and General Conditions set forth
in Section C of this Agreement.
ARTICLE H
Contractor agrees to receive and accept the amounts set forth in this agreement as full
compensation for furnishing all materials and performing all work contemplated and specified in this
Agreement and for all loss or damage arising out of the work aforesaid, from the action of the elements,
or from any unforeseen difficulties or obstructions which may ariSe or be encountered in the prosecution
of the work and for all risks of every description connected with the work and for all expenses incurred
by or in consequence of the suspension or discontinuance of work and for well and faithfully completing
the work, and the whole thereof, in the manner and according to such specifications and the requirements
of City consistent with the specifications.
ARTICLE III
Contractor is independent contractor who is contracted by City to provide the' materials and to do
the work according to the terms and conditions herein contained and referred to, for the amounts of
money prescribed herein, and hereby contracts to pay the same at the time, in the manner and upon the
conditions set forth herein; the parties for themselves, their heirs, executors, administrators, successors
and assigns hereby agree to the full performance of all covenants and agreements herein contained.

Contractor hereby agrees to indemnify, defend, save and hold harmless the City and all officers,
employees and agents thereof from all claims, suits or actions of every name,'kind and description,
brought for, or on account of, injuries tc~ oi- death of any person including, but not limited to, workmen
and the public, or for damage to property resulting from the work performed by Contractor, failed to be
performed by Contractor or by or in consequence of any negligence regardihg the work, use of improper
materials or equipment in performance of its duties prescribed herein or related thereto, or neglect or
refusal of Contractor to faithfully perform the work and all of Contractor's obligations under this
Agreement, or by or on account of any act or omission by Contractor or its agents or a subcontractor or
agents or a third party.
The obligation of defense and indemnification by Contractor shall include all costs and
expenditures including attorneys' fees incurred by City or and/or its employees, officers or agents with
respect to any such claim or suit and Contractor shall, if requested by City, defend any litigation arising
out of such claims at the sole cost and expense of Contractor.
In addition to any remedy authorized by law, City may, at its sole discretion, retain so much of mOney
due the Contractor under and by virtue of this agreement, as the City determines necessary until
dispositiOn has been made of any claims for damages.
ARTICLE V
The City of Tustin has obtained from the Director of Industrial Relations the general' preva'ding
rate of per diem wages and the general prevailing rate for legal holiday and overtime work in the locality
in which the work is'to be performed for each craft or type of work needed to execute this contract and
maintains copies thereof in the office of the City Engineer. The Contractor agrees that not less than said
prevailing rates shall be paid to workers employed on this public works contract as required by Labor
Code Sections 1771 and 1774 of the State of California.
The Contractor shall, as a penalty to the City °fTustin, forfeit FiftY Dollars ($50.00) for each
calendar day or portion thereof for each worker paid (either by Contractor or any subcontractor of
Contractor) less than the prevailing rate as prescribed in the preceding paragraph for the work provided
for in this contract, all in accordance with Sections 1774 and 1775 of the Labor Code of the State of
Califomia.
Section 1773.5 of the Labor Code of the State of California, regarding the payment of travel
and subsistence payments, is applicable to this contract.
Section 1777.5 of the labor Code of the State of California, regarding the employment of
apprentices, is applicable to this contract if the prime contract involves Thirty Thousand Dollars
($30,000) or more, or twenty (20) working days or more and under such circumsta.n_ces, Contractor shall
be fully responsible to ensure compliance with all the provisions of Labor. Code S~ctio'n 1777.5 for all
apprenticeable occupations on the project. A contractor or subcontractor who violates Section shall
forfeit to the City of Tustin, as a civil penalty, the sum of Fifty Dollars ($50.00) for each calendar day of
noncompliance. Notwithstanding Section 1727 of the Labor Code, upon receipt of a determination that a
civil penalty has been imposed, the City of Tustin shall withhold the amount of the civii?enalty from

contract progress payments then due or to become due. Any funds withheld by the City of Tustin
pursuant to this section shall be deposited in the General Fund of the City of Tustin.
In performance of this contract, not more than eight (8) hours shall constitute a day's work.
The Contractor shall fully conform to Article 3, Chapterl, Part 7, Division 2 (Sections 1810 et seq.) of
the Labor Code of the State of California. Pursuant to the provisions of Section 1813 of the Labor Code
of the State of California, The Contractor shall, as a penalty to the City of Tustin, forfeit Twenty-five
Dollars ($25.00) for each worker employed in the execution of the contract by the Contractor or by any
subcontractor for each calendar day during which such worker is required or permitted to work more
than eight (8) hours in any one calendar day and forty (40) hours in any one calendar week in violation of
the provisions of Article 3 of Chapter 1 of Part 7 of Division 2 of the Labor Code of the State of
California. Contractor shall keep on accurate record showing the name and actual hours Worked each
calendar day and each calendar week by each worker employed by Contractor in connection with the
public work.
Contractor agrees to'keep accurate payroll records showing the name, address, social security
number, work classification straight time and overtime hours worked eacli day and week and the actual
per diem wages with the public work, and agrees to insist that each of his subcontractors do the same.
Contractor further agrees that this payroll records and those of his subcontractors shall be available to the
employee or his representative, the Division of Labor Standards Enforcement, and the Division of
Apprenticeship Standards, and shall comply with all of the provisions of Labor Code Section 1776, et
seq., in general.
Contractor is als° aware of the provisions of Section 3 700 of the Labor Code which requires
every employer to be insured against liability for Worker's compensation'or undertake self-insurance in
accordance with the provisions of that code and will comply with such provisions before commencing the
performance of the work of this contract.
ARTICLE VI
Contractor shall take out and maintain during the term of this Agreement comprehensive ·
automobile, general liability insurance, and workers compensation insurance that provides protection
from claims that may arise from its operation and performance under this contract. The insurer shall be
authorized to do business by the State of California as an admitted insurer in the State of California and
have a Best's Rating of Class A or better and category VII. The amount of insurance shall not be less
than the following:
· Single limit coverage applying to bodily and personal injury liability and property damage:
$2,000,000.00.
Single limit coverage applying to commercial auto liability for any owned or rented vehicles:
$250,000 per person.
Single limit coverage applying to commercial auto liability for any owned or rented vehicle:
$500,000 per property damage.
Workers Compensation insurance in amount required by California law covering all of the
Contractor's personnel performing work in connection with the Agreement.

The following endorsements must be indicated on all certificates of insurance:

ARTICLE VII
This Agreement may be terminated by the City without cause, upon the giving of a written
'2qotice of Termination" to contractor at least fifteen (15) calendar days prior to the termination date
specified in said notice. Contractor may terminate the Agreement only for cause, upon the giving of a
written "Notice of Termination" to City at least thirty (30) calendar days prior to the termination date
specified in said notice.
ARTICLE VIII
Each, every and all of the provisions contained in the attachments hereto, Section B, Section C
and Section D, are incorporated herein and then references as through set forth in full hereto and the
parties hereof agree to be bound by all of the provisions contained in said attachments.

COMPENSATION_ INSURANCE_ CERTIFICATE
Pursuant to Section 1861 of the State Labor Code, each contractor to whom a public works
contract has been awarded shall sign the following certificate and shall submit same to the City prior to
performing any work on the contract:

SECTION B
LEGAL RESPONSIBILITIES OF CONTRACTOR
1. ASSIGNMENT OF AGREEMENT
Contractor shall under no circumstances assign this Agreement or any part of it to another party
without the prior express written consent of City.
2. FAILURE TO PERFORM
If Contractor neglects to prosex:ute the work properly or fails to perform any provision of this
contract, City, after written notice to Contractor, may without prejudice to any other remedy it may have,
make good such deficiencies and may deduct the cost thereof from the payment then or thereafter due
Contractor.
3. TERMINATION PRIOR TO EXPIRATION OF TERM
City reserves the right to terminate this Agreement at any time, with or without cause, upon
fifteen (15) days written notice to Contractor, except that where termination is determined by City to be
due to the fault of contractor and constitutes an immediate danger to the health, safety and general
welfare, the period of notice shall be such shorter time as may be deemed appropriate by City. Upon
receipt of the notice of termination, Contractor shall immediately cease all services hereunder except such
as may be specifically approved by City. Contractor shall be entitled to compensation for all services
properly authorized and rendered prior to receipt of the notice of termination and for any services
authorized by City thereafter.
4. TERMINATION FOR DEFAULT OF CONTRACTOR
If termination is due to the failure of Contractor to fulfill its obligations under this contract, City
may take over the work and perform the work or cause the wOrk to be performed by others selected by
City. Contractor shall be liable to City to the extent that the Cost for completion of the services
prescribed herein exceeds the compensation prescribed herein to be paid to Contractor. City may
withhold any payments to Contractor for the purpose of set-off or partial payment of the amounts owed
to C~ty.
5.' PERFORMANCE BOND
Contractor shall secure the City of Tustin for the faithful performance of his duties by means of a
Faithful Performance Bond in the amount of $75,000.00 whereby the City of Tustin shall be made
beneficiary thereof and all costs and premiums shall be paid by Contractor.' Said bonds will be furnished
on a year to year basis and shall be issued by a surety company authorized to issue such bonds in the
State of California and shall be subject to the approval and acceptance of the City Council and City
Attorney. The Faithful Performance Bond will not be released until one year after the expiration of the
Agreement.
6. LAWS TO BE OBSERVED
Contractor shall keep itself fully informed of all existing and future, state and national laws, and
all municipal ordinances, rules and regulations of City which may in any manner affect, or that may affect
the work or those engaged or employed in the work,'and of all such orders and decrees of bodies or
tribunals having any jurisdiction or authority over the same. Contractor shall at all tim[s observe and

comply with, and shall cause all its agents and employees to observe and comply with all Such existing
and future laws, ordinances, regulations, orders or decrees. If any discrepancy or inconsistency is
discovered in the specifications or this Agreement in relation to any such law, ordinance, regulation,
order or decree, contractor shall forthwith report the same to the Field Services Manager of the City of
Tustin in writing.
7. LABOR DISCRIMINATION
Attention is directed to the laws Which provide that no discrimination shall be made in the
employment of persons because of race, color, ethnicity or religion and violation of such laws would
subject Contractor to all the penalties prescribed by law.
8. PERMITS AND LICENSES
Contractor Shall procure all required Federal, State, County and City permits and licenses
necessary and incidental to the performance of the contract. A C-20 Contractors Licenses is required of
each firm. The Contractor is also required to obtain a City of Tustin Business License prior to the start
of the contract.
9. PATENTS
Contractor shall assume all responsibilities arising from the use of patented materials, equipment,
devices or processes used on or incorporated in the work.
10. PUBLIC CONVENIENCE AND SAFETY
COntractor shall conduct its operations to cause the least possible obstruction and inconvenience
to the traffic and the general public.
11. RESPONSIBILITY FOR CLAIMS, INJURY AND DAMAGE
City, its officers, employees and agents, shall not be answerable or accountable, in any manner,
for any loss or damage that may occur to. the work or any part thereof, or for any loss or damage to any
material or equipment used in performing the work, or for injury, death or damage to any person or
persons, either workmen or the public, or for damage to any property, from any cause whatsoever, during
the progress of the work or at any time before final acceptance.
Contractor shall save, defend,' at its sole cost and expense, indemnify and hold harmless City, its
officers, employees and agents from any suits, claims or actions of every name, kind and description
brought by any person or persons for or on account of any injures or damage sUstained in or arising from
the work or in consequence thereof. City may retain as much of payments otherwise due Contractor as
shall be considered necessary until disposition has been made of any such claim or claims.
12. INDEMNIFICATION
Contractor shall save, defend, at its sole cost and expense, indemnify and hold harmless City, its

13. LENGTH OF CONTRACT
This contract shall have a term of thirty-fOur (34) months from September 1, 1997 through June
30, 2000. Upon City's approval extensions of contract term may be granted up to tWo (2), two (2) year'
extensions. If an extension is granted it would begin July 1, 2000 and run until June 30, 2002. The
second extension of the contract, if granted, would begin July I, 2002, and run until June 30, 2004.

14. CONTRACT INCREASE
Due to the nature of the equipment and services to be provided the City will allow a maximum of
a 3.05% increase each fiscal year, in the cost of the contract to accommodate any and all cost of living .
increases. This increase will be allowed at the beginning of each new fiscal year upon receipt of a written
request from the Contractor ninety (90) calendar days prior to the end of the current fiscal year. If after
ninety (90) days of the beginning of the fiscal year written notification is not received requesting said
increase, no increase will be permitted until the following fiscal year when written notification will be
required.
15.

A. Contractor will be paid monthly for satisfactory work performed under this A. greement.
B. On or about the first of each month the Contractor shall submit an invoice, by facility, with
all reports that indicate the monthly service, maintenance logs, filter changes, status reports and
scheduling of required services for the following month.

SCOPE OF WORK
A. The City of Tustin requires HVAC preventative and remedial maintenance services for all
HVAC and refrigeration systems at each City building lo6ation listed in this Agreement.
II.
CONTRACT SPECIFICATIONS
The service contractor will provide the following:
Twenty-four (24) hour response to all heating, ventilating, refrigeration and air conditioning
maintenance and remedial service requests for all of the City of Tustin public facilities. Contractor must
guarantee a maximum of 2 hours response time for emergency and a four hour response time for non-
emergency service callS, twenty-four (24) hours a day, seven (7) days a week, including holidays.
All preventative, predictive and repair services required to prevent problems before occurrence
per the Equipment Maintenance Provisions and manufacturers suggested services.
All items and parts identified as replaced or repaired in the Equipment Maintenance Provision of
the specifications, shall 'be replaced or repaired with components of equal or upgraded quality, including
installation at no additional cost.
Contractor Shall provide service technicians with a minimum of 5 years experience in HVAC
service and repair work. Contractor shall have personnel on staff certified by the SCAQMD per Rule
1415 in the auditing of refrigerant systems. Certified auditor number to be provided to the City prior to
start of Contract, and maintained during the length of the Contract. Contractor shall be responsible for
compliance with all applicable laws and regulations and ensure that proper refrigerant handling practices
are utilized to protect the environment, employees, and City from any resulting liability due to the
improper handling of Ozone depleting chemicals (CFCs).

BILLING 'Contractor shall bill the City 0n'a monthly basis for:
1. Preventative or Monthly Maintenance provided on all HVAC, refrigeration,
swamp coolers, and exhaust fans as specified in the Equipment Maintenance provisions.
The billing shall correspond to the frequency of preventative maintenance specified for
each location by unit serviced.
2. Remedial MaintenanCe shall be billed per location per repair. All remedial
maintenance services invoices shall include building location, type of service, date and time
of service, number and type of labor hours, and Contractor's invoices showing actual
wholesale price paid for parts billed to City. Labor costs should be calculated based upon
actual time at job site and not include any cost of travel to and from job site.

PARTS
1. All parts furnished shall be new material and shall comply with original equipment
specifications. The Contractor shall furnish and install all parts necessary for remedial and
monthly maintenance seNiLe. The labor cost of installation will be based upon the
remedial maintenance hourly rates established in the Contractor's Bid Proposal. When the
cost of repair parts for a single repair exceeds $100.00, the Contractor shall supply the
Building Supervisor with the part price information and a 'not to exceed' estimate of the
labor costs and shall obtain written authorization to proceed prior to installation. All parts
furnished shall be new material and include a minimum 30-day warranty from date of
installation or manufacturer's warranty, whichever is greater. The Contractor shall certifY
all parts costs and markups on invoices.
C. The City reserves the right to obtain competitive bids on any new replacement equipment
or services of substantial cost.
D. A separate service ticket shall be written on each piece of equipment worked on, with a
clear description of work performed; why work was necessary; and any applicable warranty
information. Service Ticket shall list model and serial number of serviced equipment. All tickets
must have the signature of a City employee.
E. Contractor shall provide emergency service twenty-four (24) hours per day, 365 days per
year, at the hourly rate Provided in this agreement. The preferred response time for remedial
service is two (2) hours. Contractor will be required to respond within four (4) hours after
receipt of the service call.
III.
EQUIPMENT MAINTENANCE PROVISIONS
A. The following activities are to be conducted per the interval described for each listed
activity. The HVAC provisions will apply to all Iocations where an air conditioning or
AC/Heating unit is utilized as listed in the HVAC location.
1. FILTERS Contractor shall replace'the filters on all City HVAC units on a
bimonthly basis. Filter costs shall be included in the monthly maintenance cost for each
site. Additional filter replacements shall be performed if requested by the City at a price
per unif as indicated on the Contractors bid. The City would encourage the use of a filter
service as a subcontractor; to'provide the bimonthly filter change-out.
2. HVAC SYSTEM LUBRICATIONtContractor shall service and lubricate all
HVAC equipment at frequencies specified by the equipment manufacturer. Lubrication
will Consist of, but not be limited to:
a. Oil.
b. Grease
c. Compressor Oil.

3. THE~OSTATS AND DAMPERS-~Contractor shall, at least two (2) times per
year, calibrate all thermostats and adjust all dampers to ensure proper operation of same.
4. PNEUMATIC CONTROLS C'ontractor shall check calibration of all pneumatic
controls in each equipment room quarterly (4 time per year). The adjustment will take .
advantage of seasonal variations in temperature in order to effect maximum conservation
of energy.

INSTRUCTIONS TO BIDDERS
All persons obtaining bid packets should immediately supply the City with his or her facsimile
telephone number in order that addenda and other information may be transmitted as rapidly as possible.
FAILURE TO PROVIDE SUCH A NUMBER MAY RESULT IN LATE NOTIFICATION.
1. BIDDER EXAMINATION OF PLANS, SPECIFICATIONS AND SITE OF THF. WORK
Bidder shall examine carefully the sites of the' work contemplated and the proposal, plans,
specifications and contract forms therefor. It will 'be assumed that the Bidder has investigated and is
satisfied as to the conditions to be encountered, as to the character, quality and quantities of work to be
performed and materials to be furnished, and as to the reqoirements of these specifications and the
contract.
There will be a mandatory tour of the facilities and equipment on July 28, 1997, beginning at 9:00
a.m. All Bidders are to meet at the City of Tustin Maintenance Facility located at 1472 Service Road,
Tustin, CA. Failure to attend this tour will result in automatic disqualification of bid proposal.
2. - PROPOSAL FORMS
All proposals must be submitted, on forms for that purpose furnished by the City. Letters of
transmittal cannot be considered as part of the bid.

REJECTION OF PROPOSALS CONTAINING ALTERATIONS OR IRRIGULATITI'ES
Proposals may be rejected if they show any alterations of form; additions not called for,
conditional bids, incomplete bids, or irregularities of any'kind. When proposals are signed by an agent,
other than an officer or manager of a corporation or a member of a partnership} a power of attorney or
written authorization must be on file with the City prior to opening bids or shall be submitted with the
proposal; otherwise, the proposal will b rejected as irregular and unauthorized.
4. WITHDRAWAL OF PROPOSALS
Any bid may be withdrawn at any time prior to, but not after, the hour fixed in the public notice
for the opening of bids, provided that a request in writing executed by the Bidder or his duly authorized
representative, for the withdrawal of such bid is filed with the Clerk. The withdrawal of a bid shall not
prejudice the fight of a Bidder to file a new bid.
5. DISQUALIFICATION OF BIDDERS
More than one proposal from an individual, a firm or partnership, a Corporation or an'association
under the same or different names will not be considered. Reasonable grounds for believing that any
Bidder is interested in more than one proposal for the work contemplated will cause the rejection of all
proposals in which such Bidder is interested. If there is reason for believing that collusion exists among
the bidders, none of the participants in such collusion will be considered in this or future proposals.
Proposals in which the prices are unbalanced may be rejected.

6. COMPETENCY OF BIDDERS

of such license shall be presented to the Field Serivces M.a. nager on request.
The Field Services manager will require the Bidder to present satisfactory evidence that he has
sufficient experience and that he is fully prepared with the necessary capital, materials~ machinery and
skilled personnel to carry out the contract.
7. SCOPE AND CONTROL OF THE WORK CONSIDERATION OF BIDS
Bids will be opened publicly by-the. Purchase Coordinator or a designated representative on the
date and at the time set forth in the "Notice Inviting Sealed Bids or Proposals." The fight is reserved by
the City by action of the City Council to reject any or all bids, to advertise for new proposals, to negotiate
in the open market for a contract at a reasonable price, to purchase in the open market, or to have the
work performed by City employees, or to abandon the work if, in the judgment of the Council, the best
interest of the City will be promoted .thereby.
8. AWARD OF CONTRACT
The award of the contract, if it be awarded, will be to the lowest responsible Bidder whose
proposal complies with all the requirements prescribed. The award, if made, will be made within forty-
