PARKER, CITY MANAGER FROM: CITY MANAGER'S OFFICE — ECONOMIC DEVELOPMENT DIVISION SUBJECT: FIRST AMENDMENT TO COMMUNICATIONS SITE LICENSE AGREEMENT WITH STC ONE LLC FOR EXISTING WIRELESS FACILITIES AT TUSTIN SPORTS PARK (12850 ROBINSON DRIVE) SUMMARY F rst Amendment to Communicat -ons Site License Agreement between the City of Tustin and STC One LLC. The Amendment would allow STC One LLC to make addit onal improvements to an existing Communications Site as described .n Exhibit A of the attachment. RECOMMENDATION It is recommended that the City Council take the following actions: 1. Approve the attached First Amendment to Communications Site License Agreement with STC One LLC; and 2. Authorize the City Manager to execute this First Amendment. FISCAL IMPACT The City entered into a Communications Site License Agreement (License Agreement) with STC One LLC (Licensee) on August 1. 2010 for one carrier to occupy the Licensee's facilities. Licensee pays $36,000 per year ($3,000 per month) for the right to retain existing facilities and antennas at Tustin Sports Park. The term of the License Agreement is 10 years with two 5 year options, with license payments escalated annually at 4.00 %. Over the initial 10 year term Licensee was expected to pay $345,776, of which the City would receive 75 %, or $259,332. If the Licensee was to exercise the option to extend through 2030 (total of 20 years), the City would receive 75% of the gross license payments, or $643,206. Consistent with the existing consulting agreement, ATS Communications receives 25% of the license payments through the term of the License Agreement including extension perlods. In addition, the License Agreement allowed for an additional carrier, Clear Wireless LLC (Clearwire), to collocate upon the licensed premises. The additional carrier would have required an additional license payment of $12,600 per year ($1,050 per month) escalated at 4.00% annually. The option of collocation by Clearwire expired 12 months from the Effective Date of the Agreement (August 1, 2011), leaving the site with the option for future additional improvements. The First Amendment to the Communications Site License Agreement will require the Licensee to pay an additional $13,200 per year ($1,100 per month) for the additional improvements to the site outlined in Exhibit A of the attachment. The term of the First Amendment is coterminous with the current License Agreement of 10 years with two 5 year options, with license payments escalated annually at 4.00°/x. Over the initial 10 year term, Licensee's gross license payments will be $409,972; of which the City will receive 75 %, or $307,479. If the Licensee exercises the option to extend through 2030 (total of 20 years), the City will receive 75% of the gross payments, or $821,201. Consistent with the existFng consulting agreement, ATS Communications will continue to receive 25% of the license payments through the term of the License Agreement and First Amendment including extension periods. COORELATION TO THE STRATEGIC PLAN This action correlates to the Qty's Strategic Plan for Financial Strength (Goal C). BACKGROUND Wireless facilities have been located in Tust'n Sports Park since 1996. The equipment facilities are located behind the scoreboard adjacent of Jamboree Road and the antennas are located on light poles located adjacent to baseball fields. Kenneth Piguee U dZ Buchanan Management Analyst Direct or, Economic Development Attachment — First Amendment to Communications Site License Agreement FIRST AMENDMENT TO COMMUNICATIONS SITE LICENSE AGREEMENT THIS FIRST AMENDMENT TO COMMUNICATIONS SITE LICENSE AGREEMENT ( "First Amendment ") is entered into this _ day of , 2014, by and between the CITY OF TUSTIN, a municipal corporation, with a mailing address of 300 Centennial Way, Tustin, California 927+0 (hereinafter referred to as "City ") and STC ONE LLC, a Delaware limited liability company, by Global Signal Acquisitions III LLC, a Delaware limited liability company, its attorney in fact, with its principal offices located at 2000 Corporate Drive, Canonsburg., Pennsylvania 15317 (hereinafter referred to as "Licensee "). RECITALS WHEREAS, City and Licensee entered into a Commu iicotions Site License Agreement dated August 1, 2010 ( "Agreement ") whereby City licensed cert, in re,1 property located in the City of Tustin, County of Orange, State of California from City defined by the Agreement as the "Premises," all Iocated within certain real property owned by City (the "Property "); and WHEREAS, City and Licensee intend to i;inend the Agreement on the terns and conditions contained herein. NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are acknowledged, City and Licensee agree as follows: 1. Recitals; Defined Terms. The parties acknowle&V the accurL.cy of the foregoing recitals. Any capitalized terms not defined herein shall have the meanin.,s ascribed to them in the Agreement. 2. Increase of Monthly License Payment. Commencin,; on December 1, 2014, the monthly License Payment shall be increased by One Thousand One Hundred and 00. 100 Dollars (S 1,I00.00) per month, for a total increased License Payment of Three Thousand Nine Hundred Seven and 66.100 Dollars ($3,907.66). The first increased License Payment shall be payable within ten (10) business days of the full execution of this First Amendment. City hereby approves only the additional immprovements ( "Additional Improvements ") described in Exhibit "A," and upon obtaining the required permits, Licensee shall have the right to install the Additional Improvements. 4. Ratification. a) City and Licensee agree that the Agreement is in full force and effect, and the Agreement, as modified by this First Amendment, contains the entire agreement between City and Licensee with respect to the Site. b) City acknowledges that it has neither delivered nor received any notice of default in the twelve (12) months preceding the date of execution of this First Amendment. In making; this representation, City in no way waives any rights it may have, nor any claims which may have accrued to City prior to or following the date of execution of this First Amendment. default. Remainder of License Unaffected. The parties hereto acknowledge that except as expressly modified hereby, the Agreement remains unmodified and in full force and effect. In the event of any conflict or inconsistency between the terms of this First Amendment and the Agreement, the terms of this First Amendment shall control. This First Amendment may be executed simultaneously or in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same agreement.
