Huston, City Manager Mike Henley, Director of Community Services RESOLUTION NO. 96-6 AMENDMENT TO TUSTIN COMMUNITY FOUNDATION BYLAWS RECOMMENDATION: It is recommended that the City Council: . Adopt Resolution No. 96-6, amending the bylaws of the Tustin Community Foundation to provide staggered terms for members and establish new effective dates for terms of office. BACKGROUND- On November 21, 1995, the Board of Directors of the Tustin Community Foundation adopted their Resolution No. TCF95-1, amending Article V, Section 3, of the Foundation's bylaws as follows: ,, Formalizes the nominating process for board members by requiring a majority vote of the Board, and formal appointment by a four-fifths(4/5) vote of the City Council. . Changes board member anniversary dates from October to January to coincide with the Board's Annual Meeting. New members shall take office each January 1, with terms expiring on December 31. 3. Establishes a term schedule for board members. When all seats are filled, this board will consist of fifteen (15) members. The new schedule will /7 establish five (5) one year terms, five (5) two year terms, and five (5) //' three year terms. The Board will determine length of terms by resolution. fi'Mike H erheyL/t/ v/~ Director, Communit~._~ces sc 1 2 3 4 5 6 7 8 9 10~ 11 12 13 14 15 16 17 18 19 20 21 2:2 23 24 25 26 27 RESOLUTION NO. 96-6 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TUSTIN, CALIFORNIA, AMENDING THE BYLAWS OF THE TUSTIN COMMUNITY FOUNDATION TO PROVIDE FOR STAGGERED TERMS FOR MEMBERS OF THE BOARD OF DIRECTORS AND TO ESTABLISH THE EFFECTIVE DATES OF THE TERMS OF OFFICE. WHEREAS, a regular meeting of the Board of Directors of the Tustin Community Foundation, a non-profit, public benefit corporation organized under the laws of the State of California, was regularly and duly held on the 21st day of November, 1995; and WHEREAS, the Tustin Community Foundation is permitted by law to amend the provisions of its bylaws insofar as to determine the terms of the members of the Board of Directors and the termination date of such terms; and WHEREAS, at the regularly scheduled meeting of November 21, 1995, the Board of Directors of the Tustin Community Foundation passed and adopted Resolution No. TCF95-1, amending Section 3 of Article V of the bylaws; and WHEREAS, pursuant to Article XIII of the bylaws, this amendment is subject to the approval of a majority of the membership of the City Council; and NOW, THEREFORE, IT IS RESOLVED that Section 3 of Article V of the bylaws of the Tustin Community Foundation be and is hereby amended to read as follows: Section 3. Selection and Terms of Office. The Board of Directors shall be comprised of fifteen (15) members, as defined in Section 1 of this Article, nominated by the Board of directors and appointed by a four-fifths (4/5) vote of the Tustin City Council. Terms shall begin on January 1 of each year, or immediately upon appointment, if the appointment occurs after January 1. Terms shall end on December 31. Each Board Member shall serve a term of three (3) years, except for the first fifteen (15) members of the Board. Of the first fifteen, five shall serve terms of one (1) year, five shall serve terms of two (2) years, and five shall serve terms of three (3) years.
