RECOMMENDATION
It is recommended that the City Council at their meeting of May 20, 1996, authorize the Mayor and
City Clerk to execute a Professional Services Agreement with the firm of Dokken Engineering to
prepare and process a Project Report (PR) to approval by Caltrans for the Newport Avenue/SR-55
Interchange Northbound Ramp Reconfiguration Project in the amount of $65,270.00.

Funds to accomplish this work have been budgeted in the current Redevelopment Agency Capital
Improvement Program for the South Central Project Area.
DISCUSSION
At the June 7, 1993 meetings of the City Council and the Tustin Community Redevelopment Agency, a
Public Works Agreement was entered into between the City and the Agency for accomplishment of the
Newport Avenue Extension Project improvements in the South Central Project Area. The agreement
provides for the City to undertake the public improvements described in the document on behalf of the
Agency and that the Agency will pay the City for these improvements from furore tax increments to the
South Central Project Area.
The firm of Dokken Engineering was under contract to the developer of the Pacific Center East
Specific Plan Area, Catellus Development Corporation, to perform preliminary engineering services
related to the above noted work. In 1994, due to the economic downturn, Catellus was unable to
financially proceed with the consulting engineering services necessary to complete, process and obtain
approval of the Project Study Report (PSR) phase of the project. Accordingly, through a separate
agreement between the Agency and Catellus approved on January 3, 1994, it was determined to be
mutually beneficial to obtain PSR approval from Caltrans for the Interchange project by the
Agency/City retaining and fully administering the services of Dokken Engineering to complete the
work that they had been performing for Catellus. On April 4, 1994, the Agency/Council approved a
Professional Services Agreement with Dokken Engineering to accomplish the PSR phase of this
project. The Project Study Report has recently been approved by Caltrans.
The next step in the Caltrans approval process is devdopment of a Project Report. The subject
Professional Services Agreement with Dokken Engineering will provide a critical link in the
accomplishment of the South Central Project Area infrastructure improvements, which is, the furore
approval by Caltrans of the Newport Avenue/SR-5 5 Interchange Northbound Ramp Reconfiguration.
Without Caltrans' approval of this work, implementation of the full Newport Avenue extension project
from its present tennimtion to Valencia Avenue, including other accompan~g necessary
.infiastm~e in the Pacific Center East Specific Plan Area will be seriously hampered. For continuity
purposes, it is felt to be beneficial to retain Dokken Engineering to do the Project Report Phase due to
their expertise and excellent performance during the PSR phase. With Council approval of the
Professional Services Agreement, the Project Report phase can now be initiated.
The Scope of Work for the Professional Services Agreement includes:
· Preparation of the Project Report according to Caltrans guidelines
· Preparation of pre'hminary Plan, Profile, Cross-sections, Super-elevation Diagrams and
Cost Estimates ,
· Preparation of pr 'elaninm3, right-of-way parcel maps for Caltrans' fight-of-way data sheets
· Preparation of a map showing locations of underground and overhead utilities for purposes
of estimating utility relocation costs
· Preparation of exhibits and review of a SUperseding Freeway Agreement between the City
of Tustin and Caltrans
· Preparation of a Caltrans New Connection Report and/or a FHWA Modified Access
Report, if required
· Assistance, coordination and review of a Cooperative Agreement between the City of
Tustin and Caltrans.
The negotiated fee for the Professional Services Agreement is felt to be fair and reasonable for the
project.

PRO1 ,IONAL SERVICES AGREEM~
THIS AGREEMENT, made and entered into this day of , 19_, by and between the CITY
OF TUSTIN, a municipal corporation (hereinafter referred to as "City") and Dokken Engineering (hereinafter
referred to as "Consultant").
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary services for preparation and
processing of a Project Report (PR) for approval by Calms for the Newport Avenue/SR-55 Interchange Ramp
Reconfiguration hereinafter referred to as 'Projecff; and
WHEREAS, Consultant is qualified to provide the necessary services in connection With said Project
and has agreed to provide the necessary services; and
WHEREAS, Consultant has submitted to City a proposal dated September 21, 1995, a copy of the
proposal is attached hereto, marked as Exhibit "A" and is by this reference incorporated herein as though set
forth in full herein (the "Proposal").
NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to provide the
professional services for the Project, and City and Consultant, for the consideration hereinafter set forth, agree
as follows:
Section 1: Scope of Consultant's Services. Consultant agrees to furnish to City consulting services
for the Project. These services shall include all the services included within the Consultant's proposal, (Exhibit
Section 2: Time for Completion. It is hereby understood and mutually agreed that the time for
completion of the work to be performed by Consultant is an essential condition of the agreement. Consultant
agrees that it shall prosecute regularly and diligently the work of this agreement according to reasonable
schedules established by the City for the various items described and as outlined within Consultant's proposal.
Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its
control and without the fault or ne~..~.:hce of Consultant. Any delays sh. .tOt entitle Consultant to any
additional compensation, regardless, of the party responsible for the delay.
Section 3: Compensation. The compensation to be paid under this agreement shall be as set forth in
the Consultant's proposal with a not to exceed total cost of $65,270. Progress payments for work completed
will be paid as the work progresses, within thirty (30) days of the date of Consultant's invoice. These
payments will be based upon submittal of detailed invoices and based upon the actual work performed for each
individual task not exceeding that provided in the consultant's proposal.
Section 4.' Job Site Conditions. The City agrees that in accordance with generally accepted
construction practices, the construction contractor will be required to assume sole and complete responsibility
for job site conditions during the course of construction of this project, including safety of all persons and
property and that this requirement shall be made to apply continuously and not be limited to normal working
hours.
Section 5: Miscellaneous Provisions.
A. City and ConSultant agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the fight to terminate any or all of the services
covered by this agreement at any time. In the event of such termination, Consultant shall be paid for services
rendered to the effective date of the termination.
(2) Consultant agrees that it shall proceed immediately and diligently to perform the services provided
for in this Agreement upon receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to and be binding upon and inure, to the
benefit of heirs, executors, administrators, successors and. assigns of the respective parties hereto.
(4) Consultant shall perform the services hereunder as an independent contractor and under no
circumstances or conditions shall Consultant or any of its agents, servants.and employees, be considered as an
employee or agent of the City.
(5) Consultant shall perform, i services required under this agre. .:t using that degree of care and
skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors
and omissions for services performed by Consultant under the terms of this Agreement. Consultant agrees to
indemnify~ defend and hold City, its agents, employees, successors and assigns harmless from any loss,
damage, injury, sickness, death, or other claim made by other persons and from all costs, expenses and
charges, including attorney's fees, arising from Consultant's negligent performance of this agreement. In
addition, Consultant shall maintain in full force and effect during the term of this agreement policies of
comprehensive general liability, personal injury and liability insurance with limits of at least.S1,000,000
combined single limit' coverage per occurrence, and professional liability insurance coverage with limits of at
least $500,000 combined single limit coverage per claim or per occurrence for which certificates of insurance
or endorsements in form satisfactory tO the City have heretofore been delivered to City. If Consultant provides
claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail
insurance in the amount required by this agreement to cover claims made within five (5).years of the
completion of Consultant's service under this agreement, or (2) to maintain professional liability insurance
coverage with the same carrier in the amount required by this agreement for at least five (5) years after

completion of Consultant's services under this agreement. The Consultant shall also be required to provide
evidence to the City of the purchase of the required tail insurance or continuation of the professional liability
policy by executing the attached letter agreement on Consultant's letterhead.
(6) Consultant shall carry and pay for such compensation insurance as is necessary to fully protect
Consultant and its employees under California Worker's Compensation Insurance and Safety Laws, to relieve
City from all responsibility under said laws in connection with the performance of this agreement, and upon
execution of this agreement, to file with City a certificate to said protection.
(7) Consultant certifies that them shall be no discrimination against any employee who is employed in the
work covered by this agreement, or against any application for such employment, because of race, religion,
color, sex or national origin including, but not limited to, the following:
a. Employment, upgrading, zmotion or transfer, recruitment, o~ _ ..ruitment advertising, lay-off or
termination, rate of pay or other forms of compensation, and selection for training, including apprenticeship.
(8) Consultant shall provide City monthly with a detailed itemization of all work performed, and the

fees accrued thereon, in complete and sufficient detail to fully apprise City thereof.
(9) Upon termination of this Agreement or completion of the Project, all documents relating to the
Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph
(1) of this Section, Consultant shall, within ten (10) business days of receipt of notice of termination, provide

City with all documents within Consultant's possession relating to this Agreement and the Project, including
but not limited to all completed documents and all drafts of uncompleted documents.

Dokken Engineering has executed the Professional Services Agreement for the
above referenced project. In lieu of providing occurrence based professional
liability insurance coverage as required by the Agreement, D°kken Engineering
warrants and represents that it shall maintain insurance coverage with the
insurance company listed on the attachment or a comparable insurance company,
in the amounts indicated for at least five (5) years after the completion of the
consulting services under the Agreement. Dokken Engineering will prOvide the
City with certificates of insurance coverage within the period established above in
order to evidence compliance with this Agreement.

for Newport/Edinger/SR 55
Dear Mr. Kasdan:
Dokken Engineering is pleased to submit, at your request, this revised proposal
to provide the City of Tustin with professional services for the preparation of a
Project Report for' the Reconstruction of the Northbound Ramps at Edinger
Avenue on State Route 55. The limits of work would be the same as those found
in the. Project Study Report which we have prepared for the City and which is
currently under review by Caltrans.
As noted in the PSR, the appropriate environmental clearance for CEQA would
be a finding that project impacts and mitigation measures were addressed in the
City's Pacific Center East EIR. A Preliminary Environmental Evaluation form
is attached to the PSR for approval by Caltrans to make this finding. Therefore,
the scope of services for the Project Report does not include any reevaluation
related to CEQA. The scope of services does, however, involve preparation of a
Categorical Exclusion (CE) for National Environmental Policy Act (NEPA)
compliance as you have requested.
SCOPE OF WORK
Plan, Profile, Typical Cross-Sections, Superelevation Diagrams
The PR will include a preliminary layout designed to the standards
contained in Caltrans Highway Design Manual, Fifth Edition (Metric)
similar to that contained in the Project Study Report now under review by
Caltrans at a metric scale of 1:2000. Profiles, typical cross-sections and
superelevation diagrams will be provided as necessary for the relocated
northbound ramps, Newport Avenue, Del Amo Avenue, and Edinger Avenue.
The approval of a right turn lane at the northbound off-ramp will be
requested as part of the Project Report submittal to Caltrans. Existing
topographic mapping and available survey and geotechnical information will
be used.
Final layouts will be prepared in both Microstation and AutoCad electronic
format.

A Preliminary. Project Cost Estimate with a 20% contingency will be
prepared in Caltrans format for inclusion in the Appendix.. Pavement'
estimates will be based on existing and available information and no new
geotechnical studies are anticipated at this stage.
Project Report
The Project Report will be prepared according to the new guidelines found in
the 6th Edition of Caltrans Project Development Procedures Manual. Traffic
volume and safety data from the PSR will be utilized in the PRi No new
traffic studies are anticipated, but if required, the City of Tustin will provide.
Miscellaneous Studies
Dokken Engineering will make exhibits for and review a Superseding
Freeway Agreement for approval by the City of Tustin. A Caltrans New
Connection Report and/or a FHWA Modified Access Report will be prepared if
required.
Cooperative Agreement
Assistance, coordination, and review will be provided by Dokken
Engineering during the preparation of a Cooperative Agreement between the
City of Tustin and Caltrans.

Project Management
Dokken Engineering will manage the project with responsibility for-
completion and approval of the final Project Report including environmental
approval. This includes project management and administration, meetings.
and quality control, subConsultant coordination, scheduling, budgeting,
progress reporting, and invoicing.
Monthly billings and progress reports will be submitted to the City of Tustin.
Meetings
Dokken Engineering will participate in regular Project Development Team
(PDT) meetings and other coordination meetings with the City and Caltrans,''
as necessary. To supplement these meetings, Dokken Engineering will
maintain on-going communications with the City and Caltrans.

Project Report Phase of the Newport Avenue/State Route 55
(SR-55) Ramp Reconfiguration Project

LSA A&sociates, Inc. (I~A) is pleased to submit this proposal to provide envi--
ronmental support .services to Dokken Engineering (DE) for thc Project
Report phase of the Newport Avenue/State Route 55 (SR-55) ramp reconfigu-
ration project. Thc objective of this engagement is to prepare the environ-
mental documentation required for the project.
As we have dOCUmented in our work on the Project Study Report OaSR), the
proposed interch~ge modification is part of the Circulation Plan included in
the Pacific Center Fast Specific Plan in the City of Tustin. All elements of the
Specific Plan, including the Circulation Plan, were subject to environmental
review as part of the En~ronmental Impact Report (EIR) for the Pacific Cen-
mr' East Specific Plan. In November, 1990, the City of Tusrin (City) certified
the Final EIR for the Pacific Center East Specific Plan. The design concept
(ramp configuration and geometrica) that has been developed to'date for the
Newport Avenue.~SR-55 PSR is consistent with the Circulation Plan evaluated
in the Pacific Center East Specific Plan EIIL Therefore, the proposed modili-
cations have already been subject to environmental review under the Califor-
nia Environmental Quality Act (CEQA).
As noted in the draft Preliminary. Environmental Evaluation we submitted on
December 1, 1994, Caltrans is a Responsible Agency whose discretionary
action is approval of the permit necessary to construct the project. Pursuant
to Section 15096 of the CEQA Guidelines regarding Responsible Agencies,
Caltrans must consider the CitT's Pacific Center East EIR in determining
wh~ther to approve the northbound 5R-55 ramp modifications. The appro-

priate CEQA action by Calwans would be a finding that proiect impac~ and
mitigation measures were add~ in the prior EIIL A Preliminary Environ-
mental Evaluation form was prepared as part of our work on the PSR for
approval by Caltrans to make this finding. In my meeting of March 7. 1995,
with Al FLsher (Catwan$ District 12 Environmental Branch Chief), he eon-
firmed that this would be an appropriam finding and indicated that this is
the only CEQA action that Caltrans will need to take on the projecx, unless
there are changes to the project design that would require reevaluation. Our
sa:ope of services does not inetude any. reeval~tion related to ,CEQA since
the project design concept ks relatively unchanged from the 1990 EIIL
Our proposed scope of services involves preparation of a Categorical Exclu-
sion (CE) for National Environmental Policy Act 0~IEPA) compliance, should
the City desire to pursue federal funding. It is important to note that Cai-
trans District 12 (per my telephone conversation with Gene Huey, District
12/Environmental Planning on March 1, 1995) eonsiiders the 'project' to be
addressed in the CE to include the ramp modifications and the construction
of Newport Avenue between Edinger Avenue and Yal~neia Avenue. The
section of Newport Avenue is included to provide 'logical termini' for the'
project (i.e., without the Newport Avenue section, the new on and off-ramps
would not connect to anything).

Ta~k I - Project Management
Mr. Rob McCann, a Principal with I~A, will be the Project Manager for this
project. Mr. McCann will supervise and coordinate the environmental
vices in conformance with C.~~' Project Development Procedures Manual
and Environmental Handbook. Included in this task is ongoing project team
coordination and preparation of monthly progress' reports. Our level of
effort is based on a six month schedule for LSA's services.
Task 2 - Meetings
ISA will par~dpate in Project Development Team (PDT) meetings, as well as
coordination meetings with DE, Caltrans, or the City as needed during the
project. Our level of effort is based on attendance at a total of six meetings.
We recommend that one of the meetings be a field review of the site with the
Federal Highway Administration (FHWA) Transportation Engineer a~isned to
Caltrans District 12.

Task $. Technical Studies
Although most of the environmental data in the Pacific Center East Specific
Plan EIR can be used to document a CE determination, some additional
technical studies will be required for NEPA compliance. Based on the envi-
ronmental isaues previously addressed, ISA shall prepare the technical stud-
ies described below ro be used as backup to thc Draft CE. Our level of effort
for the:se studies i$ based on thc need to evaluate a No Build Alternative and
a Build Alternative. These are thc only technical studies proposed for thc
project. Based on our review of the project area and the Pacific Center East
Specific Plan SIR, we do not anticipate the need for a floodplain evaluation,
Section 4(0 evaluation, noise, visual, ~:i~nomic, or right-of-w-ay reloca'
tion studies.
Task 3.1 - Air Quality Analysi~
LSA shall prepare an Air Quality Report to document the air quality analysis
and findings. The air quality impacts of the proposed project can be divided
into short-term, regional, and local air quality impacts. Since the project
does not involve Improvements to the freeway mainline, the project is not
anticipated to have a major effect on regional air quality emissions. There-
fore, a regional impact analysis will not be required.
Short-Term Impacts. Short-term impacts will be generated due to construc-
tion. The type, amount and duration of air po{lutant emissions will be quan-
tiffed for construction activities. The significance of the project emissions
(especially suspended particulates less than 10 microns in diameter) on air
quality will be discuS.
Confo~nity Analysis. The Air Quality Report will include a discus.sion of the
project's conformity w/th the Federal Cie'an Air Act Amendments of 1990.
LocalAirImpactx. ISA will assess potential CO hotspots at sensit/ve receptor
locar/ons w/thin the project area. Using the C-ALINE4 model, the increase or
decrea.~ in concentrations due to the project will be highlighted. In addi-
tion, the concentrations projected will be compared to State and federal air
quality standards to determine the significance of the potent/al impacts.
Task 3.2 - Biological Resourcex
Although no biological resources are expected on site, a limited biological
study ia typically required by Caltran$ and FHWA. to document that there are
no endangered species issues. [.SA will perform the following tasks:

Conduct a sear~ of the California Natural Diver~irv Dam Base
(CNDDB) and other sources to identify special-~mru$ species that
could potentially occur in ~he vicinity of the project site.
Conduct a site visit by a qualified biologist to assess the biological
resources present on the site, and the potential for the occurrence of'
$peeial-statxt$ plant and wildlife species on the site.
Prepar~ a brief letter report describing survey methodologiea, the
suits of the survey, a brief summary of historic reco~ of special-
$tat~ spexfies in the project vicinity, and a disoa~ion of potential
impacts to biological resources on the project site.
Taxk 3.3 - Cultural Resources
ISA will perform the following tasks to comply with the requirements of
Caltranx Environmental Handbook, Volume II (Cultural Resourcex):
Conduct a recorcla search at the appropriate area information center.
Contact local historical societies and Native American groups advising
them of the study.
Conduct a walkover field survey by a qualified archaeologist. "'
Prepare draft and final versions of an Historic Property Clearance
Report (Negative Findings) and an Archaeological Survey Report (Neg-
ative Findings).
Ta~k 4. Draft Categorical F. xclu~ion (CE)
Concurrent with the completion of the above technical studies, LSA shall pre-
pare a Draft CE pursuant to the requirements of NEPA and in accordance
with I:HW'A and Caltran$ regulations. I~A will submit 20 copies of the Draft
CE (including backup technical reports) for review by the City, Caltrm~, and
FI-I'W'A. No public review of a CE is required.
Task 5 - F~nal CE
Following receipt of comments on the Draft CE, LSA will make revisions as
nece:~sarT and prepare a final version of the CE for approval by Caltran~ and
FHW'A. I~A shall coordinate with DE in their preparation of the Proiec:
Repot-t, since the CE will be an attachment. LSA shall provide one master
copy of the CE and backup technical reports to DE for reproduction and
submittal with the Project Repo~.
