RECOMMENDATION
It is recommended that the City Council, at their meeting of September 16, 1996, approve a
consultant agreement with Infrastructure Management Services 0MS) for professional services to
update the city-wide pavement management system, at a not to exceed fee of $61,250.00 for the
current year's update and authorize the execution of the consultant agreement by the Mayor and
City Clerk, subject to the City Attomey's approval.
FI,SCAL IMPACT
Tlie current Engineering Division operating budget (4020-6140) provides sufficient funds through
the Measure ~M" Turnback program for the surveying, testing and updating of the pavement
management system for all streets maintained by the City.
BACKGROUND
The City Council, on May 18, 1992, adopted Resolution 92-59 certifying the City's pavement
management plan and committing the City to update the plan biennially. This update is required to
continue to be eligible for all forms of Measure M funding. The latest update was submitted to the
Orange County Transportation Authority (OCTA) as part of the Measure "M" Annual Eligibility
package for FY 1995-96 and the next required update is due by June 30, 1997 as part of the FY
1996-97 eligibility package.
The Consultant is fully qualified to provide the necessary services for the project, has provided
similar services to the satisfaction of the City since 1993, and has compiled the digital database for
future updates to the Pavement Management System.

THIS AGREEMENT, made and entered into this day of , 19_, by and between the CITY OF
TUSTIN, a municipal corporation (hereinafter referred to as "City") and Infrastructure Management Services, Inc.
(hereinafter referred to as "Consultant',).
WITNESSETH:

WHEREAS, City desires to employ Consultant to furnish the necessary services to update the City's Pavement
Management Program hereinafter referred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services in connection with said Project, has
provided similar services to the satisfaction of the City since 1993 and has agreed to provide the necessary services;
and
WHEREAS, Consultant has submitted to City a proposal dated August 13, 1996, a copy of the proposal is

attached hereto, marked as Exhibit "A" and is by this reference incorporated herein as though set forth in full herein

NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to provide the professional
services for the Project, and City and Consultant, for the consideration hereinafter set forth, agree as follows:

Section 1: Sc_.qp.p_g. o_.f Consultant's Services. Consultant agrees to furnish to City consulting services for the
Project. These services shall include all the services included within the Consultant's proposal, (Exhibit "A").
It is understood that this Agreement may be annually extended Over multiple years contingent upon availability
of funds, work performance of Consultant, submittal of new Scope of Work and fees for the required updating in that
year and upon authorization to proceed in writing by the Tustin Director of Public Works/City Engineer.
Section 2: Time for Comt}letion. It is hereby understood and mutually agreed that the time for completion of
the work to be performed by Consultant is an essential condition of this agreement. Consultant agrees that it shall
prosecute regularly and diligently the work of this agreement according to reasonable schedules established.by the City
for the various items described and as outlined within Consultant's proposal. Consultant shall not be accountable for
delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of
Consultant. Any delays shall not,

_Section 3.- Compensation. The compensation to be paid under .this agreement shaft be as set forth in the
Consultant's proposal for the first year with a not to exceed total cost of $~61.250.00. Progress payments for work
completed will be paid as the work progresses, within thirty (30) days of the date of Consultant's invoice. These
payments will be based upon submittal of detailed invoices and based upon the actual work performed for each
individual task not exceeding that provided in the consultant's proposal. It is understood that this Agreement may be
armuall3~ extended over multiple years contingent upon negotiation of an accept~le fee for the required updating in
that year and upon authorization to proceed in writing by the Tustin Director of Public Works/City Engineer.
Section _4 Jo__b.b Site COnditions. The City agrees that in accordance with generally accepted construction
practices, the construction contractor will be required to assume sole and complete responsibility for job site conditions

during the course of construction of this project, including safety of all persons and property and that this requirement
shall be made to apply continuously and not be limited to normal working hours.
Section 5.' .Miscellaneou_s Provisions.

(1) City, by notifying Consultant in writing shall have the fight to terminate any or all of the services
covered by this agreement at any time. In the event of such termination, Consultant shall be paid for services rendered

to the effective date of the termination'
(2) Consultant agrees that it shall proceed immediately and diligently to perform the services provided
for in this Agreement upon receipt of notice fi.om City to procx~ therewith.
(3) The terms and provisions of this agreement shall emend to and be binding upon and inure to the
benefit of heirs, executors, administrators, successors and assigns of the respective parties hereto.

(4) Consultant shall perform the services hereunder as an independent contractor and under no
circumstances or conditions shall Consultant or any of its agents, servants and employees, be considered as an
employee or agent of the City.
(5) Consultant, ~perform all services required under t greement using that degree of care and

skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and
omissions for services performed by Consultant under the terms of this Agreement. Consultant agrees to indemnify,
defend and hold City, its agents, employees, successors and assigns harmless fi.om any loss, damage, injury, sickness,
death, or other claim made by other persons and fi.om all costs, expenses and charges, including attorney's fees, arising

fi.om Consultant's negligent performance of this agreement. In addition, Consultant shall maintain in full force and
effe6t during the term of this agreement policies of comprehensive general liability, personal injury and liability
immran .c.e with limits of'at least $1,000,000 combined single limit coverage per occurrence, and professional liability

insurance coverage with limits of at least $500,000 combined single limit coverage per claim or per occurrence for
which certificates of insurance or endorsements in form satisfactory to the City have heretofore been delivered to City.
If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to
purchase tail insurance in the amount required by this agreement to cover claims made within five (5) years of the
completion of Consultant's service under this agreement, or (2) to maintain professional liability insurance coverage
with the same carder in the amount required by tNs agreement for at Ieast five (5) years after completion of
Consultant's services under this agreement. The Consultant shall also be required to provide evidence to the City of the
purchase of the required tail insurance 6r continuation of the professional liability policy by executing the attached
letter agreement on Consultant's letterhead.
(6) Consultant shall carry and pay for such compensation insurance as is nec. es.sary to fully protect
Consultant ,and its employees under California Worker's Compensation Insurance and Safety Laws, to relieve City
fi.om all responsibility under said laws in connection with the performance of this agreement, and upon execution of
this agreement, to file with City a certificate to said protection.
(7) Consultant certifies that there shall be no discrimination against any employee ~,ho is employed in
the work covered by this agreement, or against any application for such employment, because of race, religion,' color,
sex or national origin including, but not limited to, the following:

lay-off or termination, rate of pay or other forms of compensation, and selection for
training, including apprenticeship.
(8) Consultant shall provide City monthly~ with a detailed itemization of all work performed, and the
fees accrued thereon, in complete and sufficient detail to fully apprise citY thereof.
(9) Upon termination of this Agreement or completion of the Project, all documents relating to the
Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph (1) of
this Section, Consultant shall, within ten (10) bUsiness days of receipt of notice of termination, provide City with all
documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all
completed documents and all drafts of uncompleted documents.

IMS Infrastructure Management Services, Inc. is pleased to submit for your consideration our proposal to
perform an update of pavement management program as requested in our May 6, 1996 meetin~ and revised
pursuant to our June 10, and August 13, 1996 conversations. Thank you for t~e time you and l~/estor B.
Mondok afforded me to discuss the update of your pavement program and other related topics. We believe that
the IMS Pavement Management System will continue to meet and/or exceed the City's objectives for a
pavement management system~
WORK PI. AN
IMS proposes to perform video enhanced Laser Road SurfaceTester (Laser RST) surface condition survey,
deflection testing, updated pavement management reports, and updated pavement management related maps
for the City of Tustin. The elements of this work plan and the costs are set out below.
1. DA TA COLLECTION
a. Surface Condition Survey
This survey will be completed using the video enhanced Laser Road Surface Tester (Laser RST). Using this
equipment, the City will receive a continuous, objective, and accurate survey of the surface condition of the
street network. The surface condition survey is conducted continuously over the entire test section and is not
based on sample sections. The information ~athered in this survey includes roughness, rut depth, cracking and
texture. An environmental survey will also be undertaken at the time of the surface condition survey. A video
log is undertaken at the same time and is used by IMS'for quality control purposes which is also available to
the City. The previous inventory will be used in the testing operations to keep the test sections consistent with
previous testing as appropriate. The Laser RST operates in traffic without the need for traffic control.

b. Deflection Testing
Each test section surveyed by the Laser RST will receive at least one deflection test. This testing ,.viii be
carried out using the Dynaflect machine and the results of this testing will permit an analysis of the structural
capabilities of the existing street section. IMS utilizes all five sensors of the Dynaflect in its structural analysis
which p;ovides valuable information on the capabilities of the pavement, base and sub-grade sections, and the
interaction between these sections. If traffic control is necessary for this testing operation, it will be provided
by IMS.
c. Project Size Of Data Collection
Based upon our previous testing experience, your street network contains approximately 2,810 test sections. In
order to reduce the project size, IMS proposes to test all.local (LOC) and collector (COL) classifications of
streets in a singl'e direction while testing all remaining classifications major (MA J), modified major (MM J),
modified primary, (MPR), primary (PRi), and secondar?,., (SEC) as previously tested bv IMS. This will reduce
the total number of test sections by about 800 test sections or an estimated tdtal of 2,0}0 test sections. IMS will
test two lanes while testing LOC and COL classifications if surface conditions between the lanes is
significantly different. The testing frequency for the LOC and COL streets is consistent with a network level'
analysis and is used routinely by IMS in most cities in Califomia and across the United States. The total
number of test sections is based upon 1,977 test sections currently in your network and adding 73 test
sections for approximately 2 miles of new streets and some' new test sections which may be required for new
pavement changes and other factors requiring, additional sectioning. It is IMS's experier~ce that additional test
sections mav be required in some situations since pavement changes mav have been added which will require
additional test sections.
d. Data Collection Timing
The data cOllection phase of the project, including the surface.condition, environmental and inventory surveys
and deflection testing, will require aboUt 4 to 5 weeks to complete after the start of data collection operations.
2. UPDATE OF REPORTS
Update Traffic Data Base
The City ofTustin xvili provide an updated Average Daily Traffic (ADT) map and chart to IMS. IMS will
update the Ci .t-y's traffic data base in the pavement management to reflect any changes t¥om the previous
update.

b. Update Pavement Rehabilitation Strategies And Costs
IMS will provide a list of rehabilitation strategies with costs and inflation rates from the 1995 update of
Tustin's pavement management program. The City will provide in writing any new strategies to be considered.
any changes to costs, and any changes to inflation rates that IMS should consider in its analysis.
c. Update Of Construction History
The City of Tustin shall provide in written, map, chart, or a combinations of these forms a complete list of any
construction or rehabilitation conducted by the City since the 1995 update by IMS. The City will provide as a
minimum the rehabilitation strategy used and identi .fy rehabilitation limits of each .street rel~abilitated. IMS will
update the City Construction History. data base. accordingly.
Capital Improvement Plan
The Ci.ty of Tustin shall provide in written, map, chart, or combination of these forms a complete and current
list of their Capital Improvement Plans (CIP) for their street network. IMS will utilize this information in the
formulation of the management repons as appropriate.
e. Preliminary Reports Pavement Management Reports
Based upon the new field data collected, updated traffic, updated rehabilitation strategies and costs. Capital
Improvement Plan (CIP), and construction history., IMS will develop a preliminary set of pavement
management reports which will include the following reports: pavement inventory of block and streets
(pavement management segments); pavement detailed and Overview condition; priority report; pavement
improvement; user benefit; investment benefit: contributing factors; and pavement management or budgetary
plans. Each report will contain a one to two page description of the report and general information on the da~
contained in t. he reporrt. In addition to these reports, IMS will prepare a special report identifying the possible
need for crack sealing and patching. These reports will divided into three groupings as follows:
1. Reports on the complete City street net.york, ."Cit., Wide", for an overview of the complete street network.
2. Repons on the major street network, "Arterials", for an overview of the arterial street network.
3. Pavement management reports for non-arterial or locals and collectors.
The pavement management reports will be initially prepared in the preliminary, reports on a zone by zone basis
tbr the non-arterials. This will allow the City to review the recommendations of the program and may make a
determination of the priority, order of the zones for the final reports based upon the updated testing.

Ci'.tv Review Of Preliminary Reports Pavement Management Reports
The Ci.ty shall review and provide to IMS in writing a complete set of comments, corrections, concerns, and
any other input on the preliminary reports. In the event meetings are held, IMS will prepare notes on the
meeting and instructions given to IMS and have them approved by the City. IMS will not proceed on making
any corrections, making other modifications, or provide revised reports until such time that all Ci.ty input is
complete and identified as complete in writing. Additional input after the City's input is provided to IMS as
complete will not be considered or revisions made to the reports unless IMS has not started making corrections,
making modifications, or revising the reports or this input will not impact upon the revision of reports in
progress.
I MS expects to receive the City's comments, corrections, concerns, and other input to the reports in the form of
written instructions and marked up reports and should be complete as to its nature and its purpose.
g. Revised Reports
IMS will prepare a set of revised reports based upon the City input. This set of reports will be known as
"Revision No. I" and anv subsequent revisions will be numerically numbered unless the revisions made by
IMS were incomplete or in error.
h. Final Pavement Management Reports
IMS will prepare a set of final reports after IMS has been directed in writing to prepare such reports and after
the preliminary, or revised reports are completed IMS will provide three (3) bound sets of final reports.
i. Orange Count. Measure M Program
IMS will provide reports to the City which have been coordinated with Orange County. Transportation Agency
(OCTA) to meet the City's reporting requirements of the Oranize County Measure M prozram. 'IMS will
contact OCTA and obtain their requirements for this program and its reporting.
j. Update Of Executive Summary Report
IMS will develop an updated executive summary report which includes the following topics: introduction:
general information on pavement deterioration; data collection procedures: descriptions of the pavement
management reports; overview of results:, an overview of the fundin~ scenarios; and a historical aspects of the
City's pavement conditions, impacts of their pavement rehabilitation, and adequacy of funding. Initially, two
(2) copies of the executive summary report will be provided to the City tbr its review. If necessary. IMS will

make revisions to the executive summary report upon receipt ora written list of revisions required. Ten copies
of the Executive Summary will be provided to the City upon a written notification by the City to IMS.
Presentation of Results and Findings
IMS will provide one presentation on the results and findings to City Officials if requested in xwiting by the
City.
3. PA VEMENT MANAGEMENT MAPS
a. IMS will update the pavement management data linked to the City's electronic map upon completion
of the data collection and completion of the final reports. The City's Consultant will provide to IMS any
updates the electronic map prior this update process. The Ci.ty shall provide any necessary releases or approvals
of release of the electronic map and other necessary data as required by its consultant.
b. IMS will prepare and plot various pavement management relaied maps themes upon xwitten
notification by the City. The notification shall indicate the theme of each map required, quanti .ty of maps
required for each theme, and 'plot size. IMS will revise and 151ot various final themes upon written notice of
revisions required. Revisions to the maps will be limited to those revisions which can be accomplished with
IMS's mapping sofixvare. The following themes are some of the possible themes that may be considered by the
Cit-v:

· City wide pavement condition
* Arterial streets pavement condition
o Zone by Zone pavement condition
· Rehabilitation plans City wide and by zone
o Rehabilitation plans for arterial streets
o City wide .functional classification
· Other pavement management related items as designated by the City
PROJECT TIMING
The preliminary reports and maps should be completed 30 to 45 days after completion of the data collection. It
is anticipated that the entire project will require 4 to 5 months to complete. The timing provided is based upon
our past experience and may not reflect the actual time required since the reports, maps, and revisions of them
will require the review and provision of directions, comments, and corrections by the City. The time required
by the City for its review and provision of directions, comments, and corrections is not under IMS's control
and mav exceed our estimates which may increase the time required to complete the project.

5. PROJECT COSTS
The costs involved in the pavement management services have been based on the number of test sections set
out under the section "Project Size of Data Collection", 1.c, and the anticipatod scope of preparing the reports
and maps. The costs involved in field data collection include a full Laser RST surface condition survey as
described above, an environmental survey, and one deflection test for each test section evaluated by the Laser
RST. The costs related to field data collection, provision of the reports, and pavement management maps are on
the following fee schedule:

6. PA YM'ENT
Invoices will be s~bmitted monthly for the amount of work completed. Payments are due withiu 30 days of
receipt of invoice. '
7. PROJECT TEAM
Utilizing the IMS equipment and data bank is a staff of registered professional engineers and technicians
with .,,'ears of experience in the evaluation of roadways and pavements throughout North America. The staff
is headed by Dominick J. Gatto, P.E., President, who will coordinate the entire project and assure IMS's
corporate commitment for the Pr6posed Work Plan.
Bruce P. Johnson will serve as IMS's Project Manager. He xVili be responsible for the technical quail .ty and
successful completion of the. project within budget and on time. He will also be the principal liaison with the
Ci .ty's Project Coordinator.
David E. Butler, P.E., Vice President of Engineering, will coordinate the data quality review, report
preparation, report' revisions, and preparation and provision of maps. Dave is a recognized leader in the field
and is active on pavement management committees for ASTM and TRB.
Since experience at all levels of evaluation is essential, it should be noted that the field crews at IMS have
thousands of miles of experience to em;ure that the field data is collected accurately and efficiently.
INFORMATION AND SER VICES TO BE PRO VIDED B Y CITY

All input and requests should clearly identify the nature and purpose for each modification, chan~e,
correction, and action required by IMS. The written input and requests may be conveyed by FA~ In the

written summary and obtain City approval of it. The written input and request requirements of this proposed
project have been proposed to help insure that IMS's revisions are complete, timely, and within the scope of
the agreed upon project as well as document the entire project and provide quality control.
9. IMS QUALITY CONTROL PROCEDURES AND PROJECT MANAGEMENT

10. INSURANCE
IMS will' submit City of Tustin certificate of Insurance forms evidencing IMS's insurance coverage upon

effective planning and budgeting for the management of your street system. The services offered in this
proposal will provide your department with an extensive data base on which sound engineering decisions can
be based. The results of those services.will:
Provide a complete inventory, of Tustin' street system.
Provide the condition of the street system on a i;lock-by-biock basis..
Provide optimum solutions in terms of rehabilitation strategies required to bring your street
system to the service or performance level chosen by City officials.
Provide a five-year program and budget for completing these solutions.
Provide a five-year program based on the budget available if budget restrictions negate a
possibility for obtaining the desired service level. If this is the case. it will tell vou where your
street system will be in terms of performance at the end of five years.
