SUBJECT: COOPERATIVE AGREEMENT FOR THE WIDENING OF THE APPROACHES TO
THE SEVENTEENTH STREET OVERCROSSING OF THE SR-55 FREEWAY
RECOM/4ENDATION
It is recommended that the City Council, at their meeting of October 19,
1993, approve the subject agreement and authorize the Mayor to sign and
the City Clerk to attest to the subject agreement.
FISCAL IMPACT
On February 25, 1993, the Tustin-Santa Aha Transportation System
Improvement Authority (TSIA) authorized $90,000.00 from TSIA funds for
the 17th Street bridge approach preliminary engineering work. Also, on
August 31, 1993, the County Board of Supervisors approved $45,000.00 for
the County's share of the costs. The total $135,000.00 will cover the
anticipated cost of preparing the project study report under this
agreement.
BACKGROUND
The Orange County Transportation Authority (OCTA) has entered into an
agreement with Caltrans to widen the SR-55 Freeway between 17th Street
and SR-22 Freeway. The freeway widening will require the reconstruction
of the 17th Street bridge over the SR-55 Freeway. Consistent with the
OCTA policy of funding only mainline freeway improvements, the Cities of
Tustin and Santa Aha and the County of Orange are responsible for
funding the full widening of the approaches to the bridge, if they so
desire. To provide a continuous six-lane facility with appropriate turn
lanes between Tustin Avenue and Yorba Street, the approaches must be
widened.
DISCUSSION
The Cities of Tustin and Santa Ana and the County of Orange desire to
enter into an agreement to widen the 17th Street overcrossing approaches
and to share in the costs of these improvements. The purpose of the
attached agreement is to define the roles and financial obligations of
each agency for the preparation of preliminary plans, right-of-way maps
and cost estimates for the project. By mutual agreement, the City of
Santa Ana is the lead agency for this project.

MOTION: On motion by Supervisor Vasquez, seconded by Supervisor Riley,
the Board authorized execution of Agreement No. D93-131 with the Cities
of San~a Aha and Tustin for the widening of 17th Street approaches to
State Route 55 Bridge from Tustin Avenue to Yorba Street. MOTION
UNANIMOUSLY CARRIED. ~

COOPERATIVE AGREEMENT FOR THE WIDENING
OF THE APPROACHES TO THE SEVENTEENTH
STREET OVERCROSSING OF THE SR 55 FREEWAY
THIS AGREEMENT is made and entered into this ~1~ day of
~ , 1993 by and between the City of Santa Ana, a municipal
corpo~rati°n of the State of California ("SANTA ANAl), the City of Tustin, a
municipal corporation of the State of California ("TUSTIN"), and the County
of Orange, a political subdivision of the State of California ("COUNTY").

Recitals:
A. The "SR55 Project" consists of widening the SR55 freeway to provide a
general purpose lane and an auxiliary lane in each direction between 17th. St
and Route 22, as shown on Attachment A. The SR55 Project will require the
reconstruction of the 17 th. Street bridge over the the SK55 freeway (17th.
Over Crossing").
B. The Orange County Transportation Authority ("OCTA") has entered into
an agreement with the California Department of Transportation ("CalTrans")
for the development of the SR 55 Project, including preliminary design,
environmental documentation, final design, right-of-way acquisition, and
construction.
C. OCTA, S~A ANA, TUSTiN and COUNTY enter into a Memorandum of
Understanding dated December 1991 for the widening of the overcrossings at
17th. Street, Santa Clara Avenue, and Fairhaven Avenue which established the
intent of SANTA ANA, TUSTIN, and COUNTY to participate in the cost to design
and construct the widened overcrossings.

D. SANTA ANA, TUSTIN, and COUNTY.desire to widen the approaches of the
17th. Street overcrossing between Tustin Avenue and Yorba Street ("the 17th.
Street overcrossing approaches") as part of the SR55 Project and to share in
the incremental costs to design and construct the widened.17th. Street
overcrossing approaches. This Agreement is intended to define the roles and
funding responsibilities of SANTA ANA, TUSTIN, and COUNTY for the preparation
of preliminary engineering, right-of-way maps, legal descriptions and cost
estimates for the widening of the 17th. Street overcrossing approaches (the
"Work Product").
E. The Tustin-Santa Aha Transportation System Improvement Authority, a
joint powers agency of TUSTIN and SANTA ANA (the "TSIA"), by action of it's
governing board on February 25, 1993, authorized an allocation of $90,000 for
the work product from TSIA funds.
NOW, THEREFORE, it is mutually understood and agreed by SANTA ANA, TUSTIN,
and COUNTY as follows:
1. SANTA ANA will be the lead agency for the preparation of the Work
Product. As such, SANTA ANA will be responsible for the following:
(a) SANTA ANA will prepare and issue a request for proposals for a
consultant to prepare the Work Product (the "Consultant") and shall
select the Consultant based upon the responses to such request for
proposals after consultation with the responsible staff persons of
TUSTIN and COUNTY.
(b) SANTA ~A will provide staff to manage~ administer, coordinate, and
oversee the preparation of the York Product by the Consultant and
assure that all payments to the Consultant for the Work Product are
appropriate.
(c) SANTA ANA will provide a draft Work Product to TUSTIN and COI~TY for
their review and written approval. SANTA ANA will coordinate the work
of the Consultant and review by TUSTIN and COUNTY to ensure that the
Work Product is complete and accurate and to the mutual satisfaction
of SANTA ANA, TUSTIN, and COUNTY within the operating schedule and
budget.

(d) SANTA ANA will be responsible for assuring that the preparation of the
final Work Product by the Consultant is in accordance with the mutual
determinations of the parties hereto. The Work Product shall be
completed on or before January 1, 1995, or such other time as may be
agreed upon in writing by such parties.
2. SANTA ANA shall maintain a special account for the'receipt of the
contributions to pay for the costs of the work to be performed pursuant to
Section 1 of this Agreement and for the payment of such costs (the "Project
Account"). SANTA ANA and TUSTIN shall jointly contribute $90,000 from TSIA
funds to the Project Account. COUNT~ shall contribute $45,000 to the Project
account; such amount shall be COUNT~'s maximum required contribution to the
work Product. Such contributions shall be made by September 30, 1993. Ail
moneys in the Project Account shall be expended only on preparation of the
Work Product by the Consultant. Pending such expenditure, moneys in the
Project Account may be invested in The same manner as other SANTA ANA funds
and any return on such investment shall accrue to the Project Account. In
the event that upon completion of the Work Product any surplus exists in the
Project Account, it shall be returned to COUNTY and the TSIA on a pro rata
basis.

3. No party to this Agreement nor any officer or employee thereof shall be
responsible for any damage or liability occurring by reason of anything done
or omitted to be done by any other party under or in connection with any
work, authority or jurisdiction delegated to such other party under this
Agreement. It is also understood and agreed that, pursuant to Government
Code Section 895.4, with regard to any work, authority or jurisdiction
delegated to a party under this Agreement, such party shall fully indemnify,
defend, and hold the other parties harmless from any liability imposed for
injury (as defined by Government Code Section 810.8), occurring by reason of
anything done or omitted to be done under or in connection with such
delegated work, authority or jurisdiction.
4. Any notices, requests and demands made between the parties pursuant to
this Agreement are to be directed as follows:
