RECOMMENDATION:
It is recommended that the City Council participate as a co-op entity
under the County of Orange contract with Disposal Control Service,
Incorporated, (DCSI) for hazardous material spill clean-up services, and
that the City Manager be authorized to execute the attached letter of
agreement.
FISCAL IMPACT:
There is no direct fiscal impact unless the services are requested. The
individual/organization responsible for the spill will be billed by the
city for the actual costs of any clean-up activities.
BACKGROUND:
In accordance with the Orange County Hazardous Materials Area Plan,
cities are responsible for the emergency collection, removal, and
appropriate disposal of hazardous materials resulting from spillage or
illegal disposal on public property within their jurisdiction.
The Orange County Fire Department has no authority, responsibility or
capabilities to provide these services to the City of Tustin. The Fire
Department is only responsible for identification of the material,
-containment of the release, control of any run-off and exposure
prevention. However, as one of the cities receiving fire protection
services from the Orange County Fire Department, the City of Tustin
could contract for independent hazardous waste clean-up and hauling
using a contract already developed and approved by the County. The
existing County contract expires each October and can be extended on an
annual basis.
Under a Cooperative Purchasing Agreement with the County, the city could
attach itself to a pre-negotiated service agreement. We can execute an
agreement, through an open purchase order, without any obligation to use
the service if hazardous waste clean-up is not ever required in Tustin.
Attached to this report is a copy of the hazardous waste disposal
contract, including contractor specifications and pre-negotiated
services and pricing used by the Fire Department. The agreement would
not preclude the City from cleaning up certain non-hazardous waste
spills ourselves, as we have done in the past, when we are capable of
handling the materials. Further, the contractor will also provide
training to city "First Responders" (Police and Field Services crews) in
initial spill identification and containment.

Spill Clean-up Contract
As a contracting agency with DCSI, the City will receive a priority
response in the event of a regional event (earthquake). DCSI has
facilities in both the San Diego and Los Angeles regions to assist them
in their emergency response.
CONCLUSION:
The benefits of becoming a co-op entity under the County's agreement
with DCSI are that the prices have been established through a
competitive bid process and that contractor specifications and standards
have been developed by the County Fire Department. Further, DCSI has
indicated that on the manifest completed for each response, they will
not name the City as the "Generator" of the hazardous material spill,
although we will be responsible for payment. We, in turn, will invoice
the responsible party. This will significantly decrease the City's
liability.
It is staff's recommendation that the City become a co-op entity to the
County's existing agreement, that the City Council authorize the City
Manager to execute the attached contract and that staff be directed to
prepare a purchase order as appropriate.

Sort, perform analysis as needed, package, label, mark, manifest,
transport, or dispose of the collected hazardous wastes to the
satisfaction of the California Department of Health Services (H&S Code
Chapter 6.5), California Admin. Code Title 22, Div. 4, Chapter 30, and
the United States Department of Transportation (49 CFR) and other
pertinent federal, state, and local codes or regulations.

estimate, which will include all costs including transportation costs.
b. Contractor will utilize authorized recycling facilities for hazardous
waste, where possible.

Provide personnel trained in safe and proper handling of hazardous waste
and capable of ~mergency response and clean up of hazardous spills for
the purposes stated herein.
Provide all necessary ~terials required for proper separation,
containerization, handling, storage, transport and disposal of materials
collected. Contractor must be able to provide an adequate number of
recovery drums and absorbent for on-site solidification. Contractor must
be aware of current costs and analytical requiren~nts for disposal of
hazardous wastes, at approved EPA permitted disposal facilities.
i~anifesting: Th~ Contractor shall be able to efficiently and adequately
manifest the wastes to ~he satisfaction of the California Department of
Health Services, the United States Department of Transportation, the
Environmental Protection Agency and the EPA-permitted disposal facilities
receiving the.wastes.
Separate wdrk~rder forms shall be provided for each service response.

Changes: The Contractor will make no changes in this order without the County's
written consent.
The County shall require written service updates each quarter from the Contractor
regarding any anticipated changes which might affect removal, transpor; and disposal
procedure/requirements or costs. The Contractor will give the County notice of such
change thirty {30) days prior to the date the change is proposed. Any change shall be
agreed to in writing by ~he County before becoming effective.
GENERAL PROVISIONS
CONTRACTOR R~QU~REMENIS.
All vehicles must meet California motor vehicle and Cal OSHA regulations and all other
applicable codes required for use on highways in the State of California.
EMPLOYEE REQUIREMEI~S:
The Contractor warrants that all persons employed by them have satisfactory past
records indicating their ability to accept the kind of responsibility anticipated in
this type of work. All employees of the Contractor shall be required to wear
uniforms, badges or other means of identification which are to be furnished by the
Contractor and ~Jst be worn at all times while working on County property or at any
work site specified by the County during performance of the immediate contract.
All vendor personnel shall be in good health and free from contagious diseases. No
employee drinking alcohol or under the influence of alcohol or drugs shall be allowed
to participate in the performance of this
contract, nor shall any employee bring alcohol or drugs onto any work location
required by this contract. The Contractor agrees to remove i~ediately and replace
any employee whose conduct or workmanship is in any way unsatisfactory to the County.
The Contractor'shall provide safe and healthful working conditions, appropriate
protective clothing, shall at ail times comply with OSHA requirements, and shall
comply with ail federal, state and local laws, regulations and restrictions lincluding
securing of licenses and permits) regarding the appropriate containerization,
transport and disposal of hazardous waste.

The Contractor shall be responsible for the cost of regular pay to employees, as well
as cost of vacation, vacation replacements, sick leave, severance pay and pay for
legal holidays. The Contractor shall also pay ail Tederaland state payroll taxes.
Contractor shall be considered an independent Contractor and not an agent of or an
employee of the County of Orange. The Contractor does not qualify for taxes, workers
compensation or other fringe benefits of any kind.
In the perfon~ance of this contract, the Contractor agrees that he will not engage ir
discrimination in employment of persons because of the race, color, national origin,
ancestry, sex, or religion of such persons. Violation of this provision may result i
the imposition of penalties referred to in Labor Code i735.
SUP:RV~SIOk.
All work shall be performed under the supervision of a trained supervisor, who ~li
responsible for the conduct.and workmanship o~ the Contrac~?.~ employees.

vehicle, and the waste will be transported in accordance with all .DDT regulations,
while always minimizing the risk of accidental spills and accidents.
Drums will be checked for proper seals and condition prior to loading. Loading will
be accomplished via drum dollies and a lift gate on each truck. Drums will then be
properly secured on each bobtail truck or 45' van.
Bulk material/bins will be loaded via forklift and secured prior td shipment.
Bulk liquids will be transported in a DOT-approved transportation vessel. All DCSI

County of Orange, its officers, employees or agents, or other persons arising out of
or resulting from Contractor's performance under this contract, unless such injury is
caused by the sole negligence or concurrent activ~ ~)egiigence of County of Drange, its
officers, .e~.pioyees or agents. If Contractor's negligence combines wi th County's
active negligence to cause injury, the parties agree that liability will be

Recycled'Supplies: Equipment vendors certify tibet their equipment will operate using
recycseo supplies. The use of recycled supplies will not void any warranties provided
that the recycled supplies meet ali the essential specifications required by the
equipment manufacturer.
13. Insurance Provisions:
Liability:
Contractor shall maintain in full force during the term of this contract
the following types of insurance:
Comprehensive General Liability insurances containing property
damage endorsement.
b. Comprehensive Automobile Liability insurance, including coverage
for o~Fned, non-ow~ed, and hired automobile ilazards.
c. contractual Liability Znsurance.
d. Contractors Pollution Liability insurance.
Liability insurance required by this paragraph shall contain at least a
$2,000,000 combined single limit.
The County of Orange shall be added as an additional insured on ali
insurance policies required by this paragraph as respects work done by
the bon~rac~or under the terms of this contract.
Ail insurance policies required by this paragraph shall be primary
insurance and any insurance i)~aintained by the County shall be excess
insurance.

Contractor will file with the County of Orange, prior to the commencement of this
contract, a certificate of insurance stating that the coverages required by this
paragraph are in effect. This certificate will contain the following clauses:
"it is agreed that this policy shall not be cancelled, non-renewed or reduced
in scope of coverage until after thirty (3D} days' written notice has been
given to the Risk Nana~ement Officer, County of Orange".
if Contractor fails to provide insurance certificates within seven (7) days of
notification by GSA/Purchasing Division, awaFd may be mede to the next qualified
bidder.

Workers°'Compensation"tnsurance: Before entering upon the performance of the
contrac:, the bon:rac:o~ sna~) furnish the County satisfactory evidence that the
Contractor has secured, for the period of the contract, full workers' compensatio5
insurance from a responsible insurance company authorized to do business in the State
of California and approved by the County's Risk Management office. Such insurance
shall be maintained in full force and effect at the Contractor's own expense during
the life of the contract.
i5. Contractor"Work'Hours'and-Safety'Standards: The Contractor shall ensure compliance

State, and County safety and health regulations and laws.
i6. Compliance"with"Civil'Rights'Laws: The Contractor will comply with all State and
?eoera~ laws re~a~ng so clv~ rights. The Contractor agrees that no person shall be
excluded from employment on the basis of race, color, religion, sex, or national
origin.
i7. Assignment'or'Subcontractinq: No performance of this contract or any portion thereof
may pe ass}gneo or suocon:racted by the Contractor without the express written consent
of the County.-. Any attempt by the Contractor to assign or subcontract any performance
of this contra~t without the express written consent of the County shall be invalid
and shall consti~te a breach of this contract. ~henever the Contractor is authorized
to subcontract or assign, the terms thereof shall incorporate by reference and not
conflict with this contract.

Cooperati9~'CdfitP~Ot~ Schools, cities and political subdivisions of the County which
nave cooperative Purchasing Agreements with the County may buy from this contract.
They shall make purchases in their own name, have deliveries made to their facilities
and they will be responsible for tax liability and payments directly to the
Contractor. The a~encies will hold harmless the County'of Orange from all claims,
d~ands, actions or causes of actions of every kind resulting directly or indirectly,
arisin~ out of, or in any way connected with use of the contract.
Tha Cooperative a~encies are responsible for obtaining ali certificates of insurance
and bonds reqdired.
The Contractor is responsible for providing Each coop entity a copy of the contract
upon request by ti~e co-op agency.
The qontractor is required to maintain a list of the entities which have used this
contract. This list shall report dollar volumes spent and shall be provided on a
quarterly basis. ,.
The County of Orange ~kes no guarantee of usage.
D~efault: !n case of default by the Contractor, the County of Orange may procure the
article or service from other SoUrces and may deduct cost from unpa~o balance due the
Contractor. The prices paid by the County of Orange shall be the prevailing market
price at the time such purchase is made. This is in addition to any other remedies
available under law.
