SUBJECT: PROFESSIONAL SERVICES AGREEMENT FOR THE WATER MAIN
REPLACEMENT PROJECTS ON THEODORA DRIVE, LIVINGSTON AVENUE,
LILLIAN WAY, CANDEDA PLACE, ROMANZA PLACE, LEON PLACE AND
LEON WAY (PROJECT NOS. 600088 .
RECOMMENDATION•
For consideration by the City Council at their meeting of January
71 1991. It is recommended that the City Council approve a
professional services agreement with Norris-Repke, Inc., for the
water main replacement projects on Theodora Drive, Livingston
Avenue, Lillian Way, Candeda Place, Romanza Place, Leon Place and
Leon Way in the amount of $17,488.00 and authorize execution of the
agreement by the Mayor and City Clerk.
BACKGROUND:
Proposals were solicited from four consulting engineering firms to
- provide survey and detailed topographic mapping services,
preparation of base map plans and utility coordination services.
The four firms that submitted a proposal were as follows:
Norris-Repke, Inc.
Boyer Engineering Company, Inc.
GPS Consulting Civil Engineers
Derek J. McGregor, Inc.
DISCUSSION:
The four proposals have been evaluated by three staff members on
the basis of demonstrated competence, professional qualifications
necessary for the satisfactory performance of the required
services, and familiarity and prior experience with providing this
type of service.
The firm of Norris-Repke, Inc. has been recommended by the
selection committee to perform the consulting services necessary
(topographic survey, utility coordination base map preparation and
construction survey) for the water main replacement projects on
Theodora Drive from Prospect Avenue to Holt Avenue, Livingston
Avenue from Beneta Way to Lillian Way, Lillian Way from Livingston
Avenue to Holt Avenue, Candeda Place from Lillian Way to the north
end, Romanza Place from Lillian Way to the north end, Leon Place
from Lillian Way to Leon Way and Leon Way from Leon Place to Holt
Avenue.
Currently, $366,000 has been allocated in the 1990-91 Capital
Improvement Program (C.I.P.) Budget for these projects to replace
aging existing water mains.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this day of 01
19 , by and between CITY OF TUSTIN, a municipal corporation (hereinafter
referred to as "City") and Norris-Repke, Inc., 2882 Walnut Avenue, Suite A.
Tustin, Ca 92680 (hereinafter referred to as "Consultant").
WITNESSETH:
WHEREAS, City desires to employ Consultant to -furnish the necessary
services for providing consulting engineering services for proposed water
main replacements at Theodora Drive from Prospect Avenue to Holt Avenue,
Livingston Avenue from Beneta Way to Lillian Way, Lillian Way from Livingston
Avenue to Holt Avenue, Candeda Place from Lillian Way to the north end,
Romanza Place from Lillian Way to the north end, Leon Place from Lillian Way
to Leon Way, and Leon Way from Leon Place to Holt Avenue, hereinafter
,2ferred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services in
connection with said Project and has agreed to provide the necessary
services; and
WHEREAS, Consultant has submitted to City a proposal dated November 16,
1990, which includes the following parts, attached hereto, marked as
indicated and incorporated herein as though set forth in full hereat: Scope
of Work (Exhibit "All),, Project Schedule (Exhibit "B") , Fee Schedule (Exhibit
"C"), and Hourly Rates (Exhibit "D").
NOW, THEREFORE, City agrees to employ and does hereby employ Consultant
to provide the professional services for the Project, and City and
Consultant, for the consideration hereinafter set forth, agree as follows:

Section 1: Scope of Consultant's Services. Consultant agrees to furnish
-o City consulting services for the Project. These services shall include
all of the services solicited in City's Request for Proposal dated October
31, 1990, a copy of which is attached hereto, marked Exhibit "E", and all the
services included within the Consultant's proposal.
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed by
Consultant is an essential condition of this agreement. Consultant agrees
that it shall prosecute regularly and diligently the work of this agreement
accordingly to reasonable schedules established by City for the various items
described and as outlined within Consultant's proposal. Consultant shall not
be accountable for delays in the progress of its work caused by any condition
beyond its control and without the fault or negligence of Consultant. Any
delays shall not entitle Consultant to any additional compensation,
egardless of the party responsible for the delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in the Consultant's proposal with a total
"not"to exceed " cost of estimated at $17,488.00. Progress payments for work
completed will be paid as the work progresses, within thirty (30) days of the
date of Consultant's invoice.
Section 4: Statement of Costs. Pursuant to the provisions of
California Government Code Section 7550, the total amount expended by
City relating to the preparation of the report and documents prescribed
herein shall be set forth within the final edition thereof, in a
separate section, in a statement substantially as follows: "Pursuant to
California Government Code Section 75501 the City of Tustin expended the

total amount of $ for the preparation of this report and/or
ocuments."
Section 5: Job Site Conditions. The City agrees that in accordance
with generally accepted construction practices, the construction
contractor will be required to assume.sole and complete responsibility for
job.site conditions during the course of construction of this project,
including safety of all persons and property and that this requirement
shall be made to apply continuously and not be limited to normal working
hours.
• Section 6: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid for
.-ervices rendered to the effective date of the termination.
(2) Consultant agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties thereto.
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant or any of its agents, servants and employees, be considered as an
employee or agent of the City.
(5) Consultant shall perform all services required under this

agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for all
errors and omissions for services performed by Consultant under the terms of
this Agreement. Consultant agrees to indemnify, defend and hold City, its
agents, employees, successors and assigns harmless from any loss, damage,
injury, sickness, death, or other claim made by other persons and from
all costs, expenses and charges, including attorney's fees, arising from
Consultant's negligent performance of this agreement. Consultant shall
maintain in full force and effect during the term of this agreement policies
of comprehensive general liability, personal injury and liability insurance
with limits of at least $1,000,000 combined single limit coverage per
occurrence and professional liability insurance coverage with limits of at
least $250,000 combined single limit coverage per occurrence for which
certificates of insurance have heretofore been delivered to City.
(6) Consultant shall carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety Laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant certifies that there shall be no discrimination
against any employee who is employed in the work covered by this agreement,
or against any application for such employment, because of race, religion,
color, sex or national origin including, but not limited to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off

or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties on
the day and year first above written.

PROJECT DESCRIPTION
The project consists of detailed topographic mapping, preparation
of a base map and utility coordination at these locations:

Theodora Drive from Prospect Avenue to Holt Avenue. Replace
approximately 2700 feet of existing 6 -inch steel water main
with 10 -inch AWWA C900 Class 150 PVC water main.
Project B
Livingston Avenue from Beneta Way to Lillian Way, Lillian
Way from Livingston Avenue to Holt Avenue, Candeda Place
from Lillian Way to the north end, Romanza Place from
Lillian Way to the north end, Leon Place from Lillian Way to
Leon Way, and Leon Way from Leon Place to Holt Avenue.
Replace approximately 3300 feet of existing 4 -inch steel
water main with 6 -inch and 8 -inch AWWA C900 Class 150 PVC
water main.

CITY RESPONSIBILITIES
The City of Tustin will be responsible for the following:
1. Provide all available existing data, information, reports,
records and maps available in City files such as design
plans for adjacent and existing improvements, and surveys
which may exist. The search for this material would be our
responsibility.
2. Provide water main design utilizing consultant supplied base
map plans.
3. Provide all required copies of plans and specifications for
the project bid documents.
4. Provide a Project Manager/Contract Administrator and
Construction Inspector.
5. Provide all necessary environmental documentation for the
project.

PROJECT MANAGEMENT AND KEY PERSONNEL
Mr. Jack Norris, P.E. (C15446) will serve as the principal in
charge and Project Manager for the project.
Mr. Norris has been practicing civil engineering in Southern
California since graduating from the University of New Mexico in
1961. After employment with the California Division of Highways
(now CalTrans), Orange County Building and Safety Department and
three local consulting firms he began his own private practice in
1973. Eleven years later he joined with Warren Repke to form
Norris-Repke, Inc.
Jack's experience includes a variety of municipal land
development projects.
Mr. Joseph Loyatho, Registered Land Surveyor (5939) will be
responsible for the field survey, calculations and plotting,
coordination of project and completion of maps. He will also be
in charge of the construction survey.
Joseph began his surveying career in France in 1967 and continued
his career and education after moving to the United States in
1977. -
He became licensed in 1986. His experience includes cadastral
survey and mapping, construction survey and mapping, subdivision,
boundary, topographic, ALTA surveys and construction work. These
duties encompassed both the field and office areas.
Joseph joined Norris-Repke in July of 1989 to head the survey
department. He directs the crew's activities as well as assists
in preparation of proposals for new projects and other office
activities.
Mr. Randy Berry, P.E. (C44642) will supervise the utility
coordination and plotting of existing utilities on the base map
plans.
Mr. Berry's professional career began in 1985 as a Design
Engineer with Willdan Associates where he worked on public works
projects ranging from highway rehabilitation design to flood
control studies and design.
He joined Norris-Repke, Inc. in 1986 where he has worked on a
variety of public works and land development projects in the
capacity of Project Engineer and Project Manager.

Mr. Gary Ault, Designer/Drafter will be responsible for the
execution, layout and drafting of the maps.
Gary began his career in Civil Engineering as a Draftsman in
1977. He has worked at various engineering firms in the Southern
California area. Gary has extensive on-the-job experience in the
position of Senior Designer/Drafter. His work related experience
includes street design, grading and various public works
projects.
He joined Norris-Repke, Inc. in 1989 where he has worked on
public works and land development projects.
RELATED EXPERIENCE
We have performed identical services for the City of Tustin. In
1987, we performed a project designated "Water Main Replacement
Projects 16, 17, 18, 19, 20 & 24". It included approximately
5300 lineal feet of 6" and 8" water main replacement with an
estimated cost of approximately $300,000. Our fee was $11,500.
Steve Worral was the City's project engineer, and Jack Norris was
our project engineer. It included minimal design but no staking.
In 1990, we performed the same kind of project on Malta, Vale,
Hewes and "C" Streets, approximately 1,900 lineal feet. The
estimated construction cost was $183,000. Our fee was $7,900.
It included staking.
In addition, we performed similar services on the Balboa Point
Sewer Replacement project for the City of Newport Beach
constructed in 1986. It involved 2600 lineal feet of 411, 811, 10"
and 12" PVC pipe.

SCOPE OF WORK

SCOPE OF SERVICES
A. Topographic Survey
1. Survey alignment will be based on readily available
field evidence (centerline ties provided by City,
surface monuments or curb splits).
2. Stationing will be based on existing street improvement
plans, if any, or as directed by staff.
3. All existing features, objects and obstructions
including, but not limited to, walkways, sidewalks,
driveways, curb and gutter, trees, fire hydrants, water
meters, signs, street lights, power poles, etc. within
the roadway right of way will be located.
B. Construction Survey
Provide field construction surveying as follows:
1. Provide one set of stakes for construction of water
main.
Stake mainline and laterals.
Stake fire hydrants, valves, blow -off assemblies
and air release valves.
Provide one set of stakes for the placement of
miscellaneous facilities and other appurtenant
item locations and/or relocations.
2. Base Map Plans
A complete topographic map shall be prepared in ink on
mylar at a scale of 111= 20'. This map shall be
utilized by the City as a base map in preparing project
design plans. The plans shall include, but not be
limited to, all the features located by the field
survey as mentioned above, right of way lines, street
centerline and found survey monuments.
Eleven sheet of 2411x 36" are anticipated for the entire
project, see Exhibit E. This layout is one possible
way and is subject to the City's project manager's
approval.
3. Utility Coordination
Utility research, plotting and coordination per City's
C-1
latest utility notification procedure will include:
a. Research and obtain file copy of utility maps
within the project limits for existing facilities.
b. Send for Atlas and record plans for
utilities/streets not covered in (a).
C. Plot all existing utility systems on base plans.
d. Prepare and send preliminary project notices
including plans to all affected utilities in
accordance with the City of Tustin procedure.
e. Maintain a complete record of all utility contacts
and responses with all documentation copied to the
City.
Note: Final utility submittals of "Approved Plans" and
the coordination of any utility relocations,
adjustments, potholes, etc. that become necessary
during the design of the water line improvement
will be the responsibility of the City.

PROJECT SCHEDULE
NORRIS-REPKE, INC., proposes to provide the outlined services in
accordance with the project schedule shown below. The schedule
would commence upon receipt of a notice to proceed. The proposed
project schedule would be discussed at the initial meeting and
subject to revisions based on mutual agreement to meet specific
requirements from the City.
The schedule proposes a total project time from notice to proceed
to project approval of a maximum of 60 calendar days. The
proposed schedule is based on information known at this time and
is also sensitive to actions by the City, County of Orange,
utility companies and other agencies over which NORRIS-REPKE,
INC., has no control.

This letter represents a Request for Proposal for consulting
engineering services relating to the City of Tustin's
construction of proposed water main replacements at various
locations in the unincorporated territory of Orange County.
These project locations are outlined as follows:
Project A
Theodora Drive from Prospect Avenue to Holt Avenue. Replace
approximately 2700 feet of existing 6 -inch steel water main
with 10 -inch AWWA C900 Class 150 PVC water main.
Project B
Livingston Avenue from Beneta Way to Lillian Way, Lillian Way
from Livingston Avenue to Holt Avenue, Candeda Place from
Lillian Way to the north end, Romana Place from Lillian Way to
the north end, Leon Place from Lillian Way to Leon Way, and
Leon Way from Leon Place to Holt Avenue. Replace approximately
3300 feet of existing 4 -inch steel water main with 6 -inch and
8 -inch AWWA C900 Class 150 PVC water main.
The consulting services to be provided will include survey and
detailed topographic mapping, preparation of base map plans, and
utility coordination.
Copies of location maps for the above noted project areas are
attached for your reference. Your firm has been selected as one
of those being considered to provide this -service. w.

Selection of a firm to provide this service will be based on
demonstrated competence; professional qualifications necessary
for the satisfactory performance of the services required; and
familiarity and prior experience with providing this type of
service. Upon our selection of the most highly qualified firm
to provide the required services, we will negotiate the price
for the work to be done. If we can reach a price we dgem fair
and reasonable, the contract will be awarded. If we are not
able to negotiate a price we deem to be fair and.reasonable to
the City of Tustin, we will thank you for your proposal, and we
will proceed to the next most highly qualified firm to provide
the requested service and will seek to reach a negotiated price
with that company, and so on.
It is required that at a minimum, the following be submitted
with your proposal:
1. A brief list of similar types of projects which your
firm has previously performed, including scope, cost
and agency for whom completed and agency individual in
responsible charge of the project.
2. Identification, resumes, and titles of individuals
who will supervise and perform the service; including
any sub -consulting firms to be utilized as well.
3. A graphical project time schedule (submit as Exhibit B)
broken down according to the tasks listed in the
detailed Scope of Work (submit as Exhibit A) for
accomplishing the project through completion of base map
preparation within sixty (60) calendar days from the
issuance of a Notice to Proceed.
The schedule should also include a projection of
anticipated man-hours broken down by major tasks, and
the various titled individuals who will be assigned to
each.
4. Fee schedule (submit as Exhibit C in a SEPARATE SEALED
ENVELOPE) indicating the proposed cost for completing
each task in the Scope of Work (submit as Exhibit A)
and a resulting "not to exceed" cost of the project,
based upon the work hours, hourly rates, and other
associated costs. The proposed cost to complete each
task shall include the costs of all administration and
overhead, project site visits, attendance at meetings,
and all reproduction costs.
5. Schedule of hourly rates (submit as Exhibit D in the
same SEALED ENVELOPE as in Item 4) for your firm's
employee titles or various classifications.

The Scope of Work (submit as Exhibit A) to be done by the
consultant to the satisfaction of the City shall consist of
the following tasks:
1. Survey
(a) Topographic survey.
A detailed topographic survey at 1"-20' shall be made
of the project limits. This survey shall be utilized
in the preparation of all project plans. All
existing features, objects and obstructions,
including, but not limited to: walkways, sidewalks,
driveways, curb and gutter, trees, fire hydrants,
water meters, signs, street lights, power poles, etc.
shall be clearly located within the roadway
rights-of-way.
(b) Field Construction Surveying.
Provide field construction surveying, if necessary,
as follows:
(1) Provide one set of stakes for construction of
water main.
(a) Stake mainline and laterals.
(b) Stake fire hydrants, valves, blow -off
assemblies, and air release valves.
(2) Provide one set of stakes for the placement
of miscellaneous facilities and other
appurtenant item locations and/or relocations.
2. Base Map Plans
A complete topographic map shall be prepared in ink on
mylar at a scale of 1"-20'. This map shall be utilized
by the City as a base map in preparing project design
plans. The plans shall include, but not be limited to
the following: identification of topographic features,
curb and gutter, sidewalk, paving, driveways, and street
lights, etc.
3. Utility Coordination
The consultant shall thoroughly research and delineate
existing utility facilities on the plans. The consultant
shall send preliminary project notices, including plans,
to all affected utilities in accordance with City of
Tustin procedures.

The consultant shall maintain a complete record of all
utility contacts and responses with all documentation
copied to the City. All existing utility systems are to
be shown on the plans.
The City of Tustin will be responsible for the following:
1. Provide all available existing data, information, reports
records and maps available in City files such as design
plans for adjacent and existing improvements, soil
reports, and surveys which may exist. The search for
this material shall be the responsibility of the
consultant.
2. Provide water main design utilizing consultant supplied
base map plans.
3. Provide all required copies of plans and specifications
for the project bid documents.
4. Provide a Project Manager/Contract Administrator and
Construction Inspector.
S. Provide all necessary environmental documentations for
the project.
Attached for your information and use is a sample "Certificate
of Insurance" and a "Professional Services Agreement" utilized
by the City of Tustin for such work. The consultant should also
be advised that if selected, an Insurance Policy for errors and
omissions coverage will be required. A minimum of one million
dollars of general liability coverage is required.
Also attached is a location map upon which the basic project
area has been delineated.
If your firm is interested in submitting a proposal for this
work, it must be received by 11:00 a.m., Friday, November 16,
1990, at the City of Tustin Public Works Department, Engineering
Division, 300 Centennial Way, Tustin, CA 92680. Please note
that five (5) copies of your proposal are required to be
submitted.
