SUBJECT: PROFESSIONAL SERVICES AGREEMENT FOR THE WATER MAIN
REPLACEMENT PROJECTS ON WOODLAND DRIVE, ZIG ZAG WAY, AND "B"
STREET (PROJECT NOS. 600089, 600090 & 600091 FILE NO. W90-3)
RECOMMENDATION:
For consideration by the City Council at their meeting of January
71 1991. It is recommended that the City Council approve a
professional services agreement with GPS Consulting Civil Engineers
for the water main replacement projects on Woodland Drive, Zig Zag
Way, and "B" Street in the amount of $11,640.00, and authorize
execution of the agreement by the Mayor and City Clerk.
BACKGROUND:
Proposals were solicited from four consulting engineering firms to
provide survey and detailed topographic mapping services,
preparation of base map plans, and utility coordination services.
The four firms that submitted a proposal were as follows:
GPS Consulting Civil Engineers
Norris-Repke, Inc.
Teledine Engineering, Inc.
R.L. Brown and Associates, Inc.
DISCUSSION:
The four proposals have been evaluated by three staff members on
the basis of demonstrated competence, professional qualifications
necessary for the satisfactory performance of the required
services, and familiarity and prior experience with providing this
type of service.
The firm of GPS Consulting Civil Engineers has been recommended by
the selection committee to perform the consulting services
necessary (topographic survey, utility coordination, base map
preparation and construction survey)for the water main replacement
projects on Woodland Drive from Bryan Avenue to the north end, Zig
Zag Way from La Colina Drive to Deborah Drive, and "B" Street from
Sixth Street to north of Interstate 5.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this day of ,
19 , by and between CITY OF TUSTIN, a municipal corporation (hereinafter
referred to as "City") and GPS Consulting Civil Engineers, 17821 E. 17th
Street, Suite 295, Tustin, CA 92680 (hereinafter referred to as
"Consultant") .
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
services for providing consulting engineering services for proposed water
main replacements at Woodland Drive from Bryan Avenue to north end, Zig Zag
Way from La Colina Drive to Deborah Drive, and "B" Street from Sixth Street
to north of Interstate Route 5, hereinafter referred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services in
connection with said Project and has agreed to provide the necessary
services; and
WHEREAS, Consultant has submitted to City a proposal dated November 14,
1990, which includes the following parts, attached hereto, marked as
indicated and incorporated herein as though set forth in full hereat: Scope
of Work (Exhibit "A"), Project Schedule (Exhibit "B"), Fee Schedule (Exhibit
"C"), and Hourly Rates (Exhibit "D").
NOW, THEREFORE, City agrees to employ and does hereby employ Consultant
to provide the professional services for the Project, and City and
Consultant, for the consideration hereinafter set forth, agree as follows:
Section 1: Scope of Consultants Services. Consultant agrees to furnish
to City consulting services for the Project. These services shall include

all of the services solicited in City's Request for Proposal dated October
A-, 1990, a copy of which is attached hereto, marked Exhibit "E", and all the
services included within the Consultant's proposal.
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed by
Consultant is an essential condition of this agreement. Consultant agrees
that it shall prosecute regularly and diligently the work of this agreement
accordingly to reasonable schedules established by City for the various items
described and as outlined within Consultant's proposal. Consultant shall not
be accountable for delays in the progress of its work caused by any condition
beyond its control and without the fault or negligence of Consultant. Any
delays shall not entitle Consultant to any additional compensation,
regardless of the party responsible for the delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in the Consultant's proposal with a total
"not to exceed" cost of $11,640.00. Progress payments for work completed will
be paid as the work progresses, within thirty (30) days of the date of
Consultant's invoice.
Section 4: Statement of Costs. Pursuant to the provisions of
California Government Code Section 7550, the total amount expended by
City relating to the preparation of the report and documents prescribed
herein shall be set forth within the final edition thereof, in a
separate section, in a statement substantially as follows: "Pursuant to
California Government Code Section 7550, the City of Tustin expended the
total amount of $ for the preparation of this report and/or
documents."

Section 5: Job Site Conditions. The City agrees that in accordance
nth generally accepted construction practices, the construction
contractor will be required to assume sole and complete responsibility for
job site conditions during the course of construction of this project,
including safety of all persons and property and that this requirement
shall be made to apply continuously and not be limited to normal working
hours.
Section 6: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid for
services rendered to the effective date of the termination.
(2) Consultant agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties thereto.
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant or any of its agents, servants and employees, be considered as an
employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for all

errors and omissions for services performed by Consultant under the terms of
.his Agreement. Consultant agrees to indemnify, defend and hold City, its
agents, employees, successors and assigns harmless from any loss, damage,
injury, sickness, death, or other claim made by other persons and from
all costs, expenses and charges, including attorney's fees, arising from
Consultant's negligent performance of this agreement. Consultant shall
maintain in full force and effect during the term of this agreement policies
of comprehensive general liability, personal injury and liability insurance
with limits of at least $1,000,000 combined single limit coverage per
occurrence and professional liability insurance coverage with limits of at
least $2501,000 combined single limit coverage per occurrence for which
certificates of insurance have heretofore been delivered to City.
(6) Consultant shall carry and pay for such compensation
4.nsurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety Laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant certifies that there shall be no discrimination
against any employee who is employed in the work covered by this agreement,
or against any application for such employment, because of race, religion,
color, sex or national origin including, but not limited to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including

apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties on
the day and year first above written.

Norman K. Spielman will be the Project Engineer. Public Works

districts, drains, water lines,
and sanitary sewers are nothing new to Norm. Norm is well versed
in design, construction and maintenance of such projects. He has
planned and coordinated the design concepts for three freeways.
Many major Southern California cities, such as Costa Mesa, Seal
Beach, Santa Ana and Irvine, have seen Norm's capabilities when
it comes to planning and coordination of residential, industrial
and commercial developments.
Norm Spielman has also gained extensive experience on the job. He
began his career with the Kansas State Highway Commission as a
Bridge Engineer, Resident Engineer, and Plans Engineeer'liedFinding
his

California State University at Long Beach. His Bachelor of
Science degree in Civil Engineering was granted by the University
of Kansas.

1. Orientation and Research
A. Meet with the City's Engineering Division prior to
beginning work to discuss the background, scope,
objectives, and other pertinent details of the project.
B. Collect any additional information pertaining to the
project.
2. Field Topographic Survey
Provide the following field survey:
A. Centerline control and stationing.
B. Topography within the existing right of way. All
existing features, objects and obstructions, including,
but not limited to: walkways, sidewalks, driveways,
curb and gutter, trees, fire hydrants, water meters
signs, street lights, power poles, etc. will be clearly
located within the roadway rights -of -ways.
C. Vertical Survey is not included in this proposal.
D. Original field notes will be delivered to the City 15
days after completion of design survey.
3. Utility Research
A. Research existing utilities within project area.
B. Plot utilities in plan view on the base maps.
C. Provide two copies of construction drawings for each
utility company along with a Preliminary Notice of
Construction as prepared by the City.
D. Maintain a log of utility workings recording responses
to the Preliminary Notices.
4. Base Map Plans
A complete topographic map shall be prepared in ink on mylar
at a scale of 1"-201. This map shall be utilized by the
City as a base map in preparing project design plans. The
plans shall include, but not be limited to the following:
identification of topographic features, curb and gutter
sidewalk, paving, driveways, and street lights, etc. Title
Sheet is not included in this proposal.
5. Submittals
A. Preliminary and final base maps as required by City.
6. Field Construction Survey
Provide field construction surveying as follows:
A. Provide one set of stakes for construction of water
main.
(1) Stake mainline and laterals.
(2) Stake fire hydrants, valves, blow -off assemblies,
and air release valves.
B. Provide one set of stakes for the placement of
miscellaneous facilities and other appurtenant item
locations and/or relocations.
7. City Responsibilities
This proposal is based on the City assuming the following
responsibilities:
A. Provide all available existing data information,
reports, records and maps available in City files such
as design plans for adjacent and existing improvements,
soil reports, and surveys which may exist. The search
for this material shall be the responsibility of GPS.
B. Provide water main design utilizing GPS supplied base
map plans.
C. Provide all required copies of plans and specifications
for the project bid documents.

This letter represents a Request for Proposal for consulting
engineering services relating to the City of Tustin's
construction of proposed water main replacements at various
locations in the unincorporated territory of Orange County and
the City of Tustin. These project locations are outlined as
follows:
Project A
Woodland Drive from Bryan Avenue to north end. Replace
approximately 1200 feet of existing 4 -inch steel water main
with 8 -inch AWWA C900 Class 150 PVC water main. This is in the
City of Tustin.
Project B
Zig Zag Way from La Colina Drive to Deborah Drive. Replace
approximately 1100 feet of existing 4 -inch steel water main
with 8 -inch AWWA C900 Class 150 PVC water main. This is in
unincorporated County of Orange Territory.
Project C
"B" Street from Sixth Street to north of Interstate Route 5.
Replace approximately 800 feet of existing 4 -inch steel water
main with 8 -inch A"'A C900 Class 150 PVC water main. This is
in the City of Tustin.

The consulting servi._.:s to be provided will include -, _qey and
detailed topographic mapping, preparation of base map plans, and
utility coordination.
Copies of location maps for the above noted project areas are
attached for your reference. Your firm has been selected as one
of those being considered to provide this service.
Selection of a firm to provide this service will be based on
demonstrated competence; professional qualifications necessary
for the satisfactory performance of the services required; and
familiarity and prior experience with providing this type of
service. Upon our selection of the most highly qualified firm
to provide the required services, we will negotiate the price
for the work to be done. If we can reach a price we deem fair
and reasonable, the contract will be awarded. If we are not
able to negotiate a price we deem to be fair and reasonable to
the City of Tustin, we will thank you for your proposal, and we
will proceed to the next most highly qualified firm to provide
the requested service and will seek to reach a negotiated price
with that company, and so on.
It is required that at a minimum, the following be submitted
with your proposal:
1. A brief list of similar types of projects which your
firm has previously performed, including scope, cost
and agency for whom completed and agency individual in
responsible charge of the project.
2. Identification, resumes, and titles of individuals
who will supervise and perform the service; including
any sub -consulting firms to be utilized as well.
3. A graphical project time schedule (submit as Exhibit B)
broken down according to the tasks listed in the
detailed Scope of Work (submit as Exhibit A) for
accomplishing the project through completion of base map
preparation within sixty (60) calendar days from the
issuance of a Notice to Proceed.
The schedule should also include a projection of
anticipated man-hours broken down by major tasks, and
the various titled individuals who will be assigned to
each.
4. Fee schedule (submit as Exhibit C in a SEPARATE SEALED \
ENVELOPE) indicating the proposed cost for completing
each task in the Scope of Work (submit as Exhibit A)
and a resulting "not to exceed" cost of the project,
based upon the work hours, hourly rates, and other
associated costs. The proposed cost to complete each
task shall include the costs of all administration and
overhead, project site visits, attendance at meetings,
and all reproduction costs.

5. Schedule of hourly rates (submit as Exhibit D in the
same SEALED ENVELOPE as in Item 4) for your firm's
employee titles or various classifications.
The Scope of Work (submit as Exhibit A) to be done by the
consultant to the satisfaction of the City shall consist of
the following tasks: ,
1. Survey
(a) Topographic survey.
A detailed topographic survey at 1"-20' shall be made
of the project limits. This survey shall be utilized
in the preparation of all project plans. All
existing features, objects and obstructions,
including, but not limited to: walkways, sidewalks,
driveways, curb and gutter, trees, fire hydrants,
water meters, signs, street lights, power poles, etc.
shall be clearly located within the roadway
rights-of-way.
(b) Field Construction Surveying.
Provide field construction surveying, if necessary,
as follows:
(1) Provide one set of stakes for construction of
water main.
(a) Stake mainline and laterals.
(b) Stake fire hydrants, valves, blow -off
assemblies, and air release valves.
(2) Provide one set of stakes for the placement
of miscellaneous facilities and other
appurtenant item locations and/or relocations.
2. Base Map Plans
A complete topographic map (with one foot (1') contour
intervals at specific locations as noted above) shall be
prepared in ink on mylar at a scale of 1"-20'. This map
shall be utilized by the City as a base map in preparing
project design plans. The plans shall include, but not
be limited to the following: identification of
topographic features, curb and gutter, sidewalk, paving,
driveways, and street lights, etc.
3. Utility Coordination
The consultant shall thoroughly research and delineate
existing utility facilities on the plans. The consultant
shall send preliminary project notices, including plans,
to all affected utilities in accordance with City of
Tustin procedures.

The consultant shall maintain a complete record of all
utility contacts and responses with all documentation
copied to the City. All existing utility systems are to
be shown on the plans.
The City of Tustin will be responsible for the following:
1. Provide all available existing data, information, reports
records and maps available in City files such as design
plans for adjacent and existing improvements, soil
reports, and surveys which may exist. The search for
this material shall be the responsibility of the
consultant.
2. Provide water main design utilizing consultant supplied
base map plan.
3. Provide all required copies of plans and specifications
for the project bid documents.
4. Provide a Project Manager/Contract Administrator and
Construction Inspector.
5. Provide all necessary environmental documentations for
the project.
Attached for your information and use is a sample "Certificate
of Insurance" and a "Professional Services Agreement" utilized
by the City of Tustin for such work. The consultant should also
be advised that if selected, an Insurance Policy for errors and
omissions coverage will be required. A minimum of one million
dollars of general liability coverage is required.
Also attached is a location map upon which the basic project
area has been delineated.
If your firm is interested in submitting a proposal for this
work, it must be received by 11:00 a.m., Friday, November 16,
1990, at the City of Tustin Public Works Department, Engineering
Division, 300 Centennial Way, Tustin, CA 92680. Please note
that five (5) copies of your proposal are required to be
submitted.
