W90-1) RECOMMENDATION: For consideration by the City Council at their meeting of January 7, 1991. It is recommended that the City Council approve a professional services agreement with DGA Consultants, Inc. for the water main replacement project on Newport Avenue from Edinger Avenue to Walnut Avenue in the amount of $13,286.00, and authorize execution of the agreement by the Mayor and City Clerk. BACKGROUND: Proposals were solicited from four consulting engineering firms to provide survey and detailed topographic mapping services, preparation of base map plans, and utility coordination services. The four firms that submitted a proposal were as follows: DGA Consultants, Inc. Boyer Engineering Company,Inc. GFB-Friedrich and Associates, Inc. Teledine Engineering, Inc. DISCUSSION: The four proposals have been evaluated by three staff members on the basis of demonstrated competence, professional qualifications necessary for the satisfactory performance of the required services, and familiarity and prior experience with providing this type of service. The firm of DGA Consultants, Inc. has been recommended by the selection committee to perform the consulting services necessary (topographic survey, utility coordination, base map preparation and construction survey) for the water main replacement project on Newport Avenue from Edinger Avenue to Walnut Avenue. Currently, $263,200 has been allocated in the 1990-91 Capital Improvement Program (C.I.P.) Budget for this project to replace aging existing water mains. Bob Ledendecker Director of Public Works/City Engineer BL: NM: cr Attachment Nestor Mondok Junior Civil Engineer PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT, made and entered into this day of , 19 , by and between CITY OF TUSTIN, a municipal corporation (hereinafter referred to as "City") and DGA Consultants, Inc., 1182 North Tustin Avenue, Orange, Ca 92667 (hereinafter referred to as "Consultant"). WITNESSETH: WHEREAS, City desires to employ Consultant to furnish the necessary services for providing consulting engineering services for proposed water main replacement along Newport Avenue from Edinger Avenue to Walnut Avenue, hereinafter referred to as "Project"; and WHEREAS, Consultant is qualified to provide the necessary services in connection with said Project and has agreed to provide the necessary ervices; and WHEREAS, Consultant has submitted to City a proposal dated November 16, 1990, which includes the following parts, attached hereto, marked as indicated and incorporated herein as though set forth in full hereat: Scope of Work (Exhibit "A"), Project Schedule (Exhibit "B"), Fee Schedule (Exhibit and Hourly Rates (Exhibit "D"). NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to provide the professional services for the Project, and City and Consultant, for the consideration hereinafter set forth, agree as follows: Section 1: Scope of Consultands Services. Consultant agrees to furnish to City consulting services for the Project. These services shall include all of the services solicited in City's Request for Proposal dated October 31, 1990, a copy of which is attached hereto, marked Exhibit "E", and all the - 1 - services included within the Consultant's proposal. Section 2: Time for Completion. It is hereby understood and mutually agreed that the time for completion of the work to be performed by Consultant is an essential condition of this agreement. Consultant agrees that it shall prosecute regularly and diligently the work of this agreement accordingly to reasonable schedules established by City for the various items described and as outlined within Consultant's proposal. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Any delays shall not entitle Consultant to any additional compensation, regardless of the party responsible for the delay. Section 3: Compensation. The compensation to be paid under this agreement shall be as set forth in the Consultant's proposal with a total -iot to exceed" cost of $13,286.00. Progress payments for work completed will be paid as the work progresses, within thirty (30) days of the date of Consultant's invoice. Section 4: Statement of Costs. Pursuant to the provisions of California Government Code Section 7550, the total amount expended by City -relating to the preparation of the report and documents prescribed herein shall be set forth within the final edition thereof, in a separate section, in a statement substantially as follows: "Pursuant to California Government Code Section 7550, the City of Tustin expended the total amount of $ for the preparation of this report and/or documents." - 2 - Section 5: Job Site Conditions. The City agrees that in accordance -th generally accepted construction practices, the construction contractor will be required to assume sole and complete responsibility for job site conditions during the course of construction of this project, including safety of all persons and property and that this requirement shall be made to apply continuously and not be limited to normal working hours. Section 6: Miscellaneous Provisions. A. City and Consultant further agree to the following conditions: (1) City, by notifying Consultant in writing, shall have the right to terminate any or all of the services covered by this agreement at any time. In the event of such termination, Consultant shall be paid for services rendered to the effective date of the termination. (2) Consultant agrees that it shall proceed immediately and diligently to perform the services provided for in this Agreement upon receipt of notice from City to proceed therewith. (3) The terms and provisions of this agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties thereto. (4) Consultant shall perform the services hereunder as an independent contractor and under no circumstances or conditions shall Consultant or any of its agents, servants and employees, be considered as an employee or agent of the City. (5) Consultant shall perform all services required under this agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all - 3 - errors and omissions for services performed by Consultant under the terms of this Agreement. Consultant agrees to indemnify, defend and hold City, its agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by other persons and from all costs, expenses and charges, including attorney's fees, arising from Consultant's negligent performance of this agreement. Consultant shall maintain in full force and effect during the term of this agreement policies of comprehensive general liability, personal injury and liability insurance with limits of at least $1,000,000 combined single limit coverage per occurrence and professional liability insurance coverage with limits of at least $250,000 combined single limit coverage per occurrence for which certificates of insurance have heretofore been delivered to City. (6) Consultant shall carry and pay for such compensation insurance as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety Laws, to relieve City from all responsibility under said laws in connection with the performance of this agreement, and upon execution of this agreement, to file with City a certificate certifying to said protection. (7) Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this agreement, or against any application for such employment, because of race, religion, color, sex or national origin including, but not limited to, the following: a. Employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rates of pay or other forms of compensation, and selection for training, including - 4 - apprenticeship. (8) Consultant shall provide City monthly with a detailed itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. DGA (a.k.a. Don Greek and Associates) has been an established engineering consulting firm for twenty-five years. We maintain a full staff of surveyors, civil engineers, designers, drafters, construction observers, computer specialists, and technical support personnel available to assist you with this project. We have completed over 3500 projects since 1965 which includes over 600 water -related projects. Such projects include 50,000 feet of waterlines for the City of Pico Rivera, a new 37 -inch waterline for Elsinore Valley Municipal Water District, and three miles of 66 -inch and 42 -inch transmission mains for the Santa Margarita Water District. For these projects, we were responsible for the preliminary and final design; hydraulic network analysis of water system; master plan of supplies, transmission, storage, booster pump facilities, wells and fire flows; design and construction surveying; contract administration and construction observation. DGA has assigned Mr. Gerald J. Lindquist as the Principal -In -Charge of this project. As such, Mr. Lindquist will be responsible for cost, quality, and schedule control/monitoring of this project. Cuervo xe It Vice President Enclosure _ PROJECT DESCRIPTION This project consists of replacing the existing water main that runs along Newport Avenue from Edinger Avenue to Walnut Avenue. This work will include the replacement of approximately 2750 feet of existing 8 inch steel water main with a new 12 inch AWWA C900 class 150 PVC water main. The services required will include surveying and topographic mapping, preparation of base map plans, and coordination with all utility companies. QUALITY ASSURANCE The Project Manager is responsible for the successful development of the project from inception through completion. It is his primary responsibility to see that the services are accomplished in an efficient and professional manner, are completed within time and budget limitation, and to the client's satisfaction. He acts as the direct interface between the client and the Project Team members. After we receive the notice to proceed, the Project Manager meets with the client to obtain all necessary data and reviews the scope of work. This assists us in clarifying the client's requirements before work begins. Within the Project Team, the Project Manager directs the daily activities of the assigned staff. It is his function to see that the staff is qualified and sufficient in order to maintain published schedules and to see that drawings and specifications are checked and that they fully describe the task. He also participates in all client reviews. It is anticipated that all routine contact and communication between our client and firm is through the Project Manager. Mr. Jerry Lindquist, P.E., Executive Vice President and Partner of DGA, is available to the t client should any problems develope during the project. He is available to take appropriate { . action within our organization in order to maintain our high-quality standards. Throughout the project and before plans are submitted to the client, a department review is implemented. This review is performed by a registered civil engineer who has not been involved with the project's development. Plans are reviewed for accuracy, basis of design, spelling and dimensional errors, conformity, and quality of drafting before being presented for client review. SCOPE OF WORK EXHIBIT "A" . ' SCOPE OF WORK EXHIBIT A 1. Project Initiation DGA will initially meet with City staff to determine precise limits and parameters for the proposed improvements, and review and update the scope of work for the project using the best knowledge and information available from all concerned parties. In this manner, a schedule of deadlines, and responsibilities of DGA personnel assigned to the project and representatives responsible for the completion of the project will be properly established. 2 Research and Analysis. After the initial meeting is conducted, DGA's personnel will commence research for the project by collecting plans such as street plans and records such as tract maps, parcel maps or easement documents listed in the client's title report in order to accomplish the goals of this project. 3. SurveyinZ a) Topographic Survey A detailed topographic survey at 1' = 20' will be made of the project limits. This survey will be utilized in the preparation of all project plans. All existing features, objects and obstructions, including, but not limited to: walkways, sidewalks, driveways, curb and gutter, trees, fire hydrants, water meters, signs, street lights, power poles, etc. will be clearly located within the Newport Avenue right-of-way. In the combined area of the Orange County Flood Control F-10 Channel, and the Atchison, Topeka and Santa Fe Railway right-of-way the detailed topographic survey will include 1 foot contour intervals as well as within the projection of the Newport Avenue right-of-way. (b) Field Construction Surveying Provide field construction surveying, if necessary, as follows: (1) Provide one set of stakes for construction of the water main. (a) Stake mainline and laterals. (b) Stake fire hydrants, valves, blow -off assemblies, and air release valves. (2) Provide one set of stakes for the placement of miscellaneous facilities and other appurtenant item locations and/or relocations. (3) Provide one set of stakes for water main alignment inconjunction with construction of bore pits, etc. for the crossing of the Orange County Flood Control District F-10 Channel and the Atchison, Topeka, and Santa Fe Railway. 4 Base Map Plans A complete topographic map (with one foot (1') contour intervals at specific locations as noted above,) will be prepared in ink on mylar at a scale of 1" = 20'. This map will be utilized as a base map in preparing project design plans by the City. The plans will include, but not be limited to the following: identification of topographic features, curb and gutter, sidewalk, paving, driveways, and street lights, etc. 5 Utility Coordination DGA will thoroughly research and delineate existing utility facilities on the plans. The consultant shall send preliminary project notices, including plans, to all affected utilities in accordance with City of Tustin procedures. DGA will maintain a complete record of all utility contacts and responses with all documentation copied to the City. All existing utility systems will be shown on the plans. The City of Tustin will be responsible for the following: 1. Provide all available existing data, information, reports, records and maps available in the City files, such as design plans for adjacent and existing improvements, soil reports, and surveys which may exist. The search for this material will be the responsibility of DGA. 2. Provide water main design utilizing base map plans supplied by DGA. 3. Provide all required copies of plans and specifications for the project bid documents. 4. Provide a Project Manager/ Contract Administrator and Construction Inspector. 5. Upon our selection of the most highly qualified firm to provide the required services, we will negotiate the price for the work to be done. If we can reach a price we deem fair and reasonable, the contract will be awarded. A brief list of similar types of projects which your firm has previously performed, including scope, cost and agency for whom completed and agency individual in responsible charge of the project. , 2. Identification, resumes, and titles of individuals who will supervise and perform the service; including any sub -consulting firms to be utilized as well. 3. A graphical project time schedule (submit as Exhibit B) broken down according to the tasks listed in the detailed Scope of Work (submit as Exhibit A) for accomplishing the project through completion of base map preparation within sixty (60) calendar days from the issuance of a Notice to Proceed. The schedule should also include a projection of anticipated man-hours broken down by major tasks, and the various titled individuals who will be assigned to each. 4. Fee schedule (submit as Exhibit C in a SEPARATE SEALED ENVELOPE) indicating the proposed cost for completing each task in the Scope of Work (submit as Exhibit A) and a resulting "not to exceed" cost of the project, based upon the work hours, hourly rates, and other associated costs. The proposed cost to complete each task shall include the costs of all administration and overhead, project site visits, attendance at meetings, and all reproduction costs. S. Schedule of hourly rates (submit as Exhibit D in the same SEALED ENVELOPE as in Item 4) for your firm's employee titles or various classifications. A minimum of one million dollars of general liability coverage is required. Also attached is a location map upon which the basic project area has been delineated. If your firm is interested in submitting a proposal for this work, it must be received by 11:00 a.m., Friday, November 16, 1990, at the City of Tustin Public Works Department, Engineering Division, 300 Centennial Way, Tustin, CA 92680.
