APPROVAL OF PROFESSIONAL SERVICES AGREEMENTS FOR THE TUSTIN
RANCH ROAD INTERCHANGE PROJECT ON THE SANTA ANA FREEWAY
RECOMMENDATION:
That the Tustin City Council at their meeting of April 17, 1989 approve
the professional services agreements and authorize the Mayor to execute
said agreements with each of the firms for the specific consultant
services and fees as indicated below:
Psomas and Associates - Construction Survey Services
in the amount of $57,000.00
Leighton and Associates - Materials Testing Services
in the amount of $137,926.00
W. L. Hartman and Associates - Construction Inspection Services
in the amount of $14.9,760.00
BACKGROUND:
The Tustin Ranch Road Interchange project is funded by two Assessment
Districts, No. 85-1 and No. 86-2 for both the design and construction
phases. Bids for the construction of said interchange have been
received by the City and will be addressed under a separate City Council
action for the bid award.
The Interchange project is proceeding as a cooperative project with
Caltrans, wherein the City will advertise and award a contract and
Caltrans will provide the Resident Engineer and a Bridge Engineer. In
addition to the above, the cooperative agreement provides for the City
to provide the following construction administration services:
o Construction Survey Services
o Materials Testing Services
o Construction Inspection Services
The City has elected to provide these services through consultant
contracts and solicited proposals for each of the above-mentioned
disciplines. Proposals were solicited from the following firms for each
of the disciplines:

Psomas and AssoCiates of Costa Mesa
Fuscoe, Williams,-Lindgren & Short of Santa Ana
J. P. Kapp and Associates of Tustin
J. P. Kapp and Associates did not respond with .a proposal.

DISCUSSION.-
Staff is recommending that the following firms be selected to perform
the designated services at the indicated fees:
Psomas and Associates (Construction Surveying) at a
fee of $57,000.00
Leighton and Associates (Materials Testing) at a
fee of $137,926.00
W. L. Hartman and Associates (construction Inspection)
at a fee of $149,760.00
The attached professional services agreements are the standard format
which has been previously utilized by the City and approved by the City
Attorney's office.
These consultant fees will not impact the City's 1988-89 General Fund
budget because all construction administration costs will be funded by
Assessment Districts No. 85-1 and No. 86-2.

THIS AGREEMENT, made and entered .into this day of
, 1989, by and between C~TY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City") and PSOMAS- AND
ASSOCIATES, 3187 Red Hill Avenue, Suite 250, Costa Mesa, CA 92626,
(hereinafter called "Consultant").
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
consultant services for providing surveying services for the Tustin Ranch
Road Interchange at the Santa Ana (I-5) Freeway hereinafter referred to
as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services
in connection with said Project and has agreed to provide the surveying
services; and
WHEREAS, Consultant has submitted to City'a proposal dated March 27,
1989, a copy of which is attached hereto marked Exhibit "A" and is by
this reference incorporated herein as though set forth in full herein
("the Proposal").
NOW, THEREFORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and City
and Consultant for the consideration hereinafter set forth; agree as
follows:
Section 1: Scope of Consultant's Services. Consultant agrees to
furnish to City consulting services for the project. These services
shall include all of the surveying services to be performed as
directed by the City Engineer.
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed

Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in Exhibit "A". Progress payments for
work completed will be paid as the work progresses, within thirty (30)
days of the ~ate of consultant's invoice.
Section 4: Miscellaneous Provisions.
A. City and Consultant further agree to-the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this Agreement
at any time.
(2) Consultant agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement · upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this ~greement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties thereto.

(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant and -any of its agents, servants and employees, be considered
as an employee or agent of the city.
(5) Consultant shall perform all services required under this
Agreement in a careful, diligent, professional manner, and shall be
responsible for all errors and omissions for services performed by
Consultant under the terms of this Agreement. Consultant, as a material
part of the consideration of this Agreement, hereby waives, on its behalf
and on behalf of all others claiming through Consultant, all claims and
demands against City, its agents, employees, successors and assigns, for
all loss, damage, injury, sickness or death of any person resulting from
the negligent performance of this Agreement, and agrees to indemnify,
defend and hold City its agents, employees, successors and assigns,
harmless from any toss, damage, injury, sickness, death, or other claim
made by other persons and from all costs, expenses and charges arising
therefrom. Consultant-shall maintain in full force and effect during the
term of this agreement, its existing policies of insurance for which
certificates of insurance have heretofore been delivered to City.
(6) Consultant shall carry and pay for Such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety. laws,
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.

(7) Consultant certifies that there shall be no discrimination
against any employee who is employed in the work covered by this

agreement, or against anylapplication for such employment, because of
race, religion, color,, sex, or national origin including, but not limited
to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties

Psomas and Associates is pleased to present the following proposal for construction staking services for
Tustin Ranch Road and the I-5 Freeway, We feel we are uniquely and especially qualified to perform this
work for three reasons: The vast experience of the firm and the project team in providing similar services, our
manpower resources are flexible and can assume this assigmnent, and we employ state of the art surveying
technology and equipment.
Founded in 1946, Psomas and Associates has been providing surveying services to both public and private
clients for over 40 years. We specialize in surveying, mapping, and civil engineering. These services are
provided locally by 300 employees from offices in Costa Mesa, Santa Monica, and Riverside. We have ·
assembled a project team of land surveyors with over 120 years,of collective experience in construction
surveying. The work performed on this project will be done from our Costa Mesa office.
We take pride in being a leader in the survey and mapping industry., in the use of state of the art systems and
technology. We bring the latest technology to your surveying project, including Global Positioning Systems
(GPS), data collecting total stations, and mobil telephone communications.
Psomas specializes in construction staking services for road and bridge projects. We are currently under
contract to stake more than 15 miles of road and bridge working including:

grading has been completed, a set of stakes will be set on 50-foot intervals at freeway
centerline for line and grade to subgrade. The third set will be set for the construction'of the

'in connection with said Project and has agreed to provide the necessary
materials testing services; and
WHEREAS, Consultant has submitted to City a proposal dated March 27,
1989, a copy Of which is attached hereto marked Exhibit "A" and is by
this reference incorporated -herein as though set forth in full herein
("the Proposal").

Introduction
In response to your request, we are pleased to submit this proposal for
materials/soils testing and inspection services during the construction of the
Tustin Ranch Road/Santa Ana (I-5) Freeway Interchange~ approximately 3/4 mile
north of Jamboree Road, in the city of Tustin, California. This proposal has
been developed based on the Request for Proposal (RFP) from the City of
Tustin, dated March 9, 1989.
The proposed project includes the construction of Tustin Ranch Road
overcrossing at the Santa Ana Freeway, a northbound on-ramp and loop off-ramp,
and a southbound off-ramp and loop on-ramp, with related structures.
Leighton and Associates, Inc. has previous experience in this type of
construction, including the University Drive Bridge for The Irvine Company
(completed in 1988) and the Lake Elsinore Bridge for the City of Lake Elsinore
{completed February, 1989).
Purpose and Scope of Services
The purpose of our services is to provide testing and inspection of the
materials and soils during construction, in order to assure that construction
is being performed in accordance with the plans and specifications.

The proposed scope of services is summarized as follows:
1. Review of the construction plans and specifications
o
2. Inspection and testing during construction including:
· Relative compaction testing during backfill placement.
· Testing and inspection during subgrade, base course and asphaltic
concrete placement.
· Inspection during pile driving {not including inspection at the
fabrication shop, Pile Indicator Program or any load testing}.
· Laboratory testing of construction materials.
· Resident field inspection during construction of post-tensioned bridge
structural elements.*
3. Preparation of daily field reports and a final report summarizing the
results of soil testing.
Based on a 360-day construction period, it is estimated that 300 days of
inspection will be required in addition to the laboratory tests:
Cost Estimate
We propose that the cost for our field testing and inspection work be
reimbursed on a time-and-material basis in accordance with the attached fee
schedules. A cost breakdown is attached to this' proposal. The total
estimated cost for our services is $137,926 (One Hundred Thirty-Seven Thousand
Nine Hundred Twenty-Six Dollars}. Although some variations in cost for
different tasks may occur, the total cost of $137,926 will not be exceeded
without your prior authorization.
The estimated cost is based on the limited information provided-to us. We
recommend that another cost estimate be prepared after selection*of the
general contractor and based on the projected construction schedule.
If this proposal meets with your approval, please sign the attached Work
Authorization and Agreement form and return one copy .to our office.

a. Invoices are rendered monthly, payable upon receipt.
b. A retainer of S0% of the fee is required for projects
with a total fee of $2000.00 or less. For such projects, the
balance of the fee must be paid at the time the rePOrt is
released to the client.
c. 30% of the fee for field studies will be invoiced immedi-
ately an authorization to cover equipment and mobilization
costs.

THIS AGREEMENT, made and entered into this day of

, 1989, by and between CITY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City") and W. L. HARTMAN AND
ASSOCIATES, INC., 15520 Rockfield Boulevard, Suite 120-A, Irvine, CA
92718 (hereinafter called "Consultant").
. WITNESSETH: '
WHEREAS, City desires to employ Consultant to furnish the necessary
·
services for providing construction inspection services for the Tustin
Ranch Road Interchange at the Santa Ana (I-5) Freeway hereinafter
referred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services
in connection with said Project and has agreed to provide the necessary
construction inspection services; and
WHEREAS, Consultant has submitted to City a proposal dated March 27,
1989, a copy of which is attached hereto marked Exhibit "A" and is by
this reference incorporated herein as though set forth in full herein
("the Proposal").
NOW, THEREFORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and City
and Consultant for the consideration hereinafter set forth~ agree_as
follows:
Section 1: Scope of Consultant's Services. cOnsultant agrees to
furnish to City consulting services for the project. These services
shall include all of the materials testing services outlined in
Consultant's Proposal.

section 2: Time for completion. It is hereby understood and
mutually agreed that the time for completion of the work ~o be .performed
by Consultant is an essential.condition of this agreement. Consultant
agrees that it shall prosecute regularly and diligently the work of this
agreement accordingly to reasonable schedules established by City.
Consultant shall n~t be accountable for delays in the progress of its
work caused by any condition beyond its control and without the fault or
negligence of Consultant'. Any delays shall not entitle Consultant to any
additional compensation, regardless of the party responsible for th~
delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in Exhibit "A". Monthly payments for
work completed will be paid as the work progresses, within thirty (30)
days of the date of consultant's invoice.
Section 4: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant-in writing, shall have the
right to terminate any or 'all o'f the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant agrees that it shall proceed immediately and
diligently to perform the services provided for in this agreement'upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this Agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties thereto.

(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant and any of its agents, servants and employees, be considered
as an employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of-care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this agreement. Consultant agrees to indemnify, d~fend and hold
City, its agents, employees, successors and assigns, harmless from any
loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement, its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.
(6) Consultant shall carry and -pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety laws, to
relieve City from all responsibility under said laws in 'connection with
the performance of this agreement, and.upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant certifies that there shall be no discrimination
against any employee who is employed in the work covered by this

agreement, or against any application for such employment, because of
race, religion, color, sex, or national origin.including, but not limited
to, the following-.
_a. Employment, up~rading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City. monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.

Proposal for Construction Inspection Services.
Dear Mr. Ledendecker,
We appreciate very much the opportunity .to submit this proposal
for construction inspection service for the' Tustin Ranch
Road/I-5 Freeway Interchange Project.
We propose to provide the equivalent of an. Assistant
Transportation Engineer in state service, to assist the Caltrans
Resident Engineer during theconstruction of subject interChange
project. As indicated in your "Request for Proposal", our
inspector would, under direction from. the Resident Engineer,
perform the following services:
1. Construction inspection
2. Measurement and computation of quantities
3. Check shop drawings
4. Preparation of estimates and reports
5. Preparation of as-built drawings
6. Other inspection and staff services as
directed by the Resident Engineer
We 'propose to provide the services requested at an hourlY rate
of $52.00, which would include transportation. The inspector
that would be provided by us is equivalent to the Senior
Construction Inspector, which is shown as $58.00/hr. on our
attached "Hourly Rate Schedule". It is our understanding that
the day to day supervision'of this person would be dane by the
Resident Engineer. It is also our understanding that a field
office and routine office equipment and supplies would be
provided by the City, as well as ~obile radio equipment if
necessary.

The "not. to exceed" amoUnt, based on 360 working days, 8 hours
per day, and $52.00/hr. would therefor be $149,760. This amount
would not be exceeded without prior approval from the City.
We note that the contract calls for-'some night work, and may
also require some overtime work. It is very difficult at this
time to determine the amount of night work and overtime that may
be necessary. However, in the event of necessary night work or
overtime work, our hourly rate would be $65.00 per hour.
In. regards to key personnel that would be assigned to this
project, I would like to point out that I will be the Principal
in charge in regards to any negotiations and administration of
this professional services contract. I am enclosing my resume
for your information.
Mr. Wolford Brown would be assigned to the project. Mr. Brown
has over 30 years of experience with Caltrans, Office of
Structures, Structure Construction. He has worked in various
capacities with the Caltrans Bridge Department in construction
over the years. Since February of 1975, his title has been
Assistant .Bridge Engineer. His background seems to be ideally
suited to fill your needs to support the construction inspection
requirements for the project.

Blueprints and reproductions will be billed as an extra at our
standard billing rates (cost plus'15%).
On August 1st of each year the ratified master Contract
agreement between the Southern California COuncil of Civil
Engineers and Land Surveyors and the International Union of
Operating Engineers, Local Union No. 12, will become effective.
Accordingly, the increases negotiated will also be reflected in
all survey work, engineering design and other office work.

EXPERIENCE
Mr. Hartman's experience covers 30 years of design and
construction of public works projects, including highways,
bridges, storm drains, flood control channels, park development, '
harbor dredging etc. He spent 3 years in design with the Los
Angeles County Road Department and the past 27 years in various
capacities with the County of Orange Road Department and
Environmental Management Agency. He has served as the Bridge
Design Engineer, Cooperative Projects Engineer and Resident
Construction Engineer. For 12 years he was Chief of design
which includes design of all highway and bridge capital
improvement projects for Orange County. During this period he
also supervised numerous consultant design contracts.
For the last 8 years with the County of Orange he was Manager of
the Construction Division with responsibility for the Materials
Testing Lab, all subdivision and permit inspection in the
County, and for the construction of all the capital improvement
projects for highways, bridges, flood control work, park
development and harbor dredging. The Construction Division had
a staff of 110' people. The public works contract work that Mr.
Hartman was responsible for during his 7 years as Manager of the
Construction Division ranged between twenty and.thirty million
dollars per year.
His experience includes negotiating . and preparing many
agreements with cities, railroads, Caltrans and private
developers. He has been involved in the design and construction
of numerous FAU projects and Assessment District funded
projects. Mr. Hartman is very familiar with Orange County and
with City and County procedures. In addition, he has dealt very
effectively with Caltrans staff on numerous past projects
requiring State and Federal approvals.
