HUSTON, CITY MANAGER COMMUNITY SERVICES DEPARTMENT CONSENT CALENDAR NO. 3 3-19-90 Inter - Com SUBJECT: AGREEMENT FOR DESIGN OF NEIGHBORHOOD PARK TRACT 12763 RECOMMENDATION Approve attached agreement for park design services with Cardoza, Dilallo, Harrington, Inc., of Costa Mesa, which includes design, plans, specifications and bid documents for a three acre neighborhood park in the Tustin Ranch. The cost of service is $44,250 which including construction management. BACKGROUND The Council approved $400,000 for the design and construction of a neighborhood park in Tract 12763, as part of the 1989/90 Capital Improvement Budget. This is the second neighborhood park in the Tustin Ranch scheduled to be developed. The park is a three acre site adjacent to a proposed elementary school and is located on Myford and Heritage Road in Phase II of the Tustin Ranch. In January 1990, staff received proposals from four landscape architectural firms for the design of a neighborhood park. Cardoza, Dilallo, Harrington, Inc. was selected for their experience working with City government, particularly for their success working with commissions and citizens task forces. The services include all meetings with the City Council, the Parks and Recreation Commission, the Citizen Task Force, the Planning Commission, and the Design Review Committee, in addition to the park design, working drawings, specifications and construction management. Additional services required to complete the project not in the contract, are geotechnical and architectural services (Exhibits D and E). The work of these consultants will be coordinated by Cardoza, Dilallo, Harrington, Inc. but each firm will be paid by a separate purchase order. The projected total cost to complete the design is $51,790. The attached agreement has been reviewed and approved by the City Attorney's Office. White, birector Recreation Superintendent Community & Administrative Services RAW/SMJ/bw Attachments a:wah.127 PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT, made and entered into this day of , 1990, by and between CITY OF TUSTIN, a municipal corporation (hereinafter referred to as "City"); and CARDOZA- DILALLO-HARRINGTON, INC., 3151 Airway Avenue, Suite J, Costa Mesa, California 92626 (hereinafter called "Consultant"). WITNESSETH: WHEREAS, City desires to employ Consultant to furnish the necessary park design services for a 3 acre neighborhood park in Tract #12763, hereinafter referred to as "Project"; and WHEREAS, Consultant is qualified to provide the necessary services in connection with said Project and has agreed to provide the necessary services; and WHEREAS, Consultant has submitted to City a proposal dated January 5, 1990, a copy of which is attached hereto marked Exhibit "A" and is by this reference incorporated herein as though set forth in full herein ("the Proposal"). NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to provide the professional services for the Project, and City and Consultant for the consideration hereinafter set forth, agree as follows: Section 1: Scope of Consultant's Services. Consultant agrees to prepare and furnish to City consulting services for the Project. These services shall include all those services outlined in Consultant's proposal (Exhibit "A"). Section 2: Time for Completion. It is hereby understood and 1 mutually agreed that the time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant agrees that it shall prosecute regularly and diligently the work of this Agreement accordingly to reasonable schedules established by City. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Any delays shall not entitle Consultant to any additional compensation under any circumstances, regardless of the party responsible for the delay. Section 3: Compensation. The compensation to be paid under this agreement shall be at the hourly rates set forth in Exhibit "C" with a total cost estimated at $44,250. Monthly payments for work completed will be paid as the work progresses, within thirty (30) days of the date of consultant's invoice. Section 4: Statement of Cost. Pursuant to the provisions of California Government Code Section 7550, the total amount expended by City relating to the preparation of the report and documents prescribed herein shall be set forth within the final edition of the report, in a separate section, in a statement substantially as follows: "Pursuant to California Government Code Section 7550, the City of Tustin expended the total amount of $ for the preparation of this report and/or documents." Section 5: Job Site Conditions. The City agrees that in accordance with generally accepted construction practices, the 2 construction contractor will be required to assume sole and complete responsibility for job site conditions during the course of construction of the project, including safety of all persons and property and that this requirement shall be made to apply continuously and not be limited to normal working hours. Section 6: Sub -Consultants: In addition to the personnel of Cardoza-Dilallo-Harrington, Inc., and those consultants mentioned in the proposal, Exhibit A, Cardoza-Dilallo-Harrington, Inc. will coordinate the following sub -consultants: 30th Street Architects, Exhibit D, Geosoils, Exhibit E The City will negotiate services and pay the sub -consultants listed above by separate agreement. Section 7: Miscellaneous Provision: A. City and Consultant further agree to the following conditions: (1) City, by notifying Consultant in writing, shall have the right to terminate any or all of the services and work covered by this agreement at any time. In the event of such termination, Consultant shall be paid for services rendered to the effective date of the termination. (2) Consultant agrees that it shall proceed immediately and diligently to perform the services provided for in this agreement upon receipt of notice from City to proceed therewith. (3) The terms and provisions of this Agreement shall extend to and be binding upon and inure to the benefit of heirs, 3 executors, administrators, successors -and -assigns of the respective parties thereto. (4) Consultant shall perform the services hereunder as an independent contractor and under no circumstances or conditions shall Consultant and any of its agents, servants and employees, be considered as an employee or agent of the City. (5 ) Consultant shall perform all services required under this Agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. Consultant agrees to indemnify, defend and hold City, its agents, employees, successors and assigns, harmless from any loss, damage, injury, sickness, death, or other claim made by other persons and from all costs, expenses and charges, including attorney's fees, arising from Consultant's negligent performance of this Agreement. Consultant shall maintain in full force and effect during the term of this Agreement, its existing policies of insurance for which certificates of insurance have heretofore been delivered to City. (6) Consultant shall carry and pay for such compensation insurance as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety laws, to relieve City from all responsibility under said laws in connection with the performance of this Agreement, and upon execution of this Agreement, to file with City a certificate certifying to said protection. - n (7) Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application for such employment, because of race, religion, color, sex, or national origin including, but not limited to, the following: a. Employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. (8) Consultant shall provide City monthly with a detailed itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail, to fully apprise City thereof. CITY OF TUSTIN, a municipal corporation By ATTESTS: a:agreement CARDOZA-DILALLO-HARRINGTON, INC. c, 5 Exhibit A SCOPE OF WORK (Exhibit A) 1.0 PROJECT PHILOSOPHY, PROPOSED APPROACH, and METHODOLOGY This section presents the basic philosophy and approach that would be performed by the Cardoza-DiLallo-Harrington recreation planning/design team in the preparation of the master plan, construction documents, and providing bid coordination and field observation for the 3 acre neighborhood park parcel in the Tustin Ranch development. An outline of a preliminary time schedule (Exhibit B) is graphically portrayed following this narrative. 1.1 INTRODUCTION From previous private developer projects, the Cardoza-DiLallo- Harrington team is familiar with the Tustin Ranch development. We appreciate the efforts of the City and The Irvine Company to maximize recreational use and provide aesthetic surroundings for leisure time enjoyment within a planned residential community. Cardoza-DiLa110-Harrington's philosophy is one of "tailoring" the design process to fit the community's needs. Our emphasis in recreation planning is simplicity, functionality, and community identity. Of significance to the design concepts will be the initial stages of data collection, compiling of information, community input, and site reconnaissance. Our efforts will be placed on establishing a professional but comfortable working relationship with staff and community representatives. 1.2 SPECIFIC MUNICIPAL RECREATION PLANNING BACKGROUND and PHILOSOPHY The process and development of masterplans and construction documents for neighborhood parks has been a part of Cardoza- DiLallo-Harrington's portfolio for nineteen years. Section IV of this proposal presents a summarized list of recreation/park projects with representative number of graphic examples. 1 Cardoza-DiLal lo -Harrington f irmly believes in furthering the quality and life-style of those who use or live in the environments we create. We focus our solutions not only on the ecological and cultural factors but to the external surroundings, safety, and aesthetics involved in providing recreation opportunities. The attention is on pattern and scale of built forms as a means of providing visual diversity. Consideration of construction materials, utilization of topography, and preparing a sensitive plant palette provide functional facilities that lend themselves to ease in maintenance and user security. We are dedicated to the principles of providing this form of planning within proposed budget constraints. 1.3 PLANNING TEAM ORIENTATION The initial step in the preparation of documents, as outlined, would be to meet with the appropriate City staff, preferably an interdepartmental team of representatives from recreation, maintenance, and engineering for the purposes of: - refining a detailed project schedule, - defining proposed project budgets, - examining and determining project elements, and - finalizing project parameters. 1.4 COMPILATION OF BASIC INFORMATION It will be the intent during this phase to obtain from the City updated materials including, but not limited to, the following: - current aerial photo topogaphy and boundary survey information; - record maps and street improvements; - asbuilts where appropriate for coordination with existing facilities; - current geologic and soils reports; and - historical or other pertinent information relative to particular unique features. During this phase Robert J. Lung and Associates will provide ground control and fly new aerial mapping exposures suitable for direct map compilation at 1"=20' scale with 1' contours. Finished products will be a mylar map and one set of 9"x9" contact prints. 4 Data base information will be gathered in areas of: - adjacent land uses, - environmental sensitivity, - site influences (hazards), and - view potential and visual impact studies. View potential describes the views from the site to the surrounding neighborhood whereas visual impact indicates the visibility of the park site from the bordering developed areas. Often, the areas with the strongest impact also provide the greatest view potential. Cardoza-DiLallo-Harrington will coordinate efforts with GeoSoils and Thirtieth Street Architects. 1.5 CLIENT and COMMUNITY RELATIONSHIPS Municipalities serve the public. Designs for the citizenry should respond aesthetically and intelligently to their needs. To this end, Cardoza-DiLallo-Harrington listens to the concerns of the staff, commissions, and citizens. On past projects extensive workshops have been held with diverse groups of citizens, staff, and elected officials. Involvement is encouraged at all levels and our designs not only reflect citizen input but their input is utilized as the common denominators in developing solutions. Citizen awareness and participation often determines the effectiveness and outcome of the design concepts. As addressed in the RFP, the following meetings have been included as part of the scope of work: - 2 meetings with the Citizens' Task Force - 2 meetings with the Parks and Recreation Commission - 2 meetings with the City Council - 1 meeting with the City Design Review Board - 1 meeting with the Planning Commission Our role as facilitator will be to assist the City in emerging ideas and evolving hidden agendas into a workable, agreeable solution. The goals of each workshop session will differ as the process evolves but the following will be general guidelines: - listen and respond, - seek out the "experts" in specialized areas, - explore the concerns of interested parties, - discover possible problems (social, physical, economic) and facilitate solutions, - aid in mitigating conflicts between interest groups, and - give recommendations and information and receive information. 3 1.6 PROJECT PROFILE Advisory commissions, community groups, and staff will play a key role in providing their perspective on the existing development and future trends for the area. This data will identify the scope of services and provide alternative solutions. A cursory review of existing demographic data will assist in identifying any specific patterns and provide an insight into the multifaceted nature of the existing and proposed population in the area, as well as unique characteristics. 1.7 PRELIMINARY SCHEMATIC CONCEPTS During this task, emphasis will be placed on identifying any obstacles to satisfying demands and needs. We will verify our understanding of the program intent, functionally and aesthetically, before illustrating our concepts diagrammatically. The end product will be a concept portraying the well -constructed synthesis of: - creating an imaginative program capitalizing positive features, - mitigating negative factors affecting the site, - providing maximum enjoyment for users, - analyzing property protection & emergency response, and - compatibility with maintenance procedures & schedules. The draft conceptual design will depict precise forms of construction materials and appropriate site amenities. The treatment of visual edges will be critical to softening the impact on adjacent neighborhoods and vehicular circulation systems. 1.8 MASTER PLAN This stage involves refining and delineating the preliminary concpts. The plan would graphically illustrate the various land use elements and detail the landscape treatment including: - physical opportunities and limitations; - impact on pedestrian and vehicular circulation patterns; - integration of proposed elements to immediate surroundings; - human needs that encourage activity of a constructive nature; - visual and physical security measures; - elements relative to the site configuration; and - mutual compatibiltiy with existing facilities. From the synthesis and evaluation of data collected, recreation planning opportunities and constraints, and the input from the advisory commissions, community groups, and staff a proposed preliminary cost analysis will be compiled and presented. 4 1.9 CONSTRUCTION DOCUMENTS The first step in the preparation of construction documents will involve consolidating explicit information into an accurate "base sheet". It is our recommendation to submit this "base sheet" through the review process. We have found that approval of the base sheet at this stage, has prevented major design alterations once construction documents are under way. Preparation of construction documents formulates the projected elements into one comprehensive set of working drawings and specifications that would include but not be limited to: - title sheet/vicinity map; - earthwork/grading; - general site construction/staking plan; - irrigation and planting plans; - archtectural plans; - electrical plans; - appropriate development details; and - technical specifications (based on the Green Book - Standard Specifications for Public Works Construction and the City's "boiler plate"). Cardoza-DiLallo-Harrington will provide full coordination with all utility companies (ie: Irvine Ranch Water and Southern California Edison) and affected agencies/parties. General site drainage and the use of energy saving equipment will be of concern. Consideration will be given to water -efficient automatic irrigation systems and a sensitive landscape palette. Documents will be submitted with a proposed construction cost analysis relative to the bid item quantities for review and approval by City staff. 1.10 BID COORDINATION Although the administration of the bid process is handled by the City, the Cardoza-DiLallo-Harrington team will be available for interpretation of plans and specifications and if necessary, submitting information for addenda, and reviewing bid proposals. 1.11 FIELD OBSERVATION Performance of field observation during construction will establish standards of acceptability. Duties would include but not be limited to: 5 attendance at pre -job conference; - regular field observation to determine the degree of conformity, progress, and quality of the work; - review of shop drawings, samples and other submissions; and if necessary, submitting information for field adjustments and change orders. All field observation duties will be performed in relation to general conformance with the design concept and general compliance with the information given in the construction documents. Scope of Services, as presented above, performed by Cardoza-DiLallo- Harrington are inclusive of any declared subconsultants as listed herein (within the limitations described herein), local telephone charges; reasonable transportation costs; and regular clerical services. Services performed by Cardoza-DiLallo-Harrington for bid coordination and construction observation shall be billed on a monthly basis at personnel hourly rates not to exceed the above fee. Payments for the Scope of Services shall be made monthly and shall be in proportion to the services performed. Direct Project Expenses are actual expenditures in connection with the project and are in addition to the compensation for the Scope of Services and Additional Services. Payments for Direct Project Expenses shall be made monthly upon presentation of a statement. Reproduction expenses incurred shall be billed at cost plus fifteen percent (15%). Payments for Additional Services of subconsultants not herein declared shall be made monthly upon presentation of Cardoza-DiLallo-Harrington's statement of services rendered plus fifteen percent (15%).
