SUBJECT: PROFESSIONAL SERVICES AGREEMENTS FOR CONSTRUCTION PHASE OF
JAMBOREE ROAD (EDINGER AVENUE TO BARRANCA PARKWAY) EXTENSION
PROJECT THRU MCAS
RECOMMENDATION:
For consideration by the Tustin City Council at their meeting of April
21 1990. It is recommended that the City Council approve professional
services agreements with: 1) Church Engineering, Inc. in the amount of
$46,316.00; 2) CDC Engineering, Inc. in the amount of $50,672.00; 3)
Leighton and Associates, Inc. in the amount of $177,164.00; 4) R.L.
Stollar and Associates, Inc. 'in the amount of $10,437.00; and 5)
Johnson -Frank and Associates, Inc. in the amount of $277,407.00 for
construction consulting services during Jamboree Road construction, and
authorize the Mayor and City Clerk to execute the agreements on behalf
of the City.
BACKGROUND:
At the March 5, 1990 City Council meeting, a contract for construction
of Jamboree Road (Edinger Avenue to Barranca Parkway) thru MCAS was
awarded to E. L. Yeager Construction Company, Inc. During construction,
various consultant support services are required to assist in the
construction engineering phase. These services include bridge
inspection and engineering, surveying, soils engineering, and NPDES
permit monitoring. The five professional services agreements under
consideration provide the necessary consultant support for this phase
and utilize consultants who have been for the most part very much
involved in the design phase of the project and therefore are very
familiar with it.
The consultants to be utilized during the construction engineering phase
and their area of responsibility include the following:
1) Church Engineering, Inc. (proposed fee $46,316.00)
- engineering services related to interpretation/revisions/
clarifications of plans and specifications, preparation of
as -built plans, and review of shop drawings.
2) CDC Engineering, Inc. (proposed fee $50,672.00)
engineering services related to bridge and structure
construction.
3) Leighton and Associates, Inc. (proposed fee $177,164.00)
- consulting services related to soils and materials testing.
4) R.L. Stollar and Associates (proposed fee $10,437.00)
- consulting services related to ensuring that contractor
dewatering is in compliance with NPDES permit.

- provision of construction surveying services.`
Total proposed consulting fees $561,996.00
As has been mentioned previously, the project is a cooperative effort
between the Cities of Irvine and Tustin, and The Irvine Company.
Project construction costs will be borne by the three parties at
previously -agreed cost sharing percentages (City of Irvine - 46%; The
Irvine Company - 36%; City of Tustin - 18%). The City of Tustin has
budgeted $2,790,000.00 in the current 1989-90 Capital Improvement
Program to cover its share of the project related construction costs,
which include construction consulting services.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this day of
1990, by and between CITY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City") and CHURCH ENGINEERING,
INC. (hereinafter called "Consultant").
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
engineering services during construction of Jamboree Road from Edinger
Avenue to Barranca Parkway, hereinafter referred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services
in connection with said Project and has agreed to provide the necessary
services; and
WHEREAS, Consultant has submitted to City a proposal dated March 9,
1990, a copy of which is attached hereto marked Exhibit "A" and is by.
this reference incorporated herein as though set forth in full herein
( "the Proposal") .
NOW, THEREFORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and
City and Consultant, for the consideration hereinafter set forth, agree
as follows:
Section l: Scope of Consultant's Services. Consultant agrees to
furnish to City consulting services for the Project. These services
shall include all of the services outlined within Consultant's proposal
and marked Exhibit "A".
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed

by Consultant is an essential condition of this agreement. Consultant
agrees that it shall prosecute regularly and diligently the work of this
agreement accordingly to reasonable schedules established by the City.
Consultant shall not be accountable for delays in the progress of its
work caused by any condition beyond its control and without the fault or
negligence of Consultant. Any delays shall not entitle Consultant to
any additional compensation, regardless of the party responsible for the
delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in the Consultant's proposal and marked
Exhibit "A", with a total cost estimated at $46,316.00. Progress
payments for work completed will be paid as the work progresses, within
thirty (30) days of the date of Consultant's invoice. I
Section 4: Statement of Costs. Pursuant to the provisions of
California Government Code Section 7550, the total amount expended by
City relating to the preparation of the report and documents prescribed
herein shall be set forth within the final edition thereof, in a
separate section, in a statement substantially as follows: "Pursuant to
California Government Code Section 7550, the City of Tustin expended the
total amount of $ for the preparation of this report and/or
documents."
Section 5: Job Site Conditions. The City agrees that in
accordance with generally accepted construction practices, the
construction contractor will be required to assume sole and complete
responsibility for job site conditions during the course of construction
of this project, including safety of all persons and property and that
this requirement shall be made to apply continuously and not be limited
to normal working hours.

Section 6: Miscellaneous Provisions.
A. City and consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties
thereto.
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant or any of its agents, servants and employees, be considered
as an employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this Agreement. Consultant agrees to indemnify, defend and
hold City, its agents, employees, successors and assigns harmless from
any loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses.and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.

(6) Consultant shall, carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety Laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant certifies that there shall be no discrimination
against any employee who is employed in the work covered by this
agreement, or against any application for such employment, because of
race, religion, color, sex, or national origin including, but not
limited to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties on
the day and year first above written.

FOR THE JAMBOREE ROAD EXTENSION ACROSS MCAS TUSTIN
Gentlemen:
Pursuant with your directions, Church Engineering is pleased to submit
for your review this proposal to provide services during construction for
the subject property.
The work program attached is based upon our understanding of the project,
and discussions with project construction staff. Should however, you
have any questions regarding any items of work we would be happy to
discuss the matter with you.
During construction, we propose to make available all of the design
personnel associated with the project. As such, all project and decision
history will be available to your resident engineer in an immediate,
timely fashion.
As always, it remains a pleasure, to be of service to the City of Tustin.
We look forward to continue providing the city with the finest in
engineering support.

PROPOSED SCOPE OF WORK AND MANHOUR ESTIMATES
ENGINEERING DURING CONSTRUCTION
JAMBOREE ROAD EXTENSION
GENERAL:
The following work items and associated manhour estimates are based
upon the present understanding of the work required. The costs
presented should be viewed as budget amounts for the associated work,
and the attached hourly rate schedule shall be considered an
integral part of this proposal.
The work proposed herein shall apply to all portions of roadway and
appurtenant construction excluding bridge construction, geotechnical
and materials testing, pump station construction, and construction
surveying.
The assumed construction duration is estimated at 18 months (78
weeks) and the total estimated engineering drawings is 70 sheets.
AS BUILT DRAWINGS:
This task will include receiving from the resident engineer a full
set of marked up bluelines showing all approved changes that occurred
during construction. The original mylar drawings shall be revised to
clearly delineate these changes from the original concept. Upon
completion, all original mylars shall be delivered to the City of
Tustin.
MANHOUR AND COST ESTIMATE:

MINOR REVISION/CLARIFICATIONS/QUESTIONS:
This task will include making minor revisions to the original design
as requested by the resident engineer. No provisions are contained
for any major or substantial redesigns. Additionally, this task
includes issuing clarifications or information requested by the
resident engineer, and responding to appropriate questions regarding
the project.

required, our opinions and recommendations. A shop drawing submittal
file shall be maintained in.our office during construction. Upon
completion and acceptance of the project, the file will be delivered
to the City of Tustin.

These rates will remain in effect through July 31, 1990, at which time they may
change. The new rates will apply only to that portion of work which remains to
be completed after July 31, 1990. Contracts limits, less amount invoices prior
to July 31, 1990, will be adjusted according to the new rates. All out-of-pocket
expenses, such as filing fees, printing, and reproduction costs will be extra
and invoiced at our direct cost. In-house computer time will be charged at
$15.00 per hour.

Dear Mr. Ledendecker:
Pursuant to your request, C.D.C. Engineering, Inc., is pleased to
submit this proposal to provided engineering services during
construction of overcrossings at Jamboree Road over. Warner Avenue
and Jamboree Road over Moffett Drive for the subject project.
The scope of work for this project shall be as follows.
1. Attend pre -construction conference.
2. Provide plan interpretation and assistance.
3. Be present at the construction site when requested by the
City representative.
4. Prepare revisions as required.
5. Review and approve falsework drawings and calculations.
6. Prepare camber strip calculations, camber strip diagrams
and four scale deck contour plan.
7. Monitor contractor supplied tattle -tails during concrete
placement for soffit and stems and advise City inspector
when form adjustments are required.

9. Review concrete mix designs.

Blueprints and reproductions will be.billed as an extra at our
standard billing rates (cost plus 15%).
On August 1st of each year the ratified master contract agreement
between the Southern California Council of Civil Engineers and Land
Surveyors and the International Union of Operating Engineers, Local
Union No. 12, will become effective.
Accordingly, the increases negotiated will also be reflected in all
survey work, engineering design and other office work. (Thin
increase shall apply only to uncompleted work as of said date).

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this day of
, 1990, by and between CITY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City") and LEIGHTON AND
ASSOCIATES, INC. (hereinafter called "Consultant").
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
soils and materials services for construction of Jamboree Road from
Edinger Avenue to Barranca Parkway, hereinafter referred to as
"Project"; and
WHEREAS, Consultant is qualified to provide the necessary services
in connection with said Project and has agreed to provide the necessary
services; and
WHEREAS, Consultant has submitted to City a proposal dated March 9,
1990, a copy of which is attached hereto marked Exhibit "A" and is by
this reference incorporated herein as though set forth in full herein
( "the Proposal").
NOW, THEREFORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and
City and Consultant, for the consideration hereinafter set forth, agree
as follows:
Section 1: Sco e of Consultant's Services. Consultant agrees to
furnish to City consulting services for the Project. These services
shall include all of the services outlined within Consultant's proposal
and marked Exhibit "A".
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed

by Consultant is an essential condition of this agreement. Consultant
agrees that it shall prosecute regularly and diligently the work of this
agreement accordingly to reasonable schedules established by the City.
Consultant shall not be accountable for delays in the progress of its
work caused by any condition beyond its control and without the fault or
negligence of Consultant. Any delays shall not entitle Consultant to
any additional compensation, regardless of the party responsible for the
delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in the Consultant's proposal and marked
Exhibit "A", with a total cost estimated at $177,164.00. Progress
payments for work completed will be paid as the work progresses, within
thirty (30) days of the date of Consultant's invoice.
Section 4: Statement of Costs. Pursuant to the provisions of
California Government Code Section 7550, the total amount expended by
City relating to the preparation of the report and documents prescribed
herein shall be set forth within the final edition thereof, in a
separate section, in a statement substantially as follows: "Pursuant to
California Government Code Section 7550, the City of Tustin expended the
total amount of $ for the preparation of this report and/or
documents."
Section 5:. Job Site Conditions. The City agrees that in
accordance with generally accepted construction practices, the
construction contractor will be required to assume sole and complete
responsibility for job site conditions during the course of construction
of this project, including safety of all persons and property and that
this requirement shall be made to apply continuously and not be limited
to normal working hours.

Section 6: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination,.Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant -agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties
thereto.
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant or any of its agents, servants and employees, be considered
as an employee or agent of -the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and still ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this Agreement. Consultant agrees to indemnify, defend and
hold City, its agents, employees, successors and assigns harmless from
any loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.

(6) Consultant shall carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety Laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant''certifies that there shall be no discrimination
against any employee who is employed in the work covered by this
agreement, or against any application for such employment, because of
race, religion, color, sex, or national origin including, but not
limited to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties on

Subject: Proposal for Soils and Materials Testing Services for Jamboree
Road Extension, City of Tustin, California
Introduction
In response to your request, we are pleased to submit this proposal for soils
and materials testing services during construction of Jamboree Road Extension.
This proposal is based on the Construction Plans and Construction
Specifications prepared by Church Engineering, Inc., dated January, 1990.
The proposed Jamboree Road extension includes construction of two bridges at
Warner Avenue and Moffet Drive, culvert, retaining wall, drainage structures,
and utility lines.
It is our understanding that the estimated construction duration is 18 months.
Construction could possibly start in a few weeks
Leighton and Associates, Inc. has performed the preliminary geotechnical
investigation for this project, and final design recommendations for deep
foundations at Moffet and Warner Bridges. Our experience in similar type of
construction includes University Drive Bridge for The Irvine Company, Lake
Elsinore Bridge for the City of Lake Elsinore, Tustin Road Interchange at
Santa Ana Freeway for the City of Tustin, and Warner Avenue at Jamboree Road
for The Irvine Company.

Purpose and Scope of Services
The purpose of our services is to provide testing and inspection of the
materials and soils during construction in order to assure that construction
is being performed in accordance with the plans and specifications
The proposed scope of services is summarized as follows:
1. Review of construction plans and specifications
2. Inspection and testing during construction including:
• Observation and testing during rough grading for the road alignment
• Relative compaction testing during backfill placement
• Testing and inspection during subgrade, base course, and asphaltic
concrete placement
• Laboratory testing of soils and construction materials
• Resident field inspection during construction of post -tensioned bridge
structural elements
3. Preparation of daily field reports and a final report summarizing the
results of soil testing
Observation/testing during pile 'driving is not a part of our scope of work.
Cost _Estimate
We propose that the cost for our field testing and inspection work be
reimbursed on a time -and -materials basis in accordance with the attached 1989
Professional Fee Schedules. A cost estimate is made for your budgetary
purposes only.

All test fees are on a unit basis and include test report. Test fees do not include
costs for sampling, transportation or preparation for test. These costs will be
quoted on on individual basis.
All field inspections and tests are charged a minimum time of 4 hours. Time in
excess of 4 hours will be charged as o regular 8 -hour day.
Overtime will be charged at 1.5 times the basic rote. Overtime is defined as the excess
above 8 hours on weekdays, time before 7 a.m. or after 5 p.m., and all Saturdays,
Sundays and holidays.
Heavy equipment, supplemental insurance, travel, shipping, reproduction and other
reimbursable expenses will be invoiced at cost plus 15`x, unless billed directly to,
and paid by client.
Per diem charges of $30.00 per day flus lodging will be charged when the project
requires an overnight stay.
Laboratory samples will be maintained for 60 days from date of report. A storage
fee will be assessed if longer storage is desired.
Invoices are rendered monthly, payable upon receipt.
A retainer fee of 50% of the total fee is required for projects with a total fee of
$1,000.00 or less. For such projects, the balance of the fee must be paid at the time
the report is released to the client.
When personnel manhour rates or test rates ore part of a not -to -exceed or lump sum
contract, manhour rates for cancellations without adequate notice, additional
manhour charges for slow work progress or stand-by time, overtime, costs for travel
and lodging, retests due to failed tests or additional tests for client convenience
shall be considered additions to the contract.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT, made and entered into this day of
, 1990, by and between CITY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City") and JOHNSON -FRANK
AND ASSOCIATES, INC. (hereinafter called "Consultant").
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
construction surveying services for construction of Jamboree Road from
Edinger Avenue to Barranca Parkway, hereinafter referred to as
"Project"; and
WHEREAS, Consultant is qualified to provide the necessary services
in connection with said Project and has agreed to provide the necessary
services; and I
WHEREAS, Consultant has submitted to City a proposal dated March
12, 1990, a copy of which is attached hereto marked Exhibit "A" and is
by this reference incorporated herein as though set forth in full herein
("the Proposal").
NOW, THEREFORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and
City and Consultant, for the consideration hereinafter set forth, agree
as 'follows:
Section 1: Scope of Consultant's Services.- Consultant agrees to
furnish to City consulting services for the Project. These services
shall include all of the services outlined within Consultant's proposal
and marked Exhibit "A".
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed

by Consultant is an essential condition of this agreement. Consultant
agrees that it shall prosecute regularly and diligently the work of this
agreement accordingly to reasonable schedules established by the City.
Consultant shall not be accountable for delays in the progress of its
work caused by any condition beyond its control and without the fault or
negligence of Consultant. Any delays shall not entitle Consultant to
any additional compensation, regardless of the party responsible for the
delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth in the Consultant's proposal and marked
Exhibit "A", with a total cost estimated at $277,407.00. Progress
payments for work completed will be paid as the work progresses, within
thirty (30) days of the date of Consultant's invoice.
Section 4: Statement of Costs. Pursuant to the provisions of
California Government Code Section 7550, the total amount expended by
City relating to the preparation of the report and documents prescribed
herein shall be set forth within the final edition thereof, in a
separate section, in a statement substantially as follows: "Pursuant to
California Government Code Section 7550, the City of Tustin expended the
total amount of $ for the preparation of this report and/or
documents."
Section 5: Job Site Conditions. The City agrees that in
accordance with generally accepted construction practices, the
construction contractor will be required to assume sole and complete
responsibility for job site conditions during the course of construction
of this project, including safety of all persons and property and that
this requirement shall be made to apply continuously and not be limited
to normal working hours.

Section 6: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant*' agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and -inure to the benefit of heirs, executors,
administrators, successors and, assigns of the respective parties
thereto. X
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant or any of its agents, servants and employees, be considered
as an employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this Agreement. Consultant agrees to indemnify, defend and
hold City, its agents, employees, successors and assigns harmless from
any loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.

(6) Consultant shall carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety Laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant'certifies that there shall be no discrimination
against any employee who is employed. in the work covered by this
agreement, or against any application for such employment, because of
race, religion, color, sex, or national origin including, but not
limited to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.

II. COND.IT-IONS
A. Forty-eight (48) hour notice for field surveying serv-
ices is requested; however, due to our firm having
several office personnel with extensive field survey
experience, we will provide immediate services in
situations where the City Inspector feels it is neces-
sary.
B. The cost estimate attached hereto and made a part
hereof is to be used only as a general reference. The
final charges for any one item may be higher or lower
than the amount shown on said cost estimate, however,
excluding any authorized "extras", the total cost of
all items shall not exceed the not -to -exceed figure on
Item III.
C. This proposal does not include any items of work not
specially included in the above described "Scope of
Work".
III. Johnson -Frank & Associates, Inc. proposes to provide the
services as described in the "Scope of Work" for a fee
not -to -exceed:
TOTAL $ 277,407 00
IV. PAYMENTS
A. The City of Tustin will be billed monthly for services
provided during each month per the attached "Schedule
of Hourly.Rates" until such time as:
1. The work is complete OR
2. Ninety percent (90%) of the not -to -exceed fees has
been reached.
B. In the event A.2 is implemented, the remaining charges
will be billed upon completion of the project as
defined in the "Scope of Work".
C. Any "extra work" items shall be invoiced on a "Time and
Materials" basis in accordance with the attached rate
schedule and no such work shall be performed without
authorization by authorized City personnel.

Consultant shall not be accountable for delays in the progress of its
work caused by any condition beyond its control and without the fault or
negligence of Consultant. Any delays shall not entitle Consultant to
any additional compensation, regardless of the party responsible for the
delay.
Section 3: Compensation. The compensation to be paid under this
agreement shall be as set forth.in the Consultant's proposal and marked
Exhibit "A", with a total cost estimated at $10,437.00. Progress
payments for work completed will be paid as the work progresses, within
thirty (30) days of the date of Consultant's invoice.
Section 4: Statement of Costs. Pursuant to the provisions of
California Government Code Section 7550, the total amount expended by
City relating to the preparation of the report and documents prescribed
herein shall be set forth within. the final edition thereof, in a
separate section, in a statement substantially as follows: "Pursuant to
California Government Code Section 7550, the City of Tustin expended the
total amount of $ for the preparation of this report and/or
documents."
Section 5: Job Site Conditions. The City agrees that in
accordance with generally accepted construction practices, the
construction contractor will be required to assume sole and complete
responsibility for job site conditions during the course of construction
of this project, including safety of all persons and property and that
this requirement shall be made to apply continuously and not be limited
to normal working hours.

Section 6: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant -agrees that it shall proceed immediately and
diligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties
thereto.
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant or any of its agents, servants and employees, be considered
as an employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this Agreement. Consultant agrees to indemnify, defend and
hold City, its agents, employees, successors and assigns harmless from
any loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.

(6) Consultant shall carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety Laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant certifies that there shall be no discrimination
against any employee who is employed in the work covered by this
agreement, or against any application for such employment, because of
race, religion, color, sex, or national origin including, but not
limited to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising,'lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.

Subject: Proposal for Overseeing National Pollutants Discharge Elimination Systems (NPDES)
Monitoring Activities for the Jamboree Road Extension, Tustin, California (PN 11390)
Dear Mr. Ledendecker:
R. L. Stollar & Associates (RLSA) is pleased to submit this proposal to ensure contractor dewatering
activities for the subject project are in compliance with the California Regional Water Quality Control
Board, Santa Ana Region (RWQCB) Order No. 90-5, National Pollutants Discharge Elimination Systems
(NPDES) No. CA 8000159. This proposal is based on the following assumptions:
0 60 days of discontinuous dewatering occurring within a 4 month timeframe;
o Six biweekly water sampling events;
o One semi-annual water sampling event; and
o One annual water sampling event.
In addition, this proposal assumes that all coordination of sampling events with the Construction
Contractor (Contractor) is performed by the telephone and in a timely fashion.
In order to ensure that dewatering activities are in accordance with RWQCB Order No. 90-5, RLSA
proposes to monitor 20 percent (%) of field dewatering activities. Twelve site visits are proposed to
monitor the 60 days of dewatering that may occur during field activities. During these site visits,
discharge (low measurements will be collected and procedures used by the Contractor to measure
discharge rates will be recorded.
Six biweekly water sampling events are anticipated during the 60 days of dewatering. RLSA proposes
to oversee the 6 biweekly water sampling events by scheduling the above mentioned 12 site visits on days
that the Contractor will be sampling. In addition, RLSA proposes to collect sample splits for 50% of the
sampling events.

A total of 3 biweekly sample splits will be collected. Water samples will be submitted for chemical
analyses and will be analyzed by a California Department of Health Service certified laboratory. Analyses
to be performed, as identified in RWQCB Order No. '90-5, include total petroleum hydrocarbons (United
States Environmental Protection Agency (EPA) Method 418. 1), halogenated and aromatic volatile organics
(EPA Methods 8010/8020), total suspended solids, and pH. If needed, chlorine residual will be measured.
This parameter will be measured in the field since the holding time for this analysis is less than an hour.
Water samples collected during the semi-annual sampling event will be analyzed for Nitrate as Nitrogen
and dissolved oxygen. Dissolved oxygen measurements will be collected in the field due to the short
holding time for this analysis.
Water samples collected during the annual sampling event will have a toxicity bioassay test performed.
This test is also called the NPDES fish toxicity test. In addition, water samples collected for the annual
sampling event will be analyzed for EPA priority pollutants which consist of volatile organics and
pesticides (EPA Methods 8010/8020 and 8080). Please note that volatile organics being analyzed are
equivalent to the analyses performed during the biweekly sampling event; therefore additional testing will
not be performed for these analyses.
The semi-annual (nitrate and dissolved oxygen) and annual (NPDES fish toxicity test and EPA priority
pollutants) sampling requirements will be coordinated with biweekly sampling events. RLSA proposes
to collect water sample splits for both these events.
Six biweekly and four monthly status reports are proposed. These reports will contain field observations
and measurements, analytical data, and the summary of analytical data. A copy of these reports will be
furnished to the City of Tustin. RWQCB Order 90-5 requires that the city retains these records for a
period of 3 years. Upon the approval of the City of Tustin, RLSA will furnish copies of the monthly
status reports to the RWQCB.
If an NPDES permit violation is identified, RLSA will notify the City of Tustin. Upon the approval of
the City, RLSA will notify the RWQCB of the permit violation. The RWQCB requires that they be
notified within 24 hours of discovery of an NPDES violation. In addition, the RWQCB requires a written
report be submitted within 5 days. This report should describe the permit violation and the cause for
noncompliance.
Based on the proposed scope of work described above, RLSA proposes to accomplish the above work for
$10,347. The costs were determined by estimating the time, materials, and subcontracted services required
to adequately complete the work described. Attachment 1 is a breakdown of these costs by category. In
addition, RLSA will be available to respond to any NPDES permit questions and attend meetings as
requested by the City of Tustin. Charges related to these activities will be charged at the hourly rate
identified in our fee schedule (Attachment II). RLSA has not estimated any costs for time required to
address an NPDES permit violation. Charges related to this activity will be charged at the hourly rite.

The costs presented in Attachment 1 are estimates and may vary due to circumstances beyond the control
of RLSA. The City of Tustin will be notified immediately if circumstances indicate that a change in scope
or level of effort is indicated. In any event, RLSA will expect to be reimbursed for all reasonable costs
associated with our efforts and those of our subcontractors.
