HUSTON, CITY MANAGER FROM: POLICE DEPARTMENT r -ENT CALENDAR NO. 3 6/4/90 I rater -Com SUBJECT: SERVICES AGREEMENT WITH COAST COMMUNITY COLLEGE DISTRICT Recommendation: That the attached Inter -Agency Services Agreement be executed between the Coast Community College District and the City of Tustin Police Department. Background: The Inter -Agency Services Agreement attached is a standard Agreement used by the Coast Community College District (Golden West College) for agencies providing advanced training to Police Officers. Through use of the Golden West College's accreditation with the Peace Officers' Standards of Training (P.O.S.T.), the Department is able to receive reimbursement for certified training we give, utilizing personnel from the Department. Execution of this Agreement will allow a cost reimburse- ment for the 9mm transitional training which was recently conducted. The City Attorney has reviewed the Agreement and has found it to be satisfactory. 49OWL W. DOUGLAS FRANKS Chief of Police WDF:dh STANDARD INTER -AGENCY SERVICES AGREEMENT THIS AGREEMENT is entered into this , 19901 by and between the Coast Community College District, 1370 Adams Avenue, Costa Mesa, California, 92626 ("District") and The City of Tustin Police Department ("Agent"). RECITALS WHEREAS, pursuant to Government Code section 53060 and Education Code section 72233, the Coast Community College District desires to contract Agency as an independent contractor to the District; and WHEREAS, Agency has the personnel, expertise and equipment to provide the special services required herein; and WHEREAS, the public interest, convenience, necessity and general welfare will be served by this contract; TERMS AND CONDITIONS NOW THEREFORE, Agency and District agree as follows: 1. Services - Agency shall diligently furnish to the District the services and materials set forth in Attachment A, hereby incorporated in this Agreement by this reference. 2. This Agreement shall continue indefinitely until terminated upon 30 days prior written notice given by either party. 3. Agency Fee and Expenses - The fees to be paid by District for the services and materials to be supplied hereunder are not to exceed $10,000 per fiscal year through the term of this contract. 4. The Agency shall indemnify, defend and save the District, its officers, agents, and employees harmless from any and all 1 claims and losses accruing or resulting to any and all contractors, subcontractors, materialmen, laborers and any other person, firm, or corporation furnishing or supplying work, services, materials or supplies in connection with the performance of this Agreement, and from any and all claims and losses accruing or resulting to any person, firm or corporation, who may be injured or damaged by the Agency in the performance of this Agreement. Agency is a legally self-insured entity for workers compensation and other liabilities. 5. The District may terminate this Agreement and be relieved of any consideration to Agency should Agency fail to perform the covenants herein at the time and in the manner provided. In the event of such termination the District may proceed with the work in any manner deemed proper by the District. The cost of the District shall be deducted from any sum due the Agency under this Agreement, and the balance, if any, shall be paid the Agency. 6. This Agreement is personal and shall not be assigned by Agency either in whole or in part. Any such purported assignment voids this Agreement. 7. Time is of the essence of each and all the provisions of this Agreement, and the provisions of this Agreement shall extend to and be binding upon and inure to the benefit of the heirs, executors, administrators, successors, and assigns of the respective parties hereto. 8. No alteration or variation of the terms of this Agreement shall be valid unless made in writing and signed by the parties hereto, and no oral understandings or agreements not incorporated 2 herein, and no alterations or variations of the terms of this Agreement unless made in writing between the parties hereto, shall be binding on any of the parties hereto. Name: Title: COAST COMMUNITY COLLEGE DISTRICT: By:_ Name: Title: 3 ATTACHMENT A STANDARD INTER -AGENCY SERVICES AGREEMENT SERVICES TO BE PROVIDED BY AGENCY Contract fees are for Continuing Professional Training to be presented by The City of Tustin Police Department and to be provided for officers of the State of California who have successfully completed the POST Basic Academy or equivalent training. The course is certified by P.O.S.T. as presented in cooperation with our Criminal Justice Training Center. The total cost is not to exceed $10,000 for any fiscal year while this contract is in effect. Austin W. Smith will be the instructor of record. The above expertise will be furnished at the expense of the Agent named herein. The services also include the use of their specialized equipment, facilities, and specific handout materials. The appropriate hours of instructional and training time will be furnished for classroom instruction These courses will be provided until the contract is rescinded between the District and the Agent as prescribed on page one of this Agreement.
