It is recommended that the City Council approve a professional services agreement with GPa Consulting Civil Engineers for design of the Venta Storm Drain Project in the amount of $40,157.00, and authorize execution Of the agreement by the Mayor and City Clerk. BACKGROUND: As part of the approved 1989-90 Capital Improvement Program, $605,700 was budgeted for a project to improve the existing Venta earthen channel which lies between the communities of Tustin Meadows and Peppertree ~qomes and runs from Walnut Avenue on the north to the Santa Ana-Santa Fe .hannel (Fl0) on the south adjacent to the AT&SF railroad tracks. The proposed project calls for the installation of a covered reinforced concrete pipe along the entire length of the earthen channel. Proposals were solicited and received from four consulting firms to perform the project design services. All are qualified and able to completely perform these professional services. EDan;'alneR;r~na; ~ Manager P~OFESSIONAL SERVICES AGREEM~RT THIS AGREEMENT, made and entered into th~s day of , 1989, bY and between CITY OF TUSTIN, a municipal corporation (hereinafter referred to as "City") and GPS CONSULTING CIVIL ENGINEERS, 17821 East Seventeenth Street, Suite 295, Tustin, CA 92680 (hereinafter called "Consultant"). WITNESSETH: WHEREAS, City desires to employ Consultant to furnish the necessary services for providing engineering design, geotechnical, and construction surveying services for improvement of the Venta Flood Control Channel (Facility F10S01) and appurtenant facilities, from Walnut Avenue to the Santa Aha-Santa Fe Flood Control Channel (Facility Fl0), hereinafter referred to as "Project"; and WHEREAS, Consultant is qualified ~o provide the necessary services in connection with said Project and has agreed to provide the necessary · services; and WHEREAS, Consultant has submitted to City a proposal dated September 22, 1989, a copy of which is attached hereto and is by this reference incorporated herein as though set forth in full herein ("the Proposal"). NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to 'provide the professional services for the Project, and City and Consultant for the consideration hereinafter set forth, agree as follows: Section 1: Scope of Consultant's Services. Consultant agrees to furnish to City consulting services for the project. These services shall nclude all of the services solicited in City's Request for Proposal dated September 7, 1989, and as specifically included within Consultant's proposal and marked Exhibit "A". --1-- Section 2: Time for Completion. It l= hereby understood and ~.utually agreed that the time for completion of the work to be performed by Consultant is an essential condition of this agreement. Consultant agrees that it shall prosecute regularly and diligently the work of this agreement accordingly to reasonable schedules-established by City for the various items described and as outlined within Consultant's proposal and marked Exhibit "B". Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Any delays shall not entitle Consultant to any additional compensation, regardless of the party responsible for the delay. Section 3: Compensation. The compensation to be paid under this agreement shall be as set forth in the Consultant's proposal and marked Exhibits "C" and "D" with a total cost estimated at $40,157.00. Progress payments for work completed will be paid as the work progresses, within thirty (30) days of the date of consultant's invoice. Section 4: Job Site Conditions. The City agrees'that in accordance with generally accepted construction practices, the construction contractor will be required to assume sole and complete responsibility for job site conditions during the course of construction of this project, including safety of all persons and property and that this requirement shall be'made to apply continuously and not be limited to normal working hours. Section 5: Miscellaneous Provisions. A. City and Consultant further agree to the following conditions: (1) City, by notifying Consultant in writing, shall have the ight to terminate any or all of the services covered by this agreement at any time. In the event of such termination, Consultant shall be paid for services rendered to the effective date of the termination. -2- (2) .Consui~dnt agrees that it shall proceed immediately and 'iligently to perform the services provided for in this Agreement upon receipt of notice from City to proceed therewith. (3) The terms and provisions of this agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties thereto. (4) Consultant shall perform the services hereunder as an independent contractor and under no circumstances or conditions shall Consultant and any of its agents, servants and employees, be considered as an employee or agent of the City. (5) Consultant shall perform all services required under this agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be resPonsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. Consultant agrees to indemnify, defend and hold City, its agents, employees, successors and assigns harmless from any · . loss, damage, injury,- sickness, death, or other claim made by other persons and from all costs, expenses and charges, including attorney's fees, arising from Consultant's negligent performance of this agreement. Consultant shall maintain in full force and effect during the term of this agreement, its existing policies of insurance for which certificates of insurance have heretofore been delivered to City. · (6) Consultant shall carry and pay for such compensation insurance as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety laws, to relieve City from all responsibility under said laws in connect'ion with ~he perfQrmance of this agreement, and upon execution of this agreement, to file with City a certificate certifying to said protection. -3- (7) Consultant certifies that there sha±l be no discriminat'ion ~ainst any employee who is employed in the work covered by this agreement, or against any application for such employment, because of race, religion, color, sex, or national origin including, but not limited to, the following: a. Employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rates of-pay or other forms of compensation, and selection for training, including apprenticeship. (8) Consultant shall provide City monthly with a detailed itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. Sincerely, ~ President NT :cay Enclosure PROPOSAL TO CITY OF TUSTIN FOR PROFESSIONAL ENGINEERING SERVICES TO DEVELOP PLANS, SPECIFICATIONS, AND COST ESTIMATES FOR THE' VENTA STORM DRAIN PROJECT, WALNUT AVENUE TO'F10 CHANNEL SEPTEMBER 19 89 QUALIFICATIONS GPS, proposes-several unique qualifications relative to providing Professional Engineering Services for the Venta Storm Drain improvement Project. We believe these unique qualifications are of the utmost significance for the successful and timely completion of this project. 1. GPS, specializes in working with local agencies and has developed a broad base of experience in the design of municipal facilities. 2.' The professionals and designers at GPS have held various City Staff positions and have considerable experience in the design of municipal storm drain improvements. 3. The Project Manager (Noel Torkelson), Project Engineer (Norman . K. Spielman) and Project Designer (Fred Poolman) associated with the project have an extensive background on storm drain improvement projects. PROJECT MANAGEMENT We believe that communications between the City and the Consultant must be of the .highest order throughout all phases of planning and design. For this reason, our approach is to assign a "Project Manager" as the principal contact with the City. The "Project Manager" will be deeply involved in the. programming of the project and other senior members of GPS will be involved throughout the design .process. The point is that the City deals with the same professional from beginning to end of the project. GPS, proposes that Mr. Noel Torkelson, President, will serve as Project Manager. Mr. Torkelson has been involved in Municipal Public Works Planning, Design and Construction since 1959. During this time he was employed by the Los Angeles County Flood Control District, City of Covina, Lampman and Associates and his own firm. He has considerable experience in projects involving design and construction of storm drain improvements. Noel's most recent storm drain experience is for the City of Rancho Cucamonga. Cucamonga Storm Drain, Phases 1 and 2. These two projects were completed on time. Norman K. Spielman will be the Project Engineer. Public Works Projects encompassing bridges, streets, EIR, transportation studies, parks, assessment districts, storm drains, water lines, and sanitary sewers are nothing new to Norm. Norm is well versed in design, construction and maintenance of such projects. He has planned and coordinated the design concepts for three freeways. Many major Southern California cities, such as Costa Mesa, Seal Beach, S.anta Ana and Irvine, have seen Norm's capabilities when it comes to planning and coordination of residential, industrial and commercial developments. Norm Spielman has also gained extensive experience on the job. He began his career with the Kansas State Highway Commission as a Bridge Engineer, Resident Engineer, and Plans Engineer. Finding a new challenge with the City of Santa Ana, Norm applied his expertise as a Design Engineer, Resident Engineer and Subdivision Engineer. In 1968, Norm began his advancement from Assistant City Engineer to City Engineer and finally as Director of Engineering Services for the City of Costa Mesa. Spielman is active in many professional associations such as the American Society of Civil Engineers and is past President of the Orange County Branch. Other associations include the American Public Works Association, American Water Works Association and the Institute of Traffic Engineers. He is also a Registered Professional Engineer in California, Kansas, and Nevada. Norm Spielman was formally educated at the University of Southern California in Public Administration and obtained his Master of Science in Civil Engineering (Municipal & Transportation) at California State University at Long Beach. His Bachelor of Science degree, in Civil Engineering .was granted by the University of Kansas. Mr. Fred Poolman will serve as Chief Project Designer. Mr. Poolman has'over twenty five Years' experience in the design of Municipal Public Works Facilities. Mr. Poolman was employed by the Cities of Downey and Santa Fe Springs and also was employed by Lampman and Associates prior to joining GPS. GPS PUBLIC WORKS EXPERIENCE Our firm has been in the Consulting Civil Engineering business since 1973. We have served governmental' agencies exclusively throughout those years from as far north as Reno, Nevada, to National City, Californi&. on the south. Approximately fifty cities have received our professional services on Public Works Projects. The types of Public Works projects, that we've worked on covers the majority of the Public Works field such as street, storm drain, sanitary sewer, lift stations, traffic signals, parks, bridges and various types of studies. The following storm drain projects that our firm has recently completed are as follows: 1. Edinger Storm Drain - City of Tustin 2. Cucamonga Storm Drain, Phases I & 2 - City . of Rancho Cucamonga 3. Alta Loma Storm Drain - City of Rancho Cucamonga 4. Turner Avenue Storm Drain - City of Rancho Cucamonga 5. Area VII Storm Drain - City of Rancho Cucamonga SUBCONTRACT WORK GPS proposes to utilize two subconsultants: 1. Don Barrie & Associates - Design Survey 13832 Solitaire Way Irvine, CA 92714 - Tel. No. (714) 837-0835 Principal - Don Barrie Public Works Experience - Under subcontract for Wilson - Sheehan & Associates - Provided design survey for various public works projects throughout S~uthern California. 2. CHJ, Inc. - Soils Engineers 1355 E. CoOley Drive Colton, CA 92324 - Tel.. No. (714) 824-7210 Principal - Robert J. Johnson Public Works Experience '- Considerable amount of Soils Engineering for public works projects. PROJECT DESIGN SCHEME · The project begins with preliminary design meetings with the City and the County of Orange along with the research of existing information and data. This is followed by design survey. Once all data has been obtained then plotting of topography can commence, followed by establishing alignment for the storm drain system. ,. : While the topography plotting is taking pla6e, an Engineer will be generating the hydrology. Once the Q's are available preliminary sizing of the storm drain can be established. Using all of the data above, the preliminary construction plans can be completed. Once the preliminary plans are available final hydraulics, specifications and cost estimates can be prepared. The preliminary plans, specifications and cost estimate will be submitted to the County of Orange and the City for review. After review by the County and the City, GPS will make revisions and submit the final package. The plans will be developed manually, the alignment, hydrology and hydraulics will be generated via computer. We don't foresee any particular problems in the design nor construction of this project. INSURANCE. GPS' current levels of insurance are $1,000,000 General Liability, $250,000 Professional Liability (E & O) and Workers' Compensation. EXHIBIT A VENTA STORM DRAIN PROJECT GPS SCOPE OF SERVICES GPS will provide Professional Engineering, Geotechnical and Survey Services for the preparation of Construction Plans, Specifications and Engineer's Estimate for subject project. GPS will provide Construction Geotechnical and Survey Services as contained herein. I. Orientation and Research A. Meet with the City's Engineering Division and the County of Orange prior to beginning work to discuss the background, scope, objectives, and other pertinent details of the project. Meet with Engineering three additional times during the course of the project (it is anticipated that these meetings will be for discussion of preliminary, final and revised final plans). The number of meetings may be decreased at the City's option or increased at the Consultant's option with adjustment to the fee. Ail meetings will 'be at City offices. B. Collect any additional information pertaining to t_he project. C. Review scope and limits of proposed construction With City Staff and recommend ~hanges if appropriate. 2. Field Design Survey Provide the following field survey: A. Centerline'contrO1 and stationing. B. Topography within proposed right of way and areas of work. C. .Cross sections at 25 foot intervals. Shoot all visab!e breaks in grade on each cross section. 1. Cross Sections for Venta Storm Drain shall extend from R/W to R/W approximately 90' wide. Cross sections for Walnut Avenue and Sycamore Avenue shall be 150' east and west of the centerline of Venta Storm Drain. Cross Sections for Fl0 Channel shall be 200' east and west of the center of Venta Storm Drain. D. -Detailed topography and elevations at Walnut Avenue, Sycamore Avenue and at the outlet of the Fl0 Channel. E. Original field notes will be delivered to the City 15 days after completion of design survey. 3. Utility Research A. Research existing utilities within project area. B. Plot utilities in plan view on the construction drawings. C. Recommend utilities to be potholed. Provide survey to record depth and location. D. Upon approval of first plan check, provide two copies of construction drawings for each utility company along with a Preliminary Notice of Construction as prepared by the City. E. Log of utility workings recording responses to the Preliminary Notices. F. Meet with utility companies to coordinate for relocation and/or grade adjustments required by the proposed construction. 4. Constructions Plans' Plans shall be prepared in accordance with the City's format. City and Orange County standards and criteria will be used in the design process. The format and content of the plans and profiles shall be that which is outlined in the City's Request For Proposals. Any structural calculations that may be necessary for this project will be furnished. 5. Hydrology and Hydraulics A hydrology map and a hydrology study and report will be prepared using the current edition of the' Orange County Hydrology Manual.. Hydraulics will be prepared utilizing the "State of the Art" computer software in accordance with current hydraulic standards of the Orange County Flood Control District. The hydraulic analysis will include the adequacy of the existing Sycamore Avenue Crossing. The Orange County Flood Control District shall furnish the water surface hydraulic control elevation for this project. 6. Soils Report The Soils Engineering will consist of drilling four borings, equally spaced to an approximate depth of fifteen feet. The Soils Report will include data and recommendations for the following: A. Determination of shrinkage factors, infiltration/permea- bility of existing soils, maximum allowable bearing pressure for foundations, minimum embedment of footings below finished'grade, allowable soil pressure for walls, expansive characteristics, inplace density and relative compaction; surface and underground drainage, and e rodib i 1 i ty. · B. Recommendations for drainage structure foundations; compaction of soils and placement/alteration of necessary earth embankments/f il ls. Three copies of the Geotechnical Report along with a site plan showing boring locations will be submitted to' the City at the time of Preliminary P,S and E submittal. The following geotechnical services will be provided during construction: A. Observation by a qualified soils engineer or technician of subgrade preparation and placemen~t alteration as necessary with embankment/fills. B. Compaction testing of backfill materials for culvert, storm drains, structures, utility trenches and fill material. GPS will provide full coordination with geotechnical consul tant. 7. Coordination GPS will coordinate our design activities with the City and the Orange County Flood Control District. GPS will coordinate with the Orange County Flood Control District to obtain a permit for the City to construct an entry into the Fl0 Channel. GPS will coordinate with the Department of Fish and Game and the U.S. Corps of Engineers to determine if they have any interest in this storm drain system. If either of these two agencies has an interest, GPS will furnish the required project information. - 8. Specifications and Estimates These items will be prepared in accordance with the Cit. y's format. Specification preparation will be the Special Provisions and. Bid Proposal 'only. Specials will be based on the "Green Book". 9. Right of Way Provide right-of-entry documents, including legal descriptions and'exhibits for the private property access area which lies fmmediately east of the existing earthen channel throughout the project reach. 10. City Submittals Preliminary and Final Plans and supporting data submittals shall be provided. 11. Additional Submittals A. Preliminary and Final Plans, and other items as required to Orange County Flood Control District. B. Submit Preliminary Plans via certified mail to utility companies for verification of their facilities and comment. Provide co~ies of transmittal letters to the City. C. Submit the originals of the following items for the · City's records: 1. Work copy cross sections 2. Hydrology, hydrology map and hydraulic calculations 3. Cost estimate backup material 4. All pertinent design correspondence, including responses from utilities and affected agencies. 11. Meetings It is anticipated that GPS will attend the following meetings: A. Two 'meetings with the Orange County Flood Control District B. Three meetings with the City 1. Pre-design 2. After preliminary design review 3. Pre-construction 12. Consultation During Construction Provide any appropriate technical services which may be required, including consultation, plan interpretation and plan revisions, until such time as construction is completed. Such services will be provided in a timely manner so as to avoid or minimize construction delays. No additional compensation will be paid by the City unless the services are required as the result of changed conditions or situations which reasonably could not have been anticipated. 13. Field Construction Survey Provide field construction surveying as follows: A. Provide One set of stakes for rough grading purposes. B. Provide one set of "blue top" stakes for fine grade purposes. C. Provide one set of stakes for construction of storm drain. (1) Stake flowlines, headwalls and wing walls (2) Stake manholes, catch basins, and juhction structures -- two stakes each. D. Provide one set of stakes for the' placement of miscellaneous facilities and other appurt'enant item locations and/or relocations. 14. City Responsibilities This proposal is based on the Cit~assuming the following responsibilities: A. Provide all available existing data, information, reports, records and maps available in city files such as design plans for adjacent and existing improvements, soil reports, and surveys which may exist. B. Provide all required copies of plans and specifications for the project bid documents. C. Provide a Project Manager/Contract Administrator and Construction Inspector. 15. GPS services and/or costs not included in this proposal: A. Shoring design B. Permit fees and/or Plan Check Fees C. Printing of Final Plans and Specifications, for bidding purposes.
