It is recommended that the City Council certify that all legal and physical possession and rights to enter have been obtained for AHFP Project No. 1258 (Jamboree Road from Barranca Parkway to Edinger Avenue) and authorize the Mayor and City Clerk to execute the right-of-way certification document on behalf of the City. · BACKGROUND: As part of the future project administration agreement with the County of Orange for AHFP'construction funding of the Jamboree Road Extension ~roject, the City Council is required to certify that all legal and 3hysical possession and rights to enter have been obtained and no additional right-of-way is necessary. Certification of the right-of-way in conjunction with the AHFP program will enable the City of Tustin to receive upwards of $400,000 from the program for eligible construction work on'this project. All legal and physical possession and rights to enter have been obtained and no additional right-of-way is necessary. All rights of entry shall be valid until conveyance of right-of-way. 0 No building improvemem exists within the right-of-way area. The following utilities exist within the right-of-way area but will not interfere with construction: Company Type Facility_ Irvine Ranch Water District Southern California Gas Co. This permission is granted in consideration of the location, improve- ment, and construction of such highway and incidents thereto, which it is understood is .required by the City of Irvine, with the understanding that you will hereafter without unnecessary delay, negotiate with the under- signed, and any other person, if any, having any right, title, or interest in said property, to agree upon terms of compensation and that, if any agreement cannot be reached you will promptly commence eminent domain proceedings, including a deposit of funds to support an Order for Pos- session to have such a compensation determined. Section 1245.235 of the Code. of Civil Procedure requires the City of Irvine to give each person whose property is'to be acquired by eminent domain notic~ and a reasonable opportunity to appear before the City Council and be heard on the matters referred to in Section 1240.030 of the Code of Civil Procedure, which provides: "The power of eminent domain may be exercised to acquire property for a proposed project only if all of the following are established: (a) The public interest and necessity require the project. (b) The project is planned or located in the manner that will be most compatible with the greatest public good and 'the least private injury.. (c) The property sought to be acquired is necessary for the project. (d) The offer required by Section 7267.2 of the Government Code has been made to the owner or owners of record" (If an offer has not been made, an appraisal will be prepared as soon as practicable and an offer made of the full amount of such. appraisal. ) By granting this right of entry to the City of Irvine, we hereby waive our right to appear and be heard on the matters referred to in Sec- tion 1240.030 of the Code of Civil Procedure, as quoted above. We agree that the City can establish the truth of the above-quoted matters, and we will not contest the adoption of a resolution of necessity by the City Coun-. cil. Therefore, because Section 1245.250 of the Code of Civil Procedure states that the adoption of a resolution of necessity by the City Council conclusively establishes the matters quoted above, it is understood that the issues which will determined in any subsequent eminent domain pro- ceeding will be limited to those of just compensation as they relate to the property covered by this agreement and no issues will be raised therein or in preliminary proceedings thereto challenging the public use or necessity of the projecti or the utilization therefore of the property covered by this right of entry. It is understood that the City of Irvine will .pay interest on the just compensation paid from the date of possession. Interest will be computed to and including the date of deposit of compensation. RIGHT OF ENTRY AND MEMORANDUM OF UNDERSTANDING JAMBOREE ROAD - BARRANCA PARKWAY TO EDINGER AVENUE This Right of Entry and Memorandum of Understanding ["Agree- ment") is made and entered as of this 21st _ day of A__ucjust , 1989, by and between the City of Tus~in ("Tustin") and The irvine Company, a Michigan corporation ("Company"). WHEREAS, City of Irvine ("lrvine"), Tustin and Company have previously entered into an agreement to construct a new roadway [Jamboree between Barranca Parkway and Edinger Avenue); WHEREAS, Company will convey certain land described more specif- ically on Exhibits "A" and "B" (The "Jamboree Right-of-Way") required for the project as part of Company's funding contribution; WHEREAS, Tustin and Irvine have applied to the Federal Highways Administration (FHA) for qualification of the Jamboree Right-of-Way for (ederal aid funding; WHEREAS, Tustin, Irvine, and Company desire to expedite con- struction, and to proceed in advance of final Right-of-Way conveyance; , and " WHEREAS, Tustin is lead agency for construction of the Project. NOW, THEREFORE, in consideration of the above recitals and of the other matters provided herein, Tustin and Company agree as follows: 1. Entry Permit.. Company hereby grants permission to Tustln, its .representatives, agents and assigns, to enter upon the Jamboree Road Right-of-Way subject to the following terms and conditions: , ! A. The purpose of this 'permit will be for cons~.-ction or improve- .~ent of public highway improvements and accomplishing all necessary work incident thereto. B. This entry permit is limited to the Jamboree Road Right-of°WaY ! described on Exhibits "A" and "B". C. This entry permit shall be effective from the date of execution cE this Agreement until the conveyance of the portions of the rights-of-way for Jamboree Road from "Company" to Tustin and trvine, within their respective jurisdiction, or the termination of this Agreement pursuant to the terms of Paragraph 2 below, whichever first occurs. D. Company shall not be liable to Tustin for any damage of any kind whatsoever to the property belonging to or used by Tustin or any persons entering upon the Jamboree Road right-of-way under this permit, · including loss of use of any such property, or for injury cE any kind whatsoever to any person entering upon the Jamboree Road right-of-way under this permit, arising from any cause whatsoever, and Tustin hereby waives all claims and demands rllating thereto. Tustin agrees to indemnify, defend, 'and hold Company and its employees, officers, shareholders, agents and representatives, ~and its and their respective successors and assigns (collectively, the "Indemnities") harmless from and against any and all claims, losses, liabilities, costs and expenses, including attorney's fees (collectively, the "Claims") ~Cor damage to real, person:el,, tangible or intangible property, including loss of use of any such property, and all claims for bodily injury, sickness' disease or death ef any person, arising from or in any way caused by any entry upon the Jamboree Road right-of-way or ether activity under this permit by Tustin or Its employees, officers, agents, end representatives. E. No person-shall sell or otherwise provide ,ny tickets, food, beverages, or other items to anyone who is not directly affiliated with, or a personal guest of~ Tustin or its contractor. Furthermore,' no person shall sell, ~erve, distribute, or give any alcoholic beverages to anyone un- less specifically agreed to in writing by the Company. F. The parties acknowledge that Tustin is partially self-insured and that Company shall require no further documentation or proof of insurance in connection with this permit. :2. Termlnatio_An. In the event that Tustin does not advertise the Jamboree Road Project (the "Project") by December 31, 1989, and award a contract to construct the Project within six (6) months from the dat~ this Agreement is executed , then this Agreement shall be of no further effect and all rights granted either party hereunder shall be terminated. 3. Advertisement o( Project. Tustin agrees to use its best efforts to advertise project for construction no-lair than November 15, 1989. However, this Agreement creates no obligation on the City of Tustin to · advertise the Project for bids in the absence cE all necessary approvals a~d permits. 4. Condition of Pr~opertY_ · Company has no duty to inspect the _ . Jamboree Road right-of-way and no duty to warn any person of any latent or patent defect, condition er risk that might be Incurred in the exercise of the rights granted herein. Tustin has inspected or will inspect the JambOree Road right-of-way and will accept such Property in "as is" con- dition. 5. Other Agr_eements.
