RECOMMENDATION
For consideration by the City Council at their meeting of December 4, 1989. It
is recommended that the City Council approve a professional services agreement
with DGA Consultants, Inc. for the design of the Water Main Replacement
Projects on Chaplet Place, Wreath Place, Garland Avenue, and Prospect Avenue in
the amount of $8,820.00, and authorize execution of the agreement by the Mayor
and City Clerk.
BACKGROUND
As part of the approved 1989-90 Tustin Water Service Capital Improvement
Program, $240,000.00 was budgeted for project numbers 20 and 22 to replace
aging existing water mains in Chaplet Place, Garland Avenue (easterly of
Redhill Avenue), Wreath Place and Prospect Avenue (Main Street to approximately
150 feet north of First Street).
Proposals were solicited and received from four consulting firms to perform the
project design services. Ail are qualified and able to competently perform
these professional services. The firms and their professional fees are as
follows.

AGREEMENT, made and entered into this day of
· 1989, by and between CITY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City") and DGA CONSULTANTS, INC.,
1182 North Tustin Avenue, Orange, CA 92667 (hereinafter called
"Consultant,,).
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
services for providing engineering design and surveying services for
construction of proposed water main replacements and appurtenant
facilities on Chaplet Place from Garland Avenue to the north end; on
Wreath Place from Garland Avenue to the north end; on Garland Avenue from
Red ~ill Avenue to Chaplet Place; and on Prospect Avenue from Main Street
to approximately one hundred-fifty (150) feet north of FirSt Street
· ~einafter referred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary services in
connection with said Project and has agreed to provide the necessary
services; and
WHEREAS, Consultant has submitted to City a proposal dated October
13, 1989, a copy.of which is attached hereto and is by this reference
incorporated herein as though set forth in full herein ("the Proposal").
NOW, THEREF.ORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and City
and Consultant for the consideration hereinafter set forth, agree as
follows:
Section 1: Scope of Consultant's Services. Consultant agrees to
flurnish to City consulting services for the project. These services shall
include all of the services solicited in City's Request for Proposal dated~
September 26,. 1989, and as specifically included within Consultant's
proposal and marked El '~it "A".

Section 2.' Tl~L,e ~or ComDletion. It ~s hereby understood and
.atually agreed that the time for completion of the work to be performed
by Consultant is an essential condition of this agreement. Consultant
agrees that it shall prosecute regularly and diligently the work of this
agreement accordingly to reasonable schedules established by City for the
various items described and as outlined within Consultant's proposal and
marked Exhibit "B". Consultant shall not be accountable for delays in the
progress of its work caused by any condition beyond its control and
without the fault or negligence of Consultant. Any delays shall not
entitle Consultant to any additional compensation, regardless of the party
responsible for the delay.
Section 3..: Compensation. The compensation to be paid under this
agreement shall be as set forth in the Consultant's proposal and marked
~hibits "C" and "D" with a total cost estimated at $8,820.00. Progress
payments for work completed will be paid as the work progresses, within
thirty (30) days of the date of consultant's invoice.
Section. 4: Job Site Conditions. The City agrees that in accordance
with generally accepted construction practices, the construction
contractor will be required to assume sole and complete responsibility for
job site conditions during the course of construction of this project,
including safety of all persons and property and that this requirement
shall be made to apply continuously and not be limited to normal working
hours.
Section 5: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
ght to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant agrees that it shal±.proceed immediately and
~iligently to perform the services provided for in this Agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this agreement shall extend to
and be binding upon and inure to the benefit of heirs, executors,
administrators, successors and assigns of the respective parties thereto.
(4) Consultant shall perform the services hereunder as an

independent contractor and under no circumstances or conditions shall
Consultant and any of its agents, servants and employees, be considered
as an employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this Agreement. Consultant agrees to indemnify, defend and hold
City, its agents, employees, successors and assigns harmless from any
loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement, its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.
(6) Consultant shall carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety laws, to
relieve City from all responsibility under said laws in connection with
" ~ performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.

(7) Consu. nt certifies that there ~ ~1 be no discrimination
'ainst any employee who is employed in the work covered by this
agreement, or against any application for such employment, because of
race, religion, color, sex, or national origin including, but not limited
to, the following:
a. Employment, upgrading, demotion or transfer,
recruitment, or recruitment advertising, lay-off
or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail to fully apprise City thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties

DGA Consultants, Inc., is pleased to present this proposal in response to.
your RFP dated September 26, 1989, for the above referenced projects.
DGA Consultants, Inc., (formerly Don Greek and Associates) has been an
established engineering consulting firm for twenty-four years. Since our
founding, our main emphasis has been in civil engineering. We maintain
a s.~aff of professionals which includes civil engineers registered in the State
of California, drafters, surveyors, construction observers, computer
specialists, and technical support personnel available to assist you with
these projects.
W6 have completed over 2500 projects since 1965 which includes over 600
waiter-related projects. Such projects include 50,000 feet of waterlines for
tho City of Pico Rivera, a new 37-inch waterline for Elsin0re Valley
Municipal Water District, and three miles of 66-inch and 42-inch
transmission mains for the Santa Margarita Water District. For these
projects, we were responsible' for the preliminary and final design; hydraulic:
network analySis of water system; master plan o£ .supplies, transmission,
storage, booster pump facilities, wells and fire flows; design and
construction surveying; contract administration and construction observation.
For these projects, we have assigned Mr.' Gerald J.. Lindquist, Executive'
Vice President of .DGA, as the Principal-In-Charge. Mr. Lindquist will be'
responsible for quality control and project scheduling.. He will be available.
to meet with your staff during the project should the need arise.-

Mr. Surender Dewan, P.E.,. has been assigned an Project Manager. Mr.
Dewan has over fifteen years of experience irt the design of Public Works
projects. Mr. Dewan will be responsible for the day-to-day project activities
and will be the primary contact for these projects.
DGA carries a million dollars each of general liability and professional
liability insurance. We have, in the past, named our clients as an
additional insured to meet the specific risk management policies of the
individual agencies.
We appreciate the opportunity to present this proposal and hope that our
past experience, record of performance and sincere interest in working with
the City will result in favorable consideration.

EXHIBIT A
SCOPE OF WORK
DGA will perform the following Scope of Work for the City of Tustin:
1. Perform detailed topographic survey at 1"=40' for use in preparation of all project
plans.

Prepare complete water main improvement plans (ink on mylar, 1"= 40' scale,
without profile, with title sheet) at the proposed location including all appurtenant
facilities.
Provide full coordination with all utility companies and affected agencies/parties
via certified mail, including any required permit processing. All existing utility
systems will be shown on improvement plans.
Provide full coordination with the Orange County Environmental Management
Agency (EMA) including all facets of the permit processing system, as well as
securing such permits as may be necessary from EMA for work within the
unincorporated County territory.
Prepare technical specifications for construction and the proposal bid sheet in
accordance with the standard City format.
Prepare a detailed construction cost estimate for the various bid items.
Provide field construction surveying as follows:

Stake main lines and laterals
Stake fire hydrants, valves, blow-off assemblies, and air release valves.

Provide one set on stakes for the placement of miscellaneous facilities and
other appurtenant item locations and/or relocations.
Provide assistance to the City during construction to clarify the intent of the plans
and specifications, and provide design assistance if changes to the project are
required during this phase.
The City of Tustin will be responsible for the following:
Provide all available existing data, information, reports, records and maps available
in City files such as design plans for adjacent and existing improvements, soil
reports, and surveys which may exist.

City staff will assemble the technical specifications and proposal bid sheet into the
bidding package, and will provide all required copies of plans and specifications
for the project bid documents.
Provide a Project Manager/Contract Administrator and Construction Inspector.

Mileage will be billed at $0.25 per mile.
All of the above rates are subject to revision August 1, 1990, under terms and conditiom '
of the operating engineers contract.
