It is recommended that the City Council approve a professional services agreement with Norris-Repke, Inc. for the design of the Water Main Replacement Projects on Malta Street, Vale Avenue, Hewes Avenue, and "C" Street in the amount of $7,900.00, and authorize execution of the agreement by the Mayor and City Clerk. BACKGROUND As part of the'approved 1989-90 Tustin'Water Service Capital Improvement Program, $171,000.00 was budgeted for project numbers 90~18 and 90-23 to replace aging existing water mains in Malta Street, Vale Avenue, Hewes Avenue (approximately 100 feet north of Vale Avenue to Foothill Boulevard) and "C" Street (Mitchell Avenue to approximately 300 feet north). Proposals were solicited and received from four consulting firms to perform the project design services. Ail are qualified and able to competently perform these professional services. The firms and their professional fees are as follows- Norris-Repke, Inc. California Civil, Inc. Fuscoe, Williams, Lindgren and Short BSI Consultants, Inc. $7,900.00 $8,426.00 $9,700:00 $12,790.00 Bob Ledendecker Director Public Works/City Engineer Attachment THIS PROFESSIONAL SERVICES AGREEMENT AGREEn_,~'T, made and entereu into this , 1989, by and between CITY OF TUSTIN, a day of municipal corporation (hereinafter referred to as "City") and NORRIS-REPKE, INC., 2882 Walnut Avenue, Suite A, Tustin, CA 92680 (hereinafter called "Consultant"). WITNESSETH: WHEREAS, City desires to employ Consultant to furnish the necessary services for providing engineering design and surveying services for construction of proposed water main replacements and appurtenant facilities on Malta Street from Vale Avenue to Spaulding Avenue; on Vale Avenue from Hewes Avenue to Malta Street; on Hewes Avenue from approximately one hundred (100) feet north of Vale Avenue to Foothill Boulevard; and on "C" Street from Mitchell Avenue to approximately 300 feet north, hereinafter referred to as "Project"; and WHEREAS, Consultant is qualified to provide the necessary services in connection with said Project and has agreed to provide the necessary services; and WHEREAS, Consultant has submitted to City a proposal dated October 13, 1989, a copy of which is attached hereto and is by this reference incorporated herein as though set forth in full herein ("the Proposal"). NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to provide the professional services for the Project, and City and Consultant for the consideration hereinafter set forth, agree as follows: Section 1: Scope of Consultant's Services. Consultant agrees to furnish to City consulting services for the project. These services shall include all of the services solicited in City's Request for Proposal dated September 26, 1989, and as specifically included within Consultant's proposal and marke~d Exhibit "A". Section 2: ime for Completion. is hereby understood and mutually agreed that the time for completion of the work to be performed by Consultant is an essential condition of this agreement. Consultant agrees that it shall prosecute regularly and diligently the work of this agreement accordingly to reasonable schedules established by City for the various items described and as outlined within Consultant's proposal and marked Exhibit "B". Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Any delays shall not entitle Consultant to any additional compensation, regardless of the party responsible for the delay. Section 3: Compensation. The compensation to be paid under this agreement shall be as set forth in the Consultant's proposal and marked Exhibits "C" and "D"%with a total cost estimated at $7,900.00. Progress payments for work completed will be paid as the work progresses, within thirty (30) days of the date of consultant's invoice. Section 4: Job Site Conditions. The City agrees that in accordance with generally accepted construction practices, the construction contractor will be required to assume sole and complete responsibility for job site conditions during the course-of construction of this project, including safety of all persons and property and that this requirement shall be made tO apply continuously and not be limited to normal working hours. Section 5: Miscellaneous Provisions. A. City and Consultant further agree to the following conditions: (1) City, by notifying Consultant in writing, shall have the right to terminate any or all of the services covered by this agreement at any time. In the event of such termination, Consultant shall be paid for services rendered to the effective date of the termination. --2-- (2) ¢ ultant agrees that it , ~1 proceed immediately and diligently to perform the services provided for in this Agreement 'upon receipt of notice from City to proceed therewith. (3) The terms and provisions of this agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties thereto. (4) Consultant shall perform the services hereunder as an independent contractor and under no circumstances or conditions shall Consultant and any of its agents, servants and employees, be considered as an employee or agent of the City. (5) Consultant shall perform all services required under this agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. consultant agrees to indemnify, defend and hold City, its agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by other persons and from all costs, expenses and charges, including attorney's fees, arising from Consultant's negligent performance of this agreement. Consultant shall maintain in full force and effect during the term of this agreement, its existing policies of insurance for which certificates of insurance have heretofore been delivered to City. (6) Consultant shall carry and pay for such compensation insurance as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety laws, to relieve City from all responsibility under said laws in connection with the performance of this agreement, and upon execution of this agreement, to file with City a certificate certifying to said protection. --3-- (7) Cc ltant certifies that the[ ;hall be no discrimination against any employee who is employed in the work covered by this agreement, or against any application for such employment, because of race, religion, color, sex, or national origin including, but not limited to, the following: a. Employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. (8) Consultant shall provide City monthly with a detailed itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. I=lel~ke CIVIL ENGINEER Subject: Design of Water Main Replacement Projects: Malta Street, Vale Avenue, Hewes Avenue, C Street, File #2893 Dear Dana: We are pleased to submit this proposal to provide civil engineering and surveying services on the subject project as described in your RFP letter of September 26, 1989. SCOPE OF SERVICES - see Exhibit A PERSONNEL The project engineer and contact person would be Jack P. Norris. Resumes of the key personnel are attached as Exhibit E. CITY RESPONSIBILITIES We understand the City would provide copies of all pertinent existing records including sewer, water and storm drain plans and/or atlas sheets and centerline ties notes. RELATED EXPERIENCE We performed similar services for the City of Tustin in 1987. The project was designated "Water Main Replacement Projects 16, 17, 18, 19, 20 & 24". It included approximately 5300 lineal feet of 6" and 8" water main replacement with an estimated cost of approximately $300,000. Our fee was $11,500. Steve Worral was the City's project engineer, and Jack.Norris was our project engineer. In addition, we performed similar services on the Balboa Point Sewer Replacement project for the City of Newport Beach constructed in 1986. It involved 2600 lineal feet of 4" 8" 10" and 12" PVC pipe. We have designed water systems for many private developments. These projects have included some replacement, abandonment and relocation of existing water lines (as well as other aspects of waterworks design not applicable to the present project). Be Prepare complete water main improvement plans (ink on mylar, 1" = 40' scale, without profile, with title sheet) at the proposed locations including all appurtenant facilities. C · Provide full coordination with all utility companies and affected agencies/parties via certified mail, including any required permit processing. All existing utility systems are to be shown on the improvement plans. De Provide full coordination with the Orange County Environmental Management Agency (EMA) including all facets of the permit processing system, as well as securing such permits as may be necessary from EMA for work within the unincorporated County territory. E· Prepare the technical specifications for construction and · proposal bid sheet in accordance with the standard City format. City staff will assemble into the bidding package. F® Prepare a detailed construction cost estimate for the various bid items. G. Provide field construction surveying as follows: i · Provide one set of stakes for construction of water mains. (a) Stake main lines and laterals (b) Stake fire hydrants, valves, blow-off assemblies and air release valves · Provide one set of stakes for the placement of miscellaneous facilities and other appurtenant item locations and/or relocations.
