BACKGROUND: At their meeting of July 18, the City Council authorized staff to solicit proposals and select a consultant for the preparation of the project design report for this segment of Tustin Ranch Road which would - include a grade separated interchange at Edinger Avenue. The projgct design report would include {he establishment of all roadway design criteria, vertical profiles, horizontal alignment, type of bridge structure to span the flood control channel, the railroad and Edinger · Avenue, and to determine the right-of-way requirements from the Marine Corps Air Station. After completion of the project design report and its approval by the City, preparation of final construction plans and specifications could be commenced. This next phase would take approximately one year to complete. Staff solicited proposals from three firms, all of which are qualified to perform the services required under this agreement. The three firms and their proposed fees are as follows: The Keith Companies ................. $25,029.00 CDC Engineering ..................... $29,918.00 J. P. Wolfed Engineering S~rvices Manager PROFESSIONAL SERVICES AGREEMENT " THIS AGREEMENT, made and entered into this day of .-~ , 1988, by and between' CIT~ OF TUSTIN, a municipal · corporation (hereinafter referred to as "City"); and THE KEITH COMPANIES, 200 Baker Street, Costa Mesa, California 92626 (hereinafter called "Consultant"). WITNESSETH: WHEREAS, City desires to employ Consultant to furnish the necessary engineering services for preparation of a Preliminary design and project report for Improvement of Tustin Ranch Road between Edinger Avenue and Walnut Avenue, referred to as "Project"; and WHEREAS, Consultant is qualified to provide the necessary services in connection with said Project and has agreed to provide the necessary .. services; and WHEREAS, Consultant has submitted to City a proposal dated September 23, 1988, a copy of which is attached hereto marked Exhibit "A" and is by this reference incorporated herein as though set forth in full herein ("the Proposal"). .. NOW, THEREFORE, City agrees to employ and does hereby employ Consultant to provide the professional services for the Project, and City and Consultant for the consideration hereinafter set forth, agree as follows: Section 1: Scope of Consultant's Services. Consultant agrees to furnish to City consulting services for the Project. These services shall include all those Services outlined in Consultant's proposal (Exhibit "A"). o . Section 2: Time for Completi0B. It is hereby understood and mutually agreed that the time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant agrees that it shall prosecute regularly and diligently the work'of this Agreement accordingly to reasonable schedules established by City. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or 'negligence of C6nsultant. Any delays shall not entitle Consultant to any additional compensation under any circumstances, regardless of the party responsible for the delay. Section 3: Compensation. The compensation to be paid under this agreement shall be a lump sum fixed fee of $25,029. Monthly payments for a percentage of work completed will be paid as the work progresses, within thirty (30) days of the ~date of consultant's invoice. Section 4: Statement of Costs. Pursuant to the provisions of California Government Section 7550, the total amount expended by City relating to the preparation of the report and documents prescribed herein shall be set forth within the final edition thereof, in a separate section, in a statement substantially as follows: "Pursuant to California Government Code Section 7550, the City of Tustin expended the total amount of $ for the preparation of this report and/or documents.". Section 5: Miscellaneous Provisions. A. City and Consultant further agree to the following conditions: (1) City, by notifying Consultant in writing, shall have the right to terminate any or all of the services and work covered by this --,.greement at any time.. In the event of such termination, Consultant - shall be pai~' for ~'services 'rendered to the effective date of the termination. 2 (2) Consultant agrees' that it shall proceed immediateiy and diligently to perform the services provided for in this agreement upon receipt of notice from City to proceed therewith. (3) The terms and provisions of this Agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties thereto. (4) Consultant shall perform the services hereunder as an independent contractor and under no circumstances or conditions shall Consultant and any of its agents, servants and employees, be considered as an employee or agent of the City. (5) Consultant shal-1 perform all services required under this Agreement in a careful, diligent, professional manner, and shall be responsible for all errors and omissions for services performed by · Consultant under the terms Of this Agreement. Consultant agrees to indemnify and hold City, its employees, successors and assigns, harmless from any loss, damage, injury, sickness, death, or other claim made by other persons and from all costs, expenses and charges, including attorney's fees, arising from Consultant's negligent performance of this Agreement. Consultant shall maintain in full force and effect during the term of this Agreement, its existing policies of insurance for which certificates of insurance have heretofore been delivered to City. (6) Consultant shall carry and pay for such compensation insurance as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety laws, to relieve City from all responsibility under said laws in connection with the performance of this Agreement, and upon execution of this Agreement, '~o file with City a certificate certifying to said protection. (7) Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application for such employment, because of race, religion, color, sex, or national origin including, but not limited to, the following: a. Employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. (8) Consultant shall provide City monthly with a detailed itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail, to fully apprise City thereof. We are looking forward to being of service to the City and accomplishing the project at hand. Our project team includes the services of Brit Poteet, S.E. with'Wheeler and Gray, Inc. who will investigate the required bridge structure. The Keith Companies has accomplished a study similar to the one being proposed for the OCEMA. We prepared an alignment study for Fairmont Boulevard's crossing of the Santa Aha River and Santa Fe Railroad. The design report for this project included investigation of the bridge and roadway approaches to meet both County and Caltrans criteria. As the RFP indicated, the nature of the services being sought by the City were to prepare a project design report for the improvement of the subject street. After reviewing the RFP and talking with yourself, the significant aspects of this project, as we understand them are: o In3estigation of existing right of way. o Development of a roadway profile and alignment. Define bridging requirements and alternatives for crossing the drainage channel, railroad and Edinger. Define sound attenuation walls or berms for the adjacent residential area. o Define required railroad, utility and governmental per~.~its an.d. licenses for the project. Research And Surveyina le We will meet with the City staff within five working days of receipt of the notice-to-proceed to establish liaison and design criteria. · We will assemble the existing grading, improvement, and utility plans, and right of way maps. · We will obtain field cross sections at 100 foot intervals to confirm existing grading conditions.- We will obtain one typical cross section across Edinger, railroad and drainage channel, centered at the approximate centerline of the Tustin Ranch Road embankment. Roadway le We will prepare a map based upon a 1"=20' scale aerial photograph (without contours) Which will show existing roadway, railroad, and flood control right of way boundaries. It will also show the centerline of the proposed roadway. · We will prepare a centerline profile of Tustin Ranch Road. The centerline profile will include the grade separation reach and approach ramp to Edinger. · We will depict on the 20 scale photo the grading concept in terms of locating tops and toes of slopes obtained from the cross sections, and the proposed curb, gutter and sidewalk outlines. This will include the approach ramp concept and intersection for Tustin Ranch Road and Edinger. We will prepare a maximum of two approach concepts. · We will depict on the 20 scale photo berms and sound attenuation wall alignments proposed to be adjacent to the residential area. Optionally, we will retain a sound attenuation subconsultant to . make'~ recommendations on optimum placement and height of berms and walls. smproposal/TRR.PRP Mr. Bob' Ledendecker September 23, 1988 Page -3- We will prepare a budgetary construction cost estimate for the recommended roadway that will include grading, street and utility relocation improvements. Grade Separat~o~ Bridge le We will review and recommend the type of bridge along with span lengths and other significant design parameters for the grade separation. · We will prepare a general conceptual plan, showing typical elevation, plan view, and cross section of superstructure and pier section. · We will prepare a budgetary construction Cost estimate for the recommended bridge. Coordination And Meetings We will attend meetings with the City staff, as requested (a limit of 5 meetings), to discuss this projects aspects. We will initiate and attend a meeting with the AT&SF Railroad to confirm design criteria and establish permitting procedures. We will initiate and attend a meeting with representatives from the OC Flood COntrol District. Design Report We will prepare a design report which will present the information investigated and analyzed for the project. It will. present the grade separation alternatives investigated and information on the construction cost estimate to be developed. smproposal/TRR. A detailed breakdown of the fee is included with this Proposal, as well as a schedule. The schedule represents getting a notice-to- proceed by October 17, 1988, and proceeding to submittal of the design report by December 9, 1988.
