RECOMMENDATION:
It is recommended that the City Council approve an agreement for
professional services with Geosoils, Inc. for soils engineering and
testing and authorize the Mayor and City Clerk to sign.
BACKGROUND:
On November 21, the'City Council awarded a $5,157,062 contract to Sully
Miller Contracting Company for construction of improvements on Tustin
Ranch Road, Portola Parkway, La Colina Drive and the north side of
Irvine Boulevard, all in Assessment District 86-2.
Compaction' tests, sand equivalent tests, and other tests on soils and
construction materials will be needed to ensure compliance of the
contractor's work 'with the job specifications. Geosoils is providing
services for us in this area on the Jamboree grading job and the Peters
Canyon dam and retarding basin. Dealing with one firm will be more
efficient and cost effective in terms of scheduling and assignment of
personnel. They would be paid on a time needed basis at hourly rates
with a cost estimated at $54,724.
All costs for these services would be paid with Assessment District 86-2
bond funds and are included in the 1988-89 FY budget. Construction will
soon be under way and is scheduled for completion in August 1989.

PROFESSION~L SERVICES ~REEMENT

THIS AGREEMENT, made and entered into this day of
, 1988, by and between CITY OF TUSTIN, a municipal
corporation (hereinafter referred to as "City"); and GEOSOILS, INC., 1446
East Chestnut Avenue, Santa Aha, California 92701 (hereinafter called
"Consultant?).
WITNESSETH:
WHEREAS, City desires to employ Consultant to furnish the necessary
soils engineering and testing services for construction of Tustin Ranch
Road, Portola Parkway, La Colina Drive and Irvine Boulevard in Assessment
District No. 86-2 hereinafter referred to as "Project"; and
WHEREAS, Consultant is qualified to provide the necessary sevices in
connection with said Project and 'has agreed to provide the necessary
services; and
WHEREAS, Consultant has submitted to City a proposal dated December
12, 1988, a copy of which is attached hereto marked Exhibit "A",- and is
by this reference incorporated herein as though set forth in full herein
("the Proposal").
NOW, THEREFORE, City agrees to employ and does hereby employ
Consultant to provide the professional services for the Project, and City
and Consultant for the consideration hereinafter set forth, agree as
follows:
SectiOn 1: Scope o~ Consultant's Services. Consultant agrees to
furnish to City consulting services for the project. These services
shall include all of the services outlined in Consultant's proposal
(Exhibit "A").
Section 2: Time for Completion. It is hereby understood and
mutually agreed that the time for completion of the work to be performed

by Consultant is an essential condition of this agreement· Consultant
agrees that it shall prosecute regularly and diligently the work of this
agFeement accordingly to reasonable schedules established by City.
Consultant shall not be accountable for delays in the progress of its
work caused by any condition beyond its control and without the fault or
negligence of'Consultant. Any delays shall not entitl~ Consultant to any
additional compensation, regardless of the party responsible for the
delay.
Section 3: Compensation,.. The compensation to be paid under this
agreement shall be at the hourly rates set forth in Exhibit "A" with a
total cost estimated at $54,724. Monthly payments for work completed
will be paid as the work progresses, within thirty (30) days of the date
of consultant's invoice.
Section 4:. Job Site Conditions. The City agrees that in accordance

with generally accepted construction practices, the construction
contractor will be required to assume sole and complete responsibility
for job site conditions during the course of construction of this
project, including safety of all persons and property and that this
requirement shall be made to apply continuously and not be limited to
normal working hours.
Sectio~ 5: Miscellaneous Provisions.
A. City and Consultant further agree to the following conditions:
(1) City, by notifying Consultant in writing, shall have the
right to terminate any or all of the services covered by this agreement
at any time. In the event of such termination, Consultant shall be paid
for services rendered to the effective date of the termination.
(2) Consultant agrees that it shall proceed immediately and
diligently to perform the services provided for in this agreement upon
receipt of notice from City to proceed therewith.
(3) The terms and provisions of this Agreement shall extend to
and be binding upon and inure to' the benefit of heirs, executors,
administrators, successors and assigns of the respective parties thereto.
(4) Consultant shall perform the services hereunder as an
independent contractor and under no circumstances or conditions shall
Consultant and any of its agents, servants and employees, be considered
as an employee or agent of the City.
(5) Consultant shall perform all services required under this
agreement using that degree of care and skill ordinarily exercised under
similar conditions in similar localities, and shall be responsible for
all errors and omissions for services performed by Consultant under the
terms of this agreement. Consultant agrees to indemnify, defend and hold
City, its agents, employees, successors and assigns, harmless from any
loss, damage, injury, sickness, death, or other claim made by other
persons and from all costs, expenses and charges, including attorney's
fees, arising from Consultant's negligent performance of this agreement.
Consultant shall maintain in full force and effect during the term of
this agreement, its existing policies of insurance for which certificates
of insurance have heretofore been delivered to City.
(6) Consultant shall carry and pay for such compensation
insurance as is necessary to fully protect Consultant and its employees
under California Worker's Compensation Insurance and Safety laws, to
relieve City from all responsibility under said laws in connection with
the performance of this agreement, and upon execution of this agreement,
to file with City a certificate certifying to said protection.
(7) Consultant certifies that there shall be no discrimination

against any employee who is employed in the work covered by this
agreement, or-against any application for such employment, because of
rage, religion, color, sex, or national origin including, but not limited
to, the following:
a. Employment, upgrading, demotion or transfer,
'recruitment, or recruitment advertising, lay-off

or termination, rates of pay or other forms of
compensation, and selection for training, including
apprenticeship.
(8) Consultant shall provide City monthly with a detailed
itemization of all work performed, and the fees accrued thereon, in
complete and sufficient detail tO fully apprise city thereof.
IN WITNESS WHEREOF, this Agreement was executed by the parties
on the day and year first above written.'

Gentlemen:
In accordance with your request, we are pleased to submit this
proposal and estimate of costs for geotechnical services for street
improvements.of Tustin Ranch Road, La Colina Drive, Portola Parkway
and Irvine Blvd. widening within Tract 12870.
Project Description
The project is to consist of street improvements within the
assessment district 86-2 (Tract 12870) which is comprised of Tustin
Ranch Road, La Colina Drive, Portola Parkway and the widening of
Irvine 'Boulevard. Street improvements for Jamboree Road are not a
part of this proposal.
GeoSoils, Inc., has reviewed the 40-scale plans prepared by Hunsaker
and Associates, revision dated October 4, 1988, and has used those
plans as the basis of our proposal. The plans indicate that
portions of the improvements' are to be provided by others. This
proposaL..assumes to provide services for the installation of all
improvements within .the project.

Scope of Services
Ge·Soils, Inc., expects to provide the following services during the
subj ·ct proj ·ct:

Attend three (3) pre-construction meetings onsite with client
and construction representatives.

Provide testing and inspection of backfill over subsurface
utilities as described below:
a·
Sewer - provide a technician on-call for a minimum of
eight hours as needed based on approximately 2000 linear
feet with 14 feet of backfill cover tested seven times
every 300 feet. It is our understanding that sewer
installation has been completed for Tustin Ranch Road and
no testing will be required.

Water - provide a technician on-call for a minimum of six
hours as needed based on approximately 13,500 linear feet
with four feet of backfill cover tested every 300 feet.

Reclaimed Water - provide a technician on-call for a
minimum of six hours as needed based on approximately
12,000 linear feet with four feet of backfill cover tested
every 300 feet.

Storm Drain - provided a technician on-call for a minimum
of six hours as needed based on approximately 13,300
linear feet with four feet of backfill cover tested every
300 feet.

Telephone - provide a technician on-call for a minimum of
four hours as needed based on approximately 12,000 linear
feet with 30 inches of cover tested every 300 feet.
The above items a through f assume a normal amount of
supervision by office personnel. Assumed testing schedules are
subject to revision depending upon the method of construction
and weather conditions and therefore could affect the cost of
services.

Provide laboratory testing for compaction testing and sand
equivalency of backfill materials.
·
Prepare one final report of geotechnical services during
utility backfill operations. Six copies of the report would be
provided with results of the field testing and appropriate
graphics.

Prepare one final pavement design report for the subject
streets. The services would include one meeting with city
officials and "R"-value testing every 500 linear feet.
Provide testing and inspection during pavement construction as
detailed below:

square feet tested every 12,000 square feet.

Curb and Gutter - provide a technician on-call for a
minimum of four hours as needed based on approximately
46,800 linear feet tested every 300 feet.

Asphalt - provide a full-time technician during asphalt
lay down to inspect suitability of base grade, check
asphalt temperature, and laydown thickness for
approximately 1,070,000 square feet placed as two lifts
(.10' rubberized AC over .30' AC) requiring 27 working
days (150 tons/hr.) '
The above items a through d assume normal amount of supervision
by office personnel. Assumed testing schedules are subject to
revision depending upon the method of construction and weather
conditions and therefore could affect the cost of services.

Provide laboratory testing during paVement construction which
would include gradations of aggregate base materials.
·
Pr. epare one final report for geotechnical services related to
pavement construction. Six copies of the -report would be
provided with results of the field testing and appropriate
graphics.
Estimated Fees
The anticipated charges for the above scope of services are detailed
below. These charges are based on the fee schedule within the
attache~--Agreement and Work Order form. Actual charges would be

billed as time and material on a monthly basis. Any changes to the
above .scope of work could affect the anticipated charges.
