ASSESSMENT DISTRICT NO. 85-1 - CONTRACTS FOR GAS LINE EXTENSIONS
RECOMMENDATION:
That the Tustin City Council at their meeting of November 16, 1987 approve the
Southern California Gas Company Contract Nos. 291009/T52684 and 291009/T52683 in
the amounts of $68,002.00 and $16,343.00, respectively, and authorize the Mayor to
execute said contracts and promissory notes.
BACKGROUND:
Assessment District No. 85-1 provides for street, storm drain 'and utility
construction/installations within the East Tustin area bounded by the Santa Ana
Freeway {on the South), Jamboree Road {on the easterly side), Irvine Boulevard (on
the North), and Browning Avenue (on the westerly side). Each individual utility
company will request the City/Assessment District to enter into an agreement to
reimburse their agency for the cost of said mainline extensions within the
Assessment District area when the District is not contracting for said work.
DISCUSSION:
The Southern California Gas Company will be installing their own facilities within
the area and has requested the City/Assessment District to enter into a contract
for reimbursement for said work. In addition to each contract, the Gas Company is
requesting the execution of a promissory note to the Southern California Gas
Company to cover the cost of increased income tax liability resul'ting from the
City's payment to the Gas Company to extend certain natural gas facilities/lines.
The work covered by these two contracts for extension of gas lines is as follows-

On December 31, 1987 or immediately upon written demand
as described below, whichever is earlier, I, City of Tustin,
promise to pay Southern California Gas Company ("SoCalGas") at
1919 S. State College, Anaheim, California, the additional sum of
Ten Thousand Nine Hundred and 78/100 Dollars ($10,900.78) to
reimburse SoCalGas for the increased federal income tax liability
resulting from my payment to SoCalGas for work to extend, install
or relocate natural gas facilities contracted for by me in
Agreement No. 291014/T-52683, dated , 1987,
with SoCalGas.
Contingency, Demand
I understand that my obligation to pay is contingent
upon the ultimate taxability to SoCalGas of the amounts paid for
the above-referenced work and the final determination of the
California Public Utilities Commission ("CPUC") that the customer
requesting the work is the proper party to bear this liability.
If no payments are determined by the CPUC to be due from
individual customers, SoCalGas will immediately Cancel and return
this Note. If the CPUC determines that payments for taxes are due
from individual customers, then this Note is payable upon receipt
of written demand from SoCalGas which refers to CPUC authority for
collection.
Security Offset
In the event that I fail to promptly pay SoCalGas the
above-referenced sum upon SoCalGas' demand therefore, I understand
and agree SoCalGas can, after the passage of seven (7) calendar
days, immediately and indefeasibly offset the sums due hereunder
from and against the sums due me from SoCalGas for refundable main
and/or stub service deposits. Said deposits were made by me on
, 1987 in the amount of $16,343.00, copies of
the contracts for which are attached hereto and incorporated
herein by reference. SoCalGas' power and right to offset from and
against said deposits is limited to the sums due herein, after
which all remaining sums or credits, if any, from main or stub
deposits shall again become payable to me pursuant to the terms of
the contract(s).
