SUBJECT: AGREEMENT BETWEEN THE' CITY AND ASSESSMENT AND
SERVICES CENTER (ATSC)
TREATMENT
Recommendation
That Council authorize the City Manager to execute attached
professional services agreement with ATSC.
Background
We currently use ATSC for diversion of' problem juveniles as an
alternative to formal criminal proceedings. They are also used
for pre-criminal counseling. The results of this counseling and
referral program have been very positive, saving us countless man-
hours. This agreement will charge $200 per referral. This covers
only ATSC's costs for -initial intake assessment by qualified
counselors/psychologists. Their actual cost experience per
referral averages $950. The balance of ATSC's direct costs on our
referrals is procurred by ATSC from private charitable funding
sources.
The ability to have this program available as a diversionary
alernative is estimated to save us the cost of at least 2 police
officers/investigators at a rate of $50,442 per year, or a total
savings of approximately $100,.884 per year. Even using investi-
gators for this function, we would not be able to match the level
of screening, evaluation, and psychological expertise currently
provided by the ATSC staff.

PROFESSIQ_NAL SERVICES AGREEME_NT
THIS AGREEMENT, made and entered into, to be effective this
day of July, 1987, by and between THE CITY OF TUSTIN (here-
inafter referred to as "City") and ASSESSMENT AND TREATMENT
SERVICES CENTER, a duly organized and existing nonprofit corpora-
tion, located at 1981 Orchard Drive, Santa Aha, California (here-
inafter referred to as "ATSC").
WI T NE SS E T H:
WHEREAS, City desires to establish programs as alternatives
to formal juvenile court processes for youthful offenders, using
private property resources; and
WHEREAS, ATSC is' qualified to provide services in connection
with the diagnosing and correction of juvenile behavior problems,
through its community assessment and treatment center.
NOW, THEREFORE, City agrees to and does hereby employ ATSC
to provide and conduct a community assessment and treatment
center for the referral and counseling of youthful offenders
referred from the City of Tustin, and City and ATSC, for the
consideration hereinafter set forth, agree as follows:
Sectionl: $.~o_De of ATSC's Services
A. ATSC agrees to provide and conduct a community assess-
ment and treatment center located at 1981 Orchard Drive, Santa
Aha, California, which will provide services to youthful of-
fenders referred from the City in accordance with the goals and
objectives set forth in ATSC's Charter, and shall include, but
not be limited to the following:
1. Psychological evaluation services and counseling ser-
vices to juveniles and the families of such juveniles
who have come into contact with law enforcement
agencies, as an alternative to juvenile court pro-
ceedings;
2. Utilization of licensed and/or registered psycho-
therapists or interns.
3. Maintenance and operation of clinical facilities neces-
sary to help juveniles residing in City and referred to
ATSC.
B. This Agreement is non-exclusive. Nothing contained
herein shall prevent City from utilizing additional programs as
alternatives to formal juvenile court proceedings for youthful
offenders.
Section 2: Duration/Termination
This Agreement shall continue from month to month until
terminated by either party, with or without cause, upon thirty
(30) days' prior written notice of such intention to terminate.
Sect ion 3: ComDensat ion/PaYment

Compensation to be paid to ATSC by City under this Agreement
shall be at the rate of Two Hundred Dollars ($200.00) per juve-
nile referred by City to ATSC. ATSC shall submit monthly in-
voices to City based on the services provided during the pre-
ceding month. Such invoices shall be based upon the number of
juveniles referred by City to AT$C under this Agreement.
Section 4: ~
In the event of a change in scope of the proposed services
requested by City, the parties hereto shall execute an addendum
to this Agreement setting forth, with particularity, all terms of
the new Agreement, including, but not limited to, any additional
ATSC's fees.
Section 5: Independent Contractor

The legal relationship between the parties hereto is that of
an independent contractor. Nothing herein shall be deemed to
make ATSC an employee of City. ATSC shall be solely responsible
for providing to its employees, all legally required employee
benefits, and City shall not be called upon to assume any lia-
bilities for the direct payment of any salaries, wages, or other
compensation to any ATSC personnel performing services hereunder
or any liability other than that provided for in this Agreement.
Section 6: Hold Harmless
Both the City and ATSC shall hold each other harmless from
any and all liability for acts or omissions of the other, in-
cluding any claim, liability, loss, damage, costs and expenses,
including reasonable attorneys' fees, arising out of the perfor-
mance of this Agreement.
SectionT: AttorneYs' Fee~

If any action at law or in equity is necessary to enforce or
interpret the terms of this Agreement, the prevailing party shall
be entitled to reasonable attorneys' fees, costs and necessary
disbursements in addition to any other relief to which he may be
entitled.
IN WITNESS' WHEREOF, this Agreement was executed by the
parties the day and year first above written.
