HUSTON, CITY AANAGER CONI~UNITY DEVELOPHENT DEPARTMENT GENERAL SERVICES CONTRACT, KATZ, HOLLIS, COREM AND ASSOCIATES, INC. RECOI~ENDED ACTION: That the Redevelopment Agency direct the Chalrnmn to execute the subject general services contract with the firm of Katz, Hollis, Coren and Associates, Inc. DISCUSSION: The attached general services contract will provide the Agency,. upon their request, to utilize the services of the consultant on an as-needed basis for specific tasks. Some of these services will include: (1) financial consulting services with respect to estimates of tax increment revenue; (2) review of the Agency's Statement of Indebtedness and; (3) verification of County tax collection and payment of Agency revenue as required. In addition, the contract provides for the services of Keyser Marston Associates, a land use economics firm, who will assist the Agency staff with evaluation of developers' pro-formas and requests for financial assistance. This agreement can be used only in respect to Redevelopment Agency undertakings, and will supplement staff with specific professional services only as they are needed. Funds are available in the 1986-87 fiscal budget. A~~D M.~ KNIGI4T, -SenioV F1~ner EMK:pef Enclosed: Agreement AGREF, MENT FOR CONSUIoTING SERV1CES THIS AGREEMENT is entered into on this day of 1986, by and between the TUSTIN REDEVELOPMENT' '~GENCY (he'~'~'[r~'~{~ referred to as the "Agency") and KATZ, HOLLIS, COREN & ASSOCIATES, INC., a California corporation (hereinafter referred to as the "Consultant"). WITN E S S ET H ~ItEREAS, the Agency has undertaken certain activities pursuant to the California Community Redevelopment Law necessary to the planning and execution of redevelopment projects; and WHEREAS, the Agency desires to engage the Consultant to render certain technical advice and assistance on financial matters in connection with such undertakings of the Agency; and WI~REAS, the Consultant represents that it is qualified to perform such services under this Agreement. NOW, T{rI~REFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS FOLLOWS: SCOPE OF SERVICES The Consultant shall perform all of the necessary services provided under this Agreement in connection with and respecting the undertakings of the Agency. The Consultant, when requested by the Agency, shall confer with and advise the Agency regarding the various aspects of its plans and programs. Should the Agency request services related to developer negotiations, land use economics, or related real estate issues, the Consultant may retain the services of Keyser Marston Associates, Incor- porated (Keyaer Marston) as a subcontractor to provide such services. Any such real estate, related services shall only be provided upon specific authorization by Agency staff. Services to be performed hereunder do not include services directly related to the sale of a bond issue by the Agency. Any computer program developed or implemented by the Consultant for the Agency during the course of this Agreement, or jointly by the Consultant and the Agency, shall be the exclusive property of the Consultant. 052386 0458.prp/fj Il. AGENCY The Agency shall provide the Consultant with any plans, publications, reports, statistics, records or other data or information pertinent to services to be performed hereunder, which are reasonably available to the Agency. The Agency shall additionally provide the Consultant with appropriate staff assistance and shall take prompt and appropriate action when it will assist in insuring proper and timely performance by the Gonsultant hereunder. A. .Co m_pe n s_a_t i_qo .n_(..G.o_~.s_~_!t~.~!t_..S.~.6.y.i.c.e.~ ~ The Agency will compensate the Consultant for services performed hereunder in accordance with the following schedule: Principals Senior Associates Associates Senior Analysts Analysts Secretarial/Administrative $100 per hour $ 85 per hour $ 70 per hour $ 55 per hour $ 45 per hour $ 30 per hour The Agency will compensate the Consultant for out-of-pocket expenses incurred by the Consultant in connection with services performed hereunder in accordance with the following schedule: Incurred Expenses - by an amount equal to actual incurred expenses. Automobile Mileage - at the rate of $0.20 per mile. Photocopies - at the rate of $0.10 per page for each document copy in excess of five (5) document copies. "Incurred expenses" include, but are not limited to, authorized travel by common carrier; long distance telephone calls; commercial repro- duction; reproduction of assessment rolls and maps or other government documents; shipping and messenger services; and other similar expenses. Incurred expenses do not include normal overhead expenses. The Agency will compensate the subcontractor, Keyser Marston, for services performed hereunder in accordance with the schedule attached as Exhibit A. (2 of 3) Within thirty (30) days after the last day of any mon[h in which services have been performed hereunder, the Consultant shall submit an invoice to the Agency stating the amount due the Consultant for such services, and containing a breakdown of the charges by project, compensa- tion classification, hourly rate and number of hours worked. The invoice shall also contain an itemization of out-of-pocket expenses incurred by the Consultant and for which compensation is due. Invoices for services provided by Keyser Marston shall be prepared by Keyser Marston and submitted through the Consultant. Payment of invoices will be made after acceptance and approval by the Agency within thirty (30) days of receipt of such invoice. Agency's approval of the invoice shall not be unreasonably withheld. A charge of 1~ per month will be added to all past due accounts. RIGHT OF TERMINATION This Agreement may be terminated by either party on thirty (30) days written notice to the other, the effective date of cancellation being the 30th day of said written notice without further action by either party. V. NOTICES Notices to the parties, unless otherwise requested in writing, shah be sent to the Agency at 300 Centennial Way, Tustin, California 92680 and the Consultant at 550 South Hill Street, Suite 980, Los Angeles, California 90013-2410. Directly related job expenses will be billed at 110~ of costs. Monthly billings for staff time and expenses incurred during the period will be payable within thirty {30) days of invoice date.
