WICK, ASSISTANT CITY ENGINEER AGREEMENT FOR PACIFIC BELL UNDERGROUND CONDUIT INSTALLATION WITHIN ASSESSMENT DISTRICT 85-1 TO SERVE THE TUSTIN AUTO CENTER (FILE #2731) RECOMMENDATION: It is recommended that the City Council, at their meeting of September 16, 1985, by minute order, authorize the Mayor to sign and the City Clerk to attest to attached subject agreement. BACKGROUND: This agreement provides the vehicle for installation of telephone conduits within Assessment District 85-1 on E1 Camino Real and Jamboree Road. The agreement spells out City and Pacific Bell responsibilities in order to accomplish the work. This work will be accomplished as an Irvine Company administered contract designated as Assessment District 85-1 (Phase IV). The Irvine Company will be reimbursed for costs through the Assessment District 85-1. Dale A. City agrees to: Prior to the commencement of any work to be performed hereunder or at a mutually agreed time thereafter, City shall grant to Pacific all necessary easements for Pacific's communication facilities in the locations and in a form satisfactory to Pacific· Construct to Pacific's specifications· Furnish and place all required conduit, vault(s), and incidental hardware; encase all radii and bends (80 feet or less), where applicable, as per drawing(s). Job Number LE(26)1468T Drawing Numbers 3-6 NOTE: INCIDENTAL HARDWARE DOES NOT INCLUDE PEDESTALS OF INTERFACES. Obtain necessary permits for all excavation work. Be responsible for loss of material, unreasonable damage, breakage and any liability in connection with any material furnished by Pacific. Place a pull wire or line in all ducts and verify all ties and provide accurate measurements for all conduit placed. Job #: LE(26)1486T Dwg #: 10 Issue: 1 e Notify Pacifio's Subway Inspector on 714-835-1162 not less than ten (10) working days prior to start of conduit placement· The City shall provide supervision over the coordination between various contractors working within the project in order to prevent damage to the facilities of the utility. The cost of repairs, replacement or relocation of utilities made necessary by others will be at the expense of the City until the project is complete. Project completion is defined as the first cable being placed in said conduit system. When constructed, inspected and accepted, and title to the underground supporting structure is vested in Pacific, then Pacific will assume maintenance of the structure. City or his contractor, however, shall be responsible for any liability regarding integrity of trench compaction and paving according to public agency permit requirements for a period of two years. e City shall indemnify Pacific and save it harmless from all loss or liability of any character whatsoever, including damage to Pacific's facilities arising directly or indirectly out of or in connection with the work to be performed by City, its contractors, employees, agents or permittees, of the work contemplated hereby or of any development activity on or for City's Property. 10. After the conduit is accepted by Pacific, provide a bill to Pacific for the conduit material costs. Send to: Pacific Bell Right of Way 3939 E. Coronado, 1st Floor Anaheim, California 92807 Pacific agrees to: 1. Furnish City with working drawings and specifications for placing conduit and/or vault(s). 2. Furnish a list of approved contractors supplier index and material specifications. 3. Furnish and place all pedestals and (or) interfaces. 4. Provide inspection for the placement of conduit and/or vault(s) or manholes· Reimburse City $175.00 each for 3 vault frame(s), and cover(s), $.82 per duct foot for 11,184 linear feet of four inch conduit, for a total of $9,695.88. Job #: LE(26)1486T Dwg.#: 11 Issue: I Failure by either party to comply with the agreements as set forth in this letter could cause delay in providing service to the subject development. Also, if there is no evidence of construction within 90 days from the date of execution, this Letter of Agreement may be terminated by written notice from either party. Upon completion of work and acceptance by Paoifio's Inspector, this letter shall be deemed as a BILL OF SALE, thereby transferring ownership of said conduit and manholes to Pacific, free and clear of any and all liens, claims and encumbrances.
