That the Tustin C~-~m-~unity Redevelopment Agency, at their meeting of March 1, 1982,
authorize the 6xecution of the attached agreement and contract and request the
Mayor to execute the same in the name of the City of Tustin.
BACKGROUhD:
On February 16, 1982, the Tustin City Council introduced Ordinance No. 868
establishing Underground Utility District No. 6 - Irvine Boulevard. The second
reading and adoption of this ordinance is scheduled for the Council meeting of
March 1, 1982.
Streets and Highways Code Section 5896.1 et seq. require that an agreement between
the City and the utility be entered into before the district is established.
DISCUSSION:
Attached are an agreement for replacement of overhead with underground
distribution facilities and contract for customer requested work that have bccn
prepared by the Southern California Edison Co. These documents are standardized
forms which have been executed by the City previously on similar type projects.
This agreement and contract obligate the Redevelopment Agency for funds as follows
on the Rule 20B portion, or Segment "B" of the project:

An amount of $360,000.00 has been budgeted by the Tustin CUAAunity Redevelopment
Agency for the 1981-82 fiscal year.

AGREEMENT FOR REPLACEMENT OF OVERHEAD WITH UNDERGROUND DISTRIBUTION FACILITIES
(Installation by Utility)
THIS AGREEMENT. made this day of , 19 ,
between SOUTHERN CALIFORNIA EDISON COMPANY, a corporation, hereinafter called "Utility', and
the party or parties whose names are subscribed hereunder as 'Applicants",

WITNESSETH:
WHEREAS. Applicants have requested Utility, pursuant to Section B. of Utility's Rule No. 20,
Replacement of Overhead with Underground Distribution Facilities, to replace Utility's existing overhead
with underground distribution facilities at the location or locations in the County of Orange
, State of California, substantially described as follows:
Irvine Blvd. between Prospect St. and Holt St.,
Tustin
and as shown on the map attached hereto and made a part hereof; and
WHEREAS.
a. It is necessary fo[' all property owners served from Utility's overhead facilities to be
removed to agree in writing to perform the wiring changes on owners' premises so that service may be
furnished from Utility's underground distribution system in accordance with Utility's rules and that
Utility may discontinue Utility's overhead service npon completion of Utility's underground facilities, or
b. Suitable legislation is in effect requiring such property owners to make such necessary
wiring changes and authorizing Utility to discontinue Utility's overhead service; and
WHEREAS, Applicants have requested Utility to furnish and install the pads and vaults for
transformers and assocmted equipment, conduits, ducts, boxes, and electrolier bases and to perform
other work related to structures and substructures including breaking of pavement, trenching, backfilling,
and repaying required in connection with installation of the underground system; and
WHEREAS. Underground service connections to each applicant from Utility's underground
distribution system will be installed and maintained as provided in Utility's rules applicable thereto;
NOW. THEREFORE, m consideration of the premises, and of the mutual promises and
covenants of the parties hereto, hereinafter contained, it is mutually agreed by and between the parties
hereto as follows, viz.:
1. Applicants will pay to Utility concurrently with the execution of this agreement the
nonrefundable amount of S 356,997.45which is the sum of $ 258,191.0Dthe estimated cost of
furnishing and installing the underground stru6tures and substructures, including breaking of pavement,
trenching, backfilling, and paving required in connection with installation of the underground system,
and of 898 · 806.45 , the excess, if any, of the estimated costs, exclusive of transformers, meters and
services, of completing tile nnderground system over building a new equivalent overhead system. The
amount contributed by each of said Applicants is shown hereinafter.
2. Utility will complete the undergrounding of said overhead distribution facilities, pro-
vided, however, Utility has been granted rights of way therefor satisfactory to and without cost to Utility.
3. Said underground distribution facilities will be and will remain the property of Utility.
4. Applicauts each agree Applicants will perform necessary wiring changes on Applicants'
premises so that service may be furnished from Utility's underground distribution system in accordance
with Utility's rules, and Utility may discontinue Utility's overhead service upon completion of Utility's
underground facilities.
5. This contract is subiect to the Rules of Utility.
6. This contract shall at all times be subject to such changes or modifications by the
Public Utilities Commission of tile State of California as said Commission may, from time to time, direct

City of Tustin hereinafter called the customer,
requests Southern California Edison Company, hereinafter called
the utility, to do the following:
Install ducts and structures, trenching, paving and backfill
at the following location: Irvine Blvd. from Holt to Prospect,

for which the customer has advanced the sum of $ 356,997.45
The customer agrees to pay the utility any additional amount that
may be required to cover the total cost of contract work over that
originally estimated for contract if such difference exceeds
$ 1.000.00 However, should the amount advanced for con-
tract work exceed the actual cost of contract charges by more
than $ 1,~O0.OO , the utility agrees to refund the excess to
the customer.
