UNIFORM CONTRACT
RECOMMENDATION:
Have Council sign and implement attached contract for uniform
service and laundry.
BACKGROUND:
Bids for uniform service and laundry were received, Valley
Industrial Services being low bidder. A staff report, with the
bid analysis, was submitted to Council on February 2, 1982.
Council awarded the bid to Valley Industrial Services with a 3-0
vote at the regular meeting of February 16, 1982. The effective
date for service implementation was April 29, 1982.
This contract is the official document for a previous Council
action.

AGREEMENT
FOR UNIFORM RENTAL AND LAUNDRY SERVICE
THIS AGREEMENT made this 29th day of April ,
1982 by and between the City of Tustin, a municipal corporation
("City") and Valley Industrial Services
("Contractor").
1. PURPOSE OF AGREEMENT
The purpose of this Agreement is to state the terms
and conditions upon which uniforms will be furnished to City and
laundered by Contractor for use by City's employees.
2. SERVICES TO BE PERFORMED
Contractor agrees to perform the following services
for City:
a. Generally, Contractor will furnish uniforms
for approximately thirty-nine (39) City employees amounting to
approximately one hundred ninety-five (195) changes of uniforms
per week, for the period commencing April 29, 1982 and continuing
through April 29, 1985. Contractor shall be required to
furnish new uniforms, make alterations, launder, repair,
pick up and deliver the required uniforms at various sites
within the City of Tustin.
b. Specifically, Contractor shall furnish and main-
tain an inventory of eleven (11) uniforms per employee in
order to provide five (5) changes per employee, per week and
shall provide for orderly and timely delivery for the required
uniform changes per week. This inventory of uniforms shall
be made maintained by Contractor during the life of the
Agreement.
c. Contractor shall measure each City employee of
the work force of the City of Tustin as it is now and shall
hereafter be constituted during the term of the Agreement,
and shall be responsible for supplying and maintaining properly
fitting uniforms for each .employee.
d. Contractor shall be responsible for maintaining
the uniforms in good condition and repair. The garment life
shall be figured on a normal wear basis of eighteen (18)
months. New replacement uniforms shall be provided so that a
first-class presentable appearance will be maintained.
e. Contractor shall deliver clean uniforms once
each week to such sites within the City of Tustin as the
Director of Public Works shall direct. Soiled uniforms
shall be picked up by Contractor at the same times and places
and shall be returned to Contractor's place of business.

f. Contractor shall launder all uniforms in
Contractor's own plants in accordance with all applicable
standards of all county and state public health agencies.
g. Uniform color combinations shall be selected
by the City at the commencement of the term of this Agreement.
h. Ail uniforms shall remain the property of Contractor.
i. Contractor shall install name tags and
identifying patches as required by City. Name tags will be
furnished and attached by Contractor without charge.
Identification patches will be furnished by City and shall be
affixed by Contractor without extra charge.
j. Contractor shall send a monthly statement to City
each month at the address hereinafter provided for notices,
which shall be accompanied by an itemization together with a
control sheet itemizing the services furnished together with
copies of signed delivery receipts showing the employee names
and the number of uniforms furnished to each employee.
3. OBLIGATIONS OF CITY
City agrees to do the following:
a. City shall pay to Contractor for the uniforms and
services to be provided by Contractor, the amounts set forth
in Exhibit A attached hereto and incorporated herein by this
reference. Weekly charges shall be upon the number of employees
receiving service during the week times the unit cost per change
as set forth on Exhibit A.

for the supplying of uniforms, laundry, pick-up and delivery,

c. City shall pay to Contractor the cost of each
shirt or pair of trousers lost by City and/or its employees

d. City will be responsible for damage to uniforms
in excess of normal wear and tear. City shall pay to Contractor
a reasonable amount for necessary repairs to such damaged
uniforms in excess of the repairs necessitated by normal wear
and tear, however such charges shall not in any case exceed

the depreciated cost of the uniform based on an eighteen (18)
month life expectancy.
4. TERM
The term of this agreement shall be for the period commencing
April 29, 1982 and ending April 29, 1985 provided, however,
that City may cancel this agreement upon thirty (30) days
written notice to Contractor at any time after November 1, 1982.
5. SPECIFICATIONS
a. General
Ail uniforms shall be of good quality and suitable for
the uses and wear intended.
b. Trousers
The uniform material of all trousers shall be sixty-five
percent (65%) dacron polyester, thirty-five percent (35%)
cotton twill, seven (7) ounces per square yard, crease-
resistant fabric, vat-dyed for maximum color retention,
sanforized with a maximum one percent (1%) shrinkage. They
shall be a single needle open seamed construction, zipper
fly, stop button through left hip pocket, no button on right
hip pocket, 5/8" wide belt loop, double stiched without cuff.
Levi cut shall be supplied over regular style except where
not available in size.
c. Shirts
Shirt material shall be sixty-five percent (65%) dacron
polyester, thirty five percent (35%) combed cotton, 4.77
ounces per square yard, crease-resistant fabric, vat-dyed,
sanforized with maximum of one percent (1%) shrinkage. They
shall have sport shirt styling, six button front, convertible
collar, button through breast pocket, long or short sleeves
as selected by employee. Long sleeve shirt shall have lined
cuffs, all shirts to have long tails.
6. COMPLIANCE WITH APPLICABLE STATUTES, ORDINANCES AND REGULATIONS
Contractor shall comply with all applicable federal, state,
county and City statutes, ordinances and regulations.
7. INSURANCE
Contractor shall carry worker's compensation, public liability
and property damage insurance with not less than reasonable
minimum limits.
8. GOVERNING LAW - ENTIRETY OF AGREEMENT
This Agreement shall be governed by the laws of the
State of California and constitutes the entire agreement

between the parties regarding its subject matter and there have
been no representations, warranties, agreements or understandings
not set forth herein. Any amendment, modification, change or
revision of this Agreement shall be effective only if in
writing and signed by both the parties. If any provision in
this Contract is held by a Court to be invalid, void or
unenforceable, the remaining provisions shall nevertheless
continue in full force and effect.
