HUSTON, CITY MANAGER FROM: PUBLIC WORKS DEPARTMENT/WATER SERVICES DIVISION SUBJECT: CONSULTANT SERVICES AGREEMENT FOR DESIGN OF THE COLUMBUS- TUSTIN WELL ELECTRICAL PANEL REPLACEMENT (CIP NO. 6152) SUMMARY A Consultant Services Agreement for the design of the Columbus-Tustin Well Electrical Panel Replacement (CIP No. 6152) for the Water Services Division is submitted for consideration by the City Council. RECOMMENDATION It is recommended that City Council approve the submitted Consultant Services Agreement with Boyle Engineering Corporation of Newport Beach, California, in the amount of $16,798.00 and authorize the Mayor and City Clerk to execute the agreement on behalf of the City. FISCAL IMPACT The City's Capital Improvement Program funds for the design of this project. (CIP) Budget for FY 2003-2004 provides sufficient BACKGROUND The Columbus-Tustin Well, drilled in 1984, is located at the northwest corner of the Columbus Tustin Park (see Attachment 1). This well has a pumping capacity of 1,400 gpm and is one of the highest producing wells in the City's groundwater production system. Due to the age of the facility and the recent difficulties in procuring replacement and spare parts for the twenty-year old electrical panels, this project was included in the City's recently approved 2003- 2004 CIP. Seven Requests for Proposals were solicited from a select list of consultants on July 11, 2003, and six consultants submitted Proposals on July 28, 2003. Based on the consultant's and subconsultant's qualifications, project understanding and approach, staff recommends that Boyle Engineering Corporation be selected to prepare the design plans for a not-to-exceed fee of $16,798.00. 'UQ M3I/\ NlVZNnO!a1 CONSULTANT SERVICES AGREEMENT THIS AGREEMENT FOR CONSULTANT SERVICES, is made and entered into this __ day of ,20 , by and between the CITY OF TUSTIN, a municipal corporation, hereinafter referred to as "City", and Boyle En.qineerinq Corporation a California corporation, hereinafter referred to as "Consultant". RECITALS WHEREAS, City requires the services of a consultant to furnish the necessary engineering services for the Columbus Tustin Well Electrical Panel Replacement hereinafter referred to as "Project"; and WHEREAS, Consultant has submitted to City a proposal dated July 28, 2003 a copy of which is attached hereto, marked as Exhibit "A" and the revised project understanding letter dated August 6, 2003 a copy of which is attached hereto, marked as Exhibit "B", and is by this reference incorporated into this Agreement; and WHEREAS, Consultant is qualified to provide the necessary services for the Project and desires to provide said services; and WHEREAS, City desires to retain the services of Consultant for said Project. NOW, THEREFORE, for the consideration and upon the terms and conditions hereinafter set forth, the parties agree as follows: AGREEMENT Section 1: Scope of Consultant's Services. Consultant shall perform all work necessary to complete in a manner satisfactory to City, the services set forth in Exhibit "A" and "B" Section 2: Order of Precedence. In the event of a conflict between or among any of the documents comprising this Agreement, the following order of precedence shall govern the provision in question: 1. This Agreement 2. Consultant's Revised Project Understanding dated July 28, 2003 (Exhibit "B") 3. Consultant's Proposal (Exhibit"A") -l- Section 3: Time for Completion. The time for completion of the work to be performed by Consultant is an essential condition of this Agreement. Consultant shall prosecute regularly and diligently the work of this Agreement according to reasonable schedules established by the City for various items described and as outlined within Consultant's proposal. Consultant shall not be accountable for delays in the progress of its work caused by any condition beyond its control and without the fault or negligence of Consultant. Delays shall not entitle Consultant to any additional compensation regardless of the party responsible for the delay. Section 4: Compensation. The compensation to be paid under this Agreement shall be as set forth in Exhibit "A", not to exceed a total cost of $16,798.00. Consultant shall submit detailed invoices, based upon the actual work performed accompanied by backup documentation as requested by the City. Co Progress payments for .work completed shall be paid by City as the work progresses, within thirty (30) days of the date of Consultant's invoice. Consultant shall provide City with a monthly itemization of all work performed, and the fees accrued thereon, in complete and sufficient detail to fully apprise City thereof. Section 5: Independent Contractor. Consultant's relationship to City in the performance of this Agreement is that of an independent contractor. Consultant's personnel performing services under this Agreement shall at all times be under Consultant's exclusive direction and control and shall be employees of Consultant and not employees of City. Consultant shall pay all wages, salaries and other amounts due its employees in connection with this Agreement and shall be responsible for all reports and obligations respecting them, such as social security, income tax withholding, unemployment compensation, workers' compensation and similar matters. Section 6: Indemnification. Consultant agrees to indemnify, defend and hold City, its officers, agents, employees, successors and assigns harmless from any loss, damage, injury, sickness, death, or other claim made by any person and from all costs, expenses and charges including attorney's fees caused by or arising out of Consultant's, its officers', agents', subcontractors', or employees' negligent acts, negligent errors, or negligent omissions or willful misconduct, or conduct for which the law imposes strict liability on Consultant in the performance or failure to perform this Agreement. -2- Section 7: Insurance. Consultant shall maintain in full force and effect during the term of this Agreement policies of comprehensive general liability, personal injury and automobile liability insurance with limits of at least $1,000,000.00 combined single limit coverage per occurrence. Consultant shall maintain in full force and effect during the term of this Agreement a policy of professional liability insurance coverage with limits of at least $1,000,000 combined single limit coverage per claim or per occurrence. If Consultant provides claims made professional liability insurance, Consultant shall also agree in writing either (1) to purchase tail insurance in the amount required by this Agreement or to cover claims made within five (5) years of the completion of Consultant's service under this Agreement, or (2) to maintain professional liability insurance coverage with the same carrier in the amount required by this Agreement for at least five (5) years after completion of Consultant's services under this Agreement. Consultant shall also provide evidence to the City of the purchase of the required tail insurance or continuation of the professional liability policy by executing the attached Letter Agreement on Consultant's letterhead. Consultant shall carry and pay for such compensation insurance as is necessary to fully protect Consultant and its employees under California Worker's Compensation Insurance and Safety Laws, and shall relieve the City from all responsibility under said laws in connection with the performance of this Agreement. All insurance required pursuant to this Section shall be issued by a company admitted in the State of California and rated A, VII or better by the latest edition of Best's Key Rating Guide. Upon execution of this Agreement, Consultant shall provide to City certificates of insurance on the City's form evidencing the required insurance. If self-insured for worker's compensation, Consultant shall submit to City a copy of its certification of self-insurance issued by the Department of Industrial Relations. Section 8: Termination of Agreement. City shall have the right to terminate any or all of the services covered by this Agreement at any time for any reason by giving written notice to Consultant. Upon termination of this Agreement, Consultant shall be paid for services rendered by the effective date of the termination. Upon termination of this Agreement or completion of the Project, all documents relating to the Project shall become the sole property of City. Should City terminate this Agreement pursuant to subparagraph A. of this Section, Consultant shall, within ten (10) business days of receipt of notice of termination, -3- provide City with all documents within Consultant's possession relating to this Agreement and the Project, including but not limited to all completed documents and all drafts of uncompleted documents. Consultant shall proceed immediately and diligently to perform the services provided for in this Agreement upon receipt of notice from City to proceed therewith. No part of this Agreement may be assigned by Consultant without the prior written approval of City. This Agreement shall extend to and be binding upon and inure to the benefit of heirs, executors, administrators, successors and assigns of the respective parties hereto. Consultant shall perform all services required under this Agreement using that degree of care and skill ordinarily exercised under similar conditions in similar localities, and shall be responsible for all errors and omissions for services performed by Consultant under the terms of this Agreement. Consultant certifies that there shall be no discrimination against any employee who is employed in the work covered by this Agreement, or against any application for such employment, because of race, religion, color, sex or national origin including but not limited to, the following: employment, upgrading, demotion or transfer, recruitment, or recruitment advertising, lay-off or termination, rate of pay or other forms of compensation, and selection for training, including apprenticeship. -4- IN WITNESS WHEREOF, this Agreement was executed by the parties on the day and year first above written. The well site is located in an upscale residential aroa, within 50 feet of homes. Electrical design consisted of the replacement of the existing VFD to accommodate the increased size from the existing 150hp well to the new 200hp well. The design roused the existing PLC I/O points to minimize the impact on the existing control system. Completion: 2002. Project Understanding This project consists of the upgrade of the existing 20-year-old electrical system at Tustin's Columbus Tustin Well due to unreliability and lack of spare parts. The upgrade will consist of the replacement of the existing well starter and well motor conductors. Other electrical system components, such as the existing power/control wiring, utility metering switchboard, and lighting transformer and panelboard will be evaluated as part of this project. Security features such as door access and fire safety will be addressed. This project will begin with a preliminary design study to identify and evaluate the extent of the electrical upgrade followed by plans and specifications. Assistance with construction services will be provided for bidding, submittal review, and installation inspection. Approach and Scope of Work Boyle will work closely and in cooperation with the City during the preparation of the Columbus Tustin Well Electrical Panel Replacement. The following services will be provided by Boyle to accomplish this project: 1. Perform a site visit with City staff to evaluate the current system and controls and review the City's concerns on the existing electrical system as well as security. 2. Develop a preliminary design study memorandum to evaluate the existing equipment and make recommendations based on the latest industry practices. Study will describe the replacement of the existing well motor starter and motor feeder; will evaluate the condition of the existing service switchboard and condition of the wiring to the lights, receptacles, and control devices; and will describe requirements for the three future motorized valves. Study will also address security system features including but not limited to door access, fire safety, and other related features. / 3. Coordinate development of the MCC replacement and retrofit design plan and specification in accordance with City's Water Division requirements and future needs for security. The plans and specifications will include a new motor starter and wiring for the well, power and control conduits for future addition of three motor operated valves, and recommendations described in the preliminary design study memorandum. A P&ID will be developed illustrating the existing and proposed design changes within the facility. Typically, a P&ID is provided to help the system integrator understand the requirements of the control system. Boyle Engineering Corporation--continued Consultant Services Agreement Acknowledgement The City's Consultant Services Agreement (CSA) is acceptable without modifications. Insurance and Business License Requirement Acknowledgement The City's insurance requirements and Certificate of Insurance are acceptable without modifications. In lieu of providing occurrence based professional liability insurance coverage as required by the Agreement, Boyle has provided the attached tail insurance coverage certification. Boyle presently has a business license for the City of Tustin. Insurance Company Identification and Rating: Attached is the Insurance Company Identification and "Best Rating" Sheet. We have contacted our insurance company regarding a "cut -through" to change our present rating from an A- to an A. They have indicated that they are unable to write a "cut-through" from an A- to an A since they are in the same category. Please see attached letter dated July 23, 2003, to Sharlene Branson, Boyle's risk manager, from Kenneth J. Wittman. Best Insurance Rating for Security Insurance Company of Hartford Proposal for CIP NO, 6152 Dear Sharlene: I understand that the City of Tustin has advised you that because the A.M. Best Rating for your professional liability insurer, Security Insurance of Hartford, is "A-" as compared to the City's requirement of"A" that your proposal is being disqualified from offering a proposal for the above project. I respectfully submit that you havc met thc City's minimum rating requirement because according to the A.M. Best Key Rating Guide an "A" and "A-" have the identical definition (rating scale attached.) Since there is no difference in definition between these ratings it would seem reasonable to conclude that you have met the City's minimum requirement. As a broker representing design professionals for the past 15 years, this is the first time I have experienced a firm being disqualified over this difference. I would also add that the financial category size of Security Insurance Company of Hartford is dramatically higher at "XIV" than the City's minimum financial size of "VII." I would suggest that you present this information to appropriate City official and request a reconsideration of their position. Associate Civil Engineer CITY OF TUSTIN WATER SERVICES DIVISION 300 Centennial Way Tustin, California 92780 August 6, 2003 Columbus - Tustin Well Electrical Panel Replacement Project (CIP No. 6152) Project Understanding The follo~ving is the revised project understanding for the Columbus-Tustin Well Electrical Panel Replacement Project based on our meeting today. This replaces the Approach and Scope of Work included in our proposal. Approach and Scope of Work Boyle will work closely and in cooperation with the City during the preparation of the Columbus-Tustin Well Electrical Panel Replacement. The following services will be provided by Boyle to accomplish this project: 1. Perform a site visit with City staff to evaluate the current system and controls and to review the City's concerns on the existing electrical system. 2. Develop a preliminary design study memorandum to evaluate the existing equipment and make recommendations based on the latest industry practices. The study will describe the replacement of the existing well motor starter, existing motor feeder, and the existing lighting transformer and panelboard; evaluate providing a new outdoor switchboard versus reusing the existing switchboard and the condition of the wiring to the lights, receptacles, and control devices; and include an estimate of probable construction costs. 3. Design: a) Coordinate development of the motor control center replacement and retrofit design plan and specification in accordance with City's Water Division requirements and future needs for security. b) Develop plans and specifications to include a new motor starter with associated power and control wiring and recommendations described in the preliminary design study memorandum. The motor control center will be provided with a solid-state soft starter and controls including the operator interface for the starter; pilot lamps for poxver on, overload, h.~igh pressure, pump call and pump nm; and switches for b~A, reset, and SSS-bypass mode control, tgmer teatures will include the valve control al'ret power swing, pump control valve controls, future deep well valve BOYLE ENGINEERING CORPORA TION Peter H.K. Meng, P.E. August 6, 2003 Page 2 controls, and start time delay for pump. The pump control valves will be hardwired so that the control functions operate in HAND and in AUTO. Interface point with the PLC will match the existing and will consist of the following: PLC Digital Inputs: · HOA in AUTO mode · Pump fail Motor ON/OFF PLC Digital Outputs: · Pump start-stop c) A poxver monitor will be provided in the new motor control center and will provide commercial power consumption pulses to the existing PLC input. An AC power failure relay will be provided to shut down the pump and provide an alarm to the existing PLC input. d) Design will include refurbishing the existing pump control valve with a new solenoid valve and limit switches and replacing the existing discharge high-pressure switch. e) A P&ID will not be provided. A plan drawing will be developed showing the electrical eqmpment, condmt and w~re, and piping to allow~at the well to understand the layout of the facility. Piping will be shown schematically. f) Plans and specifications will be submitted at the 90% and 100% completion level. An opinion of probable construction costs will be provided as part of each submittal. There ~vill be no future on-site treatment feature(s) in this facility. A variable frequency drive (VFD) will not be required for this facility. Collect, utilize, and coordinate all appropriate and available information for use in development of the design plan including, but not limited to, the following: a) City of Tustin Water Division information b) As-built plan for Colnmbus-Tustin Well (W-115) c) As-built plan for Columbus-Tustin Emergency Power Retrofit (W-191) d) Site visit(s) accompanied by City's staff e) Any and all other pertinent reports and information Identif~ a point of contact and establish a communication plan with the City to ensure timely and accurate development of the design plan and specification. Submit plans and specifications to City's Building Division Department and incorporate commeuts as required. 9. Assist staff in bidding, submittal review, and installation inspection of project improvements. 10. Prepare the final design set and provide six copies of the plan set and one electronic copy of the said design in CAD and Adobe PDF format. 11. The final design plans will be in AutoCAD 2000 and design specifications in Microsoft Word formats unless approved otherwise per the City of Tustin Mapping, Plan Preparation, and Documentation Requirements. AutoCAD layering scheme will be based on the City's standard layer naming convention. Boyle proposes to provide the services, outlined in our proposal, the City's Request for Proposal, and the above approach and scope of work for the tbllowing fee: Design Phase: $11,953 Bidding Phase: $1,153 Construction Services: $3,692 Total Fee: $16,798 We are very excited about this project and look forward to a successful working relationship with the City of Tustin.
