STACK, DIRECTOR OF PUBLIC WORKS/CITY ENGINEER SUBJECT: APPROVE COOPERATIVE AGREEMENTS WITH THE CITY OF IRVINE FOR THE TUSTIN RANCH ROAD/VON KARMAN AVENUE AND EDINGER AVENUE/IRVINE CENTER DRIVE REGIONAL TRAFFIC SIGNAL SYNCHRONIZATION PROJECTS (PROJECT P) SUMMARY Staff is requesting that the City Council approve the Cooperative Agreements with the City of Irvine for implementation of the Tustin Ranch Road/Von Karman Avenue and Edinger Avenue/Irvine Center Drive Regional Traffic Signal Synchronization Projects. Engineering and construction will be performed in collaboration with and led by the City of Irvine. Work will be performed under the OCTA Competitive Measure M2 Regional Traffic Signal Synchronization Program (Project P). RECOMMENDATION It is recommended the City Council approve the Cooperative Agreements with the City of Irvine for the Tustin Ranch Road/Von Karman Avenue and Edinger Avenue/Irvine Center Drive Regional Traffic Signal Synchronization Projects, authorize the Mayor and City Clerk to execute the agreement on behalf of the City, and amend the adopted Capital Improvement Program for Fiscal Year 2016/17 to appropriate Gas Tax (Fund 130) in lieu of Measure M2 Fair Share (Fund 139) for both projects. FISCAL IMPACT The total estimated cost within Tustin is $1,748,467 of the overall cost of $4,080,000 for both projects. The total requested funds through the 2016-2017 Measure M2 Regional Traffic Signal Synchronization Program (Project P) are $3,263,800. Under the OCTA Competitive Measure M2 Regional Traffic Signal Synchronization Program, agencies are required to provide minimum match funding of twenty percent (20%) for the projects. The participating agencies agree to provide project funding in combined cash match of $816,000 as shown in Attachment B for both projects, or equivalent to twenty percent (20%) of the cost of both projects. Tustin's share amounts to approximately $350,000 plus City administrative costs for both projects. Funds for these projects have been budgeted and appropriated in the Fiscal Year 2016-2017 using Measure M-2 Fair Share funds. OCTA has notified the City that Measure M-2 Fair Share monies can no longer be used to fund the City's match. Therefore, staff is requesting the City Council substitute Gas Tax Fund (Fund 130) for the completion of these projects. CORRELATION TO THE STRATEGIC PLAN Traffic signal synchronization contributes to the fulfillment of the City's Strategic Plan Goal B: Public Safety and Protection of Assets. Specifically, the project implements or fosters the Cooperative Agreements Tustin Ranch Road and Edinger Avenue Traffic Signal Synchronization Projects January 17, 2017 Page 2 implementation of Strategy #3, which among other items, is to ensure continuous maintenance and improvement of traffic control and transportation facilities. BACKGROUND/DISCUSSION On July 26, 2010, the OCTA adopted the countywide Traffic Signal Synchronization Master Plan. From this Master Plan, the Regional Traffic Signal Synchronization Program (RTSSP) or Project P was developed. To maintain City eligibility for funding under Project P, the City Council adopted the Local Signal Synchronization Plan (LSSP) for Tustin on December 7, 2010, in compliance with the OCTA Master Plan. Project P is the M2 Program that provides funding for multi -jurisdictional signal synchronization projects. The program is administered through the Comprehensive Transportation Funding Programs (CTFP), which allocates funds through a competitive process based on a common set of guidelines and scoring criteria approved by the OCTA Board of Directors. On August 10, 2015, the OCTA Board authorized a call (2016 Call) for projects making available approximately $12 million in RTSSP funding. On October 23, 2015, the City of Irvine, in collaboration with the City of Tustin submitted two applications to the OCTA for the Irvine Center Drive/Edinger Avenue and Von Karman Avenue/ Tustin Ranch Road Regional Traffic Signal Synchronization Projects. A total of thirteen (13) applications were submitted to the OCTA requesting $15.6 million in RTSSP funding. Subsequently, the City Council adopted Resolution No. 15-83 on November 17, 2015, approving the applications and match requirement for both projects pursuant to the CTFP Programs Procedures Manual. Applications were reviewed by OCTA to determine eligibility, consistency, and adherence to the program guidelines and objectives. On April 11, 2016, the Irvine Center Drive/Edinger Avenue and Von Karman Avenue/Tustin Ranch Road Regional Traffic Signal Synchronization Projects were among the seven highest scoring projects approved by the OCTA Board for a total recommended program funding amount of $12.43 million. A total of sixty eight (68) signalized intersections will be improved by both projects with thirty (30) in the City of Tustin. The scope of work includes certain hardware and software upgrades to intersection traffic controller units, traffic telematics and intertie systems, Advance Transportation Management Systems (ATMS), and other associated systems will be constructed and/or installed and implemented as part of the project. Approval of the cooperative agreements by both agencies is required before work can proceed. The City Attorney has approved the agreement as to form. 5. Agmt. with Irvine for Tustin Ranch Road and Edinger Traffic Signal Synchronization Projects.docx COOPERATIVE AGREEMENT FOR THE IRVINE CENTER DRIVE/EDINGER AVENUE SIGNAL SYNCHRONIZATION PROJECT This Irvine Center Drive/Edinger Avenue Signal Synchronization Project Agreement ("Agreement") is entered into as of , 20 ("Effective Date") by and between the CITY OF IRVINE, a California municipal corporation ("City"), and the CITY OF TUSTIN, a California municipal corporation, ("Tustin"). City and Tustin are sometimes referred to herein individually as a "Party" or collectively as the "Parties". RFrITAI S A. City in cooperation with Tustin is working to coordinate traffic signals across multiple jurisdictional boundaries as a part of the Renewed Measure M ("W') Regional Traffic Signal Synchronization Program Project P ("Project P") to enhance countywide traffic flow and reduce congestion. B. City has been awarded Project P funds based on the application ("Application") prepared by City for implementation of signal synchronization of traffic signals along the Irvine Center Drive/Edinger Avenue Corridor between Newport Avenue and Protocol (hereinafter, "Project"). C. Tustin has elected to designate City and City agrees to act as implementing agency to carry out the Project. D. The Project will include the synchronization of thirty-eight (38) traffic signals as identified in the Application and illustrated in the Project scope of work, which is attached and incorporated herein as Attachment A. E. The Project will include elements identified in the Application such as the development and implementation of optimized signal synchronization timing, preparation of before and after study, and installation of signal timing improvements as identified in Attachment A. F. City agrees to work with Tustin to coordinate the inclusion of other traffic control elements that must be installed at the same time as the construction of the Project and that are NOT included in Attachment A. The Parties agree that a Party's request to include any such element will result in said Party taking full financial responsibility for each and any of those traffic control elements during the course of the Project, unless and otherwise agreed to in writing. G. City agrees to implement the Project as referenced on Attachment A. H. The funds received through Project P provide eighty percent (80%) or up to One Million Eight Hundred Twenty -Four Thousand Dollars and No/100 ($1,824,000.00) of the total Project cost as set forth in Attachment B, which is attached and incorporated herein by reference. The Parties agree to contribute the remaining twenty percent (20%), based on the share of the Project occurring in that Party's jurisdiction. Said total contribution will consist of cash contribution of Four Hundred Fifty - Six Thousand Dollars and No/100 ($456,000.00). Tustin's share shall be a cash contribution equaling One Hundred Sixteen Thousand Six Hundred Forty -Eight Dollars and No/100 ($116,648.00). City's participating share shall be a cash contribution equaling Three Hundred Thirty -Nine Thousand Three Hundred Fifty -Two Dollars and No/100 ($339,352.00). I. In the event the cost of the Project exceeds the estimates as submitted in the Application prepared by City, the Parties agree to meet and determine revisions to the Project to satisfy the budget(s) or revised funding proposal(s) by the Parties, which shall be documented and submitted in writing as an amendment to the Agreement. Any cost overruns shall be the financial responsibility of the jurisdiction where the work improvement occurs or as the case may be, causes the required improvement. J. The Parties desire to enter into this Agreement to implement the Project in support of Project P as part of M2. K. This Agreement defines the specific terms, conditions, and funding responsibilities between the Parties for the implementation of the Project. AGREEMENT NOW, THEREFORE, in consideration of the above recitals and the mutual covenants set forth below, City and Tustin agree as follows: 1. Complete Agreement A. This Agreement, including any attachments incorporated herein and made applicable by reference, constitutes the complete and exclusive statement of the terms and conditions of this Agreement between City and Tustin and it supersedes all prior representations, understandings and communications between the Parties. The above referenced Recitals are true and correct and are incorporated by reference herein. B. City's failure to insist on any instance(s) of Tustin's performance of any term(s) or condition(s) of this Agreement shall not be construed as a waiver or relinquishment of City's right to such performance or to future performance of such term(s) or condition(s), and Tustin's obligation in respect thereto shall continue in full force and effect. C. Changes to any portion of this Agreement shall not be binding upon City except when specifically confirmed in writing by an authorized representative of City by way of a written amendment to this Agreement and issued in accordance with the provisions of this Agreement. D. Tustin's failure to insist on any instance(s) of City's performance of any term(s) or condition(s) of this Agreement shall not be construed as a -2- waiver or relinquishment of Tustin's right to such performance or to future performance of such term(s) or condition(s), and City's obligation in respect thereto shall continue in full force and effect. E. Changes to any portion of this Agreement shall not be binding upon Tustin except when specifically confirmed in writing by an authorized representative of Tustin by way of a written amendment to this Agreement and issued in accordance with the provisions of this Agreement. 2. Scooe of Aareement This Agreement specifies the roles and responsibilities of the Parties as they pertain to the subjects and Project addressed herein. Both City and Tustin agree that each will cooperate and coordinate with the other in all activities covered by this Agreement and any other supplemental agreements that may be required to facilitate purposes thereof. 3. Responsibilities of the City as Project Lead Agency The City as the Lead Agency agrees to the following responsibilities for the implementation of the Project: A. To manage, procure, and complete the Project as identified in Attachment A, which is attached hereto and incorporated herein by reference. B. To cooperate with the Orange County Transportation Authority ("OCTA") and coordinate outreach efforts for the Primary Implementation (design and construction) phases of the Project. C. To collect manual intersection movement and automated machine traffic counts. D. To implement required signal improvements at the locations set forth in Attachment A. E. To develop and implement optimized signal synchronization timing set forth in Attachment A. F. To provide updated timing plans and traffic count data to Tustin. G. To prepare a "Before and After Study" for the Irvine Center Drive/Edinger Avenue Project. As described in the Measure M2 Eligibility Guidelines adopted by the OCTA, the "Before and After Study" for the Project is considered the equivalent of the required Project Final Report (Measure M2 Ordinance No. 3, Section B.111.9) for the Project. City shall provide the "Before and After Study" for the Project to Tustin in draft and final formats for comment, and comments shall be noted in the final study and incorporated as mutually agreed by all Parties. -3- H. To provide ongoing maintenance and operation of optimized signal timing after the Primary Implementation phase of the Project is completed and to continue such maintenance until the end of the three (3) year grant period. I. To invoice Tustin for dollar match amounts due as identified in Attachment B, at the end of each phase. 4. Responsibilities of Tustin Tustin agrees to the following responsibilities for implementation and funding of the Project: A. To provide a technical representative to meet and participate as a member of the Project's Traffic Forums. B. To authorize the City to manage, procure, and implement all aspects of the Project. C. To participate and support the Project's implementation within the timeframe outlined in the Application and consistent with the Comprehensive Transportation Funding Program ("CTFP") Guidelines adopted by OCTA. D. To provide the City all current intersection, local field master, and/or central control system timing plans and related data upon request. E. To provide updates to the City on the Project as part of the semi-annual review process until completion of the three (3) year grant period for the Project. Documents to be provided include, but are not limited to, payroll records, contracts, and purchase orders. F. To provide payment for the dollar match identified in Attachment B to the City within 30 days of receipt of an invoice. Failure to provide the dollar match may result in the loss of future participation for M2 Regional Traffic Synchronization Program competitive funds. G. To review and approve in writing the traffic synchronization signal timing within the respective jurisdiction within ten working days of receiving same where the said improvements and timing parameters have been implemented. 5. Delegated Authority The actions required to be taken by Tustin in the implementation of this Agreement are delegated to its City Manager or designee, and the actions required to be taken by City in the implementation of this Agreement are delegated to its City Manager or designee. Tustin acknowledges this designation of authority is authorized under their respective local rules and regulations. 6. Audit and Inspection City and Tustin shall maintain a complete set of records in accordance with generally accepted accounting principles. Upon reasonable notice, City shall permit the authorized representative of Tustin to inspect and audit all work, materials, payroll, books, accounts, and other data and records of City for a period of four (4) years after expiration or termination of this Agreement or until any on-going audit is completed. Upon reasonable notice, Tustin shall permit the authorized representatives of the City to inspect and audit all work, materials, payroll, books, accounts, and other data and records of Participating Agencies for a period of four (4) years after expiration or termination of this Agreement or until any on-going audit is completed. For purposes of audit, the date of completion of this Agreement shall be the date of OCTA's payment of City's final billing (so noted on the invoice) under this Agreement. The Parties shall have the right to reproduce any such books, records, and accounts. The above provision with respect to audits shall extend to and/or be included in contracts with City's contractor. 7. Indemnification A. Tustin shall indemnify, defend and hold harmless the City, its officers, directors, employees and agents from and against any and all claims (including attorney's fees and reasonable expenses for litigation and settlement) for any loss or damages, bodily injuries, damage to, or loss of property caused by the negligent acts, omissions or willful misconduct by Tustin, its officers, directors, employees or agents in connection or arising out of the performance of this Agreement including damage to property and/or injury to person as a result of traffic accidents within Tustin's jurisdiction. B. Tustin shall maintain adequate levels of insurance, or self-insurance to assure full indemnification of City. Tustin shall provide City evidence and/or documentation of said insurance upon execution of this Agreement. C. City shall indemnify, defend and hold harmless Tustin, its officers, directors, employees or agents, and/or its officers, directors, employees or agents from and against any and all claims (including attorney's fees and reasonable expenses for litigation and settlement) for any loss or damages, bodily injuries, damage to, or loss of property caused by the negligent acts, omissions or willful misconduct by City including damage to property or injury to persons as a result of traffic accidents within the City's jurisdiction, its officers, directors, employees or agents in connection with or arising out of the performance of this Agreement. D. City shall maintain adequate levels of insurance, or self-insurance to assure full indemnification of Tustin. City shall provide Tustin evidence and/or documentation of said insurance upon execution of this Agreement. -5- 8. Additional Provisions A. Term of Agreement: This Agreement shall continue in full force and effect until December 31, 2020, or until the Parties' ongoing obligations under section 3.1-1 and 4.G have terminated, whichever is later. This Agreement may be extended or amended at the mutual consent of all Parties hereto. No amendment shall have any force or effect unless executed in writing and approved as to form by Tustin's City Attorney and the City Attorney for the City. B. The Parties agree to work together in good faith, using reasonable efforts to resolve any unforeseen issues and disputes arising out of the performance of this Agreement. C. The Parties shall waive any fees for permits required by either City or Tustin for the Project. D. Legal Authority: The Parties hereto consent that they are authorized to execute this Agreement on behalf of said Parties and that, by so executing this Agreement, the Parties hereto are formally bound to the provisions of this Agreement. E. Severability: If any term, provision, covenant or condition of this Agreement is held to be invalid, void or otherwise unenforceable, to any extent, by any court of competent jurisdiction, the remainder of this Agreement shall not be affected thereby, and each term, provision, covenant or condition of this Agreement shall be valid and enforceable to the fullest extent permitted by law. F. Counterparts of Agreement: This Agreement may be executed and delivered in any number of counterparts, each of which, when executed and delivered shall be deemed an original and all of which together shall constitute the same Agreement. Facsimile signatures will be permitted. G. The Parties shall comply with all applicable federal, state and local laws, statutes, ordinances and regulations of any governmental authority having jurisdiction over the Project. H. Force Majeure: Either Party shall be excused from performing its obligations under this Agreement during the time and to the extent that it is prevented from performing by an unforeseeable cause beyond its control, including but not limited to; any incidence of fire, flood; acts of God; commandeering of material, products, plants or facilities by the federal, state or local government; national fuel shortage; or a material act or omission by the other Party; when satisfactory evidence of such cause is presented to the other Party, and provided further that such nonperformance is unforeseeable, beyond the control and is not due to the fault or negligence of the Party not performing. 0 Assignment: Neither this Agreement, nor any of the Parties' rights, obligations, duties, or authority hereunder may be assigned in whole or in part by any Party without the prior written consent of the other Party hereto in its sole and absolute discretion. Any such attempt of assignment shall be deemed void and of no force and effect. Consent to one (1) assignment shall not be deemed consent to any subsequent assignment, nor the waiver of any right to consent to such subsequent assignment. J. Obligations to Comply with Law: Nothing herein shall be deemed or construed to authorize or require any Party to issue bonds, notes or other evidences of indebtedness under the terms, in amounts, or for purposes other than as authorized by local, state or federal law. K. Governing Law: The laws of the State of California and applicable local and federal laws, regulations and guidelines shall govern this Agreement. The venue shall be in Orange County, California. L. Notices: Any notice, demand, request, consent, approval or communication under this Agreement shall be in writing and either served personally or sent by prepaid, first-class mail to the address set forth below. Either Party may change its address by notifying the other Party of the change of address in writing. Notice shall be deemed given (a) upon personal delivery or (b) forty-eight (48) hours from deposit of such notice in the United States mail, postage prepaid. Kendig City Attorney Dated: Dated: ATTACHMENT A SCOPE OF WORK FOR REGIONAL TRAFFIC SIGNAL SYNCHRONIZATION PROJECT FOR IRVINE CENTER DRIVE/EDINGER AVENUE FROM NEWPORT AVENUE TO LAKE FOREST DRIVE IRVINE CIP 3317021TUSTIN CIP 40088 This project has been approved by the Orange County Transportation Authority (OCTA) as part of the Fiscal Year (FY) 2016-17 Regional Traffic Signal Synchronization Program (Project P). Funding in the amount of $2,280,000 has been allocated for this project. The primary implementation phase is funded for FY 2016-17 ($2,143,200). The maintenance and operation phase is funded for FY 2017-18 ($136,800). Unless expressly stated or upon written notice, the Consultant is required to complete each and every specific task listed in the scope of work. Tasks are itemized for clarity. However, some tasks may be performed concurrently or begin prior to the order listed below. Primary Implementation Phase: PROJECT SUMMARY The project requires the preparation of all documents necessary to upgrade the traffic signal system and to develop and implement signal system timing plans for the subsequent coordination of traffic signals within the project limits, consistent with the following scope of work. Section li provides a detailed description of the proposed traffic signal upgrades on this project. The Consultant must stay within the proposed scope and refrain from additional items that will add costs to this project unless a written City signed changed order is first secured. When necessary, the Consultant will prepare plans and specifications for the proposed upgrades based upon a City -supplied "Technical Provisions" boilerplate document. Signal coordination work will conform to the details specified herein. Design for all traffic signal work shall conform to the appropriate sections of the State of California Standard Plans and Specifications (2015 Edition) and latest version of the City of Irvine Standards and Design Manual, Section 104 — Traffic Signals, or the applicable standards of the participating agencies. Other improvements shall conform to the latest edition of the Standard Specifications for Public Works Construction (Green Book) and the City of Irvine Standards and Design Manual. Design documents shall include construction notes mandating daily cleanup, cabinet replacement and overhead wiring pre -requisites and requirements, and all furnished materials must be new. Sample language will be provided to the Consultant. Design shall also include traffic control requirements. The design engineer shall walk the project to verify details listed in this scope of work, including inspection of pull boxes, conduits and traffic signal cabinets. II. City of Tustin: • Edinger/Newport — Furnish and install new Cobalt ATC controller (Centracs ready), Actelis ML688 Ethernet switch and duplex outlet. • Edinger/Del Amo — Furnish and install new Cobalt ATC controller (Centracs ready), Actelis ML688 Ethernet switch and duplex outlet. • Edinger/AT&T - Furnish and install new Cobalt ATC controller (Centracs ready), Actelis ML688 Ethernet switch and duplex outlet. • Edinger/Red Hill — (Reuse ASC/3 Controller). Furnish and install Actelis ML688, Ethernet switches and duplex outlet. • Edinger/Parkway Loop - Furnish and install new Cobalt ATC controller (Centracs ready), Actelis ML688 Ethernet switch and duplex outlet. • Edinger/Kensington Park - Furnish and install new Cobalt ATC controller (Centracs ready), Actelis ML688 Ethernet switch and duplex outlet. • Edinger/Jamboree Plaza — Replace existing P44 Cabinet with new P44 Cabinet on existing foundation. (Reuse ASC/3 Controller). 4 vehicle phases, 2 ped phases, 16 channels of loop detection and appurtenances. Re-establish Type II service and BBS cabinet. Two year software maintenance agreement and communications integration. The Consultant shall be required to coordinate with the City of Tustin to verify upgrade details, facilitate any required encroachment permits and install all improvements. III. SCOPE OF WORK — TRAFFIC SIGNAL COORDINATION A. TIMING PLANS 1. Develop and implement signal system timing plans to coordinate traffic signals on Irvine Center/Edinger from Newport to Lake Forest, including the following 39 intersections: City of Tustin: • Edinger/Newport • Edinger/Del Amo • Edinger/AT&T • Edinger/Red Hill • Edinger/Parkway Loop • Edinger/Kensington Park • Edinger/Jamboree Plaza • Edinger/Jamboree • Edinger/Aviator City of Irvine: • Irvine Center/Harvard • Irvine Center/Hearthstone • Irvine Center/Culver • Irvine Center/Deerwood • Irvine CenterNale • Irvine Center/Fontaine • Irvine Center/Jeffrey • Irvine Center/Irvine Valley College • Irvine Center/Orangetree • Irvine CenterNalley Oak • Irvine Center/Sand Canyon • Irvine Center/Odyssey • Irvine Center/Laguna Canyon • Irvine Center/Discovery • Irvine Center/Charter • Irvine Center/Barranca • Irvine Center/Gateway • Irvine Center/Alton • Irvine Center/Spectrum • Irvine Center/Pacifica • Irvine Center/Entertainment • Irvine Center/1-405 SB Ramp • Irvine Center/Research • Irvine Center/Hubble • Irvine Center/Bake • Irvine Center/Muller • Irvine Center/Tesla • Irvine Center/Scientific • Irvine Center/Protocol • Irvine Center/Lake Forest (crossing arterial) For City of Irvine intersections, the Consultant shall translate all existing timing data from the City's existing ACTRA system to integrate into the Centracs system. Additionally, all new timing plans shall be developed and implemented on the Centracs system. 2. Timing plans are to be implemented at the Traffic Management Center or at the local controller. Timing plan development should take into account optimization of delay, progression, saturation flow rate, and lost time. The Consultant shall evaluate the signal timing and coordination parameters to optimize coordination timing using: • Modified Phase Sequence Rotation o Lead/Lead o Lead/Lag o Leading and lagging the same phase within a given cycle (re - servicing) • Harmonic cycling — double or half • Other innovative techniques upon approval of the owning agency 3. Consultant will contact and work with other agencies affected by the project and will coordinate efforts with concurrent cross street projects in order to achieve mutually acceptable results. B. DEFINITIONS 1. Arterial Segment: Length of arterial between signalized intersections in both directions. 2. Arterial Section: Two or more consecutive arterial segments. C. PHASE 1 — DATA COLLECTION 1. ADT COUNT REPORT — Collect seven-day 24-hour machine count — for each arterial segment. Present results of seven-day 24-hour machine count in Microsoft Excel spreadsheet and graph format, in electronic and hard copy format, one (1) week after counts are taken. Include proposed peak period and durations (a.m., noon, p.m., off-peak and for City of Irvine Intersections, an after-hours period). The City will provide the electronic format. Provide re -submittal based on comments by the City within one (1) week of receiving City comments. 2. TURNING COUNT REPORT — After approval of seven-day 24-hour machine count submittal, collect intersection turning count data for peak periods (a.m., noon, p.m., and for City of Irvine intersections, an after-hours period) at each of the thirty-eight (38) intersections. The peak periods hours shall be determined by City staff after review and approval of seven-day 24-hour machine count data. 2.1. Peak periods can be expected to last approximately 2 hours for a.m., and 3 hours for both noon and p.m. periods, unless otherwise agreed upon. The first hour of noon period will be used as off-peak volume. 2.2. Turning count data shall be collected and submitted two (2) weeks after ADT data is provided. Present results of 15 -minute counts for each intersection in Microsoft Excel spreadsheet, in both electronic and hard copy format. The City will provide the electronic format. Provide network schematic drawing (AutoCAD format) showing: • NEMA phase numbers. • Intersection geometry, including bike lanes. • Peak hour totals for each count period (a.m., noon, p.m. and off- peak and for City of Irvine intersections, an after-hours period showing peak hour volumes by movement for each intersection. • The network schematic drawing should show north (or west) end of arterial to the left of drawing. 3. ADVANCED LOOP MEASUREMENT — Consultant shall use the latest California MUTCD guideline to field measure all advanced loops to the stop bar to calculate the extension time. Submit all measurements and calculations in Microsoft Excel format to the City staff for review. 4. PEDESTRIAN CLEARANCE — Consultant shall use the latest California MUTCD guideline to field measure all intersection crosswalks. Submit measurements and calculations in Microsoft Excel format to the City staff for review. 5. BICYCLE TIMING — Consultant shall use the latest California MUTCD guideline measure and calculate bicycle timing for all directions. Submit all measurements and calculations in Microsoft Excel format to the City staff for review. Provide re -submittal based on comments by the City within two (2) weeks of receiving City comments. D. PHASE 2 — NETWORK MODELING SYNCHRO (Version 8) will be utilized to perform timing analysis and generate the network model. Existing coordination parameters will also be observed in network modeling to provide smooth progression at crossing arterial intersections. See the following Coordination Timing Development Specifications (Section J) for more details. 1. DRAFT MODEL, NETWORK PARTITIONING and CYCLE EVALUATION — Develop network modeling timing plans for each time period — a.m. peak, noon peak, p.m. peak and off-peak and for City of Irvine intersections, an after-hours period. Evaluate the possibility of partitioning network into sub- systems. Provide cycle evaluation analysis for each time period and sub- system. Attempt to minimize impact to progression across sub -systems. Pedestrian timings should be included in the model. Using the following Macro and Micro search optimization steps to determine optimal cycle length for each subsystem: • Macro Search — Minimum cycle search should be set at 60 seconds and the best cycle length with increments of 10 seconds should be selected. • Micro Search — Minimum/Maximum cycle search should be set at +/- 6 seconds from the best cycle length of Macro search with increments of 2 seconds. The submittal will include electronic version for City's review and approval. 1.1 Submit Draft Network model and Cycle Evaluation three (3) weeks after turning counts are approved by the City. 1.2 Cycle Evaluation should be presented in table format, for each peak period and sub -system. 1.3 A re -submittal will be required within two (2) weeks of the receipt of City comments. 1.4 The City will provide existing phasing configuration and timing parameters. 1.5 For the City of Irvine locations, all time -space diagrams shall be optimized using Tru -Traffic. 2. BEFORE STUDY — The Before Study will consist of an Arterial Travel Time Study and a Traffic Signal Operational Analysis. Information regarding the Measures of Effectiveness (MOE) must be gathered through the arterial section to generate a baseline Level of Service (LOS) for comparison to the After Study. A Before Study shall be submitted for each of the four time periods: a.m., noon, p.m., and off-peak. Additionally, for City of Irvine intersections, a Before Study for after hours period shall also be submitted. 2.1 Present the Before Study to establish a baseline for determining the effectiveness of the final proposed timing plan. Provide directional data and results from Microsoft Excel format, in both electronic and hard copy format. 2.1.1 The Measures of Effectiveness (MOE) for the Travel Time Study should be generated using the floating car method and from Tru -Traffic (version 10). The trip log files should be in .gpx or .TruTTrip format. The City will provide a sample output. 2.1.2. The Travel Time Study shall include seven (7) runs in each direction of travel. 2.1.3. The Traffic Signal Operational Analysis will be based on the procedures defined in the latest version of the Highway Capacity Manual (HCM) and in the Highway Capacity Software (HCS). 2.1.4. The City will provide a sample format for the Travel Time Report. 3. FINAL NETWORK MODEL — Upon final approval of the network model, the timing plans shall be converted and organized in tables in accordance with NEMA/ACTRA phase and sequence. 3.1 Submit two (2) weeks after the City approves the optimal cycle. 3.2 A re -submittal with corrections will be required within two (2) weeks of the receipt of City comments. E. PHASE 3 — IMPLEMENTATION 1. Consultant shall implement and fine-tune the timing plans. Consultant shall verify the implemented timing plans by performing field checks and keep City staff informed in writing of the implementation progress. 2. Upon completion of Implementation Phase, Consultant shall incorporate all changes and re -submit Synchro files, Tru -Traffic files, Timing Plan, and Tables with final implemented data. F. PHASE 4 — VERIFICATION 1. AFTER STUDY — Upon completion of the Implementation Phase, an After Study shall be prepared and submitted. The After Study will consist of an Arterial Travel Time Study and a Traffic Signal Operational Analysis. Information regarding the Measures of Effectiveness (MOE) must be gathered through the arterial section to generate a post -implementation Level of Service (LOS) for comparison with the Before Study. An After Study should be submitted for each of the four time periods: a.m., noon, p.m., and off-peak. Additionally, for City of Irvine intersections, an After Study for after hours period shall also be submitted. The After Study must be submitted two (2) weeks after completion of Implementation Phase. 1.1. Present the After Study in comparison to the Before Study baseline. This comparison will be utilized to determine the effectiveness of the final proposed timing plan. Provide directional data and results in Microsoft Excel format, in both electronic and hard copy format. 1.1.1. The Measures of Effectiveness (MOE) for the Travel Time Study should be generated using the floating car method and from Tru- Traffic (version 10). The trip log files should be in .gpx or .TruTTrip format. The City will provide a sample output. 1.1.2. The Travel Time Study shall include seven (7) runs in each direction of travel. 1.1.3. The Traffic Signal Operational Analysis will be based on the procedures defined on the latest version of the Highway Capacity Manual (HCM) and of the Highway Capacity Software (HCS). 1.1.4. The Before and After Study will be submitted within two (2) weeks of the implementation phase. A re -submittal will be required within two (2) weeks of the receipt of City comments. 2. BASIS FOR SUCCESSFUL PROJECT COMPLETION — Project implementation should achieve at least a ten (10) percent reduction in travel time in a given arterial section. Coordination Timing plans should produce improvements to both delay and progression. G. PHASE 5 — FINAL REPORT At the end of the implementation phase, Consultant shall prepare a Final Report with an executive summary. The report shall provide complete documentation of the project, including, but not limited to, project objectives, project locations, project scope, findings, recommendations, implementation schedule, improvements accomplished, report on the Maintenance and Operation phase and procedures for continuing maintenance, surveillance, and evaluation of the coordinated signal system, work performed, data collected including before and after studies and project benefits achieved in terms of fuel savings, travel time, and other measure parameters. The report shall document all planned and programmed improvements on the study corridor as well as recommendations for further infrastructure improvements that would likely improve the corridor signal coordination project results. Consultant shall present the final report and results of the project to each participating agency as required. The report shall be completed in accordance with the current OCTA CTFP Guidelines. The report shall include for each intersection: lane configurations, signal phasing, turning movement data and cycle lengths for existing and proposed timings for all peak periods. In addition, phase sequences for each timing plan and pedestrian clearance shall be documented. Finally, the report shall provide recommendations with cost and benefit estimates for future improvement to traffic signal infrastructure (signal controllers, vehicle detection, communications, etc.), intersection capacity (appropriate signal phasing, lane geometrics and alleviation of physical bottlenecks that curtail arterial capacity) and traffic management strategies. These proposed improvements are beyond the scope of this project but should be useful in determining future enhancements to the corridor. At the end of the three (3) year period, the Consultant shall prepare the Final Report as required by the current OCTA CTFP Guidelines. The Consultant shall submit one (1) electronic copy and one (1) hard copy to each participating agency. H. PAYMENT SCHEDULE 1. Payments will be made at the completion of each phase, according to the following schedule with the suggested percentages or as approved: Phase 1 — Data Collection: 15% Phase 2 — Network Modeling: 20% Phase 3 — Implementation: 30% Phase 4 — Verification: 15% Phase 5 — Final Report: 20% 2. No partial payments will be made for incomplete project phases unless prior written approval is given. Delays on completion of a Project Phase will be unacceptable due to the critical deadline the City must meet for the award of outside funds. I. MEETINGS 1. The Consultant will meet or contact City staff before and after each project phase for input, comments, and review. 2. The following meetings will occur: • Pre -Design: Discuss the scope of work and project time frame. Consultant shall present project schedule. Outside agencies affected by the project shall be invited to the pre -design meeting. • Data Collection: Review comments by City staff on the ADT count data, turning movement count data and Before Study. • Network Modeling: Review comments by City staff on the draft SYNCHRO model, Tru -Traffic diagram, cycle evaluation and network partitioning to establish a plan of action for data conversion. • Implementation: After approval of signal timing and synchronization plans, the Consultant's representative shall meet with City staff to discuss procedures for implementation of the new timing. • Final Report: Review comments by City staff of the After Study to establish the format and content on the Final Report. J. COORDINATION TIMING DEVELOPMENT SPECIFICATIONS 1. Study Methodology a. Computer Software: SYNCHRO (version 8), and Tru -Traffic (version 10) must be use for this analysis. b. Network Level of Detail: Arterial and Intersection configuration should be of sufficient detail to allow simulation of traffic model using SimTraffic software. c. Network Partitioning: Network Partitioning should be used to better represent traffic conditions. d. Progression: Two-way progression is required. K. SYNCHRO AND TRU-TRAFFIC MODELING 1. Arterial Parameters a. Node numbers: Observe that the westbound direction on Irvine Center Drive is from Lake Forest to Newport Avenue. Signalized intersection numbering should follow the City's signal identification numbers. b. Arterial Names: All main arterial and cross street links should be named. c. Cycle Length: Perform cycle evaluation for each network subsystem, and consult with the City staff to determine optimal cycle length. Half cycle may be used. d. Speed: The modeled progression speed should reference the flow of traffic. 2. Intersection Parameters a. Phase Sequences: Phase sequences with both left -turn movements lagging will not be allowed. b. Phasing Parameters: Use parameters from timing card provided by the City. c. Offset Style: Use "TS2-1St Green" Offset Style. d. Peak Hour Factor and Growth Factor: Utilize the calculated Peak Hour Factor from the turning movement counts and set Growth Factors to 1.0. e. Saturation Flow Rate and Lost Time: The lane capacity should be 1800 vehicles per lane per hour of green and lost time should be set to two seconds. f. Lane Width: Left -turn lanes shall be 10 feet in width; all others shall be 12 feet. g. Bike Lanes: Bike lanes can be coded as 8 foot right -turn lanes if bike lane width plus adjacent through lane width equals at least 20 feet. 3. Reference Intersections The Consultant shall coordinate with each participating agency to determine the reference intersection(s) setting. 4. Optimize Timing Plans and Analyses a. Use Synchro and Tru -Traffic to produce optimal timing plans. b. Evaluate the performance of signalized intersections by values of the Measures of Effectiveness (MOE). The following MOE will be studied: travel time, delay and number of stops. c. The LOS measurement should be used to identify critical movements or degree of saturation in Synchro timing plans. d. Any improvement for resolving interruption to through bandwidth should be identified. 5. Presentation of MOE Results a. Provide an MOE summary table, which includes the following data: ■ Traffic Flow ■ Average Delay ■ Total Travel Time ■ Number of Stops • Average Speed ■ Network Performance Index L. WORK PROGRAM 1. If deemed necessary by the City, the Consultant shall prepare any design construction documents in the form of sketches to full Plans, Specifications and Estimates. Consultant shall prepare plans to be used during construction and shall meet each agency's standards. Consultant shall provide documentation to each agency's project manager for approval prior to commencing any construction. Construction documents will be used during the course of construction by the agency for inspection services. Consultant shall modify documents subject to the approved construction completion to owning agency as an as -built document. Cost for production, reproduction, inspection services, and as -built services are part of the price of the contract and no additional compensation shall be allowed. 2. Identify design/construction alternatives that may reduce project cost within the limits of the design. Submit alternatives to the City for review and written approval prior to commencing final design. 3. Provide surveying, as necessary, to facilitate the preparation of the design documents. Submit all design survey calculations and notes. As a minimum, notes and calculations used to compile topographical information and the culture notes indicating specific locations of all existing facilities and obstructions within the project right-of-way shall be submitted. 4. Meet with City staff, other agencies, and/or utility companies (as necessary) to coordinate the project design. Design concept shall be approved by City in writing prior to preparation of final design documents. 5. Identify and coordinate with all utility companies affected by the project, including any City facilities. Delineate all utilities within the sphere of the project on the plans. Prepare and issue appropriate utility notifications and perform related follow-up. As a minimum, notifications shall consist of the following: 5.1. Utility Information Request: 5.1.1. Ask utility companies for location, size, etc., of its facilities within the project limits. This notice is forwarded concurrently with commencement of design. 5.1.2. In the event existing utilities are present within the proposed project site, transmit notice and preliminary plans to the affected utility agencies to determine the magnitude of the relocation, schedules and further coordination requirements. 5.2. Notice to Relocate: 5.2.1. Prior to project bidding, transmit notice and approved project plans to affected utility agencies, as previously identified, requesting immediate relocation. 6. Perform mandatory field review(s) of the site so that the design anticipates any construction problems that may occur as result of existing improvements. If, during the field review, any issues or impacts to the design and construction scope are apparent, meet with the City to review and discuss options. 7. Prepare complete plans that are applicable and necessary to the scale format as indicated below or as required by other governing agencies. 7.1. Title Sheet Format provided by the City. 7.2. Traffic Signal System Plan (Scale 1" = 20') based on the City of Irvine Standards and Design Manual Section 104 and Caltrans Standard Plans and Specifications. Show new and existing curb and gutter, right-of-ways, driveways, maintenance easements and all existing utilities and City boundary lines. 7.3. Traffic Signal Interconnect System Plan and Detail (Scale: 1" = 40') based on City design criteria, prepare separate plans for all required traffic signal interconnect system improvements. Plans shall reflect curbs, right-of-ways and existing roadway features such as driveways, pullboxes, signal poles and signal cabinets that might interfere with the installation of the subject improvements. Plans shall also include a fiber optic splice chart for each traffic signal cabinet. 7.4. Signing, Striping and Construction Phasing/Traffic Control (Scale: 1" _ 40'). 7.5. Traffic Signal Detail Sheet format provided by the City. 8. Prepare process and obtain any permits required for construction of the improvements. 9. Submit written bi-weekly project status reports to the project manager. The reports are to include progress to date and anticipated problem areas and will be used as a measure of work completion. Additionally, copies of all correspondence, minutes of meetings and other communications must be submitted. 10. Prepare specifications in the format currently in use by the City. 11.The City will provide the Consultant with the current City "boilerplate" Technical Provisions. Consultant shall prepare specifications for each item of work to supplement the City's Technical Provisions. 12. Prepare cost estimates with quantities and unit prices with back-up calculations for all quantities. Preliminary cost estimates shall be provided at each submittal and a final cost estimate shall be provided with submittal of approved final plans and specifications. 13. Two (2) weeks prior to submittal of plans and specifications, submit one set to the City for preliminary review. Revise the plans and specifications accordingly, prior to submitting the review sets. 14.A minimum of four (4) sets of documents shall be required for each review submittal to the City of Irvine. Consultant shall supply to other agencies the minimum number of sets required by them for their review along with any other required data, including permit applications. 15. Consultant is expected to complete plan check in a maximum of three (3) submittals. The first submittal shall be 80% complete, incorporating all City supplied design documents. The second submittal shall be 90% complete, incorporating all approved comments and modifications from the first plan check. The third submittal shall be 100% complete, representing all information required for construction of the project. The third plan check may be used as a counter plan check for signature. 16. Submit complete copies of all back-up calculations of quantities. Provide engineer's estimate of construction costs with each submittal. 17.All final improvement plans shall be drawn in ink (decals will not be permitted on the completed work) on City of Irvine standard 24" x 36" sepia or vellum, unless otherwise required by another agency. The plans shall also include a City of Irvine Public Works Title Sheet. Plans shall be prepared in AutoCAD (DWG file format). Original AutoCAD file, signed PDF and two (2) hard copies shall be supplied to the City Traffic Engineering/Circulation Division upon completion of design. City will provide a sample of AutoCAD file for the title sheet and title block on plan sheets. 18. Prepare all bidding and contract documents. Upon approval, provide Engineer -certified original sepia or vellum drawings, specifications, and electronic files to the City. 19.As part of the Not to Exceed fee, the Consultant shall provide a fee line item for any as-builts required to satisfy the requirements of this Request for Proposal, including packages for plan check submittals and coordination with utilities. Other anticipated cost including plotting, mileage, delivery charges, etc that are required to complete the design shall be included in Consultant's hourly rates. The City may authorize in writing only, extra costs resulting from additional requests for document processing beyond the scope of this Request for Proposal, as individual situations arise. M. CONSTRUCTION SUPPORT 1. Attend preconstruction meeting(s) and provide clarification of contract documents, as necessary, during the project construction phase. 2. Provide engineering assistance related to Change Order work initiated by the City on a time and material basis. Change Orders must be approved in writing by City before any change order work can begin. 3. Subsequent to completion of construction, draft all corrections to project drawings and revise AutoCAD files using Contractor's or the City's redlines. The project drawings and electronic files will then become Project Record Drawings and should be labeled as such. Transmit original mylar Record Drawings and electronic files to the City. 4. Review shop drawings and material certifications for compliance with contract specifications. 5. Consultant shall coordinate with City to provide general contract administration in all aspects of the project such as Request for Information/Request for Clarification (RFI/RFC), submittals, concerns and any other issues. Maintenance and Operation Phase: The Consultant will provide "on-call" signal timing support services for a period of 24 months following the implementation and fine -turning of the final signal timing to address any future adjustments that may be needed during this period. Depending on the nature of the adjustment, the Consultant may, upon written approval by the responsible agency, accomplish fine-tuning adjustments through the management systems for the cities of Irvine and Tustin. During this 24 month period, the Consultant will be prepared to address all resident complaints and review any project intersection requested within 24 hours of written notice including observing and fine-tuning the signal timing. The Consultant will drive the entire length of the project arterial during all designated corridor synchronization timing plan hours of operation on a monthly basis in order to verify that the synchronization is working as designed and complete any necessary adjustments. The Consultant shall notify the participating agencies at least 24 hours prior to commencement of driving periods. The Consultant shall document all their recommendations and agency actions. MOE in Microsoft Excel format shall be submitted along with GPS log to the City staff once per month. Optional Work: The following are optional items of work, and the City of Irvine reserves the right to exercise its option to delete or proceed with these items. None of the following tasks shall be started without authorization from the City of Irvine. Task No. 1: Project Management Consultant will develop a work schedule to ensure compliance with the established project goals and execution strategy. The project tasks will include shop drawing review, permits, field meetings, Notice to Proceed, and completion of construction contract and preparation of "record" drawing. Consultant will coordinate the following services with City: - Monitor design, inspection schedules, budgets, and provide administration of the contract with City. - Provide shop drawing submittal schedule and revise/update as required to address necessary changes. - Review shop drawing submittals and construction documents prior to transmittal to City. - Determine and contact all affected agencies to obtain permits required to construct the projects. Meetings A "kick-off" meeting will be held with City engineering and operation staff to discuss the scope of work and parameters of the project and existing facilities. The focus of this meeting will be to identify specific goals and develop an effective strategy to accomplish the project goals. A memorandum will be prepared to document the project goals and strategy. Subsequent meetings will be scheduled as necessary to fulfill the following objectives: - Conduct weekly meetings with City staff. The meetings shall be attended by Consultant's project manager and the inspector assigned to the project. - Coordinate with City personnel and representatives of utilities, government agencies and City departments during construction. - Participate in 15 informal meetings with City to review progress of the project and exchange information. - Meet with City to discuss key issues and develop general project criteria for construction. A key success factor in any project is the development of meaningful and productive meetings for whatever their intended purpose may be. The project manager will be responsible for the documentation of all project meetings with the City. Meeting agendas will be developed and meeting minutes with action items shall be distributed within five working days to all attendees. Task No. 2: Construction Engineering Support Consultant will coordinate with City to provide general contract administration for the construction of the projects. The contract administration tasks shall include interpreting contract documents for the contractor Request for Information/Request for Clarification (RFI/RFC); review construction shop drawings for conformance with project plans specifications and provide recommendations to City. Resident Engineering A resident engineer shall be assigned for the project and be on-call 24 hours a day, seven days a week during construction. The resident engineer shall be responsible for the following: - Meet weekly with City to update project status and schedule. - Clarify construction changes and irregularities. - Review Contractor's progress payments and submit to City for approval. - Negotiate, prepare and process change orders and/or extra work orders. - Review Contractor's construction information recorded by inspectors during the course of construction. - Prepare Public Notifications, Notice to Residents and coordinate with the Contractor regarding the distribution of the documents. Record Drawing Preparation Consultant will prepare record drawings by making all changes on original mylar drawings provided by City. Additionally, existing electronic drawings will be updated in AutoCAD format and include all field changes. Task No. 3: Construction Inspection A construction inspector shall be assigned to observe the contractor's construction progress and attend meetings with City and the contractor regarding meeting schedules. The inspector shall be on-call 24 -hours a day, seven days a week during construction, and be responsible for the following: - Coordinate with the contractor to determine the need to be on-site whenever the contractor is working. - Meet weekly with City staff to update project schedule. - Furnish progress reports and final construction reports. - Assist in quality assurance to achieve conformance with the contract plans and specifications. - Assist and coordinate with the contractor to notify City residents of pertinent issues. - Assist City with the temporary shutdown of the utility and interruptions in service to customers as required. - Maintain daily construction progress reports, project logs, photos, etc. to document the progress of the work and submit weekly reports to City. - Ensure contractor compliance with the General NPDES Permit of the City of Irvine. - Establish/update a punchlist during construction and prepare a final inspection of the punchlist items to confirm completion by the contractor. - Submit one complete set of construction progress digital photographs illustrating the scope of work and critical elements. The photographs shall be mounted, identified and indexed in notebook form. Task No. 4: Coordination of Shutdown of Facilities Consultant will coordinate with City engineering and operational staff on all temporary shutdowns and startups during the construction to ensure compliance with City standard. CHANGES IN WORK 1-1 CHANGES REQUESTED BY THE CONTRACTOR 1-1.1. General The Contractor may initiate changes by submitting a written Change Order Request to the Agency Representative containing: (a) Description of the proposed changes. (b) Statement of the reason for making the changes. (c) Reference applicable Specifications sections and specific Plans in support of the request. (d) Statement of the effect of the Contract Price and Time. (e) Statement of the effect on the work of separate Subcontractors. (f) Documentation supporting any change in Contract Price or Contract Time as appropriate. 1-2 CHANGES INITIATED BY THE AGENCY 1-2.1 General The Agency may issue a Change Order for modifications of work including, but not limited to, the Plans, Specifications, character, quantity or time of work. Change Order shall be in writing and state the dollar value of the change or establish the method of payment and any adjustment in the contract time of completion. The Agency Representative may order minor changes in the work not involving an increase or decrease in the contract price, nor involving a change in the time for completion but consistent with the purposes for which the works are being constructed. If the Contractor believes that any order for minor changes in the work involves change in the contract price or time of completion, the Contractor shall not proceed the change and notify the Engineer in writing of his/her estimate of the changes in the contract price and time for completion he/she believes to be appropriate. No payment for changes in the work will be made and no change in the time of completion by reasons of changes in the work will be made, unless the changes are covered by a written Change Order approved by the Agency in advance of the Contractor's proceeding with the changed work. Once a Change Order is finalized and executed by both parties, the Contractor waives its right to seek any additional compensation for the work covered by the Change Order or any project impacts. The Contractor agrees that all Change Order constitutes full payment for the work covered by the Change Order including all direct and indirect overhead expenses. Notwithstanding any other provision in the contract documents, the Agency's issuance of a Change Order shall not constitute a waiver by the Agency of or preclude the agency in any way from asserting any claim with respect to the same including but not limited to, a claim of breach of contract or claim that the issued Change Order covers work included in the scope of work set forth in the contract documents for which the Contractor was not entitled to any additional funds. A contract Change Order approved by the Engineer may be issued to the Contractor at any time. Should the Contractor disagree with any terms or conditions set forth in an approved Contract Change Order the Contractor shall proceed with the Changer Order work in accordance with Subsection 3-4 "DISPUTED WORK" of the Standard Specifications, and submit a written protest to the Engineer within fifteen (15) days after the receipt of the approved Contract Change Order. The protest shall state the points of disagreement citing the Specification references, quantities and costs involved. If a written protest is not submitted, payment will be made as set forth in the approved Contract Change Order and payment shall constitute full compensation for all work included therein or required thereby. Unprotested approved Contract Change Order will be considered executed Contract Change Order. The Engineer may initiate changes by submitting a Request for Quotation to the Contractor. Such request will include detailed description of the change, products, and location of the change in the work, and supplementary or revised Plans and Specifications. Such request is for information only and is not an instruction to execute the changes or to stop work in progress. Contractor shall support each quotation for a lump -sum proposal, and for each unit price that has not previously been established, with sufficient substantiating data to allow Agency Representative to evaluate the quotation. On request, the Contractor shall provide additional data to support time and cost computations, labor required, equipment required, products required, recommended source of purchase and unit costs, and quantities required, taxes, insurance and bonds, credit for work deleted from contract, similarly documented, overhead and profit and justification for any change in contract time. The Contractor shall support each claim for additional costs and for work done on a time-and-material/force account basis, with documentation as required for a lump -sum proposal, plus additional information as follows: (a) Name of the Agency Representative who ordered the work and date of the order (b) Date and time work was performed and by whom; (c) Time record, summary of hours worked and hourly rates paid (d) Receipts and invoices for equipment used, listing dates and times of use, products used, listing of quantities and subcontracts. In lieu of a Request for Quotation, the Engineer may issue a written Field Order for the Contractor to proceed with a change for subsequent inclusion in a Contract Change Order. Authorization will describe changes in the work, both additions and deletions, with attachments of revised contract documents to define details of the change and will designate the method of determining any change in the contract price and any change in contract time. Agency Representative will sign and data the field order as authorization for the Contractor to proceed with the changes. Contractor may sign and date the field order to indicate agreement with the terms therein. Contractor shall proceed with the work so ordered prior to the actual receipt of an approved Contract Change Order. Notwithstanding anything to the contrary stated herein, to be valid and enforceable as to the Contractor or its agents, any request for additional work (whether initiated by the Contractor or City, or whether made under any of the procedures set forth herein) must be in a writing with City approval clearly stated thereon and must be made by a City employee or agent so authorized to provide such approval. 1-2.2.1 Contract Unit Prices In the case of such an increase or decrease in a Major Bid Item, the use of this basis for adjustment of payment will be limited to that portion of the change, which together with all previous changes to that item, is not in excess of twenty-five percent (25%) of the total cost of such item based on the original quantity and Contract Unit Price. 1-2.4 Agreed Prices Agreed prices shall be negotiated before commencement of the changed work. 1-3 EXTRA WORK 1-3.2.1 General When the price for the additional work cannot be agreed upon prior to the commencement of the work, the Agency will pay for the extra work based on the accumulation of costs as provided herein. 1-3.2.2 Basis for Establishing Costs (a) Tool and Equipment Rental The rates to be used for determining equipment rental costs shall be those rates listed for such equipment in the State of California, Department of Transportation (Caltrans) publication entitled "Equipment Rental Rates and Labor Surcharge," which is in effect on the date upon which the work is accomplished, regardless of ownership and any rental or other agreement entered into by the Contractor, if such may exist, for the use of such equipment. If it is deemed necessary by the Engineer to use equipment not listed in the said publication, the Engineer will establish a suitable rental rate for such equipment. The Contractor may furnish any cost data, which might assist the Engineer in the establishment of such rental rate. Equipment Rental Rates for Labor Surcharge publication is available from Caltrans at http://www.dot.ca.qov/hq/construct/eguipmnt.htm1. Operators of rented equipment will be paid for as provided in Section 1-3, "EXTRA WORK." Rental time will not be allowed while equipment is inoperative due to breakdowns. 1-3.2.3 Markup (a) Work by Contractor. The following percentages for overhead, administrative expenses and profit will be added to the Contractor's costs as determined under Subsection 1-3.2.2 and shall constitute the markup for all overhead, increase in Contractor's bonds, administrative expenses and profit on work by the Contractor: (1) Labor 20% (2) Materials 15% (3) Equipment Rental 15% (4) Other Items and Expenditures 15% (b) Work by Subcontractor. When all or any part of the extra work is performed by a Subcontractor, of any tier, the markup established in Subsection 1-3.2.3(a) shall be applied to the Subcontractor's actual cost of such work. Contractor markup on Subcontractor work shall be limited to five percent (5%). (c) No payment shall be made for any item not set forth above, including without limitation Contractor's overhead, general administrative expense, supervision or damages claimed for delay in prosecuting the remainder of the work. This provision shall be construed to preclude the recovery of damages by the Contractor stemming from delay for which the Agency is responsible, which is unreasonable under the circumstances involved, and which was not within the contemplation of the Agency and the Contractor. 1-3.3 Daily Reports by Contractor The Contractor shall notify the Agency Representative in writing at the beginning of each day when extra work is in progress. No payment will be made for work not verified by the Agency Representative. City and Tustin are sometimes referred to herein individually as a "Party" or collectively as the "Parties". RECITALS A. City in cooperation with Tustin is working to coordinate traffic signals across multiple jurisdictional boundaries as a part of the Renewed Measure M ("M2") Regional Traffic Signal Synchronization Program Project P ("Project P") to enhance countywide traffic flow and reduce congestion. B. City has been awarded Project P funds based on the application ("Application") prepared by City for implementation of signal synchronization of traffic signals along the Von Karman Avenue/Tustin Ranch Road Corridor between Campus Drive and Pioneer Way (hereinafter, "Project"). C. Tustin has elected to designate City and City agrees to act as implementing agency to carry out the Project. D. The Project will include the synchronization of approximately thirty (30) traffic signals as identified in the Application and illustrated in the Project scope of work, which is attached and incorporated herein as Attachment A. E. The Project will include elements identified in the Application such as the development and implementation of optimized signal synchronization timing, preparation of before and after study, and installation of signal timing improvements as identified in Attachment A. F. City agrees to work with Tustin to coordinate the inclusion of other traffic control elements that must be installed at the same time as the construction of the Project and that are NOT included in Attachment A. The Parties agree that a Party's request to include any such element will result in said Party taking full financial responsibility for each and any of those traffic control elements during the course of the Project, unless and otherwise agreed to in writing. G. City agrees to implement the Project as referenced on Attachment A. H. The funds received through Project P provide eighty percent (80%) or up to One Million Four Hundred Thirty -Nine Thousand Nine Hundred Eighty Dollars and No/100 ($1,439,980.00) of the total Project cost as set forth in Attachment B, which is attached and incorporated herein by reference. The Parties agree to contribute the remaining twenty percent (20%), based on the share of the Project occurring in that Party's jurisdiction. Said total contribution will consist of cash contribution of Three Hundred Sixty Thousand Dollars and No/100 ($360,000.00). Tustin's share shall be a cash contribution equaling Two Hundred Thirty -Three Thousand Forty -Five Dollars and No/100 ($233,045.00). City's participating share shall be a cash contribution equaling One Hundred Twenty -Six Thousand Nine Hundred Fifty -Five Dollars and No/100 ($126,955.00). I. In the event the cost of the Project exceeds the estimates as submitted in the Application prepared by City, the Parties agree to meet and determine revisions to the Project to satisfy the budget(s) or revised funding proposal(s) by the Parties, which shall be documented and submitted in writing as an amendment to the Agreement. Any cost overruns shall be the financial responsibility of the jurisdiction where the work improvement occurs or as the case may be, causes the required improvement. J. The Parties desire to enter into this Agreement to implement the Project in support of Project P as part of M2. K. This Agreement defines the specific terms, conditions, and funding responsibilities between the Parties for the implementation of the Project. AGREEMENT NOW, THEREFORE, in consideration of the above recitals and the mutual covenants set forth below, City and Tustin agree as follows: 1. Complete Agreement A. This Agreement, including any attachments incorporated herein and made applicable by reference, constitutes the complete and exclusive statement of the terms and conditions of this Agreement between City and Tustin and it supersedes all prior representations, understandings and communications between the Parties. The above referenced Recitals are true and correct and are incorporated by reference herein. B. City's failure to insist on any instance(s) of Tustin's performance of any term(s) or condition(s) of this Agreement shall not be construed as a waiver or relinquishment of City's right to such performance or to future performance of such term(s) or condition(s), and Tustin's obligation in respect thereto shall continue in full force and effect. C. Changes to any portion of this Agreement shall not be binding upon City except when specifically confirmed in writing by an authorized representative of City by way of a written amendment to this Agreement and issued in accordance with the provisions of this Agreement. D. Tustin's failure to insist on any instance(s) of City's performance of any term(s) or condition(s) of this Agreement shall not be construed as a -2- waiver or relinquishment of Tustin's right to such performance or to future performance of such term(s) or condition(s), and City's obligation in respect thereto shall continue in full force and effect. E. Changes to any portion of this Agreement shall not be binding upon Tustin except when specifically confirmed in writing by an authorized representative of Tustin by way of a written amendment to this Agreement and issued in accordance with the provisions of this Agreement. 2. Scoae of Aareement This Agreement specifies the roles and responsibilities of the Parties as they pertain to the subjects and Project addressed herein. Both City and Tustin agree that each will cooperate and coordinate with the other in all activities covered by this Agreement and any other supplemental agreements that may be required to facilitate purposes thereof. 3. Responsibilities of the City as Project Lead Agency The City as the Lead Agency agrees to the following responsibilities for the implementation of the Project: A. To manage, procure, and complete the Project as identified in Attachment A, which is attached hereto and incorporated herein by reference. B. To cooperate with the Orange County Transportation Authority ("OCTA") and coordinate outreach efforts for the Primary Implementation (design and construction) phases of the Project. C. To collect manual intersection movement and automated machine traffic counts. D. To implement required signal improvements at the locations set forth in Attachment A. E. To develop and implement optimized signal synchronization timing set forth in Attachment A. F. To provide updated timing plans and traffic count data to Tustin. G. To prepare a "Before and After Study" for the Von Karman Avenue/Tustin Ranch Road Project. As described in the Measure M2 Eligibility Guidelines adopted by the OCTA, the "Before and After Study" for the Project is considered the equivalent of the required Project Final Report (Measure M2 Ordinance No. 3, Section B.111.9) for the Project. City shall provide the "Before and After Study" for the Project to Tustin in draft and final formats for comment, and comments shall be noted in the final study and incorporated as mutually agreed by all Parties. -3- H. To provide ongoing maintenance and operation of optimized signal timing after the Primary Implementation phase of the Project is completed and to continue such maintenance until the end of the three (3) year grant period. I. To invoice Tustin for dollar match amounts due as identified in Attachment B, at the end of each phase. 4. Responsibilities of Tustin Tustin agrees to the following responsibilities for implementation and funding of the Project: A. To provide a technical representative to meet and participate as a member of the Project's Traffic Forums. B. To authorize the City to manage, procure, and implement all aspects of the Project. C. To participate and support the Project's implementation within the timeframe outlined in the Application and consistent with the Comprehensive Transportation Funding Program ("CTFP") Guidelines adopted by OCTA. D. To provide the City all current intersection, local field master, and/or central control system timing plans and related data upon request. E. To provide updates to the City on the Project as part of the semi-annual review process until completion of the three (3) year grant period for the Project. Documents to be provided include, but are not limited to, payroll records, contracts, and purchase orders. F. To provide payment for the dollar match identified in Attachment B to the City within 30 days of receipt of an invoice. Failure to provide the dollar match may result in the loss of future participation for M2 Regional Traffic Synchronization Program competitive funds. G. To review and approve in writing the traffic synchronization signal timing within the respective jurisdiction within ten working days of receiving same where the said improvements and timing parameters have been implemented. 5. Delegated Authority The actions required to be taken by Tustin in the implementation of this Agreement are delegated to its City Manager or designee, and the actions required to be taken by City in the implementation of this Agreement are delegated to its City Manager or designee. Tustin acknowledges this designation of authority is authorized under their respective local rules and regulations. B 6. Audit and Inspection City and Tustin shall maintain a complete set of records in accordance with generally accepted accounting principles. Upon reasonable notice, City shall permit the authorized representative of Tustin to inspect and audit all work, materials, payroll, books, accounts, and other data and records of City for a period of four (4) years after expiration or termination of this Agreement or until any on-going audit is completed. Upon reasonable notice, Tustin shall permit the authorized representatives of the City to inspect and audit all work, materials, payroll, books, accounts, and other data and records of Participating Agencies for a period of four (4) years after expiration or termination of this Agreement or until any on-going audit is completed. For purposes of audit, the date of completion of this Agreement shall be the date of OCTA's payment of City's final billing (so noted on the invoice) under this Agreement. The Parties shall have the right to reproduce any such books, records, and accounts. The above provision with respect to audits shall extend to and/or be included in contracts with City's contractor. 7. Indemnification A. Tustin shall indemnify, defend and hold harmless the City, its officers, directors, employees and agents from and against any and all claims (including attorney's fees and reasonable expenses for litigation and settlement) for any loss or damages, bodily injuries, damage to, or loss of property caused by the negligent acts, omissions or willful misconduct by Tustin, its officers, directors, employees or agents in connection or arising out of the performance of this Agreement including damage to property and/or injury to person as a result of traffic accidents within Tustin's jurisdiction. B. Tustin shall maintain adequate levels of insurance, or self-insurance to assure full indemnification of City. Tustin shall provide City evidence and/or documentation of said insurance upon execution of this Agreement. C. City shall indemnify, defend and hold harmless Tustin, its officers, directors, employees or agents, and/or its officers, directors, employees or agents from and against any and all claims (including attorney's fees and reasonable expenses for litigation and settlement) for any loss or damages, bodily injuries, damage to, or loss of property caused by the negligent acts, omissions or willful misconduct by City including damage to property or injury to persons as a result of traffic accidents within the City's jurisdiction, its officers, directors, employees or agents in connection with or arising out of the performance of this Agreement. D. City shall maintain adequate levels of insurance, or self-insurance to assure full indemnification of Tustin. City shall provide Tustin evidence and/or documentation of said insurance upon execution of this Agreement. -5- 8. Additional Provisions A. Term of Agreement: This Agreement shall continue in full force and effect until December 31, 2020, or until the Parties' ongoing obligations under section 3.H and 4.G have terminated, whichever is later. This Agreement may be extended or amended at the mutual consent of all Parties hereto. No amendment shall have any force or effect unless executed in writing and approved as to form by Tustin's City Attorney and the City Attorney for the City. B. The Parties agree to work together in good faith, using reasonable efforts to resolve any unforeseen issues and disputes arising out of the performance of this Agreement. C. The Parties shall waive any fees for permits required by either City or Tustin for the Project. D. Legal Authority: The Parties hereto consent that they are authorized to execute this Agreement on behalf of said Parties and that, by so executing this Agreement, the Parties hereto are formally bound to the provisions of this Agreement. E. Severability: If any term, provision, covenant or condition of this Agreement is held to be invalid, void or otherwise unenforceable, to any extent, by any court of competent jurisdiction, the remainder of this Agreement shall not be affected thereby, and each term, provision, covenant or condition of this Agreement shall be valid and enforceable to the fullest extent permitted by law. F. Counterparts of Agreement: This Agreement may be executed and delivered in any number of counterparts, each of which, when executed and delivered shall be deemed an original and all of which together shall constitute the same Agreement. Facsimile signatures will be permitted. G. The Parties shall comply with all applicable federal, state and local laws, statutes, ordinances and regulations of any governmental authority having jurisdiction over the Project. H. Force Majeure: Either Party shall be excused from performing its obligations under this Agreement during the time and to the extent that it is prevented from performing by an unforeseeable cause beyond its control, including but not limited to; any incidence of fire, flood; acts of God; commandeering of material, products, plants or facilities by the federal, state or local government; national fuel shortage; or a material act or omission by the other Party; when satisfactory evidence of such cause is presented to the other Party, and provided further that such nonperformance is unforeseeable, beyond the control and is not due to the fault or negligence of the Party not performing. Funding in the amount of $1,799,980 has been allocated for this project. The primary implementation phase is funded for FY 2016-17 ($1,691,980). The maintenance and operation phase is funded for FY 2017-18 ($108,000). Unless expressly stated or upon written notice, the Consultant is required to complete each and every specific task listed in the scope of work. Tasks are itemized for clarity. However, some tasks may be performed concurrently or begin prior to the order listed below. Primary Implementation Phase: PROJECT SUMMARY The project requires the preparation of all documents necessary to upgrade the traffic signal system and to develop and implement signal system timing plans for the subsequent coordination of traffic signals within the project limits, consistent with the following scope of work. Section II provides a detailed description of the proposed traffic signal upgrades on this project. The Consultant must stay within the proposed scope and refrain from additional items that will add costs to this project unless a written City signed changed order is first secured. When necessary, the Consultant will prepare plans and specifications for the proposed upgrades based upon a City -supplied "Technical Provisions" boilerplate document. Signal coordination work will conform to the details specified herein. Design for all traffic signal work shall conform to the appropriate sections of the State of California Standard Plans and Specifications (2015 Edition) and latest version of the City of Irvine Standards and Design Manual, Section 104 — Traffic Signals, or the applicable standards of the participating agencies. Other improvements shall conform to the latest edition of the Standard Specifications for Public Works Construction (Green Book) and the City of Irvine Standards and Design Manual. Design documents shall include construction notes mandating daily cleanup, cabinet replacement and overhead wiring pre -requisites and requirements, and all furnished materials must be new. Sample language will be provided to the Consultant. Design shall also include traffic control requirements. The design engineer shall walk the project to verify details listed in this scope of work, including inspection of pull boxes, conduits and traffic signal cabinets. II. SCOPE OF WORK — TRAFFIC SIGNAL COORDINATION A. TIMING PLANS 1. Additionally, all new timing plans shall be developed and implemented on the Centracs system. 2. Timing plans are to be implemented at the Traffic Management Center or at the local controller. Timing plan development should take into account optimization of delay, progression Saturation flow rate and lost time. The Consultant shall evaluate the signal timing and coordination parameters to optimize coordination timing using: • Modified Phase Sequence Rotation o Lead/Lead o Lead/Lag o Leading and lagging the same phase within a given cycle (re - servicing) • Harmonic cycling — double or half • Other innovative techniques upon approval of the owning agency 3. Consultant will contact and work with other agencies affected by the project and will coordinate efforts with concurrent cross street projects in order to achieve mutually acceptable results. B. DEFINITIONS 1. Arterial Segment: Length of arterial between signalized intersections in both directions. 2. Arterial Section: Two or more consecutive arterial segments. C. PHASE 1 — DATA COLLECTION 1. ADT COUNT REPORT — Collect seven (7) days Daily Traffic Counts — for each arterial segment. Present the results in Microsoft Excel spreadsheet and graph format, in electronic and hard copy format, one (1) week after counts are taken. Include proposed peak period and durations (a.m., noon, p.m., off-peak and for City of Irvine Intersections, an after-hours period). The City will provide the electronic format. Provide re -submittal based on comments by the City within one (1) week of receiving City comments. 2. TURNING COUNT REPORT — After approval of seven (7) days Daily Traffic Counts submittal, collect intersection turning count data for peak periods (a.m., noon, p.m., and for City of Irvine intersections, an after-hours period) at each of the thirty (30) intersections. The peak periods hours shall be determined by City staff after review and approval of the count data. 2.1. Peak periods can be expected to last approximately 2 hours for a.m., and 3 hours for both noon and p.m. periods, unless otherwise agreed upon. The first hour of noon period will be used as off-peak volume. 2.2. Turning count data shall be collected and submitted two (2) weeks after Daily Traffic Counts data is provided. Present results of 15 -minute counts for each intersection in Microsoft Excel spreadsheet, in both electronic and hard copy format. The City will provide the electronic format. Provide network schematic drawing (AutoCAD format) showing: • NEMA phase numbers. • Intersection geometry, including bike lanes. • Peak hour totals for each count period (a.m., noon, p.m. and off- peak and for City of Irvine intersections, an after-hours period) showing peak hour volumes by movement for each intersection. • The network schematic drawing should show north (or west) end of arterial to the left of drawing. 3. ADVANCED LOOP MEASUREMENT — Consultant shall use the latest California MUTCD guideline to field measure all advanced loops to the stop bar to calculate the extension time. Submit all measurements and calculations in Microsoft Excel format to the City staff for review. 4. PEDESTRIAN CLEARANCE — Consultant shall use the latest California MUTCD guideline to field measure all crosswalks for all intersections. Submit all measurements and calculations in Microsoft Excel format to the City staff for review. 5. BICYCLE TIMING — Consultant shall use the latest California MUTCD guideline measure and calculate bicycle timing for all directions. Submit all measurements and calculations in Microsoft Excel format to the City staff for review. Provide re -submittal based on comments by the City within two (2) weeks of receiving City comments. D. PHASE 2 — NETWORK MODELING SYNCHRO (Version 8) will be utilized to perform timing analysis and generate the network model. Existing coordination parameters will also be observed in network modeling to provide smooth progression at crossing arterial intersections. See the following Coordination Timing Development Specifications (Section J) for more details. 1. DRAFT MODEL, NETWORK PARTITIONING and CYCLE EVALUATION — Develop network modeling timing plans for each time period — a.m. peak, noon peak, p.m. peak and off-peak and for City of Irvine intersections, an after-hours period. Evaluate the possibility of partitioning network into sub- systems. Provide cycle evaluation analysis for each time period and sub- system. Attempt to minimize impact to progression across sub -systems. Pedestrian timings should be included in the model but optimize the model. Using the following Macro and Micro search optimization steps to determine optimal cycle length for each subsystem: • Macro Search — Minimum cycle search should be set at 60 seconds and the best cycle length with increments of 10 seconds should be selected. • Micro Search — Minimum/Maximum cycle search should be set at +/- 6 seconds from the best cycle length of Macro search with increments of 2 seconds. The submittal will include electronic version for City's review and approval. 1.1 Submit Draft Network model and Cycle Evaluation three (3) weeks after turning counts are. approved by the City. 1.2 Cycle Evaluation should be presented in table format for each peak period and sub -system. 1.3 A re -submittal will be required within two (2) weeks of the receipt of City comments. 1.4 The City will provide existing phasing configuration and timing parameters. 1.5 For City of Irvine locations, all time -space diagrams shall be optimized using Tru -Traffic. 2. BEFORE STUDY — The Before Study will consist of an Arterial Travel Time Study and a Traffic Signal Operational Analysis. Information regarding the Measures of Effectiveness (MOE) must be gathered through the arterial section to generate a baseline Level of Service (LOS) for comparison to the After Study. A Before Study shall be submitted for each of the four time periods: a.m., noon, p.m., and off-peak. Additionally, for City of Irvine intersections, a Before Study for after hours period shall also be submitted. 2.1 Present the Before Study to establish a baseline for determining the effectiveness of the final proposed timing plan. Provide directional data and results from Microsoft Excel format, in both electronic and hard copy format. 2.1.1 The Measures of Effectiveness (MOE) for the Travel Time Study should be generated using the floating car method and from Tru -Traffic (version 10). The trip log files should be in .gpx or .TruTTrip format. The City will provide a sample output. 2.1.2. The Travel Time Study shall include seven (7) runs in each direction of travel. 2.1.3. The Traffic Signal Operational Analysis will be based on the procedures defined in the latest version of the Highway Capacity Manual (HCM) and in the Highway Capacity Software (HCS). 2.1.4. The City will provide a sample format for the Travel Time Report. 3. FINAL NETWORK MODEL — Upon final approval of the network model, the timing plans shall be converted and organized in tables in accordance with NEMA/ACTRA phase and sequence. 3.1 Submit two (2) weeks after the City approves the optimal cycle. 3.2 A re -submittal with corrections will be required within two (2) weeks of the receipt of City comments. E. PHASE 3 — IMPLEMENTATION 1. Consultant shall implement and fine-tune the timing plans. Consultant shall verify the implemented timing plans by performing field checks and keep City staff informed in writing of the implementation progress. 2. Upon completion of Implementation Phase, Consultant shall incorporate all changes and re -submit Synchro files, Tru -Traffic files, Timing Plan and Tables with final implemented data. F. PHASE 4 —VERIFICATION 1. AFTER STUDY — Upon completion of the Implementation Phase, an After Study shall be prepared and submitted. The After Study will consist of an Arterial Travel Time Study and a Traffic Signal Operational Analysis. Information regarding the Measures of Effectiveness (MOE) must be gathered through the arterial section to generate a post -implementation Level of Service (LOS) for comparison with the Before Study. An After Study should be submitted for each of the four time periods: a.m., noon, p.m., and off-peak. Additionally, for City of Irvine intersections, an After Study for after hours period shall also be submitted. The After Study must be submitted two (2) weeks after completion of Implementation Phase. 1.1. Present the After Study in comparison to the Before Study baseline. This comparison will be utilized to determine the effectiveness of the final proposed timing plan. Provide directional data and results in Microsoft Excel format, in both electronic and hard copy format. 1.1.1. The Measures of Effectiveness (MOE) for the Travel Time Study should be generated using the floating car method and from Tru - Traffic (version 10). The trip log files should be in .gpx or .TruTTrip format. The City will provide a sample output. 1.1.2. The Travel Time Study shall include seven (7) (minimum) runs in each direction of travel. 1.1.3. The Traffic Signal Operational Analysis will be based on the procedures defined on the latest version of the Highway Capacity Manual (HCM) and of the Highway Capacity Software (HCS). 1.1.4. The Before and After Study will be submitted within two (2) weeks of the implementation phase. A re -submittal will be required within two (2) weeks of the receipt of City comments. 2. BASIS FOR SUCCESSFUL PROJECT COMPLETION — Project implementation should achieve at least a ten (10) percent reduction in travel time in a given arterial section. Coordination Timing plans should produce improvements to both delay and progression. G. PHASE 5 — FINAL REPORT At the end of the implementation phase, Consultant shall prepare a Final Report with an executive summary. The report shall provide complete documentation of the project, including, but not limited to, project objectives, project locations, project scope, findings, recommendations, implementation schedule, improvements accomplished, report on the Maintenance and Operation phase and procedures for continuing maintenance, surveillance, and evaluation of the coordinated signal system, work performed, data collected including before and after studies and project benefits achieved in terms of fuel savings, travel time and other measure parameters. The report shall document all planned and programmed improvements on the study corridor as well as recommendations for further infrastructure improvements that would likely improve the corridor signal coordination project results. Consultant shall present the final report and results of the project to each participating agency as required. The report shall be completed in accordance with the current OCTA CTFP Guidelines. The report shall include for each intersection: lane configurations, signal phasing, turning movement data and cycle lengths for existing and proposed timings for all peak periods. In addition, phase sequences for each timing plan and pedestrian clearance shall be documented. Finally, the report shall provide recommendations with cost and benefit estimates for future improvement to traffic signal infrastructure (signal controllers, vehicle detection, communications, etc.), intersection capacity (appropriate signal phasing, lane geometrics and alleviation of physical bottlenecks that curtail arterial capacity) and traffic management strategies. These proposed improvements are beyond the scope of this project but should be useful in determining future enhancements to the corridor. At the end of the three (3) year period, the Consultant shall prepare the Final Report as required by the current OCTA CTFP Guidelines. The Consultant shall submit one (1) electronic copy and one (1) hard copy to each participating agency. H. PAYMENT SCHEDULE 1. Payments will be made at the completion of each phase, according to the following schedule with the suggested percentages or as approved: Phase 1 — Data Collection: 15% Phase 2 — Network Modeling: 20% Phase 3 — Implementation: 30% Phase 4 — Verification: 15% Phase 5 — Final Report: 20% 2. No partial payments will be made for incomplete project phases unless prior written approval is given. Delays on completion of a Project Phase will be unacceptable due to the critical deadline the City must meet for the award of outside funds. I. MEETINGS 1. The Consultant will meet or contact City staff before and after each project phase for input, comments, and review. 2. The following meetings will occur: • Pre -Design: Discuss the scope of work and project time frame. Consultant shall present project schedule. Outside agencies affected by the project shall be invited to the pre -design meeting. • Data Collection: Review comments by City staff on the ADT count data, turning movement count data and Before Study. • Network Modeling: Review comments by City staff on the draft SYNCHRO model, Tru -Traffic cycle evaluation and network partitioning to establish a plan of action for data conversion. • Implementation: After approval of signal timing and synchronization plans, the Consultant's representative shall meet with City staff to discuss procedures for implementation of the new timing. • Final Report: Review comments by City staff of the After Study to establish the format and content on the Final Report. J. COORDINATION TIMING DEVELOPMENT SPECIFICATIONS 1. Study Methodology a. Computer Software: SYNCHRO (version 8) and Tru -Traffic (version 10) must be used for this analysis. b. Network Level of Detail: Arterial and Intersection configuration should be of sufficient detail to allow simulation of traffic model using SimTraffic software. c. Network Partitioning: Network Partitioning should be used to better represent traffic conditions. d. Progression: Two-way progression is required. K. SYNCHRO AND TRU-TRAFFIC MODELING 1. Arterial Parameters a. Node numbers: Observe that the northbound direction on Von Karman Avenue/Tustin Ranch Road is from Campus Drive to Pioneer Way. Signalized intersection numbering should follow the City's signal identification numbers. b. Arterial Names: All main arterial and cross street links should be named. c. Cycle Length: Perform cycle evaluation for each network subsystem and consult with City staff to determine the optimal cycle length. Half cycle may be used. d. Speed: The modeled progression speed should reference to the flow of traffic. 2. Intersection Parameters a. Phase Sequences: Phase sequences with both left -turn movements lagging will not be allowed. b. Phasing Parameters: Use parameters from timing card provided by the City. c. Offset Style: Use "TS2-1St Green" Offset Style. d. Peak Hour Factor and Growth Factor: Utilize the calculated Peak Hour Factor from the turning movement counts and set Growth Factors to 1.0. e. Saturation Flow Rate and Lost Time: The lane capacity should be 1800 vehicles per lane per hour of green and lost time should be two seconds f. Lane Width: Left -turn lanes shall be 10 feet in width; all others shall be 12 feet. g. Bike Lanes: Bike lanes can be coded as 8 foot right -turn lanes if bike lane width plus adjacent through lane width equals at least 20 feet. 3. Reference Intersections The Consultant shall coordinate with each participating agency to determine the reference intersection(s) setting. 4. Optimize Timing Plans and Analyses a. Use Synchro and Tru -Traffic to produce optimal timing plans. b. Evaluate the performance of signalized intersections by values of the Measures of Effectiveness (MOE). The following MOE will be studied: travel time, delay and number of stops. c. The LOS measurement should be used to identify critical movements or degree of saturation in Synchro timing plans. d. Any improvement for resolving interruption to through bandwidth should be identified. 5. Presentation of MOE Results a. Provide an MOE summary table, which includes the following data: ■ Traffic Flow ■ Average Delay ■ Total Travel Time ■ Number of Stops ■ Average Speed ■ Network Performance Index L. WORK PROGRAM 1. If deemed necessary by the City, the Consultant shall prepare any design construction documents in the form of sketches to full Plans, Specifications and Estimates. Consultant shall prepare plans to be used during construction and shall meet each agency's standards. Consultant shall provide documentation to each agency's project manager for approval prior to commencing any construction. Construction documents will be used during the course of construction by the agency for inspection services. Consultant shall modify documents subject to the approved construction completion to owning agency as an as -built document. Cost for production, reproduction, inspection services, and as -built services are part of the price of the contract and no additional compensation shall be allowed. 2. Identify design/construction alternatives that may reduce project cost within the limits of the design. Submit alternatives to the City for review and written approval prior to commencing final design. 3. Provide surveying as necessary, to facilitate the preparation of the design documents. Submit all design survey calculations and notes. As a minimum, notes and calculations used to compile topographical information and culture notes indicating specific locations of all existing facilities and obstructions within the project right-of-way shall be submitted. 4. Meet with City staff, other agencies, and/or utility companies (as necessary) to coordinate the project design. Design concept shall be approved by City in writing prior to preparation of final design documents. 5. Identify and coordinate with all utility companies affected by the project including any City facilities. Delineate all utilities within the sphere of the project on the plans. Prepare and issue appropriate utility notifications and perform related follow-up. As a minimum, notifications shall consist of the following: 5.1. Utility Information Request: 5.1.1. Ask utility companies for location, size, etc., of its facilities within the project limits. This notice is forwarded concurrently with commencement of design. 5.1.2. In the event existing utilities are present within the proposed project site, transmit notice and preliminary plans to the affected utility agencies to determine the magnitude of the relocation, schedules and further coordination requirements. 5.2. Notice to Relocate: 5.2.1. Prior to project bidding, transmit notice and approved project plans to affected utility agencies, as previously identified, requesting immediate relocation. 6. Perform mandatory field review(s) of the site so that the design anticipates any construction problems that may occur as result of existing improvements. If during the field review, any issues or impacts to the design and construction scope are apparent, meet with the City to review and discuss options. 7. Prepare complete plans that are applicable and necessary to the scale format as indicated below or as required by other governing agencies. 7.1. Title Sheet Format provided by the City. 7.2. Traffic Signal System Plan (Scale 1" = 20') based on the City of Irvine Standards and Design Manual Section 104 and Caltrans Standard Plans and Specifications. Show new and existing curb and gutter, right-of-ways, driveways, maintenance easements and all existing utilities and City boundary lines. 7.3. Traffic Signal Interconnect System Plan and Detail (Scale: 1" = 40') based on City design criteria, prepare separate plans for all required traffic signal interconnect system improvements. Plans shall reflect curbs, right-of-ways and existing roadway features such as driveways, pull boxes, signal poles and signal cabinets that might interfere with the installation of the subject improvements. Plans shall also include a fiber optic splice chart for each traffic signal cabinet. 7.4. Signing, Striping and Construction Phasing/Traffic Control (Scale: 1" _ 40'). 7.5. Traffic Signal Detail Sheet format provided by the City. 8. Prepare process and obtain any permits required for construction of the improvements. 9. Submit written bi-weekly project status reports to the project manager. The reports are to include progress to date and anticipated problem areas and will be used as a measure of work completion. Additionally, copies of all correspondence, minutes of meetings and other communications must be submitted. 10. Prepare specifications in the format currently in use by the City. 11.The City will provide the Consultant with the current City "boilerplate" Technical Provisions. Consultant shall prepare specifications for each item of work to supplement the City's Technical Provisions. 12. Prepare cost estimate with quantities and unit prices with back-up calculations for all quantities. Preliminary cost estimates shall be provided at each submittal and a final cost estimate shall be provided with submittal of approved final plans and specifications. 13. Two (2) weeks prior to submittal of plans and specifications, submit one set to the City for preliminary review. Revise the plans and specifications accordingly, prior to submitting the review sets. 14.A minimum of four (4) sets of documents shall be required for each review submittal to the City of Irvine. Consultant shall supply to other agencies the minimum number of sets required by them for their review along with any other required data including permit applications. 15. Consultant is expected to complete plan check in a maximum of three (3) submittals. The first submittal shall be 80% complete, incorporating all City supplied design documents. The second submittal shall be 90% complete, incorporating all approved comments and modifications from the first plan check. The third submittal shall be 100% complete, representing all information required for construction of the project. The third plan check may be used as a counter plan check for signature. 16. Submit complete copies of all back-up calculations of quantities. Provide engineer's estimate of construction costs with each submittal. 17.All final improvement plans shall be drawn in ink (decals will not be permitted on the completed work) on City of Irvine standard 24" x 36" sepia or vellum, unless otherwise required by another agency. The plans shall also include a City of Irvine Public Works Title Sheet. Plans shall be prepared in AutoCAD (DWG file format). Original AutoCAD file, signed PDF and two (2) hard copies shall be supplied to the City Traffic Engineering/Circulation Division upon completion of design. City will provide a sample of AutoCAD file for the title sheet and title block on plan sheets. 18. Prepare all bidding and contract documents. Upon approval, provide Engineer -certified original sepia or vellum drawings, specifications, and electronic files to the City. 19.As part of the Not to Exceed fee, the Consultant shall provide a fee line item for any as-builts required to satisfy the requirements of this Request for Proposal, including packages for plan check submittals and coordination with utilities. Other anticipated cost including plotting, mileage, delivery charges, etc. that are required to complete the design shall be included in Consultant's hourly rates. The City may authorize in writing only, extra costs resulting from additional requests for document processing beyond the scope of this Request for Proposal, as individual situations arise. M. CONSTRUCTION SUPPORT 1. Attend preconstruction meeting(s) and provide clarification of contract documents as necessary, during the project construction phase. 2. Provide engineering assistance related to Change Order work initiated by the City on a time and material basis. Change Orders must be approved in writing by City before any change order work can begin. 3. Subsequent to completion of construction, draft all corrections to project drawings and revise AutoCAD files using Contractor's or the City's redline. The project drawings and electronic files will then become Project Record Drawings and should be labeled as such. Transmit original mylar Record Drawings and electronic files to the City. 4. Review shop drawings and material certifications for compliance with contract specifications. 5. Consultant shall coordinate with City to provide general contract administration in all aspects of the project such as Request for Information/Request for Clarification (RFI/RFC), submittals, concerns and any other issues. Maintenance and Operation Phase: The Consultant will provide "on-call" signal timing support services for a period of 24 months following the implementation and fine -turning of the final signal timing to address any future adjustments that may be needed during this period. Depending on the nature of the adjustment, the Consultant may, upon written approval by the responsible agency, accomplish fine-tuning adjustments through the management systems for the cities of Irvine and Tustin. During this 24 month period, the Consultant will be prepared to address all resident complaints and review any project intersection requested within 24 hours of written notice including observing and fine-tuning the signal timing. The Consultant will drive the entire length of the project arterial during all designated corridor synchronization timing plan hours of operation on a monthly basis in order to verify that the synchronization is working as designed and complete any necessary adjustments. The Consultant shall notify the participating agencies at least 24 hours prior to commencement of driving periods. The Consultant shall document all their recommendations and agency actions. MOE in Microsoft Excel format shall be submitted along with GPS log to the City staff once per month. Optional Work: The following are optional items of work and the City of Irvine reserves the right to exercise its option to delete or proceed with these items. None of the following tasks shall be started without authorization from the City of Irvine. Task No. 1: Project Management Consultant will develop a work schedule to ensure compliance with the established project goals and execution strategy. The project tasks will include shop drawing review, permits, field meetings, Notice to Proceed, and completion of construction contract and preparation of "record" drawing. Consultant will coordinate the following services with City: Monitor design, inspection schedules, budgets and provide administration of the contract with City. - Provide shop drawing submittal schedule and revise/update as required to address necessary changes. Review shop drawing submittals and construction documents prior to transmittal to City. Determine and contact all affected agencies to obtain permits required to construct the projects. Meetings A "kick-off" meeting will be held with City engineering and operation staff to discuss the scope of work and parameters of the project and existing facilities. The focus of this meeting will be to identify specific goals and develop an effective strategy to accomplish the project goals. A memorandum will be prepared to document the project goals and strategy. Subsequent meetings will be scheduled as necessary to fulfill the following objectives: - Conduct weekly meetings with City staff. The meetings shall be attended by Consultant's project manager and the inspector assigned to the project. - Coordinate with City personnel and representatives of utilities, government agencies and City departments during construction. - Participate in 15 informal meetings with City to review progress of the project and exchange information. - Meet with City to discuss key issues and develop general project criteria for construction. A key success factor in any project is the development of meaningful and productive meetings for whatever their intended purpose may be. The project manager will be responsible for the documentation of all project meetings with the City. Meeting agendas will be developed and meeting minutes with action items shall be distributed within five working days to all attendees. Task No. 2: Construction Engineering Support Consultant will coordinate with City to provide general contract administration for the construction of the projects. The contract administration tasks shall include interpreting contract documents for the contractor Request for Information/Request for Clarification (RFI/RFC); review construction shop drawings for conformance with project plans specifications and provide recommendations to City. Resident Engineering A resident engineer shall be assigned for the project and be on-call 24 hours a day, seven days a week during construction. The resident engineer shall be responsible for the following: Meet with City to update project status and schedule. - Clarify construction changes and irregularities. Review Contractor's progress payments and submit to City for approval. Negotiate, prepare and process change orders and/or extra work orders. Review Contractor's construction information recorded by inspectors during the course of construction. Prepare Public Notifications, Notice to Residents and coordinate with the Contractor regarding the distribution of the documents. Record Drawing Preparation Consultant will prepare record drawings by making all changes on original mylar drawings provided by City. Additionally, existing electronic drawings will be updated in AutoCAD format and include all field changes. Task No. 3: Construction Inspection A construction inspector shall be assigned to observe the contractor's construction progress and attend meetings with City and the contractor regarding meeting schedules. The inspector shall be on-call 24 -hours a day, seven days a week during construction and be responsible for the following: - Coordinate with the contractor to determine the need to be on-site whenever the contractor is working. - Meet weekly with City staff to update project schedule. - Furnish progress reports and final construction reports. - Assist in quality assurance to achieve conformance with the contract plans and specifications. - Assist and coordinate with the contractor to notify City residents of pertinent issues. - Assist City with the temporary shutdown of the utility and interruptions in service to customers as required. - Maintain daily construction progress reports, project logs, photos, etc. to document the progress of the work and submit weekly reports to City. - Ensure contractor compliance with the General NPDES Permit of the City of Irvine. - Establish/update a punch list during construction and prepare a final inspection of the punch list items to confirm completion by the contractor. - Submit one complete set of construction progress digital photographs illustrating the scope of work and critical elements. The photographs shall be mounted, identified and indexed in notebook form. Task No. 4: Coordination of Shutdown of Facilities Consultant will coordinate with City engineering and operational staff on all temporary shutdowns and startups during the construction to ensure compliance with City standard. CHANGES IN WORK 1-1 CHANGES REQUESTED BY THE CONTRACTOR 1-1.1. General The Contractor may initiate changes by submitting a written Change Order Request to the Agency Representative containing: (a) Description of the proposed changes. (b) Statement of the reason for making the changes. (c) Reference applicable Specifications sections and specific Plans in support of the request. (d) Statement of the effect of the Contract Price and Time. (e) Statement of the effect on the work of separate Subcontractors. (f) Documentation supporting any change in Contract Price or Contract Time as appropriate. 1-2 CHANGES INITIATED BY THE AGENCY 1-2.1 General The Agency may issue a Change Order for modifications of work including, but not limited to, the Plans, Specifications, character, quantity or time of work. Change Order shall be in writing and state the dollar value of the change or establish the method of payment and any adjustment in the contract time of completion. The Agency Representative may order minor changes in the work not involving an increase or decrease in the contract price, nor involving a change in the time for completion but consistent with the purposes for which the works are being constructed. If the Contractor believes that any order for minor changes in the work involves change in the contract price or time of completion, the Contractor shall not proceed the change and notify the Engineer in writing of his/her estimate of the changes in the contract price and time for completion he/she believes to be appropriate. No payment for changes in the work will be made and no change in the time of completion by reasons of changes in the work will be made, unless the changes are covered by a written Change Order approved by the Agency in advance of the Contractor's proceeding with the changed work. Once a Change Order is finalized and executed by both parties, the Contractor waives its right to seek any additional compensation for the work covered by the Change Order or any project impacts. The Contractor agrees that all Change Order constitutes full payment for the work covered by the Change Order including all direct and indirect overhead expenses. Notwithstanding any other provision in the contract documents, the Agency's issuance of a Change Order shall not constitute a waiver by the Agency of or preclude the agency in any way from asserting any claim with respect to the same including but not limited to, a claim of breach of contract or claim that the issued Change Order covers work included in the scope of work set forth in the contract documents for which the Contractor was not entitled to any additional funds. A contract Change Order approved by the Engineer may be issued to the Contractor at any time. Should the Contractor disagree with any terms or conditions set forth in an approved Contract Change Order the Contractor shall proceed with the Changer Order work in accordance with Subsection 3-4 "DISPUTED WORK" of the Standard Specifications, and submit a written protest to the Engineer within fifteen (15) days after the receipt of the approved Contract Change Order. The protest shall state the points of disagreement citing the Specification references, quantities and costs involved. If a written protest is not submitted, payment will be made as set forth in the approved Contract Change Order and payment shall constitute full compensation for all work included therein or required thereby. Unprotested approved Contract Change Order will be considered executed Contract Change Order. The Engineer may initiate changes by submitting a Request for Quotation to the Contractor. Such request will include detailed description of the change, products, and location of the change in the work, and supplementary or revised Plans and Specifications. Such request is for information only and is not an instruction to execute the changes or to stop work in progress. Contractor shall support each quotation for a lump -sum proposal, and for each unit price that has not previously been established, with sufficient substantiating data to allow Agency Representative to evaluate the quotation. On request, the Contractor shall provide additional data to support time and cost computations, labor required, equipment required, products required, recommended source of purchase and unit costs, and quantities required, taxes, insurance and bonds, credit for work deleted from contract, similarly documented, overhead and profit and justification for any change in contract time. The Contractor shall support each claim for additional costs and for work done on a time-and-material/force account basis, with documentation as required for a lump -sum proposal, plus additional information as follows: (a) Name of the Agency Representative who ordered the work and date of the order (b) Date and time work was performed and by whom (c) Time record, summary of hours worked and hourly rates paid (d) Receipts and invoices for equipment used, listing dates and times of use, products used, listing of quantities and subcontracts. In lieu of a Request for Quotation, the Engineer may issue a written Field Order for the Contractor to proceed with a change for subsequent inclusion in a Contract Change Order. Authorization will describe changes in the work, both additions and deletions, with attachments of revised contract documents to define details of the change and will designate the method of determining any change in the contract price and any change in contract time. Agency Representative will sign and data the field order as authorization for the Contractor to proceed with the changes. Contractor may sign and date the field order to indicate agreement with the terms therein. Contractor shall proceed with the work so ordered prior to the actual receipt of an approved Contract Change Order. Notwithstanding anything to the contrary stated herein, to be valid and enforceable as to the Contractor or its agents, any request for additional work (whether initiated by the Contractor or City, or whether made under any of the procedures set forth herein) must be in a writing with City approval clearly stated thereon and must be made by a City employee or agent so authorized to provide such approval. 1-2.2.1 Contract Unit Prices In the case of such an increase or decrease in a Major Bid Item, the use of this basis for adjustment of payment will be limited to that portion of the change, which together with all previous changes to that item, is not in excess of twenty-five percent (25%) of the total cost of such item based on the original quantity and Contract Unit Price. 1-2.4 Agreed Prices Agreed prices shall be negotiated before commencement of the changed work. 1-3 EXTRA WORK 1-3.2.1 General. When the price for the additional work cannot be agreed upon prior to the commencement of the work, the Agency will pay for the extra work based on the accumulation of costs as provided herein. 1-3.2.2 Basis for Establishing Costs (a) Tool and Equipment Rental The rates to be used for determining equipment rental costs shall be those rates listed for such equipment in the State of California, Department of Transportation (Caltrans) publication entitled "Equipment Rental Rates and Labor Surcharge," which is in effect on the date upon which the work is accomplished, regardless of ownership and any rental or other agreement entered into by the Contractor, if such may exist, for the use of such equipment. If it is deemed necessary by the Engineer to use equipment not listed in the said publication, the Engineer will establish a suitable rental rate for such equipment. The Contractor may furnish any cost data, which might assist the Engineer in the establishment of such rental rate. Equipment Rental Rates for Labor Surcharge publication is available from Caltrans at http://www.dot.ca.gov/hg/construct/eguipmnt.htm1. Operators of rented equipment will be paid for as provided in Section 1-3, "EXTRA WORK." Rental time will not be allowed while equipment is inoperative due to breakdowns. 1-3.2.3 Markup (a) Work by Contractor. The following percentages for overhead, administrative expenses and profit will be added to the Contractor's costs as determined under Subsection 1-3.2.2 and shall constitute the markup for all overhead, increase in Contractor's bonds, administrative expenses and profit on work by the Contractor: (1) Labor 20% (2) Materials 15% (3) Equipment Rental 15% (4) Other Items and Expenditures 15% (b) Work by Subcontractor. When all or any part of the extra work is performed by a Subcontractor, of any tier, the markup established in Subsection 1-3.2.3(a) shall be applied to the Subcontractor's actual cost of such work. Contractor markup on Subcontractor work shall be limited to five percent (5%). (c) No payment shall be made for any item not set forth above, including without limitation Contractor's overhead, general administrative expense, supervision or damages claimed for delay in prosecuting the remainder of the work. This provision shall be construed to preclude the recovery of damages by the Contractor stemming from delay for which the Agency is responsible, which is unreasonable under the circumstances involved, and which was not within the contemplation of the Agency and the Contractor. 1-3.3 Daily Reports by Contractor The Contractor shall notify the Agency Representative in writing at the beginning of each day when extra work is in progress. No payment will be made for work not verified by the Agency Representative.
