AUTHORIZATION TO SOLICIT BIDS FOR TRAFFIC SIGNAL MAINTENANCE
The City presently has thirty-five (35) signalized intersections and three (3)
flashing beacons within the City that are presently maintained by a contractual
firm. This contractual service consists of routine monthly preventive maintenance
for a designated cost per month. Any other required work is charged at an hourly
rate plus materials.
The existing contract initially expired in 1974, but has been extended on a year
by year basis by letter agreement. Staff feels it would be beneficial to the
City to re-bid this service on a competitive basis. This re-bidding process will
allow the City to revise the routine services within the existing agreement and
hopefully reduce additional maintenance costs which we are presently experiencing.
The proposed agreement Section "C" of the bid document, has been prepared by the
Ci~ty Attorney's office and ts ready for bid solicitation.

RECOMMENDATION:
It is reco,~mended that the Tustin City Council at their meeting of May 5, 1980,
adopt the attached Resolution approving the Traffic Signal Maintenance Agreement
and direct the City Clerk to advertise for bids.

RESOLUTION NO. 80-43
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TUSTIN,
CALIFORNIA, APPROVING THE TRAFFIC SIGNAL MAINTENANCE
AGREEMENT AND DIRECTING THE CITY CLERK TO ADVERTISE FOR
BIDS.
WHEREAS, it is the intention of the City Council of the City of Tustin,
California, to maintain certain traffic signals within the City of Tustin on
a routine basis;
WHEREAS, the City Engineer has presented a Traffic Signal Maintenance
Agreement for said services;
NOW, THEREFORE, BE IT RESOLVED that the Traffic Signal Maintenance
Agreement presented by the City Engineer be and is hereby approved as the
Traffic Signal Maintenance Agreement for Fiscal Years 1980-81 to 1984-85.
BE IT FURTHER RESOLVED that the City Clerk is hereby authorized and
directed to advertise as required by law for the receipt of sealed bids or
proposals for the doing of the work specified in the aforesaid Traffic Sig-
nal Agreement which said advertisement shall be substantially in the follow-
ing words and figures, to-wit:

Bid documents to be used for bidding on this service can only be
obtained by prospective bidders at the office of the City Clerk, Iustin
City Hall, 300 Centennial Way, Tustin, California, 92680. There is no
charge for the bid documents.
Bid documents will be mailed out upon request.
In conformance with Section 37931 of the Government Code, all bids
shall be presented under sealed cover on the proposal form provided and
accompanied by one of the following forms of bidder's security:
a. Cash
b. Cashier's check made payable to the City of Tustin.
c. Certified check made payable to the City of Tustin.
d. Bidder's bond executed by an accredited surety insurer, made
payable to the City of Tustin.
The security shall be in an amount equal to at least ten percent
(10%) of the amount of the bid. A bid shall not be considered unless
one of the forms of bidder's security is enclosed therewith.
City of Tustin reserves the right to reject any or all bids, and/or
waive any informality on a bid. No bidder may withdraw his bid for a
period of thirty (30) days after the date set for the opening thereof.
The bid will be awarded to the lowest qualified bidder.
Provisions of the State Contract Act are not applicable, and pros-
pective bidders will not be required to be prequalified.
All work to be paid for at the unit prices bid from appropriated
monies.
Said City of Tustin, pursuant to the Labor Code of the State of
California, has ascertained and determined that the general prevailing
rate of hourly and per diem wages in the locality in which the said work
herein described is to be performed, for each craft or type of workman
or mechanic needed to execute the contract and also the general prevail-
ing rate for legal holidays, and overtime work for each craft or type of
workman or mechanic, to be as indicated in Resolution 77-52 as previously
published in a newspaper of general circulation, and on file in the of-
fice of the City Clerk.
Employer payments other than those itemized therein, as defined in
Section 1773.1 of the Labor Code, are to be paid in accordance with the
terms of the collective bargaining agreement applicable to the type or
classification of the workmen or mechanics employed on the project.

AGREEMENT
THIS AGREEMENT is made and entered into t,his day of ,
1980, by and between the CITY OF TUSTIN, a municipal corporation (hereinafter
"City"), and (hereinafter "Contractor").
\V I T N E S S E T H:
WHEREAS, the City is in need of traffic signal maintenance; and
WHEREAS, the City has thoroughly investigated the cost therefor; and
WHEREAS, Contractor has represented itself to be highly qualified to
provide signal maintenance services to municipalities; and
WHEREAS, Contractor and City desire to enter into this agreement.
NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL
COVENANTS AND PROMISES OF THE PARTIES HERETO AND UPON THE
EXPRESS TERMS AND CONDITIONS HEREINAFTER SET FORTH, THE PARTIES
HERETO AGREE AS FOLLOWS:
1. LIST OF ATTACHMENTS: That the complete contract shall consist
o£ and include the following documents, all of which shall be and are hereby
incorporated by reference and made a part hereof as fully as if set out in full
herein:
A.' This Agreement;
13. List of Intersections (Attachment A);
C. Adjusted Labor Rate Schedule (Attachment
D. Adjusted Equipment Rate Schedule (Attachment C); and
E. Certificate of Insurance (Attachment D).
2. GENERAL: Contractor agrees to furnish all tools, equipment,
apparatus, facilities, labor, services and materials, and perform all work necessary
to maintain in a good and workmanlike manner the traffic signal ~acilities at the
locations listed in Exhibit A attached hereto.
This maintenance shall be extended to include any additional signal
installation or appurtenant devices designated by the City at the unit contract
price regardless of age or type of equipment. Exhibit A may be revised by the City
at any time to show any additional signals. In the event that notification is made
at other than the oeginning of a monthly period, the unit cost will be prorated [rom
the date the Contractor is notified.
The Contractor shah have adequate personnel and facilities to
perform controller inspection of new equipment when requested by the City. The
Contractor may be required to assist in the final field inspection of new
installations.
All work performed or equipment or parts supplied by Contractor
shall be subject to the inspection and approval of the City, its City Engineer, or his
authorized representative.
The Contractor must submit a resume of the company qualifications
as related to traffic signal work associated with installation, repairs, maintenance,
modification, lab testing of new local or master controllers and including engineer-
lng, scientific and technical capabilities.
It is understood mid agreed that all said labor, services, materials,
tools, apparatus, facilities and equipment shall be furnished and said work
performed and completed by the Contractor as an independent contractor, subject
to the inspection and approval of the City Engineer or his designated repre-
sentatives.
3. PREVENTATIVE MAINTENANCE: Contractor shall, once each
month, inspect, clean and adjust all traffic signals and control equipment. The
minimum monthly inspections for each control unit shall consist of, but not be
limited to, the following steps:
A. Vacuum cabinets and remove any foreign material, check
condition of air filter, if so equipped;
B. Check timing oi the individual signal phases and interval
timing circuits, with a stop watch, for conformance with
timing charts provided by the City for each location and
replace or repair the same as required;
C. Inspect all relays, clocks, dials and switches and make adjust-
ments or repair the same as required;
D. Check pedestrian/bicycle push buttons and vehicle detectors
and perform any and all preventative maintenance required to
keep such detectors in good condition, including, but not
limited to, replacement of loops or epoxy for loops. If during
the monthly inspections of said detectors, the street paving is
discovered to be failing in the area of the detectors, Con-
tractor shall immediately notify City;

E. Contractor shall replace or repair any and all defective parts
of the controller mechanism, either on routine inspection or as
the occasion requires;
F. Check general condition of signal poles, signal heads and
pedestrian signals and cause each to be painted as required;
and
G. Contractor shall replace pedestrian signal neon tubes, ballasts
or transformers as they become dim or inoperative;
H. Contractor shall show in a monthly report a complete listing
of all deficiencies found.
ts. RELAMPING: Contractor agrees to replace all incandescent lamps
in all signals, using an eighty percent (8096) depletion schedule, with standard
traffic signal lamps such as are manufactured by General Electric Company,
Sylvania Company, or equal; however, in no case shall the period between
relamping of any intersection signal system exceed twelve (12) months. Contractor
shall replace all traffic signal lamps at all intersections within forty-five (tsS) days
after the execution of this contract. Contractor shall show in the monthly report
the date the relamping started and the date of completion.
5. LENSES AND REFLECTORS: Contractor agrees to inspect, clean
and polish all lenses and reflectors with each incandescent relamping. At this
time, Contractor shall replace all broken or deteriorated parts, adjust and align all
signal heads (including optically programmed heads) and adjust all mast arm
mounted signs.
6. R~PAIR AND REPLACEMENT OF PARTS: Contractor shall repair,
replace or otherwise render in good working order any and all defective parts of
the traffic signal control equipment, including, but not limited to, induction loop
and magnetic type detectors with like make and model parts as the need arises.
7. AIR FILTER ELEMENTS: Contractor shall replace all air filter
elements, in all cabinets so equipped, at least once each six (6) months. Contractor
shall replace all air filter elements, in all cabinets so equipped, within forty-five
(0,5) days after the execution of this contract. 'Contractor shall show in the
monthly report the date the filter element is replaced.
$. PAINTING: Contractor shall clean and repaint all originally painted
controller cabinets, metal signal standards, signal heads and backplates every
thirty (30) months, or as needed in the opinion of the City Engineer or his
authorized representative. The first painting is to be undertaken within ninety (90)

days after the execution of this contract and completed within sixty (60) days
thereafter. Contractor shall show in the monthly reports the date o! repaintin§ at
each intersection.
9. EMERGENCY NUMBER: Contractor shall maintain a twenty-four
(24) hour per day emergency service for the replacement of burned out lamps or
controller malfunctions. Contractor shall repair parts, replace parts and lamps and
otherwise keep the traffic signals in good working condition. Contractor shall
maintain a local telephone where contractor can be reached twenty-four (24) hours
per day. This telephone number shall be made available to all persons designated
by the City.
10. EMERGENCY SERVICE CALLS: Contractor shall make immediate
service calls on an emer§ency basis in the event of malfunctions of the controller
or signal systems, to make temporary repairs in the event that signal equipment is
damaged by vehicle collison, act of God, malicious damage, or any other circum-
stance that will disrupt traffic. The Contractor shall repair said damage and
render said signal system in good condition at the direction of the City Engineer or
his authorized representative unless immediate repairs are needed to place the
signal in safe operating condition. The word immediate is construed to mean "with
all possible haste" and shall not exceed two (2) hours. Contractor shall notify the
City Engineer or his authorized representative prior to doing any other extra-
ordinary maintenance and repairs. Contractor shall carry the equipment necessary
to replace existing signs on signal poles damaged by said causes of damage. The
replacement of burned out lamps need not be on an emer§ency basis provided there
are two (2) indications still operative for each direction of travel. Such
replacement shall be handled in a routine manner, but always within twenty-four
(2~,) hours. In the event of damage to signal by collision, act of God, or malidous
mischief, repairs made will be billed over and above the contract price. City will
compensate Contractor for extraordinary services at the bid prices upon receipts
of an itemized invoice which includes the following:
A. Contractor's invoiced material, plus overhead per bid.
B. Contractor's bid labor~ calculated to the nearest one-half hour.
C. Equipment time at bid rate, calculated to the nearest one-half
hour.
D.Brief description of work accomplished.
E. Damaged equipment shall be delivered to the City Yard~ 1~72
Service Road, or salvage credit shown on billing.
Said itemized invoice shall be submitted by the Contractor within
one month of the completion of the work.
Copies of the suppliers' invoices shall be maintained in the Con-
tractor's office and shall be available for inspection by the Engineer. Copies of
invoices shall be provided within one (1) week upon request of the Engineer.
11. NOTIFICATION OF ALTERATIONS: Contractor shall notily by
telephone or mail, the City Engineer or his authorized representative~ within
seventy-two (72) hours of the alteration of the operation of any signal or the
installation or removal of any substitute controller or component.
12. SHUTDOWNS: Contractor shall notify the Tustin Police Depart-
ment and the City Engineer or his authorized representative of any signal turn-offs
or turn-OhS necessitated by his operations and shall not make said turn-off or turn-
on until a City Police Ofiicer is present or unless given permission to proceed
without Police control by the City Engineer or his authorized representative.
13. RECORDS AND REPORTS: Contractor agrees to maintain at its
place of business a record of all service calls and work performed upon the signal
equipment, listing dates, hour of day and description of services or work per-
formed. A copy of such record shall be maintained at all times within the
controller cabinet at each signal location. Each service truck in the field shall be
radio equipped and keep a daily record covering his total time in each twenty-four
(24) hour period detailed to show the time of day he was at a certain intersection
and brief notes of what he did. This daily record shall be carried through to the
intersection records in the office. Records shall be made available to authorized
City personnel at the City's discretion provided reasonable notice is given to the
Contractor. Records shall be turned over to the City in legible and orderly form at
the termination of this contract, as required.
A report showing the date and giving brief description of all
maintenance activities, routine and extraordinary, shall be attached to each
monthly invoice. ,% sample of the maintenance record form must be submitted
with the bid for approval by the City.
Contractor shall submit, within fifteen (1~) days alter the award of
the contract, a schedule for replacing cabinet air filters, relamping and repainting
at each intersection, for the entire contract period. The schedule shall list the
anticipated date for the performance of the work and is subject to approval by the
City.
lg. COMPENSATION: Except for services which are performed under
Paragraph $, Contractor shall furnish all labor and materials at Contractor's
expense. In consideration, City agrees to pay the sum of $ per month
per each signalized intersection and $ per month per each flashing
beacon serviced by Contractor during the period covered by this agreement and as
listed in Attachment A.
15. ANNUAL AD3USTMENTS: Compensation for Routine Maintenance,
Extraordinary Maintenance and Additional Work, labor and equipment time shall be
adjusted up or down once each twelve (12) months in accordance with the
percentage changes in the cost of living as reflected in the U.S. Bureau of Labor
Statistics, Consumer Price Index in the Los Angeles Area for all items, using 3uly
1, 1980, as the base. Such adjustments shall be made on 3uly 1st of each year
commencing on 2uly 1, 1981 in accordance with the percentage of changes in such
index for the preceding year, rounded off to the nearest one cent. The
Extraordinary Maintenance bid overhead percent shall remain unchanged for the
life of the contract.
16. INSURANCE:
A. The Contractor shall carry adequate insurance coverage with
minimum limits and types of coverage as follows:
General Liability Insurance:
Combined bodily injury and property damage:
$500,000 each occurrence
$500,000 aggregate
Personal Injury:
$500,000 aggregate
Automobile Liability:
Combined bodily injury and property damage:
$500,000 each occurrence
Excess Liability:
Combined bodily injury and property damage:
$1,000,000 each occurrence
$1,000,000 aggregate
Worker's Compensation and Employer's Liability:
Statutory limits.
B. The insurance coverage cited in Sections A of this paragraph
shall be maintained with a company or companies satisfactory
to the City Attorney. The Contractor shah arrange to have its
insurance agent furnish to the City a certificate of insurance
in the form of Attachment D of this agreement showing that
all of the above-mentioned insurance has been issued and the
expiration dates of each policy. The City shall be named as a
named additional insured on said certificates. Notices of
cancellation of any policies shall be given by certified mail at
least thirty (30) days prior to the effective date of such
cancellations.
17. TERM OF AGREEMENT: This agreement shall be in effect for a
term of five (5) years from the date first above written. However~ either party, at
its discretion, shah have the right to terminate at any time by giving thirty (30)
days advanced written notice, by certified mail, to the other party hereto. City
and Contractor agree that at the end of the term of this agreement, the agreement
shall be reviewed automatically unless either party gives the other at least thirty
(30) days notice prior to its expiration date of its intention not to renew on the
present terms and conditions.
18. FAILURE TO PERFORM:
A. Ii the ContraCtor should neglect to prosecute the work proper-
ly, or fail to perform any provisions of this contract, the City,
after three (3) days written notice to the Contractor, by
certified mail, may, without prejudice to any other remedy it
may have, make good such deficiencies and may deduct the
cost thereof from any payment then or thereafter due the
Contractor.
B. The three (:3) days written notice requirement in Section A of
this paragraph shall be waived if the City, in its discretion,
determines that the public health, safety and welfare will be
endangered by failure to take immediate action.
19. EQUIPMENT REQUIRED: Contractor's service trucks shall be
equipped with spare parts sufficient to place the signal back in operation for
ordinary trouble calls, this includes sensing devices or induction loop and magnetic
detectors. In those cases where a complex controller or component has to be
repaired, the Contractor shall provide and install a substitute controller or
component~ which will function substantially the same as the controller or
component replaced. In the event it becomes necessary to temporarily install a

pretimed controller, the timing stroll be set according to the "emergency timing
chart" provided at each actuated signal location.
20. PERMITS: The Contractor shall procure all permits and licenses,
pay all charges and fees, and give all notices necessary and incidental to the due
and lawful prosecution of his operations pursuant to this agreement.
21. OBSTRUCTION OF T~.AFFIC: The Contractor shall so conduct its
operations so as to cause the least possible obstruction and inconvenience to public
traffic.
The Contractor shall furnish, erect and maintain, such fences,
barriers, lights, warning devices and signs as are deemed necessary by the City
Engineer to give adequate warning to the public at all times that the intersection is
obstructed and of any dangerous conditions to be encountered as a result thereof.
Signs and barricades shall be so placed as to comply with the "Manual of Traffic
Controls" of the State of Cali/ornia, Department of Transportation, latest edition.
22. HOLD HARMLESS AND DEFEND:
A. Contractor shall defend, indemni/y and hold City free and
harmless, including City's officers, agents, servants and em-
ployees, of and from any and all claims, demands, suits,
actions, and causes of action brought by any and all persons
whatsoever for, or on account of, any injuries or damage
sustained and/or arising from or out of, or connected with, the
operations of Contractor, including Contractor's officers,
agents, servants or employees, under this agreement.
15. Nothing herein contained shall be construed as limiting in any
way the extent to which the Contractor may be held respon-
sible for payment of damages to persons or property resulting
from its operations or any operations of its subcontractors.
23. %VAiVER OF SU15ROGATION: Contractor waives any and all claims
against City, including City's officers, agents, servants and employees, from any
claims of damages to any person or property that are caused by or result from risks
insured against under any insurance policies obtained by Contractor and in force at
the time of any such damage.
Contractor shall cause each insurance policy obtained by it to
provide that the insurance company waives all right of recovery by way of
subrogation against either party in connection with any damage covered by any
policy. City shall not be liable to Contractor for any damage caused by any of the
risks insured against under any insurance policy required by this agreement.
25.

2a,. STATUTES: The Contractor shall keep itself fully informed of all
existing and future state and national laws and municipal ordinances and regu-
lations which in any manner affect those engaged or employed in its operations and
of all such orders and decrees of bodies or tribunals having any jurisdiction or
authority over the same. Contractor shall at all times observe and comply with,
and shall cause all its agents and employees to observe and comply with, all such
existing and future laws, ordinances, regulations, orders and decrees. The
Contractor shall indemnify and hold harmless the City~ its officers, its agents and
employees against any claim or liability arising from or based on the violation of
any such law, ordinance, regulation, order~ or decree~ whether by Contractor or
Contractor's employees. If any discrepancy or inconsistency is discovered in this
agreement in relation to any such law, ordinance, regulation, order or decree, the
Contractor shall forthwith report the same to the City in writing.
LABOR CODE: The Contactor shall comply with Section 1735 o[
Labor Code, as added by Chapter 643, Statutes of 1939, which states
"No discrimination shall be made in the employment of
persons upon public works because of the race~ color or
religion of such persons and every contractor of public
works violating this Section is subject to all the penalties
imposed for violation of this Chapter."
26. ASSIGNMENT OF CONTRACT: The Contractor shall not assign this
contract without the written consent of the City.
27. MODIFICATION OF CONTRACT: This agreement may be modified
only by written agreement. Failure by either party to enforce any provision of
this agreement is not a waiver of the right of either party to compel enforcement.
28. TERMINATION Off CONTRACT: In the event that any of the
provisions of this contract are violated by the Contractor, the City may terminate
the contract by serving ten (10) days written notice upon the Contractor of its
intention to terminate such Contract. If Contractor falls to cure its violation
within ten (10) days of receiving such notice~ this agreement shall terminate. ~¢hen
Contractor cannot cure its violation within ten (10) days, City shall have the option
to terminate this agreement upon providing like notice to Contractor. In the event
of any such termination for any of the reasons above mentioned~ the City may take
over the work and prosecute same to completion by contract or otherwise for the
account and at the expense of the Contractor, and the Contractor and its sureties
shall be liable to the City for any excess cost occasioned in the event of any such
termination.

29. CONSULTATION: Contractor shall be available for consultation
and shall make recommendation pertaining to the improvement of existing inter-
sections, including design criteria for controller modifications, and existing equip-
ment. Contractor shall make recommendations pertaining to progression, timing,
design, equipment, modifications~ long range upgrading, and such other areas for
which City seeks consultation.
30. PATROL INTERSECTIONS: Contractor agrees to periodically pat-
rol all intersections where traffic signals are located to ~nspect for burned out
lamps or controller malfunctions.
31. ADDITIONAL ~VORK: Contractor agrees to perform such additional
work on new installations, modification or upgrading of existing signal systems and
related equipment as may be required by the City. The cost of such extra work
shall be based upon the verified invoice cost of material, verified hours of labor at
the rate provided in Attachment B, and for verified costs of equipment as provided
in Attachment C.

33. SATISFACTION OF FNGINF-ER: All terms and conditions a~d
performance under this contract shall be done to the satisfaction of the City
Engineer.
34. ATTORNEYS' FEES: Should any litigation be commenced between
the parties hereto concerning said property, this contract, or the rights and duties
of either in relation thereto, the party, Buyer or Seller, prevailing in such litigation
shall be entitled in addition to such other relie~ as may be granted~ to a reasonable
sum as and for his attorneys' fees in such litigation, which shall be determined by
the court in such litigation or in a separate action brought for that purpose.

this agreement to be subscribed by its Mayor and City Clerk and said Contractor
has executed or caused this agreement to be executed by his duly authorized

O?ERATIONS SUPERINTENDENT:
All repair work, both field and lab, subject to his

ENGINEERING TECHNICIAN:
Provides liaison, assists Traffic Engineer on
systems and provides technical data.
LEAD MAN:
Primary responsibility to guide and assist field
technicians and signalmen in the designated section

TRAFFIC SIGNAL TECHNICIAN - FIELD:
Primary duties are to field troubleshoot and re-
pair field wiring, cabinet wiring, controllers,
and perform reutine duties of preventative main-
tenance.
