SUBJECT: APPROVAL OF CONTRACT FOR WATER METER READING AND
CUSTOMER SERVICE ACTIVITIES
SUMMARY:
The City of Tustin has been contracting for Customer Service and Meter Reading activities for
approximately nine years. We have received two proposals to provide these services for the period
beginning January 2007 through December 2012. Staff is recommending that the City Council
authorize the execution of an agreement with Alexander's, Inc.
RECOMMENDATION:
Authorize the Finance Director to sign the attached agreement with Alexander's, Inc. when all
necessary insurance and other required documentation has been received.
FISCAL IMPACT:
The new contract will increase the current budgeted expense for this line item by 3.5 percent or
approximately $3,000 for the first year.
DISCUSSION:
The Tustin Water Enterprise has contracted for Customer Service and Meter Reading for about
nine years, it has proven to be efficient and cost effective. We surveyed the market for these
services but have recently found that several of the larger providers such as Southern California
Edison, The Gas Company and San Diego Gas and Electric have discontinued this line of business,
which has greatly reduced the list of potential vendors. In August of 2006 we sent out a Request for
Proposal to provide Meter Reading and Customer Service beginning January 1,2007. We received
two proposals, Golden State Water Company, which is our current contractor, and Alexander's, Inc.

We have had an excellent working relationship with Golden State Water Company, but we cannot
afford to stay with them for the next five years at the price levels they have proposed. Staff has
completed a thorough background review of Alexander's, Inc., held a meeting with principals of the
company and discussed common issues with the City of San Juan Capistrano, the only other
Alexander's client in Orange County, and feel comfortable recommending their selection to provide
service to the Water Enterprise.
Fred Adjarian, Tustin Water Services Manager, and his staff have provided significant input into the
selection process and are supportive of this recommendation. Fred would like to study the
outsourcing of services in more detail so we have agreed to work together on an analysis during
this contract period to determine if this is a direction we want to continue for the long term.

CITY OF TUSTIN
CONTRACT FOR PROFESSIONAL METER READING SERVICES
WITH ALEXANDER'S. INC.
THIS CONTRACT is made and' entered into this 1st day of January 2007, by and
between the City of Tustin (hereinafter referred to as the "City") and Alexander's Inc,
(hereinafter referred to as "Contractor").
DEFINITIONS:
The following capitalized terms shall have the following meanings:
1. Apparatus: Any and all equipment, devices, materials, accessories, supplies,
tools, Personal Digital Assistant (PDA), computer equipment, computer software,
computer storage media, vehicles, but not including water meters.
2. City Representative: The designated City representative authorized to act on
behalf of the City.
3. Contract: This document including Attachment A, Attachment B, Attachment C,
Attachment D AND Attachment E as amended from time to time by 'and between
City and Contractor.
4. Contractor: Alexander's, Inc.
5. Customer Access Keys: Keys, access codes and/or access devices needed by
Contractor to obtain access to Water Meters.
6. Impossible Reads: Meter Reads that cannot be read due to meter condit~on, (Le.,
broken meter, unreadable lens) or where Water Meter can not be accessed for
reading, (Le., car parked on box, street closed).
7. Location Instructions: Instructions which indicate the meter location.
8. Meter Reader: An employee of Alexander's, Inc. who reads Water Meters and
provides customer service.
9. Meter Reading Cycles: A group of meter Routes designated by the City to be read
each week.
10. Meter Reading Services: Readin'g of or attempt to read Water Meters by Meter
Reading Cycle.
11. Meter Reads: Numbers taken, or attempted to be taken, from Water Meters which
reflect usage, and any non-read condition codes such as broken lids or lense

12. Meter Route: A group of Water Meters designated by the City to be read by
Contractor.
13. No Reads: Meter Reads that were not executed on tne scheduled date.
14. Penalty Reads: All unread meters and those that are out of range/suspicious
reads that were found to be in error.
15. Personal Digital Assistant (PDA): A hand held computer device which records
customer meter information.
16. Read Date: The date on which the Water Meter is read or attempted to be read.
17. Re-Reads: Meter Reads that were executed on the scheduled read date that fall
out of the expected range and require verification.
18. Services: All Meter Reading services to be performed by Meter Readers and
customer service representatives, as described in Attachment A.
19. Service Area: The City's water service territory as of the effective date of this
Contract which is subject to change.
20. Uncontrollable Forces: Any cause beyond the reasonable control of a party to
this Contract, including, but not limited to, failure or threat of failure of facilities,
unusually severe weather, flood, fire, lightning, epidemic, quarantine restriction,
war, sabotage, act of a public enemy, earthquake, insurrection, riot, civil
disturbance, strike, work stoppage caused by jurisdictional or labor disputes., major
equipment breakdown, restraint by court order or public authority, or any
combination of these causes, which by the exercise of due diligence and foresight
such part'y could not reasonably have been expected to avoid and which by the
exercise of due diligence is unable to overcome.
21. Unread meters: Meters that were not read for reasons other than Impossible
Reads (Le., forgotten keys, codes or access devices, foggy or dirty registers, unable
to locate, etc.)
22. Water Meters: Water meters, including water meter boxes and lids, owned by the
City, located within the Service Area. Exceptions include all meters requiring more
than one person to read (e.g. vault meters), and those meters that the City and
Contractor shall mutually "agree upon that the City shall read (e.g. construction
meters ).

RECITALS
WHEREAS, the City owns and operates a public water system for the purpose of
producing, treating, storing, distributing and selling potable water to its residential,
commercial and industrial customers;
WHEREAS, the City desires to retain the services of Contractor regarding the
City's Request for Proposal dated September 19, 2006 for Meter Reading and Other
Customer Services for and on behalf of the City; and
WHEREAS, the Contractor is qualified by virtue of experience, training,
education and expertise to accomplish such services as represented in their proposal
dated October 6,2006 and included as ATTACHMENT E.
NOW, THEREFORE, in consideration of the mutual benefits and obligations set
forth below, the Parties hereby agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Contractor shall consist of those tasks as
set forth in ATTACHMENT "A," attached and incorporated herein by reference.
Contractor warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with American Water Works
Association and other applicable standards of the California water industry profession.
Contractor and Contractor's Employees are required to adhere to the Alcohol and Drug
Policy of the City (ATTACHMENT D).
Section 2. Term.
This. Contract shall commence on the effective date of this Contract and services
required of the Contractor by the City hereunder shall continue through December 31,
2007 or through the final billing cycle of 2007. City reserves the right to renew the
contract annually until on or about December 31, 2012.
Section 3. . Compensation and Pricing.
3.1 Amount.
The services shall be billed to the City at the rates set forth in
ATTACHMENT "B.". These rates are subject to change with each annual renewal
based on the Los Angeles-Riverside-Orange County Consumer Price Index (CPI) for all
urban consumers. Included within the compensation are the Contractor's ordinary office
and overhead expenses incurred by it, its agents and employees, including meetings
with City representatives and incidental costs as required to perform the stipulated

services. Submittals shall be in aCcordance with Contractor's proposal dated October 6,
2006 as attached for reference.
3.2 Method of Payment.
Contractor shall submit, and the City shall pay on a monthly basis,
invoices for Services as described in ATTACHMENT "A." The Contractor shall submit
monthly invoices, based on total Customer Service hours and meters which have been
satisfactorily read in accordance with ATTACHMENT "A." Invoices are to be submitted
to the City's ship-to address, unless otherwise directed in this Contract. Payment will be
net 30 days after receipt of an invoice in a format acceptable to and approved by the
City of Tustin plus any additional back-up as may be required by City and subject to
routine processing requirements. The responsibility for providing an invoice acceptable
to the City rests with the Contractor.
Billing shall cover Services not previously invoiced. The Contractor shall reimburse the
City for any monies paid to the Contractor for Services not provided or when Services
do not meet the contract requirements. Payment made by the City shall not preclude
the right of the City from thereafter disputing any items or Services involved or billed
under this Contract and shall not be construed as acceptance of any part of the
Services.
3.3 Invoicing Instructions.

Contractor shall provide an invoice on the Contractor's letterhead for Services
rendered,. Each invoice shall have a number and shall include the following
information:
1. Contractor's name and address
2. Contractor's remittance addtess
3. Contractor's Federall.D. number
4. Product/service description, quantity, hours and prices
5. Total
Incomplete or incorrect invoices found not to be acceptable by the City shall be
returned to the Contractor for correction.

3.4 Startup Fees
All start-up fees, if any, shall be born by the Contractor.
Section 4. Independent Contractor.
It is agreed that Contractor and Contractor Employees shall act and be an
independent contractor and not an agent or employee of City, and shall obtain no rights
to any benefits which accrue to City's employees.
Section 5. Limitations Upon Subcontractina and Assianment.
The experience, knowledge, capability and reputation of Contractor, its principals
and employees were a substantial inducement for the City to enter into this Contract.
Contractor shall not subcontract with any other entity to perform the services required
without prior written approval of the City. This Contract may not be assigned, voluntarily
or by operation of law, without the prior written approval of the City. If Contractor is
permitted to subcontract any part of this Contract by City, Contractor shall be
responsible to City for the acts and omissions of, its subcontractor as it is for persons
directly employed by Contractor. Nothing contained in this Contract shall create any
contractual relationships between any subcontractor and City. All persons engaged in
the work will be considered employees of Contractor. Regarding all provisions of this
contract, City will deal directly with and will make all payments to Contractor.
Section 6. Chanaes to Scope of Work.
In the event of a change in the Scope of Work provided for in the Contract as
requested by the City, the Parties hereto shall execute an addendum to this Contract
setting forth with particularity all terms of the changes, including but not limited to any
additional Contractor's fees.
Section 7. Familiaritv with Work and Construction Site.
By executing this Contract, Contractor warrants that: (1) it has investigated the
work to be performed and is aware of all conditions and requirements of City thereof;
and (2) it understands the facilities, difficulties and restrictions of the work under this
Contract. Should Contractor discover any latent or unknown conditions materially
differing from those inherent in the work or as represented by City, it shall immediately
inform City of this and shall not proceed with further work under this Contract until
written instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Contract.

Section 9. Compliance with Law.
Contractor shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Contractor covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Contract. No person having such
interest shall be employed by or associated with Contractor under any circumstances.
Section 11. Ownership of Documents.
All reports, information, data and attachments prepared or assembled by
Contractor in connection with the performance of its services pursuant to this Contract
are confidential to the extent permitted by law. Contractor agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and attachments shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the
City. The City acknowledges such documents are instruments of Contractor's
professional services.
Section 12. Indemnity
Contractor agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or
dam~ges of any nature, including attorneys' fees, for injury or death of any person, or
damage to property or interference with use of property and for errors and omissions
committed by Contractor arising out of or in connection with the work, operation or
activities of Contr-actor, its agents, employees and subcontractors in carrying out its
obligations under this Contract.
Section 13. Insurance.
The insurance shall be issued by a company authorized by the Insurance
Department of the State of California and rated A-, VII (seven) or better (if an admitted
carrier), or A-, X (ten) or better (if offered by a surplus line broker), by the latest editions
of Best's Key Rating Guide, except that the City will accept workers' compensation
insurance rated B-, VII (seven) or better, from the State Compensation Fund;
13.1 C.omprehensive General Liability.
Throughout the term of this Contract, Contractor shall maintain in full force
and effect Comprehensive General Liability coverage in the following minimum
amounts:

$1,000,000 property damage combined single limit coverage per
occurrence;
$1,000,000 Injury to one person/anyone occurrence/not limited to
contractual period;
$1,000,000 injury to more than one person/anyone occurrence/not limited
to contractual period.
13.2 Comprehensive Automobile Liability.
Throughout the term of this Contract, Contractor shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and
non-owned vehicles in the following minimum amounts:
$1,000,000 property damage;
$1,000,000 injury to one person/anyone occurrence/not limited to
contractual period;
$1,000,000 injury to more. than one person/any 'one occurrence/not limited
to contractual period
13.3 Worker's Compensation.
If Contractor intends to employ employees to perform services under this Contract,
Contractor shall carry and pay for such worker's compensation insurance as is required
to fully protect Contractor and its employees under California Worker's Compensation
Insurance Law and, will provide a certificate of insurance to the City as evidence of
coverage~ The insurance company shall agree to waive all rights of subrogation against
the City for losses paid under the policy, which losses arose from the work performed by
the named insured.
13.4 Proof of Insurance Requirements/Endorsement.
Upon execution of this Contract and prior to beginning any work under this Contract,
Contractor shall submit to the City the appropriate certificates of insurance and insurer
endorsements evidencing the required insurance. This shall include but not be limited to
the deductible or self-retention amount, and an additional insured endorsement to the
Contractor's general liability, auto liability and umbrella liability policies naming the City
and its officers, council members, employees and agents as additional insured's (or a
copy of the policy binder if applicable) shall be provided as evidence of meeting the
requirements stated above for commercial general liability insurance, automobile liability
insurance and the waiver of subrogation requirement. If self-insured for worker's
compensation, Contractor shall submit to the City a copy of its certification of self-

insurance issued by the Department of Industrial Relations.
13.5 Notice of Cancellation and/or Termination of Insurance/Other
City Insurance Requirements.
Other applicable insurance requirements include: (1) Name the City, its
officials and employees as an additional insured on the commercial general liability and
automobile liability insurance policies; (2) the insurance shall not be cancelled, except
after thirty (30) days written prior notice to the City; and (3) the commercial general
liability and automobile liability insurance shall each be primary as respects the City;
and any other insurance maintained by the Contractor shall be in excess of this
insurance and contribute to it.
13.6 Notice to Proceed.
A "Notice to Proceed" will be obtained from City prior to commencement of
work. The written "Notice to Proceed" will be issued by City subsequent to compliance
with all insurance requirements of the Contract by Contractor. Work will proceed
pursuant to the schedule set forth in Attachment C.
Section 14. Termination.
City and Contractor shall have the right to terminate this Contract without cause
by giving 60 days advance written notice of termination to the other party.
In addition, (1) Attachment Bmay be modified to eliminate Customer Service
duties by providing 30 days written notice; and (2) this Contract may be terminated for
cause by providing thirty (30) days' notice to the other party of a material breach of
contract with a ten (10) day opportunity to cure the breach if the breach is capable of
being cured.. 'If the ,other party does not cure the breach of contract, then the Contract
may be terminated subsequent to the ten (10) day cure period.
Upon termination of the Contract, Contractor shall be paid for services rendered up to
the effective date of termination of the Contract. Upon termination of the Contract, all
documents, drafts of uncompleted documents, electronic data, access devices or codes
and/or any other similar items within the Contractor's possession shall become the sole
property of the City.
Section 15. Notice.
All notices shall be delivered personally or by certified mail to the below listed
addresses, or to such other addresses as may be designated by written notice. These
addresses shall be used for delivery of service of process:

Section 16. Attorneys Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Contract, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which that party may be
entitled.
Section 17. Entire Contract.
This Contract accompanied by Attachments A, B, C, D & E constitutes the entire
understanding and agreement between the parties and supersedes all previous
negotiations between them pertaining to the subject matter thereof.

ATTACHMENT "A"
SCOPE OF WORK
Throughout the Term of this Contract, the parties shall have the following rights and
responsibilities:
A. Contractor shall:
1. Perform start up activities required to perform Meter Reading Services,
including, but not limited to, train Meter Readers and modify and or configure
computer programs.
2. Read, or make all reasonable efforts to read, on a bi-monthly basis all Water
Meters within the Service Area except for Impossible Reads. Contractor
acknowledges that the Service Area of the City is subject to change.
3. Provide and maintain for the Meter Readers all Apparatus necessary to
perform Meter Reading Services.
4. Deliver Meter Reads via personalized Web Page designed by Contractor for
the City or any other agreed-upon medium to the City.
5. Maintain a current business license with the City.
6. As required operationally, re-sequence Meter Routes as needed in
coordination with the City Representative.
7. Provide Meter Reading Services for eight Meter Reading Cycles on a bi-
monthly schedule. Each Meter Reading Cycle must be completed within four
days after the commencement of the Meter Reading Cycle.
8. Customer Service staff will be available weekdays between the hours of 7:30
AM and 5:30 PM each day that City is open.
9. Ensure that reading equipment and files are compatible with Microsoft
Windows Server 2003 and Springbrook Software operating systems.
10. Notify the City the same day of any hazardous conditions requiring
immediate attention (Le. not limited to broken water meter box lids or any
other sidewalk "trip" hazards, broken meters, water bubbling up in sidewalk,
identifying a gutter or street that could possibly have a water line break).
11. At all times, maintain a level of accuracy in their readings which results in not
more than 2 mis-reads per 1,000 meters per month. In the event that water
meter readings exceed this, the Contractor will be responsible for obtaining
all Re-Reads, or Contractor will pay the City $11.40 per read, at Contractor's
option. All Penalty Reads will also be charged $11.40 per read. All Re-
Reads shall be obtained and submitted to the City's Customer Service
Department within 24 hours notification thereof without charge. The City will
be responsible for all Impossible Reads and the suspicious reads that were,
in fact, correct. Contractor shall be excused from compliance with the
Performance Criteria stated herein in the event such failure to comply was
due to Uncontrollable Forces.
12. Report to City: damaged meters, damaged meter boxes and/or lids, leaking

meters, or any other repairs that need to be made by City at time of
attempted read.
13. At all times, employ only competent readers, experienced or well trained in
the task being performed, and .who are familiar with meter locations, and
Contractor shall continuously oversee the activities of such readers. At the
City's written request, and based upon reasonable evidence, Contractor shall
immediately remove and replace any incompetent, careless or negligent
employee.
14. Employ English speaking and writing Meter Readers and Customer Service
Representatives.
15. Contractor will also provide the following:
a. Each employee reading meters must comply with the alcohol and drug
abuse policies of the City in effect on the date hereof and provided in
ATTACHMENT "D" of this Contract.
b. Picture identification cards and uniforms consisting of navy blue work
shorts/pants, work shirt and orange work vest identifying "Meter
Reader" on back for each employee reading meter.
c. Magnetic identification signs for meter reader and customer service
representatives vehicles. Said signs must be affixed to the vehicle
while the vehicle is in service, must have the logo of Alexander's and
must be marked "Providing Service for The City of Tustin".
16. Contractor will guarantee a 4 hour response time for all phone calls or emails.
If this criterion is not met, a $25.00 penalty will be charged to the Contractor
for each offense.
17. Contractor shall meet with City representative at least weekly during the start-
up phase and during the first two months of services. After the second
month, performance meetings must be held monthly. At any time, providing
reasonable notice is given by either party, a meeting may be called to discuss
service issues. In addition, an annual performance meeting will be held no
less than 60 days prior to the ending of the Contract.
18. Contractor's personnel assigned to perform meter reading and customer
service services for the City shall be required to have earned a minimum
water distribution certification of 0-1 as required by the State of California
Department of Health Services. Contractor shall be responsible for ensuring .
that all personnel working for City of Tustin maintain a current water
distribution certification.
19. Contractor shall be responsible for reimbursing the City for any damages
caused by Contractor's employees or any other staff employed by Contractor
to City meters, appurtenances or any other related City facilities.
B. City shall:
1. Grant to Contractor the exclusive right to read all water meters located in or
served by the City, whether now existing or hereafter installed, during the

term of this Contract or any extension hereof.
2. Provide Contractor reasonable assistance with the training of the Meter
Readers and Customer Service Representatives to perform Meter Reading
and Customer Service duties, including but not limited to, allowing the Meter
Reader and Customer Service Representatives to accompany current
Contract Meter Reader and Customer Service Representatives to learn the
location of the Water Meters.
3. Provide Contractor with any changes that occur on City meters, including but
not limited to, Water Meter additions, changes or substitutes and changes in
Location and Instruction Codes via personalized Web Page or any other
agreed-upon medium.
4. Maintain all meters and meter enclosures in reasonable repair and condition
at all times in order that Contractor can perform the Services without undue
danger or hardship; provided, however, that Contractor shall be responsible
and liable for any meters or meter enclosures that become defective, faulty,
broken or damaged as a result of the negligence, carelessness or intentional
a'cts of Contractor or their employees.
5. Provide Contractor with all Custom~r Access Devices and Codes necessary
for Contractor to perform the Services.
C. Performance Criteria:
Contractor shall obtain and supply to the City Met~r Reads for all Water Meters,
except Impossible Reads, in accordance with the existing Meter Reading Cycle
or schedule. Damaged, inaccessible or unlocated meters or suspected meter
tampering shall be reported to the City's Customer Service Lead daily.
Inaccessible or unlocated meters shall be so noted at the time of the attempted
read and this information will be provided to the City.

ATTACHMENT "B"
COMPENSATION AND PRICING
This is a fixed rate Contract between the City and C.ontractor for all Requested
Services, as set forth. in ATTACHMENT A, Scope of Work. These rates indicated
below are subject to change annually based on the Los Angeles-Riverside-Orange
County Consumer Price Index (CPI) for'all urban consumers. T,he Contractor agrees to
accept the specified compensation as set forth .in this Contract as full remuneration for
Meter Reading Services. The cost/compensation proposed shall include all charges
that Contractor intends to charge the City of Tustin for providing all services specified in
the Scope of Work.

Following is the preliminary project plan for the Scope of Work described in
ATTACHMENT "A" of this Contract. The final version of the project plan will be upon
mutual agreement; agreement shall not be unreasonably withheld by either party.

CITY OF TUSTIN ALCOHOL AND DRUG ABUSE POLICY
I. PURPOSE
This policy provided guidelines for the detection and deterrence of alcohol and drug
abuse. It is the policy of the City of Tustin to maintain a safe, healthful and productive
environment for all employees. To that end, the City will eliminate any substance abuse
(alcohol, illegal drugs, prescription drugs, or other substance which could impair an
employee's ability to safely and effectively perform the functions of the particular job),
which increases the potential for accidents absenteeism, substandard performance,
poor employee morale or damage to the City of Tustin's and/or its employee's
reputation. All persons covered by this policy should be aware that violations of this
policy may result in discipline, up to and including termination, or in not being hired.
Action taken place may include, but is not limited to, supervisor counseling, professional
counseling, and discharge from the City service.
In recognition of the serious duty entrusted to the employees of the City, with knowledge
that drugs and alcohol do hinder a person's ability to perform duties safely and
effectively, the following policy against drug and alcohol abuse is hereby adopted by the
City of Tustin.
II. POLICY
It is City of Tustin policy that employees shall not report to work under the influence of
alcohol or drugs. Employees shall not possess while on duty or assigned standby or
utilize such substances while they are subject to City duty or assigned standby.
Employees shall not sell or provide drugs or alcohol to any other employee or to any
person while such employee is on duty or assigned standby, or have their ability or work
impaired as a result of the use of alcohol or drugs.
While use of medically prescribed medications and drugs is not per se a violation of this
policy, when there is a question regarding an employee's ability to safely and effectively
perform assigned duties while using such medications or drugs, clearance from a
qualified physician will be required. While it is not the City's intention to know of every
prescription drug an employee uses, it is the City's policy that it is the employee's
responsibility to notify their supervisors before beginning work when taking prescription
medications, which the employee has been cautioned, may interfere with the safe an
effective performance of duties or operation of City equipment.
As a condition of employment, employees are required to notify the City of Tustin,
California of any criminal drug statue conviction for a violation occurring in the
workplace no later than five (5) calendar days after such conviction.
The City of Tustin has established a voluntary employee assistance program to assist

those employees who voluntarily seek help for alcohol and drug problems. Employees
should contact their supervisors for additional information.
The City reserves the right to search, without employee consent, all areas and property
in which the agency maintains joint control with the employee or full control. No
employee will have such joint or full access to property or area searched except in his or
her presence, or with his or her consent, or unless a valid search warrant has been
obtained or where he or she has been notified that a search will be conducted.
Violations of this policy shall be grounds for disciplinary action. Disciplinary action can
include, but is no limited to, supervisor counseling, professional counseling, and
discharge from City service. Managers and/or supervisor may request that an
employee submit to a drug and/or alcohol analysis when a manager or supervisor has a
reasonable suspicion that an employee is intoxicated or under the influence of drugs or
alcohol. Refusal to submit immediately to an alcohol and/or drug analysis when
requested by the City management may constitute insubordination and may be grounds
for discipline up to and including termination.
Employees reasonably believed to be under the influence of alcohol or drugs shall be
prevented from engaging in further work. If an employee is u'nable to drive. safely or is
in need of medical assistance, an authorized City representative will transport the
employee to a medical facility or home, as appropriate.
The City of Tustin is committed to providing reasonable accommodation to thos'e
employees whose drug or alcohol problem classifies them as disabled under federal
law. An employee may not be considered disabled if that employee's current use of
alcohol or drugs does not prevent the individual from performing the duties of the job in
question, or whose employment would not cause a direct threat to property or safety.
III. APPLICATION
This policy applies to all employees of and to all applicants for positions with the
City of Tustin as well as its City Contractors and their employees. References
herein to "employee" shall also refer to Contractors, though this does not imply
that Contractor or its employees are employees of the City. This policy applies to
alcohol and to all substances, drugs, or medications, legal or illegal which could
impair an employee's ability to effectively and safely perform the functions of the
job.

IMPLEMENTATION OF CITY OF TUSTIN
ALCOHOL AND DRUG ABUSE POLICY
I. MANAGEMENT RESPONSIBILITIES AND GUIDELINES
A. Managers and supervisors are responsible for consistent enforcement of this
policy.
B. Managers and supervisors may request that an employee submit to a drug and
lor alcohol analysis when a manager or supervisor has a reasonable suspicion
that an employee is intoxicated or under the influence or drugs or alcohol.
"Reasonable suspicion" is a belief based on objective and articulates facts
sufficient to lead a reasonable prudent supervisor to suspect that an employee is
under the influence of drugs or alcohol so that the employee's ability to perform
the functions of the job is impaired or so that the employee's ability to perform
his/her job safely is reduced.
For example, any of the following, alone or in combination, may constitute
reasonable suspicion:
1. Slurred speech;
2. Alcohol on breath;
3. Inability to walk a straight line;
4. An accident involving Agency property;
5. Physical altercation;
6. Verbal altercation;
7. Behavior which is so unusual that it warrants summoning a supervisor or anyone
else with authority;
8. Possession of alcohol or drugs;
9. Information obtained from a reliable person with personal knowledge.
c. Any manager or supervisor requesting an employee to submit to a drug and or
alcohol analysis should immediately, upon having formed a reasonable
suspicion, document in writing the facts constituting reasonable suspicion that
employee in question is intoxicated or under the influence of drugs.
D. Any manager or supervisor encountering an employee who refuses to submit to
a drug and/or alcohol analysis upon request shall remind the employee of the
requirements and consequences of this policy as referenced Section IV.
Any employee refusing to submit to a drug and/or a.lcohol test shall not be forced
to submit to such testing. The manager or supervisor should detain the
employee for a reasonable time until an authorized City representative or law
enforcement representative can transport the employee to a medical facility or
home, as appropriate.

E. Managers and supervisors shall not physically search employees.
F. Managers and supervisors shall notify the appropriate law enforcement agency
when they have reasonable suspicion to believe that an employee may have
illegal drugs in his or her possession or in an area not jointly or fully controlled by
the City.
G. Managers and supervisors shall not confiscate, without consent, prescription
drugs or medications from. an employee who has a prescription.
H. Any manager or supervisor who ab'uses this policy shall be subject to disciplinary
action.
II. EMPLOYEE RESPONSIBILITIES
An employee must:
A. Not report to work or be subject to duty while his/her ability to perform job duties is
impaired due to alcohol or drug use, on or off duty;
B. Not possess or use alcohol or drugs (illegal drugs and legal drugs without a
prescription) during working hours or while subje'ct to duty, or at anytime while on
City property;
C. Not directly or through a third party sell or provide drugs or alcohol to any person
or to any other employee while either the employee or both employees are on
duty or subject to being called;
D. Submit immediately to an alcohol and drug analysis when requested by a
responsible City representatives;
E. Notify his/her supervisor, before beginning work, when taking any medications or
drugs, prescription or non-prescription, which may interfere with the safe and
effective performance of duties or operation of City equipment; and
F. Provide within 24 hours of request a current val~d prescription for any drug or
medication identified when a drug screen/analysis is positive. The prescription
must be in the employee's name.
III. PHYSICAL EXAMINATION AND PROCEDURE
A. The drug and/or alcohol analysis may test for any substance which could impair
an applicant/employee's ability to effectively and safely perform the functions of
his/her job, including, but not limited to prescription medications, heroin, coca.ine,
morphine and its derivatives, P.C.P., methadone, barbiturates, amphetamines,
marijuana, and other cannabinoids. A blood sample may be obtained, as the

result of the applicant/employee in accordance with the procedures delineated
below. Otherwise, a sample of urine shall be obtained in accordance with the
following procedures.
1. At the designated medical facility, the applicant/employee shall complete
and execute the Drug/Alcohol Screening Questionnaire Form and the
Consent fo'r Drug/Alcohol. Screening Forms;
2. The chain of custody/requisition form is filled out by the testing agency.
3. The individual is requested to disrobe and put on a patient gown. The
patient proceeds to the restroom where he is given a sample bottle to
provide a urine sample of at least 50m.l
B. After the sample is taken it shall be processed as follows:
1. The sample container is labeled and signed by the patient. The container
is sealed with evidence tape in the presence of the patient.
2. The specimen is delivered by courier to laboratory and the courier will sign
the chain of custody form.
3. The member of the toxicology laboratory receiving the specimen will sign
the chain of custody.
4. The sample container will always be maintained in a secure location, a
locked freezer or refrigerator, and the chain of custody will be maintained.
5. Samples that are screened "none detected," are placed in a tray for
disposal after two weeks.
6. Positive samples are kept refrigerated until confirmatory analysis. If
conforming test is "none detected", sample is discarded as above.
7. Positively confirmed samples are maintained in a locked freezer for one
year.
8. A sample of the positive specimen in a quantity suitable for Laboratory
testing will be provided to an employee who has submitted written request
to the Personnel Department within 90 days of specimen submission.
C. A confirmatory analysis after an initial positive result will be conducted in the
following manner:
Gas chromatography/mass spectrometry.

IV. RESULTS OF DRUG AND/OR ALCOHOL ANAL YSYS
A. Pre-Employment Physicals
1. A positive result from hiring a drug and/or alcohol analysis may result in the
applicant not being hired.
2. If a drug screen is positive at the pre-employment physical, the applicant must
provide within 24 hours of request, a valid prescription of the drug identified in
the drug screen. If the prescription is not in the applicant's name or the
applicant does not provide a prescription, or if the drug is one that impairs the
applicant's ability to perform the job duties, the applicant may not be hired.
B. Drug-Testing For Cause During Employment
1. A positive result from a drug and/or alcohol analysis may result in disciplinary
action, up to and including discharge. This action could include, but is not
limited to, counseling, referral, diversion, reprimand, suspension and
discharge.
2. If the drug screen is positive at any testing, the employee must provi,de within
24 hours of request a valid current prescription for the drug identified in the
drug screen. The prescriptions must be in the employee's name. If the
employee does not have a valid prescription, or if the prescription is not in the
employee's name, or if the employee has not previously notified his or her
supervisor, the employee will be subject to disciplinary action.
3. If an alcohol or drug analysis is positive for alcohol or drugs, the City shall
conduct an investigation to gather all facts. Should this investigation indicate
disciplinary action is required, it could include but is not limited to, counseling,
referral to qualified health care professionals and or programs, substance
abuse diversion, reprimand, suspension, and dismissal. Depending upon the
issues ide':ltified in the investigation any of these actions may be taken;
progressive discipline may not be appropriate. The decision to discipline or
discharge will be carried out in co.nformance with the City's Rules and
Regulations.
V. CONFIDENTIALITY
Laboratory reports or test results shall not appear in an employee's Personnel file.
Information of this nature, however, will be included in a separate confidential
medical folder. The employee's reports or test results may be disclosed to City
management on a strictly need-to-know basis and to the tested employee upon
request. Disclosures, without patient consent, may also occur when: (1) the
information is compelled by law or judicial or administrative process; (2) the

information has been placed at issue in a formal dispute between the employer
and the employee; (3) the information is to be used in administering an employee
benefit plan; (4) the information is needed by medical personnel for the diagnosis
or treatment of the patient who is unable to authorize disclosure.

Alexander's Company Profile Summary
In 1969 Alexander's Contract Services pioneered the service of contracted meter reading in California.
Originally, meter readings were manually entered into books, and then delivered to each city at the end of
each reading cycle.
In the mid 80's, Alexander's implemented a company wide handheld computer meter reading system. This
allowed for better data management and efficiency.
In the early 90s, Alexander's began AMR reading and management. Alexander's quickly became an AMR
specialist and began consulting with cities as to manufacture, design, implementation, routing, reading
cycles, billing, data management and data transferring. A few years later Alexander's also introduced its
custom database software with new features to produce reports and to analyze water usage. This new
feature greatly increased the cities ability to manage their water resources.
In 2002 Alexander's began an ambitious project to take meter reading and data management to the next
level. Starting their own software division, Alexander's began its wireless hand held and "Smartserver"
web based meter reading system. Alexander's is the fIrst to utilize "Smartserver" web based technology,
allowing their clients access to live and updated data 24 hours a day, 7 days a week. Our solutions are all
based on 36 years of field experience, which is the key to an efficient system. Pushing the wireless market
to perform for Alexander's has produced a truly new product, which is superior to any other. Field crews
work wirelessly in the field communicating to our "Smartserver" from "Hot Spots" in the cities located in
which they read. This system has revolutionized the way Alexander's serves the cities, cutting hundreds of
its own data processing hours per month, and at the same time allowing the cities immediate access to their
data.
In 2004 Alexander's designed the fmal step in its evolution of meter reading solutions. Alexander's made
key alliances with reputable companies in the wireless industries whom are visionaries in their own right.
Alexander's now offers citywide fixed wireless networks, often at it own expense and the transmitters to
read the meters. With the data being transmitted to the already proven Smartserver where the data can be

Alexander's has created innovative systems for reading meters with top efficiency. We have used 36 years of
experience in building these systems.
Alexander's currently provides meter reading services for all types of meters, both manual and AMR
systems. Our readers have the tools they need to read, recheck and verify each read while in the field. Our
unique handheld software offers the power of an administrative database in the palm of their hand.
Our accuracy is unsurpassed by any other system. If a read is not within preprogrammed specifications the
handheld will require the last 4 digits of the meter register number to be entered. This will unlock the
handheld and give the reader the ability to enter a read. This register number is only found on the physical
meter being addressed. This simple software solution has eliminated shadow reading and guarantees that our
readers are at the right meter locations. This system also catches mistakes of data entry and requires a reentry
of data in order to proceed.
Our supervisors have entire city routes in one handheld and are able to build and beam routes to any reader in
the field as needed. They are also capable of collecting reads from each individual reader anytime during the
day. The supervisor communicates wirelessly to our "Smartserver" through out the day. This basic
communication process between supervisors, readers and the "Smartserver" creates a reading system, which
is the most efficient on the market today.
All of the read data is available via our "Smartserver" over the internet. Alexander's provides all read files
and reports to its clients from the internet which allows flexibility for all parties involved. Typically,
Alexander's will assign a client a password allowing them access to our secure site. Once on our site, the
client will be able to upload their current reading data file with a single mouse click. Alexander's will then
parse the data preparing it for the field crew to start acquiring reads whether manual, Touch Read or other
AMR. During this process the utility will have access to actively updated data that will show them not only
the progress of the reading, but provide various reports so that if there are meters they need to address, due to
excessive usage or we are unable to obtain a read, they can do this as the reading is in progress rather than
wait until the reading is completed. Our clients are able to track the reading process as its taking place which
allows them the ability schedule their time accordingly and be ready to begin the billing process the moment
their reading is completed. Once reading is completed, the city can download their read file directly into their
billing system with a single click of the mouse.
The reading system developed by Alexander's is geared to upgrade without any administrative change on
behalf of its clients. We can start with a client being metered manually and finish with a client being metered
by a complete fixed wireless network AMR system. All this, in one flawless service provided by Alexander's.

A. ADDITIONAL INSUREDS - BY CONTRACT, AGREEMENT OR PERMIT
1. Paragraph 2. under SECTION II - WHO IS AN INSURED is amended to include as an insured any person
or organization when you and such person or organization have agreed in writing in a contract, agreement
or permit that such person or organization be added as an additional insured on your policy to provide
insurance such as is afforded under this Coverage Part. Such person or organization is not entitled to any
notices that we are required to send to the Named Insured and is an additional insured only with respect
to lia.bility arising out of:
a. Your ongoing operations performed for that person or organization; or
b. Premises or facilities owned or used by you.
With respect to provision 1.a. above, a person's or organization's status as an insured under this
endorsement ends when your operations for that person or organization are completed.
With respect to provision 1.b. above, a person's or organization's status as an insured under this
endorsement ends when their contract or agreement with you for such premises or facilities ends.
2. This endorsement provision A. does not apply:
a. Unless the written contract or agreement has been executed, or permit has been issued, prior to the
"bodily injury", "property damage" or "personal and advertising injury";
b. To "bodily injury" or "property damage" occurring after:
(1) All work, including .materials, parts or equipment furnished in connection with such work, in the
project (other than service, maintenance or repairs) to be performed by or on behalf of the
additional insured(s) at the site of the covered operations. has been completed; or
(2) That portion of "your work" out of which the injury or damage arises has been put to its intended
use by any person or organization other than another contractor or subcontractor engaged in
performing operations for a principal as a part of the same project;
c. To the rendering of or failure to render any professional services including, but not limited to, any
professional architectural, engineering or surveying services such as:
(1) The preparing, approving, or failing to prepare or approve, maps, shop drawings, opinions,
reports, surveY$, field orders, change orders or drawings and specifications; and
(2) Supervisory, inspec~ion, architectural or engineering activities;
d. To "bodily injury", "property damage" or "personal and advertising injury" arising out of any act, error or
omission that results from the additional insured's sole negligence or wrongdoing;
e. To any person. or organization included as an insured under provision B. of this endorsement;
f. To any person or organization included as an insured by a separate additional insured endorsement
issued by us and made a part of this policy.
B. ADDITIONAL INSURED - VENDORS
Paragraph 2. under SECTION II - WHO IS AN INSURED is amended to include as an insured any person or
organization (referred to below as "vendor") with whom you agreed, in a written contract or agreement to
provide insurance such as is afforded under this policy, but only with respect to "bodily injury" or "property
damage" arising out of "your products" which are distributed or sold in the regular course of the vendor's
business, subject to the following additional exclusions:
1. The insurance afforded the vendor does not apply to:
a. "Bodily injury" or "property damage" for which the vendor is obligated to pay damages by reason of the
assumption of liability in a contract or agreement. This exclusion does not apply to liability for
damages that the vendor would have in the absence of the contract or agreement;
b. Any express warranty unauthorized by you;
c. Any physical or chemical change in the product made intentionally by the vendor;
