SUBJECT:. CONTRACT AMENDMENT FOR MAINTENANCE AND REPAIR SERVICES OF
THE CITY'S HVAC SYSTEMS WITH BARR ENGINEERING, INC.
SUMMARY
A royal of the third contract amendment with Barr Engineering, Inc., will extend the Agreement for

Heatin ,Ventilating, Refrigeration, and Air Conditioning (HVAC) Systems Maintenance and Repair

Services for the period from July 1, 2007 to June 30, 2008, and provide un annual price Increase of 3.0%.
RECOMMENDATION
It is recommended that the City Council approve the third amendment to the Contract Agreement
between Barr Engineering, Inc. and the City of Tustin for Heating, Ventilating, Refrigeration, and Air
Conditioning (HVAC) Systems Maintenance and Repair Services, subject to City Attorney approval.
FISCAL IMPACT
Adequate funds will be requested in the 2007/2008 Fiscal Year's budget to cover the proposed 3.0%
adjustment.
DISCUSSION
The City has contracted with Barr Engineering, Inc. since September 1, 2004 for Heating, Ventilating,
Refri eration, and Air Conditioning (HVAC) Systems Maintenance and Repair Services for City and

Water Operations facilities. The original Agreement was fora 9-month period with three 1-year
extensions available to the City. This contract amendment would extend the Agreement for the third time
from July 1, 2007 through June 30, 2008 and would grant the contractor a 3.0% increase which is less
than the 3.3% adjustment in the Consumer Price Index. The contractor will be compensated a sum not to
exceed $15,479.64 for the period from July 1, 2007 through June 30, 2008 or $1,289.97 per month.
Barr Engineering, Inc. has provided consistent service of a reasonable quality over the last year, and has
been very responsive in the correction of any service that was not up to City standards. The
implementation of this extension will allow the contractor to continue t~ provide the same quality and
responsiveness the City has previously received.

This Amendment is made with reference to the following:
RECITALS

B. WHEREAS, the initial temp of the Agreement was 9 months with the option
to be extended for three additional one-year terms by written agreement of the
parties;
C. WHEREAS, City and Contractor entered into the first amendment to the
A reement on July 1, 2005 and extended the Agreement until June 30, 2006;

D. WHEREAS, City and Contractor entered into the second amendment to the
A reement on Jul 1 2006, and extended the Agreement until June 30, 2007;

E. WHEREAS, City and Contractor desire to exercise the extension clause
ursuant to Section B, Page B-7, Paragraph 3, "Extension of Contract", to extend

the Agreement for one year;
F. WHEREAS, City and Contractor also desire to adjust Contractors
corn ensation under this Agreement, to reflect a 3.0% increase effective July 1,

2007 for the 200712008 fiscal year. This increase will reflect the not-to-exceed rise
in the Consumer Price Index, for Los Angeles, Orange and Riverside Counties,
pursuant to Section B, Page B-7, Paragraph 3, "Extension of Contract".
AGREEMENT
The Agreement is hereby amended as follows:
A. The term of the Agreement is extended for the third one-year extension
through June 30, 2008, unless sooner terminated pursuant to Section 6,
Page B-8, Paragraph 1 "Termination of Contract Agreement".
B. City shall pay the Contractorthe following sum for the period indicated:
1. From July 1, 2007 to June 30, 2008, the City shall pay the Contractor, on
a monthly basis, an amount equal to $1,289.97.
C. Except as expressly amended by this third Amendment, all other terms and
conditions of the Agreement and all attachments and exhibits thereto, shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties have hereunto set their hands and seals the
year and date first above written.
