SUBJECT: AUTHORIZATION FOR TRANSFER OF MISCELLANEOUS PERSONAL
PROPERTY WITHIN BUILDINGS 212, 528, 529, AND 530, AND
BUILDING 172 AT FORMER MCAS TUSTIN
SUMMARY:
Authorization is requested for transfer of miscellaneous personal property within
Buildings 212, 528, 529, and 530, and within Building 172 previously transferred to the
City of Tustin by the Department of the Navy.
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the City Manager or Assistant City Manager to execute a Bill of Sale by
and between the City of Tustin and Tustin Legacy Community Partners, LLC for
transfer of miscellaneous personal property within Buildings 212, 528, 529, and
530 owned by the City of Tustin.
2. Authorize the City Manager or Assistant City Manager to execute a Bill of Sale by
and between the City of Tustin and Tustin Legacy Community Partners, LLC for
transfer of miscellaneous personal property within Building 172 owned by the City
of Tustin.
FISCAL IMPACT:
The fiscal Impact of transfer of the miscellaneous personal property is negligible, it will
actually save the City subsequently from having to dispose of the property

The City, the Tustin Public Financing Authority and Tustin Legacy Community Partners,
LLC, (TLCP) entered into the Tustin Legacy Disposition and Development Agreement
(DDA), dated May 3, 2006, as amended by the First Amendment, dated as of March 29,
2007, and as amended by the Second Amendment to the DDA, dated as of June 5,
2007. Pursuant to the DDA, the City intended originally to transfer with each individual
Conveyance Phase to TLCP under a Bill of Sale, (1) all tangible miscellaneous personal
property appurtenant to the real property conveyed or leased to TLCP under the DDA,
and (2) all utility distribution systems located on the real property to be conveyed or
leased to TLCP under the DDA.
In conjunction with the DDA, TLCP has obtained building plans for demolition of certain
structures, including certain buildings with the Phase 2 Conveyance Property. More
specifically, in proceeding with building demolition of Buildings 212, 528, 529 and 530
located within the Phase 2 Conveyance Property at the northwest corner of Barranca
Parkway and Armstrong Avenue, there is the presence of certain miscellaneous
personal property within these buildings which TLCP can dispose of more efficiently in
conjunction with such demolition activities rather than storing the items and the City
then conveying the miscellaneous personal property in conjunction with a Phase 2
Closing.
The City is therefore desirous of disposing of the miscellaneous personal property
located within Buildings 212, 528, 529 and 530 at this time as shown on Exhibit A.
TLCP is responsible at its full cost for removal of the miscellaneous personal property.
Building 172
TLCP has also requested permission to demolish Building 172 on a portion of an 18 acre
City of Tustin owned parcel at Tustin Legacy. The building is generally located in the
vicinity of the northeast corner of Warner Avenue and Red Hill Avenue and to the west of
Hangar 524. Previously used for bulk fuel storage, the building has been vacant for
some time and is surrounded by a chain-link fence. TLCP recently demolished buildings
within the Master Developer footprint near Building 172 per the DDA. Building 172 is
listed to be demolished pursuant to Appendix C, "Preliminary Building Condition Survey"
in the MCAS Tustin Specific Plan, and since Phase 1 of TLCP's Master Development
Plan is located within the same immediate area as Building 172, TLCP has offered to
demolish the building at no cost to the City of Tustin. Any cost of demolition would also
not be a recoverable cost under the DDA by the Developer as part of the DDA Business
Plan.
