SHINGLETON, ASSISTANT CITY MANAGER SUBJECT: DEVELOPMENT PROPOSAL SOLICITATION FOR MARKETING PROPERTY IN VICINITY OF SR-55 FREEWAY AND EDINGER RAMPS SUMMARY: A request to formalize the solicitation process for marketing certain property located in the vicinity of the SR-55 Freeway and Edinger Ramps. Also, to create and formalize the role of two members of the City Council to be added to the City and Agency Technical Evaluation Committee for recommending the selection of a prospective buyer and developer for the subject property. RECOMMENDATION: It is recommended that the City Council: 1. Concur to the Developer Request for Proposal (RFP) process on the subject property and authorize staff to issue an RFP to the selected list of pre-qualified developers, subject to approval of the City Attorney and special counsel as to form. 2. Concur that, from this date forward until City Council selection of a development team and award of a contract, any and all contacts between potential respondents and their representatives on the subject property or RFP process shall be made solely through the City's Redevelopment Agency contact, Assistant City Manager Christine Shingleton. Any and all attempts to contact, or any contact made by any other person, including an elected official or appointed official of the City, shall be grounds for disqualification of a potential respondent/proposerfrnm the RFP process. 3. Formally appoint two members of the City Council, to be the City Council's representatives on the Technical Evaluation Committee, which shall be responsible for making subsequent recommendations to the City Council on the outcome of the RFP process. FISCAL IMPACT: The initial costs of preparation and review of an RFP have been included in the adopted FY 07-08 budget. Any additional costs that may become necessary, or as required after receipt of any RFP responses, will be subsequently identified. If additional appropriations are required, staff will return for any necessary City Council budget authorizations. BACKGROUND: As the City Council is aware, the City obtained an Order of Possession for property which is a part of, and also adjacent to, the City's right-of-way needs for the Newport Avenue Extension/SR-55 Northbound Ramp Reconfiguration Project and Valencia and Del Amo Widening Project Phase I (CIP 7130), subject to final valuation of the property being determined by a court process (see Attachment A). The property is located south of Edinger Avenue and generally bounded by the SR-55 Freeway on the west, Valencia Avenue on the south, generally the new alignment of Del Amo Avenue on the east (currently under construction) and is traversed by the extension of Newport Avenue south of Edinger (currently under construction). As shown on Attachment B, the City envisions marketing at this time approximately 27.54 gross acres (after right-of-way needs for CIP 7130 project), including 3.98 acres of property that will be conveyed to the City by Cal Trans after completion of the project. The current schedule envisions a trial on the final valuation of all of the property subject to the Order of Possession sometime in early 2008, including the necessary payment of any final valuation determination. It is, therefore, critical that the City initiate marketing the property that will be available for development in order to back-stop any future financial commitments that will be required by the City as part of the valuation process. The marketing and development process for those portions of the property which would be developable envisions a future conveyance of the property not needed for right-of- way to a highly qualified private development team at market value to reflect the potential for a distinct market segmentation and development opportunity. The City believes that marketing the entire site in a large package to an experienced master developer will best position the property to respond to the market's potential and the financing complexities associated with implementing a large-scale community development project on a site of this size. In order to expedite the selection of an experienced development team and to ensure that business offers are made by respondents within a time frame necessary to position the City best for the upcoming court valuation process, the City is proposing cone-step solicitation process rather than a more extended two-step process which normally involves the issuance of a Request for Qualification and then a subsequent Request for Proposal Process (RFP). It is suggested that the City issue a competitive Request for Proposals to a short list of developers that Agency staff have determined qualified to undertake a project of the size and complexity of what is being proposed. The RFP process will require a respondent to submit certain requested information in response to the RFP and to also specifically formulate and prepare a proposed Business Plan, pro forma, and Business Offer for the property in order to proceed through the completion of the selection process. As noted in the Attachment, a Technical Development Evaluation Team will assess the proposals in response to the RFP. The team will be comprised of City and Redevelopment Agency staff and outside Agency consultants with specific expertise in areas of valuation, financing, etc. It is also recommended that two members of the City Council be appointed to the Technical Evaluation Committee. Prior to proceeding with milestone decisions, noted with an asterisk in the Attachment, a full briefing of the City Council and Agency will occur. The City will be seeking developer invited interest through a competitive Request for Proposals process. However, since the City is in the midst of valuation litigation on the subject property, we would also recommend a very structured approach to the RFP issuance and evaluation process, similar to the recent trash contract. The City Attorney is strongly recommending that, from the date of Council consideration of this Agenda Report forward until City Council selection of a development team and award of a contract, any and all contacts between potential respondents and their representatives on the subject property or RFP process be solely made through the City's Redevelopment Agency contact, Assistant City Manager Christine Shingleton. To formalize the role of the two-member sub-committee of the City Council in the evaluation process, I would also request that the City Council formally appoint two of its members to the sub-committee and recognize the sub-committee's role as participants in the Technical Evaluation Team.
