SUBJECT: AWARD CONTRACT FOR CLOSED CIRCUIT SURVEILLANCE
SYSTEM UPGRADE AT CIVIC CENTER
SUMMARY:
Staff requests that the City Council award the contract to Convergint Technologies for the
Closed Circuit Surveillance System (CCTV) upgrade at the Civic Center. The CCTV
upgrade is initiative #30 of the 5 -year IT Application Plan.
RECOMMENDATION:
It is recommended that the City Council:
1. Award the contract to Convergint Technologies for the Closed Circuit Surveillance
System upgrade and authorize the City Manager to execute the contract documents
on behalf of the City; and
2. Approve supplemental appropriations in the amount of $509,980 from
unappropriated reserves of the General Fund (Fund 100).
FISCAL IMPACT:
As discussed with the adoption of the 5 -year IT Application Plan, the appropriation for the
CCTV initiative was not included with the FY 2018-2019 budget. The supplemental
appropriation for $509,980 has been requested from unappropriated General Fund
reserves to implement this project. The projected General Fund Reserves after this
appropriation is projected to be $20,181,043.
CORRELATION TO THE STRATEGIC PLAN:
The Closed Circuit Surveillance System upgrade implements strategy number three (3) of
Goal B: Public Safety and Protection of Assets and strategy five (5) of Goal E:
Organizational Excellence and Customer Service.
BACKGROUND:
The existing CCTV system no longer meets the Police Department's needs. It was identified
during the IT Needs Assessment process as a high priority project. The CCTV system is
initiative #30 of the 5 -year IT Application Plan. This project is the first phase of the program
that encompasses multiple phases over multiple fiscal years.

The City contracted with a consultant, Scientia, who worked closely with the Police
Department and IT to conduct a comprehensive security evaluation at the Civic Center, which
included considerations for number of cameras, camera locations, lighting conditions,
camera angles, and viewing stations. The City posted the RFP for this project in June 2018
and received three (3) proposals from the seven (7) vendors that participated in the
mandatory site walk.

The City Team (IT, Police, and consultant) reviewed each proposal and requested
Convergint Technologies and Am -Tec Total Security to demonstrate their solutions. The
demonstrations included sample videos, live camera tests, and video management system,
after which the City Team selected Convergint Technologies (vendor) to implement this
project. The system proposed by the vendor meets all the minimum requirements that were
outlined in the RFP. However, the City Team met with the vendor to revise the proposal to
increase system redundancy and reliability, which increased the cost of the project by
$46,400 for a total project cost of $509,980. A summary of the changes to the proposal are
identified below:
• Increase storage capacity to allow for more effective failover and system redundancy
• Change video quality, frame rates, and retentions to meet operational needs
• The addition of four (4) cameras to improve coverage
• Additional server/controller for more redundancy
The new 87 -camera system will cover the civic center complex, which includes the exterior
areas around the Library, Community Center, City Hall, and parking lots. The interior of the
Community Center and City Hall will be covered as well. There are several designated
viewing and control workstations located in the Police Department. The system will include
analytics and motion sensors that will alert staff based on predefined conditions. In addition,
the system will provide the City with the ability to leverage advance search features in the
future, e.g. searching for a person wearing a red shirt on Monday. The new system will
increase the Police Department's effectiveness and efficiency in protecting the public at the
Civic Center and throughout the City, as subsequent phases of the project are completed.

PROJECT OVERVIEW
The City of Tustin Police Department ("City") is soliciting proposals from qualified vendors to
provide a Closed Circuit Television (CCTV) System Upgrade, Installation & Maintenance
Project for the City Campus. In place today are several independent CCTV systems, Property
area, Jail area, Common and perimeter of the police facility, Interview room monitoring and City
complex. It is the intent of the City to combine the disparate systems into a single Video
Management System (with the exception of the interview rooms) and to add monitoring
throughout the entire City complex. The selected/qualified vendor will be required to install new
cabling and a wireless infrastructure for the replacement system and cameras, and to install new
cameras at specifically identified locations. The cabling at a minimum will be CAT -6A.
The objective of this project is to identify a highly qualified professional service provider to
design, implement and maintain a progressive CCTV system. The City will require ongoing
maintenance and support for at least 4 years, with the first year as provided under warranty, and
years two, three and four priced separately on the proposal. The maintenance and support is to
include general camera maintenance (cleaning/status checks etc.). The City expects technical
support to be available during regular business hours (8am to 5pm) which includes telephonic
support and when required and options for a technician onsite if a problem is not be fixed
remotely. Onsite response requires at a minimum within a one -business day from the time a
determination is made onsite service is required.
THE CITY OF TUSTIN
Incorporated in 1927, the City of Tustin is a General Law city. The Constitution of the State of
California establishes two types of cities: Charter and General Law. A General Law City, may
exercise only those powers expressly given under State law. All cities begin as General Law
cities, and the City of Tustin has chosen to remain such. Tustin is located in central Orange
County and encompasses an area of 11.08 square miles. The City is bounded on the south by the
cities of Irvine and Santa Ana, on the north by the unincorporated portions of the County of
Orange and the City of Orange, and on the east by unincorporated County territory and the City
of Irvine. Within the context of the larger Southern California region, Tustin is located
approximately two miles north of Orange County's John Wayne Airport and is transected by two
major regional freeways: the I-5 (Santa Ana) Freeway, divides the City into north and south; and
the SR -55 (Costa Mesa) Freeway, divides westerly portions of the City.

SCHEDULE OF EVENTS
Request for Proposal published Wednesday, June 13, 2018
A mandatory site walk through will take place on Thursday, June 21, 2018 @ 2:30 PM. The
meeting point is at the Tustin City Council Chambers located at 300 Centennial Way, Tustin
CA 92780. Prospective bidders who do not sign in and attend the site walk through will be
disqualified.
Questions will not be answered prior to the site walk through. Addendums to the RFP may be
distributed based on the needs of the City. Prospective bidders who have conducted the
mandatory site walk through may submit questions in writing via email to the following email
address stran@tustinca.org or addressed to: Sean Tran, 300 Centennial Way, Tustin, CA 92780,
by Friday, July 13, 2018 @ 5:00 PM.
A unified response to all questions will encompass the questions and answers, distributed via
email to all qualified bidders by Friday, July 20, 2018 @ 5:00 PM.
All proposals are due Friday August 3, 2018 by 10:00 AM.
Proposal evaluations will take place during August 3, 2018 and August 17, 2018 during which
time the evaluation team may invite the top candidates to make a presentation of their proposal.
The selection process will conclude with preliminary notification to occur on Monday, August
27, 2018.
It is anticipated that the City Council would award the contract at its August 21 meeting.
The proposed project planned to commence Tuesday, September 18, 2018.
The City reserves the right to reject all proposals, disqualify nonconforming or incomplete
proposals at its sole discretion, waive deviations from the RFP, and determine whether proposers
are qualified, or to make no award. The City reserves the right to issue addenda to the RFP, to
modify the RFP, to modify the franchise agreement, or to withdraw the RFP. The City may
request clarification or additional information from any of the proposers at any point in the RFP
process. Proposals must comply fully with the requirements detailed in this RFP. Required
supporting documentation must be included as attachments and be appropriately identified. All
proposers should take whatever steps they believe are necessary to reasonably establish the
actual existing service information when preparing their proposals

PROJECT SCOPE OF WORK
The intent of the City is to seek a vendor to provide an all-inclusive CCTV IP based video
surveillance system to meet or exceed specifications outlined in this Scope of Work. The CCTV
system upgrade, installation and maintenance project described herein, will include the
implementation of all the back -end hardware and storage, software, monitoring/viewing
equipment and associated labor to provide the City with an end-to-end IP based video
surveillance system. The project includes the replacement of cameras, adding cameras, related
camera equipment and associated cabling/infrastructure.
The back -end storage array shall provide for the necessary storage of audio/video for a period no
less than three hundred, and sixty-six (366) days. The storage system may be hosted local storage
and/or a hybrid storage solution to include local and cloud storage. All viable options will be
considered.
The proposed CCTV system will replace all existing cameras within the Jail facility, Property
and Evidence rooms, the Lobby, the building exterior and City Complex common areas. The
system will add NEW camera locations to meet the coverage expectations identified on included
attached documents. As part of the overall project, all existing camera and related equipment
removed by the selected vendor will be returned to the City of Tustin.
The total project estimated to consist of eighty-three (83) cameras and all equipment including
infrastructure (cabling/wireless), software, hardware and training necessary for a complete
implementation. All camera locations must be part of a single system and able to be viewed,
managed, manipulated and maintained after implementation. The City anticipates prospective
bidders will include where required Infrared (IR) illuminators or IR enabled cameras for selected
locations throughout the City complex. The camera count is an estimate only and vendors
responding may propose more or less equipment based on experience and technology
recommended.
Cabling, both Category 6A, fiber optic cable along with the use of a secure wireless
infrastructure will be considered as part of the solution. The infrastructure costs will be priced
separately to include all labor, material and project management. It is required that all
infrastructure (wireless and cabling) for this project be tested when complete and signed off by
Tustin Project Management representative as part of the implementation phase.

INFRASTRUCTURE
Provide all infrastructure and cabling necessary to accomplish the project. See Attachment A
(map) for additional detail regarding infrastructure.
All locations requiring IDF layer managed switch(s) are to be provided by the selected/vendor.
Placement of IDF layer switches are to maximize operational security and to optimize camera
infrastructure connectivity. The selected vendor shall ensure that all uplinks from each IDF layer
switch to the MDF core switch, meets with the satisfaction and final approval of the City
designees. Fiber connections between the MDF's and IDF's currently exist, with separate dark
fiber dedicated to this project.
Note: A complete proposed network diagram is to be included as part of the response to
this RFP.
Note: Any and all fiber optic cable used (at a minimum) will be OM4, 12 strand fiber with the
ability for l OGb, 40Gb and 100 Gb bandwidth, all strands will be terminated with LC
connectors. It is the responsibility of the selected vendor to identify how many IDF layer
switches will be required.
There is existing unused multimode fiber dedicated to this project, connecting each of the
proposed MDF's and IDF's, with LC or SC terminations depending on the location
Note: Regarding IDFs and connectivity, wherever network cabling is required, CAT -6A shall be
used. This includes connectivity for the independently wired viewing stations and IP based PoE
cameras. The selected vendor will supply all cable management materials and all cable runs
shall be clearly labeled at both ends.
The project will include several exterior camera locations whereby wireless and/or conduit may
be required. It is preferred that for conduit, a junction box be used for CAT 6A cable at each
exterior camera location.
In addition to the locations identified in Attachment A, all existing cabling will need to be tested
to meet a minimum of CAT -6A, or installed as new. Below are a few examples of anticipated
cabling based on location. A thorough and complete proposed network diagram is required as
part of the project kick-off, ongoing review and final sign off.
All cabling to connect all cameras and associated devices, other related equipment and
workstations is required as part of this project. It is the responsibility of the successful bidder to
insure that that all connections and necessary cable runs are completed.
There are two exceptions:
1. Spare fiber optic cabling between the various MDF's and IDF's currently exists and at
least one pair of fiber optic cabling is dedicated to this project.

2. Additionally, the City will be providing and mounting all wall mounted LCD's and will
provide HDMI cables to each of the affected workstations providing connectivity
between each wall mounted LCD and the respective workstation.
All other cabling requirements are the responsibility of the vendor.
EXISTING SYSTEM MIGRATION FROM ANALOG TO DIGITAL
The existing CCTV system is rack mounted in a location where new equipment is to be added.
The transition will require a well -conceived plan and design to install the new equipment while
keeping the existing system in operation, until the new system is completely active. There is
presently limited available rack space to assist during the transition and inspection is required by
prospective bidders during the mandatory walkthrough. It is the expectation that there be no
down time during this transition.
JAIL CELLS AND PROPERTY
The solution requested to provide video and audio recording from camera locations in the
property area as well as audio from jail cell locations, and any other location as identified on the
map (Attachment A).
Audio and video recording equipment is to be located in the server room. The audio and video
monitoring for camera locations will receive different treatment and will require:
Special login permissions and access control to those cameras/audio streams
CD/DVD duplicator may be provided as a separate item or as part of the Back -End System with
permissions and access control to specific user
A user-friendly interface that allows networked access to any recorded Jail Cell including audio
from selected police department desktop computers
A separate user friendly recoding mechanism that allows archival to other media so that audio
and video form Jail Cells and Property can be easily exported
Where required, stereo microphone's in each location with design and installation that mitigates
background noise i.e. air conditioning or other noise
A software solution that allows for simple exporting of recorded audio for transcription and
archival of recorded audio
The audio solutions at specific camera locations are to be of a high definition quality using
current technology standards.

It is recommended prospective vendors research and/or be prepared to demonstrate via reference,
solutions specific to law enforcement implementations and technology in preparation for their
proposals.
VIDEO MANAGEMENT SYSTEM
The vendor will also supply the necessary enterprise -level video management software for
control station viewing of live video, play -back of recorded video, exporting of video to DVD,
and all the latest and current analytics associated with CCTV surveillance video technology.
Video Management software shall be an enterprise -level, recognized software solution known
for public safety deployments.
The City has no preference concerning software and would prefer a solution which has been
successfully implemented at several dozen other public safety reference able locations. The
successful solution should at a minimum include the following:
Should be on an independent stand-alone video network.
Should be scalable for future growth
Should be open source architecture
Should utilize SQL (or CJIS/DOJ approved product) for back end storage/management
Should provide a minimum of High Def resolution at 720p
Should possess a sufficient RAIDS or RAID6 level to insure very reliable redundancy
Should be capable of recording audio
Should be capable of transmitting audio
Should not require ongoing annual licensing fees
Should have the ability to archive video to alternate media, i.e. optical
Should possess the following features, at minimum, to:
Permit digital.masking for privacy
Restrict viewing capabilities of users, based on need
Restrict retrieval of recorded video
Setting priority for access of cameras by individual users
Provide an Audit Trail
Motion search of recorded video
Have tablet/smartphone app for remote viewing/access
Ability to import video from other sources, i.e. smartphone
Should have the following video anal ics:
Motion detection
Abandoned object
Virtual Tripwire
Counter flow
Person, vehicle, animal identification

EQUIPMENT REQUIREMENTS
This section is intended to provide minimum standards to insure that new high quality, industrial
grade, rigorously proven equipment is supplied, so that a value line, inferior quality or end -of -
life product is not proposed. It is also the intent of this section to insure that a dependable
solution is provided, with redundancy to insure that should equipment failure occur, video is still
dependably archived as described elsewhere in this document.
The equipment identified in this section is not intended to be all-inclusive, nor necessarily
manufacture or model specific. It is the responsibility of the vendor, in their design, to identify
and provide all equipment necessary for a successful and dependable turnkey video solution.
EQUIPMENT RACK
The existing back -end video equipment is currently rack mounted in the Police Department
MDF. There is ample space in this rack to accommodate new equipment once the existing
equipment is removed.
PATCH PANELS
The selected vendor will also supply at a minimum the appropriate 48 -port CAT -6A network
patch panels to provide connectivity to Intermediate Distribution Frame (IDF) layer switches and
cameras.
NETWORK SWITCH
The selected vendor will also supply a CAT -6A core network fiber enabled switches with PoE
and Advanced Services to support layer 3 routing. Any switch provided will be a fully managed
switch and enable connectivity between core devices and cameras/switches throughout the
facility. Any managed switches placed throughout the facility will be fiber capable.
AUTHENTICATION APPLIANCE
A vendor supplied Dell (or similar) authentication appliance (2U server) will provide for user
authentication, metadata for the system, a location for the system /user audit logs, and the storage
of incidents and other system maintenance functions.
POWER — UNIVERSAL POWER SUPPLY
A vendor supplied UPS will need to be provided in the Police Department MDF to support any
newly installed video equipment, and also at other MDF, IDF locations where equipment is
supplied.

STORAGE ARRAY
A vendor supplied Dell (or similar) storage server will be connected to a highly fault tolerant
RAID 5 or RAID 6 storage array. To ensure sufficient time for maintenance and/or repair
actions, a failover standalone Network Video Recorder (NVR) will be incorporated. A storage
solution which is a Hybrid (local and Cloud) will also be considered and evaluated.
As an example, the primary means to record cameras is a high availability, high reliability
Storage Area Network (SAN) that is connected via SAS to an NVR appliance. The SAN will be
configured as a RAID 5 / RAID 6 logical drive capable of accommodating the necessary storage
of video for a period no less than three hundred, and sixty-six (366) days. The array needs to
have "hot spare" drives available per array. The storage array shall also be scalable to
accommodate storage space expansion of the CCTV project.
AUTOMATIC FAILOVER NETWORK VIDEO RECORDER
The automatic failover NVR will be used to failover the recording jobs if it is deemed necessary
due to a failure or to conduct maintenance of the primary NVR. The failover NVR will be an
airflow redundant power system, RAID 5 / RAID 6 NVR appliance with the necessary software.
If the primary NVR fails in a way that prevents video from recording, and the network is still
operational, the failover NVR will automatically take over recording of cameras until the
primary NVR is repaired. A manual failover can be initiated to perform maintenance on the
primary NVR system. The failover NVR is a RAID 5 / RAID 6 system with redundant airflow
and power systems, and can support a minimum of up to 3 months of recorded video. Whenever
the failover NVR is used either in a manual mode for routine maintenance, or via the automatic
failover, after the primary NVR is repaired or placed back on line, the data from the failover
NVR shall be consolidated with the primary NVR storage array for ease of searching and
retrieval. Manual switching between NVRs will not be acceptable after restoration has been
made to the primary NVR. It is understood when the primary NVR is down for maintenance or
repair, it is necessary to manually switch to the failover NVR for current data viewing and
retrieval.
VIEWING STATIONS
The selected vendor will supply viewing stations as identified independently networked (wired)
directly to the back -end video system located in the server room utilizing CAT -6A wiring.
Viewing stations and CCTV equipment shall be segmented from (firewalled) the Police
Department and City data network. The viewing stations will be installed in the locations per
Attachment A:
Note: It is the responsibility of the proposer to provide specifications and/or complete solutions
for the viewing of live and pre-recorded video/audio.

CAMERA REPLACEMENT / ADDITIONS
The project will consist of replacing ALL analog cameras in the Jail facility, Property and
Evidence Rooms, and Common areas as well as adding cameras in newly identified locations.
The City has no preference regarding camera manufacture however, it is expected that industrial
grade cameras will be provided, so that an extended hardware life expectancy can be anticipated.
While there is no manufacturer preference, the following Axis camera model numbers have been
provided to illustrate the quality of devices that are expected to be supplied. P3225 -LVE MKII,
P3225 -V, P3225 -VE MKII, P3227 -LVE, P5635 -E MKII, Q6055 -E, Q6000 -E MKII, P3707 -PE

and Q3708-PVE. This list is not intended to be all-inclusive, but just to provide examples of the
quality standard that is required. It is the responsibility of the successful bidder to insure that
cameras selected provide coverage as described in Attachment A.
Camera locations where an IP based camera is used will be wired back to the IDF's or server
room via CAT -6 wiring utilizing PoE. Cameras may be connected via radios and powered
locally at certain positions identified on Attachment A.
The desired IDF layer switches will be newer model devices with at least a minimum capability:
Distribution Layer 24 port POE Switches — Similar to (24 port 10/100/1000, PoE 370W,
4 x SFP Lan Ports)
CAMERA LOCATIONS
When dealing specifically with camera locations within the Jail facility, the selected vendor shall
provide a security -housing where appropriate or a vandal resistant mini -dome usable, this will be
identified during the pre-bid meeting.
An attachment (Attachment A) has been prepared that identifies the location of each new camera
and each camera to be replaced.
VIEWING AND ARCHIVAL
The following will be the required minimum video requirements for all camera locations:
• At a minimum High Def. resolution of 720p - (720p 1280 x 720p) or 1080p (1920 x
1080p)
• Frame Rate — 25-30 frames per second (FPS).
• Video Compression — preferred H.264
All video will be archived at a minimum High Def. resolution of 724p, 25-30 FPS for a period no
less than three hundred, and sixty-six (366) days.
USER TRAINING
• User training - Once all components of the system are installed and final testing and
adjustments have been completed, operational training is to be performed and a System
Acceptance Certificate is to be executed. An allowance of operational training is to be
included in the response. Additional operational training and manufacturer specific
operational training may be provided upon request at additional charge.

DOCUMENTATION SUBMISSIONS
Within two weeks of the successful completion of final tests, the selected vendor shall
prepare and submit a Final Documentation set to the City's Representative. All
documentation shall list the City, Project Name, City Representative, and Selected
Contractor.
All final documents and drawings shall be submitted in the following format:

Two (2) printed copies of all documents and drawings.
The documentation shall be bound in three ring binders with covers and spines listing the
City, Project Name, City Representative, and Selected Contractor.
The Final Documentation Submittal shall include:
AS -BUILT DRAWINGS
The as -built drawings must reflect the complete and final configuration of the systems,
including:
1. System configuration drawing including specific manufacturer and model
number for each component; physical location callout indicating the
components physical location (i.e. equipment rack #, wall mounted, etc.);
location of each device on the network based on the drawings; and other
details as needed to accurately document the interconnectivity of the
components.
2. Rack numbers for IDF and MDF
3. Patch panel numbering for CCTV network
4. A listing of each supplied item with manufacturer, model number and serial
number (associated spreadsheet)
5. Operator's manuals for each piece of equipment supplied
6. The Selected Contractor shall include any additional drawings, which are
necessary to properly document the as -built systems, but not included in the
RFP documents.
SOFTWARE
It is required that only widely used, and extensively deployed, industry
standard Video Management System (VMS) software will be offered as part
of this project. However where custom software might be developed as a
minor part of this project, the system source code, passwords, and any
associated related files, referenced files, and development software (and all
relevant documentation and license) used to compile, develop, and build, etc.
the executable code must be furnished and installed. The source code should

be well documented in accordance with industry software engineering
practices.
2. The software developer shall retain intellectual property rights; the City shall
have a license in perpetuity for use as it applies solely to this project,
including the right to modify or enhance the software. The software code may
not be sold or used, in part or in whole, in any other project or application
other than that intended by this specification, in part or in whole, by the City
or any other party.
3. If a Subcontractor is used to write the software, the Selected Contractor shall
include, as part of the Final Documentation submittal, a signed letter on the
Subcontractor's letterhead, granting the City, use, and modification rights of
the code and documentation as defined herein. The software shall be
submitted to the City's Representative on DVD -ROM, inserted into a plastic
sleeve appropriate for each media type, and included in the binders.
IP ADDRESSING SCHEDULE
1. An IP Addressing Schedule is to be provided for installed devices. The IP
Addressing schedule will be coordinated with City designees as part of the
design and implementation phase. The IP addressing will NOT conflict or
interfere with the City of Police Department network. The IP Addressing
Schedule shall list, at a minimum, for each provided device requiring an IP
address and connected to any network:
a. Product manufacturer and model
b. LAN port connection location
c. Assigned Static IP address
d. Product MAC address
2. The IP Addressing Schedule shall be submitted electronically in Microsoft
Excel .xls format, compatible with MS Windows 10 or newer operating
systems.
SYSTEMS ACCEPTANCE
Coordinate and conduct an acceptance walk-through and sign -off session with the City's
Representative.
Submit a "sign -off' document for the systems.
FINAL ACCEPTANCE
• Final Acceptance shall be granted by the City based on the successful completion of the
following activities:
A. All items required to obtain Substantial Completion have been achieved.
B. Any reported corrections not required to obtain Substantial Completion have been
completed by the selected vendor and accepted by the City.

C. The selected vendor's Final Documentation Submittals have been reviewed by the
City and deemed to be complete.
D. The selected vendor has provided all required training for the City as defined
herein.
E. Any remaining items required by the Specification, but not listed above, have been
completed by the selected vendor.
PREVENTIVE MAINTENANCE, REMOTE MONITORING AND WARRANTY
• Service support — A complete and comprehensive program of preventive maintenance,
remote monitoring and diagnosis, service and warranty support shall be provided for the
warranty period of the first year from the date of Final Acceptance of the System.
Maintenance and System Warranty support is to include, at a minimum:
A. Rapid response within two hours of service request during normal business hours.
Requests received after hours are to be responded to next business day.
B. Remote network based monitoring and diagnostic support
C. Telephone support between the hours of 8:30am-5pm, PST M -F
D. Reinstallation and alignment of repaired equipment
E. Four (4) preventive maintenance visits per year that include camera inspections and
cleaning where appropriate
F. Unlimited emergency support of all equipment
G. All required parts and repair costs for equipment breakdown
• Selected vendor is to provide pricing for an optional preventive maintenance and
warranty service agreement, which is to be consistent with the requirements of the first
year agreement, for years two, three and four as a part of their response.
QUAILITY ASSURANCE
All equipment for this installation is to be new, less than one year from the date of
manufacture, and without blemish or defect.
All electrical, electronic and optical equipment furnished by the selected vendor shall be a
product of companies regularly engaged in the manufacture of electrical, electronic or optical
equipment.

The equipment shall be the latest model or type offered which meets the applicable
specifications at the time of the submittal. Discontinued items replaced by newer models or
versions are prohibited and should not be submitted for review. It shall be the selected
vendor's responsibility to submit to the City's Representative information regarding
discontinued products listed in the specification. If a product listed is discontinued prior to
installation, the selected vendor shall submit a request to provide the manufacturer's
replacement model.
Request shall include name of material, product or equipment to be provided and a complete
description of the proposed item including drawings, performance and test data and other
information necessary to demonstrate that the replacement is to meet all intentions of this
Specification or required for a complete evaluation.
Selected Contractor shall assume and bear all responsibility for coordinating and performing
related changes in the Work necessitated by such replacement item. This includes, but is not
limited to, changes to other related selected components, changes to architectural integration
details, and changes to required infrastructure.
Quality of workmanship and fabrication of all equipment and components, which are custom
fabricated shall be comparable to professional equipment produced by specialized
manufacturers of the trade involved and shall be verified by observation. Only firms having
experience as identified elsewhere in this document in all aspects of the fabrication and
installation of similar systems shall be allowed to perform the work.
The work specified herein shall be accomplished by a single Selected Contractor
professionally engaged and qualified in the design, fabrication, installation, checkout and
warranty contract management of systems such as those described in this Specification.
The Selected Contractor shall have complete responsibility for the systems described herein
and shall be the single contract point for the City's Representative with respect to all work
specified herein.
The Selected Contractor shall maintain the same project manager and field supervisor
throughout the installation, and where practical, maintain the same installers.
The Selected Contractor shall supply and install any incidental equipment needed in order to
result in a complete and operable system without claim for additional payment, even if such
equipment is not listed in this Specification.
All work related to this Specification shall be completed in a professional manner by
qualified workers.
RELIABILITY
The systems are designed for professional quality operation over a period of several years

without the need for continual maintenance.
The Selected Contractor shall guarantee all equipment, materials, and labor for a period of 1
year from the date of final acceptance.
The Selected Contractor shall notify the City before any service call whether such call is or is
not covered under warranty. The City may be billed for non -warranty calls. The Selected
Contractor shall notify the City of any service call or work to be performed for which charges
may be incurred before such work commences.
As part of the RFP Response, the Selected Contractor shall provide the City with a proposal
to extend the Warranty to cover Year 2, Year 3, and Year 4 of operation. These offerings are
to include all parts and all labor; all conditions and restrictions listed above and elsewhere in
this document apply
OTHER REQUIREMENTS
The Police Department at its sole discretion may require security clearances for individual
workers assigned to this project and may require individual workers to sign a waiver for
purposes of conducting a background investigation.
Contractor is required to provide an on-site Project Manager; a remotely located project manager
will not be permitted. This on-site property manager will be the SINGLE POINT OF
CONTACT for the management of all aspects of this project. The Project Manager must have
overseen at least five separate municipal or county public safety, surveillance systems, similar in
size, scope, functionality and complexity as the system identified in this document.
In addition to other conditions identified in this document, the contractor is responsible for
providing their own lift or bucket truck if needed, and any incidental material or equipment costs
to accomplish this upgrade including miscellaneous, connectors or other material to replace the
equipment identified in this bid.
It is the responsibility of the successful contractor to provide a total solution for a complete
turnkey system. If there are design flaws provided in this document or if there is a more
effective manner to accomplish the same goal, it will be the responsibility of the contractor to
correct the design flaw and to provide the best possible solution.
Any changes to the project after award of contract shall require a change order outlining all of
the associated costs. No Change Order work will commence without City written authorization.

Contractor's Examination of Site and Verification of Existing Conditions
Contractor shall visit the job site to determine conditions affecting performance of service
including location, physical surroundings and nature of existing structures and shall examine
carefully the sites of the proposed work and judge for themselves as to the amount and type of
proposed work.
Contractor shall field verify all conditions at the job site and perform all work to complete the
project, regardless of the variations that may be found, without additional costs to City.
Contractor shall field verify no distance is greater than 300' for any proposed IP camera location
to insure that PoE requirements will be met and also that the method of PoE will support the
proposed devices to be installed.
Contractor shall verify site conditions, locations and dimensions of all existing equipment,
structures, site conditions, and the contract documents that pertain to this installation. It will be
assumed that, upon acceptance of contract, contractor will have investigated the site and is
satisfied with the conditions to be encountered as to 1) the character, quality and quantity of
work to be performed; 2) the quality and quantity of materials to be furnished; and 3) the
requirements of the terms and conditions, specifications and drawings.
Contractor visiting all city facilities shall abide by all rules and regulations. Any and all job site
rules, regulations and conditions will be determined by City of Tustin's Project Manager.
Contractor is put on notice that the as -built building drawings may not be available for review,
and that the project includes work inside a law enforcement facility and that work may be in and
around inmates. With such notice and conditions of the project, the contractor shall use due
diligence to observe and/or to access space to investigate to the extent necessary to adequately
document and assess the current conditions of the project site.
The contractor shall verify for himself or herself, all indicated dimensions, quantity and part
numbers before ordering materials or equipment, or before performing work. The contractor
shall take field measurements, verify field conditions, and shall carefully compare such field
measurements and conditions and other information known to the contractor with the project
documents before commencing work, especially before cutting material to fit. Errors,
inconsistencies or omissions discovered shall be reported to the City of Tustin's Project Manager
at once. Upon commencement of any item of work, the contractor shall be responsible for
dimensions related to such item of work and shall make any corrections necessary to make work
properly fit at no additional cost to City. This responsibility for verification of dimensions is a
non -delegable duty and may not be delegated to subcontractors or agents.

No additional compensation will be allowed for extra work incurred on the part of the
contractors due to the contractor's failure to notice any existing condition, which may cause the
additional cost.
Final inspection, determination of the quality, effectiveness and performance of this upgrade as
well as final acceptance of this project, will be at the sole discretion of the City of Tustin's
Project Manager and Tustin Police Department.
CABLING GENERAL
All locations in this project require new CAT6A cable. All MDF's and IDF's are currently
connected with unused multimode fiber that will be dedicated to this project, connectors are both
LC and SC depending on the location. The contractor shall be responsible for determining the
most appropriate cable route, cable lengths, type of conduit, and type of cabling and fasteners to
be installed. Cabling will be plenum rated where appropriate.
The city requires that ALL cabling be newly installed at a minimum standard of Category 6A.
This standard is for all cabling to all cameras, workstations and any other network connections
included as part of this project. Contractor must pull, install and terminate cable based on
industry standards.
All cabling (CAT 6A, RS485, VGA, DVI, DP and HDMI power, etc.) between locations and
devices shall be made as individual home runs, using the shortest route possible. All cabling
shall be installed in continuous lengths (no splices allowed) from origin. No intermediate punch
down blocks or splices may be installed or utilized between locations. The maximum data cable
length shall not exceed 300 feet.
All cabling provided shall be in accordance with the highest standards among the
latest applicable edition of National Electrical Code (NEC), Electronics Industry Association
(EIA) Standards, Telecommunications Industry Association (TIA) Standards, and regulations,
laws, safety orders, ordinances or codes of State and local authority having jurisdiction.
Wherever requirements in this document exceed those of the ordinances or codes,
specifications shall govern. Violations of such statutes, ordinances, and regulations shall be
corrected at no expense to the city
Contractor shall be responsible for testing all existing, installed and terminated data for
continuity and line transmission rates to insure that they adhere to industry standards and will
adequately support any existing or proposed devices.
All references in this document regarding specifications for material and testing requirements
such as ANSI/EIA/TIA designations and the NEC shall be interpreted to mean current
specifications as of the date of advertisement for bids.

The contractor shall be required to replace, at no additional cost to the city, cabling and/or
termination or other installed systems in situations identified by the Project Manager as not
meeting installation or performance criteria.
CABLING MANAGEMENT
All exposed cables shall be dressed neatly and physically secured to prevent accidental
dislocation or damage. It is not permissible to secure cabling to the outside of conduit or to gas,
plumbing, steam, or any other functional pipes. Cables shall not be secured to any utility
structures in any fashion that might prevent maintenance of or access to those facilities. No
staples may be used to secure cables to any surface.
Bundled cables shall be fastened with tie-wraps/fasteners at four -foot intervals. Cable tie-
wraps/fasteners may not be attached to existing ceiling tile supports, nor may cable lie directly
on ceiling tiles.
All termination blocks, panels, cables (video, VGA, PTZ, power, CAT 6), shall be permanently
labeled at each end with destinations. If there is any question regarding labeling, the contractor
shall contact the City of Tustin Project Manager prior to labeling.
All cables to any equipment will be appropriately labeled at both ends and at any intermediate
point for ease of identification.
VENDOR REQUIREMENTS AND QUALIFICATIONS
California Contractors Class C-7, Low Voltage Contractor and/or Class C-10 Electrical
contractor is required. Contractor must be a certified partner in the installation of the proposed
cameras, NUR's and Video Management Systems.
Bidder must have five (5) years of experience, within the past 7 years, of designing, installing,
networking and managing municipal level surveillance systems.
Bidder must have completed at least Five (5) previous Public Safety Video Surveillance
installations in Southern California encompassing at least 100 individual surveillance cameras.
Bidder must supply reference data on at least five (5) currently operating municipal or county,
public safety, camera installations, within a 100 -mile radius, that are similar in size functionality
and complexity to this system. Public Safety is defined as law enforcement agencies and not
private security companies. These references must be willing to provide a site visit. Supply
references on all five (5) systems listed above.

Camera Equipment, Related Hardware, Software and Installation Priced Separately
Hardware, software, training and any other equipment identified to complete this project,
including the manufacture model/part number and item description with an individual cost for
each item and a total for each category identified separately, i.e. the itemized cost of the VMS,
any associated licensing, and training as a separate category, with items listed individually, the
cost of the cameras listed individually in a separate category, Network Switches in a separate
category with items listed individually, etc.
Section 6: MAINTENANCE AND SUPPORT
Priced annually with a two, three and four year options. It is required that the first year be
covered under warranty.
Section 7: OPERATIONAL DIAGRAM —AS BUILT
Include a complete network diagram with your proposal as well as a proposed project
schedule with timeline to identify the necessary time to accomplish this installation.

DEFINITIONS
City — is defined as the City of Tustin, a municipal government
Contractor/Vendor - is defined as an individual or entity possessing a California Contractors
Class C-7, Low Voltage Contractor and/or Class C-10 Electrical contractor who enters into an
agreement with the City of Tustin for purposes of performing the work identified in this
document
Project Manager -
For the City of Tustin, is defined as the person assigned by the City/Police Department to
oversee the project on behalf of the City
For the Contractor, is defined as the individual assigned to oversee the project on behalf
of the contractor
Turnkey — is defined as a successful migration/installation/expansion that provides for a
complete, effectively functioning digital video surveillance solution that permits effective
viewing and recording of all video, at all viewing locations and at all LCD/LED's, at a minimum
of 720p, 25-30 FPS, and archived as identified in this project. The proposed solution will be
required to work with and be compatible with existing City of Tustin's network infrastructure.
TERMS AND CONDITIONS
1.1 Insurance Requirements
The Proposer shall furnish with the proposal proof of the following minimum
insurance coverage. These minimum levels of coverage are required to be maintained
for the duration of the project and during the maintenance thereafter:
General Liability and Automobile Liability Coverage - $1,000,000 per
occurrence for bodily injury and property damage. If Commercial General
Liability Insurance or other form with a general limit is used, either the
general aggregate limit shall apply separately to this project/location or the
general aggregate limit shall be twice the required occurrence limit.
2. Professional Liability Coverage - $2,000,000 per occurrence (note: A
"claims made" policy is acceptable). If consultant provides "claims
made" coverage, consultant shall also agree in writing to either:

a) Purchase Tail Insurance in the amount required by the resulting
agreement to cover claims made within five years of completion of
vendor's services under the agreement.
b) Maintain professional liability insurance coverage with the same
carrier, or with an equivalent carrier in the amount required by the
resulting agreement five years after completion of vendor's
services under the agreement.
3. Worker's Compensation Coverage - State statutory limits.
Deductibles, Self -Insurance Retentions, or Similar Forms of Coverage Limitations or
Modifications, must be declared to and approved by the City of Tustin, which reserves
the right to deny authorization to use such limitations.
The Proposer is encouraged to contact its insurance carriers during the proposal
stage to ensure that the insurance requirements can be met if selected for
negotiation of a contract agreement. All insurance shall be endorsed to be primary
and the City's insurance shall not be contributory. The City shall be named as
Additional Insured and no Policy may be modified or cancelled prior to thirty (30)
days written notice.
Certificates of insurance and insurer endorsements evidencing the required
insurance shall be provided. The worker's compensation policy shall be endorsed to
waive subrogation rights against the City and its officials, officers, employees, and
agents.
1.2 Standard Form of Agreement
The vendor will enter into an agreement with the City based upon the contents of the RFP
and the vendor's proposal. The City's standard form of agreement' is included as
Attachment A. The Proposer shall carefully review the agreement, and include with
the proposal a description of any exceptions requested to the standard contract. If
there are no exceptions, a statement to that effect shall be included in the proposal.
1.3 Disclaimer
This RFP does not commit the City to award a contract, or to pay any costs incurred in
the preparation of the proposal. The City reserves the right to extend the due date for the
proposal, to accept or reject any or all proposals received as a result of this request, to
negotiate with any qualified vendor, or to cancel this RFP in part or in its entirety. The

City may require the selected vendor to participate in negotiations and to submit such
technical, fee, or other revisions of their proposals as may result from negotiations.
1.4 Assigned Representatives
The City will assign a responsible representative to administer the contract, and to assist
the vendor in obtaining information. The vendor also shall assign a responsible
representative (project manager) and an alternate, who shall be identified in the proposal.
The vendor's representative will remain in responsible charge of the vendor's duties from
the notice -to -proceed through project completion. If the vendor's primary representative
should be unable to continue with the project, then the alternate representative identified
in the proposal shall become the project manager. The City's representative shall first
approve any substitution of representatives or subcontractors identified in the proposal in
writing. The City reserves the right to review and approve/disapprove all key staff and
subcontractor substitution or removal, and may consider such changes not approved to be
a breach of contract.
1.5 City Business License
A city business license will be required of the vendor and any subcontractors for services
performed in connection with any agreement entered into through this RFP process.
ADMINISTRATION SPECIFICATIONS
2.1 The City of Tustin's Rights to Proposals
All proposals, upon submission to the City of Tustin shall become its property for use as
deemed appropriate. By submitting a proposal, the Proposer covenants not to make any
claim for or have any right to damages because of any misinterpretation or
misunderstanding of the specification, or because of any misinformation or lack of
information. The City of Tustin reserves the right to take one or more of the following
actions as determined in the best interest of the organization:
to accept or reject in whole or in part any or all proposals;
2. to cancel this RFP in whole or in part without prior notice. Thereafter,
City may issue a solicitation for new proposals;
City makes no guarantee as to the usage of the services by City;
4. to waive, at its discretion, any minor errors, informalities or irregularities,
which the City deems correctable or otherwise not warranting rejection of
the RFP;

5. to correct any arithmetic errors in any or all proposals submitted;
6. to negotiate with any Proposer(s) as necessary to serve the best interest of
the City and to negotiate the final contract(s) with the most responsive,
responsible Proposer
.7. to investigate the qualifications of any Proposer under consideration;
8. to disqualify a proposal upon evidence of collusion with the intent to
defraud or other illegal practices on the part of the Proposer;
9. to require confirmation of information furnished by the Proposer;
10. to award one contract for the total SYSTEM, or make multiple awards if it
is in the best interest of the City.
11. to utilize any or all the ideas from proposals submitted;
12. to change the proposal's due date upon appropriate notification;
13. to adopt any or all of a vendor's proposal; and
14. to negotiate modifications to the scope and fee with selected Proposer(s)
prior to contract award.
2.2 Interviews/On-Site Demonstrations/Equipment Testing
City reserves the right to conduct interviews, and/or to require on-site demonstrations
and/or product testing with some or all of the Proposers at any point during the evaluation
process. However, City may determine that interviews/on-site demonstrations/equipment
testing are not necessary. In the event interviews/on-site demonstrations/equipment
testing are conducted, information provided during the interview/on-site
demonstrations/equipment testing shall be taken into consideration when evaluating the
stated criteria. City shall not reimburse the Proposer for the costs associated with the
interview/on-site demonstrations/equipment testing process. Equipment testing will be
held at a time and place specified by the City. The Proposer's key project team members
will be invited to attend the interview and/or on-site demonstrations and/or equipment
testing. The Proposers should be prepared to discuss at the interview, their specific
experience providing services and equipment similar to those described in this RFP,
project approach, estimated work effort, available resources, and other pertinent things
distinguishing the Proposer from others.

Deadline for submitting proposals Friday, July 20, 2018 by 10:00 AM. Hand delivery to
City Hall, City Clerk's Office, 300 Centennial Way, Tustin, CA 92780. Five (5) copies
of each submission are required along with one electronic copy on CD, DVD, or flash
drive. All submissions must be sealed in a package with reference to "RFP for Closed
Circuit Surveillance System" on the outside. Proposals received after the deadline will be
returned, unopened, to the Proposer.
2.4 Addendum and Supplements to the RFP
If it becomes necessary to revise any part of this RFP, an addendum or revision will be
transmitted to all prospective vendors by email and will be posted on the City's website.
Questions concerning the RFP document must be submitted in writing to City of Tustin,

Questions will be received through Friday, June 22, 2018, by 5:00 PM. Responses to all
questions will be distributed in writing via email to all known Proposers and will be
posted on the City of Tustin's website (www.tustinca.oras an addendum by 5:00 PM
on Friday June 29, 2018. Proposers are cautioned that any statements made by the
contact person that materially change any portion of the RFP shall not be relied upon
unless subsequently ratified by a formal written amendment to this RFP.
2.5 Award of Contract
The City reserves the right to reject any and all Proposals. A formal contract award is
anticipated for the best overall vendor as determined by the Evaluation Committee and
approved by City Council as a result of this RFP. The City reserves the right, in its sole
discretion, to waive minor irregularities in proposals. A minor irregularity is a variation
of the RFP, which does not affect the funding request, or gives one party an advantage or
benefit not enjoyed by the other parties, or adversely impacts the interest of the City.
Waivers, when granted, shall in no way modify the RFP requirements or excuse the party
from full compliance with the RFP specifications and other contract requirements, if the
party is awarded the contract.
2.6 False or Misleading Statements
Any submittals containing, in the opinion of the City, false or misleading
statements will be rejected.

Costs for developing submittals are entirely the responsibility of the vendor and
shall not be chargeable in any manner to the City.
2.8 Evaluation Process
The City will form an Evaluation Committee to review all submittals received by
the deadline. Any submittal failing to meet any of the qualifications documented
in this RFP may be rejected. The purpose for the Evaluation Committee is to
recommend which vendor is best able to provide, install, maintain and support the
SYSTEM, to the City's requirements, and within the City's budget. A submission
in response to this RFP indicates your acceptance of the City's evaluation criteria.

2.9 Clarification of Proposals
The City reserves the right to obtain clarification information on any item in any
vendor's submittal or to obtain additional related information necessary to
properly evaluate the submittal. Failure of a vendor to respond to a request for
more information may result in the proposal being rejected.
2.10 Confidential Information
All responses to this RFP become the property of City and will be kept
confidential until such time as recommendation for award of contract has been
announced. Thereafter, proposals are subject to public inspection and disclosure
under the California Public Records Act (Cal. Government Code Section 6250, et

seq.). If a vendor believes that any portion of its proposal is exempt from public
disclosure, such portion may be marked "confidential." City will use reasonable
means to ensure that such confidential information is safeguarded but will not be
held liable for inadvertent disclosure of such materials, data and information.
Proposals marked "confidential" in their entirety will not be honored and City will
not deny public disclosure of all or any portion of proposals so marked. By
submitting information with portions marked "confidential", the Proposer
represents it has a good faith belief that such material is exempt from disclosure
under the California Public Records Act and agrees to reimburse the City for, and
to indemnify, defend and hold harmless City, its officials, officers, employees and
agents from and against: (a) any and all claims, damages, losses, liabilities, suits,
judgments, fines, penalties, costs and expenses including, (collectively, "Claims")
arising from or relating to City's non -disclosure of any such designated portions
of a proposal if disclosure is deemed required by law or court order. Additionally,
City may request that the Proposer directly defend any action for disclosure of
any information marked confidential.
2.11 City Use of RFP Ideas
The City reserves the right to use any and all service and product ideas presented
from prospective vendors. Selection or rejection of a vendor does not affect this
right.
2.12 Copyrights and Patents
The vendor shall hold the City of Tustin and its officers, agents, servants, and employees
harmless from liability of any nature or kind because of any copyrighted information,
secret or proprietary process, patented or unpatented invention, disclosed or used in
response to this RFP, and agrees to defend, at its own expense, any and all actions
brought against the City of Tustin or its officers, agents, servants, or employees or the
Vendor alleging or arising from unauthorized use of such information, process or
invention.
2.13 Reliance on Information
VENDORS MAY RELY ONLY UPON WRITTEN INFORMATION AND/OR
INSTRUCTIONS FROM THE CITY GIVEN HEREIN OR SUBSEQUENT TO THE
ISSUANCE OF THIS RFP. VENDOR MAY NOT RELY ON ANY ORAL
INFORMATION AND/OR INSTRUCTIONS GIVEN WITH REGARD TO THIS RFP.
Any City response to a question or request for clarification by a vendor will be made in
the form of an addendum to the RFP, which will be sent via email to all parties to whom

the RFP has been issued not later than five (5) business days prior to the due date for
receipt of the Proposal and will become part of the RFP.
2.14 Replacement of Incompatible Staff
The City reserves the right to request and receive a replacement for any vendor staff
member whom the City, in its sole and absolute discretion, determines is not working
effectively with the City's staff assigned to this project, or who is inadequately qualified
to perform the services to be provided, or who is unsuitable to be performing services in
secure areas.
2.15 Security Check
All vendor personnel and subcontractors are required to pass an extensive security
background check before they will be allowed to perform any services for the City. The
vendor or individual employees of the vendor may be excluded from providing services
based on the results of the background checks, in the sole and absolute discretion of the
City. All proposals should acknowledge this fact, and project timelines should reflect
this fact.

Scope of Work
Convergint Technologies has performed an extensive review of the City's RFP documents. In addition,
our team conducted a detailed site visit to the project's identified locations to ensure we developed a
clear understanding of each location's unique scope, verified cable/conduit paths, noted project
challenges, and noted any project enhancements that would lower project costs, improve system
functionality, or both. The list below is a summary of our understanding for each location including a
list of recommended enhancements for each site where applicable.
Convergint will provide, install, program and commission a video surveillance system at the City
Campus to include the following equipment based on the City's requirements.
Police Department
The scope of work will include the installation of a stand-alone video surveillance system. The project
will include the addition of new IP cameras and the replacement of existing analog cameras with new
high definition IP cameras. In addition, Convergint will install audio capable cameras/microphones
in the jail, property, lobby, and sally ports. In order to support the system, Convergint will provide
and install servers, storage, POE network switches in the MDF. Convergint will also install a wireless
radio on the rooftop to integrate parking lot cameras as depicted in the attached camera layout
drawings. The servers and storage will be sized to accommodate all City Campus cameras with 366
days of retention as noted below.
Convergint will install, aim & focus all cameras, install new network cabling, install new server/storage
to support the new cameras, install new workstations, and will commission the entire system for a
full turn -key solution. Convergint will also provide two 2 -hour training sessions on the use of the
system and will install the video client on five workstations to be provided by Convergint. Convergint
will also provide 2 new POE switches and a UPS to support the new video surveillance system.
Convergint will provide a 4 post rack in the Police Department communications room. City to provide
IP addresses, and electrical power. Genetec licensing is included for all City cameras together with a
one-year software maintenance agreement from Genetec entitling City to new software downloads
from Genetec. Genetec failover licenses also provided for directory and failover recording.
New Additional Scope:
• Convergint will provide and install 4 of the 5 Convergint recommended cameras as part of the
final solution. These cameras include cameras labeled Al, A2, A3, and A5.
• Convergint will provide and install one additional core switch to allow for network redundancy
via the dual homing of all switches and servers to each of the core switches.
• Convergint will upgrade all 4 auxiliary servers with the maximum number of drives resulting
in (18) 12TB drives in each server. The servers.will be configured with RAID 5 including 2 hot
spares per server.
• Convergint will provide 5 Genetec Mobile licenses. Network and firewall configuration to/from
the Internet to establish Genetec Mobile connectivity to be provided by the City.

• Convergint will provide and install 3 video decoders and cabling to allow 3 City -provided
monitors to view video in Records #165, Copy/Breakroom #170, and CSI Room #181. These
monitors will be limited to 4 camera views. Monitors to be provided and mounted by the City.
• Convergint will provide pricing for upgrade to Mission Critical 7x24 server support as add -
alternate optional pricing. Servers by default will include 5 Year Next Business Day support.
• Customer will have ability to contact Dell directly for hardware support as needed.
• Convergint quoted switches include Limited Lifetime Warranty with Next Business Day
response.
• All servers and switches will include dual 10GB uplink ports.
• All PTZ's have been upgraded at no additional cost to Axis Q6125 -E which include WDR and IR.
• Switches that are not able to connect via 10GB as a result of existing fiber limitations, will be
dual homed via 1GB links. Dual homing of remote IDF switches will require appropriate fiber
availability to be made by City.
• Convergint will provide and install a new 4 -post equipment rack at no additional cost .to the
City.
• City will require storage of all cameras to include full resolution, 30 frames per second, for 60
days, then downgrading to 2 frames per second for 366 days with the exception of the Jail,
Sally Port, Lobby, and Records cameras which will remain at 30 frames per second for all 366
days.
City Hall
The scope of work will include the installation of video surveillance cameras to be integrated into the
new video management server and storage system located in the police department MDF. The
project will include the addition of new IP cameras and the replacement of existing analog cameras
with new high definition IP cameras.

new video management server and storage system located in the police department and will
commission the entire system. Convergint will also provide 1 new POE switch and UPS to be installed
in the City Hall IDF and will network the switch via existing City fiber to the switch in the police
department MDF. City to provide IP addresses, equipment rack and electrical power.
Community Center
The scope of work will include the installation of video surveillance cameras to be integrated into the
new video management server and storage system located in the police department MDF. The

Category 6 cable, or wirelessly, to any one of the MDF/IDF communication rooms on the City Campus.
Convergint will install, aim & focus all cameras, install new network cabling or wireless radio, integrate
cameras into new video management server and storage system located in the police department
and will commission the entire system. City to provide IP addresses and electrical power.
Warranty
Convergint will provide a one-year labor warranty and a one-year material warranty on equipment
provided by Convergint. Provision of labor and materials after the first year will be billed on a time
and materials basis unless the City elects to proceed with the extended comprehensive warranty plan
listed below.
Preventative Maintenance
Convergint will provide a one-year Preventative Maintenance program included in this proposal. The
Preventative Maintenance program will consist of quarterly site visits to perform visual inspection and
cleaning of all camera lenses/housing to the City's 83 new cameras. In addition, the Preventative
Maintenance will include an IT Specialist to be on-site for 8 hours per quarter to perform a health
check of the system including the video servers, video storage, network switches, UPS systems and
video management system. In addition, the IT Specialist will perform firmware and software updates

Clarifications and Exclusion
1. All work proposed herein, shall be performed during normal business hours Monday through
Friday 8:00 am - 5:00 pm.
2. Low voltage wiring shall be installed via open air code approved methods.
3. Provision or installation of underground conduit or electrical installation and materials are
excluded.
4. Permits or associated fees are not included.
5. Customer to provide static IP addresses, equipment racks and electrical circuits as needed.
Convergint will provide a 4 post rack in the Police Department communications room.
6. Pricing assumes that electronic Auto CAD or PDF files are available from customer for our use in
creating submittal drawings. Proposal does not include the creation of building floor plans.
7. Twenty -Five percent (25%) of the proposed sell price shall be payable to Convergint Technologies
for project mobilization. Mobilization shall be invoiced and due upon customer acceptance of this
proposal.
8. Anything in the Contract Documents notwithstanding, in no event shall either Contractor or
Subcontractor be liable for special, indirect, incidental or consequential damages, including
commercial loss, loss of use, or lost profits, even if either party has been advised of the possibility
of such damages.
9. Convergint Technologies reserves the right to negotiate mutually acceptable contract terms and
conditions with customer by making mutually agreeable changes to the formal contract included
in the Bid Documents.

The Preventative Maintenance program will consist of quarterly site visits to perform visual

The Comprehensive Warranty program allows our customers to manage their financial risk
associated with emergency service and repair labor including Emergency Service Calls, System
Troubleshooting & Diagnostics, and Component Repair Labor. The labor coverage will be
provided during normal business hours (Monday — Friday 8:00 AM to 5:00 PM). A Priority On -
Site Response option is available which would include after-hours service. The Comprehensive
Warranty program also allows our customers to manage their financial risk associated with the

replacement of any failed system component included in this proposal with similar technology
available at the time of such replacement. Technology upgrades or system enhancements are
not included as part of this coverage option. Comprehensive coverage is defined as covering
any component part of the system, including all equipment, devices, cabling and software

damage caused acts of god, vandalism or damage caused by customer negligence.

Convergint Technologies' Install Terms & Conditions
Throughout this Installation Proposal, the term, "Convergent" refers to the Convergint Technologies'
affiliate operating in the state/province in which the work is being performed, specifically, "Convergint
Technologies LLC" or "Convergent Technologies LTD".
SECTION 1. THE WORK
This Installation Proposal takes precedence over and supersedes any and all prior proposals,
correspondence, and oral agreements or representations relating to the work set forth in the attached
scope of work ('Work'). This Installation Proposal commences on the Start Date as specified in the
attached scope of work, and represents the entire agreement between Convergint and Customer (the
"Agreement') and it may only be amended by a written document signed by both Convergint and
Customer. In the event any provision of this Agreement is held to be invalid or unenforceable, the
remaining provisions of this Agreement shall remain in full force.
Convergint agrees in accordance with the mutually agreed project schedule:
a To submit shop drawings, product data, samples and similar submittals if required in
performing the Work;
b. To pay for all labor, materials, equipment, tools, supervision, programming, testing, startup
and documentation required to perform the Work in accordance with the Agreement;
c. Secure and pay for permits and governmental fees, licenses and inspections necessary for
proper execution and completion of the Work; and
d. Hire subcontractors and order material to perform part of the Work, if necessary, while
remaining responsible for the completion of the Work.
Customer agrees in accordance with the mutually agreed project schedule, and at no cost to
Convergint:
a. To promptly approve submittals provided by Convergint;
b. To provide access to all areas of the facility which are necessary to complete the Work;
c. To supply suitable electrical service as required by Convergint; and
d. That in the event of any emergency or systems failure, reasonable safety precautions will be
taken by Customer to protect life and property during the period of time from when
Convergint is first notified of the emergency or failure and until such time that Convergint
notifies the Customer that the systems are operational or that the emergency has cleared.
SECTION 2. PRICING
Pricing and amounts proposed shall remain valid for 30 days unless otherwise specified. Price includes
only the material listed based on Convergint's interpretation of plans and specifications unless noted
otherwise. Additional equipment, unless negotiated prior to order placement, will be billed
accordingly. Sales taxes, (and in Canada GST/PST) and any other taxes assessed on Customer shall '
be added to the price upon invoice to Customer.
SECTION 3. INVOICE REMITTANCE AND PAYMENT
Customer agrees to pay Convergint twenty-five (25%) percent of the total price as a mobilization fee
at the time of executing this Agreement,
If the Work is performed over more than a month, Convergint will invoice Customer each month for
the Work performed during the previous month. Customer agrees to pay the amount due to Convergint
as invoiced, within thirty (30) days of the date of such invoice. If the Work is completed in less than
one month, Customer agrees to pay Convergint in full after the Work has been performed within thirty
(30) days of the date of being invoiced. Invoices shall not include or be subject to a project retention
percentage. If Customer is overdue in any payment to Convergint, Convergint shall be entitled to
suspend the Work until paid, and charge Customer an interest rate 1 and 1/2% percent per month, (or
the maximum rate permitted by law), and may avail itself of any other legal or equitable remedy.
Customer shall reimburse Convergint costs incurred in collecting any amounts that become overdue,
including attorney fees, court costs and any other reasonable expenditure.
SECTION 4. WARRANTY
Convergint provides the following warranty to the Customer.
For the period of one (1) year, commencing at the earlier of substantial completion of the Work, or
first beneficial use, ("Warranty Perio(r):
a. That Work performed under this Agreement will be of good quality;
b. That all equipment will be new unless otherwise required or permitted by this
Agreement;
C. That the Work will be free from defects not inherent in the quality required or permitted;
and
d. That the Work will conform to the requirements of this Agreement.
The Customer's sole remedy for any breach of this warranty is that Convergint shall remove, replace
and/or repair at its own expense any defective or improper Work, discovered within the Warranty
Period, provided Convergint is notified in writing of any defect within the Warranty Period.
Any equipment or products installed by Convergint in the cause of performing the Work hereunder
shall only carry such warranty as is provided by the manufacturer thereof, which Convergint hereby
assigns to Customer without recourse to Convergint. Upon request of Customer, Convergint will use
all reasonable efforts to assist Customer in enforcing any such third party warranties. This warranty
excludes remedy for damage or defect caused by abuse, modifications not executed by Convergint,
improper or insufficient maintenance, improper operation, or normal wearand tear under normal usage.
NO FURTHER WARRANTIES OR GUARANTIES, EXPRESS OR IMPLIED, ARE MADE WITH
RESPECT TO ANY GOODS OR SERVICES PROVIDED UNDER THIS AGREEMENT, AND
ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE ARE EXPRESSLY DISCLAIMED.
SECTION 5. CHANGES
Without invalidating this Agreement or any bond given hereunder, Customer or Convergint may
request changes in the Work. Any changes to the Work and any adjustment to the Agreement Price or
the time for completion of the Work shall be in writing signed by both Customer and Convergint. If
Customer orders any additional work or causes any material interference with Convergint's
performance of the Work, Convergint shall be entitled to an equitable adjustment in the time for
performance and in the Agreement Price, including a reasonable allowance for overhead and profit.
SECTION 6. FORCE MAJEURE
Neither Customer nor Convergint shall be responsible or liable for, shall incur expense for, or be
deemed to be in breach of this Agreement because of any delay in the performance of their respective
obligations pursuant to this Agreement due solely to circumstances beyond their reasonable control
("Force Majeure') and without the fault or negligence of the party experiencing such delay, provided
that the party experiencing the delay shall promptly give written notification to the other party within
five (5) days after such party has learned of the Force Majeure. A Force Majeure event shall include,

but not be limited to: accident, fire, storm, water, flooding, negligence, vandalism, power failure,
installation of incompatible equipment, improper operating procedures, source current fluctuations or
lighting. If performance by either party is delayed due to Force Majeure, the time for that performance
shall be extended for a period of time reasonably necessary to overcome the effect of the delay. Any
Services required by Convergint due to reasons set forth in this Force Majeure Section shall be charged
to Customer in addition to any amounts due under this Agreement.
SECTION 7. INSURANCE
Convergint shall have the following insurance coverage during the term of this Agreement, and
shall provide certificates of insurance to the Customer prior to beginning work hereunder:

All insurance policies carried by Convergint hereunder shall be primary to and noncontributory with
the insurance afforded to Customer, and shall name the Customer as "additional insured", with respect
to liability arising out of work performed by Convergint, as applicable, but only to the extent of
liabilities falling within the indemnity obligations of Convergint, pursuant to the terms of this
Agreement. Convergint shall provide to the Customer no less than thirty (30) days notice prior to the
termination or cancellation of any such insurance policy.
SECTION 8. INDEMNIFICATION
Convergint shall indemnify and hold Customer harmless from and against claims, damages, losses and
expenses, (including, but not limited to, reasonable attorney's fees), attributable to bodily injury,
sickness, disease or death, or to destruction of tangible property, but only to the extent caused by; a) the
negligent or willful acts or omissions of Convergint or Convergint's employees or subcontractors while
on Customer's site, or b) the malfunction of the equipment supplied by Convergint, or c) Convergint's
breach of this Agreement.
IN NO EVENT SHALL EITHER CONVERGINT OR CUSTOMER BE LIABLE TO THE OTHER
PARTY HERETO FOR SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL
DAMAGES, INCLUDING COMMERCIAL LOSS, LOSS OF USE OR LOST PROFITS, EVEN IF
THAT PARTY HAS BEEN ADVISED OF THE POSSIBILTY OF SUCH DAMAGES. IN NO
EVENT WILL CONVERGINT BE LIABLE TO CUSTOMER FOR ANY AMOUNTS IN EXCESS
OF THE AMOUNTS PAID BY CUSTOMER TO CONVERGINT.
It is understood and agreed by the parties hereto that Convergint is or may be providing
monitoring and or intrusion products which are designed to provide notification of certain events
but are not intended to be guarantees or insurers against any acts for which they are supposed to
monitor or inform. As required by the monitoring and intrusion industry and the manufacturers
thereof, Convergint's indemnification obligation pursuant to Section 8 herein, does not apply to
the extent the loss indemnified against is caused by any monitoring or intrusion product or
software provided by but not manufactured by Convergint. Convergint shall have no liability to
Customer for any losses to the extent such losses are caused by the monitoring or intrusion product
or software. Customer shall indemnify, defend, and hold harmless Convergint, from and against
all claims, lawsuits, damages, losses and expenses by persons not a party to this Agreement, but
only to the extent caused by such monitoring or intrusion product or software provided by but not
manufactured by Convergint.
SECTION 9. COMPLIANCE WITH LAW, EEO & SAFETY
This Agreement shall be governed and construed in accordance with the laws of the state/province in
which the Work is being performed. Convergint agrees to comply with all laws and regulations relating
to or governing the Work. Convergint agrees to comply with all reporting requirements imposed by
law or this Agreement. Convergint shall comply with all safety related laws and regulations and with
the safety program of the Customer, provided such program is supplied to Convergint prior to
beginning work.
In the event that Convergint discovers or suspects the presence of hazardous materials, or unsafe
working conditions at Customer's facility where the Work is to be performed, Convergint is entitled to
stop the Work at that facility if such hazardous materials, or unsafe working conditions were not
provided by or caused by Convergint. Convergint in its sole discretion shall determine when it is "safe"
to return to perform the Work at Customer's facility. Convergint shall have no responsibility for the
discovery, presence, handling, removing or disposal of or exposure of persons to hazardous materials
in any form at the Customer's facility. Customer shall indemnify and hold harmless Convergint from
and against claims, damages, losses and expenses, including but not limited to, reasonable attorney's
fees, arising out of or resulting from undisclosed hazardous materials, or unsafe working conditions at
Customer's facility.
SECTION 10. DISPUTES
In the event of any dispute between Convergint and Customer, Convergint and Customer shall first
attempt to resolve the dispute in the field, but if that is not successful, then in a meeting between
authorized officers of each company. If settlement attempts are not successful, then the dispute shall be
subject to and decided by mediation or arbitration. Such mediation or arbitration shall be conducted in
accordance with the Construction Industry Mediation or Arbitration Rules of the American Arbitration
Association currently in effect and shall be a final binding resolution of the issues presented between
the parties.
SECTION 11. MISCELLANEOUS
Neither party to this Agreement shall assign this Agreement without the prior written consent of the
other party hereto. Convergint may assign this Agreement to any of its parents, subsidiary or affiliated
companies or any entity majority owned by Convergint.
Notices shall be in writing and addressed to the other party, in accordance with the names and addresses
of the parties as shown above. All notices shall be effective upon receipt by the party to whom the
notice was sent.
A waiver of the terms hereunder by one party to the other party shall not be effective unless in writing
and signed by a person with authority to commit the Customer or Convergint and delivered to the non -
waiving party according to the notice provision herein. No waiver by Customer or Convergint shall
operate as a continuous waiver, unless the written waiver specifically states that it is a continuous
waiver of the terns stated in that waiver.
The Sections regarding invoicing, warranty and indemnity shall survive the termination of this
Agreement.
