CERTIFICATE OF COMPLIANCE
SUMMARY:
Approval is requested for the Retail Parcel Certificate of Compliance for Disposition
Parcel 1 C (The Village at Tustin Legacy).
RECOMMENDATION:
That the City Council authorize the Acting City Manager to execute the Retail Parcel
Certificate of Compliance, subject to any non -substantive modifications as may be
deemed necessary and/or recommended by the City's special real estate counsel or the
City Attorney.
FISCAL IMPACT:
No fiscal impact. The approval of the Retail Parcel Certificate of Compliance recognizes
all construction and financial obligations have been fulfilled for the Retail Parcel
pursuant the Disposition and Development Agreement (DDA) between the City and 1 C
Tustin Legacy, LLC (aka Regency Centers).
CORRELATION TO THE STRATEGIC PLAN:
Goal A — Economic and Neighborhood Development
BACKGROUND:
The City and 1C Tustin Legacy LLC entered into a DDA on October 20, 2015 for
Disposition Parcel 1C at Tustin Legacy to construct The Village at Tustin Legacy. The
DDA was amended on July 5, 2016.
The DDA subdivided Disposition Parcel 1 C into a Retail Parcel and a Medical Parcel to
reflect the different uses and unknown timelines associated with the construction of
each use at the time of DDA execution. Each parcel has separate minimum

requirements under the DDA to be met prior to the issuance of a Certificate of
Compliance.
The Retail Parcel is comprised of 97,394 square feet of neighborhood shopping retail
anchored by CVS and a Stater Bros. Market that opened in October 2017. As of
January 2019, the Retail Parcel is 100% leased.
The Medical Parcel is comprised of a 60,000 square foot medical office building
constructed by Hoag Memorial Hospital Presbyterian, a 75,000 square foot acute care
facility (yet to be constructed) and 14,690 square feet of primarily medical retail. The
medical office building (Hoag Health Center Tustin) opened in April 2018. The acute
care facility (constructed and operated by HealthSouth) should begin construction in
early 2019.
At this time, 1C Tustin Legacy LLC is only requesting the Retail Parcel Certificate of
Compliance. All requirements and conditions under the DDA precedent to the issuance
of the Retail Parcel Certificate of Compliance have been met. The Village at Tustin
Legacy continues to grow and has been an excellent addition to the Tustin Legacy
community.

RETAIL PARCEL
. This CERTIFICATE OF COMPLIANCE ("Certificate of Compliance") is made as of
February _, 2019 by the CITY OF TUSTIN, a municipal corporation of the State of California
("City"), in favor of 1C TUSTIN LEGACY, LLC, a Delaware limited liability company
("Developer"), with reference to the following matters:
A. The City and Developer entered into that certain Tustin Legacy Disposition and
Development Agreement for Disposition Parcel 1C, dated as of October 20, 2015 ("Original
DDA"), as amended by that certain First Amendment to Tustin Legacy Disposition and
Development Agreement for Disposition Parcel 1 C dated as of July 5, 2016. The Original DDA
as so amended, if referred to herein as the "DDA".
B. The DDA is evidenced by that certain Memorandum of Tustin Legacy Disposition
and Development Agreement and First Amendment to Disposition and Development Agreement
for Disposition Parcel 1 C (the "Memorandum of DDA"), dated as of August 4, 2016 and recorded
on that date in the Office of the County Recorder, Orange County, California (the "Official
Records") as Instrument No. 2016000361576 with respect to certain real property legally
described on Exhibit A attached hereto and incorporated herein by this reference ("Development
Parcels"). All initially capitalized terms not otherwise defined herein shall have the meanings
assigned to them in the DDA.
C. Pursuant to and as further described in the DDA, the Developer agreed to acquire,
develop and construct certain Improvements comprising the Project on the Development Parcels.
D. Pursuant to Section 9 of the Original DDA, the City agreed to furnish to the
Developer, upon request therefor by the Developer, a Certificate of Compliance in recordable form

upon satisfaction of the Conditions Precedent to issuance thereof set forth in Section 9.3 of the
Original .DDA.
D. The City has determined that the Developer has satisfied the Conditions Precedent
set forth in Section 9.3 of the Original DDA for the City's issuance of a Certificate of Compliance
with respect to the Retail Parcel as legally described on Exhibit B attached hereto and incorporated
herein by this reference (the "Certified Parcel'), including without limitation, by Completion of
the Minimum Retail Improvements. For avoidance of doubt, (a) this Certificate applies only with
respect to the Certified Parcel, and does not apply to the any other portion of the Development
Parcels or any Improvements thereon and (b) completion by Developer of the improvements listed
on Exhibit C satisfies the requirement in the DDA that Developer, as a condition to issuance by
the City of this Certificate of Compliance, complete all Minimum Retail Improvements, comprised
of (i) the Minimum Horizontal Improvements, (ii) the On -Lot Horizontal Improvements required
for construction and operation of the Minimum Retail Vertical Improvements, and (iii) the
Minimum Retail Vertical Improvements.
NOW, THEREFORE, the City certifies as follows:
1. This Certificate of Compliance covers and applies to the Certified Parcel and that
portion of the Improvements and the Retail Project constructed thereon as described on Exhibit C
attached hereto and incorporated herein by this reference (the "Certified Improvements").
2. This Certificate of Compliance shall be deemed conclusive evidence of the City's
determination that Developer has satisfactorily Completed construction and development with
respect to the Improvements comprising the Retail. Project and has satisfied all Conditions
Precedent set forth in Section 9.3 of the Original DDA for issuance of this Certificate of
Compliance.
3. A Certificate of Compliance shall have the effects set forth in Section 9 of the
Original DDA and in other applicable provisions of the DDA with respect to the Certified Parcel
and the Certified Improvements thereon only.
4. Upon recordation of this Certificate, the DDA shall terminate as to the Certified
Parcel and shall be of no further force and effect with respect to the Certified. Parcel and any Person
then owning or thereafter purchasing, leasing, or otherwise acquiring any interest in the Certified
Parcel shall not (because of such ownership, purchase, lease or acquisition) incur any obligation
or liability under the DDA with respect to the Certified Parcel and/or the Certified Improvements,
except that the following recorded documents shall survive the termination of the DDA, each in
accordance with its terms, as to the Certified Improvements and the Certified Parcel and all Persons
owning, leasing or occupying the Certified Parcel and/or the Certified Improvements shall
continue to be bound by the following recorded documents, to the extent provided for in such
documents, which shall survive the termination of the DDA (each in accordance with its terms),
shall not merge with any deed on any transfer of any portion of the Certified Parcel and shall
survive the issuance of this Certificate of Compliance as and to the extent indicated in the
referenced documents:

(a) The Declaration of Special Restrictions for Disposition Parcel 1C dated
August 4, 2016 and recorded on that date in the Official Records as Instrument No.
2016000361577 ("Special Restrictions");
(b) The Quitclaim Deed for Portion of Parcel 1 C (Retail Parcel) and Covenants,
Conditions and Restrictions, Including Environmental Restriction Pursuant to Civil Code Section
1471 dated August 4, 2016 and recorded on that date in the Official Records as Instrument No.
2016000361578 ("Quitclaim Deed");
(c) The provisions of Section 9.7 of the Original DDA which, as set forth in the
Memorandum of DDA, expressly survive the termination of the DDA; and
(d) The Slope Parcel Easement and Landscape Installation and Maintenance
Agreement dated August 4, 2016 and recorded on that date in the Official Records as Instrument
No. 2016000361580 ("Slope and Landscape Agreement)"; and
(e) The Master Declaration of Covenants, Conditions and Restrictions for
Medical Center and Shopping Center dated August 4, 2016 and recorded on that date in the Official
Records as Instrument No. 2016000361590 ("CC&Rs").
5. Notwithstanding any other provision of the DDA to the contrary or the issuance or
recordation of this Certificate of Compliance and the termination of the DDA as to the Certified
Parcel as a result thereof, issuance of this Certificate of Compliance shall not waive any rights or
claim that the City may have against any Person or party for latent or patent defects in design,
construction or similar matters under any applicable law with respect to construction of the
Improvements, including without limitation, the Horizontal Improvements (whether located on or
off of the Certified Parcel), or any other rights or remedies of the City available at law or in equity,
nor shall it be evidence of satisfaction of any of the Developer's obligations to third parties who
are not a party to the DDA.
6. This Certificate of Compliance is not a Notice of Completion as referred to in
California Civil Code Section 8182.
7. Except as set forth in Section 4 of this Certificate of Compliance, nothing in this
Certificate of Compliance shall modify, amend or terminate the DDA or any of the Other
Agreements.
8. Except as stated herein, nothing contained in this instrument shall modify in any
way any other provisions of the documents executed by the City and Developer.

Dear Mr. Parker,
Pursuant to the terms of the Disposition and Development Agreement dated as of October 20, 2015
between the City of Tustin ("City") and 1C Tustin Legacy LLC, a Delaware limited liability
company ("Developer") as amended by that certain First Amendment to Disposition and
Development Agreement dated July 5, 2016 (collectively, the "DDA"), please consider this letter
the formal request to the City to issue and record a Final Certificate of Compliance for the Retail
Parcel. Initially capitalized terms used and not defined herein shall have the meanings set forth in
the DDA.
In connection with the foregoing request, the Developer certifies as follows:
1. All conditions set forth in Section 9.3 of the DDA have been met with respect to the
Retail Parcel as follows:
a. Completion of the Minimum Retail Improvements, the On -Lot Horizontal
Improvements required for construction and operation of the Minimum Retail
Vertical Improvements, and the Minimum Retail Vertical Improvements;
b. Issuance of a certificate of substantial completion for the Minimum Retail
Vertical Improvements and any additional Retail Vertical Improvements then
constructed on the Retail Parcel, prepared by Architects Orange, the Project
Architect for the Retail Parcel;

c. Final inspections of the Minimum Retail Improvements have been completed
by or on behalf of the City;

any work performed by Developer on the Healthcare Parcel or (2) the Retail
Parcel from the general contractor and subcontractors constructing the
Minimum Retail Improvements having served valid preliminary 20 -day
