APPROVAL OF CONSULTANT SERVICES AGREEMENT FOR RAWLINGS
RESERVOIR REPAIR AND REPLACEMENT (CIP NO. 6136)
SUMMARY
Staff is recommending the approval of a Consultant Services Agreement with Tetra Tech Inc. for
engineering design services for the Rawlings Reservoir Repair and Replacement Project (CIP No.
6136). The proposed project will provide the following engineering design services: conceptual plans
and design memorandums; survey and mapping; geotechnical report; demolition plans, reservoir
plans, specifications and estimates; and assistance in the construction bid phase of the project.
RECOMMENDATION
It is recommended that the City Council approve a transfer of funds from CIP No. 6155 to CIP No.
6136 in the amount of $62,000.00; and approve the Consultant Services Agreement with Tetra Tech
Inc. for engineering design services for the Rawlings Reservoir Repair and Replacement Project (CIP
No. 6136) and authorize the Mayor and City Clerk to execute the Consultant Services Agreement on
behalf of the City, subject to approval by the City Attorney.
FISCAL IMPACT
The City's Capital Improvement Program Budget for Fiscal Year 2004-2005 provides $200,000.00 for
this project (CIP No. 6136). The total cost of the proposed engineering design services is
$277,000.00. Additional funds to cover this shortfall will be covered by an insurance settlement
($78,500.00) and a proposed transfer ($62,000.00) from CIP No. 6155. The total funds available for
the Rawlings Reservoir Repair and Replacement project including the insurance settlement and the
proposed transfer will then be $340,500.00 for Fiscal Year 2004-2005.
BACKGROUND
The Rawlings Reservoir, constructed in 1971, is located northwesterly of the intersection of Newport
Avenue and Foothill Boulevard in the unincorporated county area north of the City boundary (see
attached location map, marked Exhibit "1"). The current reservoir has a capacity of 4 million gallons
and provides water storage for the City of Tustin's Water Service Zone 1 area.

Daniel Boyle Engineering completed a study in 1990 identifying storage and structural deficiencies in
the City's water system reservoirs. The Main Street Facility Reservoir reconstruction was to be
completed first, allowing sufficient storage during the repair and/or reconstruction of existing
reservoirs. The Foothill Reservoir retaining wall and roof repairs were completed. The Simon Ranch
Reservoir and Rawlings Reservoir were to be designed for an increase in storage. RzH Engineering
performed an analysis in 1996 of the Rawlings Reservoir and identified a number of seismic and
structural deficiencies. RzH Engineering recommended demolishing and replacing the existing
reservoir. However, if the reservoir could not be demolished and replaced in a timely manner, RzH
Engineering recommended a number of short term repairs. Due to the condition and need to
complete other reservoir projects the Rawlings Reservoir demolition and replacement and/or short
term repairs were postponed. The current condition of the reservoir roof now warrants the
advancement of the demolition and replacement project and it has been concluded that the short term
repairs are no longer a beneficial option. With the onset of the rainy season and the reservoir's roof
condition, concerns have been raised regarding water quality. Water demand is historically low
during the rainy season which allows staff operational flexibility to turn facilities on and off. Staff
evaluated water supply and demand for the area and has come to the conclusion that shutting down
Rawlings Reservoir on a temporary basis, would not inhibit the City's ability to provide water to
residents. Therefore, the Rawlings Reservoir temporary roof repairs have been canceled and the
Rawlings Reservoir Demolition and Replacement Project has been advanced.
The total cost of the proposed engineering design services for this project is $277,000.00. Additional
funds to cover a budget shortfall will be made up from two sources. First, staff recently filed a
Property Loss Notice form with Robert F. Driver Company Inc. for insurance compensation
associated with the damage to the Rawlings Reservoir roof. A claim was settled for half of the
estimated repairs in the amount of $83,500.00 minus the City's deductible. A total of $78,500 was
deposited into Capital Improvement Program No. 6136. Second, the Tustin Avenue/Santa Clara
Avenue Water Main Project (CIP No. 6155) was planned in the City's Water Capital Improvement
Program budget for Fiscal Year 2004-2005 for preliminary design and final design. CIP No. 6155 was
to follow the Tustin Avenue Well Project (CIP No. 6150). CIP No. 6150 was planned to be in final
design and begin construction in the early months of Fiscal Year 2004-2005. Due to unforeseen
circumstances, CIP No. 6150 was delayed and is behind in its originally planned schedule. CIP No.
6155 is not expected to begin design until Fiscal Year 2005-2006. CIP No. 6155 has $62,000.00
available for design in Fiscal Year 2004-2005 that is not expected to be used. These funds
($62,000.00) can therefore be transferred to CIP No. 6136 to fund the expected budget shortfall.
During the budget planning process for the City's Capital Improvement Program Fiscal Year 2005-
2006, staff will consider re-budgeting $62,000.00 for CIP No. 6155.

Because of the urgency to complete the Rawlings Reservoir Demolition and Replacement Project, a
proposal was requested from one firm. Tetra Tech Inc. submitted a proposal for the project on
October 6, 2004. Tetra Tech Inc. has been under contract with the City of Tustin since 1996 for
Program Management Services of the Water Services Division Capital Improvement Program. Tetra
Tech Inc. has specific experience with the City of Tustin's Water Service infrastructure and project
area. The scope of work proposed by Tetra Tech Inc. for this project is appropriate and their fee has
been determined to be reasonable. It is staff's recommendation that Tetra Tech Inc. be chosen to
provide engineering services for this project.

CONSULTANT SERVICES AGREEMENT
THIS AGREEMENT FOR CONSULTANT SERVICES, is made and entered into
this - day of 2004, by and between the CITY OF TUSTIN, a
municipal corporation, hereinafter referred to as "City", and Tetra Tech Inc., hereinafter
referred to as "Consultant".
RECITALS
WHEREAS, City requires the services of a consultant to furnish the necessary
engineering services for the Rawlings Reservoir Repair and Replacement (CIP No.
6136) hereinafter referred to as "Project"; and
WHEREAS, Consultant has submitted to the City a proposal dated October 6,
2004, a copy of which is attached hereto marked as Exhibit "A" and is by this reference
incorporated into this Agreement; and
WHEREAS, Consultant is qualified to provide the necessary services for the
Project and desires to provide said services; and
WHEREAS, City desires to retain the services of Consultant for said Project.
NOW, THEREFORE, for the consideration and upon the terms and conditions
hereinafter set forth, the parties agree as follows:
AGREEMENT
Section 1: Scope of Consultant's Services
Consultant shall perform all work necessary to complete in a manner satisfactory
to City, the services set forth in Exhibit "A".
Section 2: Order of Precedence
In the event of a conflict between or among any of the documents comprising this
Agreement, the following order of precedence shall govern the provision in question:

2. Consultant's Proposal (Exhibit "A")
Section 3: Time for Completion
The time for completion of the work to be performed by Consultant is an essential
condition of this Agreement. Consultant shall prosecute regularly and diligently the
work of this Agreement according to reasonable schedules established by the City for
various items described and as outlined within Consultant's proposal. Consultant shall

not be accountable for delays in the progress of its work caused by any condition
beyond its control and without the fault or negligence of Consultant.
Section 4: Compensation

The compensation to be paid under this Agreement shall be as set forth in
Exhibit "A", not to exceed a total cost of $277,000.00
Consultant shall submit detailed invoices, based upon the actual work performed
accompanied by backup documentation as requested by the City.
Progress payments for work completed shall be paid by City as the work
progresses, within thirty (30) days of the date of Consultant's invoice.
Consultant shall provide City with a monthly itemization of all work performed,
and the fees accrued thereon, in complete and sufficient detail to fully apprise
City thereof
Section 5: Independent Contractor
Consultant's relationship to City in the performance of this Agreement is that of
an independent contractor. Consultant's personnel performing services under this
Agreement shall at all times be under Consultant's exclusive direction and control and
shall be employees of Consultant and not employees of City. Consultant shall pay all
wages, salaries and other amounts due its employees in connection with this
Agreement and shall be responsible for all reports and obligations respecting them,
such as social security, income tax withholding, unemployment compensation, workers'
compensation and similar matters.
Section 6: Indemnification
Consultant agrees to defend, indemnify, and hold City, its officers, agents,
employees, successors and assigns harmless from any loss, damage, injury, sickness,
death, or other claim made by any person and from all costs, expenses and charges
including attorney's fees caused by or arising out of Consultant's, its officers', agents',
subcontractors', or employees' negligent acts, negligent errors, or negligent omissions
or willful misconduct, or conduct for which the law imposes strict liability on Consultant
in the performance or failure to perform this Agreement.
Section 7: Insurance
A.
Consultant shall maintain in full force and effect during the term of these
Agreement policies of commercial general liability and automobile liability
insurance (each of which shall include property damage and bodily injury) and
each with limits of at least $1,000,000 combined single limit coverage per
occurrence.

Consultant shall maintain in full force and effect during the term of this
Agreement a policy of professional liability insurance coverage with limits of at
least $1,000,000 combined single limit coverage per claim or per occurrence. If
Consultant provides claims made professional liability insurance, Consultant shall
also agree in writing either (1) to purchase tail insurance in the amount required
by this Agreement or to cover claims made within five (5) years of the completion
of Consultant's service under this Agreement, or (2) to maintain professional
liability insurance coverage with the same carrier in the amount required by this
Agreement for at least five (5) years after completion of Consultant's services
under this Agreement. Consultant shall also provide evidence to the City of the
purchase of the required tail insurance or continuation of the professional liability
policy by executing the attached Letter Agreement on Consultant's letterhead.
C.
Consultant shall carry and pay for such workers' compensation insurance as is
required fully protect Consultant and its employees under California Worker's
Compensation Insurance Law. The insurance company shall agree to waive all
rights of subrogation against the City for losses paid under the policy, which
losses arose from the work performed by the named insured.
D.
Other applicable insurance requirements are: (1) Name the City, its officials and
employees as an additional insured on the commercial, general and automobile
policies. (2) The insurance shall be issued by a company authorized by the
Insurance Department of the State of California and rated A, VII or better (if an
admitted carrier) or A-, X (if offered, by a surplus line broker), by the latest edition
of Best's Key Rating Guide, except that the City will accept workers'
compensation insurance rated B-VIII or better or from the State Compensation
Fund. (3) The Insurance shall not be cancelled, except after thirty (30) days
written prior notice to the City; and (4) The commercial general and automobile
liability insurance shall each be primary as respects the City, and any other
insurance maintained by the City shall be in excess of this insurance and not
contribute to it.
Upon execution of this Agreement, Consultant shall provide to City certificates of
insurance showing the names of the insurers and the amounts of coverage and
insurer endorsements evidencing the required insurance provisions. Insurer
endorsements (or a copy of the policy binder if applicable) shall be provided as
evidence of meeting the requirements of Subsections (1)(3) and (4) of Section
7D above and the waiver of subrogation requirement in Section C above. If self-
insured for worker's compensation, Consultant shall submit to City a copy of its
certification of self-insurance issued by the Department of Industrial Relations.
Section 8: Termination of Aareement
A.
City and Consultant shall each have the right to terminate any or all of the
services covered by this Agreement at any time for any reason by giving ten (10)
business day written advance notice to the other party.

Upon termination of this Agreement, Consultant shall be paid for services
rendered by the effective date of the termination.
Upon termination of this Agreement or completion of the Project, all documents
relating to the Project shall become the sole property of City. Should City
terminate this Agreement pursuant to subparagraph A. of this Section,
Consultant shall, within ten (10) business days of receipt of notice of termination,
provide City with all documents within Consultant's possession relating to this
Agreement and the Project, including but not limited to all completed documents
and all drafts of uncompleted documents.
Section 9: Notices
Any notice allowed or required to be given shall be effective upon personal
delivery thereof, or upon depositing thereof in the United States Postal Service, certified
mail, return receipt requested, postage prepaid, addressed as follows:

Section 10: Miscellaneous Provisions
A.
Consultant shall proceed immediately and diligently to perform the services
provided for in this Agreement upon receipt of notice from City to proceed
therewith.
B.
No part of this Agreement may be assigned by Consultant without the prior
written approval of City.
C.
This Agreement shall extend to and be binding upon and inure to the benefit of
heirs, executors, administrators, successors and assigns of the respective parties
hereto.
D.
Consultant shall perform all services' required under this Agreement using that
degree of care and skill ordinarily exercised under similar conditions in similar
localities, and shall be responsible for all errors and omissions for services
performed by Consultant under the terms of this Agreement.

E.
Consultant certifies that there shall be no discrimination against any employee
who is employed in the work covered by this Agreement, or against any
application far such employment, because of race, religion, color, sex or national
origin including but not limited to, the following: employment, upgrading,
demotion or transfer, recruitment, or recruitment advertising, lay-off or
termination, rate of payor other forms of compensation, and selection for
training, including apprenticeship.
F.
This Agreement shall be interpreted in accordance with California Law. The
parties agree that the Orange County Superior Court is the exclusive venue for
any lawsuits by either party regarding this Agreement

Dear Mr. Serlet
Tetra Tech, Inc. is pleased to submit our proposal to provide engineering services for the design of
the Rawlings Replacement Reservoir. We appreciate the opportunity to be considered for tills
challenging project, and the opportunity to continue to provide engineering services to the City of
Tustin.
We believe that Tetra Tech is uniquely qualified to provide services for the design of these two
adjacent three-million-gallon-capacity reservoirs. In the last decade alone, we have designed over
30 reservoirs, Based on our understanding of your project needs and our familiarity with the project
site and the existing Rawlings Reservoir, we have prepared the attached proposed Scope of Services
for the project. Our assumptions made in preparing this scope of services are also included.
Tetra Tech's proposed Project Manager for the Rawlings Reservoir Replacement Project is Mr.
Steve ConklIn, P.E. Mr. Conklin has over 30 year's experience in the water industry in both the
public sector and consulting, managing and designing water infrastructure projects. Mr. Conklin
has an abundance of resources at ills fingertips to successfully complete this project. All civil,
mechanical, structural, electrical and instrumentation engineering, CAD and word processing will
be completed by our staff. I will personally oversee the project's quality reviews throughout the
duration of the project.
Tetra Tech, Inc. proposes to provide the design of the Rawlings Replacement Reservoir for a time-
and-materials, not-to-exceed fee of $277,000, based on the attached Scope of Services, Person-Hour
and Fee Estinl1lte, and Rate Schedule. All costs for mileage, reproductions, overhead, and other
reimbursable costs are included in each task.

SCOPE OF SERVICES
Task 1: Conceptual Design
I.1
We will prepare a meeting agenda and meet with City staff to review project scope,
understanding, deliverables, budget and schedule. Staff contact persons will be identified.
Available maps, site plans and record drawings for the project site will be requested, and if
availablè, reviewed at the meeting. Tetra Tech will prepare draft meeting minutes for review
and approval.
1.2
We will prepare conceptual plans to identify the general site configuration, landscape and
hardscape improvements in order to obtain City Water Department and Building Department
approval. In addition, design memorandums will be prepared, as needed, to discuss specific
design issues. We anticipate completing design memorandums regarding: (a) demolition
contract documents (a) reservoir yard piping and valves, (b) overflow piping, (c) SCADA tie-
in and (d) Construction Phasing. Three (3) copies of draft memorandums will be submitted
for City review and comment. All reasonable comments will be addressed and three (3)
copies of the final design memorandums will be submitted for City files.
Task 2: Final Design
2.1
We will complete topographic mapping of the project limits, utilizing local County of Orange
Benchmark matching existing vertical datum utilized for City of Tustin water projects. A
local basis of bearings will be determined ITom recorded maps.
2.2
We will prepare a geotechnical report. The geotechnical report shall include findings ITom
desktop research, field investigation, auger borings, laboratory analysis, and calculations. The
report will contain site specific recommendations for design of the concrete reservoirs, buried
pipelines and appurtenant facilities including seismic design criteria.
2.3
Tetra Tech will prepare plans, specifications and estimate of probable construction cost to
complete the demolition of the existing reservoir, clear and grub the remaining site, and
prepare the site for the construction of the new reservoir. Contract documents will include
reference to City requirement for recycling of materials resulting ftom demolition work.

Rawlings Replacement Reservoir
We will submit three (3) sets of full size plans, reduce size plans, specifications and estimate
of probable construction cost at the 50% and 90% milestones. Following City review, Tetra
Tech will incorporate all reasonable review comments and prepare [mal demolition drawings,
specifications and estimate of probable construction cost to the City for bidding and
construction of the Site Demolition Contract
Tetra Tech will complete independent Quality Assurance / Quality Controls reviews prior to
each submittal.
Tetra Tech will prepare plans, specifications and estimate of probable construction cost to
complete the construction of two 3.0 million gallon concrete reservoirs. The reservoirs shall
be circular, concrete, pre-stressed reservoirs with an approximate diameter of I30-feet each.
2.4
Tetra Tech will complete all civil, mechanical, structural and electrical calculations for this
project. All of the calculations will be assembled into one binder, neatly organized and
submitted with the 90% and Final submittals, as well as, if appropriate, with any permit/plan
approval submittals made.

3.1
Tetra Tech will make necessary submittal and procure perrnit/p1an approval from City of
Tustin Building Department, Orange County Fire Authority and Department of Health
Services.
Task 4: Meetings
4.1
Tetra Tech Project Manager, and other staff as appropriate, will prepare agenda for,
participate in and prepare meeting minutes for eight (8) project meetings. All meetings will
be held at City of Tustin City Hall, Water Yard or the project site. Meetings shall be held as
needed to review design elements, project status and submittal review comments as well as
coordinate various elements of the project.
Task 5: Bid-Phase Services
5.1
Tetra Tech's Project Manager wil1 attend the Pre-Bid Meeting with City staff and prospective
bidders to assist City staff and to answer questions regarding the design and the project.
5.2 We will provide assistance duririg contract bidding period, answering questions from
, prospective bidders and preparing any necessary contract addendums.
Assumptions
In preparing this scope of work, Tetra Tech has made the following assumptions:
City will provide Project Coordinator responsible for daily communications, providing
requested data available at the City, processing submittals and coordinating various City
Departments.
City wi1l provide latest version of contract documents ("front ends") in electronic fonnat for
our use in preparing the specifications.
City wi1l prepare CEQA documents necessary to fulfill environmental requirements.
City will provide all reproduction for bidding and construction phase work.
The proposal does not include any construction phase or post construction phase services.
